With your support and patronage over the past year our co-operative
enjoyed continued financial growth and increased profitability. At the
same time Ukrainian Credit Union Limited expanded its services and
stayed true to our vision of supporting causes close to the hearts of our
membership and our goal of building community.
За вашої підтримки протягом минулого року наша кооператива
продовжила зростання фінансових показників і підвищення
прибутковості. За цей рік Українська Кредитова Спілка Лимитед
також розширила свої послуги і залишилася вірною нашому
баченню підтримки справ, які є близькими до серця наших членів

Financial Highlights for 2014
Maintaining financial margins in a falling rate environment, increased
generation of non-interest revenues, and operational cost control remained
the focus of our financial strategy in 2014. This strategy resulted in strong
asset and profit growth, together with the additional regulatory capital
required to grow our business in a sustainable manner and ensure the
safety of member deposits.
Assets increased $47.7 million (7.6%) to $675 million, deposits grew
$13.6 million (2.5%) to $557,613 million, while loans to members
increased $42.16 million (7.7%) to $591.0 million. Securitization of
residential mortgage pools originated by the credit union continued to be a
key source of liquidity in funding new borrowing by members.
In 2014, our credit union received a total of 1,450 credit applications (vs.
1,477 in 2013) of which 1,181 were advanced, 236 were declined or
cancelled, and 33 were pre-approved but not yet advanced by year-end.

Підтримання прибутковості в умовах падіння відсоткових ставок,
збільшення невідсоткових доходів, та контроль над операційними
витратами залишалися в центрі нашої фінансової стратегії в 2014 році.
Ця стратегія дозволила значно збільшити наші активи і прибутки, а
також накопичити додатковий регулятивний капітал, необхідний для
зростання нашого бізнесу на стійкій основі і забезпечення безпеки
внесків наших членів.
Наші активи збільшилися на $47.7 млн (7,6%) до $675 млн, депозити
зросли на $13.6 млн (2,5%) до $557,613 млн, у той час як кредити

The aggregate annualized dividend paid on Class A Shares was 3.58%.
Loan loss provisions were adjusted upward to $787 thousand (vs.
$680 thousand in 2013) reflecting loan growth and the credit union’s
updated assessment of our credit portfolio’s risk profile.
Income before income taxes for the year was $2.301 million (vs.
$2.121 million in 2013). After income taxes of $338 thousand (vs.
$362 thousand in 2013), net profit for 2014 was $1.963 million (vs.
$1.759 million in 2013).

Comprehensive income, which includes unrealized gains and losses,
was $1.226 million compared to $2.986 million in 2013. The change
in comprehensive income was primarily due to the re-measurement
of the credit union’s liability under its defined benefit pension plan for
employees, a figure which fluctuates periodically based on prevailing
interest rate projections used in actuarial calculations.
Retained earnings increased to $25.807 million (vs. $24.124 million
in 2013), and as at December 31, 2014, the credit union’s regulatory
capital stood at $44.191 million, an increase of $0.942 million over
the previous year. Our year-end capital leveraging ratio was 6.5%,
while our risk-weighted capital ratio stood at 13.1%. Both capital ratios
continued to significantly exceed regulatory requirements of 4% and
8%, respectively.
As one of the 15 largest credit unions in Ontario by asset size, in
2014 UCU compared favourably with this peer group both in terms
of operating costs and net income before taxes and non-recurring and
extraordinary items as percentage of average assets.

At the end of December, 2014 the credit union’s membership was
24,925.
Summarized financial statements, and the reports of the Audit
Committee that follow provide additional details on your credit union’s
financial performance and regulatory compliance.
Service & Product Enhancements
During 2014, your credit union completed the following initiatives to
improve product and service offerings to members:
• Our credit union’s full line of business products was re-launched as
ucubiz in May, 2014 with our new Business Centre co-located with
UCU Wealth Strategies at our Bloor and Durie location

Android and iOS devices to provide our members with the latest in
banking convenience

• On December 3, 2014 UCU opened its newly-relocated branch in
Thunder Bay and a new ATM location at 657 Red River Road with
a solemn blessing by Ukrainian Orthodox and Catholic clergy and a
ribbon cutting by Mayor Keith Hobbs before a packed audience of
members and special guests
• 3 грудня 2014 р. УКС відкрила своє відділення з банкоматом

Russia’s War of Aggression against Ukraine &
Humanitarian Assistance
Російська аґресія проти України та гуманітарна
допомога
In keeping with the resolution of members at the 2014 annual
general meeting, all dividends budgeted in the past year for payment
on qualifying membership shares were directed instead towards
humanitarian assistance to the heroic people of Ukraine as they battled
against the Russian Federation’s war of aggression. Funds earmarked
by the credit union from 2014 earnings for assistance to Ukraine were
over $100,000, well surpassing the sum of membership dividends
voluntarily foregone by members.

зборах 2014 року, всі дивіденди по членських уділах за минулий рік
були спрямовані на гуманітарну допомогу героїчному українському
народові, який бореться проти російської агресії. Кошти, виділені
кредитовою спілкою з прибутків 2014 року для надання допомоги
Україні склали більше $100,000, і значно перевищили суму
дивідендів, від яких добровільно відмовилися наші члени.
Among other humanitarian projects, funds were directed towards
reconstructive skull surgeries for civilian survivors of sniper attacks, lifesaving first aid kits, reconditioned ambulances to evacuate wounded
Ukrainian soldiers as well as to the related humanitarian work of
leading community organizations like the Canada Ukraine Foundation,
the Ukrainian World Congress, the Ukrainian Canadian Congress, and
the Toronto Euromaidan Committee.
UCU also helped facilitate the collection of humanitarian assistance for
Ukraine by other organizations and informal groups, including an effort
led by our own UCU staff members to provide financial assistance
to seriously wounded soldiers returning from battles with separatist
terrorists and Russian regulars and security services.
Our credit union remains committed to provide moral and material
humanitarian support to the people of Ukraine in their struggle to
preserve their statehood and territorial integrity, and in helping them
build a prosperous and democratic country.

на реконструктивні операції на черепі для цивільних, які
вижили після снайперських атак, рятувальні комплекти першої
допомоги, переобладнані машини швидкої допомоги для
евакуації поранених українських солдатів, а також на відповідну
гуманітарну діяльність провідних громадських організацій, таких
як Канадсько-Українська Фундація, Світовий Конґрес Українців,
Конґрес Українців Канади і Комітет Євромайдан-Торонто.
УКС також сприяла збору гуманітарної допомоги для України
іншими організаціями та неформальними групами, в тому числі
зусиллям, очолюваним нашими співробітниками по наданню
фінансової допомоги тяжко пораненим солдатам, які повертаються
з війни з сепаратистами-терористами і регулярними російськими
військами та спецслужбами.
Наша кредитова спілка залишається відданою справі надання
моральної і матеріальної гуманітарної допомоги українському
народові в його боротьбі за збереження своєї державності і
територіальної цілісності, і допомоги у будівництві процвітаючої і
демократичної України.

Banking System Conversion
Конверсія банківської системи
As a result of our core banking system supplier’s decision to consolidate
its product offerings, last year UCU commenced work to move to another
platform to process member transactions. We have taken this opportunity to
upgrade to a more robust solution and are scheduled to convert to this new
system during the third quarter of 2015. As we approach the conversion
date, members will be provided with all the additional information they will
need to ensure that any disruption to service is minimized.

системи консолідувати свої продукти, торік УКС розпочала роботу
з переходу до іншої платформи для обробки трансакцій членів. Ми
скористалися з цієї можливості, щоби перейти на більш надійне

Review of Ontario Credit Union Legislation
Ukrainian Credit Union Limited has been playing an active role in
advancing the interests of credit union members from across Ontario
in conjunction with the pending review of our governing legislation, the
Credit Unions and Caisses Populaires Act. This has included providing
representation to the Central 1 Act Review Committee, successfully
encouraging members to speak in support of important changes to
the law at the cross-province consultations recently held by MPP and
Parliamentary Assistant to the Minister of Finance Laura Albanese,
meeting with Ontario Finance Minister, the Hon. Charles Sousa,
and members of the provincial legislature, particularly with those
representing the ten communities where UCU has branches.
Among the key issues being raised by Ontario’s credit unions with our
province’s legislature are the adaptation of new international capital and
liquidity rules to reflect the cooperative structure of credit unions and
their centrals, improvements to deposit insurance coverage for nonregistered member deposits, non-discriminatory access to the deposits
of municipalities, universities, schools and hospitals (MUSH) sector, as
well as the right to own the same types of subsidiaries as banks in order
to be able to generate new sources of non-interest revenue.
The review of our Act will continue throughout 2015 and we urge all
members to speak to their Members of Provincial Parliament about the
need to adopt favourable legislation for credit unions and their members.

Українська Кредитова Спілка Лимитед відіграє активну роль
в просуванні інтересів членів кредитових спілок усієї провінції
Онтаріо в плані очікуваного перегляду законодавства, а саме
Credit Unions and Caisses Populaires Act. Ця робота включає
забезпечення представництва в Комітеті Central 1 з розгляду
Закону. Ми також успішно заохочували наших членів виступати
на підтримку важливих змін в законі під час консультацій,
недавно проведених членом провінційного парламенту та
парламентським помічником Міністра Фінансів Лорою Албанезе,
зустрічалися з Міністром Фінансів Онтаріо дост. Чарльзом Соуза,
а також членами провінційного Парламенту, зокрема, з тими, які
представляють десять околиць, де знаходяться відділення УКС.
Серед ключових питань, які піднімаються кредитовими спілками
Онтаріо у розмовах з парламентарями провінції, є адаптація нових
міжнародних правил капіталу і ліквідності для відображення
кооперативної структури кредитових спілок та їх централей,
поліпшення страхового покриття для незареєстрованих
депозитів членів, недискримінаційного доступу до депозитів
муніципалітетів, університетів, шкіл і лікарень (сектора MUSH), а
також права власності на ті самі типи дочірніх компаній, як і для
банків, для того, щоб мати можливість створювати нові джерела
непроцентного доходу.
Перегляд нашого закону буде тривати протягом 2015 року і
ми закликаємо всіх членів говорити з їх членами Парламенту
провінції про необхідність прийняття сприятливого законодавства
для кредитових спілок та їх членів.

Building Community

Notwithstanding the attention that of necessity had to be paid to
developments in Ukraine during the past year, UCU did not stop
“building community” at home. In the GTA and well beyond in
communities like Ottawa, Sudbury, London and St. Catharines, your
credit union continued to support community volunteers and notfor-profit institutions and charities. We do this as part of our vision
to transform our cooperative’s prosperity into support for the cultural,
education, religious and recreational activities of the Ukrainian Canadian
community and the broader community of which we are a part. We
invite you to peruse pages 14 and 15 of this report for a listing of worthy
recipients of our support in 2014.
Незважаючи на ту увагу, яку нам через необхідність довелося
приділяти подіям в Україні, минулого року УКС не зупинила свої
зусилля з “будівництва громади” у себе вдома. У GTA й далеко
за її межами в таких спільнотах, як Оттава, Судбурі, Лондон і СтКетеринс, Ваша кредитова спілка продовжує надавати підтримку
громадським волонтерам і некомерційним та благодійним
організаціям. Ми робимо це в рамках нашої концепції використання
процвітання нашої спілки на підтримку культурних, освітніх,
релігійних та розважальних заходів української канадської громади

Governance
The UCU Board pays particular attention to issues of governance to
ensure we operate our business in a prudent and productive manner
while staying onside regulatory requirements. Over the past year
your directors have been especially diligent in seeing through the
full implementation of new and more demanding sound business
requirements recently introduced by the Deposit Insurance Corporation
of Ontario (DICO). Our credit union’s response to these regulatory
changes has also extended to the development of current and
recruitment of future directors to align with the new governance norms.

We are also pleased to report that in April, 2014 the credit union
underwent and passed a routine regulatory on-site examination by DICO.

минулий рік Ваші директори особливо старанно працювали над

депозитів Онтаріо (DICO). У відповідь на ці регуляторні зміни наша
кредитова спілка навчає нинішніх директорів для узгодження з

Report of the Audit Committee for 2014
Ukrainian Credit Union’s (“UCU”) Audit Committee conducts its
activities in accordance with section 125 of the Credit Unions and
Caisses Populaires Act 1994 (“Act”), Regulations related to the Act,
and UCU’S by-laws.
The Audit Committee is responsible for reporting to the Board and
overseeing:
• Ensuring that UCU complies with operational and regulatory
requirements
• Monitoring material legal proceedings to which UCU is a party
• Monitoring Staffing, Operational and material Risk Management
activities
• The integrity of UCU’s financial statements and related information
• Monitoring anti-money laundering, suspicious and fraudulent
activities and its reporting to FINTRAC
• UCU’s compliance with applicable legal and regulatory requirements
• Reviewing the report from the Privacy Officer
• The independence, qualifications and appointment of the external
auditors
• Monitoring and reviewing the Enterprise Risk Management (ERM)
• The performance of the internal and external auditors
• Enterprise Risk Management activities in accordance with the
Deposit Insurance Corporation of Ontario (DICO) guidelines
• UCU Management’s responsibility for reporting on internal controls
and the integrity and effectiveness of UCU’s internal controls.
OPERATIONS AND OTHER MATTERS
The Audit Committee met at least monthly throughout the year and
fulfilled its mandate by:
• Reviewing and recommending for approval the year-end audited
financial statements, the external auditor’s management letter and
management’s response
• Reviewing the scope and plan of both the external and internal
audits, including the audit fees
criteria at least quarterly.
INTERNAL AUDIT MATTERS
For 2014, UCU contracted the services of a group of Internal Auditors
to assist with fulfilling the mandate of the Internal Audit Plan. The
Internal Auditors conducted reviews to ensure compliance with
regulatory requirements and made recommendations to Management
and the Audit Committee that would improve operational effectiveness.
As a result of its work in 2014, the Audit Committee is of the opinion
that there are no extraordinary matters related to the finances and
operations of UCU which requires special attention or disclosure.
The Audit Committee would like to thank the management, staff and
the Board of UCU for their co-operation and contributions during the
year.
• Reviewing the monthly financial statements quarterly
• Monitoring and reviewing reporting requirements affecting Capital,
Liquidity, Interest Rate Risk, Credit Compliance, Governance and
Operations
• Reviewing changes to policies and procedures and recommending
their approval to the Board

Звіт Контрольної Комісії за 2014 р.
Контрольна комісія Української Кредитової Спілки (“УКС”)
здійснює свою діяльність відповідно до розділу 125 Credit Unions
and Caisses Populaires Act 1994 (“Закон”), норм, пов’язаних із
Законом, і статутом УКС.
• Забезпеченню того, щоб УКС відповідала операційним і
нормативним вимогам
Контрольна комісія відповідає за звітність перед Радою
Директорів і контроль за:
• Моніторингу діяльності з управління кадрами, операціями та
речовими процесами управління ризиками
• Вірністю фінансової звітності УКС і пов’язаної з нею інформації
• Моніторингу діяльності з боротьби з відмиванням грошей,
підозрілими і шахрайськими діями і доповідей про такі дії до
FINTRAC
• Дотриманням УКС у своїй діяльності діючих правових та
нормативних вимог
• Незалежністю, кваліфікацією і призначенням зовнішніх
аудиторів
• Ефективністю внутрішніх і зовнішніх аудиторів
• Діяльністю з управління ризиками підприємства відповідно
до керівних принципів Корпорації зі страхування депозитів
Онтаріо (DICO)
• Відповідальністю керівництва УКС за звітність з питань
внутрішнього контролю та цілісності і ефективності системи
внутрішнього контролю УКС.
ОПЕРАЦІЙНІ ТА ІНШІ ПИТАННЯ
Контрольна комісія засідала щонайменше раз на місяць протягом
року та виконала свій мандат завдяки:
• Аналізу і рекомендуванню для затвердження річного аудиту
фінансової звітності, листа зовнішнього аудитора керівництву
і відповідь правління УКС
• Моніторингу значних судових розглядів, в яких УКС є
учасником
• Перегляду звіту Директора з конфіденційності
• Моніторингу та огляду критеріїв Управління ризиками
підприємства (ERM), щонайменше щоквартально.
ПИТАННЯ ВНУТРІШНЬОГО АУДИТУ
У 2014 році УКС законтрактувала послуги групи внутрішніх
аудиторів для надання допомоги у виконанні завдань Плану
внутрішнього аудиту. Внутрішні аудитори проводили огляди,
покликані забезпечити відповідність нормативним вимогам та
виносили рекомендації для правління та Контрольної комісії, що
дозволить поліпшити операційну ефективність.
У результаті своєї діяльності у 2014 році, Контрольна комісія
вважає, що немає надзвичайних питань, пов’язаних з фінансами
та операціями УКС, які вимагають особливої уваги або розкриття.
Контрольна комісія хотіла б подякувати правлінню, працівникам
і Раді Директорів УКС за їх співпрацю і внесок напротязі року.
• Аналізу обсягу та плану зовнішнього і внутрішнього аудиту, в
тому числі плати за аудит
• Щоквартальному аналізу щомісячних фінансових звітів
• Моніторингу та аналізу вимог до звітності щодо Капіталу,
Ліквідності, Процентного ризику, Дотримання кредитних
вимог, Управління та Операцій

Auditors’ Responsibility
The accompanying summary financial statements, which comprise the
summary statement of financial position as at December 31, 2014, the
summary statements of comprehensive income, changes in members’
equity, and cash flows for the year then ended, are derived from the
audited financial statements of Ukrainian Credit Union Limited as at
December 31, 2014. We expressed an unmodified audit opinion on
those financial statements in our report dated March 16, 2015. Those
financial statements, and the summary financial statements, do not
reflect the effects of events that occurred subsequent to the date of our
report on those financial statements.
Our responsibility is to express an opinion on the summary financial
statements based on our procedures, which were conducted in
accordance with Canadian Auditing Standard (CAS) 810, “Engagements
to Report on Summary Financial Statements.”
The summary financial statements do not contain all the disclosures
required by International Financial Reporting Standards. Reading the
summary financial statements, therefore, is not a substitute for reading
the audited financial statements of Ukrainian Credit Union Limited.

Basis of presentation (Note 1)
Management is responsible for the preparation of the summary financial statements. The summary financial statements presented include the summary statement of financial position and
the summary statements of comprehensive income, changes in members’ equity and cash flows. The summary financial statements do not include any other schedules, the summary of
significant accounting policies or notes to the financial statements. The summary statement of financial position and summary statements of comprehensive income, changes in members’
equity and cash flows are presented in the same detail as the audited financial statements except the note referencing has been removed.
In addition, a copy of the full financial statement is available to any member, upon request, at any branch of the credit union.

parishioners of St. Elias Church in Brampton, accept a donation from
Yaryna Kozak, MSR of Ukrainian Credit Union Limited’s Mississauga
Branch.
Vlad Pasternak, Manager of the St. Catharines Branch, presents a
donation to Bohdan Pidzamecky, Secretary and Treasurer of the
Ukrainian Canadian Congress Niagara Branch. The money was used
for Ukrainian Heritage Day celebrations in St. Catharines.
Children in Windsor receive gifts from St. Nicholas. Every year,
Ukrainian Credit Union Limited donates gifts to Ukrainian heritage
schools, day care centres and youth and dance groups during the lead
up to the Christmas holidays.

of this mission that was organized by the Canada Ukraine Foundation.
John Mykytyshyn, member of Ukrainian Credit Union Limited’s Hamilton Advisory
Committee, and Yuriy Nesvit, Manager of UCU’s Hamilton Branch, present a
donation to Tamara Dudka, head of the Ukrainian Canadian Social Services,
Hamilton Branch. The money will be used to support food kitchens in Ukraine.
Kateryna Litvinjuk of the UCU Wealth Strategies Group presents a

Every year Ukrainian Credit Union Limited is the lead sponsor of the
main act at the Bloor West Village Toronto Ukrainian Festival. In 2014 the
headline act was the band TiK from Ukraine.
Ukrainian Credit Union Limited Director Slawko Borys (who is also the
President of UNF Toronto) and UNF National President Ihor Bardyn, unveil,
at 145 Evans Avenue, one of 100 plaques across Canada commemorating
the internment of Ukrainian Canadians as “enemy aliens” during WWI.
