Dowling's Ice Cream/Freezer Program
This agreement is made effective this day, the _____ of ________________(month), ________ (year), by and
between Dowling's, Inc., (the “Vendor”) and _______________________ (the “Retailer”), whose address is
__________________________, _______________(city), ______(state), __________(ZIP code).
The undersigned hereby acknowledge that the Equipment listed below is property of Dowling's Inc., whom
retains all rights, title and interest in and to the Equipment. Retailers interest is limited to the right of possession and
use during the term and in accordance with the terms of this agreement. Retailer also agrees to pay for shipping cost
of Equipment to retail site.

Equipment Description
Retailer specifically acknowledges that Vendor is making a substantial capital investment for the equipment,
and that Vendor will not be able to recoup its investment without the term and exclusivity of product purchase
specified herein. Consequently, Retailer specifically agrees that during the term hereof, it will not purchase the
Products for the Equipment from any other source than the Vendor.
The term of this agreement shall be ongoing from the date of installation at any specified site. In the event
that Vendor fails to properly service this program, repair the Equipment, supply the products, or otherwise defaults in
the performance of its material obligations hereunder, and Vendor does not cure such failure within thirty (30) days of
receipt of written notice specifying the specific default, then, in such event, Retailer may terminate this agreement for
cause and thereafter allow Vendor thirty (30) days to remove its Equipment from the Location. Likewise, Vendor may
terminate this agreement if Retailer defaults in its obligations hereunder and does not cure default within thirty (30)
days of receipt of written notice specifying the default.
In witness whereof, the parties hereto have executed this Agreement as of the date first above written.
