2.0 NOTICE OF THE SECOND ANNUAL
GENERAL MEETING:
Notice is hereby given that the Second Annual
General Meeting of the Shareholders of
Maendeleo Bank PLC will be held on Saturday
30th April 2016 at the DIAMOND JUBILEE HALL,
Dar es Salaam from 09:00 am.
The Agenda will be as follows:
1. Adoption of the Agenda for the 2nd Annual
General Meeting.
2. Confirmation of the Minutes of the First
Annual General Meeting
3. Matters Arising from the First Annual
General Meeting
4. To receive Directors Report for the Year
ending 31st December 2015.
5. To receive and discuss External Auditor’s
report and the Audited Financial Statements
for the Year ending 31st December 2015
6. To Receive and Approve Director’s
Remuneration for 2016
7. To Receive and Approve Appointment of
External Auditors for the Year ending 31st
December 2016
8. Any Other Business

NOTES
1. A member wishing to attend the meeting
will do so at his/her own cost and must
come with his/ her depository receipt (share
certificate) together with voter’s card or
employment ID or valid passport book or
valid driving license for identification. Copies
of the Annual General Meeting Reports
and proxy forms will be available at the Head
Office situated at Maendeleo Bank, Luther
House, Sokoine Drive - City Centre effective
from 25th April 2016.
2. A member entitled to attend at the meeting
and who is unable to attend, can appoint
a proxy to attend on his/her behalf by
submitting his/her name to the Managing
Director at Maendeleo Bank PLC not less
than 48 Hours before the time of meeting.
In case of corporate body, the proxy must be
under its common seal and must come with
a copy of depository receipt.
3. There will be a seminar to all Shareholders
on interpretation of financial statements
and the benefits of owning shares in a listed
Company on the same day between 9.0am
and 10.0am.
4. Shareholders’ proposals should be
submitted to the Bank’s Head Office not
later than 12.00 noon on 28th April 2016.

MINUTES OF THE FIRST ANNUAL GENERAL MEETING (AGM) OF THE MAENDELEO BANK PLC HELD
ON 16TH MAY 2015 AT THE ELCT MSASANI TOWER HALL, DAR ES SALAAM.

Prior to the commencement of the meeting,
shareholders received a one hour seminar on how to raise
capital for listed companies which was facilitated by Mr.
George Fumbuka of Core Securities Ltd.
Thereafter, the Chairman opened the meeting by
welcoming the Shareholders, Directors and Management
team to the First Annual General Meeting. He welcomed
ELCT Head and ELCT-ECD Bishop Dr. Alex Gehaz Malasusa
who greeted the shareholders with the word of
encouragement.
Having noted the presence of ELCT-ECD General
Secretary, ELCT-ECD Deputy Secretaries, Bank of
Tanzania (BOT), Uchumi Commercial Bank, LUICO,
Core Securities and Consultant Mr. AltemiusMilinga it
was agreed that there was enough quorum to start
the meeting in accordance with Company’s Articles of
Association. The meeting started at 10.30 am.

Adoption of the Agenda
There was a proposed one addition agenda which
was about ratification of appointment of Directors,
after those changes then the following Agenda
were adopted.

expansion plans for the year 2014 which called
for Bank of Tanzania to issue a letter directing
the bank to raise additional capital in order to

The members received and adopted the Director’s
report as presented by both the Chairman and
Managing Director. They further congratulated the
Board and Management for the good performance
of the bank for the period under review.
To Receive Directors Report.
The Board Chairman and Managing Director
presented the bank’s performance to the
Shareholders for the period ending 31st December
2014.
Reported that during the financial year 2014, the
bank recorded a loss of Tshs. 281.23 million against
a targeted loss of Tshs. 1.0 billion.
Reported further that the bank attained total
deposits of Tshs. 15.80 billion against a target of
Tshs. 7.10 billion. Loans and advances reached
Tshs.7.60 billion against a target of Tshs. 4.60
billion. Total asset of the bank reached Tshs. 19.70
billion for the year against Tshs. 10.40 billion which
was targeted in the financial year under review.
Shareholders were informed that the bank was
listed at the Dar es Salaam Stock Exchange on
5th November 2013, making the bank to be the
first and the only bank to be listed at DSE at its
establishment stage through the Enterprise
Growth Market (EGM). Before the listing, the shares
were sold at Tshs. 500/- each but soon after listing
the share price rose from Tshs. 500/- to Tshs. 600/per share being 20% increase.
Shareholders were further informed that the

Financial Statements for the Year ending 31st

The financial statements for the year ending
31st December 2014 were presented to the
Shareholders by the External Auditors (Innovex).
The auditors confirmed to the Shareholders that,
the books of accounts were correctly kept; a clean
certificate of accounts was recorded by the bank.
The Shareholders received and adopted the
External Auditor’s report and Financial Statements
for the year ending 31st December 2014. They
further directed as follows:
a. The Bank to arrange training to shareholders
on how to read and interpret the financial
statements as most of the Shareholders do not
know what those financial statements means.
b. In future External Auditors are not needed
to attend the Meeting as the presentation of
audited accounts and financial statements can
be done by the Management on behalf of the
Board.

To Receive, Discuss and Approve the Proposal
to Raise Capital of the Bank
The Agenda was presented by the Maendeleo Bank
Managing Director by informing shareholders that
in the Five Years’ strategy, the bank had planned
to open at least one branch per year starting from
2014.
It was further revealed that in its effort to execute
this plan, the Board approved opening of two
branches in year 2014 which was later declined by
Bank of Tanzania. Bank of Tanzania didn’t approve
the request to open the branches, with reason that
the bank’s capital can’t accommodate the costs of
setting up these new branches. Instead, the Bank
of Tanzania directed the bank to inject at least Tshs.

and other operational costs of the bank.

bank sponsor had to appoint the Directors to get
the bank fulfill the licensing requirements. The
names of the directors were forwarded to the Bank
of Tanzania for vetting and approval which was
successfully done.
Shareholders were requested to ratify the
appointment of Directors done by the Bank’s
sponsor.
Resolution: The Shareholders received and
unanimously resolved to ratify the appointments
of the Directors for three years term commencing
from 16th May 2015.

Shareholders were further informed that it should
be understood that the BOT’s demand on our bank
to beef up capital is not optional; therefore we have
to look for the best way to comply.
Reported that during the first year of bank
establishment, Directors agreed NOT to be paid
Director’s fee and meeting allowances taking into
consideration of the state of the start-up bank.
Directors started receiving allowances in 2014
though they were below the market pay out rates.
Shareholders were told on various alternatives
towards raising the capital;
a. RIGHTS ISSUE – Raising capital through sale
of shares to the existing Shareholders before
issuance of new shares to the entire public
through an IPO.
b. MERGERS - the bank may decide to merge
with another bank or company with the aim of
beefing up its capital.
c. RAISE CAPITAL THROUGH EQUITY – there are
a number of interested companies who have
money and they are looking for business to
invest into.
The
Shareholders
noted
the
impressive
performance of the bank during the first years of
operations which were highly contributed by the
commitment of the Board.
Basing on this good performance of the bank, the
Shareholders resolved to approve the allowances
as follows:
a.Annual directors’ fee for Chairman to be Tshs.
1.50 million instead of the proposed Tshs. 1.0
million while other Directors annual fee would
be Tshs. 1.0 million net of taxes.
b.Sitting allowance for Chairman to be Tshs.
550,000 instead of the proposed Tshs.500,000
while Directors’ sitting allowance would be
Tshs. 500,000 net of taxes.
Shareholders received, discussed the various
modes of increasing the Bank capital and adopted
the raising of capital through rights issue followed
by issuance new shares.
Resolved: to allow Board and Management to
proceed with the arrangement to raise capital and
report the progress in the coming Annual General
Meeting.

Ratification of Directors
The shareholders were informed that during
establishment of the bank it was required to
have Board of Directors in order to comply with
regulatory requirement for establishment of the

To Receive and Approve Appointment of
External Auditors for the Year ending 31st
December 2015
The Shareholders were informed that according to
the Banking and Financial Institution (Independent
Auditors) regulations, 2008 requires that every
bank or financial institution shall appoint annually
an independent auditor.

Shareholders were further informed that Innovex
had audited the Bank for two terms, i.e. years
ended 31st December, 2013 and 31st December
2014. According to Banking and Financial
Institutions ( Independent Auditors) Regulations,
an Independent Auditor is allowed to audit the
same financial institution for a continuous period of
four years.
Shareholders were informed that the previous year
auditor, Innovex, is willing to continue and that
the Board managed to negotiate with Innovex to
charge a fee of Tshs.20.0 million inclusive of taxes.
The Shareholders received the proposal and
resolved to appoint Innovex as an External Auditor
for the year 2015 at a fee of Tshs. 20.0 million VAT
inclusive. However, it directed the Board in future
to be submitting at least three quotations of
interested External Auditors to enable competitive
selection.

Any Other Business
The shareholders commended the Board of
Directors and the bank’s Management and were
satisfied with their performance.

There being no other business, the Chairman
thanked the Shareholders for their participation
and contribution to the meeting.
9.
Next meeting
The Shareholders resolved that the next Annual
General Meeting be held within four months after
year end. The date and venue to be determined by
the Board.

During the last Annual General
Meeting we recommended to
you, and we got your approval
for raising additional share
capital that would enable us
to improve our capital base
and be able to establish new
branches and hence open up
opportunities for the bank to
do bigger businesses. That
we have done through the
issuance of the rights issue to
which you all were requested
to participate. The exercise has
given us an additional share
capital of TZS 2.839 billion,
thus bringing the total capital
to TZS 7.354 billion. We now
have 5,567,523 new shares
each priced at TZS 510/=.
When we add these to the
previous 9,029,056 shares
we have a total of 14,596,579
shares with a total value of
TZS 7,353,964,730/= which is
enough to open at least two
branches in this year.

opportunity to welcome you
to our Second Annual General
Meeting of Maendeleo Bank
Plc. You will recall that on
16th May 2015 we met for our
First Annual General Meeting
which was held at the ELCT
Msasani Tower Hall whereby
we reported on the bank’s
operations for the first full year
since its inception. Today we
are reporting operations of the
bank for the year ended 31st
December 2015 with notable
success.
5.1.2
Annual Plan for the Year 2015
In the year 2015, the bank
among other things planned
to increase its total assets to
reach Tshs. 34.80 billion. The
Managing Director will report
on the achievement reached
in respect of the highlighted
plans for the year under review.

Capital expansion
When we opened the doors
of the bank to the public on
September 9, 2013, the bank’s
authorized share capitals was

5.1.5 The bank’s performance for
the year 2015
During 2015, the bank registered
a positive performance where
it managed to register a profit
after tax of Tshs. 189.241
million against a target of Tshs.
136.85 million being 38.30%
higher than the targeted
profit for the year. It should be
recalled that in 2014, the bank
recorded a loss of Tshs. 281.23
million. This achievement was
a result of strong dedication
and professionalism of our
staff in pursing outstanding
performance in the year
2015. My gratitude goes to
every member of our Board
of Directors for their tireless
efforts and support. The
Managing Director will give
you details of the bank’s
financial performance for the
year 2015.
5.1.6
The Audited Financials
The booklet which you have
received incorporates financial
statements for the year ended
31st December, 2015. The
Finance Manager will present
the financial position of the
bank for your discussion. Your
contributions will constitute
valuable inputs to enable us
manage the bank successfully.

The main activity of the bank is the provision of banking and related services as stipulated by the
Banking and Financial Institutions Act, 2006. There has been no significant change in the principal
activities of the bank during the period ended 31st December, 2015.

5.9 RISK MANAGEMENT AND INTERNAL CONTROL
The Board accepts final responsibility for the risk management and internal control systems of the
Bank. It is the task of Management to ensure that adequate internal financial and operational control
systems are developed and maintained on an ongoing basis in order to provide reasonable assurance
regarding:

The effectiveness and efficiency of operations

The safeguarding of the Bank’s assets
•
Compliance with applicable laws and regulations
•
The reliability of accounting records
•
Business sustainability under normal as well as adverse conditions
•
Responsible behaviours towards all stakeholders.
The efficiency of any internal control system is dependent on the strict observance of prescribed
procedures. There is always a risk of non-compliance of such procedures by staff. Whilst no system of
internal control can provide absolute assurance against misstatement or losses, the Bank’s system is
designed to provide the Board with reasonable assurance that the procedures in place are operating
effectively. The Board assesses the internal control systems throughout the financial year ended 31
December 2015. The Board believes that the risk management and internal control system are well set
to mitigate any misshapen.
5.10
CORPORATE GOVERNANCE
The Board takes overall responsibility for the bank, including responsibility for identifying key risk
areas, considering and monitoring investment decisions, considering significant financial matters, and
reviewing the performance of management business plans and budgets.

The efficiency of any internal control system is dependent on the strict observance of prescribed
measures. There is always a risk of non-compliance of such measures by staff. While no system of
internal control can provide absolute assurance against misstatement or losses, the bank’s system is
designed to provide the Board with reasonable assurance that the procedures in place are operating
effectively.
The Board assessed the internal control systems throughout the financial year ending 31st December
2015 and is satisfied that they met accepted criteria.
5.17
SERIOUS PREJUDICAL MATTERS.
In the opinion of the Directors, there are no serious prejudicial matters that can affect the bank.
5.18 SOLVENCY
The Board of Directors confirms that applicable accounting standards have been followed and that
the financial statements have been prepared on a going concern basis. The Board of Directors has
reasonable expectation that the bank has adequate resources to continue in operational existence for
the foreseeable future.
5.19
EMPLOYEE’S WELFARE
The relationship between Employees and Management continued to be good. Work morale is good
and there were no unresolved complaints from employees which were reported to the Board. There
was good teamwork between management and staff.
The bank is an equal opportunity employer. It gives equal access to employment opportunities and
ensures that the best available person is appointed to any given position free from discrimination of
any kind and without regard to factors such gender, marital status, tribe and disability which does not
impair ability to discharge duties.
During the period the bank did the following in respect to staff welfare:
• Training to staff was implemented along the period under review.
• Staff Loans were extended at preferential interest as a means of staff retentions mechanism.
• Medical insurance cover to staff and their dependents was introduced.
• The bank makes contributions to pension schemes for staff at a rate of 10% of the employee’s
gross salary.

The bank continued to maintain a good relationship with all stakeholders including the regulators.

CORPORATE SOCIAL RESPONSIBILITY (CSR)
The bank participates actively in community activities throughout the period. The bank touched
the lives of needy society through community activity which includes; donation of different items to
people living with albinism under the umbrella of “under the Same Sun”, desks plus school items to
Mkuranga Primary School and
donation to the handicapped students at Mtoni Deaconic Centre.

AUDITORS
The auditors, INNOVEX, have expressed their willingness to continue in office and are eligible for
reappointment. A resolution proposing an appointment of the Bank’s auditors for the year ending 31st
December, 2016 will be put to this Meeting

Report on the Financial Statements
We have audited the financial statements of Maendeleo Bank PLC, set out on pages 21 up to 84 which
comprise the statement of financial position as at 31 December 2015, statement of profit or loss and other
comprehensive income, statement of cash flows statement, and statement of changes in equity for the year
ended 31 December 2015 and summary of significant accounting policies as well as other explanatory notes.
Maendeleo Bank PLC Directors’ responsibility for the financial statements
Maendeleo Bank PLC`s Directors are responsible for the preparation and fair presentation of these financial
statements in accordance with International Financial Reporting Standards and the provisions of the Banking
and Financial Institution Act, 2006 and Companies Act, No. 12 of 2002. The responsibility includes: designing,
implementing and maintaining internal control relevant to the preparation and fair presentation of financial
statements that are free from material misstatement, whether due to fraud or error; selecting and applying
appropriate accounting policies; and making accounting estimates that are reasonable in the circumstances.
Auditor’s responsibility
Our responsibility is to express an opinion on these financial statements based on our audit. We conducted
our audit in accordance with International Standards on Auditing. Those standards require that we plan and
perform the audit to obtain reasonable, but not absolute, assurance whether the financial statements are
free from material misstatement, whether due to fraud or error. An audit involves performing procedures to
obtain audit evidence about the amounts and disclosures in the financial statements. The audit procedures
selected depend on the auditor’s assessment of the risks of

In making those risk assessments, the auditor considers internal control relevant to the entity’s preparation of the financial statements as a basis for designing audit procedures that are appropriate in the circumstances, but not for the
purpose of expressing an opinion on the effectiveness of the entity’s internal control. An audit also includes
evaluating the appropriateness of accounting policies used and the reasonableness of significant estimates
made by management, as well as evaluating the overall financial statement presentation and disclosures.
We believe that the audit evidence that we have obtained is sufficient and appropriate to provide a reasonable basis for our opinion on the financial statements.
Opinion
In our opinion, the financial statements present fairly, in all material respect, the financial position of Maendeleo Bank PLC as at 31 December 2015 and its financial performance and its cashflows for the period then
ended in accordance with the International Financial Reporting Standards and the requirements of the Companies Act No 12 of 2002 and the Banking and Financial Institution Act, 2006.
Report on other legal and regulatory requirements
This report, including the opinion, has been prepared for, and only for, the company’s members as a body in
accordance with the Companies Act, No. 12 of 2002 and for no other purposes.
As required by the Companies Act No. 12 of 2002, we are also required to report to you if, in our opinion,
the Directors’ Report is not consistent with the financial statements, if the company has not kept proper
accounting records, if the financial statements are not in agreement with the accounting records, if we have
not received all the information and explanations we require for our audit, or if information specified by
law regarding Directors’ remuneration and transactions with the company is not disclosed. In respect of the
foregoing requirements, we have no matter to report.

9.0 REMUNERATION FOR DIRECTORS OF THE BOARD
This year, the bank made significant achievements in its operations whereby it managed to register after tax
profit of Tshs.189.24 million compared to last year’s loss of Tshs. 281.20 million. Furthermore, the bank’s total
assets have increased to Tshs. 54.9 billion against a budget of 34.7 billion. These and other activities signify that
the bank continues to grow. Considering the performance of the Bank, the Board recommends Director’s fee
to remain TZS 1.50 million net of taxes for Chairman and Tshs. 1.0 million net of taxes for other Directors. While
sitting allowances to be Tshs. 650,000 and Tshs. 600,000 for Chairman and Directors net of taxes respectively.

2. KUPOKEA TAARIFA YA WAKURUGENZI
Mwenyekiti wa Bodi na Mkurugenzi Mtendaji
waliwasilisha taarifa ya uendeshaji wa benki kwa
Wanahisa kwa kipindi kilichoishia Desemba 31, 2014.
Iliripotiwa kwamba kwa mwaka wa fedha 2014, benki
ilipata hasara ya shilingi 281.23 milioni ikilinganishwa na
lengo la hasara la shilingi bilioni1.
Pia mkutano uliarifiwa kwamba amana zenye thamani
ya jumla ya shilingi bilioni 15.80 ziliwekwa katika benki
ikilinganishwa na lengo la shilingi bilioni 7.10. Thamani
ya mikopo ilifikia shilingi bilioni 7.60 ikilinganishwa na
lengo la shilingi bilioni 4.60.Jumla ya rasilimali za benki
zilifikia shilingi bilioni 19.70 kwa mwaka ikilinganishwa
na lengo la shilingi 10.40 bilioni lililowekwa kwa mwaka
huo.
Wanahisa waliarifiwa kwamba benki iliorodheshwa
kwenye Soko la Hisa la Dar es Salaam Novemba 5,
2013,na kuifanya benki hiyo kuwa ya kwanza na ya
pekee kuorodheshwa kwenye Soko hilo katika hatua
ya kuanzishwa kwake kupitia dirisha dogo la Ukuzaji
wa Biashara yaani (EGM). Kabla ya kuorodheshwa, hisa
za benki ziliuzwa kwa shilingi 500 kila moja na mara tu
baada ya kuorodheshwa, hisa hizo zilipanda kutoka
shilingi 500 hadi shilingi 600, sawa na ongezeko la
asilimia 20.
Wanahisa pia waliarifiwa kwamba mtaji wa hisa wa
benki uliokubaliwa ni shilingi bilioni 30. Wakati mtaji
wa hisa uliotolewa na kulipwa ni shilingi bilioni4.5,
benki ilikuwa na mtaji mdogo kuwezesha kutimiza
malengo yake ya upanuzi kwa mwaka 2014. Hali hiyo
iliifanya Benki Kuu ya Tanzania kuandika barua ya
kuitaka benki ikuze mtaji wake ili iweze kuidhinishwa
kufungua matawi mengine.
Zaidi ya hayo, Wanahisa waliarifiwa kwamba kwa
mwaka 2015 benki ilikuwa na malengo yafuatayo:

Kuongeza mtaji wa benki kwa shilingi1.50 bilioni;
Kuongeza rasilimali za benki kufikia shilingi 34.8
bilioni;
Kutoa mikopo kwa mashirika,mikopo ya
wafanyabiashara wa kati,mikopo ya vikundi;
Kuboresha mikopo ya kilimo;
Kuhamasisha uwekaji amana kufikia shilingi 20.0
bilioni;
Kufungua angalau tawi moja;
Kuanzisha huduma za wakala wa benki (agency
banking) na huduma ya kuweka na kukopa kwa
kutumia simu za mikononi.
Wanachama waliipokea na kuidhinisha taarifa ya
Mkurugenzi kama ilivyowasilishwa na Mwenyekiti
na Mkurugenzi Mtendaji.Pia waliipongeza Bodi na
Menejimenti kwa kufanya kazi nzuri kwa mwaka
unaojadiliwa.
3. KUPOKEA TAARIFA YA WAKAGUZI HURU
NA TAARIFA ZA FEDHA KWA MWAKA
UNAOMALIZIKIA DESEMBA 31, 2014.
Taarifa za fedha kwa mwaka uliomalizikia Desemba
31, 2014, ziliwasilishwa kwa Wanahisa na Wakaguzi
huru (Innovex). Wakaguzi hao walithibitisha kwamba
vitabu vya hesabu kwa mwaka huo vilikuwa safi, na
kwamba benki hiyo ilipata hati safi.
Wanahisa walipokea na kuidhinisha taarifa ya
Wakaguzi huru na taarifa za fedha kwa mwaka
uliomalizikia Desemba 31, 2014. Pia waliagiza
yafuatayo:

enki itayarishe mafunzo kwa wanahisa kuhusu

namna ya kusoma na kutafsiri taarifa za fedha
kwa sababu wanahisa wengi hawana uelewa na
mambo hayo.
b. Kwa siku za usoni Wakaguzi wa Nje hawatakiwi
kuhudhuria mkutano kwa sababu uwasilishaji wa
Mkutano Mkuu wa Mwaka 2015

5. KURIDHIA UTEUZI WA WAKURUGENZI
na menejimenti kwa niaba ya Bodi.
4. KUPOKEA, KUJADILI NA KUIDHINISHA
PENDEKEZO LA KUONGEZA MTAJI WA BENKI
Agenda hii iliwasilishwa na Mkurugenzi Mtendaji
wa Maendeleo Bank Plc kwa niaba ya Bodi kwa
kuwajulisha wanahisa kwamba katika mkakati wake
wa miaka mitano, benki ilipanga angalau kufungua
tawi moja kuanzia mwaka 2014.
Mkutano uliarifiwa kwamba katika juhudi zake za
kutimiza lengo hilo,Bodi ya Wakurugenzi iliidhinisha
kufunguliwa kwa matawi mawili mwaka 2014,
lengo ambalo lilikataliwa na Benki Kuu ya Tanzania.
Benki Kuu ya Tanzania haikuidhinisha ombi hilo la
kufunguliwa kwa matawi hayo kwa sababu mtaji
wa benki usingeweza kukidhi gharama za kuwepo
kwa matawi hayo mapya.Badala yake Benki Kuu
ya Tanzania iliiagiza Maendeleo Bank kuongeza
angalau shilingi 1.50 bilioni kwa ajili ya kutosheleza
gharama za upanuzi wake.
Wanahisa pia waliarifiwa kwamba lazima ieleweke
kwamba maagizo ya Benki Kuu ya Tanzania kutaka
Maendeleo Bank kuongeza mtaji wake siyo suala la
hiari, bali benki ni lazima itafute kila njia ya kutimiza
maagizo hayo.
Wanahisa waliarifiwa kuhusu njia mbalimbali ya
kuongeza mtaji:
a.HISA STAHILI: – Kuongeza mtaji kupitia mauzo ya
hisa kwa wanahisa waliopo kabla ya hisa mpya
hazijauzwa kwa umma.
b. MUUNGANO: - Benki inaweza kuamua kuungana
na benki nyingine au kampuni kwa lengo la
kukuza mtaji wake.
c. Kukuza mtaji kupitia amana zisizo na riba --zipo
kampuni zenye fedha zinazotafuta mahali pa
kuwekeza.
Wanahisa walipokea na kujadili njia mbalimbali
za kukuza mtaji wa benki kama ilivyopendekezwa
na wakaidhinisha kukuza mtaji huo kupitia hisa
stahili ikifuatiwa na kutolewa kwa hisa mpya.
Waliazimia kwamba Bodi na Menejimenti ziendelee
na mipango ya kukuza mtaji na kuwasilisha taarifa
kwenye mkutano ujao.

Wanahisa waliarifiwa kwamba wakati wa
kuanzishwa kwa benki, ilitakiwa kuwa na Bodi
ya Wakurugenzi ili kukidhi matakwa ya kisheria
ya kuanzishwa kwa chombo hicho.Ili kukidhi
matakwa hayo ya kisheria, mfadhili wa benki aliteua
Wakurugenzi ili benki hiyo iweze kutimiza masharti
ya leseni. Majina ya wakurugenzi yalipelekwa
Benki Kuu ya Tanzania kwa ajili ya kuhakikiwa na
kuidhinishwa, hatua ambayo ilikuwa ya mafanikio.
Wanahisa waliombwa kuridhia uteuzi wa
Wakurugenzi waliopendekezwa na mfadhili wa
benki.
Wanahisa kwa pamoja waliamua kuridhia uteuzi wa
Wakurugenzi kwa kipindi cha miaka mitatu kuanzia
Mei 16, 2015.
6. KUPOKEA NA KUIDHINISHA MALIPO YA
WAKURUGENZI
Menejimenti iliwasilisha mapendekezo ya malipo
ya Wakurugenzi. Kikao kiliambiwa kwamba kwa
mwaka wa kwanza wa kuanzishwa kwa benki,
Wakurugenzi walikubaliana kwamba WASILIPWE
ujira wa Ukurugenzi na posho za mikutano
kwa kuzingatia hali halisi ya uchanga wa benki.
Wakurugenzi walianza kupokea posho mwaka 2014
ingawa kiwango walichokuwa wakilipwa kilikuwa
cha chini ikilinganishwa na hali halisi ya soko.
Wanahisa walipongeza mafanikio ya benki katika
kipindi cha mwaka wa kwanza tangu kuanzishwa
kwa benki. Mafanikio hayo yalichochewa na
mchango mkubwa wa Bodi iliyosimama kidete
kuona kwamba chombo hicho kinafanikiwa.
Kwa kuzingatia utendaji mzuri wa benki, wanahisa
waliazimia kuidhinisha posho za Wakurugenzi kama
ifuatavyo:
a. Malipo ya mwaka ya Wakurugenzi kwa
Mwenyekiti yawe shilingi1.5 milioni badala ya
shilingi 1 milioni iliyopendekezwa wakati malipo
ya wakurugenzi kwa mwaka yawe shilingi 1
milioni baada ya kodi.
b. Posho ya vikao kwa Mwenyekiti ilipitishwa
kuwa shilingi 550,000 badala ya kiasi
kilichopendekezwa cha shilingi 500,000. Posho
ya Wakurugenzi iliidhinishwa kuwa shilingi
500,000 baada ya kodi.

KUPOKEA NA KUIDHINISHA UTEUZI
WA WAKAGUZI HURU KWA MWAKA
UNAOMALIZIKIA DESEMBA 31, 2015
Wanahisa waliarifiwa kwamba kwa mujibu wa
sheria na taratibu za kibenki za mwaka 2008 (2008
Banking and Financial Institution Independent
Auditors regulation), kila benki au taasisi ya fedha
inaruhusiwa kuteuwa Mkaguzi huru ambaye
anaweza kufanya kazi kwa kipindi cha miaka minne.
Wanahisa pia waliambiwa kwamba kampuni ya
Innovex ilifanya ukaguzi wa benki kwa mihula
miwili kuanzia mwaka ulioishia Desemba 31, 2013
na Desemba 31, 2014. Kwa mujibu wa sheria ya
Benki Kuu kama ilivyoainishwa hapo juu, wakaguzi
wanaruhusiwa kukagua taasisi ya fedha kwa
mfululizo wa kipindi cha miaka minne.
Wanahisa waliarifiwa pia kwamba mkaguzi wa
mwaka uliopita, Innovex, yuko tayari kuendelea na
kazi hiyo kwa gharama ya shilinigi milioni 20 pamoja
na kodi.
Wanahisa walipokea pendekezo hilo na kuiteua
Innovex kama Mkaguzi huru kwa mwaka 2015 kwa
ada ya shilingi 20 milioni pamoja na kodi, yaani
ongezeko la thamani (VAT). Hata hivyo, kikao
kiliiagiza Bodi katika siku za usoni iwasilishe angalau
kampuni tatu za ukaguzi ili kuwepo ushindani
wenye ufanisi.
8.MENGINYEO
Wanahisa waliipongeza Bodi ya Wakurugenzi na
Menejimenti ya Benki kwa mafanikio yaliyopatikana
na kuridhishwa na utendaji wao.
Kwa kuwa hakukuwepo mengineyo, Mwenyekiti
aliwashukuru wanahisa kwa ushiriki na michango
yao katika kikao hicho.
9. MKUTANO UJAO
Wanahisa waliazimia kwamba Mkutano Mkuu
wa Mwaka ufuatao ufanyike miezi minne baada
ya mwisho wa mwaka. Bodi iliachiwa jukumu la
kupendekeza tarehe na mahali patakapofanyika
mkutano ujao.

kwenu kuongeza mtaji wa benki
na mkatupa idhini ya kuongeza
mtaji ambao ungetuwezesha
kuongeza matawi na kuimarisha
shughuli za kiutendaji za benki.
Tumeifanya kazi hiyo kupitia
hisa stahili, shughuli ambayo
ninyi wote mliombwa kushiriki.
Zoezi hilo limetuongezea mtaji
wa shilingi. 2.839 bilioni, na
kufanya jumla ya mtaji wote
kufikia Sh. 7.354 bilioni. Sasa
tuna hisa mpya 5,567,523

hakuna mfumo wowote wa udhibiti wa ndani unaoweza kukabili, mfumo wa benki umeasisiwa kuipa
Bodi uhakika kwamba mfumo wa udhibiti wa ndani ni salama. Bodi inatathmini mfumo wa udhibiti wa
ndani kupitia taarifa ya fedha inayomalizikia Desemba 31, 2015. Bodi inaamini kwamba mifumo yote ya
ndani ya benki ni salama.

UTAWALA WA BENKI
Bodi inabeba jukumu kubwa la usimamizi wa benki, likiwemo jukumu la kutambua maeneo hatarishi,
kufikiria na kusimamia maamuzi ya uwekezaji, kufikiria mambo ya fedha na kuangalia utendaji wa
Menejimenti kuhusu mipango na bajeti.

5.18 HALI YA UKWASI
Bodi inathibitisha kwamba taratibu muhimu za kihasibu zimezingatiwa na kwamba taarifa za fedha
zimetayarishwa kwa umahiri mkubwa.Bodi ya Wakurugenzi inatumaini kwamba benki ina vyanzo vya
kutosha kuiwezesha kuendesha shughuli zake kwa siku zijazo.
5.19 USTAWI WA WAFANYAKAZI
Uhusiano kati ya wafanyakazi na menejimenti umeendelea kuwa mzuri.Morali ya wafanyakazi ni kubwa
na hakuna malalamiko yoyote ya msingi yaliyoripotiwa kwenye Bodi.
Benki ni mwajiri mzuri. Inatoa nafasi za ajira kwa waombaji wenye sifa zinazotakiwa kwa nafasi

MIAMALA NA WANAOHUSIANA NA BENKI
Biashara zote zilizofanywa na watu wa karibu na wenye mahusiano ya karibu na benki zimeonyeshwa
kwenye kielelezo namba 31 kwenye taarifa ya fedha. Biashara hizo zilifanyika katika misingi thabiti ya
kibiashara.

Benki imeendelea kuwa na uhusiano mzuri na wadau na vyombo vya usimamizi.
5.23 UWAJIBIKAJI WA BENKI KWENYE JAMII
Benki ilishiriki kikamilifu katika shughuli za kijamii.Katika kipindi cha mwaka 2015 benki ilishiriki
kuhudhuria na kutoa michango mbalimbali. Benki inagusa hisia za jamii inaposhiriki katika huduma za
kijamii kama vile kutoa msaada wa vitu mbalimbali kwa watu wenye ulemavu wa ngozi chini ya mwavuli
wa “Under The Same Sun”.Ugawaji wa madawati kwa shule ya Msingi Mkuranga na kuwasaidia watu
wasiojiweza, wanafunzi wa Mtoni Deaconic Centre.
5.24 MKAGUZI HURU WA HESABU ZA BENKI
Kampuni ya INNOVEX, ilipewa kazi ya kuwa mkaguzi huru wa hesabu za benki kwa mwaka ulioishia
Desemba 31, 2015. Kampuni hiyo imeeleza dhamira yake ya kuendelea kuihudumia benki na wako
tayari kuteuliwa tena.Pendekezo la kuteuliwa tena kwa wakaguzi wa benki kwa mwaka unaoishia
desemba 31, 2016 litawasilishwa kwenye Mkutano Mkuu huu.

8.0 UJIRA KWA WAJUMBE WA BODI
Katika kipindi cha mwaka 2015, benki ilipata mafanikio makubwa katika utendaji wake kwa kupata faida ya
shilingi.177.79milioniikilinganishwa na hasara ya Tshs. 281.20 milioni ya mwaka uliopita.Zaidi ya hayo, rasilimali
za benki zimeongezeka kufikia Tshs. 54.9 bilioniikilinganishwa na bajeti ya Tsh. 34.7 bilioni. Mafanikio hayo
yanaonyesha kwamba benki inaendelea kukua.Kwa kuzingatia utendaji wabenki, Bodi inapendekeza kwamba
malipo ya mwaka ya Wakurugenzi ibaki shilingi 1.5 million baada ya kodi kwa Mwenyekiti na shilingi. 1.0milioni
baada ya kodi kwa Wakurugenzi wengine.Posho za vikao zinapendekezwa kuwa shilingi. 650,000 baada ya kodi
kutoka shilingi 550,000 kwa Mwenyekiti na shilingi. 600,000 baada ya kodi kwa Wakurugenzi wengine kutoka
shilingi 500,000 baada ya kodi.
