at the highest level. We are the founders of numerous magazines and
websites that include Pinnacle, Farm and Ranch, Residence International,
Classic Properties International, American Luxury Estates, Fine Property
International, and many more well-known media brands. Other
international brands include European Luxury Group, Caribbean Luxury
Collection, and Roatán Magazine.
We are the first to reach beyond traditional referral services that limit
themselves to broker-to-broker introductions and go straight to sources
that walk with the wealthy on a daily basis. We introduce our brokers and
our media to hedge fund managers, celebrities, sport and talent agents,
private jet brokers, and many other industries whose wealthy clientele
demand a team approach when marketing extraordinary properties. Our
exclusive brokers are, very simply, the best in their respective regions. Each
is selected after careful review and only approached after nomination and
board approval.
We hope this booklet helps you understand how RPLG functions with its
affiliate brokers as a third party marketing arm that reaches far beyond its
media to connect wealthy buyers and sellers.

For over 30 years, the principals and staff members of Real
Property Luxury Group (RPLG) have become associated with
the most successful real estate brokers in the world. These
friendships began with the creation of numerous magazine
titles and corresponding websites, including Pinnacle, Open
Country International, Residence, American Luxury Estates
and Classic Properties International. RPLG is a brokerage,
marketing and referral entity that uses multiple media titles and
websites to capture the attention of very wealthy buyers and
sellers. Membership is exclusive.
Growth and Customer Diversification
Strategy
RPLG has assembled a diverse set of clients who represent key luxury properties in targeted regions in the US
and internationally. No one client contributes more than 3% to the Company’s total revenue. Every client
receives regional exclusivity with RPLG. Therefore, should an agreement terminate within any given market,
there are built-in customer redundancies in the form of the former client’s competition, who have seen the
marketing advantages that RPLG membership brings to the table. Regional exclusivity also incentivizes RPLG’s
current members to continue using the Company’s services year after year so that their competitors cannot
usurp the benefits of a relationship with RPLG.

members, RPLG does not hesitate to partner
with brokers involved in other membership
programs or affiliate groups. Many of RPLG’s
members are affiliated with Luxury Portfolio,
Sotheby’s, Christie’s and other well-known and
respected luxury organizations. Partnering with
RPLG not only proves complementary and
beneficial, it also provides a conduit to mutually
beneficial relationships between RPLG and
Christie’s or Sotheby’s partners in other regions.

RPLG has identified

Growth through Expansion of Membership RPLG has identified over 100 regional
brokerage leaders to be targeted as new members in the next phase of its expansion alone. Luxury
properties represented by these potential broker affiliates combined with existing RPLG broker
relationships exceed $50 billion in luxury property aggregate value. Based on the successful
development to date of a diverse and robust portfolio of broker affiliates, RPLG expects to effect
rapid expansion, acquiring a significant number of clients from these target leaders within the next
twelve months. The Company will also benefit from the fact that its consulting partner is heavily
entrenched on a national level and will be able to assist in the sale of many of the new territories.
RPLG further expects to benefit by strengthening its relationships with existing brokers as they
convert to broker-investors because, as investors, these brokers will be highly incentivized to
recommend RPLG to their affiliates in other regions, thus growing the RPLG brand.
The map below illustrates RPLG’s targeted regions, color-coded based on the total property value
in the portfolios of brokers RPLG has identified in those regions. Nearly every state has multiple
target regions, and in every region RPLG has identified a target brokerage and several other
potential partners.

Growth through Third-Party Referrals RPLG has developed an unrivaled third-party
referral network that generates a significant number of annual leads. As detailed in the Third-Party
Referrals section of this memorandum, RPLG receives referrals of potential buyers and
sellers of luxury properties from its network of referrers strategically selected for their high level of
exposure to high-net-worth individuals. Historically, RPLG has enjoyed significant growth in
both the number of referring entities and referrals received per year, and anticipates driving
considerable revenue growth with the closure of sales on referral properties. Management believes the
Company is well positioned to create a powerful network of high-end referral sources that, like RPLG
members, value access to high-net-worth individuals. Management expects that through these
partnerships, both RPLG and the referring entities will generate significant revenue, as the referring
entities introduce their clients to RPLG, and RPLG introduces its members’ clients to the referring
entities.
Growth through Pay-When-Sold Similar to the third-party referral programs, RPLG has
developed an innovative service to grow listings for itself and for its member brokers. As detailed
in the Pay-When-Sold section of this memorandum, RPLG has developed a suite of services for
properties that require a revitalization of marketing materials to pique interest in the market. RPLG
provides marketing services at no charge throughout the duration of the marketing agreement,
in exchange for a percentage of the broker’s fee upon the successful sale of the property. The
Company has discovered significant interest for this service among its existing brokers, and
expects it to be a significant driver of revenues as properties close. This optional service will have
a profound impact on the ability of an RPLG broker to win the listing initially or extend the listing
during late stage retention discussions and presentations.
Growth through Launch of Additional Magazines Due to the success of its existing titles,
American Luxury Estates and Classic Properties International, RPLG has set the launch of two
more titles showcasing luxury properties within the next 12-24 months. These new magazines and
websites will target different luxury markets from the Company’s existing titles and will enable
application of RPLG’s already successful business model in new regions as well as provide
opportunities for additional exposure to eligible affiliated brokers in those new regions.

Membership Once accepted into RPLG, the Company’s brokerage affiliates enjoy
access to an extensive suite of marketing, consulting and technology solutions.
Membership automatically includes representation in RPLG’s print magazines,
digital magazines and websites, as well as the opportunity to benefit from
additional advertising, custom covers and Pay-When-Sold marketing. Membership
is always regionally exclusive, allowing each broker affiliate to set itself apart from
the competition with RPLG’s superior marketing products and services.
Exclusivity Becoming a broker affiliate with RPLG grants regional exclusivity,
ensuring that the brokers are supplied with a set of marketing materials and
services vastly superior to what is available to the competition in that region. RPLG
member brokers enter listing presentations with the confidence that they can
present a level of cachet and professionalism unrivaled by other firms, enabling
them to secure more high-profile clients and establish themselves as the most
prestigious choice for luxury properties in their region. Furthermore, the member’s
regional exclusivity extends to RPLG’s referral network and to featured pages
on RPLG’s suite of websites. Whenever an interested buyer searches through
one of RPLG’s top-ranked luxury home sites in a broker’s region, they see only
properties from RPLG’s regional broker affiliate, thus cutting out the competition
at the beginning of the search.
Market exclusivity is a major benefit to a brokerage and its agents. Whether the exclusivity is
within a luxury brand, a referral service, on a website or in a magazine, offering products and
services to sellers that competitors cannot use is powerful and persuasive. If the luxury brand
is relevant, the websites well-visited and user-friendly and the magazines well distributed, the
broker has a marked advantage in listing presentations. Many luxury real estate brands refer
to themselves as “exclusive” but still offer their services to competing brokerage companies.
These brands may well be beneficial and relevant but if their services can be replicated by a
competing brokerage, their value in listing presentations is diluted. Moreover, response and
referrals generated through exclusively held marketing and referral brands is inarguable. Sellers
who thoroughly understand the exclusive brand and the relevance of its sub-brands will strongly
consider the owner of the brand when listing their property for sale.

Affordability The RPLG exclusive broker agreement is very affordable and far less
expensive than other recognized luxury real estate brands that offer no or limited exclusivity,
usually provide a single website, or emphasize the storied name of the brand over its
proactive marketing. RPLG brokers do not require co-branding, are offered 100% regional
exclusivity, multiple media titles and websites, and highly innovative referral and pay-when-sold
media campaigns. It is management’s belief that RPLG’s affordability will enable any company to
co-brand with existing affiliations effectively and affordably.
Magazines RPLG owns and publishes well-known industry magazines showcasing the finest

For decades, brokers have provided each other introductions to buyers and sellers in exchange for
referral fees. Referring brokers typically elect to make these introductions in order to tap into another broker’s
geographical or logistical infrastructure, receiving 20% of the brokers’ fees when the property sells. Rapid
growth and geographic expansion over the last 30 years has fostered the rise of major referral agencies that
help facilitate introductions on all levels (broker to broker; broker to seller; broker to buyer). These referral
agencies operate on a vast scale and take a considerable portion of the referral fees.Third-Party Lead
Generators
RPLG adds a new a new twist to the referral process, especially as it relates to sellers. RPLG has fostered
numerous relationships with referral sources selected for their access to wealthy individuals. RPLG defines these
relationships as “third-party lead generators” (“TPLG” or “lead generators”). Lead generators choose RPLG
as a partner because they understand that RPLG will market and service the seller’s property throughout the
duration of the list period while RPLG’s broker affiliate shepherds the property to a successful sale. Moreover,
the lead generator understands that the seller pays approximately the same fee that a competing broker
would charge, but benefits from RPLG’s additional marketing resources, increasing the property’s exposure
and likelihood of sale. Furthermore, RPLG compensates licensed third-party lead generators with a portion of
RPLG’s referral fee upon the successful sale of the property.
REFERRAL NETWORk
RPLG has cemented referral relationships with 18 entities that have collectively delivered 42
introductions to sellers, buyers or both, creating overall value exceeding $300 million in active agreements,
with an additional $200 million pending. These leads include residential properties and developments valued
from $2 million to $200 million and buyer interest between $1 million and $20 million. Single-family residential
properties average $8 million each and range from $2 million to $45 million each. Property and seller
referrals are primarily residential and residential developments, but over $50 million in commercial buildings are
currently being analyzed for marketing.

industries that maintain high-touch or advisory relationships with high-net-worth clientele, including the

Though RPLG generates referrals from many sources, the Company passes these referrals on
exclusively to its broker affiliates in the seller’s region. As part of its seller referral service, RPLG
publishes pages showcasing the referred seller’s property in RPLG’s magazines and digital
products free-of-charge for the duration of the referral agreement.
In exchange for its referral and marketing support, upon the successful sale of a referral
property RPLG is compensated with a portion of the broker’s fee earned by the broker affiliate

In addition to maintaining its existing referral network, RPLG continuously develops pilot
campaigns to probe untapped markets and maximize the number of buyer and seller
referrals available to its membership. In these campaigns, RPLG features member properties in its

anticipates that once the program has matured, approximately 30% of PWS and referral properties will be
successfully sold.
pay-when-sold marketing
For economic reasons, most luxury properties enjoy a launch marketing campaign initially then a taperingoff
effect over the next few months. By nature, brokers like to believe their marketing plan will be effective for their
sellers but often, after some period, marketing budgets dry up and usually list price is blamed for lack of buyer
interest. RPLG’s Pay-When-Sold (“PWS”) program allows client properties to benefit from additional exposure,
assisting the member broker in executing the sale with zero financial risk until the property sells.
The PWS option offers the same marketing commitment when sellers are referred. The RPLG property marketing
commitment includes aggressive use of full page advertising in RPLG printed and digital magazines, special
placement on RPLG websites, broad and direct exposure to all RPLG affiliates in logical feeder market locales,
and face-to-face communication with the seller, when requested. This service allows RPLG members to expand
their revenue generation using existing leads and demonstrate continued marketing exposure to their clients,
at no financial risk to their clients or themselves.

In order to ensure up-to-date status reports of properties in RPLG’s Referral
Portfolio, the Company has developed a three-pronged strategy.

Referral Agreements RPLG’s Referral and Pay-When-Sold agreements provide
protection for the Company and its member brokers, as well as outlining the
marketing services RPLG provides for the luxury property free-of-charge
throughout the marketing period.
INformation Technology RPLG’s tracking software provides weekly updates
to confirm the status of any properties in its Referral and Pay-When-Sold portfolio,
ensuring that the Company is informed about the current needs of the property
and alerted when a sale has been executed.
RPLG Liaison Both in order to assess the property and to assist RPLG’s
member broker in articulating the risk-free advantages of RPLG’s
marketing plan, an experienced broker associated with RPLG will meet with the
member broker and the client to allay any concerns and ensure that the
property is marketed as effectively as possible. As referrals and interest in utilizing
the Pay-When-Sold model increase, it will become vitally important for RPLG to
provide geographically placed RPLG liaisons assigned to each property and
seller. These individuals will be licensed, have excellent communication skills
and be fully knowledgeable of all aspects of the RPLG marketing commitment
and other services. The RPLG Liaisons will travel immediately at the request of
RPLG members to assist in the initial listing presentations as well as listing retention
presentations. These individuals will not be full time employees; the affiliate
broker will pay their expenses plus day-rate and RPLG will share a portion of its
referral fee when properties close. RPLG anticipates designating 6 to 8
strategically located liaisons to best serve its member brokers.
RPLG Liaison duties will include:
• Explanation of the RPLG mission statement and marketing plan to seller
during listing presentations and listing retention presentations
• Introduction of seller/buyer to member broker when lead is generated
from third party
• Introduction of broker to broker when relevant
• Sourcing third-party lead generators
• Conducting agent presentations
• Tracking the status of RPLG referrals

largest coral reef — some 160 miles long — off the beautiful shores of the
nation’s most southernmost city. Key West is closer to Cuba than it is to
Miami! So many endangered birds can be found here, the whole island
has been officially declared a bird sanctuary. It’s also home to three Civil
War forts.

Conchs like to tell visitors that happy hour in Key West begins at 9 a.m.
Probably true since Key West has more bars per capita than any other
place in the country. Lest that rocks your boat, know too more churches
too per capita are found here than any other place in the country.
“Conchs” are Key West residents. (Note: it’s “in” Key West. Not “on”
Key West.) “Saltwater Conchs” were born in Key West. “Freshwater
Conchs” are longtime-but-nonnative residents. Originally a “Conch”
was a European- ancestry immigrant from the Bahamas. When a baby
was born, these folks traditionally put a conch shell on a pole in front
of their houses.
And those seven-toed “polydactyl” cats? They’re descendents of the
40 famous cats living (and well protected) at the (Ernest) Hemmingway
House. Some have six toes. It’s said here is where Hemmingway wrote (or
worked on) “A Farewell to Arms,” “Death in the Afternoon,” “For Whom
the Bell Tolls,” “The Snows of Kilimanjaro,” and “The Short Happy Life of
Francis Macomber.” Depression-era Key West is the setting for “To Have
and Have Not.” Fellow author Tennessee Williams started “A Streetcar
Named Desire” here and his “The Rose Tattoo” film version was shot here.
Key West’s magnificent scenery lured many movie film crews to the
island to shoot, among others, “Operation Petticoat,“ “The Rose Tattoo,
“ “Reap the Wild Wind,“ “PT 109,“ “Beneath the 12 Mile Reef,“ “License
to Kill“ and “Running Scared.
A major destination for cruise ships and an important Naval training site,
Key West served as President Harry S. Truman’s “Winter White House.”

The original name, still heard today, was Cayo Hueso, pronounced “kajo
weso” or “bone key.” For decades the island was used as a graveyard;
bones could be found everywhere. History is vague, but island ownership
changed hands many times, then became part of the United States.
It has long been known as the “Gibraltar of the West” (because of its
strategic location on the Straits of Florida, a deep shipping lane between
the Atlantic Ocean and the Gulf of Mexico.

The City of Key West’s four main founding fathers — John Simonton,
Pardon C. Greene, John Whitehead and John W.C. Fleeming — were
immortalized in naming the island’s main arteries. Duval Street was
named after Florida’s first territorial governor.

From the very beginning, Carmel lured artists, so aptly described by Jack
London in his “The Valley of the Moon.” Swishing their brushes around
were Mary Austin, Armin Hansen, George Sterling, and Clark Ashton
Smith, to name just a few. Theater flourished, as did other venues and
soon the roster of internationally recognized names spread across the
arts. The poet George Sterling is credited with establishing the town’s
literary base. Poet Robinson Jeffer’s Tor House, on a windswept barren
seaside promontory is open to the public. Today Carmel’s Art, Bach and
Shakespeare Festivals draw international audiences annually.
At one point Key West even briefly declared its independence as the
Conch Republic, after a U.S. Border Patrol blockade to search for illegal
immigrants created monster traffic jams and seriously impaired Key
West’s lucrative tourist trade. The independent spell didn’t last long, but
“Conch Republic” can still be found immortalized on souvenirs. A Conch
Republic Independence Celebration is celebrated annually on April 23.

hen Southern Living magazine declares you the “Tastiest Town in
the South,” that’s the ultimate tribute to your cuisine! But that’s
not the only accolade Charlottesville has garnered. It has also
been touted as:
From the 6th Century on (it’s believed), ancient folks were drawn to this
area, with the Spanish arriving in the mid-15th Century. They named
this paradise after Our Lady of Mount Carmel. Mission Carmel actually
contained the state’s first library and its founder, Father Serra, is called the
“Father of California.” It passed into the hands of a French businessman
who set up a brickworks and bakery. A dispute with another area called
Carmel led to the addition of “by-the-Sea.”

Today all is peaceful, so peaceful, in fact, Toronto is considered one of
the safest major cities in North America. One of the world’s major tourist
draws, Toronto boasts one of the world’s largest Zoos and the only real,
full-sized castle in North America (Casa Loma).

2. Exclusivity Becoming a broker affiliate with RPLG grants regional exclusivity, ensuring that the brokers are supplied with a
set of marketing materials and services vastly superior to what is available to the competition in that region. RPLG member
brokers enter listing presentations with the confidence that they can present a level of cachet and professionalism unrivaled
by other firms, enabling them to secure more high-profile clients and establish themselves as the most prestigious choice for
luxury properties in their region. Furthermore, the member’s regional exclusivity extends to RPLG’s referral network and to
featured pages on RPLG’s suite of websites. Whenever an interested buyer searches through one of RPLG’s top-ranked luxury
home sites in a broker’s region, they see only properties from RPLG’s regional broker affiliate, thus cutting out the competition
at the beginning of the search.
Market exclusivity is a major benefit to a brokerage and its agents. Whether the exclusivity is within a luxury brand, a referral
service, on a website or in a magazine, offering products and services to sellers that competitors cannot use is powerful and
persuasive. If the luxury brand is relevant, the websites well-visited and user-friendly and the magazines well distributed, the
broker has a marked advantage in listing presentations. Many luxury real estate brands refer to themselves as “exclusive” but still
offer their services to competing brokerage companies. These brands may well be beneficial and relevant but if their services
can be replicated by a competing brokerage, their value in listing presentations is diluted. Moreover, response and referrals
generated through exclusively held marketing and referral brands is inarguable. Sellers who thoroughly understand the exclusive
brand and the relevance of its sub-brands will strongly consider the owner of the brand when listing their property for sale.
3. Affordability The RPLG exclusive broker agreement is very affordable and far less expensive than other recognized luxury
real estate brands that offer no or limited exclusivity, usually provide a single website, or emphasize the storied name of the
brand over its proactive marketing. RPLG brokers do not require co-branding, are offered 100% regional exclusivity, multiple
media titles and websites, and highly innovative referral and pay-when-sold media campaigns. It is management’s belief that

A membership organization comprised of the most prominent and reputable luxury real
estate brokers, RPLG is the culmination of over thirty years of real estate publishing experience.
As an entity co-owned by a core group of highly-respected Realtors, a marketing plan was
implemented that combines unique membership opportunities with innovative distribution
methods. Memberships defined by exclusive territories were offered to Realtors to promote their
finest properties in a luxury publication. To ensure market saturation, distribution channels for
the magazine were planned utilizing direct mail, newsstand display and Internet presence. For
their respective market area, each member contributes a list of qualified individuals to whom
the magazine is mailed. The organization’s management team carefully selects placement of
the magazine in domestic and international bookstore and newsstand locations frequented by
high net-worth individuals. Internet visibility is accomplished by placing a digital version of each
issue on the magazine’s website and broadcasting the digital issues to hundreds of thousands
of demographically superior email addresses worldwide.

For each edition, members provide the organization’s management team with mailing lists from their private
client database within their exclusive market areas. These lists range in size from 250 names and addresses
to over 3,000, depending on a member’s market region and level of membership. By design, this distribution
strategy is superior to other list procurement methods. Members possess an in-depth knowledge of the most
affluent individuals and the most important neighborhoods within their exclusive territories, thus ensuring the
quality of each address provided.

Magazines are displayed on high-end newsstands throughout the United States. It can be found in such
fine shops and bookstores as Barnes & Noble, Books-A-Million, Borders and Hastings. It also is available on
select overseas newsstands in Europe, Asia, South America and the Caribbean. Availability of the magazine is
dependent upon the practices of the distributors and wholesalers who manage the shipping and stocking for
the bookstores and newsstands. While the magazine is available in all of the stores mentioned, not all branches
will have it in stock, as RPLG’s newsstand distribution strategy relies on targeted distribution into locations that
cater to the affluent consumer. This strategy limits the largely ineffective mass distribution into the numerous
grocery venues, while effectively reaching those individuals capable of purchasing the premium real estate
offered by the membership.

George Lane
Chairman
Mr. Lane has been involved in luxury real estate brokerage and publishing since the early 1980s.
His first venture was Broker’s Choice, a magazine promoting real estate brokers’ listings to the
general public in Portland, Oregon. After moving back to his native Texas to start a similar venture,
he created Pinnacle, a high-quality magazine displaying each market area’s luxury real estate
and distributed to a select readership in the finest neighborhoods. Published in 23 regions across
the United States, Pinnacle soon became a household name with respect to marketing luxury
properties. In the early 1990s, Mr. Lane created Texas Farm & Ranch, a newsstand magazine
devoted to marketing exceptional farm and ranch properties. Mr. Lane grew Farm & Ranch
into a suite of five regional magazines throughout the United States. In 2003, he created the
international publication, Residence International, an entity coowned by its brokerage affiliates
and widely distributed throughout the world.
Real Property Luxury Group represents the culmination of 30 years of understanding the needs
of brokers, sellers and buyers. RPLG is a fully licensed brokerage, media and referral entity that
leverages its holdings and worldwide brokerage relationships to help bring buyers and sellers

Mr. Hodgdon brings over twenty years of marketing and advertising experience to his job. He

the last decade, and served as Vice President and Marketing Director for Regency Publishing
Group. Bob has an extensive network of national contacts and is well known by the top real
estate professionals throughout the country.

Ms. Tidwell has over 15 years of experience in the print advertising and publishing industry. She joined Regency
Publishing Group in 1994 as a production assistant and was promoted three times within her own department
as she learned all phases of the magazine production process. Ultimately, a new department was formed
to ensure the accuracy of all publications with Shay as Quality Assurance Manager. In this role, Shay was
responsible for the look of the finished product and to see that the published magazines were error-free.
She is known for her meticulous attention to detail and her commitment to customer service. Shay is excited
about the potential of Real Property Luxury Group and the solutions it brings to Realtors and their prospective
buyers and sellers. She looks forward to applying her customer service and quality assurance experience to help

Roxanne Patterson
Design Director
Ms. Patterson is an accomplished designer with an unique balance of creative and technical expertise,
coupled with a strong background in digital and print advertising, layout design and photo manipulation
within the print, web, real estate and photography industries. For over 10 years, she has helped clients develop
corporate and brand identities, as well as enhance market positioning. A graduate of The Art Institute of

Efren Garcia
Accountant
Mr. Garcia has more than 20 years of accounting experience. For 10 of those years, he worked for such
international companies as Carnation and Gillette in Mexico City. In 1999, he began performing accounting
work for the company that would eventually become Regency Publishing Group, handling such publications
as Pinnacle and Farm & Ranch. Four years later, he was named Controller for Regency and was in charge of
inter-company accounting for four entities, eventually adding Human Resources responsibilities to his duties.
His broad background in the accounting and publishing fields makes him well qualified to coordinate the
accounting procedures for Real Property Luxury Group. Efren is bilingual in English and Spanish.
Bonnie McFerren
Administrative Assistant
Ms. McFerren has been a valuable member of this publishing team for 14 years. First joining them at Regency
Publishing Group, she was a vital link in the customer liaison and accounting sectors for the Pinnacle, Farm
& Ranch and Residence International titles. Prior to entering into what she calls “the exciting and creative
atmosphere generated by George Lane and Dick Lewis, no matter what project they are involved in,”
she worked in medical, legal and entertainment industry settings. Bonnie maintains that she uses all three
experiences in her current job, where her talents ensure that things run smoothly behind the scenes for the Real
Property Luxury Group staff and clients.
