Moreover, 18 months ago the Information Systems Division
began a reorganization through the merger of several
companies, which at that time individually lacked the critical
mass necessary to ensure their futures on their own. One side
effect of this reorganization was temporarily to reduce our
performance. It is the price we have to pay to achieve our
current size, the 7th largest IT services company in France.

How would you sum up 2000?
In 2000, the company’s activity slumped. The Telecom Division
suffered heavy losses during the financial year due to a combination of unfavorable factors, mainly delay in the rollout of
new products, plus short supply and price hikes for components.
In addition, R&D expenditures remained at a high level.
This situation exacerbated a decline in the group’s cash flow.
As for the Telecom Division’s divestment, an abrupt downturn in the telecoms marketplace, starting in September 2000,
particularly perturbed the process. In the wake of this aggravation, no agreement could have been reached, and CS
Telecom and CS Electronics, the division’s logistical and
manufacturing arms, went into receivership May 2, 2001.

profit during 2001
As of the second half in 2000, we implemented an action
plan (called “Booster”) to gain in productivity and ensure
our progress. Our ambition is to pursue this course, intensifying this program so that we return to profitability during
the financial year 2001.
The favorable trend in our business, observed during the 3rd
quarter and confirmed in the 4th quarter of 2000, the increase
of our workforce, and the advance in the uptake of new
orders, all indicate that we can look forward favorably to
2001.

What is the mission of CS?
The CS mission is to provide its customers with secure,
cutting-edge IT systems that enable innovative communication and information solutions. Our strengths are our
capacity as a prime contractor for large, complex projects,
our capacity as a solutions architect for the convergence of
communication and information systems, and above all
the complementary nature of our skills in integration,
facilities management and engineering. This positioning
fully reflects our competitive difference in the marketplace.
In terms of critical applications, we work closely with
customers for design and implementation in the areas of
Aeronautics and Space (critical real-time avionics, simulators,
air traffic management, maintenance, earth observation,
and more), C4I (Command, Control, Communications,
Computing, Intelligence), and Highway Management (toll
systems). Market leader in these sectors, we are entering a
phase of active globalization and participate in large,
international programs.
Over the year, we consolidated our offerings in e-Solutions
(Web business, CRM and workflow management) into
our “Front Line” service suite. This is coherent with our
positioning as an architect of complex infrastructures for
distributed applications. This complete offering empowers
customers to optimize their back- and front-office systems.
From consulting to integration through security policy to
change management, we make sense out of new technology.
As an established network integrator, we continue to develop
value-added offerings for the integration of advanced
communication services. Specialists in voice-data-image
convergence, CS proposes novel IP solutions for services,
such as videoconferencing, videosurveillance, unified
messaging, and even integration of IT and telephony.
Moreover, CS has pioneered for several years in Europe
and invested in a range of innovative security tools (PKI,
cryptography, and digital signatures). This investment led
us to create a new subsidiary, Trustycom, which is set to
take off in 2001.
The strength of CS is above all its global solutions, up to
ultimate responsibility with a guarantee of results,
through facilities management. We have defined for this
activity a differentiation positioning around end-to-end
system administration that enables us to accompany our
customers in the management and evolution of their data
processing resources.

A new mode of management
At my request and in order to adapt the mode of management of our group to its service business, the Board of
Directors will put to a vote by the General Meeting of
June 29, 2001, a proposal to modify the management
structure of the group. This will transform the company
into a company with a Supervisory Board and a Managing
Board of Directors. Under these conditions, and depending on the prior approval of the General Meeting, I will
become Chairman of the Supervisory Board. The
Managing Board, contingent on their nomination by the
Supervisory Board, will consist of François Leraillez,
President, and Eric Blanc-Garin, Vice President.

The results for the financial year translate the effects of the
group’s divestment of its manufacturing activities (sale of
CS Security, and placing CS Telecom and CS Electronics
into receivership), to focus on its IT services business.
Consolidated group sales for the financial year 2000
amounted to FRF 3.336 billion (-6% over 1999). This was
in part the result of a sharp drop in sales for the Telecom
Division. Sales for the Information Systems Division,
at FRF 2.302 billion, reached a level roughly equivalent
to that for 1999. Business in France progressed 5 percent.
Taking into account financial income of FRF 79 million,
the current loss amounted to FRF -353 million.
The extraordinary loss of FRF -397 million, integrates an
accounting effect of FRF -293 million (provisions for
depreciation of assets and risks) consecutive to placing
CS Telecom and CS Electronics into receivership.
The group’s share of the net loss, after goodwill, translates
into a loss of FRF -702 million.
Current cash flow is negative at FRF -338 million.
The result from operations was a loss of FRF 432 million,
that is FRF -215 million for the Telecom Division,
FRF -12 million for the Security Division, and FRF -158
million for the Information Systems Division.

DGAC (Direction Générale de l’Aviation Civile, or general directorate for civil aviation) is one of the large technical
administrations at the Ministry of Equipment, Transport and Housing. As part of its major project for setting up
offices in Paris, the DP department of DGAC decided to rebuild all layers of its information system. These important
task, which reflect the French government's plans to modernize the information systems of its public services,
aim to deploy a new network architecture, secured and administered using ATM, in replacement of the existing
system.
CS has proposed an architecture that relies on an innovative ATM backbone network, composed of some
20 Nortel switches, with a distribution ratio of 10:100.
The principal characteristics of this architecture are redundancy and very high fault tolerance. In conformance
with job specifications, this architecture ensures that any fault cannot impact more than 100 workstations at a
time. In brief, it must enable extremely high Quality of Service (QoS).
Besides operational stability, the new LAN network also allows for deployment of new tools (messaging, X-Net
applications, videoconferencing, etc.) over a short ramp-up period. More generally, it now permits DGAC to ensure

regularity and speed over 26 kilometers of public transportation.
To inform customers about traffic conditions, CS deployed a traveler
information system (SIV, in French) across the TEOR network. This
infrastructure implements a 155 Mbit/s switched ATM network. Besides
traffic data, shown on displays in stations (waiting time between two
vehicles, etc.), the network will carry information relative to ticketing
