Barco's Nightingales Foundation spotlights an amazing nurse, Tina Cerruti. Her desire to become a nurse began in high
school as a volunteer at a local community hospital as an inpatient nurse's helper. She discovered the tremendous
rewards in providing care and comfort to people. During her 30-year career as an RN, she has worked in medical and
surgical intensive care as well as cardiac care, and has been active in advancing the role of nurses through various
medical networks and through her involvement with the California Nurses Association. She is committed to bringing
greater public awareness to the concept of patient’s rights and to recognition of the nurse’s role as a patient advocate.
Her work with ReSurge began over 14 years ago as an international surgical team volunteer. She spends two to four
weeks each year helping to provide reconstructive surgery and medical care to underprivileged children and adults in
developing countries. Tina also teaches nursing students in Nepal, Myanmar and Ecuador.
With the amazing amount of time she spends being a nurse and volunteer nurse, she finds the time to travel with
friends, restore vintage houses, tap dance, garden and spend time with her grandchildren.
In October 2014, Tina was presented with the Barco’s Nightingales Outstanding Nurse Award. This is given to a volunteer
nurse who goes above and beyond to help in the healthcare of others.

DOING BUSINESS WITH BARCO UNIFORMS A Partner’s Guide for Specialty Retail By providing professional apparel that perfectly fits both the person and the place, Barco uplifts the individual and elevates the work environment. The following guide outlines Barco Uniforms’ policies to help you get started and to make all of your transactions with us go smoothly. We do this so you can focus on YOUR business. Your Barco Representative will always be available to answer any questions you may have. Opening a New Account To set up a new account with Barco Uniforms’, we require a completed Agreement to Provide Credit and Sell Merchandise, which you will receive from a Barco Uniforms Representative. Please fill out completely, sign and return via fax to 1-‐866-‐527-‐7029 or [email protected]. You must include a copy of your Sellers Permit or Resale License for each of the states where your product is shipped. Our credit department cannot process your application without the proper paperwork and opening order. Payments The standard payment terms are Net 30 days on approved credit. All past due accounts are subject to a 1.5% service charge on past due balances. We accept funds in USD and CAD via wire transfer, check, website payment or credit card payment. Barco Uniforms accepts Master Card, Visa, American Express and Discover. Upon approval, you will be advised of your account number, credit terms and credit limit. All transactions with Barco Uniforms will require your account number. Ordering and Delivery • Order toll-‐free at 800-‐421-‐1874 or FAX toll-‐free to 866-‐582-‐2726 • Electronic ordering is available – please contact our Customer Service department for a login and password • Our Customer Service Representatives are available Monday-‐Friday, 7am to 4:30pm Pacific Time • All orders will ship via UPS Ground, unless otherwise specified Returns All returns must have prior Return Authorization from Barco Uniforms’. When requesting a Return Authorization (RA#) you must have your account number and original order number or invoice number. To expedite the process, it is recommended that you FAX your itemized list (including style numbers, sizes and quantities) to Customer Service at 1-‐866-‐582-‐2726. Return Parameters: • All returns must be made within thirty (30) days of the original receipt of garments. • Returns will only be accepted on defective or damaged merchandise. • Before returning these garments, please remove any price stickers or other labels that were not included in the original shipment to you. 110

Any garments returned without hangtags and/or poly bags are subject to a $0.25 per garment charge. If hangtag AND poly bag are missing a $0.50 per garment charge will be incurred. Returns of overstock merchandise must have prior approval and will be subject to a 15% restocking charge. Special Orders and Close Out orders will not be accepted as returns unless merchandise is damaged or defective. Drop Shipments Barco Uniforms’ offers drop shipments for our retailers (continental US only) with a $3.00 per shipment service charge. Any orders that are returned directly to Barco Uniforms’ from a drop ship address are subject to a 15% restocking fee to our retailer. Retailers Responsibilities and Conditions of Sale The approved Barco Uniforms’ Retailer will make its best effort to promote and sell Barco Uniforms’ line of products. The Retailer agrees to comply with all of Barco Uniforms guidelines including, but not limited to: product sales, promotions, displays, merchandising and advertising of Barco Uniforms products. Barco Uniforms will supply the Retailer with Manufacturer’s Acceptable Prices where applicable. a. Licensed Products by Barco Uniforms. Certain products sold by Barco Uniforms bear trademarks, some of which may belong to Barco Uniforms and some of which Barco Uniforms may use only with the permission of the owners of these marks. The Retailer acknowledges and agrees that Barco Uniforms is the exclusive owner and/or licensed user of said marks. Under no circumstances shall the Retailer or any business or organization associated with the Retailer, including, but not limited to: advertising agencies, web hosting companies, web design companies or charities use any Barco Uniforms owned or licensed marks other than in connection with the solicitation of sales, distribution and advertising or promotion of Barco Uniforms’ products. b. Advertisement of Licensed Products. Advertisements for Licensed Products must have prior approval from Barco Uniforms Marketing Department. This process can take up to 2 weeks so please allow time for corrections and changes. c. Manufacturers Marketing and Advertising Policy. Barco has implemented a Marketing and Advertising Policy (“MAP Policy”) for its Retailers. All Retailers are encouraged to comply with the MAP Guidelines. Failure to follow these Transshipping Policies will constitute a breach of contract and may result in account closure. a. Not to sell Barco Uniforms’ products from any location that has not been preapproved in writing
by Barco Uniforms.
b. Not to sell, distribute market or ship any Barco Uniforms’ products to any other reseller.
c. Not to sell any Barco Uniforms’ products to any third-‐party website or auction website.
d. To obtain Barco Uniforms’ approval of Retailer’s locations, e-‐commerce websites and Retailer’s
representative serving that territory.

• All orders placed for a hospital sale will be extended 60e day terms on approved credit
• Returns up to 25% only of the original order (units) will be allowed on hospital sales without a
restocking fee.
• A Return Authorization must be requested within 30 days of the last invoice date. Refer to our

MARKETING AND ADVERTISING POLICY Barco Uniforms, Inc. (“Barco”) takes great pride in the quality, image and reputation of our brand and merchandise. Barco’s Marketing and Advertising Policy (“MAP”) reflects our sincere effort to manufacture the highest quality apparel, uniforms and accessories (collectively the “Product” or “Products”), and protect this legacy of quality for our brand within the marketplace. The MAP shall apply to all dealers, distributors and resellers (collectively the “Retailers”). Barco is issuing this MAP to reflect changing retail conditions in the uniform marketplace. The intention of Barco’s MAP is to encourage Retailers to compete fairly and effectively. We are recommending this MAP to protect Barco’s image, brand and goodwill; and your own investment in the Product, as well as preserve Barco’s position as a credible player in the uniform marketplace. As a Retailer, we request that you comply with Barco’s MAP to maintain the high standards that we set for our Products. Barco does not intend that this MAP affect, set, or otherwise restrict the actual resale price of a Product. The MAP Policy, effective April 1, 2016 is as follows: 1. The MAP applies to the current seasonal price list and all future seasonal price lists. Barco may amend its recommended price lists, as well as the MAP from time to time, should market conditions dictate. 2. The MAP applies to all advertisements, including, but not limited to, print, radio, television, and/or internet media. 3. Closeouts and discontinued merchandise are not covered under the MAP. Barco does not stipulate to any pricing or discount policy on these items. iii. Products covered by MAP should be clearly distinguished by the Retailer from those Products not covered by MAP (i.e. closeouts and discontinued Products). b. media of any type or variety, including, magazines, newsletters, newspapers, circulars, bulletins, billboards, e-‐mail marketing, websites, social media (e.g. Facebook, Google+, Instagram, Twitter, Pinterest), and other internet communications. c. Barco requests that Retailers not overstate the MAP selling prices to then discount the
product to be at MAP.

Pricing should not be reduced below MAP during shopping cart checkout.
e. On the Internet, Barco requests that Retailers not advertise the price of a Product lower
than $0.05 below the price covered by this MAP. Advertising on the Internet includes:
i.
Displaying advertised price on/in:
a. The website home page
b. Search engines
c. Email campaigns
d. Internet banner or pop-‐up ads
e. Site wide coupons
f. Within a single brand’s search results
g. The lowest level of the website’s catalog with a detailed
Product description.
4. Nothing contained in this MAP is intended to affect, set, or restrict the actual resale price for
which a Retailer may sell a Product.
5. Barco requests Retailers use best efforts to comply with this MAP. Retailers are also encouraged
to participate in any review process that Barco may develop to ensure compliance with this MAP.
Should a Retailer fail to comply with this MAP or not participate in a review process, Barco will
evaluate the non-‐compliance and work directly with that Retailer to determine how the Retailer
can comply with this MAP and any review process developed by Barco. Barco believes that
Retailers compliance with this MAP, and any review process developed by Barco, will protect
Barco’s image, brand, and goodwill, the Retailer’s investment in the Products, and preserve
Barco’s position as a credible player in the uniform marketplace.
6. Should a Retailer violate this MAP Barco may take the following action:

3 Violation: A written warning to the Retailer Place the Retailer on a 30 day shipment hold Possible closure of the Retailer’s account 7. Barco may monitor the advertised price of Retailers either directly or through the use of third
party agencies.
8. Barco has a MAP Administrator and that person shall be solely responsible for determining
whether a violation of the policy has occurred, communicating decisions to Retailers regarding
the policy and receiving any communications imposed under this MAP. BARCO SALES PERSONNEL
OR OTHER EMPLOYEES HAVE NO AUTHORITY TO MODIFY OR GRANT EXCEPTIONS TO THIS
POLICY. Therefore, all questions or comments regarding this MAP policy are to be directed to the
