In order to create a more environmental friendly bathroom fashion collection, Sealskin has decided to alter its PVC shower curtain range completely to PEVA. In
the course of 2015, most of the existing PVC shower curtains wil be changed to
PEVA material based shower curtains. PEVA is produced in a more environmental
friendly manner. For the existing items the Sealskin product reference wil remain the
same. On the PEVA shower curtain packaging, it wil be indicated that the curtain is
made of a more environmentally friendly material.
Sealskin wil haar steentje bijdragen voor een beter milieu. Om in de toekomst te zorgen
voor een milieuvriendelijker assortiment, heeft Sealskin ervoor gekozen om vanaf
heden geen nieuwe PVC gordijnen te introduceren. Hiervoor in de plaats zullen we
alleen PEVA douchegordijnen introduceren, omdat deze geproduceerd worden op
een milieuvriendelijkere wijze dan PVC. In de loop van 2015 zullen alle bestaande PVC
douchegordijnen omgezet worden naar PEVA.

General terms and conditions
Algemene leveringsvoorwaarden
Clause 1. Designation of parties
In these conditions the private company with limited liability Van Loon/Sealskin B.V. will be
referred to as: Sealskin.
The other party will be referred to as: other party.
Clause 2. Applicability of conditions
2.1
These conditions shall apply to all offers made by Sealskin and to all agreements concluded by
Sealskin with customers or clients, hereinafter referred to as the other party, concerning the
sale or provision on other grounds of goods, as well as advice, the provision of services, and
to payments to Sealskin. Deviating clauses will only be binding upon Sealskin after written
acceptance on the part of Sealskin and only for the agreement to which the acceptance
relates.
2.2
Representatives of Sealskin may not agree clauses which deviate from these conditions
without written authorisation, to be granted separately for each agreement.
2.3
Reference by the other party to its own conditions will not be accepted by Sealskin, unless
agreed in writing separately in each case.
Clause 3. Offer
3.1
Offers never comprise an offer to supply which, on acceptance, would lead to the conclusion
of an agreement, only an invitation to enter into negotiations in response to that offer.
3.2
Offers from Sealskin are always without obligation, even if these contain a period for
acceptance; under no circumstances can such a period be used to bind Sealskin for the set
period. If an offer made by Sealskin is accepted, Sealskin has the right to withdraw the offer
within two working days of receipt of the acceptance. Sealskin is only bound after written
confirmation of the order.
If offers or order confirmations are based on information, drawings and suchlike supplied by
the other party, Sealskin may assume this information to be correct.
3.3
All illustrations, advice, drawings, weight specifications, technical specifications and other
information which Sealskin may bring to the notice of the other party and which the other party
may bring to the notice of Sealskin before, during and after the offer or order confirmation,
whether or not included in prospectuses, catalogues, circulars, advertisements or price lists,
are approximate indications. Information derived from such sources is only binding if agreed
in writing.
3.4
All rights of the offers, advice, calculations, models, artistic or technical designs, specifications,
(technical and non-technical) drawings, sketches, diagrams and suchlike produced by or via
Sealskin rest with Sealskin.
3.5
Offers, advice, illustrations, drawings, calculations, diagrams, designs and other documents
provided by Sealskin, and other documents produced or published by or via Sealskin, remain
the inalienable property of Sealskin or the designer and may not be submitted to third parties
for inspection in any form, made available or used in any other way, without the permission
of Sealskin or the designer. The other party is obliged to maintain secrecy with regard to all
information derived from the aforementioned documents which have come to his attention in
connection with the agreement.
3.6
In the absence of an offer by Sealskin, an agreement will only be concluded when Sealskin
confirms the order.
Clause 4. Prices and payment
4.1
All agreements are entered into under the suspensive condition that information to be
obtained proves the creditworthiness of the other party. Sealskin is entitled to demand from
the other party at any time cash settlement, cash on delivery or security to its satisfaction for
the timely and general fulfilment of the other party’s payment and other obligations.
4.2
With orders up to € 150,00 a surcharge will be charged. With orders from € 150,00 upwards,
prices are free domicile. In case of export orders the defined in article 4.4 of these general
terms and conditions will apply.
4.3
The costs of registered parcels, cash on delivery parcels, export and transport documents
provided by Sealskin, as well as express deliveries, will be passed on by Sealskin, unless
otherwise indicated.
4.4
Prices quoted by Sealskin are based on the prices, foreign currency exchange rates and can
be augmented with import and export duties and equivalent levies, insurance rates, taxes,
labour costs, freight and forwarding costs and other similar factors, current at the time of the
quotation.
4.5
Should import or export duties, taxes or levies, equivalent or otherwise, laid down by
government, change after the date of the offer or the conclusion of the agreement, Sealskin
is entitled to change the quoted or agreed price accordingly.
4.6
Unless otherwise expressly agreed, prices quoted are exclusive of turnover tax and other
taxes.
4.7
The other party is obliged to pay Sealskin the purchase price in cash on delivery, unless
otherwise agreed.
4.8
Failure of the other party to take delivery of the goods will not affect the payment obligation of
the other party.
4.9
If orders are delivered in part deliveries by Sealskin, Sealskin is authorised to invoice per part
delivery and Sealskin is not obliged to make further deliveries until the invoices relating to
part deliveries that have already been made have been paid, notwithstanding that stipulated
in the other subsections of this clause.
4.10 If goods are sold to two or more other parties jointly, each other party is jointly and severally
responsible for the fulfilment of the obligations arising from the agreement.
4.11 If the other party fails to fulfil his obligations by the due date, he will be in default immediately
without notice of default being required. In that case the other party will be liable for all
damage suffered and still to be suffered by Sealskin.
4.12 If payment is not made on time, the other party, without warning or notice of default, is obliged
to pay interest equal to the statutory interest rate in case of a trade agreement
(article 6:119a BW), plus three percent, over the unpaid part of the capital sum.
4.13 Payments will first be debited from the costs, interest and oldest outstanding invoices.
4.14 Collection costs, both in and out of court, will be paid by the other party. Extra judicial
collection costs will be assessed at the collection rates laid down by the Netherlands Bar
Association in the “Free price indicator”.
Clause 5. Delivery time
5.1
Under no circumstances will agreed delivery times be regarded as firm dates, unless
otherwise agreed in writing. In the event of late delivery, Sealskin must therefore be put into
default in writing.
5.2
If a part of an order is ready, Sealskin can opt to deliver this part or to only deliver when the
whole order is ready, notwithstanding that stipulated in clause 5.1.
5.3
Should the other party still fail to take delivery after a warning, Sealskin can choose to either
deliver to an address and at a time to be specified by Sealskin, or dissolve the agreement or
the still unfulfilled part of the agreement, without judicial intervention and without notice of
default being required, without prejudice to Sealskin’s entitlement to damages.
5.4
If the other party has applied for bankruptcy, or if a petition for that purpose has been
submitted vis-à-vis the other party by one or more of his creditors, Sealskin is entitled to
suspend delivery and forwarding until that application or that petition is irrevocably decided.
Clause 6. Non-attributable failure (force majeure)
6.1
If, after the concluding of the agreement, Sealskin is temporarily hindered from fulfilling its
obligations due to circumstances occurring through no fault and risk of its own, Sealskin is
entitled to suspend the fulfilment of the agreement for the duration of the hindrance.
6.2
If Sealskin, due to circumstances referred to in 6.1, continues to be hindered from fulfilling its
obligations, either party is entitled to partially or wholly dissolve the agreement.
6.3
In any event the aforementioned circumstances will include war, threat of war, riot, acts of
war, fire, water damage, flood, earthquake, strike, plant occupation, lock-out, import and
export impediments, government measures, machine breakdown, breakdowns in the supply
of energy, interruption of operations and any situation whereby Sealskin is rendered unable
to deliver by its own suppliers, for whatever reason.
Clause 7. Delivery and risk transfer
7.1
The agreed terms and conditions of delivery are interpreted according to the Incoterms 2010.
7.2
The other party bears the risk of the goods ordered by him from the moment these are
delivered to him.
7.3
The goods are deemed to have been delivered to the other party when they are deposited
at the address indicated by the other party, or in accordance with the specific address
mentioned in clause 5 subsection 3, or as soon as the other party takes delivery of them at
that address.
7.4
Unless otherwise agreed Sealskin will choose the means of transport.
7.5
If Sealskin transports (part of) the goods itself or because this has been expressly agreed has them transported at its own expense and risk, the stipulations of titles 1 and 2 (transport)
of book 8 of the Netherlands Civil Code will apply to this agreement.
7.6
Damages resulting from the carrier’s failure to deliver the export documents indicated by the
other party will be charged to the other party; if necessary the other party must indemnify
Sealskin against this.
7.7
The other party is obliged to inspect the delivered goods on arrival; if the other party thinks
that the goods are damaged, the other party is obliged to make the carrier note down this
damage on the consignment note or packing list immediately, to send this consignment note
or packing list to Sealskin, also immediately, and to contact Sealskin at once to notify Sealskin
of this.
Clause 8. Complaints
8.1
The delivered goods must be checked by the other party immediately on taking delivery for
quantity and the condition of the packaging. If the other party wishes to complain with regard
to this matter he must do that with due regard to that stated below.
8.2
Complaints, irrespective of whether these relate to the deliveries made or not made by
Sealskin or to Sealskin invoices, must be submitted to Sealskin in writing, together with a

detailed description of the nature and cause of the complaint, within 14 days of the goods
being delivered to the other party or the invoice being sent. Once the period set for this has
passed, no complaint will be possible.
8.3
The other party is obliged to render every assistance in whatever Sealskin deems necessary
in order to investigate the validity of the complaint, including the inspection of deliveries by or
in the name of Sealskin.
8.4
Goods may not be returned by the other party without written permission from Sealskin.
The granting of the aforementioned permission does not imply an acknowledgement that
a complaint is justified. After obtaining permission the goods must be returned to Sealskin
undamaged - unless they were damaged when received - in the original packaging at the risk
of the other party. Sealskin will retain the returned goods at the expense and risk of the other
party.
Clause 9. Dissolution
9.1
Notwithstanding that stipulated in clause 4, the agreement will be dissolved by operation
of law, without judicial intervention and without notice of default being required, if the other
party who has not fulfilled the obligations arising from the agreement, or has not fulfilled
them completely, is declared bankrupt, petitions for a suspension of payment, or loses the
authority to dispose of his property, or a part of that, through attachment, guardianship order
or otherwise, unless the trustee in bankruptcy or administrator recognises the obligations
arising from this agreement as estate debt and furnishes security for the settlement of that.
9.2
In the event of dissolution, mutually existing claims will become due and payable immediately.
The other party will be liable for all damage suffered and still to be suffered by Sealskin.
9.3
If the other party fails to fulfil any of the obligations arising for him under the conditions of
the agreement concluded with Sealskin, or fails to do so on time or properly, or in the event
of suspension of payments, close-down or liquidation of the goods of the other party, or the
death of this other party, Sealskin is entitled to dissolve the agreement wholly or partially (and
to claim back the goods delivered by Sealskin, assuming that these have not yet been paid for)
without judicial intervention and without notice of default being required - and/or to demand
payment for the part of the agreement that has been fulfilled and/or to demand payment
in advance for any future delivery. In these cases mutually existing claims will become due
and payable immediately. The other party will be liable for all damage suffered and still to be
suffered by Sealskin.
Clause 10. Retention of title
10.1 So long as the other party has not paid the full amount of the claim of Sealskin with any
additional costs, and any claim to compensation (including interest) of Sealskin due to
attributable failure of the other party in the matter, or furnished adequate security for that,
Sealskin retains the ownership of all the delivered goods.
10.2 Sealskin likewise retains the ownership of these goods for that which the other party owes
or will owe to Sealskin by reason of earlier or later agreements under which Sealskin has
delivered or will deliver goods or services, or has carried out or will carry out work in addition
to the delivery, or by reason of a failure of the other party in the fulfilment of an agreement
such as the aforementioned, unless the other party has furnished adequate security for the
fulfilment of his obligations.
10.3 Ownership will be transferred to the other party as soon as the other party has fulfilled its
obligations vis-à-vis Sealskin as referred to in 10.1 and 10.2.
10.4 For the application of that stipulated in the first two subsections of this clause, unless
otherwise agreed in writing, any payment that could be allocated to two or more obligations
of the other party vis-à-vis Sealskin will be allocated first to the obligation to be designated
by Sealskin, for which the retention of ownership referred to in 10.1 and 10.2 does not apply.
Statements of payment, demands or suchlike sent to the other party by or in the name of
Sealskin, cannot be considered as a designation as referred to in the previous sentence,
unless Sealskin stipulates otherwise in writing.
10.5 So long as the ownership of the goods delivered by Sealskin has not yet been transferred
to the other party, the other party is obliged to insure the goods, which are the property of
Sealskin, adequately against fire and theft. The other party is obliged to submit the policy and
the proof of payment of the insurance premium to Sealskin for inspection on request.
10.6 The other party is obliged to inform Sealskin immediately by telephone of claims by third
parties on goods covered by the retention of title, and of attempts by third parties to gain
control or seize goods covered by the retention of title.
Furthermore the other party is obliged to confirm information such as the aforementioned to Sealskin
in writing immediately.
10.7 Assuming that the delivered goods have become the property of the other party in accordance
with the preceding subsection, and Sealskin has claims on the other party, Sealskin reserves
a pledge as security for the fulfilment of its obligations.
Clause 11. Resale, penalty clause and verification
11.1 So long as the delivered goods have not yet been paid for in full, the other party is not entitled
to sell the goods on, deliver them or pledge them, or transfer them to another person or make
them available to another person in any other way, under any title whatsoever, whether or not
for nothing and whether or not in use. Contrary to that stipulated in the preceding sentence,
however, the other party is entitled sell the goods on/have the goods sold on and/or deliver/
have them delivered within the framework of his normal business operations, unless Sealskin
instructs him otherwise in writing.

11.2 The other party who acts in contravention of that stipulated in the first subsection will forfeit
in favour of Sealskin a penalty for every act which falls under one of the prohibitions stated
there. The penalty is equal to twice the invoice amount. All of this without prejudice to
Sealskin’s right to compensation for the damage suffered and still to be suffered by Sealskin.
11.3 Sealskin is entitled to have the books of the other party audited by an independent accountant
in order to verify that that stipulated in clause 11.1 is being fulfilled.
Clause 12. Guarantee and liability
12.1 Sealskin guarantees the good quality of the construction and materials of its products, on
the understanding that Sealskin will solely and exclusively supply new parts free of charge to
replace any and all parts that have become defective through inadequate construction and/
or faulty materials during the term defined below. The parts to be replaced must be sent to
Sealskin carriage paid.
Defects that are the result of normal wear, faulty installation, treatment or maintenance
operations carried out contrary to the instructions provided, or that are the result of
modifications or repairs executed by any party other than Sealskin, are never covered by
Sealskin’s guarantee. Products that are used for non-consumer purposes (e.g. rental) and
non-household purposes are also excluded from Sealskin’s guarantee. The guarantee is
only valid if and insofar as the customer and/or buyer has fulfilled all its obligations towards
Sealskin.
No guarantee applies to parts, in the broadest sense, that were not supplied by Sealskin
or that were installed by parties other than the parties to whom delivery was effected. The
guarantee does not under any circumstances extend beyond the delivery, free of charge,
of new parts. Sealskin can never be held liable for any damage, whether direct, indirect or
consequential, and under whatever name, suffered by the other party. Any parts replaced by
Sealskin under its guarantee obligations will become the property of Sealskin. After expiration
of the guarantee term all costs of repair or replacement, including administrative costs,
shipping costs and call-out fees, will be borne by the other party.
The following guarantee terms, as specified in these General Terms and Conditions, apply:

Sealskin provides service exclusively in the Netherlands, unless agreed otherwise in writing.
12.2 Except in the case of gross negligence or intention on the part of Sealskin, Sealskin is not
liable for any damage of whatever nature or cause, unless and insofar as its business liability
insurer pays out in that case.
12.3 Under no circumstance is Sealskin obliged to pay compensation for trading loss and/or
consequential loss, suffered by the other party and/or third parties, through whatever cause.
12.4 The other party is obliged to ensure that goods delivered by Sealskin are stored properly
and safely on delivery in a space suitable for that purpose; the other party is also obliged
to place or keep the goods delivered by Sealskin properly and safely in a space suitable for
that purpose and to ensure that the goods are handled properly and safely. The other party is
obliged to indemnify Sealskin against any claims from third parties for damage resulting from
the other party’s failure to fulfil the obligations included in this clause.
12.5 Should the other party hold Sealskin liable for any damage, of whatever nature or cause, he
is obliged to prove to Sealskin of his own accord, that he has handled the delivered goods in
a responsible way, all of this in relation to the nature of the product. Any advice given by or
via Sealskin with regard to the storage, transport, use or application of the goods delivered
by Sealskin is entirely without any obligation. Under no circumstances is Sealskin liable for
damage, of whatever nature or cause, which results directly or indirectly from the following of
such advice.
12.6 The other party is obliged to indemnify and compensate Sealskin with regard to all claims
vis-à-vis Sealskin (including claims for compensation) which third parties might make against
Sealskin, if these claims from third parties are based on the (alleged) infringement of
intellectual or industrial ownership through the use, in any way, shape or form, of drawings,
information, materials, samples, models or components, or through the application of working
method or changes, all in the broadest sense of the words, which were supplied or prescribed
by Sealskin, by or in the name of the other party, on the delivery of the goods.
12.7 In all cases in which Sealskin invokes that stipulated in the preceding clause, any employees
and auxiliary personnel of Sealskin concerned can also invoke that, even though this was
forced by the employees and auxiliary personnel concerned.
12.8 If Sealskin is to be regarded as a producer as defined in clause 6:85 and 6:187 BW, and the
subsections a to f of these clauses are not applicable, Sealskin, in case of liability, is only
liable for damage as referred to in clause 6:190 BW (product liability).
Clause 13. Assignment of rights and obligations and settlement
13.1 Sealskin is entitled at any time to assign its legal relationship to the other party to a company
affiliated to Sealskin, for which the other party has granted Sealskin permission now for then.
13.2 The other party is prohibited from ceding, pledging, or in any other way, under any other title,
whether or not for nothing, assigning his obligations to Sealskin arising from the agreement,
or to a company affiliated to Sealskin, to another person or putting them at the disposal of
another person, without prior written permission from Sealskin.
13.3 Sealskin is entitled at any time to set off claims on the other party, of whatever nature and
irrespective of whether or not these are already due and payable, against claims, of whatever
nature and irrespective of whether or not these are already due and payable, which the other
party has on Sealskin or a group company affiliated to Sealskin. To the collective amount of
the claims thus settled, the other party has paid in respect of Sealskin or the companies
concerned have paid in respect of the other party.
13.4 Sealskin is entitled at any time to offset amounts owed by it to the other party, for whatever
reason and irrespective of whether these are due and payable, from its debt to the other party
instead of paying these to a company affiliated to Sealskin, if and insofar as the company
concerned has any claim, whether or not due and payable, on the other party, through which
payment the claim of this company on the other party to the collective amount of the claims
lapses.
Clause 14. Disputes
14.1 Only Dutch law and the Dutch International Private law – including the Vienna Sales
Convention- shall apply to all agreements concluded with Sealskin, and to any further
agreements concluded in fulfilment of that agreement.
14.2 All disputes arising from the aforementioned agreements will be referred exclusively to the
court of competent jurisdiction in the court district of ‘s-Hertogenbosch without prejudice
to the authority of another court in the matter of provisional, interlocutory or enforcement
measures, unless the law imperatively prescribes otherwise.
Clause 15. Filing
These conditions have been filed at the Chamber of Commerce and come into effect on
6 September, 2011.
