hereinafterreferredto individualas "party"andjointlyas the "parties",
reconfirming
first signedin 2003 and renewed
their Memorandum
of Understanding,
in 2008,and theirdesireto developacademicexchangeand cooperation
in research
and educationin areasof mutualinterest,herebyagreeas follows:
Article 1 - Purposeof the Cooperation
lsfahan Universityof Technologyand ETH Zurich wish to initiatecooperationin
researchand educationwith a view to contributingto the advancementof science
and technologyand to the benefitof societyat large.
Article 2 - Fields of Cooperation
The cooperationenteredinto underthis Memorandumof Understanding
can be in
every field of educationand researchwhich is presentlyconductedor under
consideration
by the two partiesand in whichthey havea commoninterest.
Article 3 - Forms of Cooperation
l The partieswill jointly developcooperativeeducationand researchactivitiesfor
their faculty and students within the framework of this Memorandum of
Understanding.
The cooperative
activitiescoveredby this Memorandum
may include:
a) exchangeof information
on scienceand technology;
(Bachelor)
b) exchangeof undergraduate
andgraduate(Master,PhD/doctoral)
students;
b) exchangeof facultyand otherresearchstaff;

d) organization
of jointseminars,
symposia,
workshops
or conferences;
e) joint researchprojects.
2Other forms of cooperationbetweenthe two partiescan be proposedand
carried
out on mutualagreement.
3Individual
researchprojectscan be plannedand carriedout throughdirectcontact
betweenthe researchers
of bothparties.
Article 4 - Termsof lmplementation
I EachactivityunderthisMemorandum
of Understanding
pursuant
will be undertaken
to a separateagreement
thatwill containthe specifictermsand conditions
governing
the activity,includingfunding for the exchangeor the researchcooperation,
publicationof researchresults,and intellectual
propertyrights.These terms and
conditions
will be mutuallyagreeduponby the two parties.
2Each partywill be responsible
for seekingfundsto supportits involvement
in the
cooperative
activitiescarriedout underthis Memorandum.
All suchactivitieswill be
dependentuponthe budgetary
appropriations
of the parties.
Article 5. Periodof Validity,Amendments,Termination
l This Memorandum
of Understanding
will be in effectfor a periodof five (5) years
from the date of the last signature.On expirationit can be renewedon mutual
agreement.
2lt can be amendedby mutualwrittenconsentof the two parties.
3Eitherparty may terminatethis Memorandum
of Understanding
by givingsix (6)
months'writtennotice.Termination
shallnot affectany joint activityalreadyagreed
uponby the timeof termination.
Article 6 - Non-bindingCharacter
This Memorandumof Understanding
is a statementof intent and is not legally
bindingupon the parties.This Memorandum
shall not create legallyenforceable
rightsand cannotbe the basisof any legalclaimbetweenthe two parties.

signed it in duplicateand retain one, each of the duplicatetexts having equal
authenticity
