we do. At Dealer Marketing Magazine, our focus is helping educate auto dealers
about new innovations, and solutions for the challenges they face in their business.
Dealer Marketing Magazine and DealerMarketing.com are not focused on day-today news. We think Automotive News does a great job with that. We are dedicated to
helping dealers run their dealerships with educational content, how-to articles, and
information on vendors that serve auto dealers.
Many of our guest writers are the foremost authorities on their subjects in the automotive industry. We want
to keep our dealer-readers up-to-date on the latest marketing innovations, and give a voice to new vendors
that offer unique products and services.

Advertising must be inserted within one year of first insertion to earn frequency discount rates. Advertisers will be short-rated if frequency originally contracted for

TERMS AND CONDITIONS

The signatory to this contract warrants and represents that it has full power and authority to enter into this agreement and that it is authorized to act on behalf of
Advertiser. If signed by Advertising Agency, the signatory binds Advertiser and Advertising Agency to joint and several liability for payment of all invoices rendered
by Publisher and warrants that Advertiser has been made aware of and has agreed to its joint and several liability. Nothing in this agreement shall be construed to
establish an agent-principal relationship between Publisher and Advertiser or Advertising Agency. All references in this agreement to Advertiser shall include and be
binding upon Advertising Agency.
A 15% discount to advertising agencies approved by Publisher will be allowed, provided that all artwork is prepared according to Publisher’s specifications and that all
terms of this agreement (including payment within 30 days) and policies of Publisher are observed. If the advertisement is not ready to go directly to the printer when
received by Publisher (i.e. it requires Publisher’s production department to make any changes whatsoever), this discount will not apply.
This agreement may be cancelled by Publisher upon breach of any provision by Advertiser, including failure to pay invoices within 30 days. Single issue agreements
and multiple-issue agreements for which the first issue has not been published may be voided at no cost to Advertiser by written notice received by Publisher at least
14 days prior to the first issue’s space-reservation deadline. If cancellation is requested after this period, Advertiser shall be responsible for all charges calculated
according to Publisher’s cancellation policy. All charges shall be due immediately upon cancellation. For cancelled agreements in which a multiple-issue discount was
applied, Advertiser will be short-rated for each previously published advertisement and charged the then-current, one-time, non-discounted rates.
New Advertisers are required to pay in advance for advertising charges and to complete a credit information form at least 10 days prior to closing date of requested
issue. Upon approval of credit application, future invoices will be due within 30 days of the invoice date. After 30 days, a finance charge of 1.5% per month will be
added to the unpaid, past-due balance each month. Advertisers with a delinquent balance may be required to pay in advance for future advertising. Any objection by
Advertiser to an invoice must be made within 10 days of invoice date, or the invoice shall conclusively be presumed to be correct.
Advertiser’s submission of an insertion order or the signing of a contract for advertising space is an acceptance of all rates, terms and conditions of the advertising
rate schedule and associated policies. Publisher is not bound by any terms or conditions, printed or otherwise, contained in Advertiser or Advertising Agency contracts
or insertion orders that conflict with Publisher’s current rate schedule or advertising policies.
Agreements for twelve issues must be run in twelve consecutive issues. Agreements for three issues and six issues must be run within a year of this agreement, but are
not required to be run in consecutive issues. Any advertising run outside of this one-year term shall not receive a discount and be short-rated and charged pursuant
to Publisher’s cancellation policy.
Advertiser agrees to pay all costs of collection, including applicable attorney fees.
All advertisements must be in an approved digital format to be considered camera-ready. When no acceptable artwork or copy is furnished to Publisher by the deadline
for the requested issue, Publisher reserves the right to repeat the latest approved advertisement. If Publisher is, within its sole determination, unable to produce any
advertisement due to the type, style or color Advertiser has called for, Publisher may make alterations to such advertisement in type, style or color Publisher deems
appropriate without Advertiser’s approval. Publisher is not liable to Advertiser for any error, problem or mistake related to Publisher’s production. Any alterations
performed by Publisher to an advertisement that are necessary to bring it into compliance with Publisher’s specifications are the responsibility of Advertiser and will be
billed at cost plus 10% with a $15.00 handling charge. Production costs are subject to the rate schedule and established policies of Publisher. Publisher shall mark-up
by 100%, the costs of all Publisher-produced materials that are used in any other publication for any other advertising purpose.
Publisher reserves the right to decline any advertisement for any reason. Advertiser warrants that all advertisements will comply with any applicable legal requirements
and conform to standards of honesty and decency. Production standards will conform to the level of production quality as established by Publisher. Advertising copy
that simulates the appearance of editorial material is subject to being identified as a “paid advertisement” by a Publisher-set type line.
Should Publisher and/or its directors, officers, employees or agents have a claim and/or lawsuit asserted against it the basis for which is founded in defamation,
copyright or trademark violation, fraud, deception, invasion of privacy or other torts or any other legal theory, Advertiser agrees to fully indemnify Publisher and
individuals for all expenses including attorney’s fees, costs and any settlement or judgment.
The liability of Publisher for any error in the publishing of an advertisement shall in no event exceed the amount charged by Publisher for the portion of the
advertisement in which the error occurred.
It is the responsibility of the advertiser to assume all risks and carry adequate insurance on all materials provided by Advertiser to Publisher. Publisher assumes no
responsibility for safekeeping any material, including camera-ready copy, artwork, film negatives, color separations, photography or disks provided by Advertiser and
shall not be held liable for any money damages or replacement thereof. Publisher is not liable for any loss except losses resulting directly from its intentional or grossly
negligent acts.
Any advertising material provided by Advertiser or produced by Publisher shall remain the property of Publisher until all charges have been paid in full but in no event
earlier than 10 days following the date of publication.
Failure to publish an advertisement shall not constitute a breach of this agreement and Publisher shall not be liable (beyond the return of any payment advanced by
Advertiser) if any advertisement is not published for any reason.
Publisher will retain advertising material for one year after date of publication, after which the material may be destroyed.
Waiver of default or breach by either party shall not be considered as a waiver of any subsequent default or breach of this agreement.
Advertiser consents to jurisdiction and venue in Snohomish County, Washington and waives any objection as to jurisdiction or venue. Advertiser agrees not to assert
any defense based on lack of jurisdiction or venue and irrevocably agrees to be bound by any judgment rendered therein. Nothing herein shall affect the right to
serve process in any other manner permitted by law or shall limit the right of either party to bring proceedings in the courts of any other jurisdiction for the execution
of such judgment.
