September 9, 2013

1. Neighborhood Association Meetings
Jess will offer two free composters and speak about our pet waste bag dispensing station program at the
Fry’s Spring NA meeting on September 11. Jessica will look into doing then same at a Fifeville NA
meeting. Martin reported that a Willoughby resident to whom a free composter was given has been unable
to install it. She is checking to see whether someone else in the neighborhood will take on the
responsibility. Martin has been unable to contact the other recipient by phone or email.
Martin will find out how much small plastic bag dispensers with our ‘sad-fish’ logo would cost for
possible use as give-aways. This would require a grant modification.
2. School Poster Contest
The group offered feedback on the wording and terms of the contest. Martin will revise the flyer and
distribute it by email for further feedback. The partners agreed to adopt a suggested schedule for the
poster contest which Jessica had drafted, including a suggestion to display the winning posters at the 2014
Eco Fair. Jessica also suggested we add a page to the RRSEP web site providing details about the contest
and linking to the composter page for more information. Jessica suggested we re-organize the groupings
of grade levels to reflect distinctions between middle and high school.
3. Partner Reports
County
• A tour of local native plant initiatives is being planned for the Virginia Native Plant Society.
• A presentation on the county’s native plant database will be made for the local Native Plant society in
October.
• It has proven difficult to find many native plants in local nurseries. Please send any information you
have about the local availability of native plants to Repp.
• The county is working to improve the functionality of its stormwater database.
• The Crozet wetland has been opened up hydraulically to the watershed. Cat tails have begun to invade
the site and there was discussion of the need to nip the invasive in the bud, so to speak.
• The county plans to remove excess sediment and repair the emergency spillway from a basin on 4Seasons Drive.

Preparing the FY2013 MS4 report for the 5th, and final year, of the 2008-2013 permit cycle (due
October 1).
The Water Resources intern, Jordan Minot, has completed his internship and returned to school. He
completed a paper on an incentives and credit program for a possible future stormwater utility
program.
City
• The City is working with a focus group to develop a system of incentives and credits for stormwater
management practices under the new stormwater utility. The incentives program will partner with the
TJSWCD’s suburban BMP cost share program.
• Participating on the Chesapeake Bay TMDL Action Plan Stakeholder Advisory Group, which is
developing guidance for MS4 permit holders on the development and implementation of the action
plans.
• The James River Green Building Council lunch and learn series will feature a talk on the City’s
stormwater utility on 9/10.
County Public Schools
• Support Services were trained in good housekeeping practices using the Excal Visual video on
stormwater pollution prevention that the RRSEP purchased for use by partners.
UVA
• Preparing the MS-4 report for the last year of the last permit cycle.
• Hired a consultant (Biohabitats) to propose a comprehensive stormwater management system.
• Hired a consultant to help cope with some flooding and drain collapse in the Copeley residential area.
• Surveying UVA campus to develop pollution prevention plans.
• The Carr’s Hill stream restoration project will be planted this fall.

1. School Poster Contest
Martin reported that a school-wide poster contest has proved impractical, as the Eco-Fair has already
applied to run one and the schools are reluctant to conduct more than one contest a year. We discussed
narrowing the scope of the contest to one or two schools in the Moores Creek watershed. Martin will
contact the Friend’s Tandem School, Dan Sweet will contact Jackson ES and Dan Frisbee will contact
Jackson ES.
We also discussed the poster contest rules and decided to add wording about limiting parental or teacher
assistance to younger students. To avoid unnecessarily cluttering up the contest flyer, Martin will add
additional information about the contest on the web page once the contest is actually set up with
participating schools.
2. Free Composters and Pet Waste Bag Dispensing Stations
Jess reported on the Fry’s Spring Neighborhood Association Oktoberfest get-together. She came back
with a signed contract and a promise to install a free composter. The neighbors are also interested in
installing bag-dispensing stations near bus stops. We will investigate what kind of agreement is needed to
install stations in a lawn near a bust stop. Jessica has not managed to contact the Fifeville NA so far.
Martin will contact the Willoughby NA to clarify where they would like to locate stations.
3. New MS4 Permit Outreach and Public Education Requirements
New requirements were discussed and the partners decided to start planning 3 public education projects at
the next RRSEP meeting.
4. IDDE Hotline Mailing with Utility Bills
The partners discussed mailing another flyer to remind the public about our IDDE hotline and web page.
Greg and Dan were agreeable to the idea, but need to gather some information first.
5. RRSEP PSA Slides in Regal Theaters
Greg investigated and found that slides have been replaced by animations, which the theater company can
create for us. The partners will discuss the message we want to convey, and whether we want to do one a
year, or perhaps two (one in winter and one in summer).

6. MOU Among Partners for RRSEP
We discussed whether we think we should establish Memoranda of Understanding to make the existence
and function of the RRSEP more ‘official’. The company that performed an audit of Albemarle County’s
NPDES Phase II program suggested that MOUs are looked upon with favor by the EPA. Dan reported
that the EPA audit of the City of Charlottesville did not bring up the need for MOUs. Obtaining
permission to establish MOUs might prove quite time-consuming and cumbersome because they would
have to be vetted and approved by each institution’s head and their attorneys. It was decided that we
would only undertake to establish MOUs if and when there appeared to be a strong need for them.
7. Partner Reports
City
• Dan introduced Dan Sweet, the city’s new Stormwater Utility Administrator. A proposal for a
•
stormwater utility credit and incentive program, along with a relief program for qualifying
homeowners, will be discussed by the City Council in December. The Utility is scheduled to
take effect on January 1, 2014.
The city is considering applying to the Stormwater Local Assistance Fund (SLAF) for a grant to
help re-surface the Charlottesville HS parking lot with permeable pavers.
County
• The county is developing TMDL action plans and updates to the 6 minimum MS4 permit control
measures.
• The issue of stormwater program funding will be revisited with the Board of Supervisors in the
spring.
• The county applying for SLAF funds to help with further development of the Crozet streetscape
project, enhancement of Church Road stormwater management basin, and installation of a bio-filter at
Western Albemarle HS.
UVA
• The university is updating its stormwater master plan, looking ahead as far as 25 years.
• UVA is building a dynamic stormwater model which will include all pipes in their system that are 17
inches or larger in diameter.
• The Carr’s Hill Field stream restoration will be planted with the help of student volunteers.
• Funding is being sought for projects proposed by the student stormwater task group.
• All downspouts on campus will be mapped onto a GIS layer.

1. School Poster Contest
Martin reported that he had not heard back from Tandem Friends School after leaving messages about the
contest on two occasions. Dan will check with Dan Sweet re Johnson ES, and will contact Jackson-Via if
D. Sweet has not been successful with Johnson E.S.
2. Free Composters and Pet Waste Bag Dispensing Stations
Martin contacted J. Albiston, who is on the Willoughby HA Maintenance Committee. Ms. Albiston will
bring up the preferred locations for pet waste back stations at the December Board Meeting. Jessica and
Jess had nothing to report re the Fifeville and Fry’s Spring NAs, respectively. Jess suggested we consider
how the stations will be installed.
3. RRSEP PSA Slides in Regal Theaters
We decided to arrange for the creation of a 30-second ad addressing pet waste bacteria, lawn fertilization
and rainwater harvesting as stormwater topics, and we finalized the wording. We will contract to have the
ad shown before every movie for one month in winter (December in the future, January this year) and one
month during the summer movie peak in July. Greg will make the arrangements with Regal.
4. IDDE Hotline Mailing with Utility Bills
Greg and Dan are in the process of confirming what the procedure is, and we will make plans accordingly
with a view to getting an IDDE Hotline flyer out to the public by the end of February.
5. Planning MS4 Permit Outreach and Public Education Projects
We brainstormed a plan to reach the public with information about three stormwater topics. Jessica gave
us a good head start with a spreadsheet outlining ideas for issues, message, target populations, partners
and strategies. We settled on topics: 1) bacteria 2) sediment and 3) nutrients. We will address bacteria
by encouraging the public to dispose of pet waste properly. Sediment will be addressed by encouraging
the reduction of runoff through the use of rainwater harvesting and rain gardens. High levels of nutrients
in the Chesapeake Bay will be addressed through encouraging the public to reduce lawn fertilizer use by
applying fertilizer amounts according to a soil test, and only applying fertilizer in the fall.

We will integrate these MS4 education projects with our existing plans to buy advertising in local movie
theaters, place ads on Charlottesville buses, and place ads in the local newsmagazine, The C-ville Weekly.
We will invite Robbie Savage of the Rivanna Conservation Society to our next meeting to discuss
coordinating our respective outreach efforts. We will also work closely with the City’s Stormwater Utility
credit program and the TJSWCD to coordinate our outreach with the Urban Conservation Assistance
Program.
6. Partner Reports
UVA
• UVA is testing their dynamic stormwater model for use in the master stormwater plan.
• The Carr’s Hill Field stream restoration has been planted with the help of student volunteers. Another
planting is planned for December.
• The student stormwater task group is installing a cistern for landscape watering use in the Hereford
College garden.
City
• Dan reported that the City has applied for a Stormwater Local Assistance Fund (SLAF) grant for
three projects:
o A biofilter on Old Lynchburg road
o Rives Park improvements, including a biofilter.
o Permeable Pavers in a parking lot at Charlottesville HS.
• The city is partnering with the James River Association, Lynchburg and Petersburg to
develop a plan for low income community improvements using the Walkable Watershed
concept to improve the overall health of a community and the surrounding watershed.
County
• There seems to be increased receptivity to the idea of a stormwater utility. Staff will continue to
encourage the county to adopt a utility for the purpose of funding the stormwater program.
• The County is applying for a SLAF grant to fund four projects:
o A water quality retrofit for a basin on Hillsdale drive.
o A Crozet in-street biofilter.
o Upgrades to the cityscape database that would allow increased use of online connectivity to
communicate with citizens
o A biofilter at Western Albemarle High School, which has an academy with a focus on
environmental education.
• The county attorney has re-written the water protection ordinance to comply with new VSMP
regulations.

1. School Poster Contest
Martin reported that he had still not heard back from Tandem Friends School after leaving phone
messages and sending emails about the contest to 3 different teachers associated with the management of
the arts curriculum. Dan reported by email that Dan Sweet has reached out to Johnson Elementary School,
and our contest flyer is being circulated to solicit participation by teachers there .
2. Free Composters and Pet Waste Bag Dispensing Stations
• Jess reported that the NA think the stations should have trash cans nearby, and they think the City
Parks and Rec people should be responsible for picking up the waste from the cans. Jess has
explained that that installation in concrete next to bus stops would be too expensive and that Parks
and Rec are not responsible for picking up pet waste. She explained that we would like homeowners
to volunteer to put them in their yards. They also asked who would do the installation, and
Martin volunteered the RRESP for that task. Jess is doubtful that the NA will be able to
designate a volunteer to re-stock the stations with bags.

Jessica reported that the Fifeville NA does not appear to be interested in the pet waste
program.
•
Martin reported about J. Albiston, who is on the Willoughby NA Maintenance Committee and had
promised to bring up locations for pet waste back stations at the December Board Meeting. She also
promised to find out if someone else would be willing to install the pet waste composter we gave to
her. Ms. Albiston did not report back and has not replied to emails.
3. RRSEP PSA Slides in Regal Theaters
Greg reported that he has signed a contract to create an animated ad and show it from March 21st to April
17th, and July 18 to August 14, 2014 before every movie on the 14 screens at Regal Cinemas as
Stonefields. The cost will $2,135 for creating the ad and showing it on those dates. Greg will send them
our conceptual outline to get their feedback, and then we need to provide high resolution pictures for the
ad.

4. IDDE Hotline Mailing with Utility Bills
• Dan emailed that the IDDE flyer can be included in the March city utility bill mailing. The deadline
for submitting the printed and folded flyers is March 6. Bills will be sent to 24,000 households. The
cost for printing will be around $800.
•
Greg is trying to coordinate a mailing with the Service Authority.
5. Rivanna Conservation Society Projects
Robbi Savage reported on projects the RCS is undertaking, and discussed areas where we might cooperate
with them in their activities.
• The RCS has started a River Guardian program in which 5 schools will conduct bacteria and chemical
monitoring in local streams in the Rivanna River watershed.
• The RCS will be conducting a Stream Makeover on Moores Creek, starting with numerous activities
during Earth Week. Cleanups and plantings are planned over a one or two year period, as well as a
year-long cleanup of Quarry Park, which has just been expanded through a City Parks and Trails
acquisition. A grant will fund the demolition and removal of a concrete crossing.
• Stormwater retrofits are planned for Sojourner church and the Mount Zion African Center.
• RCS kiosks will be restructured and upgraded with information about the location where each one is
located. The Woolen Mills kiosk will provide information about the mill and the dam breach.
• A program to organize river cleanups by businesses UVA students and corporate groups is in the
works. Greg pointed out that there is a need for cleanups in county stormwater facilities in Crozet and
the Woodbrook Lagoon.
6. Partner Reports
UVA
Reserve funds to the tune of $500,000 are available for stormwater facility maintenance. Some projects
that are planned:
• Fix the pipe that carries Distillery Creek under Copeley Road.
• Dredge and replant the wetland near the parking garage at the intersection of Emmet and Ivy.
• Dredge the South Pond.
County
• A $370,000 SLAF grant will be used to retrofit a detention basin at the intersection of Hillsdale Dr.
and Incarnation Dr., near the Food Lion.
• County administration has decided to institute a county-wide service district instead of a stormwater
utility. Public outreach meetings will be held to discuss stormwater funding proposals.
• A county office building landscape master plan is being developed.
• Greg is quantifying the amount of phosphorous removal accomplished by stormwater management
projects the county has undertaken over the last five years in anticipation of Chesapeake Bay TMDL
requirements.

1. RRSEP PSA Slides in Regal Theaters
On the advice of the marketing people at regal Greg submitted revised text, high definition stock photos,
and a background music selection. We will soon have an opportunity to view the animation and suggest
revisions.
2. Stormwater BMP Flyer Mailing with Utility Bills
Dan will find out the cost of having the flyers printed in Alabama where the rest of the materials
will be printed and mailed. If it is competitive with the cost of printing the flyers in
Charlottesville and shipping them to Alabama, we will have them printed in Alabama.
Greg will find out how many flyers are needed to accompany the ACSA utility bill mailing, and
what the deadline is for submission.
We decided to pay the extra cost to print the flyers in color. That will significantly increase the
impact, and increase the likelihood that people will read the information
3. Five-year MS4 Public Outreach and Education Plan
The MS4 Education Committee reported on the plan they have put together to conduct a 5-year education
and outreach program focusing on three specific issues (bacteria, sediment and nutrients) that will be
designed to reach at least 20% of the population of specified target groups. Jessica provided a chart
summarizing the various pieces of information that we have obtained, and those that we still need to
gather, to complete the report. Jessica will write a draft of the report to circulate among the partners for
editing and feedback. Martin will invite Robbi Savage of the Rivanna Conservation Society, Pat Calvert
of the James River Foundation and Robert Jennings of Chesapeake Bay Foundation to come to our April
RRSEP meeting to participate in a discussion of the proposal, and take it to their respective organizations.
It is hoped that this will result in both useful feedback from the members of their organizations, and
opportunities for our message to reach a broader audience. In addition, it will help each organization, ours
included, to adapt its outreach to complement and reinforce the message we send the public.
4. Fund-Raising Car Wash Issue
We discussed the issue of public charity car washes. We acknowledge that it is difficult for such events,
usually held only once a year by any particular group, to take the steps necessary to prevent detergent and
dirty wash water from going down the nearest storm drain. While individuals may be able to find a grassy
area on which to wash their car, that is not practical for an event that will be dealing with many cars at a
highly visible intersection. Nor is it easy for them to acquire equipment that can be used to block a storm

drain, and pump the water to a sink or commode where it will go into the sewer system instead of the
storm water system. One suggestion was that we purchase the necessary gear, and make it available to
car-wash events. We will continue the discussion at a later date.
6. Partner Reports
County
The County is applying for a NFWF grant to assess and prioritize existing SMFs for their potential to
be upgraded with a retrofit.
A BUBBA (Best Urban BMP in the Bay) Award application has been submitted for the
Woodbrook Lagoon retrofit.
A consultant will be hired to assist with the stormwater program funding proposal.
City
The City has submitted a grant to replace impervious surface at Charlottesville High School with a
bio-filter and a parking lot with pervious pavers that will treat acres of runoff.
The first Stormwater Utility bills will be issued in late April.
An Advisory Committee of public stakeholders will be formed to work with the Stormwater Utility.
UVA
Master Planning Modelling is being developed.
Students are doing outreach to deal with issues such as litter, cigarette butts and pollution caused by
paint on the UVA Beta Bridge.

1. HD or not HD, that is the Question
The group voted to pay $350 for an HD version of Stonefield Regal Cinema ad for use in other venues.
2. Five-year MS4 Public Outreach and Education Plan
Martin gave a PowerPoint presentation introducing the RRSEP five-year permit cycle MS4 education and
outreach plan to Robert Jennings of the Chesapeake Bay Foundation, who will help us meet our public
participation requirement by taking the plan back to his organization for comment and input. Robert felt
that the RRSEP’s education plan is a good one, reaching a large audience on a number of high Priority
issues. He would like to partner with the RRSEP on events relating native plants to stormwater reduction.
The partners also wanted to put a shorter version of the presentation on the RRSEP web site to inform the
public about the history of the NPDES Phase II MS4 stormwater permit, the part education and outreach
plays in the MS4 permit process, and the basics of the partner’s 5-year education and outreach plan.
The PowerPoint presentation and draft MS4 MCM1 education and outreach plan will be posted on the
RRSEP and partner web sites from May 1st to May 31st to provide an opportunity for public comment.
3. Partner Reports
County
The Board of Supervisors approved the formation of an advisory committee to consider various
proposals for funding the county’s stormwater program and make a recommendation to the BOS. Lee
Caitlin will plan an application process for selecting members for the committee. The first meeting
will take place in September. A consultant will be hired to advise the committee.
The Charlottesville Timmons Group had been contracted to remove sediment from the four Seasons
Basin. They have also been asked to restore a small channel that enters the basin.
City
The city’s stormwater utility is getting ready for bills to go out on April 28th. Staff is being trained for
customer service.

A stormwater technician will be hired to inspect rehabilitation projects and capital projects, among
other duties.
The city is preparing a VSMP local program report for DEQ for May 15th.
A streetscape project is being planned for several blocks on Cherry Avenue, including a bio-retention
basin and tree planting in the right-of-way to be completed in the summer.
Grass swales and a bio-retention basin are being planned to treat parking lot runoff in Reeves Park.
UVA
The student stormwater task force chose 5 stormwater issues for public education, created posters on
each one, and narrowed the choices to 3 to be posted on CAT buses, litter, cigarette butts and Beta
Bridge painting. Jeff will share the designs with the RRSEP. The task force is partnering with utilities
and maintenance to treat runoff issues.
Runoff issues at Hereford Dormitory are being treated using a vegetated swale and rain gardens.
An assessment of Distillery Branch is almost finished. Reduce stormwater inputs using LID designs
are planned for a reach between Massie Road and Copeley Road on the east side of the JPJ Arena.
The UVA Stormwater Master Plan is almost completed.

1. RRSEP Stonefield Video
Greg reported that, for copyright reasons, we are not permitted to use a high-definition version of our
movie PSA for more than a year. The partners agreed it is not worth the $350 fee to have an HD version
made if the use is limited. We discussed making our own version of the video with un-copyrighted music.
Dan will discuss the possibility with the city’s communication Office. Repp volunteered to find a local
band to provide a soundtrack if needed.
2. Five-year MS4 Public Outreach and Education Plan
During the month that we opened our education and outreach plans to public comment, we received no
comments other than the very positive comments that Robert Jennings of the Chesapeake Bay Foundation
made at our last meeting when the plan was introduced.
3. Water Quality Outreach Materials
Jess brought in a sign and a door hanger with the “No appetizers were injured in the making of this lawn”
campaign conducted by the Northern Neck Chesapeake Club, and funded by DCR. We discussed the
applicability of the campaign for our local outreach. It would seem to lend itself quite well to the turf to
native meadow, and turf to native landscaping, programs that the city and the county have been promoting
through the new urban cost share program. It was suggested that we replace “appetizers” with “shad” or
some other local fauna that would resonate with our local population.
4. MS4 Permit Annual Report
The partners discussed what information the annual report requires, and how best to satisfy those

Jeff gave the public two on-site presentations on UVA’s stormwater management on the Dell at the
request of the Chesapeake Bay Foundation.

The Albemarle County Water Resources “Green Team” (Greg Harper, Repp Glaettli and Gregor
Patsch) received the Best Urban BMP in the Bay Award for the Woodbrook Lagoon retrofit. The
Chesapeake Stormwater Network gives the prize for deserving projects.
The county put out an RFP for a consultant to advise the Advisory Committee that will be formed to
propose a stormwater program funding mechanism for the county.
Applications for the stormwater program funding Advisory Committee will be available in June.

AGREEMENT

COUNTY OF ALBEMARLE, a political subdivision of the Commonwealth of
Virginia, hereinafter refened to as the *COUNTY," and the THOMAS JEFFERSON SOIL
AND WATER CONSERVATION DISTRICT, a political subdivision of the Commonwealth
of Virginia organized under Virginia Code $$ l0.l-500 et seq., hercinafler referred to as the
*DISTRICT."

WHEREAS, the COUNTY is required under its Municipal Separate Storm Sewer
System ("MS4") permit to provide several program elements including public education and
outreach on stormwater impacts, public involvement and participation, and illicit discharge
detection and elimination; and
WHEREAS, the DISTRICT is willing and able to provide the three program elements
described above.

IN CONSIDERATION of the mutual premises stated in this Ageement, the COUNTY
the DISTNCT asree as follows:
ARTICLE I: CONTRACT DOCUMENTS
1.1
The documents listed in section 1.2 shall constitute the contract documents. These
contract documents shall represent the entire agreement and understanding between the
parties. All other statements, discussions and negotiations, whether oral or written, are
hereby merged into these contract documents. The contract documents are presented in
descending order ofpriority with the first document listed being ofthe highest priority
and governing over subsequently listed documents, in case of conllict or ambiguity.
1.2
The contract documents consist of:

This Agreement.
B.
The DISTRICT's proposal entitled "Implementation of Selected "Minimum
Control Measures" of Albemarle County's NPDES Phase II Permit Requirements
Jttly 1,2012 - June 30,2014," attached hereto as Attachment I and refened to
herein as the "Prooosal."
ARTICLE 2: THE WORK TO BE PERFORMED
2.1
The DISTRICT shall perform the activities listed in the Proposal.
ARTICLE 3: DATE OF COMMENCEMENT

3.1
The term of this Agreement is from July 1,2012 until June 30,2014. The parties may
extend the term of this Agreement from time to time as provided in section 12' 1'
3.2
Time is of the essence.
3.3
Work shall commence immediately, and shall continue without intemrption during the
term of this Asreement.
ARTICLE 4: COMPENSATION AND PAYMENT
4.1
The amount to be paid by the
couNTY to the DISTRICT for the work to be performed
pursuant to this Agreement shall not exceed forty thousand five hundred twelve dollars
(SCO,S1Z.OO). The amo'nt to be paid by the COUNTY to the DISTRICT in the first year
ofthe contract shall not exceed 60 percent of the total amornt.
4.2
Payments shall be made as follows:
A.
No deposit, nor advance sums, shall be paid.
B.
For the tasks performed: The DISTRICT shall invoice the COUNTY on a
quarterly basis, identifing with each invoice tasks completed during the quarterly
billing period or the degree to which they have been completed as required to be
performed pwsuant to the Proposal. The invoice shall contain a certifrcation that
the work to be perfiormed for the particular task being invoiced is completed'

No reimbursable expenses shall be billed or paid.
D.
The coUNTY may request additional information from the DISTRICT about the
status of the task or tasks prior to making payment. Payment shall be made within
thirty (30) days of the date ofreceipt by the COUNTY ofthe invoice from the
DISTRICT. If payment is made by mail, the postmark date shall be the payment
date.
E.
Each invoice shall include the purchase order number assigrred to this Agreement.
ARTICLE 5: INDEMNIFICATION AND HOLD HARMLESS
5.1
The DISTRICT hereby agees ro indemniff and hold harmless the collNTY, its offrcers,
agents designated by the board of supervisors, and all employees and volunteers, from
any and all claims for bodily injury, and personal injury and/or property damage,
including cost of investigation, all expenses of litigation, including reasonable attomey
fees, and the cost ofappeals arising out ofany claims or suits which result from errors,
omissions, or negligent acts of the DISTRICT, its subcontractors and their agents and
employees.
ARTICLE 6: SUBMISSION OF REPORTS
6.1
During the term of this Agreement, the DISTRICT shall provide to the COUNTY any
oral or written report, as required by the Proposal.
b.2
During the term of this Agreement, the DISTRICT shall provide to the COUNTY or its
designee all oral or written reports pertaining to matlers which are within the Proposal as
the COUNTY or its designee may reasonably require.
ARTICLE 7: COOPERATION
7.1
The COLJNTY and the DISTRICT understand and agree that the DISTRICT is
performing the three progr^m elements identified in the Proposal on behalfofthe
COLINTY, and that they will cooperate with one another to assure that the Program
elements are adequately and successfully implemented in accordance with all MS4 permit
requirements.
ARTICLE 8: NOTICE
8.1
Any notice, request, invoice or other communication to either party by the other
conceming the terms and conditions of this Agreement, including, without limitation, the
provisions of Articles 3 and 4 shall be in writing and shall be deemed given only (i) when
actually received by the addressee or (ii) sent postage prepaid, by certified or registered
United States mail, retum receipt requested, addressed as follows:

8.2
The persons and the places to which notices are to be mailed to either party may be
changed from time to time by notice given in accordance with the provisions of this
article.
ARTICLE 9: TERMINATION OF AGREEMENT
9.1
The COUNTY, or its designee, may terminate this Agreement at any time with or without
cause by giving fifteen (15) days notice to the DISTRICT, in which event the COUNTY's
sole obligations shall be to compensate the DISTRICT for work actually performed
incurred up to the date of termination.
9.2
In no event will the total compensation paid to the DISTzuCT, including the amount paid
to compensate the DISTRICT in section 9.1, exceed the compensation provided for in
Article 4.
9.3
Upon termination, the DISTRICT shall promptly provide to the COUNTY all work
products, whether completed or not, prepared by the DISTRICT pursuant to this
Agreement.
ARTICLE IO: CONFIDENTIALITY OF REPORTS AND WRITTEN MATERIALS

Any and all reports or other written materials created by the DISTRICT for the COTINTY
conceming the work to be performed pusuant to this Agreement, or any portions thereof,
shall be the exclusive property of the COUNTY and shall not be used by the DISTRICT
for any purpose whatsoever without the prior written permission of the COUNTY.
10.2
The DISTRICT shall not publish, copyright, or otherwise disclose or permit to be
disclosed or published, the results ofany reports created by the DISTRICT for the
COUNTY conceming the work to be performed pursuant to this Agreement, or any
particulars thereof, including forms or other materials developed exclusively for the
COUNTY in connection with the performance by the DISTRICT of its services hereunder
during the period of this Agreement, without the prior written permission of the
COI.INTY.
10.3
Notwithstanding sections 10.1 and 10.2, the DISTRICT may use for marketing or
otherwise make available to the public any report or other written materials concerning
the work to be performed pursuant to this Agreement after the report or written materials
are completed and have been accepted by the COLINTY.
10.4
The DISTRICT agrees to protect the confidentiality of information it acquires pursuant to
this Agreement if:
A.
The information acquired from the COUNTY is designated by the COUNTY to
be privileged or proprietary except to the extent that (i) the information enters the
public domain, (ii) the information is obtained by the DISTRICT from
independent third parties not subject to any confidentiality or similar agreement
with the COI-INTY, or (iii) disclosure of the information is required by law, rule
or regulation or the valid order of a court or administrative agency.
B.
10.5
The information acquired in its performance of the work pursuant to this
Agreement is confidential and the confidentiality ofthe information is required by
law to be maintained.
The provisions ofthis article shall not be construed so as to make private or confidential
any report or other written materials that would be public records under the Virginia
Freedom of Information Act.
ARTICLE TI: CONFLICTS OF INTEREST

During the term of this Agreement, the DISTRICT shall not, without the prior written
permission of the COUNTY, accept from other clients any assignments or tasks which
substantially conflict with the objectives ofthis Agreement, or add persons to work on the
tasks identified in the Scope of Services whose interests may conflict with interests of the
COUNTY.

The DISTRICT shall give written notice to the COUNTY with respect to any such
assignments, tasks, or additional persons. The notice shall set forth in reasonable detail
the services the DISTRICT would undertake to perform in connection with such
assignments or tasks, or the tasks to be performed by the additional person.
The COLJNTY agrees to grant or deny its consent to the DISTRICT's acceptance ofthe
assignments or tasks, or additional persons, within ten ( 10) days after the notice is given.
The COUNTY shall be deemed to have sranted its consent if it takes no action within the
ten (10) day period.
ARTICLE 12: GENERAL
12.1
Modifications: This Agreement or any part thereof may not be modified, except by
written agreement ofthe parties signed by the duly authorized officers ofthe parties.
12.2
No waiver: Omission or delay by either party to this Agreement at any time to enforce any
right or remedy reserved to it, or to require performance of any of the terms of this
Agreement, shall not be a waiver ofany right or remedy to which either party is entitled,
and shall not in any way affect the right ofeilher party to enforce the provisions
thereafter. However, this section shall not be construed to be a waiver or a tolling of an
applicable statute of limitations, or to prevent eilher party from raising the statute of
limitations as a defense in any proceeding.
12.3
Applicable law: This Agreement shall be govemed by and construed in accordance with
the laws of the State of Virginia. The parties agree that proper venue, in the event of
litigation conceming this matter, shall be in Albemarle County, Virginia.
12.4
Severability: If any provisions ofthis Agreement shall be held to be invalid, illegal or
unenforceable, the validity ofall other provisions hereofshall in no way be affected
thereby.
12.5
Successor and assignees: Neither party shall assign or transfer this Agreement or any of
its respective rights hereunder without the prior written permission ofthe other party.
12.6
Force majeure: In the event that performance by either party ofany of its obligations or
undertakings pursuant to this Agreement shall be intemrpted or delayed by any
occurrence not occasioned by the conduct ofeither party hereto, whether the occurrence is
an act ofnature such as lightning, earthquakes, floods or other like causes, the common
enemy, the result of war, riot, strike, lockout, civil commotion, sovereign conduct,
explosion, fire or the act or conduct ofany person or persons not a party to or under the
direction or control ofa party hereto, then the performance shall be excused for the period
of time as is reasonably necessary after the occunence to remedy the effects thereof.
12.7
Entire agreement: This Agreement constitutes the entire agreement between the parties
and supersedes all previous agreements and understandings relating to the work to be
performed under this Agreement.
12.8
Nonappropriation: Iffunds are not appropriated by the board of supervisors ofthe
COIiNTY or otherwise made available to support continuation ofperformance ofthis
Agreement in a subsequent fiscal year, this Agreement shall be immediately canceled. [n
that event, the COUNTY's sole obligations shall be to compensate the DISTRICT for
work actually performed and reimbursable expenses incurred up to the date of
cancellation. In no event will the total compensation paid to the DISTRICT, including
the amount paid to compensate the DISTRICT pursuant to this section, exceed the
compensation provided for in Article 4. Upon cancellation, the DISTRICT shall
promptly provide to the COUNTY all work products, whether completed or not, prepared
by the DISTRICT pursuant to this Agreement.
12.9
