annual address to the over 200
business leaders in attendance at
the Greater Oshawa Chamber of
Commerce Mayor’s Annual State
of the City Address. The event,
hosted by BMO Bank of Montreal
for the 24th consecutive year, was
held February 18 the Quality Hotel
& Conference Centre.
The Mayor began his address
by thanking the Chamber members
and volunteers for their contributions to the success of the city and
the Region and for their confidence
and investment in Oshawa.
“Oshawa’s strong business
community has been integral to the
growth and expansion of Oshawa,”
said Mayor Henry. “Thanks to the
many years of support and investment of our local businesses, Oshawa has matured from its humble
automotive beginnings to an
emerging leader in key economic
sectors and to a world-class city
poised for continued growth.”
Mayor Henry reported that Oshawa is taking advantage of every
new growth opportunity in emerging sectors with the Maintenance
Facility in Whitby, a $859 million
dollar project, in the works to the
west and to the east, Ontario Power
Generation’s $12.8 billion Darlington Refurbishment project which
includes 8800 jobs bringing the
unemployment down to 6.4%, far
below the national rate of 7.2%.
Mayor Henry noted that Oshawa is the only community in
Durham Region and Eastern GTA
that offers all modes of transportation to service business. “Whether
it is access to the Toronto marketplace or eastern seaboard, Oshawa
provides access and connections
for all levels of business to move
people and products,” he stated,
using the example of Triad Metals
located on Farewell Avenue who is
taking advantage of the Port of Oshawa services for shipping metal
for their operations.
“Oshawa is open for business
and supports global outreach as
well as internal outreach to ensure
that every business that wants to
locate or expand in Oshawa is supported as much as possible. Oshawa's unique partnerships are key
to continuing to attract new businesses and investment to our city,”
commented Mayor Henry.

Gagnon Sports has been making a difference in the community for over 45 years. Located at 385 Bloor Street West in

Gov. Delays ORPP Implementation
The Ontario Chamber of Commerce (OCC) is encouraged by the Government of Ontario’s decision to
delay the implementation of the Ontario Retirement
Pension Plan (ORPP). The OCC is now restating its
call for government to support businesses’ transition
to the new plan through a series of offset measures.
On January 22, 2016, the OCC provided Premier
Wynne with a letter outlining its concern with the
fast-approaching implementation date of January
1, 2017 and urging the government to defer ORPP
contributions until 2018. The letter noted that in the
absence of any direct communication from government, many employers are still unsure about which
ORPP implementation wave applies to them, or
whether they will have to update their current compensation and retirement savings plans.
“The announcement shows that government is listening to the business community as it moves ahead
with the implementation of the ORPP,” said Allan
O’Dette, President & CEO of the Ontario Chamber
of Commerce. “A critical next step is for government
to establish a clear communications timeline that out-
lines how and when employers will receive information relating to the ORPP and any obligations they or
their employees may have.”
This announcement is the latest in a series of modifications to the ORPP’s design and implementation
timelines that have been elicited through OCC advocacy, including expanded comparability rules and the
public release of an economic impact analysis.
That economic impact analysis concluded that the
plan will have a negative effect on the economy over
the first twenty years of its lifespan. At its height, real
household spending is projected to decline to $2.9
billion below the base scenario, resulting in an annual
GDP loss of $2.3 billion by 2023. The OCC is urging
government to mitigate these negative consequences
by introducing measures that will offset the incoming costs of the new pension plan. This might include
targeted tax relief and supports for small businesses,
or measures similar to those implemented by the provincial government when the Harmonized Sales Tax
was introduced in 2010.

It’s a Mouthful
You may have heard the news that the Greater Oshawa Chamber of
Commerce has a new Chief Executive Officer. On January 27, 2016
the Chamber’s Board of Directors officially announced that Nancy
Shaw will become our next CEO.
She will begin work on Monday March 28th. Only a few days later,
on March 30th, the Chamber will have its Annual General Meeting at
the Oshawa Golf and Country Club with Minister Brad Duguid as our
keynote speaker.
What a perfect time and place to meet Nancy and welcome her

In his recent budget, Finance Minister Charles Sousa announced
that the provincial government would be delaying implementation of
the Ontario Retirement Pension Plan (ORPP) by one year. That can
only be good news for business in Oshawa and Ontario.
Hopefully, this delay will make it less likely the ORPP will go
ahead as originally planned. But as business people we must keep our
eye on the ball and continue to fight the implementation of this regressive tax.
As a business owner in Ontario, I find it very interesting that I have
had no communication regarding this “payroll tax”, yet the government has spent over $600,000 of our tax dollars on some lovely commercials and print advertising telling every Ontario employee how
wonderful this will be.
Contrary to the government’s insistence that the ORPP is a much
needed and welcomed plan, there has been an avalanche of opposition
since this legislation was announced from both business and business
organizations. The Greater Oshawa Chamber of Commerce, along
with the Ontario Chamber of Commerce, has been following this file
since February and in June wrote a letter to the Premier, along with
160 Chambers and businesses, appealing for more rational thinking.
Out of curiosity, I recently asked some of my staff at Durham Medical what knowledge they had of the ORPP and not surprisingly none
of them knew very much, nor did they understand the ramifications
to their pay cheque if the plan was implemented. A quick calculation
for an employee making $35K per year would end up contributing
$598.00, which is basically one week’s pay!
The government’s OWN study, conducted by Ekos research, found
59% of Ontario businesses expect to cut/freeze wages in response to
the ORPP; 54% of business would consider a hiring freeze; two-thirds
would make operating cuts, while others indicated they would cancel
existing pension plans.
I have been extremely opposed to the ORPP from day one! As a
small business owner I particularly HATE being forced into more government rules and regulations. I understand what the objective of this
government is and I don’t dispute that likely a number of my own staff
do not have adequate retirement savings, but I also strongly believe in
empowering each individual to secure their own future.
I have actually looked into the possibility of offering something
to staff as many banks and financial institutions offer some feasible
and flexible plans. Please, why not give the businesses incentive to
offer such benefits to our staff? Help make it worth my while to offer
something more to my staff!
The minister’s recent announcement will only affect large corporations with more than 500 employees. There is NO change to the start
date for all other businesses, so those of us small business with less
than 49 employees are still scheduled to be enrolled by 2019!
We as Chamber members must stay vigilant as we follow the process of the ORPP. The budget announcement at least shows that the
government is listening to the business community and support the
compelling arguments put forth in the letter to Premier Wynne by the
Ontario Chamber of Commerce.
Ultimately, the most important factor of employee’s financial stability is employment and the opportunity to access good paying jobs.
We need to attract more jobs to this province and certainly an additional payroll burden is not about to encourage any more businesses or
jobs to the Province of Ontario.

Canadian Manufacturers & Exporters, in partnership with the government of Ontario, have announced two initiatives aimed at supporting small- and medium-sized manufacturers: A $25 million green
SMART fund and a study to determine the best practices around SME
energy management strategies.
Canadian Manufacturers & Exporters will add to the legacy of
the CME SMART funding program this fall with a new $25 million
Green SMART fund for small- and medium-sized manufacturers, in
partnership with the Ontario government. Since 2008, CME SMART
has administered approximately $70 million in direct funding to more
than 1,200 manufacturing companies across Ontario. The new SMART
funding was announced on February 17th.
The SMART green funding program will provide assistance to Ontario’s small- and medium-sized manufacturers to reduce greenhouse
gas (GHG) and improve their energy efficiency and productivity.
The program, as have past SMART funding rounds, will improve the
competitiveness of the Ontario manufacturing supply chain delivering value not just to the SME-eligible manufacturers, but, also large
manufacturers.
This new program will be delivered with the same methodology as
the current SMART program. The program launch is planned for the
fall of 2016.
CME remains resolute that advanced technology adoption is the key
to reducing emissions in the manufacturing sector and that this needs to
be encouraged. This new SMART fund is a step in the right direction
toward assisting companies to reduce GHG’s while improving their
energy efficiency and productivity to benefit the entire manufacturing
supply chain.
The Evaluating Opportunities for Energy and GHG Reduction study
will target 100 Ontario SME manufacturing facilities to develop energy
conservation, energy management and energy efficiency retrofits best
practices. The study will seek to identify the impacts of advanced technology and productivity enhancement investments made in Ontario’s
manufacturing sector to date. The compilation of best practices in attaining energy conservation and reduced greenhouse gas emissions will act
as a guide to create a stronger and more agile SME manufacturing sector.
Following the completion of the energy study, details on a new $25
million program for SME manufacturers looking to complete GHG and
energy reduction projects will be unveiled.

Nancy Shaw Named Next CEO Of Chamber
Natalie Sims, President of the
Greater Oshawa Chamber of Commerce (GOCC), recently announce
that Nancy Shaw has been named the
Chief Executive Officer of the Greater Oshawa Chamber of Commerce.
Ms. Shaw will assume the role
on March 28 when she takes over
from retiring CEO Bob Malcolmson who has been CEO of the
Chamber for the past 18 years.
Ms. Shaw has long been active in the community. She is currently
the Executive Officer of the Durham Region Association of Realtors.
Prior to that, she was the Executive Assistant to former Canadian
Finance Minister, and Whitby-Oshawa MP Jim Flaherty. She has
served on several boards and not-for-profit organizations in the area.
“I am thrilled to be moving into the CEO position at the Chamber. I am looking forward to working with the staff and Board of
Directors to support the growth and prosperity of the businesses of
the Greater Oshawa Chamber of Commerce,” stated Ms. Shaw.

OCC Calls On Province To ‘Get Back
To Fiscal Balance
Business Group Calls for 2016 Budget that Extends Business Engagement On Cap and Trade to Focus
Proceeds on Job Creating Initiatives, and Contain Regulatory Burden to Ensure Economic Growth
The Greater Oshawa Chamber of Commerce
(GOCC) in partnership with the Ontario Chamber of
Commerce (OCC) recently released its 2016 Ontario
Pre-Budget Submission, which outlines key priorities
that address the need to eliminate the deficit and establish some much needed regulatory reforms.
According to the most recent OCC membership
survey, 92 percent of Ontario businesses believe it is
important that the government meet its deficit elimination target by 2017-18.
“Eliminating the deficit and reducing the debt
should be the government’s top priority,” said Bob
Malcolmson, CEO & General Manger of the Greater
Oshawa Chamber of Commerce. “The provincial debt
is now roughly $300 billion — interest payments on
that debt are consuming an ever greater portion of the
provincial spending. To ensure Ontario’s future competitiveness, we need to get back to fiscal balance. Locally, the Government needs to invest infrastructure
dollars on trade-enabling projects, such as the roads,
bridges and transportation to help Ontario businesses
get their goods to market.”
The province’s debt load has prompted credit rating agencies, most notably Moody’s Investors Service
and Standard & Poor’s, to downgrade the outlook for
Ontario from stable to negative. This is a growing
concern among foreign investors and provincial businesses. The Ontario Chamber Network recognizes
that there is an opportunity to address the Province’s
fiscal challenge through regulatory reform.
The 2016 Pre-Budget submission further calls
on the Province to work more closely with business
around the development of the proposed cap and trade
system. In fact, 35 percent of respondents from the
OCC membership survey are unsure as to how the
proposed cap and trade system will impact their bottom line. By directing cap and trade revenues back
to efforts that facilitate business transition to a lower
carbon economy, the government can ensure that businesses will be able to continue to operate and grow in
the province.
“The Ontario Chamber Network applauds the government for demonstrating its commitment to burden
reduction through programs such as the Open for
Business Initiative. By working together, business and
government can ensure that Ontario becomes a global
regulatory centre of excellence,” said Allan O’Dette,
President and CEO of the Ontario Chamber of Commerce. “With complex issues like cap and trade, for
instance, it is important that the provincial government work collaboratively with the business community to ensure a strong economic future for Ontario.”

Canadian Chamber Outlines Top 10
Barriers Holding Back The Economy
The Canadian Chamber of Commerce has identified the Top 10 Barriers to Competitiveness for 2016,
a list of key impediments that are preventing Canadian
businesses from reaching their full potential and, in
turn, Canada from improving its productivity and economic prosperity.
In a fiercely competitive world, business needs
more than its own skills to win—it also needs a supportive environment and public policies to encourage
competitiveness. This annual list of barriers points to
economic hurdles of our own making, self-imposed
limits on the growth of Canadian businesses. Through
this initiative, the Canadian Chamber is bringing these
barriers to the forefront and is urging all stakeholders
to act more swiftly to improve our country’s ability to
compete globally.
“Although the policies involved may have started
with positive goals, they now hinder business success,
and many of the issues on our list were repeated from
previous years,” says the Hon. Perrin Beatty, President
and CEO of the Canadian Chamber of Commerce.
“We need to act now. We’ve identified a series of improvements that can be put in place rapidly. We ask
the government to remove these obstacles before conditions worsen.”
This year’s edition covers several ongoing issues, from internal trade barriers between provinces
to the lack of clarity concerning consultations with
Aboriginal peoples and our inability to efficiently get
resources to world markets. There are a number of
new barriers as well, including Canadian businesses’
vulnerability to cyber crime and Canada’s lack of preparedness for the effects of climate change.
“These barriers are of our own making. They are
the result of acting wrongly or failing to act at all, but
we can eliminate them if we have the will to do so,”
says Mr. Beatty. “Government can provide the leadership to remove these hurdles. This is the opportunity
to take another step towards a Canada that wins.”

After recently returning home
from a little Florida getaway in
February, and with the recent
strengthening in the U.S. dollar compared to the Canadian
dollar, I thought that it would be
appropriate to write about the
income tax implications of selling your U.S. vacation property.
Selling U.S. vacation property
— what should I know?
Mr. Sun purchased a vacation home in Naples, Florida for
US$238,000 on November 1,
2012 when the Canadian dollar
was approximately at par with
the U.S. dollar. He has been
enjoying his vacation home with
his family several times a year
and has never rented out the
property. He lives in Canada
and is not a U.S. citizen or resident. With the strengthening
Florida real estate market and
weakening Canadian dollar, Mr.
Sun is considering selling his
vacation property. He estimates
that it may sell for as much as
US$365,000. Before putting
his property on the market, he
thought it best to talk to his
BDO advisor. He has not sold
any U.S. real estate properties before and would like to
understand what he needs to
consider from an income tax
perspective in both the U.S.
and Canada. These are his
questions and BDO’s answers.
Will I have to pay U.S. tax on
the sale?
Yes, as you will be selling
real property located in the
U.S., you will be liable for any
U.S. taxes that result from the
sale. There are two U.S. tax
processes to keep in mind —
When you sell your vacation
property, the purchaser will be
obligated to withhold and remit
10% (or 15% for properties
sold after February 16, 2016)
of the gross proceeds to the
Internal Revenue Service (IRS).
If your estimate of actual taxes,
calculated as noted under the
next section titled Filing a U.S.
income tax return, will be less
than this withholding tax, you
can apply for a withholding certificate from the IRS. This will
allow you to reduce the amount
of withholding to an estimate of
the maximum tax that could apply on the net gain (i.e. gross
proceeds less the cost of the
property), based on the top
bracket tax rate applicable to
the net gain (20%, for a property held for a year or longer). In
order to apply for the withholding certificate, you will need to
file Form 8288 B with the IRS
on or before the date that the
sale of the property closes and
notify the buyer that you have
applied for a certificate. The
IRS requires documentation
to be attached to Form 8288B to substantiate the original
purchase price, cost of capital
improvements and the selling
price. The IRS will normally act
within 90 days of receiving the
completed form and all required
documentation, but the process can take longer in some
cases. Note that Form 8288-B
requires that a Tax Identification
Number (TIN) be provided. Assuming you do not already have
a TIN, you will need to apply
for an Individual Tax Identification Number (ITIN) by completing Form W-7 and sending the
completed Form W-7 in with
Form 8288-B.
An exception to the withholding requirement may apply
where the purchaser signs a
statement indicating that the purchase is for use as a residence
and that they have definite plans
over the next two years to reside
in the property for at least 50%
of the time that it is used. Where
this residence test is met and
the property is sold for gross
proceeds of US$300,000 or
less, there is no withholding. Effective for dispositions that take
place after
February 16, 2016, a 10%
rate will apply where the purchaser will use the property
as a residence and where the
property is sold for gross proceeds of between US$300,000
and US$1,000,000.
The purchaser of the property will need to file Forms 8288
and 8288-A to report and remit
the withholding tax, generally,
within 20 days of the sale. If
an application for a withholding certificate has been submitted but is still pending with
the IRS on the date of closing,
the purchaser will need to first
withhold the 15% (or 10%) of
gross proceeds and retain the
funds in escrow, which can later be fully or partially released
to the seller if a withholding
certificate is granted. The IRS
requires remittance of the reduced withholding amount
within 20 days following the
day the withholding certificate
or notice of denial is mailed by
the IRS. To minimize the length
of time the funds remain in escrow, it is generally advisable
to file Form 8288-B as soon as
possible after a firm offer to sell
the property is in place.
Filing a U.S. income tax return
You will need to file a nonresident U.S. federal income tax

return, Form 1040NR, to report
the sale of the property and to
pay tax on any capital gains on
the sale. The amount of the gain
is determined by taking gross
proceeds (reduced by selling
costs) and subtracting the cost
of the property. The U.S. tax is
then calculated on the net gain.
The rate of tax applied will depend on the amount of other
U.S. source income, if any, that
you need to report in the year,
and the amount of the gain.
Note that the U.S. taxes the entire capital gain, not 50% of the
gain as in Canada, but the rate
on long-term capital gains (gains
on assets held more than a year)
is a fixed rate which is lower
than the tax rate on ordinary
income. Depending on income
level, the gain is subject to tax at
0%, 15% or 20%. The amount
of withholding tax applied at the
time of sale will be taken as a
credit on this tax return. Even if
the property is sold at a loss and
there was no withholding tax at
source, Form 1040NR is still required to be filed.
You do not need to be concerned with state income taxes
as the state of Florida does not
levy personal income tax.
Am I subject to Canadian income tax on the sale of my
U.S. property?
Yes, as a Canadian resident,
you are subject to Canadian
income tax on worldwide income, which includes any capital gains realized on U.S. real
property. In Canada, only 50%
of the capital gain is included
in taxable income and you will
generally be allowed to claim a
foreign tax credit for the U.S. income tax paid. The result is that
you will end up paying tax at the
higher of the two countries’ tax
rates, but should not be subject
to double taxation. It is important to note that your Canadian
tax is determined in Canadian
currency and as such, all U.S.
amounts need to be translated
to Canadian dollars at the
transaction dates. This will result in a foreign exchange gain
or loss being recognized on the
sale of the property.
What happens if I realize a
foreign exchange gain on the
sale?
As you purchased your U.S.
vacation property when the Canadian dollar was at par with
the U.S. dollar, you will realize
a foreign exchange gain upon
sale as a result of the weakened Canadian dollar. For example, if US$1.00 translates
to approximately CAN$1.38,
the foreign exchange gain you
will realize upon sale, assuming no other adjustments to
your capital gain calculation,
may be almost CAN$140,000!
Therefore, although the gain for
U.S. purposes is US$127,000,
the gain to be reported in Canada would be approximately
CAN$267,000.
Can I claim the principal residence exemption to reduce
Canadian tax?
You may be able to claim
the principal residence exemption to reduce or eliminate the
taxable capital gain in Canada. In order to qualify as your
principal residence, generally,
the property must be owned
or jointly owned by you and
another person and ordinarily
inhabited by you or your family. Even though you only live in
your U.S. vacation property for
a short time in the year, it can
still qualify. However, if the main
purpose of owning the residence is to earn income, then it
will not qualify. Note that if you
or your spouse or common-law
partner own more than one
residence during a year, you
will need to decide which one
you want to designate as your
principal residence for that
year, which will then allow you
to claim the exemption. If you
choose to claim the principal
residence exemption on your
U.S. property for one or more
years, any remaining taxable
capital gain, after the principal
residence exemption, will be
taxed at your personal marginal
tax rates. While it is possible to
use this exemption to reduce
your taxable capital gain to nil,
you will still be liable for U.S.
tax. As such, it would generally make sense to pay at least
as much Canadian tax as is
necessary to fully use the U.S.
taxes paid as a non-refundable
foreign tax credit against your
Canadian tax. Due to the U.S.
tax, you may want to preserve
some or all of the principal residence exemption for another
home that you also owned during the same time. Some other
considerations in designating a
principal residence include the
cost, value, levels of accrued
gains and years of ownership of
all your residential properties.

What if I rent out my U.S.
property instead of selling it?
The rental income you earn
will normally be subject to U.S.
federal income tax at 30% with
no allowed expense deductions. Your tenant or property
manager will be required to
withhold and remit 30% of the
gross rent to the IRS. However, you may elect to treat your
rental income as effectively
connected with a U.S. trade or
business. This allows you to deduct applicable expenses (such
as insurance, maintenance
costs and property taxes), to
claim depreciation based on
the original cost of the property plus capital improvements
and to pay U.S. tax on the net
rental income at U.S. marginal
tax rates. In many cases, a net
rental loss is recognized, and
is eligible to be carried forward
to apply against future rental
income or capital gains arising
from the property.
Under this alternative, you
must file a U.S. income tax return, Form 1040NR, and make
the election in the first tax return. You must file this election
with the return, along with the
required documentation, on a
timely basis. Note that this election, if made, will apply for all future years unless it is revoked.
Once this election is made,
there is no requirement for your
tenant or property manager to
withhold tax, but if requested,
you will need to complete Form
W-8ECI and provide it to your
tenant or property manager so
that they can pay you your rent
in full without withholding any
tax. In addition, you will need
to file Form 1040NR each year
you receive rental income in order to determine your U.S. federal tax liability. As noted previously, the state of Florida does
not levy personal income tax.
In Canada, your net rental
income will be taxable and a
foreign tax credit for U.S. taxes
paid on the net rent may be
claimed to reduce your taxes
payable. It is important to note
that renting out your U.S. property may affect your ability to
claim the principal residence
exemption when you sell it.
Changing your U.S. property
from personal use to a rental
property adds complexities to
both your U.S. and Canadian
tax filings, such as determining
the appropriate tax deductions
to take, and will also have an
impact on your tax liability upon
sale of the property. Your BDO
tax advisor can assist with further details if you decide that
you would like to rent out the
property instead of selling it.
As demonstrated, there are
various considerations and tax
elections available to you when
planning the sale of your U.S.
vacation property. Taking the
time to consider which elections
to make and filing the required
documentation is both worthwhile and prudent. Your BDO
advisor is ready to help you deal
with these complexities.
