General Terms and Conditions:
1. Effective Term - This Agreement shall become effective as of the execution date as defined below and shall remain in effect until
February 28, 2013 unless terminated sooner. 2. Termination – If either party materially breaches any of its obligations under this Agreement and if such breach is not cured by the
breaching party within 30 days of written notification, then the non-breaching party shall have the right, but not the obligation, to
terminate this Agreement effective immediately.
3. Termination Reimbursement - If termination clause is executed by the Sponsor, only the prorated amount of the sponsor’s unfulfilled
benefits shall be reimbursed as determined by the UtahSBA. 4. Agreement Restrictions – Notwithstanding anything to the contrary contained in this Agreement, in the event the UtahSBA’s compliance with any provision(s) of this Agreement is prohibited, limited or otherwise restricted under the terms of any other agreement,
including, without limitation, any agreement in respect to Miller Motorsport Park, the UtahSBA shall not be required to comply with
such provision(s) of this Agreement and such noncompliance shall not be deemed to be a breach of this Agreement by the UtahSBA, provided, however, that the consideration owed to the Sponsor by the UtahSBA under this Agreement shall be reduced by a
proportionate amount to reflect such noncompliance by the UtahSBA.
5. Assignment - This Agreement shall inure to the benefit of and shall bind the parties; provided, however, that this Agreement may not
be assigned or otherwise transferred by either party without the written consent of the other party.
6. Confidentiality – Except as required by law, neither party shall publicly disclose or publicize in any manner any of the specific terms
of this Agreement.
7. No Joint Venture or Partnership – This Agreement shall not create a joint venture, partnership, principal-agent, employer-employee
or similar relationship between the Parties.
8. Force Majeure – Neither Party shall be liable for any delay nor failure to perform any obligation hereunder caused by circumstances
beyond its reasonable control (Event of Force Majeure) for such period of time as such event continues, provided that the party
prevented from performing uses all reasonable efforts to perform such obligations once such event has ceased. If such Event of
Force Majeure continues for more than 45 days, the performing party will have the right to terminate this Agreement upon notice to
the non-performing party.
9. Material Costs – All costs associated with materials regarding the advertising agreed upon within this contract are the sole responsibility of the Sponsor to provide. The providing of locations, space, and physical area to advertise is the responsibility of the
UtahSBA in regards to all advertising binding within this contract. The UtahSBA can coordinate for providers of advertising material
if specifically noted within this Agreement and may be subject to additional fees not noted within this Agreement I believe this summarizes our Agreement. If you concur, please indicate your acceptance by signing in the space provided below and returning one (1) original counterpart to me for our files.
