I
can’t believe how quickly this summer flew by.
It seems like overnight I went from sweating
through three t-shirts per day, to needing a
sweatshirt instead! It was around July 4th that
Rocco called to ruin yet another holiday weekend
by giving me my newsletter deadline. GREAT!
What can I possibly say now? Why didn’t he wait
until at least July 7th to stress me out again? And
then it came to me…
One of my favorite perks of PHCC is the
camaraderie. I enjoy bonding with other PHCC
members who have the same business issues as I
do. I have learned so much from fellow members.
By sharing stories, ideas, successes and failures, I
have been able to implement several ideas in my
own company that have proven priceless. I have
also developed several partnerships with fellow
PHCC members and together, we work as a team
offering help, referrals and guidance when needed.
As I mentioned in my last letter, I know PHCC
has my back in the political arena. That’s one less
thing to keep me up at night! It’s satisfying to be
a part of an organization whose purpose it is to
protect my best interest.
PHCC Ohio provides numerous MEMBERS

n several recent state PHCC publications, a recurring theme
appears in articles written by members: membership in
PHCC is just “good business.” The p-h-c contractors all
spoke of how they have benefited from the good business
practices available to them through their membership in PHCC:
• Surrounding themselves with motivated like-minded
contractors;
• Educating themselves and their employees through
PHCC resources and as many possible training
opportunities as possible; and
• Taking time to have a voice on issues impacting their
business.
With updated technologies, new laws and unprecedented
economic challenges, it’s essential to stay on top of your game.
And the companies adopting business philosophies like the
ones outlined above are keeping up with change to become

Technical and Code Issues
PHCC is leading the way on technical and code issues and
providing input to the appropriate parties. We’re working on
everything from National Standard Plumbing Code (NSPC)

This summer, the PHCC Educational Foundation released
its HVACR 401 online home study course, completing its full
four-year online apprenticeship-related instruction program for

unable to attend a classroom-based apprenticeship program the
opportunity to complete the program online.

Federal Government Pushing
for More Unionization
T
here is a strong movement in Washington right now to
get more private sector employees unionized through a
series of regulatory proposals that most employers don’t
even know about. What Washington was not able to do because
of the defeat of the Employee Free Choice Act [the card check
law permitting unionization without an election] is now being
done by a series of proposed regulations of the National Labor
Relations Board and the Department of Labor. These are the
biggest changes to the union representation election process
since 1947 and make it much easier for a union to organize
your company. Moreover, DOL regulations are being proposed
to discourage companies from hiring consultants to advise
them on how to remain union free when an election petition
is threatening. On top of all of this, the NLRB is proposing
changes in the law to give employees access to company email
systems so that individuals can wage pro-union campaigns and
if the company disciplines an employee for blogging negative
things about the company and its management, the employees
would be free from retribution even if the company is harmed.
Coupling all of this together could very easily cause a surge
in union organizing activities at one of the worst economic
periods in our country’s history. The citizenry is unaware
of these not so subtle changes because these changes are not
coming through new laws debated on the floor of Congress
but instead through proposed regulatory changes in various
federal agencies and through regulatory rulings. You need to
act now to have your voice heard in Washington and, right now,
you need to create an effective union free program for your
workplace.
On June 21, 2011, the NLRB proposed “reforms” to the
union organizing procedures that were published and the
NLRB has invited comments until August 22. Interest groups
are lining up on both sides and speaking out loudly. The
changes would restrict a company’s ability to communicate
with its employees and hinder a worker’s right to make a fully

informed decision in a union election. It would streamline the
process to reduce the amount of time from the union filing
its request for an election to the time of the actual election –
thereby restricting the management’s opportunity to voice its
views on the matter. Remember, unions prepare and campaign
secretly well in advance of filing for an election – a distinct
advantage. Also, among other things, the rule would require
the company to turn over email addresses for its employees
so that the union could communicate with them [at work?].
The only pro-management member of the NLRB commented
about the proposed rule and said “in truth, the problem which
my colleagues seek to address through these rule revisions is
not that the representation election process generally takes too
long – it is that unions are not winning more elections.” But,
in the most recent annual report of the NLRB, the unions were
wining 63.8 % of those elections. Various representatives of
the Obama administration recently have voiced the opinion
that strong unions are important to developing a strong middle
class and that increasing union membership is as important to
rebuilding the middle class as boosting college graduation rates.
In this faltering global economy, it is hard to see how increased
unionization would serve to improve our competitive edge in
the world and improve the quality of our workers’ lives in the
long term.
On a related matter, as of November 14, 2011, each
employer will be required to display a NLRB poster apprising
employees of their rights to join a union and how to contact
the NLRB. It even provides examples of unlawful employer
conduct. The poster is much like current EEO and DOL wagehour posters which must be displayed.

Succession Planning
A
ccording to a PricewaterhouseCoopers survey,
one-quarter of the family-run companies are due to
change hands within the next five years. Half of these
companies are expected to remain in the family. Yet almost half
of all responding companies have no succession plan.
What is succession planning? It’s the process of planning
for transition of a business from one generation to the next or,
for non-family companies, from one owner to the next. Even
if you’re not yet ready to hand over the keys of the business,
it’s still important to have a plan in place in case something
unexpected happens. Because succession planning is often tied
into estate planning, it gets put off because most people are
uncomfortable thinking about it.
Think about it, though. Succession plans help assure that
when you do decide to leave the business (retire or pass away)
the business will continue on. Without proper planning, you’ll
be subjecting your loved ones to financial & tax issues on top
of the emotional issues involved. In fact, many businesses
have closed because of the taxes imposed on the untimely sale
or transfer of the business. It’s like a ship with no captain. It
wanders aimlessly where it may capsize or run aground due to a
storm. Research from the Family Firm Institute shows that only
30 percent of family-owned businesses survive the transition
from the first to the second generation. It goes downhill from
there. Only 12 percent survive to the third generation and only
3 percent make it to the fourth generation.
What can be done to improve these statistics? Start
planning for the transition. Remember, this is a process and not
a singular event. It’s not something that is done in a day, week,
month or year. Plans can take years to fully implement. Let’s
take a look at the steps involved in the succession planning
process.

Identify your goals and objectives – What do you want to
do? What’s your timeline on retiring or leaving the business?
What are your wishes in case of illness or death? Is the business
going to be sold or gifted to the children? Is it going to be sold
to outside parties? There are different strategies for selling to
families or outside parties. You need to have a clear list of your
goals and objectives.
Identify your successors – Who’s going to take over
ownership and management of the company? Are the children
involved in the business in leadership roles? Are they capable
of taking the keys and driving the business? It’s important
for the owner to identify the successors early on. If they need
additional training on running the business, be sure that they get
it. Make sure the successor understands the company’s vision.
Once you identify who is going to succeed you in the business,
make sure the employees, vendors and clients know this. Once
you’ve handed the keys over, you’re no longer driving. Don’t
be a backseat driver. Your employees will pick up on this and
you’ll undermine the whole transition process!
Create or review your estate plan – In family businesses,
succession planning and estate planning go hand-in-hand. This
is when you bring in the members of your outside professional
team: CPA, attorney, and others as necessary. They will all play
a role in assuring that your wishes are clearly stated and set up
properly to address tax and legal matters.
Get a business valuation – Whether you’re selling your
business to family members or outside parties, it’s important
to get an independent valuation done on the business. If you’re
looking to get the most you can for your business, then you’d
likely be looking to sell it to outside parties. It’s not always in
your best interest to have the business be valued at the highest
amount. There are tax and estate planning issues that come
into play. Who would be interested in the highest value for the
business besides yourself? Do the letters I-R-S ring a bell?
Valuing a business is like a cold shower for many owners.
It’s startling and eye-opening. The business is usually not worth
what the owner thinks it is. A lot of times it’s because the owner
is looking at it emotionally. Things that the owner believe have
value to the business aren’t considered valuable by the buyer. In
some cases, I’ve seen a valuation come back at about a third of
what the owner thought the value was.
The business valuation also depends on the method used
for valuing it. Is it going to be valued based on the income (or
projected income) or on the assets (or replacement cost of the
assets) of the company? Implement the plan – Execute the steps in the succession
plan that you’ve created. Train, educate and encourage your
successor. Make sure everyone knows what’s going to happen,
when it’s going to happen and how it’s going to happen. Meet
with your advisors and review the plan as necessary.
Succession planning impacts all parties involved in the
company from the employees to the clients to the vendors. It’s
never too early to start planning. Transitioning a business is
more successful when there’s a plan. The old adage “Failing
to plan is a plan to fail” is true. Hopefully, the overview of this
process has given you some things to think about in your own
business.

Privatizing Workers’ Compensation

May Be Feasible
Senate-appointed study committee’s
report says partially privatizing Ohio’s
workers’ compensation system could
reduce employers’ insurance premiums, but
not all members agreed with that conclusion.
Some members of the Competitive
Workers Compensation Task Force, which
recently held its last hearing after a year and
half of meetings, argued that any move to
allow private insurers to compete with the
Bureau of Workers’ Compensation would
require a constitutional amendment and
noted a lack of support from the business
community.
The panel’s conclusions come as the
Republican-led legislature plans to take
up legislation to overhaul the workers’
compensation system this fall. Business
groups have been cool to the idea of partial
privatization and are lobbying for a different
course that would generally reduce benefits for
injured workers.
When West Virginia recently converted to
a private system, there was no negative impact
to services and coverage for injured workers,
the study says, noting the Ohio Workers’
Compensation Bar disputed that conclusion.
The task force report recommends further
study on a number of complicated issues,
such as whether or not private insurers should
be required to insure high-risk companies.
Members were split on the issue.
“If the private insurers have full customer
autonomy, BWC would have to maintain
a system to provide insurer of last resort

coverage,” the document says. “This is a major
policy issue that will affect the role of BWC
and premiums for high risk businesses.”
Another unresolved issue is the “tax
advantages enjoyed by the BWC and its
impact on private insurer competitiveness,” the
report says, suggesting further analysis.
Task force member Scott Gilliam,
government relations officer for the Cincinnati
Insurance Companies, offered a supplemental
opinion questioning support for allowing
private insurers to compete with the BWC.
“As far as we can tell there is no palpable
business community support for a private
option for Ohio workers’ compensation
insurance. Therefore, we believe this is a
classic ‘cart before the horse’ situation,” he
said.
Mr. Gilliam also said there was no
support from the in-state insurance industry.
“This is probably due to the fact that the Ohio
businesses that would purchase the coverage
do not seem to have any interest in having a
private option.”
Attorney Phil Fulton, a task force
member, submitted a supplemental report that
says any plan to include private insurers in
the state’s compulsory workers’ compensation
system would require a constitutional
amendment.
“At the very least, it will result in
expensive and lengthy litigation. I would
suggest that now is not the appropriate time
for the use of those resources by any of the
stakeholders in Ohio,” he said.

Group-Rating Safety Accountability
Dear Employers:
Each year Ohio employers have the opportunity to
participate in BWC’s Group-Experience-Rating Program or
Group-Retrospective-Rating Program. While these programs
are not required, they do provide you with an opportunity to
significantly reduce your workers’ compensation premiums,
while increasing your awareness of safety and risk-management
strategies.
Workplace safety is an important component of these
programs. To succeed in accident prevention, we encourage
you to use the many resources available to you. We believe a
group-rating program is a partnership that includes you and
your employees, your sponsoring organization or third-party
administrator (TPA) and BWC. Each has specific roles and
responsibilities, all designed to assist in preventing workplace
accidents. This letter outlines the safety services expectations
you should have as an employer enrolled in a group-rating
program.
The employer will:
• Maintain a safe workplace;
• Attend safety training to enhance workplace safety;
• Implement BWC’s 10-Step Business Plan for Safety and
use available safety services as needed;
• Attend the required two-hour training and provide proof of
attendance to sponsor for claim(s) occurring within the last
two years.
The certified primary and affiliated sponsoring organizations
will:
• Communicate, educate and verify BWC’s 10-Step
Business Plan for Safety to group members;
• Sponsor eight hours of safety training (this may be done at
one time or may be provided incrementally as long as the
total is at least eight hours);
• Provide information regarding safety resources to group
members;

Possibly assist an employer in achieving its safety needs;
Manage employer fulfillment of the two-hour training
requirement, where applicable;
Publish this letter to group members.
The TPA may:
• Assist sponsoring organizations with fulfilling the grouprating safety requirements;
• Assist an employer with its safety needs;
• Work in conjunction with sponsors to develop safety
training and deliver safety resources;
• Provide resources for claims handling.
BWC will:
• Monitor all group-rating safety activities to confirm
requirements are met;
• Meet at least annually with sponsoring organizations
to provide recommendations for fulfilling safety
requirements;
• Provide safety training through Ohio’s Center for
Occupational Safety & Health;
• Offer on-site safety consultation (hazard assessments, air
and noise monitoring, ergonomics evaluation, training) by
a BWC safety professional;
• Offer publications and videos for safety program support;
• Conduct employer visits to confirm the employer is
meeting group-rating requirements, when appropriate.
The goal of this collaborative effort is to make sure all
your safety needs are met. Using these resources will assist you
in preventing accidents, reducing claims costs and achieving
