receipts
generated
by
“Live
2
Tell”
during
the
Term
in
all
media
(including
ancillary
markets)
on
a
worldwide
basis
(“Gross
Receipts”)
shall
be
allocated
and
paid
as
follows:
a. First, to Financier/Investor for recoupment of a portion (20% minimum) of the principal budget through the receipt of tax credits from the State of Michigan; b. Second, to pay distribution fees and expenses, including the CAM Account costs; c. Next, to recoup P&A funds and pay financing fees to the provider of the domestic P&A funds (to the extent not covered in (a); d. Next, in respect of payments for third party participation, residuals and third party debt, if any; e. Next, to Financier/Investor for 100% of principal budget (Negative Costs) recoupment; f. Next, to Financier/Investor for an aggregate 15% premium on the amount recouped under (d) above; g. Next, to NStar Entertainment until it recoups its non‐distribution related development and pre‐production expenses and start‐up legal fees (to be mutually pre‐approved by Financier/Investor based on actual/original receipts) up to $150,000.00; h. Next, to any Talent Participation then due (to be mutually pre‐approved by Financier/Investor and NStar, and if not already paid out in accordance with clause (c)); and i. Next, remaining Gross Receipts to be allocated 50% to Financier/Investor, 10% to Financier’s Co‐Executive Producer(s) and 35% to NStar Entertainment, LLC and 5% to Afeni Shakur (per the Option Agreement). Outline of Terms for P&A, Domestic and Foreign Distribution Agreements
NStar
will
submit
proposed
strategies,
financing
sources
and
agreement
terms
for
P&A
financing
to
Financier/Investor
in
addition
to
proposed
domestic
and
foreign
distribution
agents.
Joint
discussion
on
distribution
will
be
led
by
Russell
Schwartz
(OMG
and
formerly
Focus
Features),
Ivan
Juzang
(NStar)
and
Financier/Investor.
Financier/Investor
shall
have
meaningful
consultation
rights
with
respect
to
ALL
domestic
and
foreign
distribution
decisions
and
agreements.
j. [P&A Budgets. NStar will submit a preliminary domestic P&A budget, which budget will show the anticipated print and advertising expenses in connection with the initial theatrical release of the Picture in the domestic territory to be incurred after the initial theatrical release of the Picture. The preliminary P&A budgets may be adjusted by NStar and Financier/Investor prior to release with meaningful consultation with Russell Schwartz, and NStar shall prepare a final P&A budget for the domestic territory.] k. Distribution (Distribution and Sales Agreement Agent Approval Rights). NStar will consult with Financier/Investor with respect to material distribution issues on a worldwide basis for the Financed Picture. The final decision with respect to worldwide distribution, agents and agreements will be a joint decision between NStar (in consultation with Russell Schwartz) and Financier/Investor. l. Advertising/Marketing. The “Marketing and Advertising” of Live 2 Tell will follow NStar’s Research‐Informed Process as outlined in NStar’s Business Plan. NStar shall have full authority and control over decisions relating to the marketing, promotion and advertising of the Financed Picture. NStar will consult with Financier/Investor with respect to marketing, promotion and advertising of the Picture, but final decision with respect to key advertising decisions will be a joint decision between NStar and Russell Schwartz.
