WELCOME/CALL TO ORDER Dave Chondon confirmed that there were 10 members present and 5 proxies. The notice calling the meeting was given to the membership via the BBBS of Peel newsletter and posted on the website more than 14 days in advance of this meeting. Shari Lynn Ladanchuk, President & CEO, has provided proof of the publication of the notices. Copies of the notice were available at this meeting. Shari Lynn Ladanchuk was appointed as Recording Secretary of the meeting. 2. INTRODUCTIONS Attendees introduced themselves to the group. 3. TREASURER’S REPORT Glen Way spoke to his report highlights and made a motion to accept the Treasurer's report and Audited Financial Statements for the period ending December 31 2011. APPOINTMENT OF AUDITOR 2012 Glen Way made a motion to accept the appointment of MacGillivray Chartered Accountants and Business Advisors as auditors for the year 2012 for Big Brothers Big Sisters of Peel Inc and to have the Board of Directors fix their remuneration. BOARD DEVELOPMENT COMMITTEE REPORT AND ELECTION OF THE BOARD OF DIRECTORS Dave Chondon read the following statement: All of the incumbent directors complete their term of office at this meeting. The bylaws of the agency require that a number of directors equal to the number of directors retiring shall be elected by the members of the Agency eligible to vote. CARRIED In accordance with the Agency's by-laws, the Board Development Committee nominates the following individuals to stand for election as a director of the agency to hold office for a term of one year from the date of their election. Each of the nominees has accepted the nomination: Dave Chondon, Hanna Dunn, Tim Fox, Tabish Gill, Nora Guinane, Cherie Hruska, Scott Hyndman, Michael Marcotte, Angel Massey-Singh, Leo Pollard, Steve Sheils, Glen Way There were no further nominations received within the prescribed time. Accordingly, the nominations were declared closed. There are ten candidates for fourteen vacancies. Therefore, these nominees shall be elected by acclamation as directors of the Agency for a one year term. Since the by-laws of the Agency require directors to be elected by ballot, we require a motion to formalize the election by authorizing the President to cast a single ballot for that purpose. ...Continued on page 6 5 AGENDA ITEM ACTION 8/9. BOARD RECOGNITION Dave Chondon: Dave Chondon recognized retiring board members: Sheila Russell-Thoroski, Jake Dheer, Anthony Alfred and Carl Smith 12. NEW BUSINESS Dave Chondon called for any new business. Lori Plati thanked the staff of BBBS for supporting her after her car accident last summer. 13. Board Chair/CEO Report - 2012 Mentoring the “Big Brothers Big Sisters way” is 100 years young in this country and 46 years old in the Peel Region. Our roots are in Brampton yet our impact now blossoms throughout the entire Region. We have a lot of experience, have seen much change but know that mentoring matters, is a preventive solution to a multitude of societal issues and remains a fundamental and life changing solution for all those it touches. We know that what got us here will not get us there, we know we need our diverse stakeholders and most importantly our volunteers to help us map the way and we understand that our impact is vast and varied. We look at our challenges as opportunities, embrace calculated risks and navigate nimbly. We are committed to children and youth and often turn hard questions around by simply asking ourselves - what is best for the kids? Our new Agency Service Plan was put into action this year and the dedication to the strategies contained therein landed us with another year of growth - 1545 children and youth served in the agency. Our collaborative and partnership initiatives continued to flourish and we are proud to provide leadership in mentoring in our community. Highlights include the significant expansion of the Game On! Eat Smart, Play Smart, Live Smart program and the Conversation Club, the creation of the Black Community Advisory Council's Mentoring Program and first time funding from the Ontario Ministry of Culture, Tourism and Sport for an Afterschool Program. Our Board of Directors offers strong leadership and governance to ensure oversight to the foundation, vision and outcomes of the agency. Appreciation is extended to all Board and Committee members for their efforts to enrich the impact of our mentoring work. The Board struck a new Operations Committee who has undertaken a risk management project that will serve as the foundation for the strategic planning process to commence over the next year. A special mention goes to the incredible staff of the agency. Their commitment to mentoring is constantly evidenced by their ability to navigate through on-going changes, their passionate quest for excellence in service delivery and their unwavering support of our volunteers, donors and families. We are constantly reminded that it is the richness of our volunteers that enables so many of our successes. Our volunteer ranks are over 1300 strong each volunteer enhancing our capacity to be creative and responsive to the needs of our community. However, our greatest sense of accomplishment comes in the eyes of the children we support …that twinkle in their eye when they see their mentor joins the many other stars in our BBBS sky…we're making a difference one twinkle at a time. Thanks are extended to those who have helped us, are helping us and have yet to help us! Respectfully Submitted, David Chondon Board Chair Shari Lynn Ladanchuk President and CEO 7 TREASURER'S REPORT 2012 On behalf of the members of the Finance Committee and the Board of Directors, it is my pleasure to present the financial statements of Big Brothers Big Sisters of Peel (BBBSP) for the year ended December 31, 2012. As with 2011, from a financial perspective the agency was forced to contend with a challenging environment. Although Big Brothers Big Sisters of Peel continues to enjoy an enviable financial position from which to grow, the effects of competitive pressures and a tough economy has strained donors in both the for-profit and not-for-profit sectors. The effect has been felt across all revenue lines. Despite working through a budget deficit the balance sheet is strong with total assets of $514,000 and working capital of $345,000, which despite the volatility of the last few years, is unchanged from 2009 levels. Net assets total $356,000. After helping a record number of kids in 2011, the Agency was able to serve an additional 8% of children this past year. As might be expected, operating expenses increased 2.7% with Salaries & Benefits being the major contributor. While there was not a material change in revenue, the composition of the Agency's funding continues to shift away from Fundraising Events to other sources. BBBSP is sensitive to the fact that our community has not fully recovered from the stressed economy and further, the environment in which not-for profits operate remains highly dynamic. The Agency is committed to operating in a financially sensible and practical manner. I would like to extend a sincere thank you to all of our funders, corporate sponsors, foundations and individuals who have so generously contributed to support the movement. The continuing support of the United Way of Peel Region, Trillium Foundation and Region of Peel along with funding from the Province of Ontario (Ministry of Education) and Government of Canada (Citizenship and Immigration Canada) are critical to our continued success. Special thanks as well to TD Bank Financial Group, George Weston Ltd., Standard Life, Johnston Equipment, Ministry of Culture, Tourism and Sport and Mattel for their assistance and Michele Darling and the Halo Foundation who continue to be the largest individual donor to our Agency. In addition, we appreciate the many businesses and individuals who support our vision that every child who needs a mentor has a mentor. His team helps families, professionals, business owners and retirees manage their wealth in the most prudent manner possible. Glen earned his MBA from McMaster University and completed his undergraduate degree from the University of Western Ontario. After growing up in Brampton, he remains actively involved in the community with organizations such as Big Brothers Big Sisters of Peel, Brampton Youth Hockey Association (BYHA), the Board of Trade, Peel Memorial Hospital redevelopment and the Brampton Area Community Foundation. Glen is married and in addition to a passion for running and cycling keeps active by keeping up with his two young sons. David Chondon David completed a joint program in 1990 receiving a Bachelor of Commerce Degree from the University of British Columbia and a Bachelor of Laws Degree from Queen's University. David then started his practice of law with a leading management-side labour and employment law firm in Toronto, Ontario, and was called to the Bar of Ontario in 1992. In September 1998, David and Susan Crawford started Crawford & Chondon now Crawford Chondon & Partners LLP, a law firm in Brampton, Ontario, and continued to represent management in labour relations and employment law matters. In February 2000, David and others founded the human resources consulting firm, The Employers' Choice Inc., which provides human resources solutions, systems and training to employers in the greater Toronto area and elsewhere. David is currently the President of that business. He is a currently a member of the Board and provides volunteer assistance to the Big Brothers Big Sisters of Peel with their annual gala fundraising event. He is also a member of the Kiwanis Club of Brampton and participates as a “Kiwanis Clown” in the fundraising activity since its inception in the annual Brampton Santa Clause parade. 13 BIOGRAPHIES OF BOARD OF DIRECTORS 2013/2014 Michael Marcotte Michael is President & CEO of GN Johnston Equipment Co. Ltd, which is a provider of material handling equipment and related services to more than 13,000 customers across Canada, and a member of the Toyota family of enterprises. Michael sits on the Board of Directors of Johnston, and oversees more than 800 employees in thirteen locations therein. He has been held senior executive positions for the past 20 years within a cross section of Canadian companies, both publicly and privately held. An MBA graduate from McGill University, Michael's past volunteer work has been until this point that of various coaching assignments within children's sports associations, however he has been an avid supporter of BBBS since joining Johnston. Nora Guinane Nora Guinane is a former TD Bank Financial Group executive. She retired in 2008 after a 27 year career with TD Commercial Banking. Ms Guinane holds a Masters of Business Administration from the Schulich School of Business, York University, a Bachelor of Education and a Bachelor of Arts degree from the University of Toronto. Among her many volunteer activities, Ms Guinane has been on the boards of Junior Achievement and the Starlight Starbright Children's Foundation and has volunteered at George Brown College's Institute for Entrepreneurship and Community Innovation. She has been a member of the Board of Directors for Big Brothers Big Sisters of Peel since 2004. Steve Sheils Steve Sheils is currently the CEO of the Brampton Board of Trade. With over 25 years of Operational, Business Development and Board experience in North America, Europe and Asia Pacific, Steve provides expertise in leveraging global resources, capabilities, and relationships to gain advantage in local country markets. Previously a Member of Edgar Bronfman Jr's, Vivendi Universal Studios senior Healthcare Management Team in USA, Europe and Asia Pacific, Steve participated in acquisition activities while endeavoring to unify Healthcare technology development, infrastructure and balance operational costs across 36 Vivendi business units. Steve's passion is assisting companies make the difficult decisions required to achieve profitable growth in a challenging economy. 14 BIOGRAPHIES OF BOARD OF DIRECTORS 2013/2014 Cherie Hruska Cherie Hruska is a Chartered Accountant and is currently working as the Director of Finance and Administration for Pinchin Environmental Ltd, one of Canada's largest environmental, health and safety consulting firms. Previous to this role, Cherie's accounting career experience includes 7 years of service with MacGillivray Brampton, Chartered Accountants and Business Advisors, where she worked with privately owned corporations and not for profit organizations operating in the GTA. Cherie grew up in Ancaster and graduated from McMaster University with a Bachelor of Commerce Degree. She now resides in Mississauga. Tim Fox After completing his University Degree Tim has spent the last 18 years working at increasingly senior roles within the financial sector. Most recently, Tim joined Dynamic Funds in 2006 in the role of V.P. of Business Development. Along with building and strengthening financial advisor relationships, he is responsible for leading a nationwide initiative on Wealth Management which includes the development and delivery of financial sales concepts and strategies. Along with several industry related courses, Tim holds the internationally respected C.F.P. (Certified Financial Planner) designation as well as several Sales Training Certificates. When not at work, Tim enjoys an active lifestyle with the company of his wife and 2 children. Most recently, Tim and his wife were successful at climbing to the peak of Mount. Kilimanjaro in Africa. Tim has also been an active Big Brother for 22 years and to this day continues to have an incredibly strong relationship with his little brother who is now 31 years old. Leo Pollard Leo is a Vice President and Market Manager for TD Wealth's, Private Client Group in Peel. He has worked in the Financial and Wealth Management Services industry for over 18 years, specializing in comprehensive financial planning solutions for Personal and Commercial clients. Leo is a graduate of The University of Toronto in Economics and Political Science and holds a Radio and Television Arts degree from Ryerson University. He is a Certified Financial Planner (CFP) and has earned the Financial Management Advisor designation (FMA). Leo is married with 4 young daughters and is active in the Halton and Peel communities. 15 BIOGRAPHIES OF BOARD OF DIRECTORS 2013/2014 Angel Massey-Singh Angel Massey-Singh is the Senior Director of Marketing for WinMagic, a global software company headquartered in Mississauga. She has spent the last 15 years in the IT sector working for large hardware manufacturers, specializing in relationship and brand marketing. Angel holds an Honours Bachelor of Arts degree in Psychology from York University. Angel was introduced to Big Brothers Big Sisters in the late 1990's through volunteering as a Big Sister. She also spent some time serving as an employee and participating in various committees. As a result, she understands first-hand the positive effect mentoring has on youth and is personally invested in the organization's success. Angel's hometown is Mississauga, but she currently resides in Brampton with her husband and two children. Tabish Gill Tabish is a Senior Manager within the Enterprise Risk management practice at Deloitte and focuses on serving the public sector including non-for-profit, municipal, health care clients as well as financial services and retail organizations as a management consultant. Tabish graduated from Brock University with a Honours Bachelor of Accounting, is a Chartered Professional Accountant, Chartered Accountant and holds a Certified Information Systems Auditor designation. Tabish is a very passionate advocate for the overall well-being of children and importance of having a mentor both personally and professionally. Tabish has been involved in the Peel Region community since moving to Canada at an early age and has volunteered in various capacities for almost 15 years.
