INVESTORS NEEDED
PLEASE READ
Government overreach or opportunity? Even
at my age, I still have a little entrepreneur
left in me. With the recent plan by New
York City Mayor Bloomberg and the
Cambridge, Massachusetts mayor to ban
sugar sweetened drinks over 16 ounces and
the recent change in ADA Regulations that
would allow miniature horses in restaurants
as alternatives to service dogs, I decided
that instead of once again complaining about
government overreach, this time I would
embrace and attempt to capitalize on both
ideas.
I recently filed paperwork establishing a
new company that I have named “15 instead
of 16”. This new venture, which is just
now seeking investors and capitalization,

is centered on a business plan designed
to take advantage of the soon emerging
industry of producing 15 ounce cups.
In fact, convenience stores, restaurants
and major sport venues are showing
extraordinary interest. And, in an effort to
stay one step ahead of future overreaching
policy and regulations as well as making
our 15 ounce cup even more enticing, the
cups will be made of recycled material,
organic and bio-degradable, and must
have been produced by a more expensive,
but subsidized, wind/solar energy
source only. If this does not interest you,
try this next one.
Of course extensive training will be available
on potty training on and off premise with
our new soon-to-be-patented double thick
heavy duty recyclable plastic gloves and
waste container (see the latest edition of
Sky Mall for details). What to do with the
collected waste? We will give you step-bystep instructions on how you can approach
your local organic community garden,
gaining in popularity and publicly funded
by the same bright and insightful political
leadership who proposed the elimination
of the 16 ounce cup and introduction
of the miniature horse as a service animal
to begin with.
My second venture, which really gets me
excited, is a Miniature Horse Consultation
and Training Facility. The
consultation element of
the business will primarily
target restaurants who
may not be aware of
the
accommodations
necessary for a larger
service animal such as
larger corridors, horse
water troughs, horse
poop scoopers and waste
collection
equipment
to mention a few. And
if your miniature horse
needs training, our stateof-the–art training facility
will, among many things,
familiarize your miniature
horse with entering and
exiting a Toyoto Prius and
other small eco-friendly
vehicles while traveling
to and from restaurants.
I am seeking investors for both of these
ventures who recognize feeling good about
their investment is more important than
common sense solutions and a reasonable
monetary return!

Okay, maybe the above is a little over the
top and perhaps I exaggerated a tad (poked
a little fun at my environmentalist buddies).
And I do understand the need for good
service animals. However, the reality is these
are the type of issues that, in my opinion, go
a little too far and take valuable advocacy
time and resources away from our National
Restaurant Association (NRA) when they
could be wrestling with larger industryrelated issues. But if our NRA does not pay
attention to these issues, regardless how silly
they may appear, they may become policy
and/or law and have unintended impact
on all our businesses. So bottom line, here
are just a couple more reasons why the
continued support of your state and National
Restaurant Associations is much appreciated!

Gift Card Taxation
Gift cards provide benefits to the participating
restaurants such as business promotion and
new customer introductions but also increase
the restaurants cash flow by the timing
differences between when the card is sold
and when it is redeemed. The recognition of
income for income tax purposes and New
Mexico Gross Receipts Taxes can possibly
create some accounting and record keeping
problems.
Gift cards are different from ordinary sales
in that when the gift card is issued and sold
is not typically when the food and services
are provided. A gift card can be purchased
by a party and gifted to another who may
not use the card for some period of time
after the original sale. Say $10,000 worth
of gift cards are issued December 28, 2012
and not redeemed until January, February,
March and April of 2013. Generally the sale is
recognized when the cash is received.

I used the $10,000 to exaggerate the effect
at year-end. Accrual accounting allows you
to recognize the portion of income when it
is earned and not all in December when the
cash is received. In this case the IRS requires
that the gift cards be tracked separately to
accurately recognize the income when the
actual sale of goods on services is done.
Finally to qualify for income deferral
elections must be made with and approved
by the IRS and without these the ability to
defer the reporting will be disallowed.
The IRS has successfully challenged gift
card sales made by one business to another.
The IRS believes that such structures do
not qualify under the income deferral rules
and therefore require the incomes to be
recognized when the cash is received.
In those cases where the sale of gift cards is
de minimis compared with the total sales
for the year, reporting of income on the cash
basis or when the cash is received is far easier
to deal with than tracking the individual
cards and associated sales than could be
justified by any tax savings.
In some cases the sale of the gift card
represents a material percentage of sales
and in those cases the IRS has increased its
scrutiny of those sales and classified them as
a “Tier II” issue for examiners. Tier I and Tier
II issues designated by the IRS for special
audit consideration.

AND TAVERNA
Mykonos Café and Taverna has been known
for great Greek cuisine in Albuquerque for
many years. The restaurant was recently
purchased by new owners Brad and Joe
Cesarano when the former owner decided
to retire.
Brad has been in the restaurant business
for twelve years and worked his way up
from bus boy to floor manager at Mykonos.
The unusual part of Brad’s story is
that he has been with Mykonos for
his entire restaurant career. When
the former owners decided to retire
and sell the business, Brad’s father
Joe, who had enjoyed being a patron
of the establishment for quite some
time, decided it would be a good
investment for him and his son to
go in on.

to this approach is a higher labor cost
and more difficulty in maintaining the
quality. They feel it is worth though in
the end result.
In order to control some of those costs, they
have become super efficient in scheduling
where there is a high level of tension;
everyone is shouting in the kitchen, the
manager is aggressively barking orders,
etc. Instead, they are focusing on getting
employees that are professionals at what
they do, that want to take pride in their work
and view it as a career choice instead of just
a job. Their goal is to make Mykonos the
best restaurant in Albuquerque and want
employees who have that same goal to build
their reputation.
The Cesaranos didn’t want to
change what was successful about
the business before so they have
kept a great deal in place from
the former owners. The recipes
were brought directly from Greece
and are over 100 years old. They
have had people tell them that
the lamb shanks were better than
what they got in Athens! While
they want to maintain all the good
qualities of Mykonos, they have
added a few things to enhance the
restaurant and to give it their own
spin. They have an executive chef
who has been given the freedom
to create featured menu items that
emphasize not only Greek cuisine
but also the Mediterranean as a
whole with some fresh seafood
and fish items also. They have also
added live music five nights a week
and for the occasional Sunday
brunch.
Joe, who also has a technology firm,
had a career with Sandia Labs in
Albuquerque and plans to approach
the business with experience he
gained in his business and career.
Aspects of quality control and
systems are what he plans to bring
to the table and he stated, “We’re still
trying to figure out if that approach
will work. Only time will tell.” Brad
manages the restaurant full-time and
brings the entrepreneur and business
aspects to the restaurant.
They came into the business
fortunate to have a well-trained and
experienced staff on hand. Many of the key
personnel at the restaurant have been there
for 10-15 years so they knew they could
count on them for the transition.
Though Joe has always enjoyed eating
at the restaurant, he is now learning the
inner workings of why it’s been such a
great restaurant. Everything on the menu
is made from scratch daily all the way

ideas to maintain those efficiencies. They
also try to give the employees a sense of
ownership about their work and to make
them feel it is their responsibility to get the
job done quickly and correctly.
They have also tried to shy away from the

jokingly said that they were the ones who
needed the tips. We at NMRA think they will

The Wisdom of Food Safety
People often look at regulations as
just something we have to do to stay in
compliance. Once in a while it’s useful to
think about just why regulations are even
necessary.
This is especially the case when it comes to
food safety and sanitation regulations. Here
are some of the many reasons why having
and following good food safety regulations
makes sense.
Foodborne illness poses
a serious public health concern
Many Americans (1 in 6) contract foodborne
illness each year, resulting in a total of
128,000 hospitalizations and 3,000 deaths
(CDC).
Add to this, the fact that many of us (about
78 million) have inadequate health insurance
and the problem is made worse because the
sick may not get the care they need.

Foodborne illness is a serious
public economic problem
Total monetary cost of foodborne illness in
the U.S. is high (estimated to be 77.7 billion
dollars a year).
Foodborne illness is especially costly to those
in the foodservice industry
Americans typically spend a substantial sum
(30% to 50% of their food budget) on “away
from home” food. The actual amount spent
depends on income. As people’s effective
income increases they spend more money
on restaurant food. As always, costs reduce
effective income. So, when customer incomes
are reduced so are gross incomes for the
industry. This is very problematic in an
industry where profit margins are historically
already low.
When customers feel they have become ill
from eating at a restaurant, they may never
go there again. Furthermore, the restaurant

may also lose business from family and
friends of that customer making survival
in the foodservice industry even more
challenging.
When foodborne illness occurs due to a
lack of adherence to food safety regulations,
everyone pays a price. Of course, the person
who gets sick suffers but so do their family,
their employer and the community. Even
short term illnesses can be economically
devastating to a family, resulting in loss of
income and financial instability. This not only
creates problems for those closely involved
but puts extra strain on the community
by increasing expenses and lowering local
revenues.
Simply put, good food safety not only
results in compliance, its smart business and

With many of us relying on technology
more and more, and state government rules,
regulations and other things of importance
being more necessary to stay on top of, I
thought this article should focus on how
to make the perfect Government and
Technology cake.
I learned the other day that the state
department of Workforce Solutions
introduced a mobile website in order to cater
to people who use smartphones to access
their site. Good on them. As a matter of
fact, more and more government agencies
are improving their sites and putting more
information at our fingertips. The problem
is that is can be cumbersome trying to find
out where to go for what. That is where
this recipe comes in. I will try to list the
ingredients you might want to put in your
walk-in to access any time you are ready
to start cooking with the government.
Of course, we have also put a lot of the
important information on NMRA’s website,

added daily.

An association is the act of consorting or
joining with others. Anyone can join an
organization or an association to be “part”
of a group or to feel good about being in the
group, but does it not make more sense to see
a value for joining and the reason behind the
organization?
Instead of me telling you why you should
join the New Mexico Restaurant Association,

SUPREME COURT DECISION ON HEALTHCARE LAW
The National Restaurant Association has expressed strong concern about the U.S.
Supreme Court’s decision to uphold the majority of provisions within the 2010
Patient Protection and Affordable Care Act (PPACA), including all of the employer
requirements which threaten the economic health of the restaurant industry.
Based on the Supreme Court’s ruling to uphold the law, employers with 50
or more full-time equivalent employees must offer “affordable” health insurance
of minimum value to full-time employees and their dependents or pay penalties.
The cost of such coverage or the penalties could threaten the very slim profit
margin on which most restaurants operate. For all the information you need to

Labor Practices are Being Scrutinized
Labor laws are constantly changing and it is up to employers to stay on top of the
rules and regulations governing them.
The IRS is tightening the rules on the treatment of tips for FICA tax purposes.
Service charges (such as a mandatory fee added to a bill) are treated as wages,
not tips, according to the agency. As a result, these charges are not eligible
for the employer tip credit and cannot be used to figure the tip rate for an
establishment to determine whether servers are reporting enough of their tips.
The US Department of Labor is also stepping up payroll audits of restaurants.
Be sure you are classifying exempt employees (people who work overtime
but are not compensated with time and a half wages) correctly. To qualify for
overtime exemption, employees generally must meet certain tests regarding their
job duties and be paid on a salary basis of not less than $455 per week.
Job titles do not determine exempt status.
The U.S. Department of Labor, Wage and Hour Division, will be presenting
a seminar for NMRA on common pitfalls and insights into the Fair Labor
Standards Act on August 15, 2012 in our office. For more information, you
