1.1 Tender Documents can be purchased online from 30.04.13 at 17.31 pm to
15.05.13 , till 17.30 Hrs and can be downloaded from 30.04.13 at 17.31 to
16.05.13 till 17.30 Hrs from website http://imc.mpeprocurement.gov.in. For list of

1.2 The Bid data should be filled and the Bid Seals (Hashes) of all the envelopes
and the documents which are to be uploaded by the bidders should be submitted
online 16.05 /2013 at 17.31 to 21.05.13 at 17.30.Hrs. The bidder shall submit the
Price bids in Standard Bidding Document available online Envelope - ‘C’,
1.3 The Bidders shall have to submit their Bids online (decrypt the bids and reencrypt the bids) and upload the relevant documents on 22/05 /13 at 17.31 Hrs to23
05/13 at 17.30 hrs. Original Hard copy of Documents required to be submitted
manually by the Bidders, (excluding price bid) should reach the Office of the
undersigned by 23/05/13 at 15.30Hrs.
1.4 Since, the bids from the tenderer should be digitally signed using Class III digital
certificate of the authorized representative of the firm, Contractors are advised to
obtain the same at the earliest.

1.5 The Earnest Money Deposit Envelope (Envelope - ‘A’) and Envelope – ‘B’ shall
be opened online on 24/05/13
between 10.30 to 17.300 Hrs in the presence of
any intending contractors or their representatives, if they choose to be present.
Envelope ’A’ containing EMD shall be opened first and if it is found to be
acceptable then only Envelope ‘B’ shall be opened, if technical bid is there. After
assessment of eligibility of the tenderers by the competent authority on the basis of
qualification documents submitted by the Contractors/ consultant, in Envelope-C’’
(Price Bid in Envelope – ‘C’) of only qualified contractor/consultant, shall be
opened online between 28 /05 /13
between 10.30 to 17.30Hrs. The Start Date
and Time and the End Date and Time of opening of Price Bid envelope mentioned in
the Tender schedule is tentative and subject to change.
1.6 Earnest Money Deposit of As mentioned above in the shape of F.D.R. / Demand
draft. Earnest Money issued by Nationalized Bank in favour of Commissioner
Municipal Corporation, Indore shall only be accepted.
1.7 All documents submitted online should be visible, clear and readable will only
be accepted.
1.8 IMC reserves the right to accept or reject any or all tender without assigning any
reasons thereof.

1.10 Contractor shall also have to submit the experience & eligibility
certificates/documents as mentioned in tender document to qualify for participation

CLAIMER
1. This Request for Proposal document (“RFP”) does not purport to contain all the
information that each Bidder may require and accordingly is not intended to form the
basis of any investment decision or any other decision to participate in the bidding
process for the selection of the Successful Bidder for this Project. Each Bidder
should conduct its own investigations and analysis and check the accuracy,
reliability and completeness of the information in this document and obtain
independent advice from appropriate sources.
2. Neither the RFP nor anything contained herein shall form a basis of any contract or
commitment whatsoever. Successful Bidder will be required to acknowledge in the
Contract Agreement that he has not relied on or been induced to enter such
agreements by any representation or warranty, save as expressly set out in such an
agreement.
3. While the RFP has been prepared in good faith, no representation or warranty,
express or implied, is or will be made, and no responsibility or liability will be
accepted by the Client, its employees or advisors or agents as to or in relation to the
accuracy or completeness of the RFP or any other oral or written information made
available to any Bidder or its advisors at any time and any liability thereof is hereby
expressly disclaimed.
4. This RFP includes certain statements, estimates and projections with respect to the
anticipated future performance of the Project. Such statements, estimates and
projections reflect various assumptions concerning anticipated results, which
assumptions may or may not prove to be correct. Neither the Client nor its
employees or consultants make any representation or warranty with respect to the
accuracy of such statements, estimates and projections and actual performance of the
Project nor any opportunity, which may be materially different from that set forth in
such statements, estimates and projections.
5. Neither the Client nor their employees or consultants shall be liable to any Bidder or
any other person under any law including the law of contract, distort, the principles
of restitution or unjust enrichment or otherwise for any loss, expense or damage
which may arise, or be incurred, or suffered, in connection with this RFP document,
or any matter that may be deemed to form part of this RFP document, or the award
of the contract, or any other information supplied by or on behalf of the Client or
their employees or consultants or otherwise arising in any way from the selection
process for the award of the contract for the Consultancy.
6. No extension of time will be granted under any circumstances to any Bidder for
submission of its bid on the grounds that the Bidder did not obtain a complete set of
the RFP.
7. The Client is not bound to accept any or all the Proposals. The Client reserves the
right to reject any or all the Proposals without assigning any reasons. No Bidder
shall have any cause for action or claim against The Client or its officers, employees,
successors or assignees for rejection of his bid.
8. Failure to provide information that is essential to evaluate the Bidder’s qualifications
or to provide timely clarification or substantiation of the information supplied, may
result in disqualification of the Bidder.

1
Introduction
1.1
The Indore Municipal Corporation, Indore (hereinafter called the Client) has
taken up the task for abatement of pollution of river Khan
1.2
The consultant / Engineers/subcontractors of repute is / are invited to submit
technical and financial proposals for the above mentioned consulting services.
1.3
A Quality and Cost Based Selection procedure shall be followed for selection of
Technical Proposals. The bidder who is ranked highest in the Combined score
( Technical / Financial score) shall be invited for negotiations. The proposal will
be the basis for contract negotiations and ultimately for a signed contract with
the selected firm.
1.4
The consultants must familiarize themselves with local conditions and take them
into account in preparing their proposals. To obtain first hand information on the
assignment and on the local conditions, consultants are encouraged to visit the
site before submitting a proposal.
1.5
The consultants must provide professional, objective, and impartial advice and at
all times hold Client interests paramount, without any consideration for future
work, and strictly avoid conflicts with other assignments or their own corporate
interests. Consultants shall not be hired for the assignment if it is in conflict with
their prior or current obligations to other clients, or may place them in a position
of not being above to carry out the assignment in the best interest of the Client.
1.6
Please note that (i) costs of preparing the proposal and of negotiating the
contract, including visits to the Client etc., are not reimbursable as a direct cost
of the assignment; and (ii) Client is not bound to accept any of the proposals
submitted and reserve the right to reject any or all proposals without assigning
any reasons.
1.7
Without limitation on the generality of this rule, consultants shall not be hired
under the circumstances set forth below:
a. A firm that has been engaged by the client to provide goods or works for
a project, and any of their affiliates, shall be disqualified from providing
consulting services for the same project. Conversely, firms hired to
provide consulting services for the Review or implementation of a
project, and any of their affiliates, shall be disqualified from subsequently
providing goods for works or services to related to the initial assignment
(other than a continuation of the firm’s earlier consulting services) for the
same project.
b. Consultants or any of their affiliates shall not be hired for any assignment
that, by its nature, may be in conflict with another assignment of the
consultants. C. Joint ventures/ association of firms shall not be allowed.

1.8
The proposals must be properly signed as detailed below:
1.8.1 i.
by the proprietor in case of a proprietary firm
ii.
by the partner holding the Power of Attorney in case of a firm in
partnership (A certified copy of the Power of Attorney shall accompany
the Proposal).
iii
by a duly authorized person holding the Power of Attorney in case of a
Limited Company or a corporation (A certified copy of the Power of
Attorney shall accompany the proposal).
1.8.2 Pre-Bid meeting shall be held On dated 16.05.13 at 3.30 P.M.
1.8.3 A Consultancy firm will be selected under Quality and Cost based selection
(QCBS) Procedures. The eligibility criteria for selection of the firm shall be as
under.

The consultant/firms should have an overall experience of min. 3 years OR in
case subconsultant/ Firm should have an overall experience of min. experience of
5 years.
2.
The Consultant/firm OR subconsultant/ firm should have annual average
turnover of not less than Rs. 30.00 lakh for last two financial years in
consultancy jobs only ending March 2013 in form no3(i).
3.
The Consultant/firm should have experience in consulatnacy servicesof waste
water treatment of min. one no. project of min. 50mld capacity OR
Subconsultant/firm should have experience in consulatnacy services of waste
water treatment of min. one no. project of min. 75mld capacity in at least last 5
years in form 3(h).
4.
Consultancy or suconsultancy firm should have the following technical

2.1
To enable you to prepare a proposal, please find and use the attached Documents
listed subsequent sections.
2.2
At any time before the submission of proposals, the Client may, for any reason,
at its own initiative, modify the Documents by amendment. The amendment will
be notified in writing or tele-fax to all shortlisted consulting firms and will be
binding on them. The Client may at its discretion extend the deadline for the
submission of proposals.
3
Review of Proposal
You are requested to submit your proposal in following 3 covers:Coves should
be sealed;

Financial Proposal
3.1 EMD
Bids must be accompanied by EMD of Rs.50,000/ (Rs. Fifty thousand only) in the
form of either Demand Draft/FDR, in favour of, Indore Municipal Corporation,
Indore from any nationalized bank, valid upto 180 days from the date of closure of
the bid validity. The EMD’s of unsuccessful bidder’s shall be return /refunded on
successful completion of evaluation and selection of successful bidder.
3.2 Technical Proposal
3.2.1 The proposal submitted by the Consultant must be in English language.

3.2.2
In preparing the Technical Proposal, consultants are expected to examine the
documents constituting this RPF in detail. Material deficiencies in providing the
information requested may result in rejection of a proposal.
3.2.3 All reports to be issued by the consultants to the Client as part of this assignment
must be in English language.
3.2.4 The technical proposal shall provide the following information using the attached
Standard Forms in Appendix IV:
i
A brief description of the firm’s organization and an outline of recent
experience on assignments (section 3B) of a similar nature. For each
assignment, the outline should indicate, inter alia, the profiles of the staff
proposed, duration of the assignment, contract amount, and firm’s
involvement.
ii
A description of the work plan for performing the assignment (Section
3C).
iii.
The list of the proposed staff team by specialty, the tasks that would be
assigned to each staff team member, and their timing (Section 3D).
iv.
CVs recently signed by the proposed Key Professional staff or the
authorized representative submitting the proposal (Section 3E). Key
information should include number of years working for the firm/entity
and degree of responsibility held in various assignments during the last
ten (5) years. CVs of only Key Personnel have to be submitted.
v.
Estimates of the total staff input (professional and support staff; staff
time) needed to carry out the assignment, supported by bar chart
diagrams showing the time proposed for each professional staff team
member (Section 3D and 3F).
vi.
A detailed description of the proposed work plan, staffing, and quality
assurance.
3.2.5 The Technical Proposal shall not include any financial information.
3.2.6 Under the technical proposal, only the CV of the key personnel in the
prescribed format as per Section 3E is to be furnished. It may please be
ensured that the format is strictly followed and the information furnished
therein is true and correct.
3.2.7 You are expected to examine all terms and instructions included in the

3.2.8 During Review of the technical proposal, you must give particular attention to the
following:

i.
Total assignment period is 6 man months for above consultancy job.A
manning schedule in respect of requirement of key personnel is also
furnished in the TOR which shall be the basis of the financial proposal.
You shall make your own assessment of support personnel both technical
and administrative to undertake the assignment. Additional support and
administrative staff need to be provided for timely completion of the
project within the total estimated cost.
ii.
No alternative to key personnel may be proposed and only one CV may
be submitted for each position; in the format given at Section 3E. The
requirements of all key personnel are listed in Terms of Reference. The
proposal not getting the minimum technical score of 75 points out of
100 shall be disqualified.
iii.
The availability of key personnel must be ensured during the period
shown in the manning schedule;
v.
Age limit for supporting staff to be deployed on project is 60 years.
vi.
A good working knowledge of English Language is essential for key
professional staff on this assignment. Study reports must be in ENGLISH
Language.
3.3
The consultancy shall require intermittent inputs hence on man months basis.
3.4
The technical proposal must not include any financial information.
3.5
Financial Proposal
3.5.1 In preparing the Financial Proposal, consultants are expected to take into account
the requirements and condition outlined in the RFP document. The Financial
Proposal should follow Standard Forms (Appendix V). The Financial Proposal
should clearly include, the local taxes, insurances, duties, fees, levies, and other
charges imposed under the applicable law
3.5.2 The financial proposal shall take into account all types of the tax liabilities
(except service tax which shall be separately reimbursable).
3.5.3 The effects of any increase / decrease of any type of taxes levied by the
Government shall be borne by the IMC, as appropriate.
3.5.4 All payments will be paid in Indian National Rupee (INR) and the client will
make payment after deducting taxes as applicable as per laws in India.
3.5.5 The proposal must remain valid for at least 180 days after the submission date.
During this period, the consultant is expected to keep available the professional
staff proposed for the assignment. Client will make its best effort to complete
negotiations within this period of the proposals; the consultants who do not agree
have the right not to extend the validity of their proposals.

3.5.6 Conditional offer or the proposal not furnished in the format attached in
Appendix V shall be considered non-responsive and is liable to be rejected.
4
Submission of Proposals
4.1.1 You must submit one original proposal and one copy of the proposal. The
proposals will be sealed in an outer envelope which will bear the address and
information indicated in the Data Sheet. The envelope must be clearly marked:

This outer envelope will contain two separate envelopes, one clearly marked
“Technical Proposal” and the second clearly marked ‘Financial Proposal’ (all
envelopes containing respective original and copy as appropriate).
4.1.2 In the event of any discrepancy between the copies of the proposals, the original
shall govern. The original and each copy of the technical and financial proposal
must be prepared in indelible ink and must be signed by the authorized
representative of the consultants. All pages of the technical and financial
proposals must be initialed by the person or persons signing the proposal.
4.2
The proposal must contain no interlineations or overwriting except as necessary
to correct errors made by the Consultants themselves, in which cases such
corrections must be initialed by the person or persons signing the proposal.
4.3
Your completed technical and financial proposal as required as per tender
document as hard copy must be delivered on or before the time mentioned in the
tender document at the address mentioned below. Any document received after
the closing time shall returned unopened.

4.4
Your technical and financial proposals must be valid for the 180 days from the
date of submission of proposal.
4.5
After the deadline for submission of proposals, the Technical Proposals shall be
opened immediately by the Client. The Financial Proposals shall remain sealed
and deposited with the Client until the process is over.

Proposal Evaluation
5.1
A two-stage procedure will be adopted in evaluating the proposal.

5.2
Any effort by the firm to influence client in proposal evaluation, proposal
comparison or contract award decisions may result in the rejection of the
consultant’s proposal.
5.3
In the first stage, a technical evaluation, this will be carried out prior to opening
any financial proposal.
5.4
Evaluators of Technical Proposal shall have no access to the Financial Proposals
untill the technical evaluation is concluded.

6.2
Each responsive proposal will be given a technical score. A proposal shall be
rejected at this stage if it does not respond to important aspects of the Terms of
Reference. The minimum technical score to qualify for the project is 75.
7.
Evaluation of financial proposal
7.1
After the technical evaluation is completed, the employer shall in form in writing
the date time & location for opening of financial proposals price bid).The
financial proposals of unqualified bidders shall be returned unopened.

7.2
Financial proposals shall be opened in presence of consultant or their
representatives who choose to attend and the total prices read aloud and recorded
the technical and financial score shall not be disclosed at any stage . Only the
combined score shall be informed to all the short listed /selected consultant and
the name of the selected consultants and the name of the selected consultant will
be communicated.
7.3
The evaluation committee will correct any computational errors, when correcting
computational errors, in case of discrepancy between a partial amount and the
total amount or between words and figures, the amount in words shall prevail.
8
Quality and cost based selection
8.1
The offer shall be evaluated in QCBS method. In this system the lowest financial
proposal (Fm) will be given a financial score (SF) of 100 points. The financial
proposal (F) shall be the arithmetic sum of total costs as indicated in price bid
(price bid under consideration or given by bidder) : SF= 100 x Fm/F,. in which
SF is the financial score ,Fm is the lowest price and F is the price of proposal
consideration. Proposals will finally be ranked according to their combined
technical (St) and financial (SF) scores using a weight of 80% for technical
proposal and 20% for financial proposal.S = St x 0.80 + SF x 0.20
The Consultant securing the highest score will be invited to sign the contract
after getting the approval from competent authority.

Notification of award and signing of agreement –
The bidders who’s bid shall be accepted be notified of the award by the employer
before expiry of bid validity period. The notification of award will be constituted
the formation of contract subjected only to furnishing of a performance security
in according with the provision of clause-11.

Performance Security
Within 15 days of receipt of letter of acceptance (LOA) the successful bidder
shall deliver to the employer a performance security @ 5% (2% at the time of
agreement in the form of FDR or bank draft from approved nationalized bank
and 3% at the time of each running bill in the form of deduction) which shall be
refunded after 6 months of completion period.
11.
Award of Contract
11.1
The Contract will be awarded after acceptance of tender by competent authority
as soon as possible after successful Negotiations with the Consultant and the
Consultant is expected to commence the assignment within 15 days of signing of
the Contract, along with detail schedule comprising of PERT , BAR CHART.

1.INTRODUCTION – INDORE
City at a glance
Indore is the largest city in the state of Madhya Pradesh and also its commercial capital. The city
is a part of the Malwa plateau. It is situated at a distance of 190 km from Bhopal, the capital of
Madhya Pradesh. The city is also an important center for trade and commerce and is known as
the business capital of Madhya Pradesh.
Indore is situated in the western fringes of the state of Madhya Pradesh, Indore location is in the
propinquity of the center of the Indian subcontinent. Indore has an area of 214 sq kilometer.
Some of the cities and towns that are situated close to Indore are Akolia, Baloda, Hatod,
Manglia, Kanaria, Harsola, Simrol and Mhow. Indore city is the administrative headquarter of its
namesake district. The city is a part of the fertile Narmadavalley.
The city can no longer meet its water requirement through its traditional lakes and borewells, and
has now turned to the Narmada. Pipelines draw water from the river for the city at exorbitant
costs. In spite of this, Indore, like most cities of India, has not learnt its lesson. It continues to
discharge its wastes into the Khan river, which has been converted into an open sewer. In its
turn, the Khan pollutes the water source of another city: Ujjain, located in its downstream.

Area and population of Indore
According to the census conducted in 2011, the population of the city of Indore is apprx.
1,960,631. The density of population is 25,170 /sq mile or 9,718 /km2. The city covers a total
area of 1,505 sq miles or 3,898 sq km.
Geographical features of Indore
The city is located at an altitude of 1,814 feet or 553 meters above sea surface. The coordinates
of the city are 22°25' North and 75°32' East. Major rivers nearby include the Khan and Saraswati
Rivers and they are branches of the Shipra River. The city forms a part of the Western Madhya
Pradesh. Summer, monsoon and winter are the three seasons in the city.
Demographic features of Indore
About 52% of the people living in the city are males and 48% females. The mean literacy rate of
the city (2011 census) is 87.38%, which is far ahead of the countrywide mean of 74%. The
principal language used by the people is Hindi. Literacy among females was 82.55% and literacy
among males was 91.84%.
2. PROJECT BACKGROUND
Background – Khan River
The Khan River, a tributary of the Shipra,
rises from a hill near village Umaria (22⁰
37’ N and 75⁰ 54’ E) about seven miles
south of Indore. It flows through the city of
Indore and also through the town of
Sanwer. One of its streams enters the
residency limits of Indore where it has been
dammed to form a few artificial lakes. The
Katkia nala is a major tributary to this river
which joints the River Khan near Sanwer

(22⁰ 58’ N and 75⁰ 50’ E) where there is a small temple dedicated to Sangam Nath, the lord of
the Confluence. The Khan Joins the Shipra in Ujjain. The google image is represented above.
Status of Sewerage and Sewage within Indore City and Pollution in
Khan River
The entire Indore city is covered by three rivers Khan, Chandrabhaga, and Sarsawati. All the
three rivers and outlet of Ponds are covering the rural area of Indore in the initial stage hence it
receives agricultural run-off in a large proportion, the disposal of waste, burning of fassile fuels,
discharge of domestic wastes, hospitals and industrial effluents from small and large scale
industries which are located at the bank of the rivers. Hence all the rivers and outlet of ponds are
converted in to nallas that is why the water of these rivers and outlet of ponds is unsafe for
domestic, industrial and irrigation purposes.
Indore does not know how much sewage it generates - wide disparity, therefore, rules its
estimations. As a result, its capacity for treating sewage is also off the mark: its two sewage
treatment plants (STPs) at Kabir Khedi can only treat the amount (90MLD) that the city claims
to officially generate.
The city does not have a proper sewage collection and disposal system. In 1936, its Holkar kings
constructed a 30-km covered sewerage line over 10 per cent of the city's area; the system served
a population of about 150,000. In 1990, the PHED prepared a sewerage master plan for Indore
till the year 2028, which included the laying of 300 km of sewer lines in phases. The plan was
technically approved by the CPHEEO, but could not be implemented due to lack of funds.
Subsequently, the Indore Development Authority (IDA) - with financial assistance from the
British government's Department for International Development - built a sewerage system in 183
slums: 47 km of sewer lines were installed. The IDA also constructed a 17-km sewage line on
the banks of the Khan river and connected it to the city's STP.
Of the city's road network of 1,710 km, only 600 km has drains; 90 per cent of the drains are
open. This network collects 55 per cent of the sewage that is generated in the city; another 43 per
cent is disposed off in septic tanks and ultimately discharged into nullahs. Of the city's 1.8
million-strong population in 2005-06, about 0.7 million used septic tanks. Besides, about 1,000

pit latrines were still in use, and about 5 per cent of the population resorted to open defecation.
There were about 1,464 seats of public toilets in the city attached to septic tanks, all of which
were poorly maintained.
Most of the wastewater is drained into Indore's three major streams, which flow towards the
north and meet at the city's municipal borders. These three are the Khan and Saraswati rivers,
and the Piliyakhal Nullah. The IDA has laid interceptor sewers along these streams and the
Plasiya Nullah to collect wastewater from the slums situated on their banks. The interceptor
sewers along the other nullahs discharge into the sewers along the Khan, which conveys the
sewage to the STPs at Kabir Khedi.
The eastern parts of the city are partially sewered. Wastewater from these parts flows through a
brick arch sewer that finally discharges into the river Khan near Kabir Khedi. This brick arch
sewer is now broken at various places - as a result, sewage bypasses it and flows into the
Bhamori Nullah.
Sewers laid under a British Overseas Development Administration-assisted project have
collapsed as well; most are reported to be broken or choked at various locations. As a result, the
sewage had been flowing directly into the Khan. As a temporary arrangement, a weir has now
been built across the river to divert the sewage into the STPs. Since the STPs cannot handle all
the sewage generated by Indore, about 150 MLD of untreated sewage goes directly into the Khan
river. However, considering the poor condition of sewage drains, the actual amount of sewage
reaching the STPs could be much less.
As described earlier, the Khan river, naturally, is in a sorry state, which ultimately discharges its
waste to Shirpra river. In turn Shipra river is also polluted, which is the main water source for
Ujjain, and is located downstream of Indore City.
FIELD RECON SURVEY
Field Survey
The field recon survey is carried out to see the pollution level and current status of Khan River.
The physical survey is conducted from Indore city up to the confluence of Khan River and
Shipra River at the 3 Km. upstream of Ujjain at Triveni. During the field survey the following

The length of Khan River from its origin near Ralamandal, Indore up to its confluence with
Shipra River at Triveni, Ujjain is about 70 kmts. The length of Khan River within Indore
City would be around 21 Kmts.

There are in total 468 various sewer outfalls meeting into Khan Rivers directly or through
other channels in form of river or nallas. Out of these, about 314 outfalls are live outfalls
which discharges the sewage into the river Khan.

There are several Stop / Check Dams at various locations along the Khan rivers, namely
Kayatkhedi, Panchpipalai, Ramvasa, Jamalpura etc. to store the water for the irrigation
purpose and to facilitate the downstream village for drinking water sources.

As described earlier, there is an only Sewage Treatment Plant of 90 MLD Capacity against
the estimated generation of about 240 MLD of sewage in the city at present. Hence, against
the treatment capacity of 90 MLD, the river carries 240MLD of sewage. So, the river carries
the 90 MLD of secondary treated sewage along with the balanced untreated sewage with it.
Finally, the river carries partially treated sewage from Indore to the confluence at Trinveni at
the 3.0 kmts. upstream of Ujjain City.

Khan River at Sanwer Bridge
Further, during the field visit of Khan river and its tributaries, it was also observed that the
these river also carries the Industrial Waste in it. Near Mangalia – Dhankhedi, a Narbal Nala
is passing by, where in it carries the industrial waste water (about 5 MLD), which in the
downstream meets the Khan River. The industrial waste was containing very high Oil and
Greece Content in it visually, which is very highly toxic in nature for any surface water. The
photograph of above referred stream is shown below. This industrial flow also pollutes the
water in the River Khan and since, it contains industrial toxic waste, may adversely affect
the biodiversity of the Khan river and needs to take care on priority basis.

3. GENERAL SCOPE OF WORK
1. Consultant shall have to carry out field investigation, which covers discharge/flow
measurement and river charachteristic analysis in terms of pollution level in Khan river
along its course from indore to ujjain, sampling and analysis of waste water as per
norms from at least 3 places i.e. from near Nirjanpur Stop dam, Kayatakhedi Stop dam
& Panthpiplai or Ramwasa stop dam to arrive at the necessary design characteristics
for various parameters for combating the pollution of Khan river before meeting
Kshipra, design to treat the waste water by Bioremedial measures & aeration OR any
other effective & suitable metod to get the treated water effluent of desired standard
immidiately as per norms, estimation, D.P.R. preparation as per norms, measuremeent,
preparation & evalution of bid document, construction supervision, monitoring,
preparation & submission of bills, to assist the IMC officials in related technical
matters, documention & presentation etc. complete.
1.1. Data Collection with respect to:
1.1.1. HFL Data, Flow of discharge measurement, Soil Investigation Data, Ground Level
Data etc required for design of treatment process
1.2. The Infrastructure, equipments, devices etc. required to carry out the flow measurement
and any other measurements shall be procured by the consultant & the cost for the same
shall be borne by the Consultant.
1.3. All necessary manpower, machineries, equipments etc. shall be arranged and paid by the
consultant only. Concerned staff of Indore Municipal Corporation (IMC) will only guide
the representative of the Consultant regarding necessary data collection.
1.4. The design scheme may be put up before Govt. for its sanctions, approval under available
scheme. In such case if requires the scheme shall be presented in a required format of State
Govt., Central Govt. or any other Agencies etc. The same shall be done by the Consultant.
No extra payment shall be made on such account. Necessary presentations, preparation of
reports is also in the scope of consultant.
1.5. Necessary Soil investigation to be carried out at various locations for different components.

1.6. The consultant shall accompany Officials of IMC for discussion with relevant authority
regarding design, drawing and estimate submitted by them. If necessary to answer queries
raised thereupon and to revise design for due consideration from relevant authority.
1.7. The consultant shall render to IMC every assistance, all technical services, guidance or
advice on any matter concerning the technical and engineering aspect of the project
including periodical interactions with State Govt. or Central Govt., or any other authority
etc.
1.8. Preparing cost estimates of the proposed project with detailed design, drawing and
specifications.
1.9. Cost estimation of each component and item shall be done according to latest Schedule of
Rates / rate analysis based on current market prices.
1.10. Consultant shall also collect necessary data and drawings from concerned authorities as and
when required. IMC will recommend the concern department to provide help consultant in
this matter.
1.11. Consultant shall also prepare and submit operation maintenance cost of each component of
the project including the system of operation and maintenance, with cost etc.
1.12. Consultant shall depute necessary manpower, office establishment for their local office for
executing these works as well as during the execution of different components of works
1.13. Flow measurement and river characteristics analysis in terms of pollution level in the Khan
River at least at five places along its course from Indore to Ujjain at least at three places &
as per requirement.
1.15 The design should incorporate the detail design of river waste water quality
improvement/treatment system, which includes determinations of treatment / cleaning
technologies, water quality in the river before and after treatment etc. The complete design
and detail engineering drawing for the quality improvement work shall be submitted
including indication of hydraulic levels, flow directions, locations of various sewer
outfalls, structural and electro-mechanical details of all the components with all the design
calculations should be submitted. At least two options for quality improvement one on the
basis of “Bioremediation mesaured and aerartion” and other on the option of consultant,
shall be suggested and submitted with proper evaluation, justification and suggestions on
technically and financially most viable options but looking to the time constraints it should
be immidiately effective & viable.
1.16 On the basis of collected data & technique preparation od DPR, estimation, tender bid
preparation, tender/bid evaluation, giving layout , for sorting out any dispute at site,
supervision & monitoring of work, check installation ,testing & commissioning, quality
control, documentation, report submission, presentation, work measurement & bill
preparation/checking 7 submission & assist in all the way to officials of IMC regarding the
work etc. complete.
1.16 Consultant shall act as primary leasing agency in between IMC & Contractor

1.17 consultant will check the line level, layout of the construction to ensure conformity with the
contract, purpose and present for approval any change in the plans that may be deemed
necessary indicating any effect the change may have on contract and prepare all
change/variation order.
1.18 consultant shall attend third party inspections as necessary, examine contractor’s claim for
extension of time of time and extra works, etc. and prepare recommendation for approval
of competent officer.
1.19 Consultant shall provide certification on the quality of the works accomplished and on their
conformity to specifications and drawing. ensure that works are constructed to the
prescribed quality in accordance with specification, tender documents and quality
assurance system. the consultant will assist Superintending Engineer/ City
Engineer/Executive Engineer for fair ,transparent system of implementation of the work in
the field, to achieve highest quality standards. consultant personnel would be hard working,
dedicated ,intelligent and having through knowledge and understanding of the work.
Consultant will assist the superintending Engineer/City Engineer/Executive Engineer in the
resolution of contractual issues including review, evolution and confirmation of contract
variation orders.
1.20 Consultant will check the existing drawings and will correct,review and check working
drawings submitted by contractors, give layout of sewer line etc. as per approved and
awarded contract document for execution smoothly.
1.21 As necessary assist the Superitending Engineer/City Engineer/Executive Engineer with
overall contract management.consultant will be responsible for preparation, verification
and clarification of the works completed and for certifying and recommending payments of
the contractors to the client.
1.22 Consultant will help to set procedures for strong quality control aspect, timely payment of
contractor’s claim, will develop adequate system of internal check to fully prtect the
interest of client.

Specific scope of work:
(A) Project management;
IMC has primary responsibility for planning and implementing all the project
components within their respective areas in time, within the estimated costs, and to the
quality standards specified in the contract documents. design and supervision Consultant
(IMC) ,will be responsible for the day-to-day management and supervision of contractorbased activities at each of construction sites. The specific responsibilities associated with
the IMC will include;

(i)
Action as the primary leasing agency between contractor and Indore municipal

(ii)
Ensuring that construction schedule included within each of the contracts are
being met: and that the milestones and other indicates of progress are completed
on schedule. intervening, as necessary to solve any delays caused by unforeseen
circumstances , and communicating the reasons for such delays, as well as
specific plans for remediation Superintending Engineer/ City Engineer/Executive
Engineer (water works &drainage).Assessing the quality of work performed to
ensure that materials utilized and construction techniques employed are consistent
with the quality standards enunciated in contracts. Processing and approving bill
submitted by contractors and ensuring that such payments reflect work
accomplished in relation to specific construction milestones.
(1) To coo-ordinate with the contractor/ department for necessary drawings.
(2) To prepare the necessary drawing after confirmatory survey prepare optimized
micro plan time schedule of project implementation to the project in time.
(3) To prepare the documentation of all project related matters.
(4) To prepare periodic reports relating to time , cost and quality fortnightly,
(5) To ensure that the contractor abides by the conditions of contract.
(6) To hold regular consultation and keep the Engineer- in –charge/ Department
informed on strict compliance to contract conditions and rules.
(7) To ensure project schedule monitoring, conduct regular meetings fortnightly,
provide clarification, make project review, recommend corrective measures to
ensure early completion of project and provide status report to the engineer- in
–charge/ Department .
(8) To render clarifications and have technical discussions.
(9) To co-ordinate with contractors at the site for attending co-ordination
meetings, providing technical/ legal guidance, issue clarifications during
construction and help IMC in solving the problems, if any.
(10) To assist in organizing the monitoring committee meeting.
(11) To assist IMC in all the quarries raised by the department of urban
development, Govt.of India/ state Gont.of M.P. during the project
management services and shall be attended by the consultants forthwith. If

needed, the team leader/ass. team leader must attend office of the Department
of urban Development Govt. of India, New Delhi/ Bhopal will be reimbursed.
(B)
Construction supervision;
1 Fixing the alignment.
2 Evaluation of the obstructions in the alignment.
3 Working out the value of structures as per norms of IMC.
4 Preparation of restoration and rehabilitation plan.
5 Preparation of land acquisition proposals and submission to the town
planning wing of IMC & other relevant deptt.and obtaining all the
required approvals, if any.
6 Submission of structural value of the obstructions failing in the way of the
alignment arranging compensation to the outers through the town planning
unit of IMC.

Verification of designs, drawings, quantities and preparation of revised
designs and drawing as per the site conditions and obtaining approvals
from the Engineer- in –charge.
8
Estimation of utilities falling in the alignment and drafting the proposals
for removal of the utilities falling in the alignment &coordination’s
with the concerned department’s officer for their removal.
9
Work out the alternate techno economic proposals to suit the site
conditions.
10 Shall be responsible for overall monitoring of the construction and shall
visit the site every day for co-ordination of site work with contractors.
11 Requisite number of Engineers (Civil & other related fields) as per the
list enclosed shall be stationed at site zone wise with independent
charge to supervise the day works and also shall be responsible for the
progress of the work as per approved drawings, quality assurance and
construction management.
12 Recording levels in the field’s books, maintaining measurement records
and scrutinizing the contractor’s bills.

13 Preparation of the revised estimates wherever required and obtaining
approvals to the revised estimations from the competent authority
within the scope of project.
Any other services other than those covered in the scope mentioned above as required for the
completion of project.
(C)
Quality control
(a) Enforcing strict quality control as per the agreement conditions
(b) Monitor the quality of the work.
(c) Maintain the records of tests of various materials such as soil, concrete, other
construction materials at site before the consumption.
(d) Inspect and approve the materials at site before the consumption.
(e) Inspect and approve the materials /items to be incorporated in the construction.
(f) Depute senior quality personnel for auditing.
(g) Ensure the construction is carried out in strict compliance with the approved drawing
and specifications.
(h) Ensure use of approved and specified materials including setting up of standard
procedure for the same.
(i) Ensure high level of workmanship for different trades.
(j) Ensure that required materials, tests are carried out as per standard procedures.
(k) Any other quality tests other than those mentioned above as required for better quality
control over the works at an independent recognized laboratory at the contractor.
(D) Site co-ordination
(a) To organize the weekly site meeting/ progress meeting with the department and other
agencies and submit progress report.
(b) Evaluation of contractor’s periodic progress, payment claims and certification for
onward submission to the Engineer-in –charge/ department.
(c) Depending on Engineer-in-charge/Department’s requirements, carryout assessment of
claim of the contractor, if any and also provide arbitration support if required.

(d) Help the Executive Engineer/ City Engineer/ superintending Engineer in finalizing
claims, if raised by contractor and settlement of claims and advice the P.O. (sewerage)
regarding contractual matters.
(e) Co-ordination with all agencies in ensuring adherence to the schedules.
(f) Issuance of preliminary completion report, defect liability completion report and final
completion report.
(E) Detailed Engineering Design:
The working drawing as required or directed by the engineer shall be prepared and
submitted by awarded contractor sufficiently in advance which shall be checked and
amended if required by the consultant (Engineer of contract)and work can commence
only upon approval of working .delay of work by reason of lack of approval of working
drawing deemed to be risk of consultant.
(i) Surveys, investigations, and mapping
1. Carry out any Topological and Alignment surveys as needed; Carry out hydraulic,
geotechnical and soil investigations etc. needed to asses impacts, and design of
river waste water treatment.
2. Carry out all surveys, site investigations as mentioned in general scope of work.
(ii)
Designs and cost estimate
Consultant shall have to do the detailed design & cost estimation as mentioned in
General scope of work above.
(F) Approval /Technical Clearance
Consultant shall have to submit the DPR through Client to competent authority, if
required, for getting approval /technical clearance & have to assist the client for
proper submission , presentations and shall have to make necessary corrections in
submitted DPR as per directed by competent authority.
(G) Final Submission
After getting Approval /Technical clearance by competent authority, consultant
have to submit 6 copies of DPR in HARD Copies as will as in SOFT COPIES
including all design ,drawing ,cost estimates bill of quantities etc. complete.

THIS CONTRACT (“Contract”) is entered into this (insert starting date of assignment), by and

Services

and the personnel listed in Appendix-II of the RFP document,
to perform the Services.

Terms
The Consultant shall perform the Services during the period

Project Administration
A.
Coordinator
The Client designates Executive Engineer/City Engineer/Project
officer (water works &drainage)], as Client’s Coordinator; the
Coordinator shall be responsible for the coordination of activities
under the Contract, for receiving and approving invoices for
payment, and for acceptance of the deliverables by the Client.
B. Records and Accounts
The Consultant shall keep accurate and systematic records and
accounts in respect of the Services, which will clearly identify all
charges and expenses. The Client reserves the right to audit, or to
nominate a reputable accounting firm to audit, the Consultant’s
records relating to amounts claimed under this Contract during its
terms and any extension, and for a period of three months thereafter.
and/or If, for any reason beyond the reasonable control of the Consultant,
of such as retirement, death, medical incapacity, among others, it
becomes necessary to replace any of the Personnel, the Consultant
shall forthwith provide as a replacement a person of at least
equivalent or better qualifications/experience but only after the prior
approval of Client.

Engaged in Certain after its termination, the Consultants and any entity affiliated with
the Consultant, shall be disqualified from providing goods, works or

services (other that the Services or any continuation thereof) for any
project resulting from or closely related to the Services.

11.
Insurances
The Consultant will be responsible for taking out any appropriate
insurance coverage.
12.
Assignment
The Consultant shall not assign this Contract or Subcontract any
portion of it without the Client’s prior writing consent.
13.
Law Governing
Contract and Language
The Contract shall be governed by the laws of the Government of
India and the language of the Contract will be English.
14.
Arbitration
Except otherwise provided ,in case of any dispute or difference
between the parties to the contract either during the progress or after
the completion of the works or after determination abandonment, or
breach of the contract as to the interpretation of the contract, or as to
any matter or thing arising there under, then either party shall
forthwith give to the other, notice of such dispute or difference and
the matter shall be referred within a period of thirty days of such
occurrence to the commissioner of municipal corporation for his
opinion/decision. The decision of commissioner IMC, Indore for the
time being in respect of all questions and disputes relating to the
meaning of the specifications, instructions & other related matter
herein before mentioned and as to the quality of the workmanship
or materials used on the work or as to any other question, claim,
right, matter or thing whatsoever, in any way arising out of ,relating
to the contract, design, drawings, specifications, estimates,
instructions, orders, or these conditions or otherwise concerning the
work of execution or failure to execute the same whether arising
during the progress of the work or after the execute the same
whether arising during the progress of the work or after the
completion or abandonment thereof shall be final. The
Commissioner IMC, shall before giving his decision in writing in
the matter gives an opportunity of being heard to the parties to the
contract. If any party to the contract is dissatisfied with the final
decision of the commissioner municipal corporation in respect of
any matter he may within sixty days after receiving notice of such
decision may refer such dispute to the Arbitration Tribunal
constituted under the Madhya Pradesh Madhyastham Adhikaran
Adhinium 1982 (no2of1983).

15.
Force Majeure
15.1
Force Majeure Event
Any of the following event resulting in Material Adverse Effect
shall constitute Force Majeure Event:
a. Earthquake, flood, inundation, landslide;
b. Storm, tempest, hurricane, cyclone, lighting, thunder or other
extreme atmospheric disturbances;
c. Fire caused by reasons not attributable to the Consultant;
d. Acts of terrorism; and
e. War, hostilities (whether war be declared or not), invasion,
act of foreign enemy, rebellion, riots, weapon conflict or
military action or civil war;
f. Strikes or boycotts, other than those involving the
Consultant, its contractors or their employees, agents, etc.
15.2
Notice of Force Majeure Event
As soon as practicable and in any case within 3 days of the
date of occurrence of a Force Majeure Event or the date of
knowledge thereof, the Party which is rendered wholly or
partially unable to perform any of its obligations under this
Agreement because of a Force Majeure Event (“the Affected
Party”) shall notify the other party of the same, setting out,
inter alia, the following in reasonable detail:
a. The nature and extent of the Force Majeure Event;
b. The estimated Force Majeure Period;
c.
The nature of and the extent to which, performance of
any of its obligations under this Agreement is affected
by the Force Majeure Event;
d.
The measures which the Affected Party has taken or
e.
proposes to take to alleviate/ mitigate the impact of the
Force Majeure Event and to resume performance of such
of its obligations affected thereby; and

f. Any other relevant information concerning the Force
Majeure Event, and/ or the rights and obligations of the
Parties under this Agreement.
15.3
Performance of Obligations
he Affected Party shall be excused from performance of such
obligations to the extent it is unable to perform the same on
account of such Force Majeure Event provided that:

Termination due to a Force Majeure Event
a. If a Force Majeure Event subsists for a period of 180
(one hundred eighty) days or more within a continuous
period of 365 (three hundred sixty five) days, either
Party may in its sole discretion terminate this Agreement
by giving 30 (thirty) days Termination Notice in writing
to the other Party without being liable in any manner
whatsoever, save as provided in Clause 15.4. (b).
b. Upon Termination of this Agreement due to a Force
Majeure Event, the Consultant shall be entitled to
receive as Termination Payment from the Client, a sum
equal to the aggregate fair value as on Termination Date,
less any amount due from the Consultant to the Client
and net of insurance proceeds, if any, as determined by
an independent firm of chartered accounts/ valuer
mutually agreed upon and appointed by the Parties for
the purpose.
16.
Termination
The Client reserves the rights to terminate the project at any
intermediate stage. In case of early termination for whatever
reasons, the Consultant shall be paid only up to the stage completed.
The Client’s authority in this regard shall be binding on the
Consultant.
17.
Work not be sublet
The contract shall not be assigned or sublet without the prior consent
of commissioner Indore Municipal Corporation.
18.
Change
in
constitution of firm
the In case of tender by partners, any change in the constitution of the
firm shall be forthwith notified by the contractor to the
commissioner, Indore Municipal Corporation. for his information.

19. Action when the work is left incomplete, abandoned or delayed the permitted limit
allowed by the competent authorityIn any case in which under any clause or clauses of this contract the contractor shall have
rendered himself liable to pay compensation amounting to the whole of his security deposit
(whether paid in one sum or deducted by installments) or committed a breach of any of the rules
or in the case of abandonment of the work, except due to permanent disability or death of the
contractor ,or any other cause ,the Superintending Engineer/city Engineer/Executive Engineer on
behalf of the Commissioner IMC shall give a notice before 7 days for work costing up to Rs
10.00 lacs and before 15 days for work costing above Rs15.00 lacs ,and in the event of the
contractor failing to
comply with the directions contained in the said notice, shall have power to adopt any of the
following courses, as he may deem best in the interests of the IMC.
(a) To rescind the contract (of which recission notice in writing to the contractor under the hand
of the Superintending Engineer/City Engineer/ Executive Engineer shall be conclusive
evidence) and in which case the security deposit of the contractor shall stand forfeited and
absolutely at the disposal of Government.
(b) To measure up the work of the contractor and to tack such part there of as shall be
unexecuted out of his hands, and to give it to another contractor to complete in which case
any expenses which may be incurred in excess of the sum which would have been paid to
the original contractor ,if the whole work had been executed by him (of the amount of which
excess certificate in writing of the competent authority (whosoever do the agreement) shall
be final and conclusive) shall be borne and paid by the original contractor and may be
deducted from any money due to him by IMC under the contract or otherwise or from his
security deposit or the proceeds of sale thereof or a sufficient part thereof .If the work is
carried out at lower rate the contractor shall not be entitled for any refund, on the account
payable, if any which shall go to the IMC.
In the event of any of the above courses being adopted by the Superintending Engineer/City
Engineer/ Executive Engineer or competent authority ,the contractor shall have no claim to
compensation for any loss sustained by him by reason of his having purchased or procured
any materials or entered into any agreements or made any advances on account of , or with a
view to , the execution of work or the performance of the contract.
20.Component of agreement
The tender document, and all the amendment issued for the same,shall be part of this
agreement.
