any things about The United Group Conference
remain the same from year to year: welcome
parties and awards dinners, tabletop sessions and
stockholder meetings. These events provide a familiar
framework for people to meet, collaborate and
develop working relationships, and if
it ain’t broke, why fi x it? We did make
a big change four years ago when we
implemented our Tabletops scheduling
soft ware, and the majority of Conference
attendees seem to agree that it has been a
change for the better.
In January 2015, after months
of development, we introduced The
United Group AppTM to coincide with
our Conference in Orlando. Those of
you who downloaded and used the app
during the Conference are the best judge
of the impact it had, and we at TUG
enjoyed demonstrating its features and
easy to use interface to you. It was met
with quite a bit of enthusiasm by both
Members and Suppliers.
To update those who did not attend:
after logging in with their confirmation
number, attendees could use the search
and messaging functions to connect
with other attendees, use PDF maps
to locate Supplier tables or event sites
within the hotel, easily check the
Conference schedule at a glance, and
link to our Tabletops site to access
their meeting schedules. Other features
include a built-in QR code scanner for
gathering contact information easily
and the ability to link one’s social
media accounts to your app profile. We
hope it encouraged more of the best of
what TUG Conference offers, namely
networking and relationship building.
We are especially grateful to those
Preferred Suppliers who sponsored
The United Group App during the
Conference, and we will continue to
tweak and improve it as we have done
with the Tabletops Scheduling site.
As we continue to explore how best
to position The United Group to utilize
e-commerce in a collective way, I’m
happy to report that our GSA contract
program is working well. The Members
who have chosen to participate are
seeing sales opportunities that would
otherwise have been denied to them,
and we have welcomed new Suppliers to
service the contract. The GSA program
originated from the membership, all
Members are free to participate but not
required to, and the program hinges
on communication and cooperation
between Members. The program is not
administered by United Group staff, and
our group collects no contract-related
fees. The GSA program echoes TUG’s
focus on facilitating profitability for all
stakeholders while reinforcing strong
relationships, with minimal intrusion
on your sales process. ❚

Planning, Perseverance and Patience
Keys to ESOP Success for Beck Packaging
F
ounder of Beck Packaging Irv
Beck’s first attempt to retire in 1997
proved unsuccessful when negotiations
with an industry giant to purchase the
company fell through. At the time Beck
retained ownership of Beck Packaging
but passed the reins of management to
younger men: Greg Stoudt was named
Vice President of Sales and Dave
Friedrich became President and CEO.
In 2001, the question of planning for
a future without Irv Beck was examined
again. Upon a recommendation from
Beck Packaging’s Board of Directors,
Beck decided to sell the company to
an ESOP (Employee Stock Ownership
Plan) for the exclusive benefit of
his employees. The transition was
completed in 2002 with the ESOP
purchasing 90% of the company’s
shares. Irv Beck owned the remaining
10% and was named Chairman of the
Board and served as Trustee of the
ESOP. Today Beck Packaging is 100%
employee owned through an ESOP, as
the company redeemed his remaining
shares in 2010. (Beck died in 2012.)
According to Greg Stoudt, company
President and CEO, ESOPs are
rare for businesses the size of Beck
Packaging (with 23 employees) because
of the daunting amount of legal and
administrative legwork that is involved
in setting them up. Beck managed it
largely due to the efforts of recently
retired (January 2015) President and
CEO Dave Friedrich. Beck CFO and
Vice President Joe Montesano explains,
“Setting up an ESOP can be very
expensive and time-consuming, and it
was a tremendous benefit having Dave
Friedrich on board with his legal and
financial background.” Beck employees
did not have a say about the decision,
but the ESOP and its advantages were

explained thoroughly to them.
In an ESOP, shares of stock are
owned by a trust. Shares are allocated
to employees at the end of each fiscal
year based upon the performance of
the company, the employee’s salary
and his or her length of employment.
Employees pay no money into the
Beck ESOP. “An ESOP is essentially
a retirement plan for our employees
that they do not have to contribute
to,” says Montesano. “That’s one of the
primary advantages of [it].” Fully vested
employees can receive payment for
their shares upon retirement — which
are paid out over a five year period —
starting at age 62.

Day to day management of an ESOP
company operates no differently than
any other company. Stoudt states,
“Our job as management is educating
employees about how each thing
everyone does can contribute to the
company’s success.” Beck Packaging has
tripled in size since 1997, moving into
a new building in 2008 and increasing
square footage by 20,000 feet.

Montesano explains that employees
weren’t altogether impressed by the
ESOP until about the third year after
its inception. That is roughly when their
yearly stock statements began to show
a number that was “substantial.” To
date, five people have retired from the
company since the start of the ESOP
and are receiving payments for their
shares. Beck Packaging’s ESOP payouts
are “much better than the match on a
401(k) plan,” Montesano and Stoudt
agree. “There’s no comparison.” They
also agree that the ESOP has increased
employee incentive and involvement
in general. Stoudt: “Every transaction,
every delivery, every contact with
a customer — they have a stake,
they have a say in the [company’s]
performance.”
“There’s a lot of involvement with
the IRS and an extreme amount of
oversight by them,” emphasizes Stoudt.
“ESOPs are very complicated, and you
need the right people assisting you to
manage it including lawyers, valuation
firms and others.” Montesano agrees
that “you really need an outside legal
firm that has specialized knowledge
of ESOPs.” He says Beck Packaging
is fortunate to have a local firm,
Stevens & Lee, P.C., that assists them
in maintaining compliance, and “they
have done a tremendous job for us.” The
company also utilizes outside firms for
record keeping and valuation to ensure
that Beck Packaging is in compliance
with all IRS regulations. Montesano
and Stoudt outlined four important

steps to follow when considering an
ESOP for your company.
1) Investigate thoroughly. Meet with
a qualified (ESOP-specialized)
attorney to find out if an ESOP is
right for your company. “We found
out through experience that you
really need to find the right person
to help you through the process
because there can be no missteps,”
advises Stoudt. “There are two
premier ESOP organizations that
provide assistance, guidance and
direction,” states Montesano. He
recommends the National Center for
Employee Ownership in Oakland,
CA (www.nceo.org) and The ESOP
Association in Washington, D.C.
(www.esopassociation.org).
2) Establish the concept of a going
concern. Montesano explains,
“This simply means the intent that
a company will keep growing and
be in existence in perpetuity.” This
is necessary so a company can
pay off the retirement distribution
obligations to retirees. “You must
have proper planning to ensure
that you can fund those retirement
(stock) payments,” warns Montesano.
3) Plan for transition. Stoudt states,
“One thing we’ve had to consider
as we look ahead is, do we have the
people on board now who could
replace Joe and I or would we need
to bring on outsiders when the time
comes?” He laughs as he acknowledges that distribution is an “aging”
industry. Beck Packaging hires at
least one young salesperson each
year. “It takes far-sighted planning
because new salespeople can take up
to five years to get to a point where
they can replace senior sales staff,”
Stoudt maintains. He adds that long
range planning can mean bringing
in senior management
staff from outside. Stoudt
says that if Beck Packaging were approached
about selling the company, employees would
get to vote on the decision and would have to
approve it by a majority vote. Montesano
explains that in a sale of
one ESOP company to
another, the purchasing
company gets “considerable tax benefits,” as does Beck Packaging warehouse and offices are located in Allentown PA.

4) Develop the ESOP culture within
your organization. Ensure that
employees fully understand the plan
and how they benefit individually
and collectively by working together.
Montesano gives an example: “Take
your truck drivers. They probably
have the most contact with your
customers. You want them to make
an efficient, smooth, friendly, orderly
delivery and develop a relationship
with customers.” Stoudt explains
that the management team shares
summary company financial information with employees in yearly
meetings which has changed to a
monthly basis. He believes it will
benefit employees more to see the
company’s progress on a monthly
level. Montesano states, “We want
to have transparency and be open
with our employees and share information with them. Both Greg and
I keep an open door policy, and we
take questions and suggestions from
anyone at any time.” ❚

An employee stock ownership plan
(ESOP) is a type of tax-qualified
employee benefit plan in which most
or all of the assets are invested in stock
of the employer. Like profit sharing
and 401(k) plans, which are governed
by many of the same laws, an ESOP
generally must include at least all fulltime employees meeting certain age
and service requirements. Employees
do not actually buy shares in an ESOP.
Instead, the company contributes its
own shares to the plan, contributes
cash to buy its own stock (often from
an existing owner), or, most commonly,
has the plan borrow money to buy
stock, with the company repaying the
loan. All of these uses have significant
tax benefits for the company, the
employees, and the sellers. Employees
gradually vest in their accounts and
receive their benefits when they
leave the company (although there
may be distributions prior to that).
Close to 13 million employees in over
7,000 companies, mostly closely held,
participate in ESOPs.

fi lm equipment. With the acquisition of Willgain, Tomar will now
be a Sealed Air Shrink Packaging Premier Distributor, representing
the Cryovac line of shrink fi lm and Shanklin line of shrink equipment. Tomar will also have the ability to sell and fabricate spare
parts for all types of shrink equipment, new and old.
They are loyal to a “T” to their company and
their customers. They understand that the
grass is not always greener on the other side of
the fence.

It’s Time To Suit Up For Spring Cleaning
D
ust bunnies, grime and clutter can accumulate in your house
throughout winter, and spring is a great time to throw open
the windows and attack these issues head on. However, before you
get started with eradicating messes around the house, be sure you
acquire the right gear for the job.
In addition to the cleaners, rags, scrub brushes and other items in
your wash bucket, remember to grab the appropriate attire. Before
you start cleaning, slip on a pair of
disposable gloves to protect your
skin. You may think there are no

serious consequences from touching cleaners and old dirt, but quite the opposite is true. There are a
number of items you should not touch without gloves.

Bleach: Bleach is useful as a cleaning and disinfecting agent, but
you must use it in moderation. Bleach is a mixture of water and
sodium hypochlorite combined in various concentrations. Sodium
hypochlorite is an oxidizing agent and is corrosive to skin. Low
concentrations may not produce noticeable effects, but higher concentrations or continuous exposure to low concentrations could
lead to adverse reactions including irritation, burning and itching
skin. Even if you are using bleach for only a short while, wear a pair
of gloves. Nitrile gloves, for instance, are a great option for chemical resistance.
Detergents: Most detergents are mild, but over time their effects are
more serious than just pruney skin. These substances dry out skin
and will lead to irritation with prolonged contact. Grab a pair of
gloves before you wash your car, mop your floor or tackle the tower
of dishes piling up by your sink.
Mold: Mold is a problem in many homes that often goes undetected
because it grows hidden behind walls and in dark corners of attics
and basements. If your home has moisture, leaks or flooding issues,
you will likely have mold growing somewhere.
One of the best ways to improve your indoor air quality and minimize mold is to keep windows open, especially during steamy
showers. If you have not been using your exhaust fan — or your
bathroom doesn’t have one — your bathroom may develop mold.
It’s best to let professionals handle significant mold growth, but it
is safe to clean small patches yourself. Wear gloves to protect your
hands from harsh chemicals, mold and pathogens while you clean,
and wear an N95-rated mask to avoid breathing mold spores.
Animals: During cold temperatures, small animals may burrow
into your house or garage to find warmth. While most of the animals will venture back outside once the weather turns warmer,
some will not have survived.
Do not touch dead mice, rats or other animals with your bare
hands. Also, wear gloves when cleaning the areas where you found
these creatures. Many rodents carry pathogens, such as hantavirus,
which are spread through their droppings.
These are just a few situations when you should wear gloves while
cleaning your house for spring, and there is nothing wrong with
putting gloves on for other reasons. Maybe you just want to feel like
a superhero while you clean. ❚

How to Make More Money by Spending Less Time in Your Business

away from their businesses for
years now. Free time is defined
as 24 hours, midnight to midnight, with no business related
activities. No cell phone; no
computer; no contact with the
business; and no email. Don’t
even talk about the business
with your spouse. If you can
do this, you will come back to
work rejuvenated, relaxed and
often with even more passion
for the business. The ultimate
goal for a business owner is to be
in this mode 180+ days a year.
Impossible, you’re thinking?
Not really; remember, weekends
alone represent 104 of those
days. Unfortunately most of us
don’t take weekends “off.” We
are consumed by our businesses;
we have lost balance. We do not
own the business; it owns us.
Free time will also prepare your
employees to take “ownership”
and responsibility for their roles
in the business in the case of
your sudden absence, whether
caused by emergencies, illness
or death. The more dependent
your staff is on you for day-today decisions, the less valuable
your business really is. The more
time you spend working on your
business instead of in your business, the more growth you will
experience.
Start with just taking a weekend
day off. Then start taking the
whole weekend off, the way your
employees do. Then start taking legal holidays as free time
