In the 1960s, a small group of professionals, headed by Tamas
Makray — of which Carlos Siffert and Paulo Fragelli among
other colleagues were also part — conceived the cutting-edge
vision of the corporation consolidated as Promon. Since then,
the idea of striving for its perpetuation through the dynamics
of continuous development and renewal has been ever present.
Renewal is used here in the ideal expression of its meaning,
encompassing all essential aspects of the organization, from
its business portfolio to its technological knowledge; from its
shareholding structure to its management.
In April 2010, within this open and democratic scenario,
the new composition of the Board of Directors and of the
Executive Committee of Promon S. A ., the group’s holding
company, was established for the term of office ranging from
2010 to 2013. Following a model which has been in place
for many years, the new Board of Directors was officially set
up through a voting process comprising the company’s 1,100
professionals-shareholders, who expressly reaffirmed their
confidence in their representatives.
Luiz Ernesto Gemignani, who has been with the organization
for 32 years and has completed three terms as the Group’s Chief
Executive Officer was re-elected as Chairman of the Board.
Five other professionals are members of the Board of Directors,
four of whom are highly knowledgeable of the organization:
Gilson G. Krause, Luiz Fernando T. Rudge, Luiz Gonzaga Marinho
Brandão and Raul Antonio Del Fiol. As a further evolution of
the governance model, the Board of Directors now includes an
independent member, José Guimarães Monforte, who will bring
his valuable and renowned professional experience to Promon.
Carlos Siffert and Paulo Fragelli left the Board after 50 years
of continued dedication to Promon. Promon’s community pays
the warmest and most affectionate tribute to them and to
Tamas Makray, who retired from the company back in 1991.
Promon’s Executive Committee will be headed by
Luiz Fernando T. Rudge, who took over the position of Chief
Executive Officer. It will be also composed by Gilson G. Krause,
Ivo Godoi Junior and Felipe Alceu Amoroso Lima as Executive
Directors, the first two of them having been members of the
Committee in the previous term of office.

Reflecting its culture and understanding that organizations are
living systems, part of a complex ecosystem, years ago Promon
decided to define its aspirations and conduct its strategy and business
management by encompassing not only the economical and financial
aspects, but also a set of eight “dimensions” that aim to address
the perspectives it regards as essential to measure the company’s
performance and sustainability. In this report, many references will
be made to Promon’s attitude towards these dimensions.
Although Brazil enjoyed periods of accelerated growth, it was
also hit by severe crises in the past 50 years. Often it was seen
as the “country of the future.” In other times, its perspectives
were the subject of skepticism. Due to a number of circumstances,
related both to its historical process and to the course taken by
the global development, the country seems to be presently facing
a genuine opportunity to reach another development level. The
infrastructure-related shortages are basic limiting factors which
need to be overcome so that Brazil will not miss the opportunity
for further progress.
Promon, which celebrates its 50th Anniversary in 2010 and
has managed to leave its hallmark on the construction of Brazil’s
infrastructure, is well prepared to face up to this new challenge.
Throughout the past five decades it underwent a number of
transformations which were but proof that it was fully capable
of adapting and fitting its business model and the solutions
devised to the opportunities that the infrastructure development
stages in Brazil brought about during this period.
Throughout these decades, Promon has strictly been the same
company in its essence: the obsession for excellence in whatever it
does, the acknowledgement of the people working for it, the use of
innovation and application of technological expertise in the solutions
it devises, the ethics in its relationships, and the responsibility it
embraces in the social environments in which it operates are all
the basis for its development right from the onset. The ownership
model it adopted 40 years ago became a fundamental element
for the establishment of this organizational culture, which is open,
participative, democratic, grounded on human values and forged
by the overcoming of challenges. The energy of the first 50 years
is renewed and the permanent search for an existence with
significance keeps on nourishing the organization and its people.

2009 turned out to be a positive year for the Promon Group,
despite the uncertainties arising from the world’s economic crisis.
Supported by its competencies and portfolio of solutions, the
organization capitalized on the opportunities presented and rose
successfully to the challenges posed.
The organization’s consolidated revenue amounted to R$ 853.6
million, with net profits of R$ 86 million, net of the R$ 21.1 million
distributed to Promon officers and employees as profit sharing.
These amounts were higher than those of the previous year,
provided that the non-recurring events of that year are disregarded.
Considering Promon’s aggregate businesses, regardless of the
individual companies which make up its whole shareholding
structure, the 2009 revenue reached R$1.2 billion. The investments,
allocated particularly to technology development, new businesses
and training, totaled R$ 58 million. The Group ended the
year maintaining a solid financial situation, with high liquidity and
low indebtedness.

The Brazilian economy held out reasonably well against the
effects of the global crisis in 2009. Although it was adversely
affected by the strong economic slowdown in the developed
economies, with the resulting downturn in the foreign demand
and in investments, the maintenance of the employment and
credit levels allowed the internal market to sustain the general
level of activity in the country. Nevertheless, if we consider
specific sectors in which Promon operates, it is possible to notice
a variety of impacts of different proportions. A positive highlight
would be the Oil & Gas Industry, a market in which Promon
Engenharia is well positioned and which recorded a significant
growth. PromonLogicalis and Trópico generated positive results;
however, their business volume suffered from the investment
slowdown at the telecom carriers.

The Promon Group is controlled by the holding company
Promon S. A ., where the organization’s executive and
strategic coordination is based. Its only shareholders
are the organization’s professionals. Democratic,
transparent and participatory, Promon’s ownership model
is the economic translation of the ideals and values
of the organization. Through their absolutely voluntary
engagement in the model, the professionals deepen their
degree of sharing in the wealth created and participating

Limited, Trópico Sistemas e Telecomunicações S. A . and
Promon Novos Negócios comprise a group of independently
managed entities, through which the core businesses of the
organization are developed, at all times aligned with the general
strategy, policies and guidelines established by the Group.
Promon Engenharia is a wholly-owned subsidiary of
Promon S.A. and a leading provider of engineering services
focused on strategic industries such as Oil & Gas, Mining
and Metallurgy, Electric Power, Chemicals and Petrochemicals,
and the Environment.
PromonLogicalis Latin America Limited, a joint venture
between the UK-based company Logicalis Group Limited and
Promon S. A ., specializes in systems integration for the Latin
American information and communication technology (ICT)
market. Promon holds 30% of the company’s equity, but is fully
responsible for its management.
Trópico, a joint venture between Promon S. A ., which holds
60% of its equity, Fundação CPqD (30%) and Cisco Systems
(10%), specializes in the development of software and hardware
for telecom carriers.
Promon Novos Negócios, set up in 2008, undertook the
mission of developing the Group’s entrepreneurial drive in
a structured and consistent fashion, based on the organization’s
competencies and relationship networks, in order to streamline
the innovation process and the development of new businesses
in sectors associated with infrastructure. P2Brasil is a joint venture
between Promon and Pátria Investimentos, oriented to the creation
and management of investment funds for such sectors.
The framework of the organization is complemented by
Fundação Promon de Previdência Social, Instituto de Tecnologia
Promon and Instituto Razão Social, the latter maintained
in association with two other groups — Gerdau and Instituto
Camargo Corrêa, with IBM Brazil as the technology partner.

A major 2009 highlight was the consolidation of a new
organizational model which was the result of a process started
in the previous years. It grants more autonomy to the entities
comprising the Group, for they now have their own managerial
teams. As a result, Promon S. A . is assigned the typical role of
a holding company. In this new design, special attention is given
to the development of mechanisms to preserve Promon’s culture,
which, along with its reputation and technological expertise,
forms the basis of the intangible assets regarded as crucial
by the company.
Based on the understanding that organizations are living
systems, which interact with other systems, influencing them and
being influenced by them, Promon establishes its strategies
and monitors its performance in dimensions which transcend
businesses and financial results.
STRATEGY
The Group’s systemic vision attempts to define the strategic
perspectives which must permeate the entire organization.
The purpose of these perspectives is to represent the major
stakeholders and the main elements in the dynamics of value

The quality of the relationship with the different stakeholders
is of utmost importance to Promon. There were major
accomplishments to report.
The level of client satisfaction remained high for all the Group
companies: considering the average of the previous three years,
over 83% of clients expressed a high degree of satisfaction
with the services delivered by Promon, acknowledging its
differentiated position in the market. In relation to suppliers,
according to a survey comissioned by Promon Engenharia,
the company in the Group whose supplies are the most
diversified and offers the longest delivery terms, 70% of them
rated the level of relationship with the company above or well
above that of the market. PromonLogicalis, in turn, fostered
stronger relationships with traditional partners, such as Cisco,
and established new alliances to increase and complement its
solutions offered to the Information Communication and
Technology (ICT) market.
It is essential to Promon that it be an excellent company in which
to work, capable of attracting, keeping, developing and motivating
excellent professionals, providing them with the means that, in
regard to knowledge and working processes, will place them head
and shoulders above their competitors, qualified to provide their
customers with the innovative, quality solutions required by them.
The essence of Promon’s competitive strategy is the
differentiation achieved by means of innovation and quality.
Following a path different from that of many companies which
downsized because of the global crisis, the Promon Group
increased its staff by 8% in 2009, ending the year employing
1,370 professionals in Brazil and another 240 abroad. An
additional 110 students are taking part in the Trainee Program.
In 2009, a new tool was implemented in the Group
companies — the Paths Map — allowing the professionals to
identify the evolutionary path of their careers and to align them
with the organization’s strategies. To identify potential talents
and prepare them to take on future leadership positions are
the main objectives of the Programa de Desenvolvimento de
Novos Líderes (Program for the Development of New Leaders),
with the first group graduating in 2009. This one-and-a-half year
program will continue in 2010.

The Group took encouraging new paths promoting diversity
in its staff with the Programa Atitude para Incluir (Attitude to
Include Program) devised to spread the inclusive culture of the
company by hiring professionals with physical disabilities and
by organizing initiatives intended to raise internal awareness.
With its unique practices and ceaseless evolution, the
Group is one of the few organizations ranking among the best
companies to work for in Brazil since the first issue of the guides
published by the magazines Exame-Você S/A and Época-Great
Place to Work Institute (GPTW). It was also named once again
by the GPTW as one of the best companies to work for in Latin
America. With employee satisfaction rates significantly above
the average of both domestic and international organizations,
duly endorsed by the Pesquisa de Práticas (Survey of Practices)
in the organizational environment area conducted in 2009
by an independent consulting firm, Promon regards managing
people as one of its strategic endeavors.

Deeply rooted in Promon’s culture, corporate social and
environmental responsibility is materialized in its strategies,
business portfolio, market solutions, technological choices,
work processes and in the relationship with clients, suppliers
and communities, increasingly becoming the central structuring
element of its development.
On the social action front, the Group concentrates its
initiatives on educational projects driven by the deeply held belief
that this is a key factor in the development of the society and
the country. A traditional channel of commitment to such projects
is provided through the programs developed by the Instituto
Razão Social. Additional activities have been organized by the
Group companies, based on a more strategic vision of the topic,
which resulted from a more mature approach to the concepts
and practices learned in the previous years. These actions
involved 900 volunteers in actions and campaigns focused
on projects of 17 social entities, providing direct benefits to
15,000 people and favoring 2,000 children and adolescents.

Promon’s commitment to social and environmental issues
since its foundation, the detailed follow-up on the projects and
the results obtained reflect the degree to which the work has
improved, leading the Group to be elected by Exame magazine,
for the fourth consecutive year, as one of the twenty role-model
companies in the country in the field of corporate sustainability.
The Promon Group became a signatory to the United Nations
Global Compact in 2006. It is also a part of the initiative referred
to as Todos pela Educação (“All for Education”) and Nossa
São Paulo: Outra Cidade (“Our São Paulo: A Different City”).
It is aligned with the Instituto Ethos de Empresas
e Responsabilidade Social (“Ethos Institute for Businesses
and Social Responsibility”), with Instituto Akatu pelo Consumo
Consciente (“The Akatu Institute for Conscientious Consumption”)
and is a member of Fundação Nacional da Qualidade — FNQ
(“The Brazilian Quality Foundation”), whose Board of Trustees
includes Promon’s Chairman of the Board.
All the advances made in every dimension that Promon
regards as strategic for sustainable development and the
economy’s recovery signs lead the Group to adopt a bright
perspective for 2010. The portfolio backlog of R$1.8 billion
at year’s end provides the required support for an estimated
revenue growth of over 40%.
However, the company’s future vision stretches over longer
time frames. Throughout its five decades of existence, Promon
has innovated and reinvented itself a number of times. It is aware
of the fact that it will have to dedicate itself even further to follow
the dynamics of changes in the contemporary world. For this
reason, in 2009, the Group started a scenario assessment
exercise, to be intensified in 2010, in an attempt to understand
more clearly the demographic, technological, geopolitical
and environmental changes which are about to come.
Understanding and interpreting such changes and taking them
into consideration when devising its strategies is the way to
ensure that Promon is prepared to operate in this fast-changing
world and, more than that, to be a driver of such changes and
of a new development concept.

_A company is a living system, which forms an integral part of
a social, economic and natural ecosystem, with which it interacts,
on which it depends and with which it holds co-responsibility.
_Knowledge will be the tool for the accomplishments
of individuals and of the society provided it is used in a shared

As for corporations, culture is the key
element for differentiation, competitive
positioning and, particularly, perpetuation.
It is a matrix defining the format and,
frequently, even the content which
determines the relationship of a company
to its stakeholders.
It is exactly in this regard that one
can state that Promon’s organizational
culture is probably its major asset.

REASON TO EXIST
Promon is a knowledge-based community of professionals
and stands out for its capacity to innovate, embracing
the pursuit of excellence as its guiding concept. It seeks to:
_develop and offer infrastructure-related solutions which
add value to clients and other stakeholders;
_offer conditions for the professional and human
accomplishment of its professionals;
_be an active agent for the society’s development process
and the environment’s preservation.
THE COMMUNITY_Means
sharing elements and understandings
that transcend the parts which form the company. Community
means the willingness to observe principles and rules but it also
implies voluntary cooperation, which is much richer and involves
less planning. Collaboration is different from altruism. It comes
about when people share a common cause, when they feel
they are united towards a shared destiny. A community may be
described, and formally mapped, but it also reflects an emotional
undertone, a sense of connection, of union. Communities have
a body, but they also have a soul.
PURSUIT OF EXCELLENCE_When we refer to excellence, we tend
to think about quality. Excellence, however, transcends quality
and sets limits to it. Quality in excess is not excellent because
it lacks value.
The concept of excellence, as applied to our organization,
must be understood more comprehensively, because in
addition to including quality in our activities, it also incorporates
the quality of our people and of their lives in the company,
implying high technical standards and stringent ethical and
aesthetic standards.
It presupposes high-level relationships with our clients,
partners, associates and suppliers, as well as among all
professionals in the organization.
At all times, it urges us to make our companies better than
they are and to strive to contribute to the society in which we live.
Excellence lies in the horizon. If, for an instant, we believe
we have reached it, that is exactly the moment that we missed it.
In fact, instead of speaking of excellence, we should rather
talk about searching, pursuing, challenging. Such pursuit is
reflected as an attitude, a state of mind, which is contagious
and self-stimulating.
The basis on which this culture is defined
was set forth in the Carta de Campos
do Jordão (Campos do Jordão Charter),
a document written in 1970, which still
expresses world values, ideals and a vision.
It is from this culture, values and core
beliefs shared by a community of
professionals that Promon draws out
its vital energy. Promon’s culture is its
essence and identity.

1_Promon is a professional organization engaged in technical
and consultancy services in the fields of engineering and
architecture. It performs studies and research, and conducts
scientific and technological development activities.
2_Promon’s permanent objective is to provide its clients with
services of a high technical standard, with strict observance
of the principles of professional ethics.
3_Promon is the expression of the merit of its professionals;
it is the result of the cooperative efforts of individuals
with related vocations aimed at creating conditions for their
professional and personal fulfillment.
4_Professional and personal fulfillment will be assured through:
a . stimulating creativity and respecting the dignity of the individual;
b. providing opportunities for the development and advancement
of all, according to the qualifications and merit of each;
c. membership in a cohesive, stable working community;

Promon Engenharia achieved outstanding results in 2009,
despite the economic scenario which adversely affected
many players in the market in which it operates.
The revenue totaling R$ 680 million exceeded the budget
forecast and represents a growth of 75% as compared to 2008.
The global crisis, however, caused major impacts on many
segments. It was a year marked by competitive bidding
process cancellations, and delays and changes to the profile
of contracts which affected nearly all clients. Despite this
context, Promon Engenharia’s portfolio backlog amounted to

PORTFOLIO
Such positive performance is greatly due to the Oil & Gas
Industry. Petrobras’ share in the company’s revenue, which
has always been historically meaningful, continued to be
significant in 2009, owing to major contracts awarded to the
oil refining sector.
Among the highlights of the sector, all following the EPC
model (engineering, procurement and construction), are the
ongoing activities at the Delayed Coking Unit of the Presidente
Getúlio Vargas Refinery (Repar), in Araucária (Paraná),
and in the Hydrotreatment Unit at the Henrique Lage Refinery
(Revap) in São José dos Campos (São Paulo). Other major
projects were the Hydrodesulfurization Units at Revap and at the
Alberto Pasqualini Refinery (Refap) in Canoas (Rio Grande do
Sul), and the Sulfur Removal Unit at the Capuava Refinery (Recap)
in Mauá (São Paulo). By the end of 2009, Promon Engenharia
won the bid for the project of the Vacuum and Atmospheric
Distillation Unit of the Petrochemical Complex in Rio de Janeiro
(Comperj), whose activities will start in 2010.
Petrobras’ satisfaction level relative to Promon Engenharia,
historically high, rose even further in 2009 and the company
assumed a more solid positioning relative to Progefe, Petrobras’
Engineering Supplier Management Program — an evaluation system
whose results are decisive for the supplier qualification in respect
of future projects. In all the items evaluated, Promon obtained rates
significantly higher than those required for qualification, reaching
the maximum score in management and engineering.
Although at a slower pace, important projects maintained
their momentum in the other sectors in which the company
is active. As regards Fosfertil, a Fertifos consortium-controlled
company, Promon Engenharia started in 2009 the expansion
of the third plant of fertilizers in Uberaba (Minas Gerais) and
conducted engineering studies and budgeting analysis for the

construction of the new production unit in the city of Patrocínio
(Minas Gerais). In the relationship with Fosfertil, it is worth
mentioning the contract mode adopted, based on an alliance
structure, which allows decisions, risks and gains arising out
of the investment cost reduction to be shared between both
companies, so as to establish an even stronger partnership.
For the Cosan Group, the largest sugar and ethanol producer
in the country, the company completed the construction of the
new plant in the city of Jataí (Goiás). Regarded as one of the
most modern units for the production of ethanol and energy
generation worldwide, it is a highly automated plant, with
reduced waste generation and low consumption of water.
The schedule of the project aimed at replacing a cogeneration
unit of Usina da Barra facility in Barra Bonita (São Paulo)
underwent some changes owing to the global crisis and will
be completed by mid-2010.
In the steel and metal sectors, Promon Engenharia continues
to perform the process engineering and infrastructure contract
with Companhia de Alumina do Pará (CAP) in which Vale
is the major shareholder.
In all its initiatives, Promon Engenharia has always relied
on advanced environmental practices, with the development and
modification of processes and procedures to minimize the impact

and capitalize on the concepts of ecoefficiency. The construction
sites, for example, incorporate differentiators such as rainwater
harvesting and use, and energy-saving systems, among other
innovations. The assessment of the environmental risk posed
by each project, according to requirements beyond the mere
compliance with the applicable legislation, has begun to be
a decisive criterion for any contract to be accepted.
2009 also marked the start of a new field of activity for
Promon Engenharia. The company conducted studies to enlarge
its portfolio in the Oil & Gas Industry, traditionally concentrated
on refining projects, in the area of oil extraction and production.
As the result of such studies, especially driven by the
potential of opportunities related to offshore oil extraction
activities, an action plan has been developed to be implemented
in the period of 2010 -2012.
An initiative associated with this market, launched in 2008,
is the equity investment in DeepFlex, a manufacturing company
of flexible pipes used in the oil and gas production and
distribution market. In 2009, the US-based company broke
into new markets and regions and has been negotiating contracts
for testing its products with Petrobras. The implementation
of a new production unit in Brazil is in the pipeline, provided that
the said tests are approved.
RELATIONSHIP WITH CLIENTS AND SUPPLIERS
The client satisfaction survey process, conducted on a yearly
basis, was revised in 2009 in order to fine-tune the information
gathered. The survey, carried out by an independent organization,
showed the maintenance of high client satisfaction levels,
while also indicating opportunities for improvement in teambuilding efforts in the early project development stages.
With the purpose of fostering and strengthening the
relationship with its suppliers, the second edition of Promon
Integra was held in 2009 — the first one occurred in 2006 —,
an event that had the purpose of encouraging the mutual
search for sustainable solutions dealing with client demands
and requirements. As many as 46 companies, suppliers of
equipment, bulk materials and technical services, took part
in the event which presented a series of initiatives geared to
improve supplier management.
Another initiative along these lines was the development
of a supplier satisfaction survey, which revealed that Promon
Engenharia ranks at the top among supplier relationship
management benchmarks. Among Promon’s highlights, the
partner companies mention: ethics, integrity, professionalism
and the technical expertise of its professionals.

The investment in knowledge management is a top priority
for Promon Engenharia. Throughout the last few years,
a sophisticated system has been put in place aiming at ensuring
and providing inputs to the ongoing evolution cycle of acquisition,
recording, dissemination and application of knowledge.
The training programs for the teams are devised by an executive
director, especially designated to address the topic, as well as
by Competence Centers, virtual organizational structures created
for the purpose of developing the distinct competencies of the
company, in a partnership with the Human Relations department.
Renewal and innovation were the focus of the actions
related to the training and development programs in 2009.
In compliance with present-days demands, significant behavioral
aspects were emphasized, namely, innovation-focused
entrepreneurship, communication and adaptation skills, flexibility
and encouragement to ongoing learning. Over fifty percent
of the staff attended these training courses in 2009.
The major highlight in the technical training was the launch
of the Programa Trajetórias (Trajectories Program), based on
positive reviews from a pilot project implemented the preceding
year. As an innovative knowledge management initiative, the
program offers modules devised and taught by as many as
forty senior professionals who use multimedia aids and distance
learning resources. In 2009, 24 training modules were created
and delivered to about 100 professionals. The action had the
methodological support of Instituto de Tecnologia Promon and
new contents continue to be developed.
The wide-ranging training program also included preparatory
courses for PMP (Project Management Professional)
certification and courses organized by Prominp — Programa
de Mobilização da Indústria Nacional de Petróleo e Gás
Natural (National Oil & Gas Industry Mobilization Program).
An addition to the list of actions was the financial aid provided
to master’s degree and doctorate students.
The awards received in the period express the external
recognition of the differentiated practices adopted by Promon
Engenharia, which won the first place in the “Top of Mind em
Gerenciamento de Projetos” (Project Management Top of Mind)
award ceremony as a result of the benchmarking studies
coordinated by the regional office of the Project Management
Institute (PMI) in Rio de Janeiro. The company also ranked
first in the “MAKE — Most Admired Knowledge Enterprise”
award competition, which selects the companies with the best
knowledge management practices. It was the first time ever
that the award was granted in Brazil.

SOCIETY AND THE ENVIRONMENT
To its management model, the company incorporated a team,
comprising the senior management, to monitor and sponsor
initiatives in the field. In 2009, the Environment discipline was
consolidated into its portfolio of competencies with the mission
of generating knowledge and interacting with the projects
and other disciplines, providing support to them in issues such
as energy efficiency, waste generation treatment and/or
reduction, effluents and gaseous emissions, water reuse and
compliance with the environmental legislation.
As an outcome of this action, it is worth mentioning the
new Fosfertil fertilizer facility project which enjoyed the support
of the discipline in the process of effluent identification and
quantification, providing the required information for the
undertaking’s environmental licensing. In the project of
Companhia de Alumina do Pará, the discipline assessed the
technical and environmental feasibility of using ceramic bricks
manufactured from red clay on the pathways of the office
and of some process unit areas, thus offering a more suitable
destination for the material which is the main residue generated
in alumina production. In addition, by adopting a proactive
approach, Promon proposed the replacement of traditional
transformers using oil-based insulation by dry-type equipment —
a solution not only environmentally safer, provided that risks
of explosion, fire and contaminations are eliminated, but also
cheaper under certain conditions.
As a result of successful pilot programs carried out the
previous years, a more sustainable construction site model
is being designed to reduce the consumption of raw materials
and natural resources through the use of natural ventilation
and illumination as well as rainwater reuse systems.
The company also incorporated in its work processes
a thorough analysis of the social and environmental aspects of
projects as an essential decision-making tool to undertake them
regardless of the sector. This assessment, which goes beyond
merely complying with the applicable environmental legislation,
was the determining factor in the refusal to participate in projects
which did not meet such stringent criteria. The application of this
methodology will evolve in 2010 in such a manner as to allow
mapping, rating and managing the environmental impacts of all
projects according to their importance and materiality.
The concern for quality and the social and environmental
aspects where the company’s activitities are carried out was
duly acknowledged in the first place obtained in the 2009 edition
of the Petrobras QSMS (Quality Engineering, Environmental,
Health and Safety) award granted in the “Industrial Construction”
category, related to the design and construction of the
Hydrotreatment Unit at the Henrique Lage Refinery (Revap).

With the global crisis subsiding, 2010 is expected to record
a gradual increase in investments in the traditional sectors
of Steel, Metallurgy and Chemicals, besides the further expansion
of the Oil & Gas industry, fueled by a boom in oil extraction
and production.
The company intends to concentrate efforts to reconstruct
the diversification of its portfolio of contracts and maintains
an optimistic view for 2010, expecting to increase its revenue
by 50%.
The accelerated transformations under way in the world, and
particularly in Brazil, the intense global urbanization movement,
the increasing strictness of environmental criteria for projects,
the demand for new ways to look at the infrastructure sector,
all these factors will open up new markets for the company.
Promon Engenharia, consistent with its history of constant
renewal and supported by the expertise developed over the last
decades, is organized to operate seamlessly in a number of
dimensions of this universe, ensuring its positioning for this new
development cycle of the country.

PromonLogicalis Latin America to maintain its market share
in the region and stand out as the largest integrator of solutions
for Information and Communication Technology (ICT) in Brazil.
Consolidated revenue in all the Latin American countries
amounted to R$ 395 million, of which Brazil accounted for
R$ 259 million. In 2008, sales were strongly impacted by
the significant demand from telecom carriers for non-recurring
services related to the implementation of 3G (transmission
of voice, data and images at high speed) services in the country.

PORTFOLIO
The company, established in 2008 by the merger of Promon
Tecnologia with the Logicalis Group operations in Argentina,
Brazil, Chile, Paraguay, Peru and Uruguay, focused its wide
range of solutions, products and services in network security
and management, data centers and collaborative environment
(voice, data and images), especially for the corporate market
and the government — two of its three markets.
Being aligned with the needs of clients has been key to
the 100% growth in the corporate segment and 300% increase
in the governmental sector, as compared to 2008. These two
segments accounted for 30% of the company’s total turnover.
The market of telecom carriers, which accounts for the
largest sales share of PromonLogicalis, recorded a growth below
that of the forecast owing to the decline in investments made
by companies operating in fixed and mobile telephony and cable
TV as a result of the global crisis.
Nevertheless, 2009 brought gains to this sector, including
contracts to supply security systems and network management
to Telefonica and data center solutions to Tim, in addition to
the contracts signed with important and traditional clients such
as Oi, Claro and Embratel.
In the corporate market, the company reinforced the strategy
of developing solutions customized to the particular needs of
each customer segment, in order to streamline and optimize the
way demands are met. In regard to Oil & Gas, PromonLogicalis
expanded and strengthened its relationship with Petrobras,
with the deployment of IP networks on the Enchova and
Pargo platforms, in addition to a contract to supply Cisco routers
and network security equipment to the Centro de Pesquisas
e Desenvolvimento (Research and Development Center).
In the Finance customer segment, the services provided were
collaborative environment solutions for Banco do Brasil, unified

communications projects for the board of Banco Itaú, and
solutions for the integration of data centers at Itaú and Unibanco.
In the Mining field, a major highlight was the consultancy
project for Vale to implement SaaS (software as a service)
architecture and the contract for wireless network deployment
for the mining company Mineração Taboca.
The development of suitable solutions to the needs of each
customer segment further contributed to PromonLogicalis
having gained a significant share of the civil construction sector.
The offer of an ICT solution for construction sites (convergent
infrastructure of data, voice and image enabling different
business applications) led to contracts with nearly all the major
Brazilian construction companies. This segmented strategy
also helped PromonLogicalis approach the automotive industry.
Among the most important projects in this sector are security
solutions and wireless systems for Fiat, in addition to intrusion
detection systems for GM.
In the governmental market major contracts were signed
with the Secretaria de Estado da Fazenda (State Department
of Finance) of Rio de Janeiro, with the Serviço Federal
de Processamento de Dados — Serpro (Federal Service of
Data Processing), the Departamento de Polícia Federal
(Federal Police Department), and the Parque Digital da
Universidade Federal do Rio de Janeiro — UFRJ (Digital Center
of the Rio de Janeiro Federal University). These projects are
particularly oriented to network security, data backbone
expansion, data center upgrades and unified networks (data,
voice and video).
Although the projects developed have low direct
environmental impact, the company’s business portfolio brings
a contribution to good sustainability practices, by boosting
green IT offers and solutions which reduce energy consumption
and optimize the client’s information resource capabilities.
PARTNERS
With the purpose of reinforcing its expertise and differentiated
position as a systems integrator, PromonLogicalis invested
in the expansion and diversification of partnerships. The strategy
was aligned with the growing demand for security solutions
and network management, data centers and collaboration,
requiring the combination of technologies from different vendors,
thus intensifying the importance of the integrator’s role.
Some consolidated partnerships in 2009 include companies
such as McAfee and Nominum (security solutions and network
management, respectively), IBM (data center solutions
and network management), Arbor (network security), VMware
(virtualization), NetApp (storage), Tandberg (high-definition
videoconferencing solutions), and Trópico (telephony solutions),
a Promon Group company.
The partnership established with Cisco has completed
eleven years and the relationship is ever more intense: today
PromonLogicalis is the company’s main partner in Brazil
and Latin America. In 2009, thanks to its skilled team and the
significant sales volume, PromonLogicalis was chosen by
Cisco as partner of the year in emerging markets, a selection
that encompassed companies in more than 130 countries.
In April 2010 it was selected global “Technology Excellence
Cisco Partner of the Year”.

The year was also marked by a significant investment in
professional training in Cisco certifications. PromonLogicalis
was awarded ATP (Advanced Technology Partner) certifications
for WiMax, Telepresence and UCS (Unified Computing Systems),
which qualify it to market Cisco’s infrastructure solutions for
wireless networking, telepresence and data centers, respectively,
in Latin America. There was also an increase in the number
of CCIE (Cisco Certified Internetwork Expert) professionals,
the highest-ranking individual certification within Cisco. Eleven
PromonLogicalis professionals have already been granted
this important CCIE certification for voice and security.
Another milestone in 2009 was the further consolidation
of PromonLogicalis operations in Latin America, with
the appointment of a PromonLogicalis executive director,
formerly stationed in Brazil, as COO (Chief Operating Officer)
in Argentina. The goal is to serve the region comprising
Argentina, Chile, Paraguay, Peru and Uruguay, strengthening
the business management approach to clients operating
regionally. The company has sought to capitalize on the
synergies and promote the exchange of skills, such as bringing
to Brazil Argentina’s expertise in Cisco training while taking
to this neighboring country Brazilian competencies in consulting
and process-oriented operations.
The positive performance of PromonLogicalis in 2009 led
to important accomplishments in the market: it was considered
the largest systems integrator, according to the 2009 edition
of the Anuário Informática Hoje yearbook; it was elected
the 5th most admired company in the technology sector in the
country, according to a survey conducted by CartaCapital
magazine; placed 6th in the ranking of Computerworld-Great
Place to Work In IT and Telecom and received the “ARede 2009”
honors award, created by Momento Editorial (a publishing
company), as a “Digital-Inclusion-Friendly Company”.

In 2010, the company expects telecom carriers to resume
their investments, mainly due to a growing demand for
broadband services. Thus, the offer of IP solutions should
continue to account for the largest share of sales. In the same
breath, PromonLogicalis will keep up and strengthen confidence
in the growing demand for data center solutions, collaborative
environment, security and network management. The company
plans to extend to the client network management services
the ITIL (Information Technology Infrastructure Library) tool,
as adopted at its Centro de Serviços Avançados (Center for
Advanced Services).
The potential for progressive network virtualization, referred
to as cloud computing, is also being considered. Aware that
this trend will bring about new and greater demands, the
company plans to continue expanding its network of technology
partnerships. The ISO 20000 certification for the management
of information technology services and the extension of
operations to other Latin American countries are among the
topics of the 2010 agenda.

2009 was a year of major challenges faced by Trópico. In the
adverse scenario posed by the global financial crisis, Trópico
expanded its businesses and established new partnerships.
Trópico, a joint venture between Promon S. A ., CPqD and
Cisco Systems, ended the year with revenues of R$110 million. In
2008, revenues recorded a remarkable growth, derived from the
significant volume of non-recurring supplies, aimed at meeting
the large demand from telecom carriers for solutions related to
the number portability service which was then being
implemented in the country.

PORTFOLIO
In 2009, the company focused on providing its Vectura range
of products for the expansion and upgrading of equipment already
installed at its major customers. Designed for the convergence
of voice and data networks, the Vectura line encompasses
integrated solutions for access infrastructure, call control and
advanced service platforms relying on voice over IP (VoIP)
technology. These are solutions that place Trópico at the forefront
of technology for Next Generation Networks (NGN).
Telefonica, which stands out in the company’s client portfolio,
was duly catered for with the expansion of its signaling and
softswitches server complex. Apart from the improved capacity
to meet rising demand, the expansions at Telefonica intended
to reduce risks of failure (installation of redundant softswitches)
and improve anti-fraud systems, thus preventing financial losses.
Oi was among the most active clients with the development
of new applications for signaling servers designed for the
supervision and broadening of the spectrum of network control.
Trópico’s signaling servers (VSI — Vectura Signaling Server)
stood out in the telecommunications market owing to a solution
that allowed carriers to make number portability a reality without
the need for changes in the legacy of platforms. In 2009,
carriers expanded the capability of such equipment to meet
the growing volume of ported subscribers.

The year also marked the debut of Trópico in the managed
services segment, through a contract with British Telecom,
a global carrier that caters specifically to large corporations
in Brazil.
The operation includes not only the supply of equipment,
the company’s core business, but also its operation and
maintenance, with activities such as the carrier’s billing
service control. This new field opened to Trópico required the
development of a professional team with specific skills and
qualifications as well as the establishment of important
partnerships with other Brazilian companies.
Trópico has also a significant share of the Brazilian company
WxBR , a provider of wireless communication technologies.

Additionally, the company continues to invest heavily
in technological development, seeking mainly to offer equipment
and solutions to mobile telephony and broadband applications.
The goal is to meet customer needs thoroughly, as their major
demands are now concentrated on these two segments.
With this goal in mind, Trópico allocates resources for the
development of IMS (IP multimedia subsystem) projects to
standardize the creation, delivery and reproduction of multimedia
files relative to mobile phones and other devices that rely
on GSM wireless technology.
PROSPECTS
In relation to 2010, Trópico believes in the growth potential
of services managed by means of its own products, resulting
from the generation of regular and recurrent revenues and
from the expansion of this segment in the telecommunications
market. Over the next two years, Brazil is expected to have
about 180 carriers oriented to the corporate segment.
Also in 2010, Trópico intends to boost the activities of
Trópico Colombia S. A . and enhance the search for opportunities
in other Latin American countries. The focus will be placed on
those who have not yet adhered to number portability, including
Argentina, which is served by Trópico Brasil.
Events such as the 2014 World Cup and the 2016 Olympics,
in addition to the beginning of oil prospecting in the pre-salt
layer, are all in the company’s pipeline, and it has already started
mapping activities to identify opportunities.
In 2009, Trópico won the title of “Company of the Year”
granted by the Anuário Telecom yearbook, one of the most
renowned publications focused on the telecom market in Brazil,
prepared by Plano Editorial, a publishing house, under the
technical supervision of the Fundação Getúlio Vargas’ School of
Business Administration in São Paulo. It was also considered the
“Highlight of the Year” in the segment of Fixed Switching and was
among the ten most profitable companies in the sector according
to the criteria that took into account the previous year’s financial
results and parameters such as the offering of new services, the
adoption of new technology and the business evolution strategy.

NOVOS NEGÓCIOS

Established in 2008 with the purpose of providing the Group
with the required means to foster its entrepreneurial drive through
the adoption of a more systematic approach, Promon Novos
Negócios celebrated its first year of effective activities in 2009.
It is focused on investments in the economic sectors where
Promon can allocate not only financial resources but also its
expertise, and technical and managerial skills, so as to open
an avenue making new business opportunities available to the
Group and its partners.
Promon Novos Negócios is working along two main vectors.
In the first one, as manager of investment funds through P2Brasil,
a joint venture with Pátria Investimentos, one of the most
renowned companies in the country in this area. In the second
one, with a more direct approach as investor and in combination
with co-investors by identifying and structuring investment
opportunities in sectors not catered to by P2Brasil.
The P2Brasil Infrastructure fund, the first initiative introduced
by the fund manager P2Brasil, is oriented to the following
subsectors: logistics and transportation; oil & gas; water,
sanitation and waste treatment; and power distribution and
transmission. 2009 was a very fruitful year, both in relation
to the investments obtained and to the opportunities identified,
analyzed and negotiated, allowing the project of the fund to
be accomplished in a year still suffering from the uncertainties
caused by the global crisis. The combination of three factors
was decisive: the prominence that Brazil has achieved in the
international scenario, the great opportunities for infrastructure
development in the country, and the fund’s proposal to aggregate
investment and project management competencies as invaluable
contributions brought by both partners.
Promon Novos Negócios also made considerable headway
along its other vector, by focusing on investments in the sectors
of power generation, information and communication technology
(ICT), and clean technologies. Relying on its own team
of professionals and its network of partners, Promon Novos
Negócios identified and analyzed dozens of opportunities
in those markets, with major advances in structuring a specific
vehicle to channel the investments to projects in the sector
of power generation through the use of renewable sources.

After a year trying to weather the consequences of the crisis in
the international financial markets, 2009 marked a year of
recovery for most private pension funds in Brazil. Fundação
Promon de Previdência Social (FPPS) was no exception and
reported positive financial results.
FPPS manages two plans, MultiFlex, as the definedcontribution plan, and BásicoPlus as the defined-benefit plan.
The MultiFlex plan quota, whose nominal earnings the previous
year were positive, yet below the inflation rate, ended 2009
with a nominal return of 15.6% , exceeding the consumer price
index (INPC) of 4.1% for the year, and keeping the accumulated
gains since its launch well above those of the Certificado de
Depósito Interbancário — CDI (Interbank Deposit Certificate).
The BásicoPlus plan also performed robustly, ending the year
with an accumulated technical surplus of over R$ 80 million —
an increase of over R$ 30 million in relation to the level reached
the previous year.
In addition to the financial recovery, a key event for FPPS
in 2009 was the offer for the migration of BásicoPlus

participants to the MultifFlex plan — a process extended also
to the beneficiaries. This fully optional process recorded the
migration of 150 participants to the MultiFlex plan, attracted
by its set of functional, financial and fiscal advantages.
With this initiative, the distribution of assets and participants
in the plans changed quite significantly. The MultiFlex plan now
has total assets of R$ 295 million and comprises more than
1,500 participants, of which roughly 150 are beneficiaries.
The BásicoPlus ended the year with net assets of R$ 500 million
and a group of 570 participants, of which some 440 are entitled
to receive benefits. The relative proportion of beneficiaries and
the significant number of assets reflect the complete maturity
of this plan.
A new Chart of Accounts is scheduled to be implemented
in 2010 as well as the adoption of a new criterion for dealing with
administrative expenses to meet the regulatory requirements of
the Superintendência Nacional de Previdência Complementar —
Previc (the National Superintendence of Pension Funds).
Moreover, as a result of the migration to MultiFlex, there will
be the need to review investment policies of both the plans
in order to keep them in line with the profiles and expectations
of their participants.
Established in December 1975, the Fundação Promon
de Previdência Social is one of the major initiatives of the
organization aimed at promoting the well-being of its employees.
As a non-profit service organization, its activities cater to about
six thousand people — over 2,100 participants of both plans
and their families. Throughout 2009, FPPS paid benefits on the
order of R$ 46 million to its beneficiaries.
From the implementation of BásicoPlus in 1976 to the launch
of MultiFlex in 2005, FPPS actions have been guided by the
same principle: to adapt to the current reality with an eye to the
future in order to offer Promon Group professionals the means
to provide for a decent retirement.

TECNOLOGIA PROMON
Created in 2006, the Instituto de Tecnologia Promon (ITP) is
a nonprofit organization whose purpose is to encourage debate
on new technologies, talent development and the management
of organizational knowledge.
Year after year, ITP has been developing activities to become
a Brazilian benchmark in the generation and dissemination of
technical knowledge in areas of interest to the Promon Group:
energy, sustainable development, and information and
communication technology.
In 2009, one of ITP ’s initiatives was the trainee program for
master’s degree students, by means of which the organization
assesses the need for and supports the training of young talents
in areas that are strategic to it. Institutionally linked to Promon,
the participants can dedicate themselves fully to the graduation
program. The first class had four participants, selected among
fifty candidates. Two of them defended their dissertations this
year; the other two candidates are scheduled to defend theirs
in the first half of 2010.
In 2010, the program will also be offered to doctoral degree
candidates. The new selection process is scheduled to take
place in the year’s second half. Early in the year, ITP will invest
in the training of new tutors — Promon’s professionals
responsible for monitoring the research projects. The idea is
to incorporate the expertise of the internal Mentoring Program
in order to improve and standardize the relationship between
tutors and students. Trainees who are already part of Promon’s
teams will be encouraged to enroll in the graduate school based
on the aid provided by the program.
Another initiative that made advances in 2009 was the
Programa Trajetórias (Trajectories Program), a milestone in
knowledge management at Promon Engenharia. ITP contributed
the methodological support for the compilation, organization
and technological implementation of the training modules,
whose technical content was structured in multimedia language
supported by cutting-edge distance education tools. In 2010,
the program will be expanded and ITP plans to design a
certification system for the courses given.

Efforts to boost the quality of public education in Brazil brought
together Promon, Gerdau, and Instituto Camargo Corrêa,
along with IBM as a technology partner, and resulted in the
establishment of Instituto Razão Social in 2002. Last year its
activities catered to 130,000 students and 750 educational
professionals across the country.
The associated organizations that maintain the Institute
optimized their social investments, adopting a model that gives
priority to networks and their interactions, and is consolidated
based on the need to include new partners and new knowledge.
Throughout these past years, the non-profit Institute has
striven to accomplish its mission: to identify interesting projects,
to obtain resources and partners, and to facilitate initiatives
that can be carried out by means of information technology.
Working within four main areas of activity — Continued Education
Programs, Online Networking and Courses, Portal Management,
and Coordination Actions — Razão Social has focused its
activities on training managers and educators and improving
systems of public education.
One of the highlights of 2009 was the migration of
Progestão content to online media. Progestão is a project of
the Conselho Nacional de Secretários de Educação — Consed
(National Council of Education Secretaries) aimed at training
public school management teams. Carried out in partnership
with Gerdau, IBM, Promon, Grupo Santander and OI Futuro,
the project will offer distance education programs in order
to meet an estimated demand of 180,000 school managers.
Child education is the focus of the Formar em Rede
(Training in Networks) program, a joint initiative of Razão Social
and Instituto Avisa Lá, in partnership with Gerdau, Natura
and Instituto C&A . At present, it offers services to 57 education
department technicians and 464 educational coordinators
in 24 municipalities.
Razão Social also provides technological coordination,
planning and management support to Além das Letras (Beyond
the Letters), a program of Instituto Avisa Lá aimed at training
literacy professionals from the regional public education systems.
In 2009, 30 technicians and 203 educational coordinators
participated in the program held across ten municipalities.
In regard to Online Networking and Courses, the Institute
inaugurated a new model of services, based on the provision
of online courses to public school network educators. The first
course, on literacy, implemented in behalf of Instituto Avisa
Lá and Fundação Victor Civita, catered to more than 3,500
participants all over Brazil. In relation to 2010, courses
in the areas of mathematics, early childhood education and
volunteering are scheduled.
In regard to Portal Management, a portal was designed
to integrate Consed’s actions relative to school management,
in a project supported by Microsoft and Movimento Brasil
Competitivo (Competitive Brazil Movement).
As for Coordination Actions, three projects stand out.
Two of them involve technological support, through Além das
Letras, of projects from Instituto Ecofuturo to train local
teachers in the municipalities of Parintins (Amazonas) and
Itapirapuã Paulista (São Paulo), the latter with Intel’s participation.
In this respect, too, one major project concerns the support
provided to the Camargo Corrêa-Promon Consortium for
the development of the Social Mobilization for Education Plan
in Araucária (Paraná).
This interactive approach has expanded the scope of Instituto
Razão Social, making it an institution in which relationships
are the essential driver of growth and development, allowing
shared ideas, knowledge and skills of individuals and companies
to be complemented and multiplied so as to offer new, vivid and
unprecedented possibilities to contribute to quality education.
