Die Möglichkeit vom Vertrag zurückzutreten besteht für beide Seiten, wenn besondere Umstände vorliegen, die unter Abwägung der beiderseitigen Interessen den sofortigen Rücktritt rechtfertigen. 3) Macht der Besteller Schadenersatzansprüche wegen Verzögerung der Leistung geltend, so ist unsere Schadenersatzhaftung, soweit uns keine vorsätzliche Vertragsverletzung angelastet wird, der Höhe nach auf vorhersehbare, typischer Weise eintretende Schäden begrenzt. Soweit der Dritte nicht in der Lage ist uns die Gesamtkosten einer Klage gem. § 771 ZPO zu erstatten, haftet der Besteller für den uns entstandenen Ausfall. 3) Der Besteller ist berechtigt, die Kaufsache im ordentlichen Geschäftsgang weiter zu veräußern; er tritt uns jedoch bereits jetzt alle Forderungen in Höhe des Rechnungsendbetrages (einschließlich Umsatzsteuer) ab, die ihm aus der Weiterveräußerung gegen seinen Abnehmer und Dritte erwachsen und zwar unabhängig davon, ob die Kaufsache ohne oder nach Verarbeitung weiterverkauft worden ist. Zur Einziehung der Forderung bleibt der Besteller auch nach der Abtretung ermächtigt. Unsere Befugnis, die Forderung selbst einzuziehen, bleibt davon unberührt. Erlangt der Auftraggeber gegenüber einem Dritten, insbesondere gegenüber einer Versicherung einen Ersatzanspruch an Stelle der Kaufsache, so geht dieser unmittelbar mit Entstehung auf uns über. Wir verpflichten uns jedoch, die Forderung nicht einzuziehen, so lange der Besteller seinen Zahlungspflichten aus den vereinnahmten Erlösen nachkommt, nicht in Zahlungsverzug ist und insbesondere kein Auftrag auf Eröffnung eines Insolvenzverfahrens gestellt ist oder Zahlungseinstellung vorliegt. Ist dies aber der Fall, können wir verlangen, dass der Besteller uns die abgetretenen Forderungen und deren Schuldner bekannt gibt, alle zum Einzug erforderlichen Angaben macht, die dazu gehörigen Unterlagen aushändigt und dem Drittschuldner die Abtretung mitteilt. Im Übrigen ist der Auftraggeber verpflichtet, uns auf Verlangen jederzeit Auskunft darüber zu erteilen, an wen er die Vorbehaltsware veräußert hat und welche Forderungen ihm daraus zustehen. 4) Die Verarbeitung oder Umbildung der Ware durch den Auftraggeber wird stets für uns vorgenommen. Wird die Kaufsache mit anderen, uns nicht gehörenden Gegenständen verarbeitet, so erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Kaufsache (Rechnungsbetrag einschließlich Umsatzsteuer) zu den anderen verarbeiteten Gegenständen zur Zeit der Verarbeitung und zum Verarbeitungswert. Der Besteller verwahrt das so Entstandene Allein – oder Miteigentum unentgeltlich für uns. Für die durch Verarbeitung entstandene Sache gilt im Übrigen das Gleiche wie für die unter Vorbehalt gelieferte Ware. Wird die Ware, mit anderen uns nicht gehörenden Gegenständen untrennbar vermischt, so erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Ware (fakturierter Endbetrag einschließlich Umsatzsteuer) zu den anderen vermischten Gegenständen zum Zeitpunkt der Vermischung. Erfolgt die Vermischung in der Weise, dass die Sache des Auftraggebers als Hauptsache anzusehen ist, so gilt als vereinbart, dass der Auftraggeber uns anteilmäßiges Miteigentum überträgt. Der Auftraggeber verwahrt das so entstandene Allein- oder Miteigentum unentgeltlich für uns. 5) Wir verpflichten uns, die uns zustehenden Sicherheiten auf Verlangen des Auftraggebers insoweit freizugeben, als der realisierbare Wert unserer Sicherheiten die zu sichernden Forderungen um mehr als 30 % übersteigt. Über die Auswahl der freizugebenden Sicherheiten entscheiden wir nach billigem Ermessen unter Berücksichtung der berechtigten Interessen des Auftraggebers. § 10 Haftung 1) Schadens- und Aufwendungsersatzansprüche des Auftraggebers, gleich aus welchem Rechtsgrund, sind ausgeschlossen. 2) Dieser Haftungsausschluss gilt nicht - bei vorsätzlich oder grob fahrlässig verursachtem Schaden - bei leicht fahrlässiger Verletzung wesentlicher Vertragspflichten, auch durch gesetzliche Vertreter oder Erfüllungsgehilfen des Auftragnehmers; insofern haftet er nur auf den nach Art des Produktes vorhersehbaren, vertragstypischen, unmittelbaren Durchschnittsschaden. - Im Falle schuldhafter Verletzung des Lebens, des Körpers oder der Gesundheit des Auftraggebers - bei arglistig verschwiegenen Mängeln und übernommener Garantie für die Beschaffenheit der Ware - bei Ansprüchen aus dem Produkthaftungsgesetz. 3) Soweit unsere Haftung ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung unserer Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen. § 6 Pflichten des Bestellers Verletzt der Besteller seine Pflicht zur Annahme der Ware oder sonstige Mitwirkungspflichten, so sind wir berechtigt, den uns entstehenden Schaden, einschließlich etwaiger Mehraufwendungen, insbesondere für Lagerung, ersetzt zu verlangen. Außerdem sind wir berechtigt, die Ware in Rechnung zu stellen. § 11 Verjährung Ansprüche des Auftraggebers auf Gewährleistung und Schadenersatz verjähren, mit Ausnahme der unter § 10 Abs. 2 genannten Schadenersatzansprüche, in einem Jahr beginnend mit der (Ab-) Lieferung der Ware. Dies gilt nicht, soweit der Auftragnehmer arglistig gehandelt hat. § 7 Höhere Gewalt Wird es uns in Folge höherer Gewalt unmöglich oder unzumutbar erschwert, unseren vertraglichen Pflichten nachzukommen, so ruhen diese Pflichten bis zur Beseitigung des Hindernisses. Wir sind verpflichtet, den Besteller von Eintritt und Ende solcher höherer Gewalt unverzüglich in Kenntnis zu setzen. Sollte ein solches Hindernis länger als drei Monate bestehen, so ist jede Partei berechtigt, vom Vertrag zurückzutreten; evtl. gesetzliche Rücktrittsrechte bleiben hiervon unberührt. § 12 Zahlung 1) Die Zahlung erfolgt innerhalb von 30 Tagen nach Rechnungsdatum netto ohne Abzug oder innerhalb von 14 Tagen mit 2 % Skonto, soweit nicht schriftlich etwas anderes vereinbart ist. Bei Eigenakzepten oder Kundenwechsel kann Skonto nicht gewährt werden. Wechsel werden nur nach vorangegangener besonderer Vereinbarung erfüllungshalber angenommen, wobei die Diskontspesen und Gebühren zu Lasten des Auftraggebers gehen. Wird eine wesentliche Verschlechterung in den Vermögensverhältnissen des Auftraggebers bekannt oder gerät er aus diesen Gründen mit der Zahlung oder Abnahme der Ware in Verzug, so steht dem Auftraggeber das Recht zu, weitere Lieferungen zu verweigern oder sofort die Bezahlung auch der noch nicht gelieferten Ware, der noch nicht fälligen Rechnungen und der noch nicht fälligen Wechsel und Schecks zu verlangen, soweit die Beträge durch auftragsgemäße Aufwendungen des Auftragnehmers gedeckt sind. 2) Kommt der Auftraggeber in Zahlungsverzug sind wir, unbeschadet unserer sonstigen Rechte berechtigt, jegliche noch ausstehende Lieferung aufgrund des Vertrages oder anderer gleichartiger Verträge aus der Geschäftsverbindung mit dem Auftraggeber bis zur vollständigen Zahlung des Kaufpreises zurückzuhalten. § 8 Beschaffenheit – Rechte bei Mängeln 1) Die Auftragsaufführung erfolgt entsprechend dem allgemeinen Stand der Technik im Rahmen der technisch notwenigen material- und verfahrensbedingten Toleranzen in handelsüblicher Qualität. Handelsübliche Abweichungen hinsichtlich Farbe und Gewicht bleiben vorbehalten und berechtigen nicht zur Beanstandung. Bei Sonderanfertigungen ist eine Mehr- oder Minderlieferung bis zu 10 % der bestellten Menge gestattet. 2) Die Gewährleistungsrechte des Bestellers setzen voraus, dass dieser seinen Untersuchungs- und Rügeobliegenheiten nach § 377 HGB ordnungsgemäß nachgekommen ist. Der Besteller ermöglicht uns unverzüglich nach vorheriger Ankündigung und zu den üblichen Geschäftszeiten die Überprüfung der als mangelhaft gerügten Ware. 3) Soweit ein Mangel der Kaufsache bei Gefahrübergang vorliegt, hat der Auftraggeber das Recht zu wählen, ob wir die Nacherfüllung durch Beseitigung des Mangels oder durch Lieferung einer mangelfreien Ware leisten. Sind die Beseitigung des Mangels und die Lieferung einer mangelfreien Sache jeweils nur mit unverhältnismäßigen Kosten möglich, so haben wir das Recht, die Nacherfüllung zu verweigern. 4) Das Recht des Bestellers, vom Vertrag zurückzutreten oder Minderung des Kaufpreises zu verlangen, richtet sich nach den gesetzlichen Bestimmungen. 5) Für den Anspruch auf Schadensersatz wegen eines Mangels gilt § 10 dieser AGB. 6) Die Gewährleistungsfrist beträgt vorbehaltlich nicht dispositiver Regelungen 1 Jahr. § 9 Eigentumsvorbehalt 1) Wir behalten uns das Eigentum an der Ware bis zur Erfüllung sämtlicher Forderungen aus unserer laufenden Geschäftsverbindung mit dem Besteller vor. Der Besteller ist verpflichtet, die Ware pfleglich zu behandeln. 2) Der Besteller hat uns unverzüglich schriftlich zu benachrichtigen, wenn die Kaufsache gepfändet oder sonstigen Eingriffen Dritter ausgesetzt ist, damit wir Klage gem. § 771 ZPO erheben können. § 13 Aufrechnung – Zurückbehaltung - Abtretung 1) Mit Gegenforderungen kann der Besteller nur aufrechnen, soweit diese anerkannt oder rechtskräftig festgestellt sind. 2) Zurückbehaltungsrechte stehen dem Besteller nur zu, wenn und soweit sie auf dem selben Vertragsverhältnis beruhen. 3) Der Besteller kann Ansprüche aus dem Vertag nur mit unserer schriftlichen Zustimmung abtreten. § 14 Gerichtsstand – Erfüllungsort – Anwendbares Recht 1) Ausschließlicher Gerichtsstand für alle Streitigkeiten im Zusammenhang mit dem Vertrag und seiner Durchführung ist unser Geschäftssitz; wir sind jedoch berechtigt, den Besteller auch an dem Gericht zu verklagen, das für seinen Sitz zuständig ist. 2) Erfüllungsort ist, soweit sich aus diesen Lieferungs- und Zahlungsbedingungen oder der Auftragbestätigung nichts anderes ergibt, unser Geschäftssitz. 3) Anwendbares Recht ist das Recht der Bundesrepublik Deutschland unter Ausschluss des Übereinkommens der Vereinten Nationen über Verträge über der internationalen Warenkauf vom 11.04.1980 (CISG).
