Applicability & Concept of Corporate Social
Responsibility
Over the years, we have been striving to achieve a fine balance of economic,
environmental and social imperatives, while also paying attention to the
needs and expectations of our stakeholders. Our corporate social
responsibility is not limited to philanthropy, but encompasses holistic
community development, institutional building and sustainability related
initiatives. Our organisation is engaged in the business of organising tours
and travel in India and Abroad. It is active participant in the Social activities,
ever since its inception in corporate lexicon as Corporate Social responsibility,
it has been already textured into our Group's value systems.
The policy is in the Compliance of Section 135 of The Companies Act,2013
and the rules made there under. Due considerations also given on the
Schedule VII of The Companies Act,2013 while identifying the CSR
Activities/Projects/Programmes.

Vision and Mission of CSR
2.1.
Objective
By defining this policy, Kesari adapted the vision of social activities which it
can help to build a better sustainable way of life for the delicate sections of
society and raise the country's human development index.
2.2 . CSR Activities/ Projects/Programmes:
The CSR Activities/ Projects/Programmes should be undertaken by the
companies in Activities/Project/ Programmes (either new or ongoing) mode
[as referred in Rule 4 (1) of The Companies CSR Rules, 2014].
The Activities covered under the “Corporate Social Responsibility”
under The Companies Act,2013 and The Rules made there under:

Eradicating hunger, poverty and malnutrition covers:
(i).
(ii).
Food supply as a mode of Disaster Relief
Contribution to Govt. Schemes like Supply of mid- day meal by the
Corporates through additional nutrition,

Promoting health care including preventive health care covers :

Medical aid ,
Provisions for aids and appliances to the differently – able persons,
Trauma care around highways in case of road accidents, giving
medical and legal aid treatment to road accident victims
Enabling access to, or improving the delivery of, public heath systems
considered for reducing inequalities faced by socially and economically
backward groups
(iv)

And Sanitation “including contribution to “Swach Bharat Kosh” set-up by the
Central Government for promotion of sanitation” and making available safe
drinking water “ including contribution to the Clean Ganga Fund setup by the
Central Government for rejuvenation of river Ganga”; and includes supply of
clean water as a mode of Disaster Relief .
3. Promoting education includes :

Donations to IIMA for conservation of buildings and renovations of
classrooms
Consumer protection services under which the following is covered :
a) Providing effective consumer grievance redressal mechanism
b) Protecting consumer's heath and safety, sustainable consumption ,
consumer service, support and complaint resolution.
c) Consumer protection activities
d) Consumer rights to be mandated
e) All Consumer protection programmes and activities “ on the same
lines as Rural Development, Education etc.

v)
Non Academic Techno Park TBI not located within an Academic
Institution but approved and supported by Department of Science and
technology covered under promoting Activity. Including special
education and employment enhancing vocational skills which includes:
a) Driver's training
b) Capacity building for farmers covering best sustainable farm
management practices
c) Training Agriculture Labour on skill development, especially among
children, women elderly people and the differently- abled individuals
and livelihood enhancement projects;
Both the Activities covered in (1) (2) and (3) above are to be liberally
interpreted so as to capture the essence of subjects enumerated in the
Schedule VII of The Companies Act,2013
(i) Promoting gender equality, empowering women, setting up homes and
hostels for women and orphans; setting up old age homes, day care centers
and such other facilities for senior citizens and measures for reducing
inequalities faced includes abovementioned sub-clause(iv) of clause (1).
(ii) Ensuring environmental sustainability, ecological balance which includes
doing own research on the field for individual crops to find out the most cost
optimum
and Agri – ecological sustainable farm practices., protection of
flora and fauna, animal welfare, agroforestry, conservation of natural
resources and maintaining
quality of soil, air and water which includes
analysis of Product life Cycle from point of view of soil conservation and also
includes Renewable energy Projects;
(iii) Protection of national heritage, art and culture including restoration of
buildings and sites of historical importance includes works of art; setting up
public libraries;promotion and development of traditional arts and handicrafts;
(iv) Measures for the benefit of armed forces veterans, war widows and their
dependents;
(v) Training to promote rural sports, nationally recognized sports, paralympic
sports and Olympic Sports;
(vi) Contribution to the Prime Minister's National Relief Fund or any other fund
set up by the Central Government for socio-economic development and relief
and welfare of the Scheduled Caste, Scheduled Tribes, other backward
classes, minorities and women;
(vii) Contributions or funds provided to technology incubators located within
academic institutions which are approved by the Central Government ;

(viii) Rural development means any Project meant for the development of
rural India.
(ix) Slum area development means any development of area declared as slum
area by the Central Government or any other competent authority under any law
for the time being in force.
(x) Salaries paid by the companies to the regular CSR staff as well as to the
volunteers of the companies (in proportion to Company's time/hours spent
specifically on CSR) can be factored into CSR project cost as part of the CSR
expenditure.
(xii) Expenditure incurred by Foreign Holding Company for CSR activities in
India will qualify as CSR spend of the Indian subsidiary if, the CSR
expenditures are routed through Indian subsidiaries and if the Indian
subsidiary is required to do so as per section 135 of the Act.
(xiii) Contribution to corpus of a Trust/society/ section 8 companies etc. will
qualify as CSR expenditure as long as (a) the Trust/society/section 8
companies etc .is created exclusively for undertaking CSR activities or (b)
where the corpus is created exclusively for a purpose directly relatable to a
subject covered in Schedule VII of the Act.
(xiv) Research and studies is covered under the Respective areas of items
defined above.

Activities and Expenditure which are not covered under the CSR :

One-off events such as marathons/ awards/ charitable contribution/
advertisement/ sponsorship of TV programmes etc.,

Expenses incurred by companies for the fulfillment of any Act/ Statute
of regulations (such as Labour Laws, Land Acquisition Act etc.),

Training to enforcement personnel being establishment functions of
the Government

Sustainable urban development and urban public transport system
5.
US-India Physicians Exchange Programme- professional exchange of
physicians between India and the United States

Capacity building of government officials and elected representatives –
both in the area of Public-Private Partnerships (PPPs) and urban
infrastructure.

Constitution of CSR Committee in accordance with the provision of
The Companies Act,2013
Ensure the CSR Activities/Projects/Programme included in the policy
are related to the activities covered under the Schedule VII of The
Companies Act,2013.
Approving the CSR Activities/Projects/Programme as recommended by
the CSR Committee
Ensure that in each financial year, the Company spends the approved
budget in the Compliance of the section 135 of The Companies
Act,2013
Ensure the amount of expenditure committed by the company for CSR
Activities/Projects/ Programmes is utilized effectively.
The Board of Directors may change the composition of the CSR
Committee from time to time considering the amendments ,
notifications , circulars of The Companies Act,2013

As provided under the Section 135 of The Companies Act,2013 and The Rules
made there under, the company has constituted A CSR Committee and

Roles and Responsibilities of CSR Committee
1.
Recommending CSR policy as per section 135 of The Companies
Act,2013.
2.
Identifying the CSR Activities/Projects/Programmes as per policy of the
company and in compliance of the Schedule VII of The Companies
Act,2013.
3.
Setting up transparent monitoring mechanism for the implementation of
CSR Activities/Projects/Programmes.
4.
Ensure the implementation of the CSR Activities/ Projects/Programmes
are undertaken as per the planning and the CSR policy.
5.
Documentation and reports on the CSR Activities/Projects/Programmes

4.
Budget allocation
1.
To achieve the CSR Objective the Company would allocate the
adequate CSR funds as per the budget with the approval of
the Board.
Surplus arising out of CSR Activities/ Projects/ Programmes shall
not form part of the business profit of the Company.

Execution Model
Our CSR committee carries out the CSR Activities/ Projects/ Programmes in
following ways :

5.1. Process to undertake CSR Activities/Projects
All CSR Activities/Projects/Programmes will be selected and
implemented as per the following 4 step given below.
i. Identification
a. History of the Trust/ Society etc
b. Year of establishment
c. Main object of the Trust/Society etc.
d. Annual reports of the Trust/ Society etc.
e. Status of registration of Trust/Organisation under following act:
(i) Societies Registration Act of 1860;
(ii) Public Trusts registered under the Indian Trust Act 1882
(iii) Licensed company under Section 25 of The Companies
Act 1956 or Section 8 of The Companies Act, 2013;
(iv)Registration under Foreign Contribution (Regulation) Act,1976;
and other applicable laws including laws relating to taxation.
f. Details of Beneficiaries

The Committee shall ensure the structured and effective planning for
execution of CSR Activities/ Projects/Programmes.
iii.Execution
The CSR Committee shall undertake all the necessary steps to
implement the CSR Activities/Projects/Programmes.

iv.Monitoring
a) Periodic Review
CSR Committee shall take periodic review and monitor the
implementation of various programs, projects and activities in such
manner as is desired to ensure the effective implementation.
b) Annual Review
CSR Committee will prepare Annual report on all the CSR projects and
such report will be presented to the Board of Directors on or before a
date prescribed by the Board.

The CSR documentation
The CSR Committee shall also determine the manner of submission of
information, reports, files, etc. by third parties as a part of the
monitoring process. CSR Committee shall ensure that a transparent
monitoring mechanism is put in place.
Without prejudice to the generality of the contents of this policy, the Company may
undertake CSR Activities /Projects/Programmes and as permitted under the framework of
The
Companies
Act,
2013
from
time
to
time
(including
any
amendments,clarifications,circulars,notifications or other official communications from
time to time). The Company may also carry out the purposes of this CSR policy in
accordance with any amended position of law from time to time notwithstanding that such
amended position is not reflected in this policy.
