1. Introduction
The capture of mobile video has proven its value to law enforcement professionals in
many different ways. It is the primary tool used to mitigate the burgeoning cost of both
frivolous and legitimate lawsuits. The savings derived from such litigation alone can pay
for the entire costs to implement a solution. Also, with a higher-than-ever focus on
security, video capture is no longer viewed as an optional tactic for maintaining public
safety, but a primary means for helping to deter crime and quickly identify perpetrators.
The capture and management of video data are now taking center stage in many national
and local homeland security strategies.
This white paper describes the Arbitrator’s (Mobile Digital Video System) performance
specifications framework that includes safety of end user, system specifications and
security features. This white paper intends to establish that Arbitrator Mobile Digital
Video System adheres to the minimum specifications of the International Association of
Chiefs of Police’s (IACP) In-car Video Camera Systems Performance Specifications
Framework document, and technology used is generally accepted in the relevant field. In
addition to this white paper, Insight Video Net’s CMS Digital Video Management and
Archival Storage document should be reviewed as part of the Arbitrator integrated mobile
video solution to meet the minimum performance specification of the IACP’s document.
This information is contained in sections 1 thru 5. The Appendix contains specific
information pertaining to Panasonic Computer Solutions Company, additional Arbitrator
product information, and related technology information pertaining to the Arbitrator as a
total mobile video product solution.
2. Safety of the End User/Occupant
Equipment installed or located in the passenger compartment of the vehicle:
•
Arbitrator’s camera is the only equipment intends to be permanently mounted in
the passenger compartment of the vehicle. A wireless transmitter microphone
intends to be worn on the belt clip of the officer. With minimal number of
equipments installed in the interior of the passenger compartment, this helps to
minimize the risk of injury to occupants during vehicle crash. Note that
Arbitrator’s Control Panel intends to be stowing away (underneath the seat, glove
compartment or arm rest compartment) while driving or vehicle in motion.

•
Arbitrator’s camera will remain in place during a reasonably foreseeable crash
which has been determined by a static pull test. The Arbitrator’s camera was
successfully tested with a force of 57.5 Lbs (50 times its own weight) applied and
maintained for 5 seconds. The test was conducted from three different directions
to simulate frontal, side and rear collision directions. The Arbitrator’s camera
remained attached to its mounting bracket and did not move into a location that
could cause injury to the occupant.
•
Chassis edges and corners of the Arbitrator camera have approximately 5 mm
(0.197 inch) radius to minimize the risk of injury.
•
The Arbitrator camera intends to be installed near the sun visor of the passenger
side and away from the vehicle manufacturer’s designated air bag deployment
zone.
•
Arbitrator system kit comes standard with a camera mounting bracket and
mounting location is stated in the installation guide.
•
The Control Panel intends to be stowing away while driving or vehicle in motion.
This designed to minimize driver distraction.
•
The Control Panel designed and organized with colored buttons to minimize
officer workload and easily identifiable by the officer. The color of the record
button is red, stop button is blue and bookmark button is yellow. In addition, the
record button designed to be easily accessible by officer wearing glove.
•
The default setting of the Arbitrator camera is auto focus. User can change the
setting to manual focus through the Control Panel in the password protected
administrator section.
•
The control buttons on the back of the camera is backlit to be able to illuminate
during the period of darkness. The backlit can be turn on and off through a push
button. Arbitrator’s Control Panel buttons is also backlit and can be turn on and
off with the on/off button. In addition, the illumination level of the viewing
screen of the Control Panel is controllable with selectable button. The viewing
screen is capable of being completely dimmed. The operator can turn on and off
the control panel with an on/off button.
•
Arbitrator camera intends to be mounted near the top of the sun visor to minimize
interference with the view of the driver. In addition, the mounting location
intends to minimize interference with driver and passenger view of events
occurring outside the vehicle.
•
Arbitrator camera intends to be the only equipment being installed near or extend
below the AS-1 line.

•
None of the Arbitrator equipments intend to be installed or mounted near the
speedometer, warning lights, gauges, essential controls, or mirrors placed in the
vehicle by the original equipment manufacturer. In addition, none of the
equipments intend to be installed to interfere with the operation of vehicle
controls.
•
Arbitrator’s installation guide specifies the mounting location of the equipments.
•
Each of equipment power and ignition signal wires intends to be installed with a
5A to 15A fuse to minimize shock and fire hazards.
•
All wiring and cable of the Arbitrator system utilize industry standard to wire
application. List of system wire and applicable standard are as of the following:

The negative cable (or system ground) must be connected to the negative terminal
of the vehicle’s battery to provide reliable system service and minimize sources of
Electromagnetic Interference.
•
Arbitrator equipments do not contain hazardous pinch points that can cause injury
during operation and non-operation mode. Arbitrator system is a listed product to
UL 6500 second edition to ensure safety of the end user and occupant.
•
Under the operation temperature of the Arbitrator system, the maximum
temperature that the system will reach is approximately 55C (131F). Arbitrator is
a listed product to UL 6500 second edition which tested (both normal operation
condition and fault condition) to ensure that the components will not cause burn
injury to the user or operator.
Location of Data Storage:
•
The recommended location for installing the Arbitrator’s recorder unit is in the
vehicle’s trunk and mounted on to (or against) the back seat. In addition, the
mounting location of the recorder unit must be away from the vehicle fuel system
and safe to the occupant. The installation wires must be from the original
manufacturer’s wire kit and specification. In addition, a proper fuse must be used
at each installation wire. (Provided wire kit is not for use in the engine
compartment but only in cabin compartment. For use in the engine compartment,
please prepare cables for engine compartment.)

Record indicators:
•
Arbitrator camera is equipped with an illuminated record indicator readily visible
to officer outside the vehicle when the system is recording. In addition, there are
illuminated record indicator on the Arbitrator recorder unit and Control Panel. If
more illuminated record indicator is needed, a lamp or LED can be connected to
the signal output of General Purpose I/O (GPIO) cable.
3. Arbitrator System Specifications
General specifications:
•
Arbitrator mobile video system consists of a primary forward camera,
recorder/storage unit, Control Panel with LCD display, wireless microphone and
hard wired microphone.
•
Along with Panasonic’s internal immunity test which tested to maintain consistent
recording quality while subjected to external interference and extreme conditions.
•
Arbitrator has been tested and found to comply with the limits for a class A digital
device, pursuant to Part 15 of the FCC Rules.
Front-Facing/Primary Camera:
•
Arbitrator camera is operating in the temperature range from 32 to 113 degrees
Fahrenheit.
•
The camera is equipped with auto focus, auto exposure and auto white balance.
•
Arbitrator camera has a backlight compensation setting.
•
Arbitrator camera utilizes a ¼ inch CCD solid state image chip that is not subject
to interference by magnetic field with white defect compensation.
•
The color resolution of the camera is 480 horizontal lines.

•
With Arbitrator camera mounting bracket, the camera is able to be rotated 180
degrees on a horizontal plane.
•
The light sensitivity of the camera is 0.7 lux in color mode and 0.04 lux in Blackand-White mode. The camera is able to record at near complete darkness or very
lighting condition.
•
Arbitrator camera operates with a filtered and regulated power source from the
recorder unit. The input voltage to the recorder unit is between 9 to 28 volts and
the recorder unit supplies the camera with a regulated power source.
•
Arbitrator camera provides a field view of 47.6 feet width at distance of 35 feet
(68.4 degrees).
•
Arbitrator camera is default set with automatic focus and user selectable manual
focus option.
•
The signal-to-noise ratio of the camera is at least 50 db.
Video Monitor (Control Panel):
•
The monitor of the Arbitrator control panel is a 3.5 inches Color LCD TFT active
matrix.
•
The operation temperature of the display panel is between 32 and 113 degrees
Fahrenheit.
•
The display panel is able to display a live video from the camera when the system
is on.
•
The control panel contains a round speaker to play the audio sound during the
playback mode. It also provides the monitoring (and testing) of live audio from
the wired/wireless microphone.
•
The control panel has a volume control which allows user to adjust the volume or
turn off the sound.
•
The recorder unit can operate independently (or without) the display panel.
•
The control panel has the capability to display date-time and meta-data.
•
The control panel operates with a filtered and regulated power source from the
recorder unit. The input voltage to the recorder unit is between 9 to 28 volts and

the recorder unit supplies the control panel (video monitor) with a regulated
power source.
Audio – Wireless Transmitter:
•
The wireless audio system is able to work in the range of 1000 feet with line of
sight at ideal condition.
•
The wireless transmitter unit contains an internal antenna.
•
The wireless transmitter has an option (or push button) to mute the audio, but will
not be able to disable (or stop) video recording.
•
The wireless transmitter is able to initiate video recording (video and audio) with
a push button.
•
There is a microphone built-in to the wireless transmitter. User has an option to
use lapel cord or internal microphone on the transmitter.
•
The wireless transmitter uses FCC approved frequency band in the range of 900
Mhz. The wireless audio system is listed to FCC part 15 Intentional Radiator.
•
The wireless audio system utilizes digital spread spectrum technology to ensure
clarity of audio sound.
•
The wireless transmitter is able to synchronize with the receiver unit in the
vehicle.
•
The wireless transmitter uses a rechargeable battery with the talk time of 12 hours.
Camera/Mobile Digital Video Recorder (MDVR) Controls:
•
Arbitrator control panel contains the following functions: Power on/off, play,
Record start/stop, Fast Forward, Rewind, Stop, Pause, Auto Focus on/off and etc.
•
The camera contains the following functions: Zoom in/out, Backlight
Compensation, Record and Backlit on/off.
•
Arbitrator control panel contains the following indicators: System Power on,
Storage Media status, Recording, Fast Forward, Stop, Time Counter, Diagnostic
indicator and etc. The indicator for the “Microphone on” is on the wireless
transmitter unit.

•
The recording function is activated by the following modes:
o Push record button on the recorder unit or control panel.
o Activates recording through the trigger (GPIO) cable from sirens, lights
bars, emergency lights and etc.
o Push record (trigger) button on the wireless transmitter unit.
•
Programming or changing the setting of the Arbitrator system can only be
accomplished by a password protected administrator right. Unauthorized person
will not be able to make any change to the Arbitrator system.
•
If the input voltage is below 9 volts, the recorder unit will automatically cut off
the power to the system. This procedure protects the system from reverse voltage
and electrical transients.
•
All programmable parameters and settings are stored in non-volatile memory.
Arbitrator system does not need to reprogram after the loss of power or system
shut off. Video file and meta-data are stored on to a solid state memory media;
thus, there will be not loss of data and video in the event of loss of power. In case
of the loss of power, file which is not able to be played back may exist and the file
will be restored by “RESTORE” function.
4. Security Features and Digital Assets
General Features:
•
Arbitrator system setting can only be modified in a password protected
administrator section. This feature restricts access to the system setting or
programming functions by unauthorized person.
•
Arbitrator does not allow user (or unauthorized person) to delete or recording
over previously recorded video and data file from recorder unit.
Time Consistency:
•
Arbitrator system obtains date and time through a GPS device with a selectable
date-time format.
•
Time stamping is consistent within all system components.

•
Metadata and time stamping remain accurate with respect to the recording as it
was captured. Date and time information of the captured video are embedded to
the metadata file and video file name.
•
Arbitrator system contains an internal clock battery backup to maintain for a
minimum of 5 years in case of primary power failure or loss of power.
Authenticity:
•
The vehicle information in which the system is mounted can be recorded or
logged on to the metadata file.
•
Removable storage media (P2 card) has a unique serial number which can be used
to associate with officer or the vehicle.
•
Arbitrator system captures date and time of the recording, and then stores this
information on the metadata file of the video.
Physical Security:
•
During power on mode, the Arbitrator system will perform a self-test to insure
complete functionality. If system does not pass the self-test, it will display error
message on the control panel to notify the user.
•
During operational mode, the Arbitrator is able to monitor itself to insure system
reliability. System will display error message in event of error or system failure
occur.
•
Arbitrator’s control panel displays the amount of storage space remaining on the
storage media and notifies user when storage is reaching the maximum capacity.
•
Arbitrator equipments (such as recorder unit, camera, etc.) intend to be physically
mounted in the vehicle to prevent removal without tools.
•
The removable storage media (P2 card) is located inside the recorder unit and
being protected with a physical lock door to prevent unauthorized removal of the
media from the vehicle. The key of the physical lock door is a cylindrical key to
prevent easily duplication.
•
The control panel displays the status of the removable storage media (P2 card). If
the removable storage media is missing, then the control panel will display an
error message.

The removable storage media (P2 card) housing made with an aluminum die cast
with anti-shock up to 1,500 G and anti-vibration up to 15 G. A unique serial
number is marked on the exterior of the storage media to ensure that the identity
of each media is unique.
Digital Asset Recording:
•
The digital asset recorded is accurately and reliably reproduce the view image,
sound and metadata as the actual event.
•
Arbitrator system is capable of recording uninterrupted events for eight hours
(with 8 GB memory) at D1 and a frame rate of 30 frames per second. Maximum
file size is 4GB, eight hours recording is divided into 2 files without lack of
pictures.
•
Arbitrator system utilized MPEG-4 compression technology which is an industry
standard.
•
Arbitrator system computes MD5 hash value to verify the authenticity of the
digital asset during storage, transport and re-verification process.
•
The Arbitrator system is able to capture a 68.4 degree horizontal field of view as
part of the digital asset.

D. Digital Quality
Digital technology for Law Enforcement makes recording evidence into a database efficient and
cost-effective. A digital solution can also collect information/evidence from other equipment
mounted in police vehicles. Without a doubt, digital video systems provide higher image quality
than VHS systems as well as a lower support and maintenance cost for retrieval and archive
functionality. They also eliminate the administrative time required to manually remove tapes from
the vehicles and the search time required to locate archived tapes to use in court as evidence.
The main component of the video system is the Digital Video Recorder. A solid-state recorder is
tape-less and disk-less. And, the difference between digital recorders is very apparent in the
technology as opposed to analog recorders. Because the performance of these systems is so
complex, two different vendors using the same compression technology who record at the same
bit rate can produce varying quality of video output.

design of the Toughbook Arbitrator. This unit is a fully-integrated mobile digital video system
engineered to provide officer’s with the ultimate all-in-one mobile recording solution. In addition,
of course, it also provides users with the best quality video in the industry.
The system consists of the Arbitrator Digital Camera, Arbitrator P2 Recording Deck, the P2
Memory Card, Arbitrator Wearable Microphone and Receiver and the Arbitrator Mobile Law
Enforcement Software. The digital recorder on the Toughbook Arbitrator is activated either by the
officer or a configurable trigger and then stopped by the officer. Most recorded files are around 20
minutes in length and can be created using several video-recording modes. These modes make
the system more efficient and versatile for evidence recording. The Arbitrator Digital Camera has
a lens with a zoom range of 220x, and has a low-light capability of .04 lux. This means the
system works in near dark conditions. The camera’s wide angle lens also provides a range of
68.4 degrees which results in a larger field of view preferred by the law enforcement community.
The camera is also designed to be rugged so it is resistant to temperature, vibration, dust and
liquid splashes.
The difference between the Panasonic Arbitrator system and other systems is the way the
product is manufactured and supported. As a core manufacturer, Panasonic has control over the
design, engineering and manufacturing of all Toughbook products as well as most of the system’s
core components that go into them. This is why our system is the most reliable in the

E. High Speed Wireless
Panasonic Computer Solutions Company has been providing customers with integrated wireless
solutions for over 15 years. Our integrated wireless solutions are designed to perform in the law
enforcement environments. The antenna is always connected, and the transmission area is
never blocked; this results in optimum uptime for Panasonic Toughbook wireless solution users.
The wireless design of the Toughbook Arbitrator provides users with automatic high-speed
wireless access to transfer files either via any broadband wireless technology or the wireless local
area network 802.11g.
The security, transfer time and bandwidth constraints will vary based upon the broadband carrier
and their technology. Panasonic recommends the wireless local area network 802.11g
technology for security, transfer time and bandwidth. This is the most efficient way to transfer
digital video files. The security of the local area network can be completely set-up by your
department. The transfer time for 8 hours of video is about 20 minutes. However, due to varying
conditions, like the number of vehicles in a hot spot area at one time, the transfer time can vary.
Transfer rates for 8 hours of video will most likely be closer to 30 minutes if multiple users are
sharing the bandwidth.
Our solid-state P2 card records digital video using MPEG4 compression. The user can set the bit
rate at 512k or 1meg. The higher the bit rate, the better the quality of the video. Many users set
the bit rate at 512k to increase the amount of video time captured to 16 hours, whereas a bit rate
of 1meg will only record 8 hours of files. The Toughbook Arbitrator system automatically syncs
with its wireless microphone and receiver to ensure that best quality recording of both video and
audio quality are obtained. The wireless microphone attaches easily to a police officer’s uniform
and can transmit quantity audio up to 1,000 feet from the receiver. In addition to the recording
deck, the camera and the wireless microphone, the Toughbook Arbitrator also includes a wireless

rooftop dual-diversity antenna and one non-directional wired microphone for in-car recording.
Panasonic recommends adding a wireless Toughbook laptop to the vehicle’s system to provide
officers with the ability to play-back video in the vehicle, to have better control of the camera and
the software, and to be able to transfer video files faster. The laptop also provides the needed
802.11g transfer functionally.
The integrated wireless solution in the Toughbook Arbitrator makes transferring files very easy
and fast. When a police vehicle enters an 802.11g access point (hot spot), the system will
automatically perform a “handshake” to establish a connection and start the file transfer. It will
start with the oldest files first so that if the transfer is interrupted for any reason, the transfer will
automatically pick up where it left off when the vehicle returns to any access point. Officers
currently record an average 2 ½ hours of video per shift which means transfer time consumes
less than 10 minutes. This is a huge time saver from the days when video tapes had to be
manually removed from the vehicle and logged in.

Description of Test Samples:
One (1) Camera, sample number 1.
Test Procedure:
The camera was held vertically, up-right with the metal bracket bolted down to the sheet metal holder. The
camera pushed on the side, back, and front of the camera, for a total of three directions. A force of 57.5
lbs was applied to the sample for 5 seconds.
Acceptance Criteria:
None stated.
Results:
The test sample passed all three pushes, the sample was returned to the client to perform final evaluation.

TERMS AND CONDITIONS
1.0 INTRODUCTION
These Terms and Conditions are incorporated into the Intertek proposal made and submitted to you. The party executing this document (“Client”) indicates acceptance of this
proposal and that it is agreed that a resulting contract exists between Client and Intertek which governs the performance of the stated services and the rights and obligations of
the parties and that Intertek may proceed with the work.
2.0 PROPOSAL TERM
Unless otherwise stated in the proposal, this offer shall remain valid until accepted, but in no event for a period longer than thirty days from the date of the proposal.
3.0 CLIENT INFORMATION
Client represents that the information supplied by it or its agents to Intertek is accurate and complete and samples are representative, and Client has informed Intertek concerning
any dangerous or potentially dangerous characteristics of such samples which could cause injury during the performance of the work or in the transporting of such samples and
Client also acknowledges that Intertek is relying upon such information and samples or data in the preparation of this proposal without further verification by Intertek as to its
accuracy or completeness. The Client agrees to hold Intertek harmless and indemnify Intertek from any liability of whatever kind or nature, including but not limited to court
costs and reasonable attorneys fees if information provided by the Client is inaccurate or incomplete or samples are not representative. Intertek agrees that information received
from the Client shall remain the property of the Client and will be returned to the Client upon demand, except for that which is necessary as a basis for the Intertek Reports.
Client may designate in writing any information provided by Client to Intertek as confidential and proprietary. If Client has done so, Intertek will not release to third parties any
such information without the prior written consent of the Client or only in response to a proper court order or process. As to that information, Intertek may make and retain
copies. Client shall designate in writing to Intertek if it does not wish to have Intertek transmit any information, including test data and Reports, via fax or electronic means.
4.0 PROPOSAL, PRICE AND SCHEDULE
Intertek will work diligently to provide the services according to the costs and schedule stated in the referenced proposal. Client recognizes and agrees that the proposal is a
good faith estimate of the costs for the services to be provided and times of completion, but such estimate is not a guarantee of the total costs or time that may be involved in
completing the proposal. Intertek will not exceed the authorized estimate of costs without written authorization of Client. Samples will be shipped by Client to Intertek prepaid
and will be returned collect or disposed of at Client’s expense within thirty (30) days after testing is completed, unless alternative arrangements are made by Client. Additional
fees will be charged for unanticipated assembly or preparation of samples. Test services will not be initiated until satisfactory credit has been established with Intertek’s
accounting department.
5.0 INVOICING
Invoices will generally be issued upon project completion. In certain instances, interim invoices may be issued. Invoices are due and payable to Intertek at its offices, within
thirty (30) calendar days after receipt of invoice, and client agrees to pay reasonable collection costs if necessary in the event of non-payment.
6.0 INSURANCE
Intertek declares that it maintains workers’ compensation and employer’s liability insurance on Intertek employees in a form and amount as required by applicable laws. This
insurance does not cover any employees of Client or third parties who may be involved with the work to be performed, whether on property of Intertek, Client or third parties.
7.0 REPORTS
The Client agrees to waive any claim against Intertek and defend, indemnify, and hold Intertek harmless from any and all causes of action, lawsuit, proceedings or claims,
including legal fees and expenses incurred by Intertek, allegedly arising as a result of unauthorized use of Intertek’s Reports. The Reports include all reports, laboratory test
data, calculations, estimates, notes and other documents prepared by Intertek in the course of providing services to the Client. Reports will be made utilizing Intertek’s standard
format unless otherwise agreed to in writing. The Client agrees to indemnify Intertek for any breach by the Client arising out of clause 3.0 (Client Information) above requiring
accurate and complete information and representative samples. Intertek retains any and all rights of ownership of Intertek’s concepts, ideas, inventions, patents or copyrights
used by Intertek in preparing Intertek’s Reports and the provision of services to the Client. Only the client is authorized to copy or distribute this report and then only in its
entirety, and the Client shall not use the Reports in a misleading manner. Client further agrees and understands that reliance upon the Reports is limited to the representations
made therein. Any use of the Intertek name or one of its marks for the sale or advertisement of the tested material, product or service must first be approved in writing by
Intertek. If Intertek becomes directly or indirectly involved in litigation as a result of misuse of its Reports, the Client agrees to compensate Intertek for its fees and expenses,
including legal costs, in accordance with Intertek’s prevailing fee schedule and expense reimbursement policy.
8.0 LIMITED WARRANTY
Intertek warrants that if any of its completed services fail to conform to professional standard, Intertek will, at its own expense, perform corrective services of the type originally
performed as may be reasonably required to correct such defects, of which Intertek is notified in writing within six months of the completion of services. No other
representation, express or implied, and no warranty or guarantee is included or intended in this Agreement, or in any report, opinion, document or otherwise.
9.0 LIMITS OF LIABILITY
Intertek’s liability is limited as follows:
9.1 The Client agrees to limit Intertek’s liability arising from Intertek’s professional activity, errors, or omissions, such that the total aggregate liability of Intertek shall not
exceed Intertek’s total fee for the services rendered on the project in question, except in the case of a finding of gross negligence or willful misconduct on the part of Intertek by
a court of competent jurisdiction.
9.2 Intertek shall be discharged from all liability to the Client for all claims for loss, damage or expense unless a claim is made within three (3) months of the date at which the
damage, defect or alleged non-performance became apparent to the Client, and the process of law served no later than two (2) years from the provision of services by Intertek.
9.3 Intertek shall not be liable to the Client for any consequential damages incurred by Client due to the fault of Intertek, regardless of the nature of this fault, whether it was
committed by Intertek, its employees, agents or subcontractors. Consequential damages include, but are not limited to, loss of use and loss of profit.
9.4 The Client agrees to extend any and all limitations, indemnifications, and waivers provided by the Client to Intertek to those individuals and organizations Intertek retains for proper
execution of the work. These shall be deemed to include but are not necessarily limited to Intertek’s officers and employees and their heirs and assigns, as well as Intertek’s agents,
subcontractors and their officers, employees, heirs and assigns.
9.5 Client acknowledges that testing, including sample preparation and transportation, may damage or destroy Client’s product. Client agrees to hold Intertek harmless from
any and all responsibility for such alteration.
9.6 The Client agrees Intertek shall not be responsible for any injuries to the Client’s representatives while attending to or observing testing at Intertek’s facility. If testing
takes place at the Client’s facility, Client agrees that Intertek will not operate and shall not be responsible for any of Client’s equipment and that although Intertek agrees to
abide by Client’s safety procedures, Intertek shall not be responsible for injury to any of Client’s personnel.
10.0 GOVERNING LAW
This proposal, and any work performed pursuant to this proposal, shall be governed by the laws of the jurisdiction within which the Intertek facility making the proposal is
located. Any action brought hereon shall be venued in said jurisdiction.
11.0 SEVERABILITY
Any provision of this proposal that may be held invalid, void or unenforceable for any reason, shall not affect any other term or condition of this proposal, and such term or
condition shall be replaced or interpreted to accomplish the intent of the parties.
12.0 MODIFICATIONS
No modification, waiver or amendment of any of these terms and conditions shall be binding upon Intertek unless identified in writing as to modification, waiver or amendment
of such terms and conditions, and such writing is signed by an agent of Intertek acknowledging the modification, waiver or amendment.
