Precision Repair Management helps our customers improve their repair cycle, reduce inventory and improve
reliability to meet the dispatch reliability demanded of them. PHP is one of 10 strategically located PAG
facilities providing a diverse range of MRO capabilities and repair management solutions including sales,
exchanges, spares boxes, consignment and 24/7 support. Through this global PAG network, we are a member
of the industry’s leading MRO Service and Supply Chain Solution Providers. PHP is not just a repair station, we
are a full-service MRO and Component Support Specialist with locations to serve you where you are and when
you need us.
Precision heliparts
Precision operates multiple FAA/EASA and CASA Approved Repair Stations. Our facilities encompass over
50,000 sq ft, an On-site Engineering Department, and over 50,000 line items in stock and ready to ship. Our
staff includes 32 Bench Technicians (Average Bench Experience = 16+ years) to provide quick turn times for
units that are sent in for service. Our strategic locations are Atlanta, GA; Brisbane, AU; Lafayette, LA and
Vancouver, BC, which allow for easy access to Counter-to-Counter freight connections. Precision is one of the
most experienced MRO Providers for fixed and rotary-wing components in the country.

Warranty Policy
Precision Aviation Group (PAG) warrants each instrument or aircraft accessory to be free from defects
in material and workmanship under normal usage, providing installation and handling have been
conducted in a professional manner. PAG warrants all instrument exchanges and overhauls for one
(1) year or three hundred (300) hours of operation, whichever comes first. The defective unit will be
repaired or replaced at PAG’s discretion once the unit is returned and the malfunction is verified.
After the repair or replacement, the item will retain the unused portion of the original warranty. That
warranty will be void if seals are broken. Warranty will be void on vacuum gyros if foreign matter, such
as carbon or oil, is found upon disassembly.
Limitation of Warranty
The above warranty shall be the sole and exclusive remedy. The foregoing warranty is limited and
exclusive. PAG makes no other warranty, express or implied, of merchantability or fitness for a particular
purpose. In no event will PAG be liable for resultant damage, loss or use, or consequential damages.
Return Policy
Any unit purchases from PAG may be returned for credit, in its original unopened packaging, via
appropriate shipping methods within thirty (30) days of the purchase at its original price less a 20%
restocking fee. The purchase price of any unopened unit returned after this period and up to the first
sixty (60) days after the initial sale may be credited to the customer’s account less a 25% restocking
fee. PAG reserves the option to deduct an additional 25% for each additional thirty (30) day period
the customer keeps the unopened unit. If the unit is purchased from a third-party vendor by PAG on
behalf of the customer, PAG reserves the option to invoice the customer for any restock fees charged
by the third-party vendor. PAG reserves the option to invoice the customer for costs incurred in the
re-certification of any unit returned for credit. If any unit returned for claimed warranty is found to be
functional with no defects, PAG reserves the option to invoice the customer for cost incurred in the recertification of that unit.

This Exchange Agreement (Agreement) between Precision Aviation Group, Inc. (PAG) and the company listed above (“Customer”) will serve as a blanket
exchange agreement covering material done between the two parties. Unless a different agreement is required, as in cases where special conditions
exist beyond this Agreement, this will serve as the governing Agreement for all exchanges between the Customer and PAG, and shall remain in effect
indefinitely unless it is superseded by another agreement or rescinded by PAG. If it becomes necessary to change this Agreement or the offering terms
of this Agreement need to be rescinded by PAG, written notification shall be given to the Customer. In relation to material exchanges between PAG and
the Customer, this Agreement supersedes all previous agreements and acceptance of it by the Customer renders all previous agreements null and void.

The Customer will be charged an exchange price as quoted by PAG for each exchange transaction. The Customer will also be advised of and billed a core
charge. This core charge will represent the amount that the Customer will owe above and beyond the exchange price if a core is not returned or the returned
core is unacceptable. The core charge will be credited to the Customer’s account upon receipt and acceptance of the core. The exchange price is based on
a like core (a repairable core of the same model and same part number as the unit supplied by PAG), being returned in economical condition determined
by PAG. Cores which have been subjected to use or damage constituting more than the normal “wear and tear” will be returned “As-Is” to the customer
or subject to additional billings. Cores returned that are found to be Beyond Economical Repair (BER) will be subject to invoice at full outright price. Also,
PAG may, in its sole discretion, offset any amounts it may owe Customer in the event Customer fails to pay any amounts when due. PAG may also retain
and resell any core units or other materials that the Customer provided to PAG to offset any amounts due. Notwithstanding the forgoing, PAG reserves all
rights in law or equity it may have in addition to those set forth herein.
Core Conditions
PAG defines a repairable core as a unit that is in the condition as removed from an aircraft, a unit that is not incident related (i.e. no fire or water damage)
and a unit that can be economically repaired. If the cost to repair the core exceeds 75% of the flat rate charge, the unit may be deemed to be BER.

Cores that have been heavily modified or extensively and unproductively worked on.
Cores with missing, modified or illegible data plates.
Cores that arrive disassembled.
Core Returns
All cores should be returned to PAG (see specific subsidiary address on invoice). Any and all transportation costs for the return of the core are the
responsibility of the Customer. Customer exchange cores are to be returned to PAG within 30 days. Units not returned within 30 days may, at the discretion
of PAG, be subject to an additional charge of 2% of the outright sale price per day. If no core is returned after 45 days, it will be assumed that no core will be
sent, and the core charge will be expected to be paid. If the Customer chooses to return a core after 30 days, the core acceptance is subject to approval by
PAG. Original exchange units returned for credit after seven days may, at the discretion of PAG, be subject to a restocking fee of 35% of the exchange price
or $175.00 (whichever is greater). In addition to the restocking fee, the cost to recertify the returned unit may also be assessed if the original certification
is not returned.
Other
Both Customer and PAG agree that if any provision of this Agreement is unenforceable, that provision either may be enforced to the maximum extent
allowed by law, modified as necessary to make it fully enforceable, or considered severed from this Agreement. Customer and PAG further agree that any
unenforceable provision does not invalidate any other provision of this Agreement, or the Agreement in its entirety, and the parties agree that they will
continue to fulfill all other obligations hereunder.
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to the conflict or choice of law
provisions thereof.
The undersigned parties agree to all of the conditions set forth in this Exchange Agreement.
