Baylee Butler
Baylee Butler is the 12 year old
daughter of Tim and Chris Butler.
She has one older brother, Cody. She
lives in State Center with her family.
She is a 6th grader at West Marshall
Middle School. Baylee is involved in
the Melborne 4-H Club, Iowa Junior
Charolais Association, and St Paul
Lutheran Church. When she’s not enjoying being in the barn or show ring
with her animals, she enjoys camping,
dance, and tumbling. She also enjoys
attending ISU basketball games with
her grandmas, Jan and Claudia, and
her grandpa Doug. Baylee is looking forward to meeting new people
and making new friends at the state and national shows this year as the
Iowa Charolais Queen. She would like to thank the IJCA for letting her
be the 2016 Charolais Queen.

BYLAWS of IOWA CHAROLAIS AND CHAROLAIS CROSS BREEDER ASSOCIATION, INC.
As Amended January 6, 2013
PREAMBLE
The Iowa Charolais Breeders Association, Inc. shall be a nonprofit organization of persons, firms,
partnerships and corpora¬tions engaged in the cooperative activity of breeding purebred Charolais
cattle and Charolais cross cattle, protecting the breed from misrepresentation, bettering of existing
types and strains of such cattle, promotion of the Charolais and Charolais Cross breeds procuring desirable publicity for the same, holding or fostering shows and sales featuring such cattle
and promoting cooperation among breeders and cattlemen generally and any and all activities in
connection with or in any manner pertaining to the promotion of the Charolais and Charolais Cross
breed of cattle.
ARTICLE 1 -CORPORATE NAME
Section 1. The name of this corporation shall be Iowa Charolais Breeders Association, Incorporated. The principal office and place of business of this corporation shall be located at P.O. Box 52,
Halbur, IA 51444.
ARTICLE 2 - MEMBERS: (Admission, Expulsion, Voting, Fees, and Dues)
Section 1. MEMBERSHIP
(a) Regular membership in this Association shall consist of persons, firms, partnerships or corporations owning one or more Charolais or Charolais Cross for production of purebred Charolais cattle
or Charolais Cross cattle. Members in this associa¬tion must be members of the American International Charolais Association.
(b) Associate nonvoting memberships may be granted by the Board of Directors to persons, firms,
partnerships or corpora-tions who have interest in matters of this association and who do not
qualify for regular memberships under paragraph (a)
(c) Firms, partnerships or corporations shall promptly notify the Secretary of the Association, in writing, the name of the person authorized to represent their respective firm, partnership or corporation and such designated person shall have all the rights and privileges and consideration of an
individual member.
Section 2. ADMISSION TO MEMBERSHIP: Application for membership shall be in writing on
blank forms to be furnished by the Secretary. Members shall be admitted by a majority vote of the
members present at any regular or special meeting of this Association, or by a majority vote of the
Directors present at any regular or special meeting of the Board of Directors, or by a majority vote
resulting from mail ballots forwarded to each director by the Secretary and upon payment of fees
and dues as hereinafter provided. Action shall be deferred until the next regular meeting of the
directors, if requested by one or more directors on the mail ballot.
Section 3. INITIATION FEES AND DUES: At or before membership in this Association, each member shall pay annual dues which are payable on September 1 of the preceding calendar year. The
Annual dues are to be determined by the Board of Directors.
Section 4: VOTING PRIVILEGES OF MEMBERS: Each regular member shall be entitled to one
vote.
Section 5. TERMINATION OF MEMBERSHIP:
(a) Membership in this Association shall automatically terminate upon the failure of a member to
register and transfer his cattle as herein provided. Recording of transfer of title to cattle with the
American International Charolais Association or Charolais Crossbred Association, or registration
of ownership of Crossbred Charolais or Purebred Charolais bull or cow, shall constitute change of
ownership for the purpose of this section of these bylaws.
(b) Any member of this Association who shall be expelled for cause from membership in the American Charolais Association shall automatically forfeit his membership in this Association.
Section 6: EXPULSION:
(a) The Board of Directors of the Association may prefer charges against any member of this Association, based upon any infraction of the Articles of Incorporation or bylaws of the Association or
any act of conduct, which may endanger the good order, welfare, or credit of the Association.
(b) Any member against whom charges may have been preferred by the Board of Directors, shall
be advised in writing of the nature of the charges, and of the time and place of a hearing to be held
by the Board of Directors on such charges. Such notice shall be given to such member at least
thirty days prior to the date of the hearing of such charges.
(c) The Board of Directors shall examine into such charges as shall have been made against any

member at the time and place designated in said notice and if the charge is sustained by sufficient
proof after an opportunity shall have been given charged member for a hearing, the offending
member shall be expelled, providing two-thirds of the Board of Directors shall vote in favor thereof.
(d) Appeal. Any member suspended by action of the Board of Directors as herein provided, may
appeal such suspension to the members represented in person, at a regular meeting, provided,
that such suspended member shall give written notice to the Secretary of the Association, thirty
days in advance of such annual meeting of such appeal. Notice of such appeal shall be contained
in the Notice of the annual meeting. A majority vote of the members present at such annual meeting shall be final as to the expulsion or reinstatement of such member who has made appeal from
the Board of Directors to the annual meeting.
(e) The final expulsion of a member of this Association shall be reported by the secretary to the
American International Charolais Association and The American Charolais Cross Association and
cause for such expulsion outlined.
ARTICLE 3 - ANNUAL AND SPECIAL MEETING OF MEMBERSHIP
Section 1. ANNUAL MEETING: The annual Meeting of the members of this Association shall be
during January of each year, location, and hour to be fixed by the president.
Section 2: SPECIAL MEETINGS: Special meetings of the membership may be called at any time
by the President and Past President, Vice-President or by the Board of Directors. Special meetings shall be held at a place designate at the will of the President, or on his failure to designate the
place of the said special meeting, the Board of Directors shall designate said special place of said
special meeting.
Section 3: NOTICE OF ANNUAL AND SPECIAL MEETINGS: Written notice of the time and place
of all special and annual meetings shall be mailed to members whose addresses are shown on the
books of the Association, twenty days before the date thereof.
Section 4: VOTING PRIVILEGES: At both annual and special meetings, each person who, according to the records of the Association is in good standing, shall be entitled to cast one vote on all
matters requiring voting. Members shall not be entitled to vote by proxy.
Section 5: QUORUM: For the transactions of all business at a meeting of the members, a quorum
shall be duly qualified members attending and voting at a meeting.
ARTICLE 4 - BOARD OF DIRECTORS
Section 1: NUMBER OF AND ELECTION OF DIRECTORS: FILLING VACANCIES:
(a) The property and business of the Association shall be managed by fifteen members of the
Board, all of whom shall be members of the Association. The President, Vice- President, Secretary,
and Treasurer shall automatically be members of the Board of Directors and they shall be voted
from the floor at the annual meeting of the Corporation. The other Directors shall also be elected
from the floor at the annual meeting of the Corporation. The Directors shall be elected as follows:
At the first meeting of said Association the Directors shall be elected - Three Directors for a term of
one year; Three Directors for a term of two years; Three Directors for a term of three years; Thereafter a Director shall be elected for a term of three years. The term of each director shall continue
until his successor is duly elected and qualified. The immediate Past-President shall always be a
member of the Board of Directors. In the event said Past-President is duly elected to a nonconcurrent office or directorship, the Board shall appoint an At-Large director to maintain the prescribed
membership of fifteen. The fifteeth board seat shall always be held by an Adult Advisor of the Iowa
Junior Charolais Association. This board member will be appointed by a majority vote of the board
members at an regular or special meeting which is attended by at least eight members of the Board
of Directors. The term of appointment is not to exceed two years at which time reappointment may
be sought.
(b) In the event of a death, disqualification, resignation, or removal of any Director, the remaining
Directors shall elect a qualified successor to serve until a successor shall be duly elected by the
membership and shall have qualified.
(c) Any Director missing four meetings in a row or a total of six meetings in a fiscal year will be
disqualified and relieved of his duties.
Section 2. ANNUAL MEETING OF THE BOARD OF DIRECTORS: The annual meeting of the
Directors shall be held at the same place and immediately following the adjournment of the annual
meeting of the members.
Section 3. SPECIAL MEETINGS OF THE BOARD: Special meetings of the Directors may be held

or called by the President, Past President, or in his absence, by the Vice President or by any three
members of the Board.
Section 4. NOTICE OF REGULAR AND SPECIAL MEETINGS OF THE BOARD. Notice of all
regular and special meetings of the Directors shall be sent in writing by mail to each Director at his
address as shown on the Association’s books, at least ten days prior thereto, however, a Director in
writing may waive notice.
Section 5. REGULAR AND SPECIAL MEETINGS (MISCELLANEOUS PROVISIONS) QUORUM:
(a) By two-thirds consent of the entire Board of Directors, any regular or special meeting of the
Board of Directors may be held without notice. Any meeting of the Board of Directors may be held
outside of the principal office of the Association at any convenient place within the boundaries
covered by the Association, designated in the notice of the meeting, but a majority of the Directors
present at the meeting must approve the fixing of any special meeting elsewhere than the principal
office of the Association.
(b) The Directors present shall constitute a quorum for the transaction of business at any regular or
special meeting, provided that at least the President or Vice President is present.
Section 6. EXECUTIVE COMMITTEE: the Executive Committee shall consist of the President,
immediate Past-President, Vice President, Secretary, and Treasurer, of this Association and the
executive Committee shall have and exercise such powers as the Board of Directors may from time
to time delegate to, such executive Committee
ARTICLE 5 - OFFICERS
Section 1. ELECTION OF OFFICERS
(a) The officers of this Association shall be President, Vice President, Secretary and Treasurer all
of whom shall be elected by members at their annual meeting for the term of one year and shall
hold office until their successors are duly elected and qualified, said election to take place immediately preceding the election of other directors. No one shall be eligible to the office of President,
Vice President, Secretary, or treasurer, unless he is a member.
(b) The members may at any annual meeting, in their discretion elect an assistant Secretary, who
shall be qualified as herein above provided for the office of Secretary and such other officers,
managers, agents and factors as may be deemed necessary.
Section 2. DUTIES OF THE PRESIDENT, PAST-PRESIDENT, VICE-PRESIDENT, NOMINATION
COMMITTEE, ANNUAL AUDIT:
(a) The President shall preside at all Director’s and Member’s meetings and shall have general
supervision over all the affairs
of the corporation and over the other officers, he shall sign all written contracts of the corporation and shall perform such other duties as are incidental to this office. In case of the absence or
disability of the president, his duties shall be performed by the Vice President. The president can
make no contract for the Association except by order of the Board of Directors.
(b) At least forty-five days prior to each annual meeting of members, the President shall appoint a
nominating committee of at least three members to make nominations for Officers and Directors
to be elected at such annual meetings of members and the Nominating Committee shall report
its nominations at the annual meeting of members. The report of the nominating shall be made in
writing to the secretary three weeks before the annual meeting and mailed by the Secretary to the
member-ship and shall not preclude nominations from being made from the floor.
(c) The President shall, prior to each annual meeting, obtain an audit of the books and records of
the Association for the fiscal year immediately preceding such annual meeting and shall present
such audit at each annual meeting of the members.
Section 3. DUTIES OF THE SECRETARY AND TREASURER:
(a) The Secretary shall issue notice of all Directors meetings and shall attend and keep the minutes
of the same; shall have charge of all corporate books, records, and papers, shall attest with his
signature all written contracts of the Association; and shall perform all other such duties as are
incident to this office.
(b) The Treasurer shall have custody of all money and securities of the Association and shall give
bond in such sum and with such securities as the Directors may require, conditioned upon the faithful performance of the duties of his office. The treasurer shall sign all checks of the Association,
shall keep regular books of account and shall submit them, together with all his vouchers, receipts,
records, and other papers, to the Directors for their examination and approval as often as they may

require and shall perform all such other duties as are incident to the office.
(c) At each annual meeting of the members, the Treasurer shall submit a statement of the business
done during the preceding year, together with a report of the general financial condition of the Association and of the condition of its tangible property.
Section 4. DUTIES OF THE EXECUTIVE SECRETARY:
(a) The Directors may establish the position of Executive Secretary who shall publish the newsletter maintain memberships; handle Association correspondence and advertising and all other duties
deemed necessary by the Board of Directors.
ARTICLE 6 - FINANCE
Section 1. BANKING OF FUNDS: The funds of the Association shall be deposited in such bank or
trust company as the Directors shall designate and shall be withdrawn upon the check or order of
the Treasurer or other such persons designated by the Directors.
Section 2. FISCAL YEAR: The Books of the account and records of the Association shall be kept
on a fiscal year basis, opening January 1 and closing December 31 of each year.
ARTICLE 7 - REPRESENTATIVE TO THE AMERICAN INTERNATIONAL CHAROLAIS ASSOCIATION
Section 1. NOMINATIONS AND CERTIFICATION.
(a) Prior to each annual meeting of the American International Charolais and American Charolais
Cross Breeders Associa¬tion and at a regularly called meeting of the Directors of this Association,
said Board of Directors shall nominate from the membership of this Association such members as it
desires to recommend to the Board of Directors of the AICA for their
consideration for nomination for election as officers or directors at their annual meeting.
(b) The Secretary of this Association shall certify to the Secretary of the American International
Charolais or Charolais Cross Breeders association, the names of such person so nominated.
ARTICLE 8 - SHOWS AND SALES
Section 1. SHOWS AND SALES
(a) Shows and sales of purebred Charolais and Charolais Cross cattle may be held or sponsored
by the Association, alone or jointly with the American International Charolais Association or others
as shall be governed by the rules of the Board of Directors.
(b) Shows and sales held or sponsored by the Association shall be governed by rules and regulations promulgated or approved by the Board of Directors.
(c) Only members in good standing with the Association may enter animals for show for sale in
competition or cooperation with other members of the Association and shall agree to abide by the
rules and regulations of said show or sale. The President shall appoint a ‘Sale or Show’ committee
for each show or sale. The committee will set forth rules and regulations and govern the particular
show or sale for which they were appointed.
(d) In the event evidence is presented to the Board of Directors that a member of the Association
has willfully or fraudulently violated any rule or regulation of a show or sale the Board of Directors
shall examine that matter and if it is found that such violation has been committed, the Board of
Directors shall take action determined by it to be appropriate to the circum¬stances; appropriate action may consist of requiring the violator to return premiums, trophies and/or other awards,
declaring the violator ineligible to make entries or otherwise participate in future shows or sales
for a period of time to be determined by the board of Directors or expelling the violator from the
Association as provided for by the bylaws of the Association.
(e) Any willful or fraudulent misrepresentation of animals entered for show or sale, or any other
unethical act on the part of a member of the Association shall be deemed an act of conduct which
may endanger the good order, welfare, or credit of the Association and as such is a violation of the
bylaws of the Association.
ARTICLE 9 - AMENDMENTS TO BYLAWS
Section 1. BY MAJORITY VOTE OF MEMBERS: BY BOARD OF DIRECTORS (PROVIDING AUTHORIZATION BY MAJOR-ITY VOTE OF MEMBER) Amendments to the Bylaws may be made by
a majority vote of the members present and voting at a regular or special meeting of the Association, of which notice of the proposed amendment to the bylaws shall be given; provided however,
that a majority vote of the members attending and voting at a regular or special meeting of which
notice of a proposed amendment to the bylaws shall have been given, may delegate to the Board
of Directors the power to make specific amendments to the bylaws.
