Pursuant to 49 U.S.C. 8 41302 and Parts 21 1 and 302 of the Department’s Rules
of Practice, TU1 Airlines Nederland, B.V., d/b/a TU1 Airlines Nederland; d/b/a Arkefly’
(“TU1 Airlines” or “Applicant”) hereby submits its application for a foreign air carrier
permit authorizing it to engage in the charter air transportation of persons, property and
mail between a point or points in the Netherlands, on the one hand, and a point or points
in the United States, on the other hand, either directly or via intermediate points in other
countries, and beyond, as authorized by the October 14, 1992 U.S.-Netherlands “Open
Skies” Agreement.
Applicant respectfully requests that the Department accord this application and
the exhibits submitted in support of this application expedited consideration under the

In support of its application and pursuant to the Department’s Procedural
Regulations, Applicant submits the following information:

TU1 is a privately-owned corporation established in 1980 under the laws of
the Netherlands.

Applicant seeks a foreign air carrier permit authorizing it to provide
Netherlands-U.S. charter Combination foreign air transportation of persons, property and
mail. A copy of TU1 Airlines’s current license including, inter alia, authority to operate
international charter combination flights between the Netherlands and the United States is
attached at Exemption Exhibit TUI-8. The Netherlands is a contracting state to the

International Convention on Civil Aviation.

Applicant is a private Netherlands company which is a wholly-owned
subsidiary of TU1 Nederland, N.V. (“TU1 Nederland”), one of the largest tour operators in
The Netherlands. TU1 Nederland operates principally under the retail brand names: Arke,
Holland International and Kras. The majority of the members of the Board of Directors
and key management personnel of Applicant are citizens of the Netherlands.

ownership rights in the Applicant, and the responsibility for all principal decisions is
vested in the senior management of the airline.

Applicant’s parent, TU1 Nederland, is itself a wholly-owned subsidiary of
TUI, A.G. based in Hannover, Germany. TUI, A.G. is a publicly-traded corporation and
is one of the largest tour operator/leisure companies in the World, with subsidiary leisure
companies in many European countries.

Applicant submits that it is substantially owned and effectively controlled
by Netherlands citizens as required by the U.S.-Netherlands “Open Skies” Agreement.
100% of its stock is owned by a Netherlands corporation, almost 90% of its key
management officials are citizens of the Netherlands, and the Government of the
Netherlands has licensed TU1 Airlines and shall shortly be designating as a Netherlands

carrier under the “Open Skies” Agreement. Thus, not only is Applicant owned by a
Netherlands citizen, its day-to-day operations are controlled and managed by citizens of
the Netherlands.

However, should the Department nevertheless be unable to conclude that
TU1 Airlines meets the citizenship requirements of the U.S.-Netherlands “Open Skies”
Agreement, Applicant would respectfully request a waiver of “ownership and control”
provision since, in this instance, a waiver would clearly be consistent with the public
interest and in accordance with the Department’s long-standing past practice in similar
cases, particularly in recent cases involving the same countries. The considerations
favoring such a waiver, if it is necessary, are particularly compelling when: (i) the merger
of KLM, the Netherlands principal flag carrier, with Air France is considered, which
merger has had no effect upon the citizenship of KLM (or a waiver has been granted); and
(ii) the fact that the U.S. has full “Open Skies” Agreements with both the Netherlands and
with Germany is considered.

The Department has in the past approved waivers from the homeland
control requirement in numerous cases where it has been determined that non-homeland
ownership and control would not be inimical to aviation interests. In its recent grant of
such a waiver in the case of a carrier of Belgium (like the Netherlands, an “Open Skies”
Agreement governed), despite the fact that in that case the applicant was 100% owned by

citizens of Germany. As basis for its approval, the Department stated:
“The United States has open skies aviation agreements with
both Belgium and Germany. Thus, despite the presence of
non-homeland interests, we found that there was nothing in
the ownership and control of the carrier that would be
inimical to U.S. aviation policy or interests. Accordingly,
we concluded that waiver of our standard requirement that
substantial ownership and effective control of a foreign
carrier rest in the hands of citizens of its homeland was
warranted.”
European Air TransDort, N.V.; NOAT dated August 23,2002, Docket
Applicant submits that the Department’s prior grants of waivers to the above-referenced
Benelux carriers (KLM, European Air Transport, Translux) justify approval of a waiver,
if necessary, in this instance.

Although Applicant commenced operation on April 5,2005, it
commenced those operations with almost 20 years of combined experience and
knowledge of two predecessor Dutch airlines. The formation of the applicant airline was
as a result of the acquisition earlier this year of the operations, management, personnel

and aircraft (B-767-300’s) of a predecessor airline, HollandExel, following that carrier’s
bankruptcy. HollandExel had substantial operations between The Netherlands and
various points in the Caribbean basin. HollandExel itself had, in January 2004, taken
over the operations and personnel of another Dutch airline, Air Holland.

Applicant plans to initiate U.S. passenger charter operations with its fleet
of four (4) B-767-300 (configured for 272Y pax), and the airline intends to initially
provide passenger charter service between The Netherlands on the one hand, and points
in Florida, on a once-per-week basis.

Attached at Exhibit TUI-13 is a summary of Applicant’s most recent
financial statements, including a current balance sheet showing assets and liabilities as of
December 3 1, 2004.

The aviation relationship between the U.S. and the Netherlands is
governed by the October 14, 1992 “Open Skies” Agreement. The charter services
proposed by Applicant herein are governed by Paragraph 2(2) of the Agreement which
amended Article 4 of the 1978 Protocol.

TU1 Airlines Nederland has not been involved in any safety violations or
fatal accidents during the past five ( 5 ) years.

The insurance coverage for Applicant’s aircraft has been placed with
Lloyds (via Marsh, Ltd.) A Foreign Air Carrier Certificate of Insurance (DOT Form OST641 1) has been filed with the FAA and a copy is attached hereto at Exhibit TUI-7.

The requisite number of copies of an originally executed agreement (DOT
Form 4523) with the Department (Montreal Agreement) waiving liability limits under the
Warsaw Convention has been filed with the Department, and copies are attached at
Exhibit TUI-16.

Attached at Exhibit TUI-17 is a copy of the Aviation Disaster Family
Assistance Plan (“Family Assistance Plan”) which Applicant has filed with the
Department and the NTSB in connection with its proposed services to the U.S.

Attached at Exhibit TUI- 18 is the Passenger Manifest Information
Compliance Plan (“Pax Manifest Plan”) which Applicant is required to adopt in
connection with its proposed services to the U.S.

Because of the limited scope of its proposed operations, the issuance to
Applicant of a foreign air carrier permit will not constitute a “major federal action
significantly affecting the quality of the human environment” within the meaning of
tj 102(2)(c) of the National Environmental Policy Act or a “major regulatory action” under

the Energy Policy and Conservation Act.

Applicant is fit, willing, and able to provide the charter combination
services applied for herein. The officers, directors and key management personnel are all
experienced in their respective fields, including asset management, passenger
transportation, freight forwarding, and airline operations with both U.S. and other foreign
carriers. Applicant is highly experienced in providing the type of air transportation
services it proposes to provide herein. Applicant has sufficient assets and a sound
business plan which will enable it to provide high-quality service to the passengers and
shippers in this market, and allow the owners of the airline a reasonable return on their
investment. Exhibits one (1) through eighteen (18) set forth in detail the information
required by the regulations.

Although Applicant commenced operation on April 5,2005, it commenced those
operations with almost 20 years of airline experience and knowledge of predecessor
airlines. The fomiation of the airline was as a result of the acquisition of the operations,
management, personnel and aircraft (B-767-300) of a predecessor airline, HollandExel,
which had substantial operations between The Netherlands and various points in the
Caribbean basin. HollandExel itself had in January 2004 taken over the operations and
personnel of another Dutch airline, Air Holland.

FAMILY ASSISTANCE PLAN
1.
Overview
The purpose of the TU1 Airlines Nederland, B.V. (“TU1 Airlines”) Family Assistance
Plan (hereinafter call the “Plan”) as set forth herein is to provide company personnel with the
guidelines, procedures and training that will enable them to act in the interest of survivors and
victims’ families in the event of an aviation disaster; to treat survivors and families with dignity;
and to respect the cultural and religious backgrounds of survivors and families.
11.
Pre-Response Planning
A.
hi accordance with the Foreign Air Carrier Family Support Act of 1997, Public
Law 105-148 (1 11 Stat. 2681) and 49 U.S.C. Sections 1136 and 41313, as amended by
the Wendell H. Ford Aviation investment and Reform Act for the 21st Century (AIR-21),
Public Law 106-18 1 (1 14 Stat. 5 l), TU1 Airlines publishes its Family Assistance Plan and
will insert the Plan into all appropriate TU1 Airlines manuals.
B.
The treatment of non-revenue passenger (and any other victim of the accident)
will be the same as the treatment of the families of revenue passengers.
The TU1 Airlines Emergency Response Teams will be utilized to respond to likely

needs of survivors and families.
Training of Family Assistance Personnel will be sufficient to meet the survivors

and family members following an accident. Training to TU1 Airlines employees and
agents will be conducted in conjunction with TU1 Airlines Special Assistance team

Simulations of the Plan will be held annually in addition to participation in
local disaster drills.

After an aviation disaster involving a TU1 Airlines aircraft, a toll-free 800
number will be published for the use of families to inquire about passengers.

It is the policy ofTU1 Airlines that Manifest infomiation will only be
release to the proper U.S. National Transportation Safety Board (NTSB) authorities
having jurisdiction of the accident site by the designated TU1 Airlines Security
Coordinator to the NTSB, the TU1 Airlines NTSB Family Assistance Coordinator,
Managing Director and CEO or Director of Flight Operations. Any other release of
manifest information is considered unauthorized and prohibited.
7.
TU1 Airlines will inform family members (or family friends or clergy who
are with the family) at an appropriate time, but as early as possible after being notified,
that it is critical that they contact their family dentist to obtain the dental records and
dental x-rays of the loved one. TU1 Airlines will ask the family to have the records and
x-rays sent by overnight courier service to the address of the hotel where the joint family
support operations center will be located. Packages should be addressed to the Director
Family Support Services, NTSB. If the family is coming to the site the next day, the
family may arrange to hand carry these documents. If the family is already at the accident
site or arrives without making these arrangements, the Disaster Mortuary Team personnel
will coordinate with the family’s dentist to obtain dental records and dental x-rays.

Passenger Manifest, Tickets Reconciliation and Notification
In order to determine which passengers actually boarded the flight, TU1 Airlines

Director a passenger list that reflects the best available information at the time of the
request.

confidentialhensitive nature of this information.

All appropriate manifest lists will be stamped “PRELIMINARY AND
UNCONFIRMED” with the date, time and list number.

TU1 Airlines will update periodically.
Upon request, TU1 Airlines will provide to the U.S. Dcpartment of State
information in its possession about foreign passengers.

TU1 Airlines shall not be liable for damages in any action brought in a
U.S. Federal court or a court of the Republic of Mexico arising out of the performance of
TU1 Airlines in preparing or providing a passenger list pursuant to this Plan unless
liability was caused by conduct of TU1 Airlines which was grossly negligent or which
constituted intentional misconduct.
C.
Notification Procedures
1.
As soon as information becomes available on each passenger, that
passenger’s family will be notified.

Notification to family members will be made prior to release of
passenger’s name to the public and, to the extent possible, in person.
2.
TU1 Airlines personnel making the notification will be suitably trained as
noted in Para.11 D of this plan.
3.
TU1 Airlines will secure a facility for family members that will insure
privacy from solicitors and the media.
4.
After coordination with NTSB, TU1 Airlines will provide a joint support
operations center to provide logistical support to the federal staff.
5.
As appropriate, TUI Airlines will continually update the public on the
progress of family notification.
D.
ConfidentiaVSensitive Information
1.
As stated in 2D(7) of this document, any unauthorized release of manifest
information is prohibited.
IV.
Passenger Identification
A.
Medical Examiner/Coroner
The medical examiner or coroner is responsible for the positive
identification of fatalities.

If the victim has died, the medical examiner will coordinated with
the Disaster Mortuary Team Commander to provide official notification of
death to the family.
b.
For injured passengers, the hospital is responsible for status
updates and either the hospital or TU1 Airlines will advise the families.
V.
Family Access to the Accident Site.
A.
The U.S. NTSB has primary U.S. Federal accident-site jurisdiction.
Within the limits that authorities have established, TU1 Airlines will respond to

family requests for access to the accident scene.

TU1 Airlines will assist the family of a passenger in traveling to the location of the
accident and provide for the physical care of the family while the family is staying at such
location including the following:

passenger that is under TU1 Airlines’s control.

TU1 Airlines will consult with the families about the construction by TU1
Airlines of any planned monument including the inscription on it.
VII.
Relationship with Designated Independent Organization
TU1 Airlines will work with the independent nonprofit organization that is

designated under 49 U.S.C. Section 1136(a)(2) on an ongoing basis to provide mental
health and counseling service to families.

Mental health services can be coordinated on a local basis through the
nonprofit organization or these services can be brought in from another city where the
airline may have a Mental Health Professional on retainer.
Should long term counseling be required, TU1 Airlines will coordinate

with the nonprofit organization appointed by the NTSB, the family and the company
providing the service.
B.
TU1 Airlines will develop a procedure to pay reasonable compensation to the
NTSB- designated independent nonprofit organization as required by 49 U.S.C. Section
41313 (c)(ll).
TU1 Airlines, in the event that it volunteers assistance to United States citizens

within the United States with respect to an aircraft accident outside the United States
involving major loss of life, will consult with the NTSB and the Department of State on
the provision of assistance.
VIII.
Notice Concerning Liability for Man-Made Structures
A.
In General: In the case of an accident that results in significant damage to a man
made structure or other property on the ground that is not government-owned, Arkia will
promptly provide notice, in writing, to the extent practicable, directly to the owner of the
structure or other property about liability for any property damage and means for
obtaining compensation.
B.
Minimum Contents: At a minimum, the written notice shall advise an owner (1)
to contact the insurer of the property as the authoritative source for information about
coverage and compensation; (ii) to not rely on unofficial information offered by foreign
air carrier representatives about compensation by the foreign air carrier for accident site
property damage; (iii) to obtain photographic or other detailed evidence of property
damage as soon as possible after the accident, consistent with restrictions on access to the
accident site.
LX.
Simultaneous Electronic Transmission of NTSB Hearing
In the case of an accident in which the National Transportation Safety Board conducts a

public hearing or comparable proceeding at a location greater than 80 miles from the
accident site, TU1 Airlines will ensure that the proceeding is made available
simultaneously by electronic means at a location open to the public at both the origin city
and destination city of TU1 Airlines’s flight if that city is located in the United States.
X.
Resources for the Plan
TU1 Airlines will provide the personnel and financial resources necessary to carry out its
responsibilities under this Plan.
XI.
Filing of this document with NTSB and DOT
Pursuant with the Foreign Air Carrier Family Support Act of 1997 and 49 U.S.C.

PASSENGER MANIFEST POLICY
Effective October 1, 1998, U S . law requires all U.S. and foreign air carriers transporting any U.S citizens
on flight to or from the United States to collect the following information and identify passengers on their
flight manifests by the passenger’s FIRST NAME, MIDDLE INITIAL, LAST NAME. Passengers who
elect not to provide this information SHALL BE DENIED BOARDING.
Passenger Service personnel of Station management personnel will deliver to TU1 Airlines Dispatch by
facsimile the completed Passenger Manifest as soon as possible. The Fax Number is 3 10-216-5807.

In addition, this law requires all U.S. and foreign air carriers transporting any U.S. citizens on flights to or
from the United States to SOLICIT the following information: EMERGENCY CONTACT PERSON

prior to boarding while checking in. Passengers who elect not to provide this information SHALL NOT
BE DENIED BOARDING.
Passengers shall not be coerced into believing the opportunity to provide the emergency contact data is
required by any law or regulatory requirement.
The following statement will be made in English during check-in, for applicable flights:
“U.S. Citizens who wish to complete an Emergency Contact Data Card may do so at this time.”
Passenger Service personnel should collect the cards from the passengers who choose to complete them
during the check-in process. The collected cards will be maintained in the possession of Passenger Service
personnel until the flight has arrived at its destination. The cards will then be discarded. The unauthorized
release of information from the cards is prohibited. Only the Vice President and Director of Operations of
TU1 Airlines are authorized to release passenger Emergency Contact Data to authorized agencies in the
event of an aviation accident. The information collected will be transmitted to the Department of State and
other authorized agencies via facsimile transmission.
