Standard order TERMS & CONDITIONS
PLEASE READ THIS DOCUMENT CAREFULLY! IT CONTAINS VERY IMPORTANT INFORMATION
ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CREATION, LIMITATIONS AND
EXCLUSIONS OF REMEDIES THAT APPLY TO YOU.
1. Standard Terms. The following constitute the terms of any order made by you, the Customer, (hereafter, Customer) for products
or services of Technical Products Inc. of Georgia, U.S.A. (hereafter, TPI). Customer shall be the entity to be billed for the products or
services rendered pursuant to an invoice; the person issuing the Purchase Order, if different from Customer, represents and warrants
that Customer has authorized the order. No variation of these terms shall be permitted unless they are agreed upon in a separate
written document signed by an authorized officer or executive of TPI. The terms of this agreement shall be incorporated by reference into any invoice by Customer directed to TPI. By acceptance of delivery or receipt of service, Customer agrees to be bound by
and accepts these terms and conditions. TPI may change any term or condition of this document prior to Customer’s acceptance,
provided that Customer is given prior written notice of such change.
2. Other Documents. These terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s),
except as otherwise noted. Any attempt to alter, supplement or amend this document or to enter an order for product(s) or services
and support that are subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written
agreement signed by both Customer and TPI. Any terms on Customer’s invoice other than as to quantity of goods ordered and the
thereof shall be superseded by the terms of this agreement. The specification on the invoice may be adjusted as provided herein.
3. Order Acceptance. All order acceptances of TPI are conditional and subject to cancellation by TPI until the order is actually delivered
for shipment by TPI to Customer. Prepayment of an order may be required prior to shipment. Unless such payment is required, payment will be due as of the day upon which the order is shipped to Customer. TPI will advise Customer if, for any reason, it determines
to cancel an order. If an order is cancelled after payment is received, Customer will receive a full refund of the order.
4. changes, error correction, and sufficiency of stock. TPI reserves the right to correct errors or errors in the description of its
products up to the point of shipment to Customer. Should a pricing or description error be made, TPI will advise Customer of the
error and Customer shall have the right to cancel its order. The fact that an item is listed in a TPI catalog or on the TPI web site does
not mean that the item is currently in stock or exists in sufficient quantity to fulfill a Customer’s order. s and availability are subject
to change without notice.
5. Payment Terms; Orders; Quotes; Interest. Terms of payment are within TPI’s sole discretion, and unless otherwise agreed to by TPI,
payment must be received by TPI prior to TPI’s delivery of an order. Payment for the products and services and support will be made
by credit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by TPI. Invoices
are due and payable within the time period noted on the reverse side of this invoice, measured from the date of the invoice. TPI may
invoice parts of an order separately. Orders are not binding upon TPI until accepted by TPI. Any quotations given by TPI will be valid
for the period stated on the quotation. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.
6. Shipping Charges; Taxes. Separate charges for shipping and handling will be shown on TPI’s invoice(s). Unless Customer provides
TPI with a valid and correct tax exemption certificate applicable to the product ship-to location prior to TPI’s acceptance of the order,
Customer is responsible for sales and all other taxes associated with the order, however designated, except for TPI’s franchise taxes
and taxes on TPI’s net income. If applicable, a separate charge for taxes will be shown on TPI’s invoice.
7. Title; Risk of Loss. Title to products passes from TPI to Customer on shipment from TPI’s facility. Loss or damage that occurs
during shipping by a carrier selected by TPI is TPI’s responsibility. Loss or damage that occurs during shipping by a carrier selected
by Customer is Customer’s responsibility.
8. Warranties. THE LIMITED WARRANTIES APPLICABLE TO TPI PRODUCTS ARE INCLUDED IN THE DOCUMENTATION ALONG
WITH THE PRODUCTS, AND THERE ARE NO WARRANTIES FOR SERVICES. TPI MAKES NO EXPRESS WARRANTIES EXCEPT
THOSE STATED IN THIS SECTION AND IN TPI’S APPLICABLE WARRANTY STATEMENT IN EFFECT ON THE DATE OF THE INVOICE.
ANY SUCH WARRANTIES WILL BE EFFECTIVE, AND TPI WILL BE OBLIGATED TO HONOR ANY SUCH WARRANTIES, ONLY
UPON TPI’S RECEIPT OF PAYMENT IN FULL FOR THE ITEM TO BE WARRANTED. TPI DISCLAIMS ALL OTHER WARRANTIES,
EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE. TPI’S RESPONSIBILITY FOR WARRANTY CLAIMS IS LIMITED TO REPAIR AND REPLACEMENT AS SET
FORTH IN TPI’S APPLICABLE WARRANTY STATEMENT IN EFFECT ON THE DATE OF THE INVOICE.
TPI reserves the right to modify its warranty at any time, in its sole discretion.
Return Policies. All sales are final. TPI products may be returned by Customer only if unopened and if credit for the sale is separately
agreed upon in writing by TPI.

FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT OR PUNITIVE DAMAGES, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED
HEREIN. THIS LIMITATION OF LIABILITY APPLIES BOTH TO PRODUCTS AND SERVICES AND SUPPORT Customer PURCHASES
UNDER THIS AGREEMENT. FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES BUNDLED WITH
THE PRODUCTS, TPI IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE DOLLAR
AMOUNT PAID BY Customer FOR THE PURCHASE OF PRODUCTS UNDER THIS AGREEMENT. Customer AGREES THAT
FOR ANY LIABILITY RELATED TO THE PURCHASE OF SERVICES NOT BUNDLED WITH PRODUCTS UNDER THIS AGREEMENT,
TPI IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE DOLLAR AMOUNT PAID BY
Customer FOR THE PURCHASE OF SERVICES UNDER THIS AGREEMENT.
10. Applicable Law; Not For Resale. Customer agrees to comply with all applicable laws and regulations of the various states and
of the United States. Customer agrees and represents that it is buying for its own internal use in patient care and not for resale.
Terms & Conditions
9. Products. TPI’s policy is one of on-going product update and revision. TPI may revise and discontinue products at any time. TPI
will ship products that have the functionality and performance of the products ordered, but changes between what is shipped and
what is described in a specification sheet or catalog are possible.
11. Service and Support. Service and support is not included in the cost of any invoiced product. Any service or support provided
by TPI to customer will be billed at TPI’s then current rates, which will be provided to Customer prior to delivery of service or provision of support. Any service or support provided will be subject to the terms of this document. Any failure by Customer to make
timely payment for goods, services or support provided by TPI to Customer will be grounds for termination of any further goods,
services or support until timely payment has been received.
12. Dispute Resolution. The parties will attempt to resolve any claim, or dispute or controversy, whether in contract, tort or otherwise,
and whether known or unknown, or unascertainable by the parties at the time of entry into this agreement, against TPI, its agents,
employees, successors, assigns or affiliates (collectively for purposes of this paragraph, “TPI” ) arising out of or relating to this Agreement, the making of this agreement, TPI’s advertising, or any related purchase (a “Dispute” ) through face to face negotiation with
persons fully authorized to resolve the Dispute or through mediation utilizing a mutually agreeable mediator, rather than through litigation. If the parties are unable to resolve the Dispute through negotiation or mediation within a reasonable time not to exceed 180 days
after written notice from one party to the other that a Dispute exists, the Dispute will be settled by binding arbitration in accordance
with the American Arbitration Association’s then current Commercial Arbitration Rules, and judgment on the award rendered by the
arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration hearing shall take place in Atlanta, Georgia and will
be governed by the United States Federal Arbitration Act to the exclusion of any inconsistent state laws. The arbitrator shall base the
award on the terms of this Agreement, and will follow the law and judicial precedents that a United States District Judge sitting in the
Northern District of Georgia would apply to the Dispute. The arbitrator shall render the award in writing and will include the findings of
fact and conclusion of law upon which the award is based. The existence or results of any negotiation, mediation or arbitration will be
treated as confidential. Notwithstanding the foregoing, either party will have the right to obtain from a court of competent jurisdiction
a temporary restraining order, preliminary injunction or other equitable relief to preserve the status quo or prevent irreparable harm,
although the merits of the underlying Dispute will be resolved in accordance with this paragraph.
13. Jurisdiction. In case of any litigation between the parties arising from or related to the transaction governed by this agreement
or the terms and conditions hereof, the parties agree that the courts of Georgia shall have exclusive jurisdiction over the litigation.
The parties further agree to accept service of process by prepaid mail or other form of delivery which generates a record of such
delivery, addressed, in the case of Customer, to Customer’s address shown on the invoice or to such other address as Customer shall
identify in writing to TPI, and, in the case of TPI, to 805 Marathon Pkwy., Suite 150, Lawrenceville, GA 30046 or such other address
as TPI shall provide in writing to Customer. The parties waive all laws requiring any other or different means of service of process.
14. Construction. Section headings are not part of this agreement. In construing this agreement, the rule of resolution of
ambiguities against the drafter shall be inapplicable.
Indemnification: TPI agrees to indemnify and hold Customer harmless from any breach by TPI, its officers, agents, employees or
representatives of the terms of this agreement. Customer agrees to indemnify and hold TPI harmless from any breach by Customer,
its officers, agents, employees or representatives of the terms of this agreement.
15. Understanding. Customer acknowledges that Customer has read, understood and agreed to the terms of this agreement.
16. Entire Agreement, Separability. This Standard Order represents the complete agreement between the parties and supersedes all
prior agreements and representations between them. If any provision of this Agreement is held to be unenforceable for any reason,
such provision shall be reformed only to the extent necessary to make it enforceable and the other terms of this Agreement shall
remain in full force and effect. The failure of TPI to act with respect to a breach of this Agreement by you or others does not constitute
a waiver and shall not limit TPI rights with respect to such breach or any subsequent breaches. This Agreement shall be governed by
and construed under Georgia law as such law applies to agreements between Georgia residents entered into and to be performed
within Georgia, except that the Federal Arbitration Act shall be applied to any dispute to be resolved through arbitration.
17. Limitations period. All disputes by Customer involving TPI shall be barred unless presented by Customer to TPI within 180 days
of the date on which Customer is on notice of the facts giving rise to the dispute.
