Annual Conference & Trade Show 2013
It is our great pleasure to welcome you to Las Vegas and to
another great RIESA event—our 2013 Annual Conference. This
is our 10th Anniversary, and we are proud to share it with you!
With over 45 sessions and plenty of networking opportunities,
we aim to provide you with the tools and access to grow both
personally and professionally. We have a great lineup, which
includes new content, hot topics and meaningful information.
Here are a few features we feel you should note:
• Keynote speakers Oliver North and NBA All-Star Grant Hill
• Many sessions will touch on the new regulatory
developments, and some sessions will do this in-depth. Look
closely at the Legislative & Regulatory session line-ups to
make sure you take advantage of this information.
• For Advisors, we have added several dedicated sessions,
including a number of top producers providing insight into
how they build their business and assist their clients.
• Our BDAC (Broker-Dealer Advisory Council) meets Tuesday
with a FINRA representative
• New Members have a special get together at the beginning of
Monday’s lunch
• Attend one of REISA’s committee meetings on Monday
during lunch, and learn how to become more involved in your
association’s planning
Whether you’ve been with REISA at all 10 of our annual events
or you are relatively new to our family, this year’s program truly
has something for everyone. REISA’s conference reputation
continues to grow as the “go-to” events for everyone in our
industry. Attendance continues to rise with more than 150
broker-dealer firms and over 800 participants. As a result,
all of our exhibits for 2013 were sold out with more than 70
companies/firms exhibiting this year. So, if you’re a sponsor or
affiliate planning for 2014, you should move your plans forward
for next year now.
Putting an event like this together involves a lot of effort
and people. Our cast of volunteer program participants has
dedicated significant time and resources to ensure you receive
the highest quality programming available in the industry. Our
core team of more than 40 industry leaders, making up our
Conference Planning Committee, aims to provide fresh ideas
and relevant content at this conference and in the future.

The term “cap rate” is synonymous with investing in commercial real estate, but do you
really understand what a cap rate is, how it is calculated and what impacts the direction of a cap rate? How about rates of return? There are total returns, average annual
returns, internal rates of return and more. This session will equip you with the knowledge necessary to be more than just a little dangerous when it comes to cap rates and
rates of return.

Risk Assessment—There are a variety of risks associated with investing in alternative investments. The sponsor, investment strategy, structure and market factors are just a few.

Fundamentals of DPPs
This DPP Core Course will identify and discuss aspects of the typical offering structures
and the corresponding related potential benefits and risks associated with investments
in DPPs. The session will also include coverage of the investment process, including
sales, suitability and required disclosures. Panelists will identify how certain rules and
regulations apply to the various types of offerings and how due diligence can be critical
in the process to identify potential risks. DPPs cover a wide variety of industry sectors,
including real estate, energy, equipment and commercial debt; and they also have a low
correlation with other securities and consequently can provide further portfolio diversification. DPP offerings are sold as restricted securities, and they can be risky investments,
difficult to value, and illiquid. This session will also address the legal, tax and regulatory
issues surrounding DPP offerings.

Tax & Product Structure Developments: Where are the Landmines?
This session will provide you with information concerning offering structure and securities compliance issues that often come up within the confines of energy alternative
investment programs. In respect to energy program structures, the panel will initially
discuss how certain energy programs are structured to address the tax planning and risk
management objectives of investors and will also discuss commonly observed problems
that can jeopardize the marketed tax benefits if not addressed during the planning and
due diligence phase of the offerings. This session will also address other securities
compliance-related issues that can potentially affect the quality and compliance integrity
of energy programs, such as common problems with marketing materials (or Rule 2210
compliance), investor voting rights issues, the proper handling of affiliate transactional
authority, and to what extent the NASAA Guidelines should be utilized to structure investor rights within the confines of energy private placements.

Developing Marketing Materials?
How do both sponsors and broker dealers develop marketing literature, videos, etc.?
Is content created in-house, then outsourced? Is the content determined by the sales
team? How is the process managed from a compliance standpoint? Learn from a panel
with hands on experience on television and radio, with articles published in newspapers
and magazines, have developed video marketing for registered representatives, and
distributed literature generated by sponsor/broker dealer/registered representatives.
Learn what is needed to make the process effective with investors and acceptable to the
regulators, along with your costs in time and money. A following session will be held on
Tuesday at 9:50 am by Aubrey Morrow to detail how he built out his marketing program,
with a particular focus on the use of radio.

How to Present the Opportunity
As our October Conference coincides with the tax planning season of investors that
generally participate in energy drilling programs, this session will provide education to
attendees on the questions of what types of energy programs are suitable for certain investors and how a selling representative can intelligently use energy products to diversify

Investing in Your Future
Oliver North is a combat decorated U.S.
Marine, a #1 best-selling author, the founder of a
small business, an inventor with three U.S. patents, a
syndicated columnist, and the host of “War Stories” on
Fox News Channel.
North was born in San Antonio, Texas, graduated from
the U.S. Naval Academy in Annapolis, Maryland, and
served 22 years as a Marine officer. His awards for
service in combat include the Silver Star, the Bronze
Star for valor and two Purple Hearts for wounds in
action.
Assigned to the National Security Council staff in the
Reagan administration, North was the United States
government’s counter-terrorism coordinator from
1983-1986. He was involved in planning the rescue
of 804 medical students on the island of Grenada
and played a major role in the daring capture of
the terrorists who hijacked the cruise ship Achille
Lauro. After helping plan the U.S. raid on Muammar
Qaddafi’s terror bases in Libya, North was targeted for
assassination by Abu Nidal, the infamous terrorist killed
in Baghdad in August, 2002. President Ronald Reagan
described North as “an American hero.”
Since 2001, he has been the host of “War Stories”
– the award-winning military documentary series on
Fox News Channel -- and has been embedded with
more than 55 U.S. and allied combat units. North has
authored thirteen books, all of them New York Times
best sellers. His latest, “Heroes Proved,” is a gripping
tale of intrigue and duplicity at the highest levels of the
U.S. Government.
North serves on the Board of Directors of the National
Rifle Association and is the founder of Freedom
Alliance, a foundation providing college scholarships
to the sons and daughters of U.S. military personnel
killed in the line of duty. He claims his most important
accomplishment is being “the husband of one, the
father of four and the grandfather of fourteen.”

Business and Sports
The Grant Hill story is one of faith, guts, family,
friends, commitment and the incredible will to play
basketball. On the court, he amplifies the talents of his
teammates, and he’s a winner as part of two elusive NCAA
Championships. He is unselfish, possessing a strong work
ethic, and shows creativity with the basketball. He is a
confident leader who rises to the occasion in close ball
games. Off the court, Grant is humble and a true believer
in community investment.
Grant is a partner and co-founder at Penta Mezzanine
Fund, a private investment firm providing $2 to $15
million customized growth capital solutions to profitable,
lower-middle-market companies nationwide. Since the
year 2000, Grant has continued to invest extensively in
commercial real estate including several multi-family projects and general commercial
buildings in Florida, Arizona, North Carolina and Washington, D.C. He is also the owner
of Subway franchises in the Washington, D.C., area. He is a sought-after public speaker
before business groups, industry audiences and in college and university settings.
Grant compiled a most impressive collegiate career at Duke University, winning backto-back NCAA championships his freshman and sophomore years (1991 and 1992),
plus a host of other national collegiate awards including the Henry Iba Corinthian Award
as the nation’s top defensive player (1993). In his senior year, Grant was named a
unanimous first team All-American, was named to the NCAA All-Tournament and was
the NCAA Southeastern Regional MVP.
After graduating from Duke, Grant was the number one pick by the Detroit Pistons
in the 1994 NBA draft. He quickly became one of the most exciting and well-liked
players in the league. For his first two seasons in the league, Grant led all NBA players
– including Michael Jordan, David Robinson and Shaquille O’Neal – in All-Star votes.
The co-NBA Rookie of the Year, Grant was also a member of gold medal winning Dream
Team, representing Team USA at the 1996 Olympic Games in Atlanta.
After the end of the 2012-2013 NBA season, Grant announced his retirement, ending
his career with the LA Clippers. The lessons he learned and the encouragement he has
received throughout his career are truly reflective in the way he conducts himself on
and off the court, and he embraces the responsibility that comes with being considered
a role model. Grant believes that he can make a difference and has pledged his
time and financial support to a myriad of community investment programs, including
donations to his alma mater, and established scholarships to assist students in pursuit
of an undergraduate education. He was awarded the 2001 Richard and Helen DeVos
Community Enrichment Award and served as vice-chairman of the 1999 Special
Olympics World Games. He is also incredibly passionate about inspiring the next
generation to get active and to develop proper nutritional habits. In 2010, President
Barack Obama named Grant as a council member on the President’s Council of
Fitness, Sports and Nutrition, and he is also involved with the First Lady’s “Let’s Move”
campaign.

Randy Anderson
with his wife Sheila. He founded the Northern Virginia
chapter of the Foundation Fighting Blindness, and serves
as the President of the Board of Directors for David’s
Hope International, a ministry that has helped found
a school, medical clinic, orphanage, feeding program,
clean water supply and several agribusiness projects
in Eburru, Kenya. He is a graduate of the Leadership
Loudoun Class of 1991 and the Leadership Fairfax
Class of 2010. He holds the Series 6, 7, 26, 63, 65 and
79 licenses as well as Life and Health and Annuities
licenses. I am an Accredited Investment Fiduciary, and
am a Contributing Author of Being in Business is a

Peter H. Blum has been the
co-chief executive officer and copresident of Ladenburg Thalmann
since Dec. 15, 2011. Previously
he served as the head of capital
markets at Ladenburg Thalmann
and served as its head of investment banking. Prior
to joining Ladenburg Thalmann in 2004, Mr. Blum
was president of Bear Ridge Capital LLC, a financial
advisory firm specializing in providing strategic merger
and acquisition advice and providing private capital to
businesses primarily in the energy sector. Prior to that,
he held senior banking positions at various Wall Street
firms. Mr. Blum has been the non-executive chairman
of Mitcham Industries Inc. since July 2004, and has
been its director since 2000. Mr. Blum has served
as a member of the REISA Board of Directors since
January 2013. Blum started his career at Arthur Young
& Co. as a practicing CPA. Blum received his Bachelor

Deborah Froling

Practices. Mr. Linsky’s practice
is concentrated in representing

Mitch Morrison

and public debt markets as well as mergers and
acquisitions advisory work and the restructuring of
real estate debt and equity instruments on behalf of
partnerships and financial institutions. Following his
career at Salomon, Mr. Shields ran a structured real
estate finance group for Jefferies & Company, Inc. in
