WARRANTY
Refer to Terms and Conditions of sale at the back of this catalogue.
Note that mixing of different manufacturers’ products within a ceiling or wall system will void any warranty.
QUALITY ASSURANCE
Faststud is the NSW Distributor for Studco Building Systems.
As such the majority of steel products listed are supplied by Studco.
Studco is a Quality Assured Company.

Marketing & Pricing Policy
FREIGHT
Freight charges available on application.
BACK ORDERS
Sydney Metropolitan area
No delivery charge on backorders for standard stock items.
Standard delivery charge will apply to non standard products and special orders.
Outside Sydney Metropolitan area
Delivery charges will apply on backorders for both standard and non standard products.
Order early to avoid these charges.
RE-DELIVERIES
If goods have to be returned to store for re-delivery due to the customer not meeting delivery related
obligations made at the time of order, the customer will be charged for:
 the cartage of the original delivery,
 the cartage for return to store
 and the later re-delivery.
SPECIAL ORDERS
Special size products e.g. Studs, Furring Channels, etc. are available from FASTSTUD provided that the
minimum quantity is a stock pack size for the product concerned.
A purchase order is required before manufacture will commence.
All special orders will be billed within 30 days of date ready for despatch. Storage fees may apply if goods are
not picked up or delivered within the 30 day period.
Special orders will be billed if the order is cancelled. Restocking is not an option.
PACKAGING
With few exceptions, FASTSTUD products are packed in workable quantities of stock packs and sub packs.
In such cases, minimum quantities sold are limited to sub packs.
GOODS & SERVICES TAX
FASTSTUD is registered for GST. All prices in this book exclude GST.
TIMEFRAME AND CONDITION ON RETURNS
A handling, restocking and administration charge will apply to all returned items.
If goods are picked up by Faststud, return freight will be charged.
If returned items require cleaning when they reach the yard an additional charge will apply.

The thermofoil facing extends 150mm beyond one longitudinal edge of the blanket to

and the top junction of a plasterboard partition
wall, Polymax Easy Baffle can achieve a
transmission reduction of 10 - 16 decibels across a
range of frequencies and up to 9 decibels in
speech range frequencies - the most common
nuisance noise in commercial buildings.

Polymax Absorb is ideal for use behind perforated paneling and ceilings designed to eliminate or reduce echo and increase reverberation times in a
single space such as sports halls, cinemas, studios, industrial enclosures, HVAC ducts, silencers or plant rooms. Absorb is also recommended as a
cavity infill where where low frequency noise seperation through walls and ceilings is required. Absorb can also be used behind decorative woven
fabrics as acoustic panels or baffles to cut reverberation and echo in restaurants and areas where hard surfaces predominate and cause unwanted
noise. Absorb can also be laid above suspended ceilings to reduce flanking noise between rooms.

TERMS AND CONDITIONS
Payment terms

The terms of payment are strictly thirty (30) days from the end of month of
invoicing (or such other period as nominated by the supplier herein). Specialised
Stud Systems Pty Limited ABN 85 102 973 811 and its related bodies corporate (as
that term is defined in the Corporations Act 2001) (Supplier) may, at any time,
unilaterally vary the terms of trade in its absolute and unfettered discretion.
Should the Applicant not pay for the building supplies (goods) or services supplied
by the Supplier in accordance with the credit terms as provided herein, or as agreed
in writing by the Supplier from time to time, the Supplier will be entitled to charge
an administration fee of
(a) 10 percent of the amount of the invoice payable; and
(b) a further 10 percent per annum payable per year; or part thereof, until payment
by the Applicant.

Prices quoted are firm for thirty (30) days from date of quotation.
The Application shall arrange and bear the costs of any delivery made ex Suppliers
store, including insurance and any other associated costs, unless otherwise agreed by
the Supplier.
Delivery

Any date or time quoted for delivery is an estimate only and the Supplier shall
endeavour to effect delivery at the time or times requested by the Application but
failure to do so shall not confer any right of cancellation or refusal of delivery on the
Applicant or render the Supplier liable for any loss or damages directly or indirectly
sustained by the Application as a result thereof.
The Applicant shall not be relieved of any obligation to accept or pay for products
by reason of any delay in delivery or any strike, lockout, unavailability of raw
materials, accidents to machinery, differences with workman, breakdowns,
shortages of supplier or labour, fires, floods, storms or tempest, transport delays,
acts of God, restriction or interventions imposed by any laws, regulations,
governments or agencies thereof and any other cause beyond the control of the
Supplier or any other cause whatsoever.
The Supplier‟s obligation to deliver, if any, shall be discharged on arrival of the
products at the Applicant‟s nominated delivery destination, nominated transport
company, nominated agent or the address appearing on the invoice. The Applicant
shall unload the products upon delivery, provided that if the Applicant is unable or
unwilling to accept physical delivery of the products when the products are ready
for delivery the Supplier shall be entitled to charge a fee for any delay experience or
arrange for storage of the products at the risk and cost of the Applicant including all
transportation, storage and other consequential costs.
The Supplier may at its discretion make and invoice partial deliveries and each
partial delivery shall be a separated sale pursuant to these Terms and Conditions of
Sale. The Supplier reserves the right to charge a handling fee for orders less than
$100.00 and if less than $500.00 for a reseller or where express freight or special
packaging required.

but any claim in this respect must be made in writing within seven
(7) days of the date of delivery of those products.
(ii) Should the Applicant seek indemnity from the Supplier in respect of any
claim by a consumer on the warranty implied by the Act in a contract for the
supply of products by the Applicant to that consumer, sub-paragraph (i) will
not apply and in respect of products that are of a kind ordinarily acquired for
personal, domestic or household use or consumption (“consumer goods”),
the Supplier liability is limited to indemnifying the Applicant in accordance
with the Act, limited to a liability to pay to the Applicant an amount equal to
the cost of replacing the products or the cost of obtaining equivalent
products or the cost of having the products repaired, whichever is the lesser
amount.
(b) Sales to Consumers
In the case of products supplied by the Supplier to a Applicant who is a
consumer, to the extent that the products are not consumer products or goods,
the liability of the Supplier to the Applicant for breach of any warranty or
condition (other than a warranty or condition implied by section 51 -53 of
the Act) or for breach of any duty of care shall in all cases be limited, at
the option of the Supplier to any one or more of the replacement of the
products or the supply of equivalent products, the repair of the products, the
payment of the cost of replacing the products or acquiring equivalent products
or the payment of the cost of having the product repaired.
(c) Except for those conditions and warranties implied by the Act or other sale
of products or consumer protection legislation which may not be excluded,
the Applicant agrees that:
(i) It has not relied on any inducement, representation or statement made by
or on behalf of the Supplier in purchasing the products and there are no
implied conditions or warranties herein and no collateral contracts in
connection herewith (except such as may be in writing and signed by a
duly authorised representative of the Supplier); and
(ii) This clause sets out the entire liability of the Supplier in respect of its
liability under the Act or otherwise in respect of liabilities to the
consumer for a breach of a condition or warranty with respect to the sale
of products or goods.
The applicant, or Customer as the case may be, releases and discharges the
Supplier from any claim arising out of or in connection with the installation
and/or finishing of the Supplier product supplied by the Supplier and indemnifies
and holds harmless the Supplier in respect of any such claim .
Any claim in connection with any act, default or omission (including any breach
of contract or breach of duty including, but not limited to, negligence) on the part of
the Supplier must be notified to the Supplier in accordance with clause 10
otherwise:
(a) the Supplier shall not be liable on the claim; and
(b) the Applicant or applicant, as the case may be, hereby releases and
indemnifies the Supplier in respect of any such claim.
The liability of the Supplier in respect of any claim notified under the preceding
clause shall be limited to the cost of the product supplied by the Supplier.
These terms do not exclude, restrict or modify the application of any provision of
any Commonwealth, State or Territorial law which, by law, cannot be excluded,
restricted or modified.
Inspection and claims
17.
10. The Applicant shall examine the products immediately after delivery and the
Supplier shall not be liable for any claims for misdelivery, shortage, defect
unless the Supplier receives details in writing within seven (7) days of the date
of delivery of the products and services.
Returns
Warranty
11. Subject to payment in full being made as defined in clauses 35 and 36, the
Supplier shall as a non manufacturer use its endeavours to pass on to the
Applicant the benefit of any warranties or guarantees it receives in respect of
products or parts thereof supplied to the Applicant provided the products or parts
thereof have been installed in accordance with the manufacturers‟
recommendations or specifications or relevant Australian Standards. Such
warranties or guarantees exclude liability for any special, consequential, direct or
indirect loss, damage harm or injury suffered as a result of any product defect to
the extent permitted by law and shall be restricted to any one or more of the
following:
(a) repair the defective goods free of charge or,
(b) replace the defective goods or part of those goods, or
(c) supply equivalent replacement goods, or
(d) credit the Applicant such amount as the manufacturer in its sole discretion
considers reasonable having regard to the price paid for the goods and the
use of the goods enjoyed by the Applicant.
Limitation of liability
12. These Terms do not exclude, restrict or modify the application of any provisions of
any Commonwealth, State or Territorial Law which by law cannot be excluded,
13. In no circumstances will the Supplier incur any liability in respect of or arising
out of or in connection with any special, consequential, direct or indirect loss,
damage, harm or injury suffered or incurred by the Applicant.
(a) Sale to Non-Consumers
(i) In the case of products supplied by the Supplier to a Applicant who is
not a “consumer” (as defined in the Competition Consumer Act 2010 as
amended from time to time (the Act)), if the products do not correspond
with the description of them on the invoice or are defective, then
provided that the products are preserved intact and made available for
inspection by a representative of the Supplier and are returned to the
Supplier in the same order and condition as that in which they were
delivered, the Supplier shall at its option:
(a) replace the goods or supply similar goods;
(b) repair the goods; or
(c) provide the cost for replacing the goods or for acquiring equivalent
goods.

18. Other than in respect of the Supplier‟s obligations pursuant to c lause 13 hereof,
t he S up p l ie r shall not be liable to accept any returned products but may in its
absolute discretion accept the return of products provided that such products
shall only be accepted for credit and with the prior written approval of a duly
authorised representative of the Supplier Products returned for credit pursuant to
this clause must be returned with packing slip and invoice and will be subject to a
handling and administration charge equivalent to fifteen percent (15%) of the
invoiced value of the returned products. Return freight and other expenses will be
paid for by the Applicant and no returns of non standard products will be
accepted.
Supply
19. The Supplier reserves the right to decline any order for products when the size of
the order or the requested delivery date inhibits or prejudices the Supplier‟s
ability to fulfil its contractual commitments to its franchisees, licensees or other
Applicants.
Advertising
20. The Applicant shall not advertise in any media the sale or disposal of products and
services purchased from the Supplier, without the written consent of a duly
authorised Representative of the Supplier. The Applicant shall indemnify and hold
indemnified the Supplier against any liability including any special, consequential,
direct or indirect loss, damage harm or injury suffered as a result of false,
misleading or deceptive advertising and untrue representation or statements made
to any person by the Applicant in the course of advertising. The Applicant
further warrants and acknowledges that it will not use any existing logo or brand
name of the Supplier or used by the Supplier or that similar to, or attempt to
register a trade mark or trade name or that similar to those of the Supplier without
the written consent of a duly authorised Representative of the Supplier.
Intellectual property
21. The Applicant shall indemnify and hold indemnified the Supplier against any
claim, suit, proceedings or demand made by a third party for loss, damage, suffered
whether directly or indirectly by infringement of its intellectual property rights.
Pallets and gluts
22. Unless otherwise stated, gluts, pallets and containers used to deliver products to
the Applicant, will remain the exclusive property of the Supplier and shall be
returned to the Supplier at the Applicant‟s expense within thirty (30) days of the
date of delivery. The Supplier reserves the right to invoice the Applicant for any
glut, pallet or container not returned by the due date.

Jurisdiction
23. The Applicant acknowledges and agrees that this agreement will be governed by the
laws of New South Wales, and the laws of the Commonwealth of Australia which
are in force in New South Wales.
24. The Applicant acknowledges and agrees that any contract for the supply of goods or
services between the Supplier and the Applicant is formed at the address of
the Supplier.
25. The parties to this agreement submit to the non-exclusive jurisdiction of the courts
of New South Wales and the relevant federal courts and courts competent to hear
appeals from those courts.
Security/charges
26. The Applicant charges in favour of the Supplier all of its estate and interest in any
real property that the Applicant owns at present and in the future with the amount of
its indebtedness hereunder until discharged.
27. The Applicant charges in favour of the Supplier all of its estate and interest in any
personal property that the Applicant owns at present and in the future with the
amount of its indebtedness hereunder until discharged.
28. The Applicant appoints as its duly constituted attorney the Supplier's company
secretary from time to time to execute in the Applicant's name and as the Applicant's
act and deed any real property mortgage, bill of sale or consent to any caveat the
Supplier may choose to lodge against real property that the Applicant may own in
any Land Titles Office in any state or territory of Australia, even though the
Applicant may not have defaulted in carrying out its obligations hereunder.
29. Where the Applicant has previously entered into an agreement with the Supplier by
which the Applicant has granted a charge, mortgage or other security over real or
personal property, those charges, mortgages or other security interests will continue
and co-exist with the obligations and security interests created in this agreement.
The Supplier may, at its election, vary the terms of such previous charges,
mortgages or other securities to reflect the terms herein.
Purpose of credit
30. The Applicant acknowledges and agrees that the credit to be provided to the
Applicant by the Supplier is to be applied wholly or predominantly for commercial
purposes.
Formation of contract
31. Quotations made by the Supplier will not be construed as an offer or obligation to
supply in accordance with the quotation. The Supplier reserves the right to accept
or reject, at its discretion, any offer to purchase received by it.
32. Placement of an order, either verbally or in writing, will constitute an offer to
purchase by the Applicant and will imply acceptance of these terms and conditions.
33. The Applicant‟s indebtedness to the Supplier, whether in full or in part, will not be
discharged by the operation of clause 37 hereof unless and until the funds held on
trust are remitted to the Supplier.
34. If the Applicant cancels or alters any order for products after the Supplier has
received the order then the Supplier reserves the right to charge to the Applicant the
additional costs incurred in cancelling or altering any order or part order together
with the costs of any labour and handling to the date of such cancellation or
alterations.
43. The Applicant agrees that where the goods have been retaken into the possession of
the Supplier, the Supplier has the absolute right to sell or deal with the goods, and if
necessary, sell the goods with the trademark or name of the Applicant on those
goods, and the Applicant hereby grants an irrevocable licence to the Supplier to do
all things necessary to sell the goods bearing the name or trademark of
the Applicant.
44. The Applicant will be responsible for the Supplier‟s costs and expenses in
exercising its rights under clause 41. Where the Supplier exercises any power to
enter the premises, that entry will not give rise to any action of trespass or similar
action on the part of the Applicant against the Supplier, its employees, servants or
agents.
45. For the avoidance of doubt, the Supplier‟s interest constitutes a „purchase money
security interest‟ pursuant to the Personal Property Securities Act 2009.
Cancellation of terms of credit
46. The Supplier reserves the right to withdraw credit at any time, whether the
Applicant is in default under the terms of this agreement or not.
47. Upon cancellation with or without notice all liabilities incurred by the Applicant
become immediately due and payable to the Supplier.
Indemnity
48. The Applicant agrees to indemnify the Supplier and keep the Supplier indemnified
against any claim. This indemnity includes any legal fees and expenses the Supplier
incurs in order to enforce its rights, on an indemnity basis.
Provision of further information
49. The Applicant undertakes to comply with any request by the Supplier to provide
further information for the purpose of assessing the Applicant‟s creditworthiness,
including an updated credit application.
50. If the Applicant is a corporation (with the exception of a public listed company), it
must advise the Supplier of any alteration to its corporate structure (for example, by
changing directors, shareholders, or its constitution). In the case of a change of
directors or shareholders the Supplier may ask for new guarantors to sign a
guarantee and indemnity.
Corporations
51. If the Applicant is a corporation, the Applicant warrants that all of its directors have
signed this agreement and that all of its directors will enter into a guarantee and
indemnity with the Supplier in relation to the Applicant's obligations to the Supplier.
Trustee capacity
52. If the Applicant is the trustee of a trust (whether disclosed to the Supplier or not),
the Applicant warrants to the Supplier that:
(a) the Applicant enters into this agreement in both its capacity as trustee and in its
personal capacity;
(b) the Applicant has the right to be indemnified out of trust assets;
(c) the Applicant has the power under the trust deed to sign this agreement; and
(d) the Applicant will not retire as trustee of the trust or appoint any new or
additional trustee without advising the Supplier.
53. The Applicant must give the Supplier a copy of the trust deed upon request.
Retention of title
Partnership
35. Whilst the Applicant has not paid for the goods supplied in full at any time, the
Applicant agrees that property and title in the goods will not pass to the Applicant
and the Supplier retains the legal and equitable title in those goods supplied and not
yet sold.
36. Until payment in full has been made to the Supplier, the Applicant will hold the
goods in a fiduciary capacity for the Supplier and agrees to store the goods in such a
manner that they can be identified as the property of the Supplier, and will not mix
the goods with other similar goods.
37. The Applicant will be entitled to sell the goods in the ordinary course of its
business, but until full payment for the goods has been made to the Supplier, the
Applicant will sell as agent and bailee for the Supplier and the proceeds of sale of
the goods will be held by the Applicant on trust for the Supplier absolutely.
38. The right to on-sell, deal or otherwise disposed of the Supplier‟s goods in the
normal course of trade may be revoked at any time and shall automatically cease if a
receiver is appointed over any of the assets or the undertaking of the Applicant or if
a winding up order is made against the Applicant or if the Applicant goes into
voluntary administration or liquidation (otherwise than for the purpose of
reconstruction or amalgamation) or calls a meeting of creditors or makes any
arrangements or composition or commits any act of bankruptcy or where the
Applicant is in default of any of its obligations to the Supplier.
39. The Supplier licences the Applicant to sell goods and to sell goods manufactured
using products of the Supplier. If the goods are affixed to other material, the totality
thereof shall be the sole and exclusive property of the Supplier until payment as
defined in clause 1 has been made in full to the Supplier, unless the other material or
part thereof are or is the property of a party or parties other than the Applicant in
which case the totality thereof shall be deemed to be owned as tenants in common
with such other party other than the Applicant in shares corresponding to the
respective amounts paid or payable by the Applicant is respect of such other party or
parties.
40. The Applicant‟s indebtedness to the Supplier, whether in full or in part, will not be
discharged by the operation of clause 37 hereof unless and until the funds held on
trust are remitted to the Supplier.
41. The Applicant agrees that whilst property and title in the goods remains with the
Supplier, the Supplier has the right, with or without prior notice to the Applicant, to
enter upon any premises occupied by the Applicant (or any receiver, receiver and
manager, administrator, liquidator or trustee in bankruptcy of the Applicant) to
inspect the goods of the Supplier and to repossess the goods which may be in the
Applicant‟s possession, custody or control when payment is overdue.
42. The Applicant will be responsible for the Supplier‟s costs and expenses in
exercising its rights under clause 41. Where the Supplier exercises any power to
enter the premises, that entry will not give rise to any action of trespass or similar
action on the part of the Applicant against the Supplier, its employees, servants or
agents.
54. If the Applicant enters into this agreement as partners, the Applicant warrants that
all of the partners have signed this agreement and that all of the partners will enter
into a guarantee and indemnity with the Supplier in relation to the Applicant's
obligations to the Supplier.
55. If the Applicant is a partnership, it must not alter its partnership (for example,
adding or removing partners or altering its partnership agreement) without advising
the Supplier. In the case of a change of partners, the Supplier may ask for new
guarantors to sign a guarantee and indemnity.

Insolvency
56. If the Applicant becomes insolvent, the Applicant remains liable under this
agreement for payment of all liabilities incurred hereunder. The Applicant remains
liable under this agreement even if the Supplier receives a dividend or payment as a
result of the Applicant being insolvent.
Waiver
57. A waiver of any provision or breach of this agreement by the Supplier must be made
by an authorised officer of the Supplier in writing. A waiver of any provision or
breach of this agreement by the Applicant must be made by the Applicant's
authorised officer in writing.
58. Until ownership of the goods passes, the Applicant waives its rights it would
otherwise have under the PPSA:
(a) under section 95 to receive notice of intention to remove an accession;
(b) under section 118 to receive notice that the Supplier intends to enforce its
security interest in accordance with land law;
(c) under section 121(4) to receive a notice of enforcement action against liquid
assets;
(d) under section 129 to receive a notice of disposal of goods by the Supplier
purchasing the goods;
(e) under section 130 to receive a notice to dispose of goods;
(f) under section 132(2) to receive a statement of account following disposal of
goods;
(g) under section 132(4) to receive a statement of account if no disposal of goods
for each 6 month period;
(h) under section 135 to receive notice of any proposal of the Supplier to retain
goods;
(i) under section 137(2) to object to any proposal of the Supplier to retain or
dispose of goods;
(j) under section 142 to redeem the goods;
(k) under section 143 to reinstate the security agreement; and
(j) under section 157(1) and 157(3) to receive a notice of any verification
statement.

Costs
59. The Applicant must pay for its own legal, accounting and business costs and all
costs incurred by the Supplier relating to any default by the Applicant. The
Applicant must also pay for all stamp duty and other taxes payable on this
agreement (if any).
60. The Applicant will pay the Supplier‟s costs and disbursements incurred in pursuing
any recovery action, or any other claim or remedy, against the Applicant, including
debt recovery fees and legal costs on an indemnity basis. Such costs and
disbursements will be due and payable by the Applicant to the Supplier irrespective
of whether pursuit of the recovery action, claim or remedy is successful.
61. The Applicant acknowledges and agrees that payments by the Applicant will be
applied by the Supplier as follows.
(a) Firstly, in payment of any and all collection costs and legal costs in accordance
with clauses 41 and 60.
(b) Secondly, in payment of any interest incurred in accordance with clause 64.
(c) Thirdly, in payment of the outstanding invoice(s).
Taxes and duty
62. The Applicant must pay GST on any taxable supply made by the Supplier to the
Applicant under this agreement. The payment of GST is in addition to any other
consideration payable by the Applicant for a taxable supply.
63. If as a result of:
(a) any legislation becoming applicable to the subject matter of this agreement; or
(b) any changes in legislation or its interpretation by a court of competent
jurisdiction or by any authority charged with its administration;
the Supplier becomes liable to pay any tax, duty, excise or levy in respect
of the amounts received from the Applicant, then the Applicant must pay
the Supplier these additional amounts on demand.
Interest rates
64. The interest rate on any outstanding debts is a fixed rate of 15 percent per annum.
Set-off
65. All payments required to be made by the Applicant under this agreement will be
made free of any set-off, or counterclaim and without deduction or withholding.
66. Any amount due to the Supplier from time to time may be deducted from any
monies which may be or may become payable to the Applicant by the Supplier.
Electronic and other communications
67. (a) The Applicant agrees to accept service of notices, statutory notices and Court
documents via email in addition to any and all other valid forms of service.
(b) In addition to delivery in person, via post and via facsimile, the Applicant
agrees to have invoices sent by email.
(c) The Applicant agrees that email communications from the Supplier to the
Applicant constitute an “electronic communication” within the meaning of
the Electronic Transactions Act 2000 (NSW).
(d) The Applicant agrees that in agreeing to receive invoices by email, and the
service of notices, statutory notices and Court documents via email, the
Applicant is in both instances designating “an information system for the
purpose of receiving electronic communications” within the meaning of the
Electronic Transactions Act 2000 (NSW).
(e) The Applicant agrees that evidence of the “despatch” (within the meaning of
the Electronic Transactions Act 2000 (NSW)) by the Supplier of an email is
also prima facie evidence of the “receipt” of the email by the Applicant within
the meaning of the Act. Unless the contrary is proven the time of receipt will
be deemed to be twenty (20) seconds after the time of the “despatch” of the
email.
Miscellaneous
68. The Supplier is not liable for any loss caused to the Applicant by reason of strikes,
lockouts, fires, riots, war, embargoes, civil commotions, acts of God or any other
activity beyond the Supplier's control.
69. In relation to the supply of goods, the Supplier‟s liability is limited to:
(a) replacing the goods or supplying similar goods;
(b) repairing the goods;
(c) providing the cost for replacing the goods or for acquiring equivalent goods;
and
(d) providing the cost for having the goods repaired.
70. In relation to the supply of services, the Supplier‟s liability is limited to:
(a) supplying the service again; or

(b) providing for the cost of having the services supplied again.
71. The Supplier is not liable, whether claims are made or not, for loss of profit,
economic or financial loss, damages, consequential loss, loss of opportunity or
benefit, loss of a right or any other indirect loss suffered by the Applicant.
72. The Applicant will, at the request of the Supplier, execute documents and do such
further acts as may be required for the Supplier to register the security interest
granted by the Applicant under the PPSA.
73. The Applicant agrees to accept service of any document required to be served,
including any notice under this agreement or the PPSA or any originating process,
by prepaid post at any address nominated in this application or any other address
later notified to the Supplier by the Applicant or the Applicant‟s authorised
representative.
74. The Applicant further agrees that where we have rights in addition to those under
part 4 of the PPSA, those rights will continue to apply.
75. The Applicant irrevocably grants to the Supplier the right to enter upon the
Applicant‟s property or premises, without notice, and without being in any way
liable to the Applicant or to any third party, of the Supplier has cause to exercise any
of their rights under sections 123 and/or 128 of the PPSA, and the Applicant shall
indemnify the Supplier from any claims made by any third party as a result of such
exercise.
76. Nothing in this agreement shall be read or applied so as to purport to exclude,
restrict or modify or have the effect of excluding, restricting or modifying the
application in relation to the supply of any goods and/or services pursuant to this
agreement of all or any of the provisions the Competition and Consumer Act 2010
or any relevant State or Federal Legislation which by law cannot be excluded,
77. The Supplier shall not be liable for any failure or delay to supply or deliver the
goods where such failure or delay is wholly or partly due to cause or circumstances
whatsoever outside the reasonable control of the Supplier including, but not limited
to, war, strikes, lockouts, industrial disputes or unrest, government restrictions or
intervention, transport delays, fire, act of God, breakdown of plant, shortage of
supplies or labour, storm or tempest, theft, vandalism, riots, civil commotions or
accidents of any kind.
Severance
78. If any provision of this agreement is not enforceable in accordance with its terms,
other provisions which are self-sustaining are, and continue to be, enforceable in
accordance with their terms.
79. If any part of this agreement is invalid or unenforceable, that part is deleted and the
remainder of the agreement remains effective.
Variation
80. The Applicant agrees that these terms and conditions may be varied, added to, or
amended by an authorised officer of the Supplier at any time by written notice to
the Applicant.
81. Any proposed variation to these terms and conditions by the Applicant must be
requested in writing. The Supplier may refuse any such request without providing
reasons either orally or in writing.
Consent to register
82. The Applicant hereby consents to the Supplier recording the details of this
Agreement on the Personal Property Securities Register and agrees to do all things
necessary and reasonably required by the Supplier to effect such registration.
83. The Applicant waives any right or entitlement to receive notice of the registration of
any security interest(s) created by this instrument on the Personal Property
Securities Register.
Entire agreement
84. This agreement constitutes the entire agreement between the parties relating in any
way to its subject matter. Subject to clause 29 all previous negotiations,
understandings, representations, warranties, memoranda or commitments about the
subject matter of this agreement are merged in this agreement and are of no further
effect. No oral explanation or information provided by a party to another affects the
meaning or interpretation of this agreement or constitutes any collateral agreement,
warranty or understanding.
Privacy Act
85. The Applicant agrees to the terms of the Privacy Act 1988 authorisation contained in
this document.
