It has a history of more than 80 years devoted to construction. An extensive career with countless actions, covering all branches of construction. The projects we have selected are those that we consider the most relevant due to their technical complexity, the human effort they have required or because they have been developed in recent years. All of these projects have led to the growth of a Group that has based its career on efficient work, trust in people and prudent financial management. Remembering this career path makes us remember at this time of change in the economic cycle that the experience we have accumulated increases in value and the key to this lies in people, in their needs and in how to resolve them. Diversification in lines of business and geographical areas are the hallmarks of our strategic plan. 2011 represented another step forwards in its completion. Construction has given way to other ways of working and doing business. At present, besides building, Grupo Moyua also carries out property developments, operates administrative concessions and provides road maintenance services. Concession is a business area in expansion in the Group. Its turnover increased by 49.75% in 2011, to reach 12,820 thousand/€. The economic crisis has forced the public part to collaborate with the private part when tackling the new infrastructures. One year ago, Grupo Moyua decided to expand its activity to other countries and it now has a portfolio of construction works in Brazil, Colombia, Peru and Romania. Property development and the services area have also been evolving towards external markets. The challenge for the future is to continue working with hope and Group spirit in a combined and coordinated way, growing in our business areas and extending the field of action in a prudent and selective way in order to ensure that 50% of Grupo Moyua’s income comes from activities other than construction. / Aitor Abaunz Ayastuy President. /6 /7 / GROUP BACKGROUND COMPANIES 10_13 14_15 RELEVANT DATA. ECONOMIC REPORT /8 16_17 /9 Ba ck gr ou nd GRUPO MOYUA DATES BACK TO 1927, WHEN THE COMPANY “CONSTRUCCIONES CARLOS MOYUA” WAS ESTABLISHED. It was from that moment that the Company extended its field of action to the area of influence of the provincial capital of Gipuzkoa, where it moved its headquarters in 1973 and gradually extended to other areas of the Basque Country and Navarre, when it began to experience significant growth in its activities by taking on new larger scale projects with greater technical complexity. / 10 / 11 Grupo Moyua / Background In 1977, Construcciones Moyua began the construction of the first Hypermarket in the Basque Country (Mamut Shopping Centre in Oiartzun). Since then, large companies in the sector, such as Eroski and Carrefour, continue to collaborate with Moyua for the construction of their shopping centres. In 1983, Gipuzkoa Regional Council awarded Moyua the construction of the road from Oñati to the Aranzazu Sanctuary. This was the first important road construction project for a construction company that has played a part in the construction of the main road infrastructures of the last decade in the Basque Country, such as the “Navarre Dual carriageway”, the “Vitoria/Gasteiz – Eibar Motorway” and the “Second Donostia/San Sebastián ring-road”. The desire to create a property development company to complement the construction company in carrying out its own projects, took shape in 1988 when Larrain, S.A was established. The property area took on more importance in the mid 1990’s and maintained a high level of activity in the country’s decade of economic growth. At the beginning of the 21st century the diversification was now a reality that required commercial and organisational restructuring. For this reason, in 2005 the commercial company “Grupo Moyua Development, S.L.” was established. Larrain SAB / Established in 1988, its activity focuses on property development and urban management. It has developed more than 500 homes to date. / Company located in Bizkaia, offering services based on the hire, repair and sale of auxiliary machinery for construction. Orsa Activa / This construction company’s main activity focuses on public works, and it is one of the most qualified companies in the sector, providing services for the production and laying of asphalt road surfaces and concrete structures and the laying of stabilised road surfaces. / Company established in 2010 with the purpose of carrying out the internationalisation of Grupo Moyua. It is present in Latin America (Brazil, Peru and Colombia) and covers construction in civil works and building. Moyua inmobiliaria Colombia VN ARGELIA / Colombian company established by Larrain, S.L. as the sole shareholder. It is located in Bogotá and its corporate purpose is the development of property projects in Colombia. / Construction company located in Algiers, for the execution of all kinds of public and private works in Algeria. / 15 Ec on om ic Da ta / 2011 has been a particularly difficult year for the Construction Sector in the Spanish market. The public tender has continued its downward turn due to the need to reduce the deficit of the Public Administrations. This circumstance has been compensated in Grupo Moyua thanks to its Strategic Plan, marked by diversification in Lines of business and Geographical areas. The turnover for the Concessions Area business has grown this year by around 50% thanks to the completion of the construction / TURNOVER The Services Area maintains its turnover throughout the year, both at national and international level. Our work has a clear impact on social development and the environment, which is why we have identified the needs of all of our company’s Groups of Interest: Clients, Society, Workers, Shareholders, Partners… / For more than 10 years, Grupo Moyua has made a clear commitment to safety by employing experts in Occupational Risk Prevention (ORP) dedicated exclusively to this area. This has allowed us to tackle the Health and Safety problems of our activities in a direct, technical and professional way. Moyua is a member of Spain Green Building Council, an association that develops the LEED model, and is a member of the IHOBE Eco-Efficiency in the Basque Company Programme 2010-2014, applying the Sustainable Building and Development Guides published by this body. As a result, Grupo Moyua has its own Prevention System that establishes all of the responsibilities, protocols for action and material and human resources to ensure that safety is guaranteed in all the activities we perform. In order to guarantee that this commitment is carried out efficiently, in our internal and our external relations, we have defined a series of principals that constitute our Environmental Policy. Similarly, Grupo the Spanish Standardisation and Certification Association AENOR has certified, using the OHSAS 18001:2007 “Occupational Health and Safety Management Systems” standard, the ORP systems of our companies. This standard is voluntary and complements the statutory certification of our ORP systems required by law. In addition, our Occupational Risk Prevention systems have been integrated with the Quality and Environment Systems and are audited annually together with AENOR. This project would set the future path for Construcciones Moyua, making it the outright leader among the companies created and developed in the Basque Country in the construction of marine works. Indeed, Construcciones Moyua has been a pioneer in Euskadi and at international level in dike construction with stone blocks, which started to be built in our region in the 1960’s, from / 58 the intensive collaboration between the well-known Civil Engineer, Ramón Iribarren, and the Founder of Construcciones Moyua, Pedro Zubiaguirre, adapting the aggressive Cantabria coastline and adjusting it to make the relationship between the coastal towns and the sea possible.
