1256 West Chandler Boulevard Suite E Chandler, Arizona 85224 Telephone: 480-707-7444 E-Mail: [email protected] Mission Statement and Purpose Freedom Communities is an Arizona limited liability company whose purpose is to acquire, plan, and construct subdivision improvements for residential and mixed-use master planned projects in metropolitan Phoenix, Arizona. Freedom Communities follows strict underwriting guidelines for the projects that it selects based on the acquisition power of the end consumer. Never will artificial financing or underwriting practices be used nor will consideration be given where end consumer demographics fall short of what is needed to make a project work. Principal Background Brent Hickey – Brent grew up in and still resides in Chandler, Arizona, a rural suburb of Phoenix. At an early age he learned all aspects of construction by working for his father’s construction company, Central Construction. Before graduating high school, he had worked on a crew hanging and taping drywall, pulled electrical wire, worked on a roofing crew for both residential and commercial buildings, as well as operated heavy equipment on construction sites. During his freshman and sophomore years, Brent attended Point Loma Nazarene College in San Diego, California during which he received an academic scholarship and was named the outstanding business student of his class both years. Brent graduated from Arizona State University in 1988 with a Bachelor of Science degree in finance with an emphasis on real estate. He was awarded the American Southwest Financial Services Award for Academic Achievement in Real Estate Finance. While attending ASU, Brent received his real estate sales person license for the State of Arizona, and later his real estate broker’s license. Principal Project Overview - Page 2 of 28 From 1989 through 1991, Brent managed and sold real estate assets for Meracor Development, MeraBank Texas, and AMRESCO, a subsidiary of Nations Bank. Brent was responsible for residential land for development and multifamily apartment projects in Arizona, Dallas, Houston and Austin, Texas, Oklahoma, Southern Colorado, and Las Vegas, Nevada. The total portfolio value based on the disposition values was in excess of $85,000,000. In 1992 Brent was influential in the formation of Phoenix Holdings, a residential land development company that acquired, entitled, and/or developed finished lots for homebuilders. Brent acted in the capacity of President and Chief Operating Officer and in those capacities was responsible for daily operations, project acquisition, securing entitlements, structuring of entities, project financing (acquisition and improvements), infrastructure construction, and eventual project disposition. At Phoenix Holdings, Brent was instrumental in the creation and implementation of Portfolio Debt investment structures that allowed foreign investors to invest in Arizona real estate without paying income tax. Brent has structured acquisitions and investments for investors residing in the United Kingdom, Ireland, Germany, British Virgin Islands, Bahamas, Liechtenstein, Liberia, Mexico, and Panama. Brent has not only master planned and zoned land for the State of Arizona; Brent has also acted on a mediation panel to resolve disputes between the City of Phoenix and the Arizona State Land Department. In all, Brent has entitled and/or developed communities or subdivisions comprising over 15,800 acres and over 41,000 residential units and supporting commercial uses. Gary Lane - Gary grew up in London, England and was interested in design, architecture and real estate at an early age. After graduating high school Gary worked for Healey and Baker in their planning and development department working on such projects as “the docklands”. During his time at Arizona State University, Gary worked with the Town of Gilbert, City of Phoenix, the City of Avondale, Gruen Associates, and Design Workshop. Gary graduated from Arizona State University with a Principal Project Overview - Page 3 of 28 Bachelor of Science degree in Planning and Urban Design with an emphasis on development. From 1992 until 1998 Gary worked in the municipal planning departments of the City’s of Avondale and Goodyear. Gary’s position as Senior Planner/Planning Manager allowed him to be in direct contact with many different development companies who wanted to zone, plat or build in the cities. Gary managed many different entitlement cases resulting in many thousands of lots, and commercial/industrial acres being built. During this time Gary received his national planning certification from the American Institute of Certified Planners (AICP). He still holds this today. In 1998 Gary joined Recorp Inc., a residential land development company that acquired, entitled, and/or developed finished lots for homebuilders. Gary acted in the capacity as Senior Project Manager and later VicePresident, and in those capacities was responsible for land acquisition, securing entitlements and municipal reimbursements, daily operations, infrastructure construction and eventual project disposition. At Recorp Inc, Gary was instrumental in the creation of 5 large master plan communities of over 3000 acres each. Financed primarily by the President and CEO of the company, Gary designed and implemented cutting edge land use designs that embraced the “green community concept” before its time. Gary designed entitled and engineered property in Phoenix, AZ, Scottsdale, AZ, Goodyear AZ, Albuquerque, New Mexico, Fort Worth, Texas, Denton, Texas and Terrell, Texas. As well as acquiring, planning and zoning property Gary has been invited by the Urban Land Institute and the University of California Los Angeles to speak on many issues dealing with municipalities and receiving reimbursements for development. In all Gary has entitled and/or developed communities comprising of over 25,000 acres and or over 75,000 residential units and supporting commercial uses. Principal Project Overview - Page 4 of 28 PRINCIPAL PROJECT OVERVIEW AGUA CALIENTE Agua Caliente is a 40 acre mixed use project located at 70th Street and Shea Boulevard in Scottsdale, Arizona. Part of the project was rezoned to accommodate a 324 unit multi family project, while the rest of the project was sold to restaurant, retail, medical, and other office users. THE ESTATES AT ALTA MESA The Estates at Alta Mesa is an 18.6-acre parcel that was engineered and developed into 36 estate home-sites averaging 19,500 square feet. The home-sites are part of the 913acre master planned community known as Alta Mesa, which also includes an 18-hole championship golf course. Twenty of the 36 home sites are located on the golf course. The home sites were sold as individual custom lots. Principal Project Overview - Page 5 of 28 ARIZONA STATE LAND DEPARTMENT 620 ACRES This property was planned and rezoned for the State of Arizona to include 1,282 residential lots and 43.9 acres of commercial land. This property is located just east of Foothills Reserve, and adjacent to and west of The Foothills in the popular South Mountain market area. With a dwindling supply of lots in this area, the State Land 620acre property is well positioned to capture the extremely strong demand for housing in this area. BENT TREE DESERT ESTATES Bent Tree Desert Estates set a precedent for exclusive lifestyle living outside of the traditional master planned community by providing one-half to full-acre homesites in the natural setting of the Sonoran desert. This property was platted and improved into 72 exclusive lots. It continues to be used as a baseline by area developers due to the unique desert location and maximum use of living space in each homesite. This project exceeded the anticipated sellout date by nine months, with homesite sales ranging from $235,000 to $265,000. Principal Project Overview - Page 6 of 28 CHALET, SEDONA Serenity on Oak Creek (the “Chalet”) is a charming, rustic Alpine-style chalet sitting on the banks of Oak Creek just north of spectacular Sedona, Arizona. The Chalet includes over 3,200 square feet of living space, plus an 800 square foot guesthouse and a detached exercise room. The Chalet was sold as an interval ownership property. DESERT WIND The 80-acre site known as Desert Wind was acquired in January 1994. Located in the north Phoenix planning area, Desert Wind was platted for two distinct and noncompeting product types. The subdivision, at 52nd Street and Lone Mountain Road, is set amidst the natural vegetation of the Sonoran desert with home-sites ranging from 6,800 to 7,700 square feet and 6,200 to 10,800 square feet. Lined with arroyos and hundreds of native saguaro cacti and desert vegetation, the project was slated to maximize the amount of undisturbed open desert area. In April 1996 the subject was purchased as platted and engineered lots by Richmond American Homes. Principal Project Overview - Page 7 of 28 DREAM CREEK Dream Creek is a 30 acre residential subdivision located at 16th Street and just south of Bell Road in Phoenix, Arizona. The subdivision was improved into 136 lots and sold to Pulte Homes. THE ESTATES AT PALOS VERDES Located at 60th Street and Dynamite Blvd. in the popular north Phoenix market, the 80acre Estates at Palos Verdes project was zoned, platted and engineered, and improved to accommodate 75 luxury single-family home sites. Each homesite was carefully situated among thick stands of saguaro cacti, as well as mesquite and palo verde trees, providing the homebuyer with a beautiful homesite with abundant natural open space surrounding each home. The homesites ranged from 18,700 to 25,745 square feet. Jackson Properties purchased The Estates at Palos Verdes. Principal Project Overview - Page 8 of 28 FOOTHILLS RESERVE This 320-acre property is located one mile west of The Foothills in the pristine desert next to the South Mountain Regional Park. Plans called for approximately 625 home sites on four parcels. Built on the slopes of South Mountain, Foothills Reserve features abundant views of the Estrella Mountains to the south. All parcels were sold to Woodside Homes. LA PLACE and VISTA DEL CAMELLO La Place and Vista Del Camello are two exclusive subdivisions located at the northeast corner of Lincoln Drive and Invergordon Road. The subdivisions are positioned over an in-fill site in the exclusive, upscale town of Paradise Valley, where lot sizes a minimum of one acre. A custom residence was built and sold in both La Place and Vista Del Camello for in excess of $3,000,000 each. The surrounding neighborhood consists of custom style luxury homes ranging in size from 5,000 to 8,000 square feet and price ranges from $1 million to $5 million. LOMACASI ON OAK CREEK Lomacasi on Oak Creek is an 8.8 acre project located on the banks of Oak Creek in Sedona, Arizona. The project has over 1,100 lineal feet of Oak Creek frontage and is zoned to accommodate 189,000 square feet of retail, commercial, and day spa uses. Principal Project Overview - Page 9 of 28 There is a Creekwalk planned with stations for 35 different artists to demonstrate their talent outdoors. In addition, there will be strolling performers to provide entertainment along the banks of Oak Creek. LOS ABRIGADOS Los Abrigados is an exclusive gated 68-home community located at the southwest corner of 84th Street and Indian Bend Road in Scottsdale. Los Abrigados (“The Shelters”) was one of the last remaining in-fill sites available in this highly sought-after area. The 14-acre project was purchased in February 1993 and subsequently platted, engineered, lot improvements constructed, and homes built on the 68 homesites. Five floor plans ranging from 1,770 to 3,080 square feet were offered, priced from $214,000 to $305,000. The gated community has a lush common area pool with cabana, barbecue areas and beautiful landscaping. Los Abrigados is located close to all the major Scottsdale shopping areas. Principal Project Overview - Page 10 of 28 LOS PORTONES This project is located in the exclusive northeast Scottsdale submarket at Pinnacle Peak and Scottsdale Road. The 50-acre parcel was zoned, engineered, and platted for 133 homesites and then sold to Pulte Homes, who built new homes ranging in price from $105,000 to $132,000. MAJESTIC HILLS Majestic Hills was integrated into the planned community known as Moonridge Golf Estates, located at Roberts Road and Pointe Golf Club Drive. The 14+ acre site was acquired in November 1994, and was zoned and platted for 68 50’x110’ (5,500 square feet) home sites. This location was recognized as a prime residential development as it was one of the few remaining in-fill sites in the metro Phoenix area. Home sites have been terraced in order to maximize the view potential and create a unique community characteristic. Serenely placed at the based of the Phoenix Mountain Preserve, picturesque views of Moon Valley and the surrounding Phoenix Mountains are abundant. Majestic Hills was the last residential parcel within Moonridge Golf Estates to be sold. Trimark Homes purchased the project with all on-sites in 1995. Trimark opened their first model in March of 1996. Principal Project Overview - Page 11 of 28 MOONRIDGE GOLF ESTATES This project is one of the few remaining in-fill sites located in the metro Phoenix area. It was purchased in November 1993 through the Arizona State Land Auction. The Phoenix Mountain Preserve serves as this 162-acre project’s boundary providing breathtaking views of the rugged terrain and spectacular slopes. The project was developed into 325 home sites and six platted parcels after zoning approval was gained. The entire infrastructure in the project was completed and parcels were sold to Blandford Homes, Cresleigh Homes, Cavan Investments, and RS Homes. Custom lots of 18,000 square feet were also developed. Five of the eighteen holes of the exclusive Point Resort Golf Club run throughout Moonridge providing fairway home-sites. Principal Project Overview - Page 12 of 28 OASIS AT ANOZIRA Oasis at Anozira is a 160 acre project located at McClintock Road and Elliot Road in Tempe, Arizona. Originally developed as a high tech commercial park, it was rezoned for a 500 lot residential community. The project was sold to Westcor Development. PASEO PARK Paseo Park is a 167 acre project that was zoned, platted, and engineered in the City of Coolidge, Arizona. It will accommodate 600 homes with 5 acres of commercial uses. The project is being joint ventured with Woodside Homes. THE PROVINCES The Provinces is located on Ray Road between McQueen Road and Cooper Road in Chandler, Arizona. Four model homes originally build by Roadrunner Homes were acquired, restored, and resold. Principal Project Overview - Page 13 of 28 ROSEVIEW This 320-acre property is located at the southwest corner of Dysart and Greenway Road in the fast-growing city of Surprise. Roseview was acquired, platted, and engineered for 1,340 homesites ranging in size from 45 foot to 65 foot wide home sites. Lennar Homes purchased 400 platted homesites in October 1997 and began construction of homes on 48x100, 58x110 and 63x110 lots. Woodside Homes purchased 940 platted homesites in June 1998 and started construction of homes on 45x100, 50x110, and 53x110 lots. SEDONA HEIGHTS, SEDONA Sedona Heights is a 16 residential lot community located on Soldier Pass Road in majestic Sedona, Arizona. The property contains thick stands of juniper and conifer trees which provide a spectacular setting. The lots were developed so that the views of the famous Red Rocks are uninterrupted by neighboring homes. Principal Project Overview - Page 14 of 28 STONERIDGE EAST, UNITS 1 & 2 Stoneridge is located at McKellips Road and the Sossaman Road alignment in Mesa. Unit 1 consisted of 25+ acres, which were platted, engineered and improved for 83 homesites. Ryland Homes purchased the fully improved lots on a rolling option and Unit 1 was sold out three months ahead of schedule. Unit 2 consisted of 23+ acres that was platted, engineered, and improved to accommodate 69 homesites. Ryland Homes purchased 63 of the homesites on a rolling option. The remaining six homesites were sold as custom lots to a local custom builder. Unit 2 shared the success of Unit 1 and was sold out six months ahead of schedule. SUNRISE AT PALM VALLEY Sunrise at Palm Valley is a 93-acre property located at the northwest corner of Indian School Road and Litchfield Road in Litchfield Park. The property was planned to offer homebuyers affordable housing in an area of higher end homes with existing schools and shopping nearby. The property was platted and engineered for 397 lots, with lot widths of 45, 55 and 65 feet. In October 1998 the property was sold to Fulton Homes. SUN VALLEY Sun Valley is a planned 13,282-acre self-sustaining, mixed-use master planned community located in Buckeye, AZ, a western suburb of Phoenix and can accommodate 34,196 homes with approximately 1,500 acres of commercial and business park uses. The White Tank Mountain Regional Park lies to the east and the Hasayampa River to the west. The property is pristine desert, with arroyos, washes, and lush natural vegetation. Principal Project Overview - Page 15 of 28 The underground water supply is unique in that it does not raise the same concerns regarding contamination from pesticides and industrial waste as many other underground sources in the Phoenix area. The project benefits from the prevailing westerly wind patterns and natural pollution barrier of the White Tank Mountain Range. Sun Valley is located directly in the path of growth, as evidenced by the explosive home construction boom along Bell Road in Surprise, AZ and incorporated Maricopa County, less than fifteen minutes to the east. The Sun Valley Parkway provides easy ingress and egress through a six-lane, median-separated thoroughfare over 28 miles long. The Parkway extends from Bell Road on the north to Interstate 10 on the south. It serves as a link to the amenities of the metro Phoenix area as well as the adjoining suburbs. TEMPE LEGACY Tempe Legacy, 23 acres on 56th Street, just South of Warner Road in Tempe, was acquired in December 1992. The project was rezoned from an industrial classification to single-family residential and engineered for 158 single-family units. The property was sold to Continental Homes as a fully engineered and approved single-family residential community. Continental sold homes ranging from $95,000 to $133,000. Principal Project Overview - Page 16 of 28 TOWNE MEADOWS This 62+-acre parcel purchased in November 1992 is located at the northeast corner of Guadalupe Road and Recker Road in Mesa. Towne Meadows was developed into 313 improved home sites, of which 171 were sold to Fulton Homes and 164 to Ryland Homes. Ryland built out their subdivision 14 months ahead of schedule. WHITE TANK MOUNTAIN RANCH ESTATES AND WHITE SPRINGS White Tank Mountain Ranch Estates is located at the northwest corner of Cotton Lane and Northern Avenue in the western sub-market area of metropolitan Phoenix. The original property consisted of approximately 570 acres, 330-acres of which were sold to Virgin Farms Partners. The first 80-acres of the remaining 240 were developed as 72 oneacre home sites and joint ventured with Beazer Homes. These irrigated “country living” sites were in high demand by homebuyers who wanted to live outside the city in a more rural atmosphere. This project was sold out in 18 months and ended in early 2003. The balance of the project was positioned as a more upscale subdivision, “White Springs” and sold in bulk. Principal Project Overview - Page 17 of 28 APERION SCOTTSDALE 20 SUBDIVISION Aperion Scottsdale is a 20 acre-acre parcel located at 120th street and Redbird Road in Scottsdale. The project was engineered and developed into 6 high–end home-sites averaging over 2 acres of building envelope. The lots were sold out within 4 months from the start of sales. CORTESSA This property was rezoned and platted to include 17,000 residential lots and 20 acres of commercial land. The property is located on the northwest corner of Citrus Road and Olive Avenue. Standard Pacific homes purchased the property and sales began in early 2004. Currently the master plan is 60% built out. . . Principal Project Overview - Page 18 of 28 EL CIDRO RANCH The 208 acre property known as El Cidro Ranch is located at the South west–corner of Lower Buckeye Road and Cotton Lane. El Cidro Ranch is approved for over 420 residential lots and 25 acres of commercial. This project was purchased by Toll Brothers in December of 2004. ESTRELLA MANOR Estrella Manor is an 80 acre property one-quarter-mile south of Lower Buckeye Road and 67th Avenue in the City of Phoenix. Estella Manor was platted and engineered for 303 homesites ranging in size from 45 foot to 60 foot wide product Principal Project Overview - Page 19 of 28 Centex homes purchased the 303 homesites in spring of 2000 and had great success with the subdivision, with an earlier than expected buildout. INSPIRATION AT RIO WEST Inspiration at Rio West is a planned 11,000-acre self-sustaining, mixed –use master planned community located in Sandoval County, New Mexico a suburb of Albuquerque New Mexico. This property was approved with 29,000 homes with approximately 3,000acres of commercial and employment uses. The project is bisected by the Northwest Outer Loop freeway which has received federal funding and is the construction plan stage. The site was also recently approved by the state FAA as the next location for the next Albuquerque airport. In addition, the project entered into a number of public/private agreements with the County to secure infrastructure reimbursements and “green” energy solutions for the project. Principal Project Overview - Page 20 of 28 INSPIRATION AT BRUSHY CREEK Located in Terrell, Texas this 6,500 acre master planned community was approved for more than 12,000 homes, 380 acres of mixed use commercial, and 350 acres of Industrial/ business park uses. The project is currently at the first phase of platting. This project received Municipal Utility District approval which provided for over $500 million dollars worth of infrastructure reimbursable to the developer. Principal Project Overview - Page 21 of 28 This project is 20 minutes east from downtown Dallas, situated between 2 freeways, the I-80 and the I-20. It is intended for the property to have 3 major freeway interchange entrances which will allow for swift access into the community. INSPIRATION AT HUNTER RANCH Inspiration at Hunter Ranch is located along the I-35 W corridor and is situated at the entrance of the City of Denton, Texas. Approved for just over 14,000 homes, 400 acres of destination retail and 150acres of Business Park, this project is the largest master plan approved by the City. Furthermore, over 80 million dollars of reimbursements are available to the developer. Principal Project Overview - Page 22 of 28 INSPIRATION AT FORT WORTH Inspiration Fort Worth is located in the Alliance Airport corridor in Fort Worth. This 2,665 acre property was zoned and platted for 8,000 homes and 300 acres of mixed use development. This project was the first in Fort Worth to receive a Municipal Utility District (MUD), a unique reimbursement mechanism that allows the project to be its own quasi-judicial entity. Over the course of the project the MUD will reimburse over $400 million dollars to the project developer, and this excludes any land sales to builders. Inspiration at Fort Worth is located directly in the path of growth, as evidenced by the explosive home construction boom along the state highway 114 corridor from west of DFW airport to the I-35 W freeway. It was zoned, platted and engineered in the Town of Buckeye for 50 exclusive, irrigated lots with horse privileges. In addition it has a 15 acre commercial retail center approved. PORTERO Portero is located at the intersection of Ranch Gate Road and 128th street in Scottsdale, Arizona. The 193 acre site was platted and engineered into 65 custom 3 acre lots. Half of the lots back onto the recently created Scottsdale Preserve The subdivision is gated with private roads. Each homesite was carefully situated to give the homebuyer a beautiful desert experience. The homesites ranged from 32,000 to 59,000 square feet. Principal Project Overview - Page 25 of 28 QUEEN CREEK ESTATES Located at Riggs Road and Sossaman in Queen Creek, this 30 acre parcel was zoned, engineered and platted for 20 homesites. The lots were sold off to a small independent builder. RAINBOW HEIGHTS Rainbow Heights is a 150 acre project that was zoned and platted and is located at the southwest corner of Rainbow and Broadway Roads. Approved for 525 homesites and a 15 acre retail/commercial corner this project was sold to a private investment group. RIO VERDE ESTATES This 20-acre parcel is located at 136th street and Dynamite Road. It was platted and engineered into 20 custom lots. Adjacent to highly vegetated arroyos, saguaro cacti and desert vegetation this project exceeded the anticipated sellout date by over 1 year, with homesites sales ranging from $350,000 to $600,000 SARIVAL VILLAGE/CORTINA Sarival Village/Cortina is a 320 acre property located ¼ mile south of Sarival Avenue and Yuma roads in Goodyear, Arizona. Sarival Village/Cortina was acquired, platted and engineered for 1200 homesites ranging in size from 45 foot to 65 foot wide home sites. Principal Project Overview - Page 26 of 28 Ryland Homes purchased 150 platted homesites in March 1999 and began constitution on the 45x110 and the 50x 110 lots. Dietz-Crane purchased 150 lots in 2001. DR Horton bought the remaining 900 lots in 2003. SCOTTSDALE NATIONAL Scottsdale National was located at 136th Street and Dynamite Blvd, in Scottsdale, Arizona. This 275 acre parcel was platted and engineered into 135 custom homesites. Each home site was carefully crafted to allow for maximum enjoyment of the surrounding open space. Home site sizes ranged from 18,000 square feet to 30,000 square feet. Principal Project Overview - Page 27 of 28 VIVIENDA The sister project to Portero this project is located at the intersection of Pinnacle Peak Road and 128th street. Elevated slightly and adjacent to the Scottsdale McDowell Mountain preserve on two sides, the views are spectacular. This project consists of 25 custom lots all sized at around 3 acres each.
