QUALITY ASSURANCE
Due to our in-house production and assembly and the know-how of machine and plant construction we ensure
the steady continuity and further development of product quality and thereby the service life of your STROBL
machines. Our quality assurance starts already with the critical selection of our suppliers and their regular
monitoring. Immediately after assembly, every machine is put into operation and tested. If the test is successful
the machine is sent on to final inspection. In the production final quality control, the machine is optimally
adjusted once again. We test them in continuous running mode and in doing so check all functions (such as,
for example, safety equipment). Thus we ensure that you receive a reliable and completely fault-free STROBL product.

Quick availability and cost efficiency are the advantages of machine hire. It need not always mean the purchase of a used or new machine in order to be
able carry out a new order. Sometimes the purchase price is not worth it when compared to hire costs. Our experts will put together a customized hire

The tool washing systems are designed especially for the requirements of painting and decorating companies. Thanks to their low space requirements they can be installed and operated almost
everywhere.
Clean your paint rollers and tools in an effective and environmentally friendly manner. The highpressure paint roller cleaner cleans your paint roller in approx. 30 seconds (depending upon
colour and degree of contamination). The average water consumption is of the order of 5 litres
per roller. The polluted water flows into the filter system. Here coarse material is trapped by the
fabric filter. The cleaned water is pumped automatically out of the reservoir to the discharge.
When connected to the water treatment equipment STROBBER WAB, the tool washing system
operates in a closed system and without interruption.
The variants WA 800-B or 1500-B treat the waste water directly and so protect the environment.
The polluted water is collected in a tank which is closed by a special overflow plug. After the
cleaning of the paint roller a reaction release agent is added to the tank. The integrated circulation
pump thoroughly mixes the release agent and the polluted water. The flocculated paint settles to
the bottom of the tank. The cleaned water is drained off. The paint residues are retained and then
fed to the filter system with the rest of the water.

Paint Roller Cleaner WAW
P AINT R OLLER C LEANER WAW
Clean your paint rollers in an effective and environmentally friendly manner with
the stand-alone paint roller cleaner STROBBER WAW. The paint roller cleaner
cleans your paint rollers in 20 to 30 seconds (depending on colour and degree of
pollution). The average water consumption is approx. 5 litres per roller.
The system is extremely well suited for on-site applications on the building site
or for restricted space conditions in painter's workshops.
The STROBBER WAW (stand-alone) is offered in a stand or a wall version, optionally with or without a high-pressure pump. In order to ensure the effective
cleaning of your paint roller, we recommend the operation of the roller cleaner
always with a high-pressure pump.

The tool washing systems STROBBER WAW 800 or WAW 1500 work in a closed
system with the water treatment plant (separation plant) STROBBER WAB.
The separation plant has a 3-chamber system in which the waste water of the tool

The STROBBER WAB water treatment unit collects the waste water from the tool
washing system in the first chamber. Fill level monitored, the water is pumped
automatically into the second chamber.
As soon as their fill capacity has been reached optical and acoustic signals are
triggered. The reaction release agent (separating agent) is put into the second
chamber by hand and the treatment process (the separation of paint and water) is
started. An agitator works in the separating agent for approx. 5-7 minutes.
During this time the STROBBER WAW tool washing system can continue to be
operated without interruption.
The water treated in a symbiosis between chemical, physical and mechanical processes is cleaned of solid materials by a fabric filter and fed into the sewer system.

Water Treatment Unit WAB-IG
W ATER T REATMENT U NIT WAB-IG
Retrofit your existing tool washing systems STROBBER WAW 800 or WAW 1500 in
an environmentally friendly manner with the STROBBER WAB-IG water treatment
unit (separation unit). The retrofit kit has been specially developed for small businesses whose space conditions do not permit the use of the STROBBER WAB water
treatment unit.
Before starting the roller cleaning, the tank compartment of the tool washing system
is closed with a special overflow plug (push-open valve). The contaminated waste
water collects in the tank and can be separated.
After the cleaning of the paint roller put a reactant (separating agent) in the tank. The
integrated circulation pump thoroughly mixes the separating agent and the waste
water for approx. 5-7 minutes. The paint residues flocculate and settle in the tank.
The cleaned water is discharged via the overflow plug. The remaining flocculated
paint residues are fed to the filter system together with the remaining water.
STROBBER WAB-IG
(Tool washing system not in the scope of supply)
The water treated in a symbiosis between chemical, physical and mechanical processes is cleaned of solid materials by a fabric filter and fed into the sewer system.
The residues in the filter can then be disposed of in an environmentally friendly
manner.

The STROBOT 204 is the smallest feed pump of the STROBOT series. It is especially
suited to short to medium feed distances and heights. Due to its light and compact
design it is very easy to handle.
The STROBOT 204 as standard is available in 4 versions. These differ according to
material hoppers (30 or 70 litres) and pressure ports (with pressure gauge or with
pressure sensor). All components in contact with the material are manufactured in
stainless steel or plastic.
The electronic pressure port (RSD version only) reliably prevents hose blockages
thereby preventing the need for repairs or spare parts. The cut-off pressure is adjusted via a rotary switch on the control panel. If the feed pressure measured by the
sensor in the pressure port exceeds the cut-off pressure the feed pump is stopped
automatically.
The motor control takes place electronically speed controlled (forward and reverse
running). The result is a constant and thereby even spray pattern.
STROBOT 204 RSD with 70 l High Material Hopper
A clearly arranged control panel with robust operating and display elements simplifies your work. A press of a button on the remote control cable on your spray unit
and the STROBOT comes to a stop. You want to start again? Simple press again and
you can carry on.
Disassembled into its components, the feed pump can be moved from place to place
or loaded into a vehicle by one person. A suitable compressor is required for the
operation of the feed pump.

The STROBOT 401 SP spiral feeder is a special version of a feed pump which
instead of with a screw pump is equipped with a spiral feed spring in stainless
steel integrated into the feed hose.
The material is fed without pressure and for this reason cannot be broken up.

Due to its very special geometry it is especially well suited to the special

Continuous Mixer STROMIXER D 1000
C ONTINUOUS M IXER STROMIXER D 1000
The horizontal continuous mixer, STROMIXER D 1000, is an alternative to the
conventional drum or pipe mixers. It is designed for the processing of factorymade pre-mixed dry mortars such as bricklaying, plaster and cement mortars, tile
adhesive, floor screed, anhydrite or finishing plaster up to 5 mm grain size.
It is especially suited to the processing of bagged goods. Due to the 230V motor
the D 1000 can be supplied with power by a normal household Schuko socket.
Thanks to the simple design the mixer can be cleaned quickly. It mixes the material continuously and with optimum quality. Due to the mixing zones arranged
one above the other it is very compact. All parts which come into contact with the
media are produced in rust-free materials (stainless steel or plastic). The contaminant-repellent plastic mixing tube is, if required, available in a stainless steel
design.
The clear design of the operating elements enables simple handling by the user.
The control panel for water and power can be simply removed and so gives protection against frost and theft. A quick-locking system for the fitting of the mixing
tube enables short setting and servicing times.

Validity
The following terms and conditions are equally valid for all shipments and services regardless
of whether we are concerned with individual cases of purchase contracts or contracts for services or another contractual relationship.
These terms and conditions of sale and supply shall apply exclusively, the supplier rejects
any conflicting terms and conditions of the customer or any terms and conditions deviating
from the suppliers terms and conditions unless the supplier expressly agrees to their application in writing. These conditions of sale and supply are also applicable if the supplier, in
awareness of the purchaser's terms and conditions which conflict with or deviate from his
own, carries out the delivery or service to the customer without reservation.
These terms and conditions of sale and supply shall also apply to all future business with the
customer, even if they have not been explicitly agreed again.
Contract Conclusion, Contract Amendment, Assignment
The documents relating to the offer (for example, illustrations, drawings) and information
concerning scope of supply, appearance, performance, dimensions, weights, operating
material consumption, operating costs etc. shall be regarded as an approximate guide only,
insofar as these are not expressly stated to be binding. The supplier reserves the right of
ownership of and copyright in cost estimates, drawings and other documents. They may not
be made available to third parties and are to be returned on request.
The contract shall be deemed concluded once the supplier has confirmed acceptance of the
order in writing or has commenced delivery or performance. If the supplier has submitted an
offer with a limited period of validity the contract shall be deemed to be concluded with the
timely submission by the customer of the written acceptance of the offer.
Verbal supplementary agreements at the time of the conclusion of the contract and changes
to the contract require the written confirmation of the supplier in order for them to become
effective. Obvious typing and calculation errors can be corrected retrospectively
The customer cannot assign his rights or claims arising from this contract. However, § 354a
HGB (German Commercial Code) remains unaffected
Prices
All prices shall be ex works including loading at the works, but excluding packing, plus the
statutory VAT in accordance with the provisions of the delivery or performance country
at the time. Provided that the payment of the supplier has not been firmly agreed, then his
prices valid on the day of delivery shall apply.
Engineering services, installation and commissioning costs shall be charged separately. The
costs may be charged either at a flat rate or according to actual expenditure plus travel, subsistence and accommodation costs, overtime and Sunday and public holiday surcharges.
Price changes shall be permissible when there is a difference of more than 6 months between
the conclusion of the contract and the agreed delivery date. The supplier shall be entitled to
make a price amendment in such a way that the new price is in the same ratio to the original
agreed price as the price of delivery and performance in accordance with the price list valid on
the day of delivery is to the price of the delivery according to the valid price list on the day
of the conclusion of the contract. With regard to other deliveries and performances not
included in a price list, the supplier shall be entitled to make price adjustments reasonable
in view of the circumstances.
If there are costs and charges included in the prices and these are increased following the
conclusion of the contract or if they become due additionally following the conclusion of the
contract the supplier shall be entitled to charge the customer the additional amounts.
If at the request of the customer the supplier is prepared to make an exchange, the supplier
shall be entitled to charge the incurred costs, no less, however, than the amount of the loss in
value resulting from ageing and use, plus 10% of the agreed price of the originally agreed object of delivery as compensation for the expenditures incurred by the supplier due to the exchange. The supplier shall not be able to demand the flat-rate compensation stated above if
the customer can show that no or only minor damage and / or expenditure was incurred by
the supplier.
Payment, Payment Default, Set-off, Retention
Insofar as nothing else has been agreed, payments for deliveries of machines and spare parts
shall become due within 30 days from the date of delivery. Services within 14 days of the invoice date without deductions.
All accounts receivable – even if an extension or other delay of payment has been granted –
shall become due and payable as soon as the customer is more than 5 working days in arrears in whole or in part with the fulfilment of his obligations to the supplier or circumstances
arise which substantially reduce the creditworthiness of the customer (for example, deterioration of assets, delayed payments or suspension of payments, excess debt, downgrading of
credit rating by trade credit insurers, objections to bills of exchange and cheques, filing for
commencement of insolvency proceedings or the opening or rejection of the same). The supplier may in this case refuse all further deliveries or performances and request the provision
of reasonable security for his outstanding claims.
Payment by means of bills of exchange requires special agreement. Bills of exchange and
cheques shall only be accepted subject to clearance. The customer shall bear encashment and

discount charges. No discounts shall be granted for payments by bills of exchange or in the
event of overdue payments, even if a discount has been previously otherwise agreed.
The customer may offset the supplier's claims solely in the event of undisputed or legally
confirmed claims. The customer has a right of retention only if his counter-claim is based on
the same contractual relationship and is undisputed or has been legally confirmed, or if the
supplier has committed a gross violation of his obligations under the same contractual relationship. The right of the customer to retain a reasonable part of the purchase price due to deficiencies in the performance of the supplier, however, remains unaffected.
If the customer gets into payment arrears, interest at a rate of 9.9% above the base interest rate shall be paid in addition to the supplier's c laims. This provision is without
prejudice to the supplier's right to claim compensation for additional damages.
If the customer suffers deterioration of assets within the meaning of Paragraph IV. 2, the
supplier may withdraw from the respective contract after the setting of an unsuccessful reasonable period of grace for the provision of appropriate securities by the
customer. This provision is without prejudice to the further statutory claims of the supplier
– for example, the right to claim compensation for damages - remain unaffected. Damage
compensation claims by the customer shall be excluded.
Delivery Time, Partial Performance, Acceptance Delays, Withdrawal and Reservations of the
Supplier, Claims for Damages by the Supplier
Delivery and installation times do not begin until the supplier and the customer have agreed
all the details of the execution and all terms and conditions of the transaction and not before
the supplier has confirmed the order. These times are suspended so long as the customer, is
in default regarding the fulfilment of his contributory obligations from this contract (for example, provision of documents, supply of materials, permits, releases) or is in arrears with an
agreed down payment.
The delivery time shall be deemed to have been observed if, at the time of its expiry, the object of the delivery has left the works or if readiness for shipment has been notified.
The delivery time shall be appropriately extended in the event of force majeure, strikes, lockouts and other unusual, unforeseen circumstances and delay by a sub-supplier of the supplier
which is beyond the control of the supplier and it can be shown that these circumstances have
an adverse effect on the delivery time. In the event of missing, incorrect or unpunctual performance by a sub-supplier which is beyond the control of the supplier, the supplier can
withdraw from the contract if the event makes it impossible for the supplier to perform or it
cannot perform because of this even after a reasonable extension of the delivery time in accordance with the previous sentence. In addition, the supplier can withdraw from the contract
if it cannot obtain the performance from a sub-supplier necessary, or cannot obtain performance on reasonable terms, for his own performance (for example, a part, a power unit, a
component or a chassis), for reasons which lie within the sphere of the customer or within the
terms of the performance of the supplier to the customer (for example, with regard to the person of the purchaser or the country to which the delivery should be made). In the cases of
withdrawal described above, claims for compensation by the customer are excluded.
If the supplier's performance is delayed, he shall nevertheless not be in default of performance so long as the delay is caused by circumstances which he could not have foreseen and
prevented had he taken reasonable precautions and which he could not have overcome by
taking reasonable measures.
The supplier is entitled to withhold his performance for as long as the customer does not fulfil
his obligations to the supplier under this or any other contract or due to other legal reasons.
Partial performance is permissible insofar as it is reasonable for the customer. Such partial
performances shall be deemed to be independent legal transactions which can be invoiced
separately.
If the terms and conditions of payment are not complied with, if the delivery is not accepted in
due time or the acceptance thereof is refused or if agreed securities have not been provided,
the supplier shall be entitled to withdraw from the contract after the expiry of an
unsuccessful setting of an extension period . If the custo mer is obliged to co mpensate the supplier in such cases on the basis of a claim for damages, The
supplier can require from the customer as compensation and without further evidence 25% in
the case of series production and 75% in the case of individual production of the contract total, as long as the customer cannot show that no or only minor damage has been incurred.
The right to make claims for higher compensation following evidence is reserved.
If at the request of the customer shipment is delayed, then the supplier can either invoice for
the actual incurred storage and maintenance costs or for a flat-rate in the amount of ½% per
month of the invoice amount; the latter, however, not when the customer can show that
no or only minor damage or expense has been incurred. This provision shall have no effect
on the customer's payment obligations
The fulfilment of the contract on the part of the supplier is subject to the proviso that there are
no obstacles standing in the way of the fulfilment resulting from national or international
regulations of foreign trade legislation or embargoes (and / or other sanctions). In the event of
such obstacles, compensation claims by the purchaser shall be excluded.

The risk shall pass to the customer no later than the point in time of the dispatch of the object
of delivery. This is also applicable to partial performance or if the supplier has agreed to bear
the costs of shipping or installation or if he effects the delivery himself. No liability is accepted for the most favourable freight costs or shortest transport times.
If the delivery, shipping or the acceptance of the object of delivery is delayed by the customer
through no fault of the supplier, all risks – including risk of deterioration, the loss of the object of delivery as well as all risks resulting from the object itself – shall pass to the customer
from the point in time of notification of readiness for shipping or notification of completion.
Upon written request the consignment will be insured at the customer's expense for the
amount of cover specified by the customer.
The customer shall be liable for any and all damage caused by his negligence during or before the acceptance of the object of delivery (for example, testing, any acceptance procedure to
be carried out, etc.).
Delivered objects shall be accepted by the customer without prejudice to his rights even if
they are defective.
Notification of Defects, Guarantee, Guarantee Period
The customer shall inspect the object of delivery immediately upon its receipt and supply
written notice of any defects in writing without delay. In addition the customer shall also inspect the object for defects before any commissioning, in particular regarding safety and operational capability. During its use, the object of delivery must be checked constantly with
regard to safety and defects. If there are even the slightest concerns concerning operational
capability or safety the object must not be used or its operation must be shut down immediately. The supplier shall be informed in writing without delay specifying the concerns or defects within the scope of a Notification of Defects. The customer shall allow the supplier the
time and the opportunity to carry out any and all remedies and to make replacement deliveries
which the supplier deems to be necessary. Otherwise and the supplier shall be released from
all consequences resulting therefrom.
If the supplier's performance is defective at the time of the transfer of risk, the supplier shall,
at his discretion, subsequently remedy the defect or deliver a defect-free object in exchange
for the defective object delivered. Replaced parts shall be the property of the supplier. If subsequent performance with respect to a defect is not possible, has finally failed, is unreasonable for the customer, the supplier has refused both types of subsequent performance or if a
reasonable, unsuccessful extension for subsequent performance granted to the supplier has
expired, the customer may at his discretion, reduce payments to the supplier or withdraw from
the contract. If there is a minor defect only, however, the customer has the right to reduce
payment only.
Should the supplier have fraudulently concealed a defect or have given a guarantee regarding
the quality of the object, statutory regulations shall apply.
Unauthorized rectification of defects by the customer or third parties shall result in the loss of
all rights to claims against the supplier. The supplier will not bear the costs of rectification by
the customer or third parties without the explicit prior consent of the supplier. This provision
shall not apply in urgent cases - especially when delay is not possible - in which operating
safety is endangered in order to prevent disproportionately large losses. In such cases the
supplier shall be informed immediately and shall be obliged to reimburse the necessary costs
only.
Especially in the following cases the supplier does not accept any guarantee or any warranty
obligations for damage: incorrect or improper use, defective installation or commissioning by
the customer or third parties, natural wear and tear, defective or negligent handling, incorrect
maintenance, excessive loads, the use of unsuitable operating materials and replacement materials, defective work, unsuitable foundations, chemical, electro-technical / electronic or
electrical influences. These exclusions shall not apply, however, if the supplier is responsible for the damage in accordance with the more specific provisions of VIII.
Clause 5.
There shall also be no liability and respective warranty obligations of the supplier especially
for the following measures and actions taken by the customer or third parties and the consequences thereof: incorrect rectification of defects, changes to the object of delivery without the
prior consent of the supplier, attachment or integration of parts, especially spare parts which
do not originate from the supplier or which have not been expressly approved for use by the
supplier and failure to follow the operating instructions and the operation manual.
The supplier shall not grant any warranties for material provided by the customer or acquired
on the basis of the customer's specifications or for designs specified by the customer.
The supplier shall not grant any warranties for possible material defects in the sale of used
machines, equipment or parts. The supplier does not guarantee any features or qualities and
points out that used machines, equipment and parts frequently do not have the same quality
as newly manufactured machines, equipment and parts, likewise with their performance capability.
The customer's entitlement to subsequent performance as well as his entitlement to claims for
damages or reimbursement of expenditure due to defects shall be time-barred after one year
following delivery of the delivered goods, for installations for one year following formal acceptance or - should a formal acceptance not be carried out – for one year following the completion of the installation. If the supplier has fraudulently concealed the defect or has given a
guarantee for the quality of the item, the statutory regulations shall apply to the time-barring
of any claims on part of the customer based thereon. The statutory regulations shall also ap-

ply to the time-barring of any damage compensation claims of the customer due to defects if
the supplier is guilty of willful intent or gross negligence or if the damage compensation
claim is based on an injury to life, body or health.
Any and all further claims on the part of the customer are excluded, in particular for damage
compensation, including compensation concerning damage which did not result on the object
of the delivery itself, Clause VIII. 5 applies accordingly.
Withdrawal of the Customer, Damage Compensation Claims of the Customer, Limitation of
Actions
The customer may withdraw from the contract if the complete performance finally becomes
impossible for the supplier before the transfer of risk. The entitlement of the customer for
damage compensation due to the final impossibility of the performance shall be excluded unless the supplier is guilty of gross negligence. Any claim for damage compensation shall be
limited to the damage foreseeable at the time of the conclusion of the contract and resulting
from the usual course of events and shall be limited to an amount of maximum 15% of the
contract sum. The customer may also withdraw from the contract if, for an order of identical
items, the delivery of a part of the ordered items in terms of quantity becomes impossible and
the customer has a justified interest in refusing a partial delivery. Should this not be the case,
the customer may reduce the counter-performance accordingly.
If the impossibility occurs during delay of acceptance on the part of the customer and without
it being gross negligence on the part of the supplier or is the responsibility of the customer,
the customer shall be obliged to fulfil his part of the contract and shall not be entitled to withdraw from the contract in accordance with Clause 1.
The customer may withdraw from the contract if the supplier is in default of his performance,
to the extent that the said performance is due, the customer has previously set a reasonable
extension without success and the supplier is responsible for his non-performance. A claim
by the customer for damage compensation due to the supplier’s default of performance shall
be excluded unless the supplier is guilty of gross negligence. Any claim for damage compensation shall be limited to the damage foreseeable at the time of the conclusion of the contract
and resulting from the usual course of events and shall be limited to an amount of ½% or
each full week of delay and in total to a maximum of 5% of the value of that part of the total
delivery which cannot be used in due time because of the delay.
The customer’s right to withdraw from the contract – beyond the cases regulated above in
Clauses 1 and 3 – in accordance with statutory regulations in the event of a violation of obligations for which the supplier is responsible and which does not result from a defect remains
unaffected.
Any and all other further claims of the customer arising from the breach of contractual obligations and unauthorized activities carried out as part of the contract are excluded, in particular
for termination and damage compensation, including claims for damage compensation in lieu
of performance and reimbursement of expenses and claims for compensation for damage of
any type and also concerning damages which did not result on the object of the delivery itself.
All further claims of the customer for any other legal reason including claims on the part of the
customer for breach of pre-contractual obligations and unauthorized activities carried out at the
start or conclusion of the contract shall be excluded. These exclusions of liability shall not apply if
the supplier is guilty of gross negligence. Furthermore, these exclusions of liability shall not apply in the event of the culpable breach of the essential contractual obligations of the supplier
(these are obligations imposed on the supplier with regard to the content and the purpose of the
contract and whose breach jeopardizes the achievement of the purpose of the contract; also obligations whose fulfilment mainly enables the proper performance of the contract and upon the observance of which the customer regularly relies, and may rely on ). Furthermore, these exclusions
of liability shall not apply to any claim of the customer for damage compensation based on an intentional or grossly negligent injury to life, body or health. Finally, these exclusions of liability
shall not apply in those cases in which liability is compulsory in accordance with product liability
laws for personal injury or material damage to privately used objects.
If these cases result in the supplier’s liability – or deviate from the above provisions in other
cases due to a contractual or statutory basis for a claim – the said liability shall be limited to
compensation for the foreseeable damage resulting from the usual course of events and which
has been proven in each individual instance. However, these limitations of liability shall not
apply to any liability in accordance with Product Liability laws due to defects of the object of
the delivery for personal injury or for material damage to privately used objects. These limitations of liability also shall not apply to any claims by the customer for compensation for damages resulting from injuries to life, body or health, which have been caused intentionally or
are due to gross negligence. In addition, these limitations of liability shall not apply if the
supplier is guilty of intent.
Damage compensation claims by the customer against the supplier in the event of the violation of contractual obligations and in the event of actions in tort committed during the performance of the contract shall be time-barred no later than one year after the end of the year, in
which the claims arose and the customer learnt of the circumstances substantiating the claim
and the person of the liable party, or would have learnt thereof without gross negligence. This
shall also apply to claims for compensation for damages by the customer against the supplier
for any other legal reason, including claims for compensation for damages for the breach of
pre-contractual obligations and unauthorized activities carried out at the start or conclusion of

tions shall apply. In addition, the statutory regulations shall apply to any compensation
claims based on intentional or grossly negligent injury to life, body or health.
Insofar as the liability of the supplier is excluded or limited, this shall also apply to any personal liability of its legal representative and its employees. For the period of limitation for
claims made by the customer against the legal representative and the employees of the supplier Clause 6 above shall apply accordingly.
Security
The object of the delivery shall remain the property of the supplier until the full payment of the
agreed price and of all other claims, including future claims, from the business relationship
with the customer have been made. If in the event of the payment of the purchase price the
supplier becomes liable on the basis of bills of exchange, the retention of title shall not lapse
before all bills of exchange have been completely redeemed by the customer.
In the event of resale the customer now assigns to the supplier the claims arising from the
resale of the objects of delivery in the amount of the value of the objects of delivery and all
secondary rights. The customer is authorized to collect the claims. The authority of the supplier to collect the claims himself remains unaffected hereby.
The supplier obligates himself at the request of the customer to release securities of his
choosing to the extent that the realizable value of this securities exceeds the total of his claims
from the business relationship by more than 10%.
As long as the customer fulfils his obligations to the supplier, he is entitled to dispose of the
object of delivery in the ordinary course of business and subject to retention of title, to the extent that the claims effectively pass to the supplier in accordance with Clause 2. Extraordinary
disposals such as pledges, transfer by way of security and any and every other assignment
shall not be permissible. The supplier shall be given written notification immediately of any
attachment by third parties on the object of the delivery or on claims assigned to the supplier,
in particular pledges.
During the period of retention of title, the customer is in principal entitled to possess and
make use as intended of the object of delivery. In the event of actions in breach of contract by
the customer – in particular if the customer is in default of payment – as well as in the cases
of Clause IV. 2., however, the supplier may repossess the object of the delivery and revoke the
authorization for the collection of the claims resulting from the resale. The customer – under
exclusion of rights of retention – shall be obliged to surrender the object. The customer shall
bear all and any costs for the repossession and recovery. The supplier shall be entitled to a
private sale. At the request of the supplier, the customer shall immediately submit to the supplier a catalogue of the claims assigned in conformity with Clause 2 to the supplier, as well as
all additional information and documents necessary for the securing of the rights, to which
the supplier is entitled, and shall notify debtors of the assignment.
During the retention of title period the customer shall maintain the object of delivery in a
proper condition and allow the supplier or a workshop recognized by the supplier – with the
exception of emergencies – to carry out without delay all maintenance and repair work
planned by the supplier.
The assertion of the right of retention of title and the pledging of the object of the delivery by
the supplier shall not be deemed withdrawal from the contract.
If the retention of title or the assignment is not effective according to the laws of the country in
which the goods are located, the security closest in nature to retention of title or assignment
in this country shall be deemed to be agreed. If the co-operation of the customer is required
for this purpose the customer shall carry out all legal actions necessary to establish and preserve such rights.
Credit Note for Goods
If credit for goods is granted, the value of the credit note results from the amount of the original invoice less 15% processing costs. If any goods are returned due to a credit note agreement, the purchaser shall pay the costs arising from this.
A credit note for goods is a credit note, which is not paid out in money but in the form of
goods.
Industrial Property Rights
If the supplier is to perform in accordance with drawings, models, samples or using parts
supplied by the customer, the customer shall warrant that the industrial property rights of
third parties are not infringed. The customer shall indemnify the supplier against any and all
claims by third parties due to the infringement of industrial property rights, and shall compensate the supplier for any resulting damage and for his costs and expenditures. If the customer is prohibited by a third party from manufacturing or delivering on the basis of an industrial property right, the supplier shall be entitled to cease work. In this case, the supplier may
withdraw from the contract and demand compensation for his damages as well as his costs
and expenditures. The customer is under no obligation, in accordance with Clauses 1 to 4
above, to provide indemnification, compensation for loss expenses or reimbursement of expenses, if the customer is not responsible for the infringement. All other statutory claims and
rights of the supplier remain unaffected in every case.
Export Control
The customer shall advise the supplier in writing as soon as possible, but not later than 2
weeks before the delivery deadline of all information and data required by the supplier in order for him to be able to comply with the applicable trade legislation and for licenses, provided that their procurement is the responsibility of the supplier according to the contract. Furthermore, the supplier can demand such information at any time. In the event of alterations,

the customer shall update this data, particularly the export control and foreign trade data as
early as possible, but not later than 1 week before the delivery date and shall advise the supplier of this in writing. The customer shall bear any expenses and damages incurred by the
supplier due to the absence, defectiveness or late receipt of this data.

Compliance
The customer undertakes that it and its partners, managing directors, supervisory
and advisory boards, employees, and other representatives shall comply with legal regulations and in particular shall act preventatively against any kind of criminal or reprehensible conduct in the course of its business operations in connection with this contract.
Prohibited Business
The customer undertakes that it and its partners, managing directors, supervisory
and advisory boards, employees, and other representatives shall refrain, in all
cases, from the following dealings in the supplier’s goods:
 Dealings with persons, organizations or institutions that are named on a
sanctions list according to EC or EU regulations or U.S. export regulations;
 Dealings with prohibited countries under embargo;
 Dealings for which the necessary license is not present and
 Dealings that in particular may have a connection with nuclear, biological or
chemical weapons or a military end use.
If the customer is guilty of contravening this obligation, the supplier, at his own
discretion, shall be within his rights to withdraw immediately from the contractual
agreement and / or claim compensation.
Use of Software
Insofar as software is included in the scope of supply, the customer shall be
granted the non-exclusive rights to use the supplied software, including its documentation. It is provided for use on the object of the delivery intended for this
purpose. The use of the software on more than one system is prohibited.
The customer may reproduce, rework or translate the software or convert it from
the object code into the source code only within the legally permissible scope of
(Section 69a et seq. UrhG (Copy Right Law)). The customer undertakes neither to
remove the manufacturer’s information – in particular Copy Right notices – nor to
change it without the prior express permission of the supplier.
All other rights to the software and the documentation, including copies, remain
with the supplier or the software supplier. Granting of sub-licenses is not permissible.
Governing Law, Place of Fulfilment, Place of Jurisdiction, Severability Clause
The governing law shall be exclusively that of the Federal Republic of Germany. In
the event of doubt, the German language version of all contractual provisions
shall be decisive. The Convention on Contracts for the International Sale of
Goods, CISG, does not apply.
Place of Fulfilment is 53947 Nettersheim.
If the customer is a merchant, a legal person under public law, or a special fund
under public law, then Schleiden is the place of jurisdiction for any and all disputes arising from this contractual relationship, including disputes regarding its
creation and its effectiveness as well as for bill of exchange and cheque litigation.
The supplier may apply to any other court which has jurisdiction according to
statutory provisions.
If one of the provisions of these terms and conditions of sale and supply is invalid, in all or in part, the validity of the remaining provisions shall not be affected.
