For more about our commitment to the environment, visit calgarystampede.com + ORGANIZATIONAL HIGHLIGHTS 2007 '+ THE SPIRIT LIVES. HERE. ALL YEAR. The 2007 edition of The Greatest Outdoor Show on Earth achieved something truly unique—we painted the city pink! In partnership with Wrangler and the Canadian Breast Cancer Foundation (Alberta and NWT chapter), we honoured thousands of breast cancer survivors and volunteers across Canada. We were delighted to have Benjamin Jordan, Aaron Jackson, Rob Lewis and Carlos Koppen—four young Canadians who skateboarded across Canada in 2006 to raise money to fight breast cancer—leading the 2007 Stampede Parade as parade marshals. From the pink bandanas that waved along the parade route to the pink shirts worn absolutely everywhere across the city, Calgarians embraced our Tough Enough to Wear Pink campaign. In the first 30 hours of Stampede, we raised more than $575,000 for breast cancer research! (Left to Right) Vern Kimball, Chief Executive Officer; George Brookman, President and Chairman of the Board HERE. ALL YEAR. No community organization in Canada, and perhaps even in the world, better represents the identity and spirit of its city and its citizens than does the Our 2,000 passionate volunteers worked hand in hand with 1,600 dedicated employees in 2007 to deliver a full year of activities, culminating with 10 amazing days in July when the world was either visiting Calgary or wishing they were here. Even among the many wonderful chapters in the Calgary Stampede’s colourful history, 2007 will be recorded as one of the most remarkable years ever. 3 It was a perfect start to 10 memorable days. Enthusiastic crowds filled the grandstand every day to watch the world’s best rodeo athletes, the excitement of the GMC Rangeland Derby, and the always impressive grandstand show that celebrated the “Spirit of 1912.” The Stampede stages featured some of the world’s top entertainers, including Bon Jovi, Reba McIntyre, The Tragically Hip, Gretchen Wilson and Big ' Rich. The fun spilled across the city into every neighbourhood and workplace. Our enthusiastic volunteers were at the heart of the action: Calgary Stampede. 2007 Report to the Community They promoted “Get Your Head in a Hat,” served pancakes and led line-dancing to help make the Calgary Stampede a community-wide celebration. It was the kind of contagious fun that brought the CBS Morning Show to Calgary to broadcast live from Stampede Park, prompted MasterCard to put the Stampede on its “priceless” list as the number one tourist attraction in Canada, and resulted in the BBC naming the Calgary Stampede as the best thing to do in the world in July. + In 2007, we also hosted more than 65 agriculture and western events, making Stampede Park one of the most unique agriculture showcases + in the world. Our marketing programs and outstanding customer service were recognized with a number of major awards in 2007 from several fair associations and Travel Alberta. On a final note, we were greatly saddened by the incident during the chuckwagon races in which three horses died and one driver was seriously injured. We immediately appointed a safety review committee that has since conducted a thorough investigation of the incident. We have accepted its report and are now implementing all the changes recommended by the committee. HOSTING. HERE. ALL YEAR. Stampede Park was the centre for year-round community activities in Calgary, hosting over 1,300 events, ranging from business meetings to weddings, sporting events to trade and consumer shows. These events connected people and generated hundreds of million of dollars in economic benefit for the region. For the third consecutive year, the Roundup Centre won the Consumers’ Choice Award for business excellence in the category of Banquet/Reception Hall. The award recognized our employees’ creativity and commitment to customer service in bringing to life whatever an event organizer imagined. At peak times, we served thousands of people different menus all at the same time. In 2007, we also hosted more than 65 agriculture and western events, making Stampede Park one of the most unique agriculture showcases in the world. In April, for instance, in tandem with Rodeo Royal, we hosted Aggie Days presented by EnCana, the Acreage Lifestyle Show, Rural Routes, Canadian Horseshoeing Championships and Stock Dog Arena Trials. INSPIRING YOUTH. HERE. ALL YEAR. The past year was also busy for our many youth programs. Whether it was the Stampede Showband, Stampede Royalty, International Youth Livestock, Youth Speech and Debate, Stampede Talent Search or the Stampede Showriders, these programs continued to help transform today’s youth into the leaders of tomorrow. As long-time supporters of 4-H clubs in the Calgary region through programs such as 4-H Public Speaking, 4-H on Parade and 4-H Rodeo, we were honoured to receive the 2007 Golden Clover award from Alberta 4-H that recognized our commitment to 4-H over the past 75 years. The Stampede is only the second organization ever to receive this special recognition. In November, members of 4-H joined the Stampede Showband, the Stampede Royalty and students of The Young Canadians School of the Performing Arts in welcoming Santa Claus to Calgary as they entertained 3,500 Calgarians with a special “Season of Wonder” celebration in Olympic Plaza. It was a great opportunity for our youth to showcase their talents. The Calgary Stampede Foundation, of which the Calgary Stampede is the controlling shareholder, continued to grow in 2007, bringing in significant funds to support and enhance its youth programs such as The Young Canadians School of the Performing Arts and Stampede School. 4 OUR BRAND. HERE. ALL YEAR. In 2007, our volunteers and employees were proud to learn that the Calgary Stampede had been named: © one of Canada’s most valuable brands by Interbrand, © Calgary’s top brand by CalgaryInc Magazine, © one of Alberta’s most respected organizations by Alberta Venture Magazine, and © one of Canada’s Superbrands, again. Although the power of the Calgary Stampede brand is well-recognized, in early 2007 we unveiled a new masterbrand and visual identity that is strengthening how we communicate who we are and what we stand for. It is the partnership between volunteers and employees that makes the Calgary Stampede what it is today—one of the most respected community organizations in the world. Last year we were pleased to be recognized as one of the best places to work in Calgary by CalgaryInc Magazine. And it was equally satisfying to get survey results saying 98 per cent of our volunteers believe volunteering at the Stampede is fun and worthwhile. GROWING. HERE. ALL YEAR. Our strong financial performance in 2007 allows us to continue to push forward with our vision of transforming Stampede Park into a year-round, world-class gathering place for Calgarians and visitors. In 2007, overall revenues increased 11 per cent to $120.1 million from $108.6 million in 2006. This increase was largely attributable to our signature event, the 10-day Calgary Stampede. Specifically, our premium seating venues, including the new $10.5 million Lazy S, provided an additional $3.6 million in revenue. As we are a not-for-profit community organization, all our revenue is reinvested into Stampede programs and facilities. Over the past year, our park development plans gained new momentum: © The Government of Canada announced $25 million in funding to develop a riverfront park on the east side of the Elbow River; © We accepted Horse Racing Alberta’s request to host horse racing for one more year. This temporary arrangement will not impact our future plans for redeveloping the southeast corner of Stampede Park; © We started construction on the Roundup Centre expansion, which will be complete in 2009; © We announced the sale of the new Stampede Casino facility and casino license, with the new casino set to open in June 2008; working with external partners has always been part of our development strategy, recognizing that some projects require significant capital investment and specialized expertise; © In late December, a local developer gifted some land near Spiller Road that enabled us to move forward with our development plans for the southeast corner of the Park; © We purchased a 10-acre site on Ogden Road that will provide back-of-house support to our ever growing park; © We signed a new 100-year lease with The City of Calgary. CELEBRATING. HERE. ALL YEAR. Our many successes in 2007 came from the effort of thousands of people—a sincere thank you to our volunteers, employees, community and government partners, and sponsors for your contribution and commitment this year. Together we are preserving and promoting a set of shared values that are deeply rooted in our community: western hospitality, integrity, commitment to community and pride of place. In a time of tremendous growth and change for our city, the Calgary Stampede remains a vital and unifying force for Calgary. Whether celebrating, hosting or inspiring: we’re here, all year. The consolidated financial statements have been prepared in accordance with Canadian generally accepted accounting principles and necessarily include estimates that are based on Management’s best judgments. Information contained elsewhere in the Report to the Community is consistent, where applicable, with that contained in the consolidated financial statements. Management is responsible for installing and maintaining a system of internal controls to provide reasonable assurance that assets are safeguarded and that reliable financial information is produced for preparation of consolidated financial statements. Management believes that the system of internal controls operated effectively in 2007. Vern Kimball Chief Executive Officer January 25, 2008 Paul Harrison Chief Financial Officer January 25, 2008 29 AUDIT AND FINANCE COMMITTEE OF THE BOARD OF DIRECTORS The Board of Directors is responsible for overseeing Management’s performance of its responsibilities for financial reporting and internal control. The Board exercises this responsibility with the assistance of the Audit and Finance Committee of the Board. The Committee is composed of not fewer than five (currently eight) members, at least three (currently five) of whom are directors of Calgary Exhibition and Stampede Limited. The Committee reviews the annual consolidated financial statements, considers the appropriateness of accounting policies and assesses the overall quality of the financial reporting. The Committee also reviews and makes recommendations to the Board regarding financial matters and oversees the process that Management has in place to identify financial reporting risks. The Committee recommends to the Board the auditors to be appointed by the shareholders and approves in advance fees for the auditors’ services. Deloitte ' Touche LLP was appointed by the shareholders as independent auditors in 2007 to conduct an examination and express their opinion on the consolidated financial statements. The Auditors’ Report outlines the auditors’ opinion and the scope of their examination. The services provided by the independent auditors are restricted to the audit of the consolidated financial statements and audit-related services. The Committee reviews and approves the terms of engagement of the independent auditors, the scope and plan for the external audit and reviews with the auditors the results of the audit and the Auditors’ Report. The auditors report to the Committee. The Committee also discusses with the auditors their independence from Management and Calgary Exhibition and Stampede Limited and receives written confirmation of their independence. Management and auditors attend Committee meetings and each is provided with the opportunity to meet privately with the Committee. The Committee met nine times in 2007. Chris LeGeyt Chairman of the Audit and Finance Committee January 25, 2008 30 AUDITORS’ REPORT TO THE SHAREHOLDERS We have audited the consolidated statement of financial position of Calgary Exhibition and Stampede Limited as at December 31, 2007 and the consolidated statements of operations and community investment and cash flows for the year then ended. These financial statements are the responsibility of the organization’s management. Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with Canadian generally accepted auditing standards. Those standards require that we plan and perform our audit to obtain reasonable assurance whether the financial statements are free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall financial statement presentation. In our opinion, these consolidated financial statements present fairly, in all material respects, the financial position of Calgary Exhibition and Stampede Limited as at December 31, 2007 and the results of its operations and its cash flows for the year then ended in accordance with Canadian generally accepted accounting principles. The Calgary Stampede is incorporated under the Companies Act of Alberta as a not-for-profit organization and is exempt from income taxes under the Canadian Income Tax Act. The directors of the Calgary Stampede are elected or appointed volunteers who cannot be paid in any form for their services under its bylaws. The shareholders of the Calgary Stampede, who are also volunteers, cannot receive any dividends, nor can the shares appreciate in value. Shares can neither be sold nor held by persons outside of the Province of Alberta nor in the estates of deceased shareholders. 1. SIGNIFICANT ACCOUNTING POLICIES: The financial statements of the Calgary Stampede have been prepared in accordance with Canadian generally accepted accounting principles for not-for-profit organizations. A precise determination of many assets and liabilities is dependent upon future events and consequently, the preparation of periodic financial statements necessarily involves the use of estimates and judgments. Those estimates also affect the disclosure of contingencies at the date of the financial statements and the reported amounts of assets, liabilities, revenues, expenses and cash flows. Actual results could differ from those estimates. The financial statements have, in Management’s opinion, been properly prepared within reasonable limits of materiality and within the framework of the accounting policies summarized below. (a) Basis of Presentation: The consolidated financial statements include the accounts of the Calgary Stampede, its wholly owned subsidiary, Weadick Properties Limited (“Weadick”) and its 50% interest in Stampede Entertainment Inc. (“SEI”). The basic purpose of Weadick is to acquire lands for future Calgary Stampede expansion and development purposes. Weadick is incorporated under the Alberta Business Corporations Act as a not-for-profit organization and is exempt from income taxes under the Canadian Income Tax Act. The basic purpose of SEI is to present various western and Calgary Stampede related entertainment during the annual Stampede festival and throughout the year via television, movies and live performance. SEI is incorporated under the Alberta Business Corporations Act as a for-profit entity and is subject to income taxes under the Canadian Income Tax Act. The Calgary Stampede has joint control of SEI. The Calgary Stampede also controls the Calgary Stampede Foundation (“the Foundation”) due to its ability to appoint the majority of the board of directors of the Foundation. The Calgary Stampede has elected to disclose all pertinent financial information of the Foundation in the notes to these consolidated financial statements and accordingly, the Foundation’s financial accounts have not been consolidated with those of the Calgary Stampede. The Foundation has the primary objective of establishing programs for the benefit of young residents of Southern Alberta to advance their knowledge and understanding of the history, heritage, traditions and culture of Alberta. The Foundation is incorporated under the Companies Act of Alberta as a not-for-profit organization and is a registered charity under the Canadian Income Tax Act and accordingly, is not subject to income taxes. (b) Cash and Short-term Deposits: Cash and short-term deposits comprise cash on hand, demand deposits, deposits held in trust, bankers’ acceptances and commercial paper having a maturity of three months or less from the date of purchase, and are recorded at cost, which approximates market value. 35 NOTES TO CONSOLIDATED FINANCIAL STATEMENTS December 31, 2007, with comparative figures for 2006 (in thousands of dollars except as noted) (c) Inventories: Inventories held for resale are valued at the lower of cost and net realizable value. Supplies are valued at the lower of cost and replacement cost. (d) Employee Future Benefits: The Calgary Stampede has a number of defined benefit pension plans as well as a defined contribution pension plan that provide pension benefits to most of its employees. The defined benefit pension plans are based on years of service and final average salary. Pension benefit payments are not automatically increased for inflation. The cost of pension benefits earned by employees is actuarially determined using the projected benefit method prorated on service and Management’s best estimate of expected plan investment performance, salary escalation and retirement ages of employees. Plan obligations are discounted using current market interest rates and plan assets are presented at fair value. Actuarial gains (losses) arise from the difference between the actual long-term rate of return and the expected rate of return on plan assets, the difference between actual experience and actuarial assumptions used to determine the accrued benefit obligation, and from changes in actuarial assumptions. The excess of the accumulated net actuarial gains (losses) over 10 percent of the greater of the benefit obligation and the fair value of plan assets is amortized over the average remaining service period of active employees for the applicable pension plan. For the two pension plans where such amortization is occurring the average remaining service period of the active employees is 13 years and 12 years. The Calgary Stampede is amortizing a transitional asset on a straight-line basis over 13 years for one of its plans and is amortizing a transitional obligation over 10 years for another of its plans, which represented the average remaining service period of the active employees for the respective plan at the 2001 transition date. (e) Capital Assets and Amortization: Buildings and equipment are stated at cost less accumulated amortization. Major overhauls and improvements are capitalized, while normal repairs and maintenance are expensed as incurred. Park Development projects include the design and construction costs incurred on a number of projects related to the Calgary Stampede’s expansion plans. Interest incurred on debt specifically obtained to finance capital projects is capitalized during the construction period. Amortization is provided on a straight-line basis at rates designed to amortize the assets over their estimated useful lives. Title to the land on which certain portions of Stampede Park is located is vested in The City of Calgary and is used by the Calgary Stampede under a long-term lease expiring in the year 2060, with an additional 50-year renewal term. Lands owned directly by the Calgary Stampede are recorded at cost and are held for Calgary Stampede expansion and development purposes. (f) Impairment of Long-lived Assets: Long-lived assets are tested for recoverability whenever events or changes in circumstances indicate that their carrying amount may not be fully recoverable. An impairment loss is recognized when and to the extent that the carrying value of an asset exceeds the total undiscounted cash flows expected from its use and eventual disposition. 36 NOTES TO CONSOLIDATED FINANCIAL STATEMENTS December 31, 2007, with comparative figures for 2006 (in thousands of dollars except as noted) (g) Advances on Future Events: Advances on future events represent funds received in advance for events including the Stampede festival, conventions and trade shows, and facilities, building and ice rentals. Revenue for such events is recognized in income in the period in which the events take place. (h) Interest Rate Swaps: Interest rate swaps (“swaps”) are utilized to manage interest rate risk on the Calgary Stampede’s long-term debt. The Calgary Stampede does not enter into financial instruments for trading or speculative purposes. The Calgary Stampede believes the swaps are effective hedges, both at inception and over the term of the instrument, as the term to maturity, the (notional) principal amount and the interest rate basis in the instrument all match the terms of the debt instrument being hedged. The swap agreements provide for the periodic exchange of payments (without the exchange of the notional principal amount upon which the payments are based), which are recorded as an adjustment of interest expense on the hedged debt instrument. The related amount payable to or receivable from counterparties is included as an adjustment to accrued interest. (i) Grants and Contributions: The Calgary Stampede follows the deferral method of accounting for grants and contributions. Unrestricted contributions are recognized as income when received or receivable. Amounts externally restricted for capital purposes are initially recorded as “deferred contributions” when received or receivable and subsequently included in income in the same proportion as the amortization of the related assets for which the capital contributions were expended. Amounts that relate to operating expenditures of a future period are deferred until the related expenditures are incurred. (j) Donated Services: A substantial number of unpaid volunteers make significant contributions of their time in developing and delivering Calgary Stampede programs. The value of this contributed time is not reflected in the financial statements since objective measurement or valuation is indeterminable. (k) Comparative Information: Certain comparative financial information has been reclassified to conform to the financial statement presentation adopted in 2007. 2. CHANGE IN ACCOUNTING POLICIES: Effective January 1, 2007, the Calgary Stampede adopted the following accounting standards issued by the Canadian Institute of Chartered Accountants: © Section 3855, Financial Instruments – Recognition and Measurement; © Section 3861, Financial Instruments – Disclosure and Presentation; and © Section 3865, Hedges. The Calgary Stampede has adopted these standards prospectively and comparative consolidated financial statements have not been restated. There is no impact on the consolidated financial statements of the Calgary Stampede from the adoption of these standards. 37 NOTES TO CONSOLIDATED FINANCIAL STATEMENTS December 31, 2007, with comparative figures for 2006 (in thousands of dollars except as noted) All financial instruments must initially be recognized at fair value on the balance sheet. The Calgary Stampede has classified each financial instrument into the following categories: © © © © © Financial assets and financial liabilities held for trading; Loans or receivables; Held to maturity; Financial assets available for sale; and Other financial liabilities. Subsequent measurement of the financial instruments is based on their classification. Financial assets and financial liabilities held for trading are measured at fair value and changes in those fair values are recognized in “interest and other” in the Consolidated Statement of Operations and Community Investment. Financial assets available for sale are measured at fair value, with changes in those fair values recorded directly in “investment in community” in the Consolidated Statement of Financial Position. Financial assets held to maturity, loans or receivables and other financial liabilities are measured at amortized cost using the effective interest rate method of amortization. Upon adoption, the Calgary Stampede has classified all financial assets as loans or receivables, with the exception of cash and short-term deposits and restricted cash, which have been classified as held for trading. The Calgary Stampede has classified all financial liabilities as other financial liabilities. The Calgary Stampede assesses at each balance sheet date whether a financial asset carried at cost is impaired. If there is objective evidence that impairment exists, the amount of the loss is measured as the difference between the carrying amount of the asset and its fair value. The carrying amount of the asset is reduced and the loss is recognized in investment income. 3. EMPLOYEE FUTURE BENEFITS: The Calgary Stampede has a number of defined benefit pension plans as well as a defined contribution pension plan. In 2007, the Calgary Stampede made cash payments to its pension plans for employee future benefits amounting to $2.8 million (2006 - $2.4 million). (a) Defined Benefit Pension Plans: Actuarial valuations of the Calgary Stampede’s defined benefit pension plans were carried out as at September 30, 2005 and were then extrapolated to December 31, 2007. The next actuarial valuation of the Calgary Stampede’s defined benefit plans is required to be completed by September 30, 2008. 38 NOTES TO CONSOLIDATED FINANCIAL STATEMENTS December 31, 2007, with comparative figures for 2006 (in thousands of dollars except as noted) Information concerning the Calgary Stampede’s defined benefit pension plans, in aggregate, is as follows: 2007 Accrued benefit obligation Balance, beginning of year Current service cost Interest cost Benefits paid Curtailment and contractual termination costs Actuarial (gain) loss Balance, end of year Plan assets Fair value, beginning of year Annual return on plan assets Employer contributions Benefits paid Fair value, end of year Funded status - plan deficit Unrecognized past service cost Unrecognized net actuarial loss Unrecognized transitional asset Accrued benefit asset $ 2006 35,092 2,291 1,768 (1,841) 528 (657) 37,181 32,901 1,970 2,623 (1,841) 35,653 (1,528) 245 6,765 (1,918) 3,564 $ $ 30,351 2,026 1,659 (928) – 1,984 35,092 29,817 1,756 2,256 (928) 32,901 (2,191) 269 7,416 (2,094) 3,400 $ The Calgary Stampede’s defined benefit costs recognized in the year are as follows: 2007 Current service cost Interest cost Actual return on plan assets Actuarial (gain) loss on accrued benefits Curtailment gain and contractual termination costs Difference between expected return and actual return on plan assets for year Difference between actuarial loss (gain) recognized for year and actual loss (gain) on accrued benefit obligation for year Difference between amortization of past service costs for year and actual plan amendments for year Amortization of transitional asset Defined benefit costs $ $ 2006 2,291 1,768 (1,970) (657) 635 2,067 (317) 968 24 (283) 2,459 $ $ 2,026 1,659 (1,756) 1,984 – 3,913 (373) (1,797) 24 (283) 1,484 39 NOTES TO CONSOLIDATED FINANCIAL STATEMENTS December 31, 2007, with comparative figures for 2006 (in thousands of dollars except as noted) The asset mix of plan assets at September 30 each year consist of: 2007 Asset category: Balanced mutual fund Equity securities Debt securities Other 2006 15.00% 48.00% 31.00% 6.00% 14.00% 50.00% 32.00% 4.00% The significant actuarial assumptions adopted in measuring the Calgary Stampede’s accrued benefit obligations at December 31 each year are as follows (weighted average assumptions): 2007 Accrued benefit obligation: Discount rate 5.00% 4.85% Defined benefit costs: Discount rate Expected long-term rate of return on plan assets Rate of compensation increase 4.85% 6.95% 4.50% 5.20% 6.98% 4.50% (b) Defined Contribution Pension Plan: The Calgary Stampede’s defined contribution pension plan expense for 2007 was $226 (2006 - $191). 40 NOTES TO CONSOLIDATED FINANCIAL STATEMENTS December 31, 2007, with comparative figures for 2006 (in thousands of dollars except as noted) 4. BANK INDEBTEDNESS: Bank indebtedness at December 31 is comprised of the following: Revolving demand operating loan(a) Revolving demand credit facility(b) $ $ 2007 12,868 – 12,868 2006 $ 533 9,893 10,426 $ (a) Revolving Demand Operating Loan: The revolving demand operating loan facility, available to a maximum $20.0 million, bears interest at the bank’s prime interest rate. As security, a Canadian chartered bank holds a fixed debenture in the amount of $50.0 million charging certain lands and leased fee interests owned by the Calgary Stampede. (b) Revolving Demand Credit Facility: The Calgary Stampede negotiated new credit agreements with its creditors during 2007 and as a result, the previously available $30.0 million revolving demand credit facility, which bore interest at bankers’ acceptance rates plus 0.30%, has been replaced with additional non-revolving credit facilities as disclosed in Note 6. 6. As security, The City of Calgary, as unconditional guarantor, holds a fixed debenture in the amount of $135.5 million charging certain lands owned by the Calgary Stampede. The Calgary Stampede has entered into interest rate swap agreements with a Canadian chartered bank under which the Calgary Stampede has fixed interest payments on the portion of its committed non-revolving credit facility maturing in 2024 at 6.23% per annum and on the portion maturing in 2032 at 5.74%. The fair market value of the interest rate swaps at December 31, 2007, which have been estimated using year-end market rates would, for the portion maturing in 2024, result in a loss of $2.1 million (2006 – loss of $2.5 million) and, for the portion maturing in 2032, a loss of $1.8 million (2006 – $nil). These losses approximate the amounts the Calgary Stampede would pay if the swap agreements were closed out at that date. NOTES TO CONSOLIDATED FINANCIAL STATEMENTS December 31, 2007, with comparative figures for 2006 (in thousands of dollars except as noted) In addition to the foregoing credit facilities, and subject to the above noted security, the Calgary Stampede has an undrawn $80.0 million committed non-revolving credit facility with a Canadian chartered bank available for future Calgary Stampede expansion and development.
