I am honored to be writing my first column as the new editor of the MAAHP Newsletter.
Since our last newsletter, our organization has added 10 members and has taken on a
number of important initiatives, including planning our first annual conference. If you
have recently joined our group, welcome aboard. We are so happy to have you.
While the last 18 to 24 months have been trying for our industry, the outlook continues to
improve. Credit prices are up, new investors have entered (or re-entered) the market, and
more deals are penciling out. But of course, challenges remain ahead, as Anita Anand's
article on page 2 reflects. But, I was reminded by a recent article in the Clarion Ledger of
just how important our work and, by extension, our organization is for low-income
Mississippians. The June 2 article, citing a report from the National Low Income Housing
Coalition, addressed the gap between the amount of rent low-income workers can afford
and what they can find. According to the report, the "housing wage" in Mississippi, the
hourly amount a worker must earn to afford fair-market rent for a two-bedroom home or
apartment, is $13.22 while the mean hourly wage for a Mississippi renter is only $9.77.
These numbers tell us what we already know: many low-income workers in Mississippi
cannot afford to pay fair-market rent. Two other points made in the article caught my
attention. First, also according to the NLIHC report, in Hinds County, in order for a
minimum-wage earner to afford fair-market rent for a two-bedroom house, she would
have to work 81 hours per week. Second, the demand for rental housing has increased
over the past several years. According to the report, almost 3 million households have
become renters over the last four years and another 3 million are expected by 2015. As
demand for rental property increases, prices will likely increase as well, making rental
property even less affordable for our working poor.
These economic disparities make our work in this industry and in this organization more
important than ever. They occur at a time when the recovery seems to be sputtering, jobs
remain hard to come by, and governmental actors at all levels tighten their belts and seek
additional reductions in existing programs. So, let's all renew our commitment to our
important work of providing decent, affordable housing to working Mississippians. Please
join us for our upcoming conference, preliminary details of which you will find in this
newsletter, where we will explore the issues we face as we strive to do just that.

As the affordable housing industry was still rebounding from the effects of
our challenging economic times, no one knew that what lied ahead would be
another potential hit to the industry at large – budget cuts.

programs, completely eliminating other programs, and implementing an
across-the-board 0.2 percent reduction in discretionary programs.

On April 15, 2011, President Obama signed H.R. 1473, the Department of
Defense and Full-Year Continuing Appropriations Act, 2011 including cuts
totaling approximately $38 billion and over $2 billion in cuts to various U.S.
Department of Housing and Urban Development programs, almost 6.5%
below 2010 funding levels.
So what does this mean? This means that programs designed to support and
help low income families achieve homeownership and affordable housing will
have less financial support than before. Of course, funding is critical in these
programs accomplishing its goals.
With current foreclosure and overall unemployment rates, the demand for
affordable housing has only been increasing. Not only do these budget cuts
not help address this increased demand, but actually worsen the problem.
The U.S. Department of Housing and Urban Development is expected to
begin implementing these cuts shortly, which means that what opportunities
used to once exist for low income families may either no longer be there to
take advantage of or limited.
Making the future more bleak are the anticipated cuts in next year’s budget to
help further reduce the federal deficit. As the need for affordable housing
increases, it appears that the funding will not be able to match that need.
Trade organizations have been encouraging their members to reach out to
elected officials in hopes of not only helping them understand the severity of
this issue and the negative impacts these budget cuts will have on affordable
housing across the country, but also address the concern.
So, coming back to the main question – what does the future hold for
affordable housing? Of course only time will tell, but clearly, the industry has
a fair number of challenges ahead.

THE MISSISSIPPI LIMITED LIABILITY COMPANY ACT

On April 16, 2010, Mississippi’s Governor, Haley Barbour, signed the Revised
Mississippi Limited Liability Company Act (the “Act”), which becomes effective after
January 1, 2011. The Act repeals and replaces certain sections of Title 79, Chapter 29 of
the Mississippi Code of 1972, as revised, which affect limited liability companies
("LLCs") and their ability to operate in the State of Mississippi.
The most significant provisions created by the Act are those regarding domestic and
foreign limited liability companies, which will require LLCs to file annual reports. These
annual reports must contain the following information: company name; jurisdiction
(domestic or foreign); name and physical address of registered agent in Mississippi;
address of principal office; name and address of business manager(s), or at least one
member if member-managed; names and addresses of its principal officers, if any; a
statement as to whether the LLC has a written operating agreement; and a brief description
of the nature of the business of the LLC. In addition, the Act sets the filing fees for these
annual reports at $0.00 for domestic LLCs and $250 for foreign LLCs.
The Act provides for the early adoption of and subjugation to the Act by existing LLCs in
the following ways:
■ General Contractors
■ Housing Agencies
■ Insurance
■ Insurance/Surety Bonds
■ Legal
Domestic LLCs
“(a) Adopting this chapter by complying with the procedures for approval by filing
an amendment to its certificate of formation for a fee of $50.00;
(b) Amending any noncomplying organizational documents to comply and if any of
its organizational documents, including its certificate of formation, do not
comply it shall amend the noncomplying organizational documents to include
filing a certificate of amendment; and
■ Market Analyst
■ Material Suppliers
■ Municipal Government
■ Property Management
■ Property Tax Consultants
■ Sub Contractors
(c) Filing a statement that the domestic limited liability company is electing to
adopt this chapter.”
Foreign LLCs
■ Syndicators and Equity Investors
“(a) A statement that the foreign limited liability company is electing to adopt this
chapter; and
■ Utility Submetering & Water
Conservation
(b) An amendment to its registration of foreign limited liability company that would
cause its certificate of registration for a fee of $50.00.”
The Act also defines actions which will be taken by the Secretary of State if LLCs fail to
comply with the new provisions. There are procedures for administrative dissolution of
both domestic and foreign LLCs, procedures reinstatement following administrative
dissolution, the appeal process for denial of reinstatement, and the effect of dissolution,

along with fees for reinstatement following dissolution. This will help clear the State rolls of
LLCs that are no longer in business that did not file a Certificate of Dissolution or a Certificate
of Withdrawal.
In addition, the Act defines the general standards of conduct of a LLC manager, officer, or
member of a member-managed LLC. These standards of conduct can be expanded or restricted
by the LLC’s written operating agreement. The Act alters or eliminates the fiduciary duty of
managers and/or members as follows: “If not manifestly unreasonable, prescribe the standards
by which to measure the performance of the implied contractual covenant of good faith and fair
dealing under Section 79-29-123(3)(g).” The Act now prohibits the Secretary of State from
issuing a Certificate of Existence after the effective date of a Certificate of Dissolution.

report (due April 15) without penalty.
All LLCs which have not filed their
annual reports by December 1, 2011
will be dissolved.
