and uses throughout their

fellow man.” But for the
person who recognizes his
or her participation, necessity, and significance in our
world, this word can also
connote unlimited potential for self-improvement
and the chance to enter
an amazing new world – a
world of new relationships
with interesting people, a
joyful world of shared labors, a world of unique
possibilities.

the world, having achieved
wealth and prosperity
through hard work and talent, are ready to share that
wealth and knowledge acquired on life's difficult

History
For fifty-three years, the
Nanuet Rotary has operated
as a small club with a big
heart! The Nanuet Rotary
club is nestled within
the suburban town of
clarkstown in the county
of Rockland, approximately
thirty miles north of New
York city. however, the
club’s impact has reached
far beyond the hamlet of
Nanuet. Past and present
club members represent
many walks of life, including
business owners, educators,
practitioners of medicine,
bankers, insurance agents,
accountants, realtors, and
representatives of nonprofit organizations. Women
were inducted into the club
in the 1990s and have served
in numerous leadership roles
since that time.
Since 1956, the Nanuet
Rotary club has embraced

its Service above Self motto
through activities within the
community, regionally, and
internationally. Outreach to
children has been a priority, as evidenced by annual
sponsorship of athletic programs, the Nanuet School
District’s Family Resource
center, Rockland children’s
Psychiatric center, children
of Promise Stables equestrian program for individuals
with disabilities, People-toPeople holiday wish-fulfillment projects, purchasing
day planners for local high
school students, and donating money to provide
wigs for youth undergoing
chemotherapy.
The Nanuet Rotary club
is proud of its service to the
community, as well. club
members periodically deliver
meals for Meals-on-Wheels,
an organization founded by
the club’s first female president, Shelly Berger. Financial support is provided
annually for this organization, which now prepares
and delivers hundreds of
meals daily to homebound
residents across Rockland
county. The club also provides financial support to
our local ambulance corps
and fire department. The
club was instrumental in
supporting the purchase of
a fire training trailer which
enables school children to
practice responses to smoke
and fire emergencies. at
holiday time, gifts are distributed to developmentally
disabled residents of group
homes within the community. club presence is visible in the community via
flag displays for federal holidays, holiday scenes to decorate the town, and adopt-
a-Road clean-up activities.
in celebration of Rotary
international’s
centennial, a Landscape for Learning
outdoor education nature
trail was funded for Nanuet School District students,
in conjunction with a local
eagle Scout project.
The Nanuet Rotary club
proudly awards two scholarships annually to graduating
high school seniors. Funds
are distributed through
the Nanuet Rotary Scholarship Foundation, inc. in
the amounts of $6,000 for
a student who will go on
to a four-year institution
and $500 for a student who
will study at a two-year institution. although the
Scholarship Foundation is
a separate entity from the
club itself, many members
serve as officers or board
members.

How does it feel
to save a life?
The club has raised significant amounts of money
over the past seven years to
enable two children to have
life-saving surgery through
Rotary international’s Gift
of life program. Rizze,
a toddler from the Philippines, received a corrective
heart procedure in 2003
at Montefiore hospital in
a borough of New York city.
Doctors and nursing personnel donated their services, while the Nanuet Rotary
club contributed $6,000 for
travel and related expenses.

club members provided all
transportation to and from
the hospital and airport.
Similarly, Jhostyn, a young
boy from Bolivia, traveled
to america with his dad in
2008. They resided in the
home of Jill and George
Pejoves, a bilingual Rotarian family, while Jhostyn underwent the heart operation
which is now enabling him
to live a normal life. all hospital and physicians’ services at Maria Ferari children’s
hospital in New York were
donated, whereas the Nanuet Rotary club paid for all
travel and other expenses.
Jhostyn had been diagnosed
with a ventricular septal defect just before the age of
two. any exertion exhausted
him; without corrective surgery his physical and mental growth would have been
significantly impaired, most
likely ending his precious
life. in his native la Paz, Bolivia, the corrective surgical
procedure would have cost
a prohibitive $80,000. Fortunately, a Bolivian Rotarian
connected the family with
the Gift of life program,
america
has involved a partnership
with the hudson Valley humane Society. Together, the
two organizations have organized Rockland’s Doggie
Day in the Park. Pet-lovers
bring their canine friends out
for a day of entertainment,
demonstrations, treats, and
camaraderie. Proceeds from
four such events have been
divided between the humane Society for its operating expenses and the Nanuet
Rotary club for its charitable works. Raising money,
only to subsequently give it
away, is a wonderful thing!

The mission of both Gift of
life international and Gift
of life programs around
the world is to further the
cause of world peace and
understanding by facilitating free medical services to
children suffering from congenital heart defects who
would otherwise lack access
to such services. Once the
volunteer team of doctors
determines that the child
will benefit from surgery, the
host Rotary club must make
a commitment to house and
feed the child’s family, agree
to transport the family to
and from the hospital and
airport, and provide $6,000
toward all in-kind expenses.

New Nuclear Arms Treaty Was Signed In Prague
PRaGUe — On april 8, 2010
Russian President Dmitry Medvedev
and U.S. President Barack Obama have
signed a new treaty to restrict countries to the number of nuclear weapons they can hold.
Under the treaty signed in Prague
today, each country is to reduce the
number of nuclear warheads from the
current limit of 2,200 to 1,550 in the
next seven years.
This deal will also allow only 700
so-called weapon delivery vehicles for
each side, and let 18 inspections per
year.
Obama said: "Today is an important milestone for nuclear security and
nonproliferation, and for U.S.–Russia
relations. it fulfills our common objective to negotiate a New Strategic arms
Reduction Treaty. it includes significant reductions in the nuclear weapons
that we will deploy. it cuts our deliv-
tegic arms Reduction Treaty (STaRT)
that expired last December.
almost a year to the day ago Obama
spoke to huge crowds right outside of
the Prague castle gates, where new
treaty was signed now, about nuclearfree world. he said: "One year ago this
week, i came here to Prague and gave
a speech outlining america's comprehensive commitment to stopping the
spread of nuclear weapons and seeking the ultimate goal of a world without them,” "i said then and i'll repeat
now that this is a long-term goal, one
that may not even be achieved in my
lifetime, but i believed then, as i do
now, that the pursuit of that goal will
move us further beyond the cold War,
strengthen the global nonproliferation
regime, and make the United States
and the world safer and more secure."
as optimistic and promising both
presidents sounded while talking about

This newly signed treaty is the longawaited continuation of the 1991 Stra-

The unspoken issue is about missiledefense systems.
Medvedev made the warning that
Russia would not stay with a treaty if
the United States would keep increasing its missile defense in a way that
would present a threat to nuclear potential of Russia's strategies.
President Medvedev said: "We believe — and our american partners
know this, as it is our declared position — that the agreement can be val-

of a qualitative and quantitative upgrade in any missile-defense system,
which could ultimately pose a threat
to Russia's strategic forces,” "That is
the point of our statement, which is
being made upon the signing of this
agreement and which will of course be
published."
Just prior to the press conference
where both presidents came, kremlin distributed the statement president Medvedev was mentioning. This
statement was described as “unilateral” by the official White house website immediately after it was released
by kremlin. The website stated that
those conditions from the Russian
side where not included in writing in
the treaty wording.
"if we had agreed to it, the issue
would be put into the treaty text, or issued as a 'joint' statement. in fact, the
United States issued its own unilateral statement, indicating that it plans
to continue to develop and deploy its
missile-defense systems in order to defend itself. Neither the Russian statement nor the U.S. statement is legally
binding on the other party “ — said
the White house website.
President Obama did not give any
direct comment on the disagreement,
but what was said that he and Medvedev would expand their discussions on
missile defense

Final Voyage of Space Shuttle Atlantis

The atlantis launched its last expected mission from the kennedy
Space center in Florida at 2:20 pm
eST. it will deliver a Russian docking and storage module, the Rassvet,
to the international Space Station
(iSS) on its 12-day mission. This flight
marks the beginning of the end of
the US space shuttle program. Only
two flights will follow, by endeavour
and Discovery, before the orbiter fleet
will be retired and relegated to museums. as Mike leinbach, Nasa's shuttle launch director, adminstered the final countdown for the launch, crowds
gathered on the Florida Space coast
to catch a glimpse of the shuttle's last
fantastic voyage into the sky.
leinbach radioed the crew from
control: "On behalf of all the manufacturing, processing, flight and
launch teams that have worked on atlantis since March of 1980, i'd like to
wish you all good luck, God speed;
and have a little fun up there."
This will be the 32nd mission for
the atlantis since its first in 1985. The
launch was carried out with minimal
complications, reaching an altitude of
220km above kennedy Space center before powering down its main
engines. On day two of the mission,
the atlantis crew will utilize a robotic
arm and an accompanying sensor system to check the vehicle's surface in-

tegrity; on day three, they are expected
to dock with the iSS.
although the shuttle retirement has
outraged many, US President Barack
Obama has announced that the new
exploration policy is too ambitious
for the current shuttle fleet, which has
been operating since 1981. Nasa, for
decades the embodiment of space exploration, will no longer have the responsibility of transporting astronauts
to and from the iSS; instead, private
companies will absorb that role, while
Nasa concentrates on researching and
developing shuttles that can go further
into space than the present fleet can.
"The shuttles seem to be flying
about as well as they've ever flown.
We're flying longer missions and having fewer problems on orbit than
we've ever had on the vehicles," veteran astronaut Jerry Ross told reporters
before the launch. Ross has five atlantis spaceflights under his belt. "My
own private, personal opinion is that
the shuttle has run its course. it's time
to press on with something different."
in its 25 year career, the atlantis has launched interplanetary probes
from orbit and led the Shuttle-Mir
program, visiting the Russian Mir station more than any other shuttle. in
addition to delivering the Rassvet to
the iSS, the shuttle is also carrying a
large rack with six new batteries for
the orbiting platform, an additional
ku-band antenna, and a tool module
for the Dextre robot system. During
the course of three spacewalks, each
of the three items will be appended to
the outside of the platform.
The Rassvet attachment is expected to be the trickiest part of the mission. On day five, the crew will carefully attach the Rassvet module to the
underbelly of the iSS. Normally, Russian modules are flown to their positions, not attached via robotic arm.
This means that the crew will have to
take extra precautions to properly engage the docking mechanism. Britishamerican astronaut Piers Seller said,
"We're going to be pretending to dock
this like a Soyuz or Progress spacecraft." Piers will be directing robotic
operations. "We're going to use the
arm and very carefully approach the
docking cone, and we're going to fool
Rassvet into thinking it's docking itself. That's how it's going to activate
all its latches and hooks."
Upon its return, the atlantis will
be prepared to act as a rescue shuttle on standby in the event of any
complications for the endeavour's
November launch.Nasa has not yet
ruled out the possibility of flying the
atlantis out for additional supplies to
the iSS.The next mission will see the
Discovery deliver a container of supplies to the iSS. Nasa is pushing for
a September launch.
New $100 Bill Released
by U.S. Treasury

in its continual effort to thwart
counterfeiters, the United States
Treasury has revamped the $100 bill.
The Treasury introduced a new security feature on the bill entitled
Motion, which embeds over half a
million microlenses that shift a watermarked image - in this case, the
portrait of Benjamin Franklin - on
the bill when it’s moved from side to
side or up and down.
Ben Franklin’s portrait will be
joined by a small image of the liberty Bell, which, in addition to the
“100” on the bill, will also color
shift. The Treasury expects to implement a security thread and a 3-D security ribbon that will be woven into
the bill, rather than just printed on it.
Federal chairman of the Reserve
Ben Bernanke commented on the
bill’s facelift: “This note incorporates
the best technology available to ensure we’re staying ahead of counter-
feiters.” The $100 bill has long been
a favorite of foreign counterfeiters.
although the bill was originally
expected to debut in 2008, the time-
frame was elongated to allow for additional security enhancements. The
new bill is expected to be released on
February 11, 2011.

On September 24, 2009,
the Bill and Melinda Gates
Foundation launched the Living Proof Project: U.S. Investments in Global Health
are Working, a multi-year,
multimedia campaign to emphasize the progress made
in global health initiatives by
the U.S. government.
The campaign focuses
on progress made in the
areas of global immunization, the fight against malaria, and the fight against
hiV/aiDS, among other
efforts. “We want to show
americans that their investments in global health
are working,” said Bill
Gates, co-chair of the
Gates Foundation. “We
should all be proud that
U.S.-funded health programs are saving millions
of lives and bringing new
hope to poor and developing countries.”

in 17 countries with high
levels of vitamin and mineral deficiencies to fortify
staple foods and condiments such as wheat flour,
maize meal, sugar, vegetable oil, milk, soy sauce, and
fish sauce. GaiN receives
funding from a number of
organizations, including
the Gates Foundation and
the United States agency
for international Development (USaiD), and works

has already helped more

their goal is to reach one

to Fight aiDS, Tuberculosis and Malaria (Global
Fund) has helped to deliver 88 million insecticidetreated bed nets to protect young children from
malaria. additionally, they
have distributed 74 million
malaria drug treatments.

32 million people with lifesaving malaria prevention

thought to be nearly eradicated, is making a dangerous comeback, particularly in africa and Southeast

people globally die from
tuberculosis every year.
People who are hiV-positive and infected with TB
are up to 50 times more
likely to develop active TB
disease in their lifetime
than people who are hiVnegative and infected with
TB. USaiD is supporting
life-saving TB treatment
programs in 41 developing countries by strengthening their ability to use
proven and cost-effective

A family loses their home in a fire. A mother sees
her son off to war. A Holocaust survivor learns
of his mother’s fate. A young man realizes his
dream of helping others...
at first glance, these stories seem completely unrelated. But the people at the
center of these stories are

all touched by the compassionate, humanitarian efforts of the american Red

each year, the american Red cross Greater
Miami & The keys helps
hundreds of families that
are forced to leave their
homes because of a fire. in
July 2009, David comption
and chevellanie Bean came
home from a family trip to
find firefighters battling a
fire at their North Miami
home. immediately, Red
cross volunteers, wearing
the red and white disaster
relief vests, gave the hearing-impaired family a place
to stay and helped meet
their immediate needs for
food, clothes and medicine.
“it’s been my first time
having anything to do with
the Red cross and i feel
so blessed because i have
nothing right now and
they’ve willingly helped us,”
compton said through an
interpreter. “They’ve made
the burden lighter.”
Volunteers worked closely with compton, Bean and
their roommates to make
sure they were comfortable
after the fire. While waking up in the middle of the
night to help strangers may
not be everyone’s calling,
Red cross volunteers take
their responsibility to heart,
because their strong sense
of compassion prevents
them from allowing others
to suffer.

hope that made Paul Gast
reach out to the american
Red cross. after nearly 60
years of not knowing his
mother’s fate and hoping
she was not killed in a gruesome way, the 78-year-old
holocaust survivor finally
felt it was the time to know.

europe to give Mr. Gast an
answer.
“The Germans kept terrific records,” Mr. Gast said.
“She died of a heart attack
on October 23, 1945 at 10
a.m. and she was cremated.

help of the Red cross. it
put me at ease knowing the
day and hour she died,” Mr.
Gast said.

IL: You faced a lot of
challenges as a child and
a young man. Tell us a little about your life growing up.
AM: like a lot of kids today, i faced many challenges
and was forced to overcome
them as best as i knew how.
i elected myself into a group
home and shortly thereafter
i requested to be placed into
state foster care because the
group home setting was
not for me. i was lucky and
ended up with a wonderful
woman, my foster mom Fannie Threet, who encouraged
me and provided a great and
positive environment for
me to grow up. i was able
to excel in athletics, specifically basketball, and earned
a full scholarship to Georgetown University. initially i
felt somewhat out of place
just because the majority of
students there came from
upper-class families and had
received a strong education,
but my coach really helped
me to focus and work extra
hard both in basketball and
in my studies.
IL: What is the most
memorable event from
your childhood?
AM: My most transformative childhood event was
putting myself into foster
care at the age of ten. i realized i needed to change
things and i took my life
into my own hands.
IL: What role did women play in your life?
AM: My foster mom,
Fannie Threet, played a very
important role in my childhood. She was a local hero
where i grew up in chesapeake, Virginia. She helped
raise forty-nine kids. i knew
that staying with Ms. Threet
was the best thing for me.
Ms. Threet continues to in-
spire me as i now continue to help the youth in my
community.
IL: How did you start
playing basketball?
AM: When i was living in
foster care my dad enrolled
me in a summer basketball
camp at Old Dominion
University in Norfolk, Va.
i was twelve years old and
knew right away that i loved
basketball. The coach at the
time helped me begin to set
my goals on playing college
ball and providing me with
all the tools and resources
i needed to play successfully. By the time i was in the
eighth grade, i was playing
on the high school junior
varsity.
IL: So many professional athletes seem to lose
themselves when they go
into retirement. After focusing for so long on the
sport, there's a sense of
“Now what?” But you
have thrown yourself into
charity work, starting long
before retirement. What
was your inspiration for
founding Alonzo Mourning Charities in 1997?
AM: i saw a lot of mistreated and misunderstood
children when i was in a
group home. important to
starting alonzo Mourning
charities was being able to
help kids that wouldn’t otherwise get the opportunity to grow and fulfill their
potential.

IL: Your charitable work
focuses on giving young

hard to influence their future. How do you see these
kids turning out? What are
the long-term changes that
you would like to see in the
communities you work in?
AM: Seeing these kids finish school, go to college, successfully reach their career
goals and become productive
citizens is the ultimate goal

their dreams or finish school
without our help and guidance, and that’s what we’re
here to provide. Seeing them
succeed in life means we had

IL: The Overtown Youth
Center (OYC) was opened
in 2003 in Miami, FL.
Tell us about the work of
the OYC.
AM: in 2003, i teamed
up with donors to build the
OYc, a state-of-the-art facility in Miami’s inner city
of Overtown. OYc programs are designed to engage children in educational and recreational activities
that promote their physical,
cognitive, motor, social, and
emotional
development.

families by fostering hope

IL: Your website mentions plans to open more
youth centers. Please tell
us a little more about that.
AM: We are now working
with the city of Miami Gardens to open a center in the
Bunche Park area. This area
is known for its 30% graduation rate. We are hoping
to combat this startling statistic. The split-level facility
will include dance and music
studios, a library, classrooms
and a gymnasium.
IL: What, to you, has been
the greatest sign that you
are making a difference?
AM: alonzo Mourning
charities has grown to become such a big part of our
community. i see it in the
kids more than anything.
They have a vision and they
walk with purpose. Seeing
the youth of our community become more focused on
education and experience
things they wouldn’t otherwise have the chance to do
shows me that we are on the
right path.
IL: Thanksgiving is
coming up. You have surprised hundreds of families since 2000 with fullyprepared Thanksgiving
meals delivered to their
front doors. How did you
decide to start this program, and how many
families will be reached
this year?
AM: Our “33 Thanksgivings” program was started
in 2000 and the first year we
delivered 33 meals to nearby
families. Over the years this
program has grown tremen-

diagnosed with the rare
kidney disease Focal
Glomerulosclerosis
after a routine pre-season
physical checkup. After a
kidney transplant, you are
doing well. Since then,
you founded Zo's Fund
for Life, a foundation to
raise awareness about
kidney disease and to
seek funding for research.
Tell us more about the
work of this fund.
AM: We launched Zo’s
Fund For life during the
2001 NBa all-Star Weekend. The program raises
funds for research, education, and testing to fight
Focal
Glomerulosclerosis (FSGS). This summer,
through legislation, the
“alonzo Mourning access
to care act” was signed
into law in the State of Florida by Governor charlie
christ. This act is expected
to make 11,050 eSRD patients and 200,000 patients
with disabilities eligible for
the same Medigap coverage.
28 states have adopted Medigap coverage, and there
are discussions about taking
the legislation to a national

IL: In 2003, your wife,
Tracy Wilson Mourning,
founded the Honey Shine
Mentoring Program for
girls ages 8-18. What activities do the girls participate in?
AM: The honey Shine
Mentoring Program is a
program of alonzo Mourning charities that works
to empower young girls to
shine as women. They host
bi-weekly workshops and
an annual four-week summer camp that encourages the balance of mind,
body and soul in girls and
women by providing nurturing experiences that enlighten their paths and empower their future. More

IL: What plans do you
have for your charity work
in the future? What would
you like to do next?
AM: We plan to continue
all of current programming

and expand the reach of our
services. There are so many
communities that can benefit
from what we do. With the
added help of individual donors and corporate partners
we can impact so many other lives. My wife’s program,
the honey Shine Mentoring

than 150 girls. i’m glad to
see we’re helping out young
girls through Tracy’s leadership and inspiration.
IL: In 2008, your memoir, Resilience, was released. Why did you decide to write a memoir,
and what do you hope
people will get out of
reading it?
AM: i wanted to share
the hardships and challenges
i’ve endured and overcome
in R esilience, from petitioning myself into foster care
as a ten-year-old, to studying my way onto the Dean's
list at Georgetown, surviving an incurable and degenerative kidney disease and
transplant, as well as pushing to become a top player
in the NBa. i wanted my
story to become a symbol
of hope and strength and to
inspire people.
IL: Do you have a favorite book that you
would recommend for our
readers?
AM: anyone can benefit
from R esilience. it can be applied to any situation. i share
all of the struggles i’ve gone
through with hope and faith
at the forefront.
IL: Is there something
else that you dream to

What impressions did you
take away from that? Of all
the people you’ve met, who
has left the deepest impression on you?
AM: it was truly an honor being in the presence of
President Obama, the first
african american president.
Witnessing this very historic moment is tremendous. i
only wish my grandparents
were here to share in this
occasion with the rest of
the world.
The person who has left
a deep impression in my life
is and will continue to be my
foster mom, Fannie Threet.
She was a very giving person. She will go without so
other people can have.
IL: Alonzo, you are such
an inspiration to so many
people, both sports fans
and non-fans alike, because you have overcome
huge obstacles in life and
you do so much to help
other people. What advice
can you give to people who
also want to make a difference in the world, but don’t
know how to get started?
AM: There are many opportunities to get involved
here at alonzo Mourning
charities, but first and foremost follow your dreams.
Once you are content with
yourself, share that with
others. help others achieve
their goals. You will be better for it.

Legal Missteps in Technology Ventures

The global financial crisis, despite
heavily affecting each and every business, presents unique opportunities
for international technology companies, and security, communications
and software companies in particular.
The technology consumers are clearly
focused on value propositions seeking, products that bring the most efficient results at the lowest costs. Unfortunately, tech companies preoccupied
with the struggle for survival often fail
to recognize the legal pitfalls that could
haunt them in the future. Tech companies’ legal budgets are shrinking, but
there are ways to prioritize legal tasks
in order to avoid the venture’s “birth
defects” and to prevent larger troubles
in the future. Of course, nobody’s perfect, but there are degrees of “errors,”
and we would like to point out several key issues which, in our practice of
representing high-tech companies, appear to pose the biggest problems and
cause the most painful legal quagmires.
current economic circumstances
force enterprises to jump at each and
every opportunity for building business. however, if the management
fails to adequately address the legal
issues at the outset, it may lose the
foundation required for the company’s
growth and expansion. among the key
elements that high-tech companies
should value (but forget to effectively protect) are legal rights in intellectual property, competitive information
about key technologies, exclusive use
and protection of its know-how, copyrights, trademarks, and patents, which
in turn means loss of opportunities,
time and, ultimately, money. however,

the most painful consequence of legal
sloppiness is the loss “in success” or,
in other words, in the opportunity to
enjoy the fruits of the technological
accomplishments despite the competitive edge of their inventions. as we see
it, the legal dangers of tech ventures
come from three “cs”:
1) co-creators,
2) co-owners, and
3) consultants.
The first “c” stands for “co-creators.” at the early stages of developments struggling high-tech companies
scramble for resources and quite often
shortcut the typical production cycles
of intellectual property by hiring freelance developers, scientists and “starving students,” often without much
legal documentation. The problem
arises because, under the laws of most
countries, creators of iP are deemed
owners or co-owners of such iP in the
absence of employment relationship,
specific “work for hire” agreement, or
an assignment. consequently, when
the company then approaches success,
the “co-creators” come to claim their
share of profits, royalties or demand
multiple payoffs, citing lack of any
written agreements to the contrary.
in addition, the “co-creators” have
to be reckoned with when a company tries to sell a particular iP or enters into a large deal requiring a clearly
defined chain of title to this iP. Thus,
no matter how small the legal budget
is or how impatient the founders are,
it would be imprudent to ignore the
agreements with anyone that participates in the creation of the most valuable assets of the high-tech company

– its intellectual property. The management should always keep track of
the iP creation process, making sure
that anyone that has any relationship
to the iP signs “work for hire” or assignment agreements in addition to
confidentiality and non-circumvention commitments.
With the financial system in shambles, most tech start-ups are back to
seeking investment from the “triple
F:” friends, fools and family. as a result, the money typically comes to the
company with little or no paper trail,
creating ambiguity as to the nature
of the funds and the related rights
and obligations. Strangely, among the
most common lapses is the misunderstanding of the nature of the percent-
age of ownership in an enterprise as,
quite often, an investor expects his or
her “one third” to remain constant
until the company goes iPO. This is
why it is important for the founders
to discuss with the early investors (and
hopefully to put it in writing) the fact
that “one third” was bought as of a
particular date’s valuation of the company. Future investments of services
and money may dilute the ownership
interest of the current investors and
it is easier, at the early stages, to channel the discussion in ratios between
the founders and investors rather than
promise percentages in the enterprise.
Using simple strategies and discussing such issues in detail averts misunderstanding among the partners and
eventually prevents stalemates that
quite often drive tech companies into
the ground.
Obviously, while having a comprehensive contract is preferred, the hightech founders at least should have the
temerity to discuss with investors, in
the period during which the shares
cannot be sold, such sensitive issues
as the rights or obligations of re-purchase of shares by the company or
priority rights to purchase new shares
or shares being sold by other shareholders. in addition, the investors, to
protect their investments, would want
to have a say in the management of
the company. it is a somewhat difficult task, requiring legal assistance, to
strike a reasonable balance between
the investor’s protection (participation in the board and veto power over
certain issues) and the need for the
founders to run their company as they
see fit.
The third “c” may be a less obvious danger of “consultancy.” in
entering new markets, the technology companies often face consultants/resellers/promoters who do a
great job in selling the perception of
their marketing expertise, resulting in
highly unbalanced agreements which
omit the right of the company to ter-
minate for consultant’s non-performance, provide for unjustifiably high
percentage commissions lasting for a
lifetime with little, if any, duties of the
consultants relating to performance,
confidentiality and active marketing
efforts. While it might be tough to
single out a “leech,” it is much simpler to let the contract speak for itself by setting the performance values (for example, “exclusivity” based
on sales targets) and, most importantly, by reserving the right to terminate
based on non-performance.
The elements described above present neither a comprehensive nor an
exhaustive list of legal pitfalls that are
faced by evolving high-tech ventures. it
is important, however, to have a mindset of taking care of the legal integrity of the technology enterprise, and
its equity structure and iP foundation
in particular. and, as Benjamin Franklin said, “Be aware of little expenses; a
small leak can sink a big ship.”

The hostess, Bella Sverdlov, Doctor of Science,
retired in 2002 from the
world-famous “iskar” factory. an emotional, energetic person, Bella couldn’t
just simply sit and to do
nothing, so she proposed
to Sofia to open a Warm
home. The first meeting
of “Bella's home” took
place in summer of 2006
on the eve of the Second
lebanese War. To no small
degree, Bella's professionalism, optimism, fearlessness and dedication helped
those who flocked to her
like moths to a flame in order to wait out the horror
of hezbollah's rocket attacks. Bella regularly invites
specialists to speak about
Judaism and Jewish traditions, as well as psychologists, poets, and musicians.
her home has established
the lovely tradition of celebrating Jewish holidays
and the birthdays of participants. For years, gathering in her small, comfortable apartment really
became a second home for
participants.
JDc-eschel
regularly conducts conferences,
seminars, and courses for
the hosts of Warm homes,
at which participants exchange stories of their
experiences. Despite the
economic crisis, they continue their good and need-
ed deed — to give elderly
people a chance to socialize, and to create a warm
and intimate family atmosphere at every meeting.
One can say with certainty that this beneficient
organization will continue to be, with God's help,
notably successful in the
future. We wish the same
success to all other charitable organizations in israel
and around the world.

1969, the charitable organization JDc-eshel was cofounded by the american
Jewish Joint Distribution
committee and the Government of israel. in its 40
years of work the fund has
achieved considerable success in helping repatriates,
and particularly the elderly, get settled in their new
country:
• 20 new buildings have
been constructed to house
3,500 elderly;
• 224 medical clinics offering 24-hour home service have been established;
• more than 90 different
medical studies have been
conducted to learn more
about the state of health
of elderly israelites, to try
to explain the phenomenon
of high life expectancy (an
average of 85 years!);

Niger launches food aid program
africa
Niger's government has
announced that it will being a food distribution effort that will give over
21,000 tons of food to
over 1.5 million in need.
Niger is one of the poorest
nations in africa, making
food crises a topic deeply
embroiled in political controversy. an estimated sixty
percent of the population
faces severe shortages.
at the south of the Sahara desert, Niger has suffered on-and-off seasons
of drought for centuries
with very little reprieve,
and for many of its starving citizens, with very little
hope. More than 10 million
people have been affected
by the sparse rains, leading

to a near total collapse of
livestock and agricultural
efforts.
The United Nations
World Food Program has
also vowed to beef up its
assistance to Niger, doubling its estimate of families in need. children are
considered the highest
risk group; the U.N. children's agency has estimated
that over 200,000 children
are so severely malnourished that hospitalization is
necessary.
although 25% of Niger's population is affected
by malnutrition, officials
have vocalized concern that
the feeding centers have
enough supplies to feed
only half of that number.
Nigeria’s $23 billions refinery deal
in May, china State construction engineering corporation limited (cScec)
and Nigerian National
Petroleum
corporation
(NNPc) signed a $23 billion
deal to commission three oil
refineries and a petrochemical complex in the oil-rich
african country.
The deal, one of the largest Sino-african ventures to
date, is projected to yield
an additional 750,000 barrels of oil per day and give
Nigeria leverage to use and
export its own refined petroleum products. although
Nigeria is the leading african producer of crude oil, it
has been importing refined
petroleum goods for more
than a decade.
Nigeria's four currently operating refineries yield
about 445,000 barrels of oil
per day.
The NNPc released
a statement after the deal
had been signed in abuja. "NNPc aims to accelerate the construction of
new refineries in Nigeria to
stem the flood of imported
refined products into the
country, currently estimated at 10 billion dollars," it
said, and went on to note
that "[cScec wants to]
expand its presence on the
african continent and establish its footprint firmly
in the Nigerian oil and gas
landscape."

these new refineries is expected by some to enhance

boost the economy of the
war-torn region.

Medicine for Aging and Stress
In every person’s life comes the time when the body’s functional abilities
start to noticeably deteriorate. The change occurs on all levels, from the
body’s cells to organ systems and the body as a whole. This is aging.
aging doesn’t have a definitive start,
but its onset tends to include a decrease
in the defensive and adaptive abilities of
the body, which often leads to cardiovascular, oncological, and other illnesses. Physiologically, immunodeficiency
(a weakened immune system) at an older
age is caused by the deterioration of the
connections between the brain and the
endocrine system and a decrease in the
production of hormones, including by
the thymus, the central organ of the immune system. all of these changes make
older people easy prey for illnesses.
Stress increases the development of
various diseases in older people. it induces changes in many organs and systems and disrupts metabolic processes.
The negative impact of stress on the
heart and blood vessels is well-known.
People with chronic stress are struck by
ischemic heart disease twice as often,
and two and a half times more often

have myocardial infarction. Stress hits
the immune system hardest of all. anyone from a harsh climate who has gone
on vacation in hot countries or to the sea
will probably remember that quite often,
those first days in the sun and warmth
were darkened by the development of
cold sores on the lips (herpes), feeling
unwell, symptoms of a cold or intestinal infection, and even toothaches and
gum inflammation. These are the results
of the effects of stress on the immune
system.
Substances that strengthen the immune system and decrease its sensitivity to various ill effects are called adaptogens. adaptogens can help you “take
the hit,” keeping your immune system
strong and warding off the development
of illnesses. it’s worth bringing them
with you on vacation and starting to take
them a little before leaving. Taking adaptogens makes the impact of stress less
apparent and deep, while the body’s recovery occurs noticeably faster.
adaptogens coordinate the activities
of various systems under stress conditions. Thus, in the central nervous system, adaptogens decrease sensitivity to
the stress hormones adrenaline and noradrenaline. The nature of energy processes change at metabolic levels: fat exchange intensifies, energy expenditures
in the muscles decrease, the formation
of amino acids and the synthesis of proteins within cells is optimized – in other words, the body starts to economize
its resources. adaptogens particularly
help support the health of older people, as well as of people under stress. all
adaptogens share similar characteristics,
whether from plant, animal or synthetic
sources, which is why they are categorized in a special group of substances.
adaptogens are categorized as stimulating, relaxing, or neutral, depending on
their method of action. adaptogens give
an energy shock, releasing a biochemical
mechanism which leads to a nonspecific increased resistance and stimulates
immune system activity (for example,
an increase in the number of lymphocytes). The key is that stimulation of the
immune system is moderate, not excessive. Most surprisingly, use of adapto-

gens does not cause negative consequences, which is the main difference
between these substances and doping
drugs. Doping drugs stimulate the abilities of the body by sharply increasing
energy and protein expenditures, which,
in the long run, leads to a long-term decrease in working capacity.
Good nutrition has a strong influence
on the immune system of everyone, including older people. it is vital that you
get enough of Vitamins D, e, and B6,
zinc, calcium and magnesium, and to eat
plenty of dairy, such as yogurt.
immunity-boosting properties have
been discovered in many plants. Many
you may already use every day in food
preparation, while others may be unfamiliar, or you may not have known of
their ability to improve your immune
system. Such properties have been discovered in garlic, onion, horseradish,
mustard, fresh radishes, tomatoes, potatoes, carrots, corn, red pepper, celery,
and parsley, as well as in burnet, wild
peony, clematis, sweet bay, aloe, nettle,
juniper, plantains, bird cherries, poplar,
eucalyptus, and other plants. all of these
plants have beneficial effects on the human immune system, increasing its infection-fighting power, thanks in large
part to their composition.
Some well-studied plants that grow
in nature are related to adaptogens.
These include ginseng, spiny Siberian
ginseng, maral root, Rhodiola rosea.l
(gold root), licorice, valerian, and great

A Masterpiece of Auto-making
The history of the German company Daimler-Motoren-Gesselschaft, which
manufactured Mercedes automobiles, goes back to the
year 1900. The company
not only produced cars, but
also engines for ships and
airplanes. it was this manufacturing trio that led to a
new company logo in 1909
that embodied these elements in a three-beam star.
it symbolized technological excellence on land, water and in the air. in 1926,
when Daimler and Benz
were merged, the logo was
changed. The star appeared
surrounded by a ring with a
laurel wreath, which symbolizes Benz victories in
earlier car races. This version of the logo is not uncommon to this day.
Fewer and fewer automobiles remain from that
golden age when cars were
more than transportation
vehicles, they were remarkable pieces of art. That’s
why we were especially eager to see the legendary
Mercedes-Benz 300Sl Gullwing coupe from the collection of the Daimlerchrystler classic car center.
Daimler-Benz had lost
80% of its manufacturing
capabilities by 1945 and
had failed to produce a single model in the five years
after the war. it all changed
the moment MercedesBenz 300Sl was unveiled
to the public, shocking the
entire sport car community. The most sensational
model in the history of the
company with a factory index of W194 was based on
the 300S model series of
sedans, but differed with an
aluminum body, spacious
frame and a direct fuel injection system. Thanks to
its unique vertical doors,
the car earned the nickname
“The Gullwing.” it weighed
less than a ton but produced
175 horsepower.
in 1952 the MercedesBenz 300Sl won every
possible race and award.
Dealers in america pelted
headquarters with just one
question: when will we
be able to buy the 300Sl?
at the time, that question
would have sounded like
someone today asking to
buy a Formula One speedster. luckily, Max hoffman then represented Mercedes-Benz in america; he
was among the first who
realized that the expensive
Mercedes 300Sl had the
potential to become a popular commodity. legends
are expensive, especially
in america! he managed
to convince the company’s
leadership that they could
sell one thousand of these
models in america.
The body of the serial
model was drawn by famous
French auto designer Paul
Bracq, and was improved
for the production line by
the chief designer karl
Villefert. The car was a masterpiece: Mercedes 300Sl is
one of the finest automobiles that was ever made.

aMG Gullwing is the first
car developed in-house by
Mercedes’ performance division aMG. it is meant to be
one of those beyond-super
supercars that we’ve simply
run out of adjectives for. So
you can have a look at the

describe it.
The SlS aMG Gullwing comes with an aluminum chassis and body, likely
a magnificent feat of metallurgy by aMG that will only
fail to impress if coyly placed
next to an aston Martin
One-77, whose monocoque
core is made of highly rigid
carbon composite materials.
But the precision engineering that goes into this car
is nothing to mock: for example, the 48/52 weight distribution between front and
rear, due to a craftily placed
mid-front engine, which will
render the car’s performance
with a ballerina-like balance.
extensive use of lightweight materials will also
keep the curb weight down
to 1620 kg (providing a
power-to-weight ratio of
2.84 kg/hp), as per a prom-
ise by aMG to improve fuel

The exercise bit comes

model such as this Gullwing. This includes items

system to maximize fuelburning efficiency, as well as
the rear-mounted, 7-speed
transaxle spinning from the
dual-clutch gearbox.
The Gullwing will come
with a 6.3 liter, naturally aspirated V8 with 571 hp and
650 Nm of torque. 0 to
100 km/h will be 3.8 seconds and 0 to 200 km/h in

brakes to help reign it in as

Operations for Iraqi children

The OBJecTiVe of
the project is to transfer 100
iraqi children to Turkey and
have them diagnosed and,
if necessary, operated on.
During the project period
of three years, more than
100 children’s lives will be
saved. Besides its humanitarian purposes, this project
aims to contribute to peace

These children suffered from heart disease
and could not be operated
in their country because of
damaged hospitals and insufficient health services.

TheSe villages are in
the region of Bala, ankara,
beyond the boundaries of
D-2420.
Through a close cooperation with local authorities,
municipality and inhabitants, the club managed to
supply fresh and healthy
water to homes. During
a visit, club members and
inhabitants celebrated by
dining together on the
field. The people’s appreciation was evident not only
in their words but also visible in their smiling and
happy and thankful eyes.
karakoy Rotary club
has maintained its relationship with the local authorities. The club is planning
to continue this project
for the villages in Bala
in the coming years. The
goal is to enlarge this installation project to other
villages which also suffer
from water shortages. By
working closely with local
authorities, this endeavor
has become a model Rotary project and emphasizes the importance of water supply in villages with
shortages.

ideals of Rotary during two
years of visiting the Moscow
humboldt Rotary club and
personal fellowship with Jurgen Weiss, then passed those
ideals on to the founders of
the club in Sochi. Since the
beginning, an atmosphere
of friendship and a desire to
serve the city we live in has
permeated our meetings.

Self resounds in the hearts
of many businessmen and
high professionals in Sochi.
The club decided in
2009–2010 to focus on serving children, and especially
orphans. Our Rotary club
formed a committee that organized and accomplished
a number of projects that
were given awards by the
education Department of
the Sochi administration and
many other officials.
Sochi is expecting the
Winter Olympic Games
in 2014 and Paralympics
Games in 2015. The Sochi
Rotary club sees a need to
help disabled people in our
city and has formed another
committee to serve them.

него должен быть компьютер. Но не всегда родители детей-инвалидов могут

• оказывает психологические консультации

наркоманы и алкоголики;
• разрабатывает методические пособия по проведению таких уроков и

участвует в программе по
приобретению компьютеров для таких детей и на сегодняшний день внес один
из самых заметных вкладов
в ее развитие.

у которых тяжелая ситуация, и которым мы своими действиями можем помочь. Тесно сотрудничая с

WiTh The helP of
members of our club (before our club even existed),
the center for the Prevention of Dangerous addictions among Youths, a notfor-profit
organization,
was founded. This organization continues to function with the support of
the Sochi Rotary club. its
work includes:
• conducting lectures in
schools about prevention
of drug abuse, teen pregnancy, and alcoholism;
• working with juvenile
criminals in centers and
youth homes;
• providing psychological counseling to families
dealing with drug abuse
and alcoholism;
• developing manuals
of methods for teaching
drug-prevention lessons
and coordinating similar work in other cities in
Russia.
The center's staff includes around 15 full-time
personnel. Today this program has spread to 26 cities in Russia through close
project and the checkpoints of life program
for schoolchildren strive to
reach every child and teenager with the message that
life is valuable and a good
career choice is important.
These programs' mission
is to spur young people to
value their lives, to make
plans for their futures, and
to understand that they can

of Russia for the development of international cooperation. This is made possible not only by the pleasant
climatic conditions, but also

which are aimed at multilateral collaboration with

region has an active policy of developing trade and
economic cooperation. Under this policy, in September
2009 the regional authorities adopted a long-term, region-wide program entitled
“Supporting Organizations
of exporters in krasnodar
Region in 2010–2012.”
One of the most important and reliable elements
of this program's comprehensive structure is the
association of exporters
and importers of kuban,
a special noncommercial
organization that works to
unite regional exporting
and importing enterprises.
The main aim of its activity is to assist in increasing
exports of regional goods
and services and to regulate
imports.

The participants of the
Round Table discussed
problems facing the development of Russian export,
giving attention to the development of mutually beneficial collaboration in external trade between the
Russian Federation and foreign partners. The question
of the complex infrastructure necessary for cooperation, including governmental and nongovernmental
tools, was also discussed.
The issue of reducing cameral inspection periods and
speeding VaT returns was
raised. Roman Onischenko,
director of the kuban association of exporters and
importers, discussed in his
presentation issues related
to the development of support systems for Russian exports. at the Round Table's
conclusion, the participants
wrote a common resolution, which was then published on the official website of the association: www.
kubanexport.ru.
in addition, the management of the association
took part in several business
meetings during the Forum
with the representatives of
domestic and foreign enterprises, who are interested in
developing external trade
collaboration. a wide range
of export goods produced
in krasnodar were discussed, from paint products

es. While living at the shelter, they receive rehabilitation through work therapy
and art therapy. The priest
visits regularly.
We also run Omophor,
an artistic, socio-charitable
studio, the goal of which
is to create educational audio and video programs.

for seriously ill patients at
the Mariinsky hospital of
St.-Petersburg and distribute food and clothes to
the poor and homeless. We
purchase medicine, groceries, and personal care items
for patients. We have organized a small library for patients. We also render monetary aid to the hospital:

During the past few decades,
the Russian reality regarding the environment has radically changed. Today,
we are in need of experts possessing
high professional competence in all areas of environmental management and
responsibility. Therefore, the search
for effective methods and means of
improving the quality of preparation
of experts, using modern methods of
continuous education in these areas,
has intensified dramatically.
The international independent University of environmental and Political
Sciences (iiUePS) represents a brandnew type of higher educational institution focusing on the tasks of environment, environmental education and the
development of experts in these areas.
One of the purposes and challenges of iiUePS is the provision of highquality environmentally-focused professional education for the preparation
of future highly-skilled, educated experts with the ability to perform scientific research and contribute to the education of socially responsible citizens
of the new Russia.
Students acquire analytical skills
for work in the human environmental
sphere, including active civil action for
solving and preventing environmental
problems. in meeting these very important civic duties, iiUePS provides
a program for training disabled individuals, assisting them to enhance their
physical potentials. The international
motto of ecologists: «Think globally
— function locally» is the core motto
of each iiUePS graduate.
The content of environmental-political education at the university focuses on the provision of information and
experiences in the following areas:

The second day's runway shows were
wrapped up by Couture Fashion Week
producer and fashion designer Andres
Aquino's two-part show of his collection entitled “Red Carpet,” which included luxury, hand-enhanced swimwear
with embroidered wraps and couture
evening gowns done in hand-embroidered fabrics and chiffons embellished
with fine French, Japanese and Indian
lace. Mr. Aquino's shows have become
known for fusing elements of performance and artistry, music, dance, fashion and multimedia, and this show
was no exception: his collection was
displayed to the accompaniment of
world-famous artists, including rock
opera singer Kimera and violinist Alexander Markov, who played a custommade gold-plated violin.
Turkish designer Nedret Taciroglu returned for the third time to Couture Fashion Week, presenting another fabulous and well-tailored collection

Dubai designer Walid Atallah dazzled
audiences with his first showing at the

Precious Gems
Precious gems have allured and seduced man since
ancient times. The shine of stones, the play of light in
the depths of crystals attract and bewitch the beholder.
Precious gems are prefect in their beauty, and therefore
are both expensive and conveyors of status. For some,
the former is more important, for others, the latter.
The East traditionally has
been considered the source of
precious stones, particularly India, from which flowed the main
stream of jewelry in ancient
times. It was even believed that
precious stones could only form
in the specific climate of the
tropics. This myth, in time, was
disproved.
Lodes of precious gems are
found in practically every corner
of the world. Precious stones are
found in Europe (Czech Republic, Hungary, Ukraine), South Africa, Brazil, and the United States.
Rich deposits of gems also exist in Russia. In Yakutia (a region
in northeast Russia), many diamonds are mined, as well as other stones.
Of course, where a stone is
mined is not so important. More
important is how a jeweler cuts
and sets the stone, creating masterpieces, adornments, and, if
precise, works of art.
Emerald is the most valuable form of the mineral beryl, a semiprecious stone of
marvelous coloration and undoubted rarity. Long ago emerald was known as smaragdus
in Latin. Finding a flawless emerald has become a myth of unattainable perfection, as they almost always have defects. The treasuries of Iranian shahs and Russian tsars were renowned
for their invaluable emeralds. These stones have been
discovered in the tombs of Egyptian pharaohs and in
archeological digs at Pompeii and Ercolano. Emeralds
were the favorite semiprecious stone of the Egyptian
queen Cleopatra.

According to legend, emerald is considered an ideal amulet and talisman against evil spirits, as it stimulates the best qualities in a person. Emerald symbolizes love and success, faithfulness and
purity, faith, courage, and foresightedness, and brings its wear glory and
fame. Emerald has also been depicted as
the talisman of Isis: as the protector stone of
mothers-to-be, it was considered the best gift for
women in labor.
Care: Protect from accidental blows, heat, and pressure. Can not be set by ultrasound or steam. Emerald
can withstand acid, but easily loses its color at temperatures greater than 700 degrees Celsius.
Amethyst is quartz of a violet color, and is often used during meditation. Amethyst can bring fame, luck,
and wealth to its possessor. As an
amulet, this stone protects against
drunkenness and drug addiction. It
improves vision, regulates digestion,
and prevents kidney disease. Violet
amethyst is good for philosophers
and scientists, as it aids in memorization and comprehension of new information. Purple amethyst should
be worn only by well-balanced people, as it promotes the development
of opportunism and risk-taking.
Diamond. This mineral's name comes from
the Greek word adamos, meaning unbreakable or indestructible. In time, this word became almaz, which in Russian means uncut or raw diamond. Organic, clear raw diamonds of gemstone quality are called brilliants, from the French word for “sparkling.”
This term came into use in the 17th century
after the invention of brilliant-cut faceting.
Diamond is one of the crystalline forms
of carbon. They are usually colorless, but
various impurities can lightly tint them yellow, brown, blue, green, and pink. Diamond
is rightly considered the king of precious
stones, as they are more highly valued than
any other gem.
Since ancient times diamond has been
regarded a precious stone of the highest class. It also has been attributed many
mystical qualities: in one ritual in India and
Iran, a pinch of diamond dust was sprinkled
on the head of a baby by his father on his
naming day, thus ensuring the child health,
prosperity, and long life.
Care: Diamonds are hard but extremely
brittle, so they should be protected from accidental blows, quick changes in temperature, and open flames.
Ruby is a beautiful red stone with
gleams of magenta. Ruby represents
passion, and as a talisman brings happiness in love. Astrologers advise, “If
you want your love to be requited, give
your beloved a ruby the color of flame
to ignite the fire of love in his or her
heart.”
The ruby is an extremely rare and
expensive stone — until the beginning of the 20th century, it was valued much higher than even diamond.
Large rubies are found in nature significantly less often than raw diamonds of
the same size. The most prized ruby is
“blue-blooded” — dark red with light
magenta tints. The largest and most
beautiful rubies come from Myanmar
(Burma).
Care: Protect from high heat.
Pearl. One of the earliest precious
stones known to man, adornments
made from pearl have been found
from nearly prehistoric times – as early as 6000 years ago.
Pearl is an extraordinarily “lively” semiprecious stone: light, delicate plays of color that almost go unnoticed, a bright spot of light on the
smooth, matte surface, a sleek, natural spherical shape... it's not by accident that pearl has come to be synonymous with all that is beautiful and
perfect. Pearl is frequently associated
with love, success, happiness, humility, chastity, and purity, and is a very
popular wedding gift.
Care: Protect from heat and open
flame (since 2% of a pearl's composition is water, heat can cause a pearl
to crack and lose its sheen), from
acid, abrasives, vapors, and cosmetics. Pearls should be worn often and
always stored in a clean place. They
should be cleaned only with a mild
soap, but can also be lightly polished
with potato starch to remove excess
moisture and dirt.
