RAFIH STYLE MAGAZINE 5
RAFIH STYLE PUBLISHER’S NOTE
Welcome to one of our favourite issues of the year: The Rafih Style Ultimate in
Transportation Edition.
If you’re reading this at – or after – our Third Annual Rafih Auto Group Charity Golf
Tournament, welcome. It gives us great pleasure to bring so many of our friends and
colleagues from across the community together for this special day each summer.
In this issue, we’ve placed the spotlight on a handpicked collection of our very
favourite new luxury vehicles. Keep reading for a closer look at some of the very
finest high-end automobiles in the Rafih portfolio – including a special article on the
thrilling new Chevrolet Corvette Z06 – and be sure to read our take on the meaning
of luxury in the automotive world.
I’m especially proud of this issue’s expansive feature on the Rafih Auto Group’s
industry-leading Service Department. We spend a lot of time explaining how we
make taking care of our customers our highest priority; read on to learn how it all
works in practice.
While we’re partial to transportation on four wheels, there are plenty of other ways
to get around. In addition to our regular automotive content, this issue we’ve asked
our Editor in Chief to shine a little light on yachting, one of the most decadent ways
to get oneself from Point A to Point B.
Speaking of Point B, have you considered Paris for your next destination? You may
have been before, but we’re confident the City of Lights has plenty more to show
you. See inside for some thoughts from our Editor in Chief.
No matter what you drive, there are so many places to get to and so many ways to
enjoy yourself during a Windsor-Essex summer. Thank you, as always, for choosing
to spend part of your day with us.

the meaning
At d r i v i n g ’ s m o s t e x c l u s i v e c l u b , m e m b e r s h i p
The word “luxury” comes up frequently in automotive circles,
but how much do we really know about what it means?
The difference between a luxury car and “just” a car is not always crystal clear. At least not until you drive one. Traditionally,
we’ve been told that there’s something abnormal – maybe even a little bit deviant – about automotive luxury. I’m thinking of
Jaguars, high-end British roadsters that have long been marketed as devilish, almost villainous vehicles. If we’re honest, the
bad guy is always more compelling.
For distinguished automakers like BMW and Mercedes-Benz, though, it’s less complicated than that. Luxury is an expectation,
or perhaps even an imperative; it’s as if to ask why wouldn’t you, if you could? It’s something you’re born into or a place at
which you arrive. The point is that you want to be there.
We know that we want luxury, but should we allow it to come at the expense of practicality? Of economy? In a way, purchasing
a luxury vehicle is a declaration that you have made your driving experience a priority, that a car is not an appliance. Utility?
Convenience? These are words for washing machines and toaster ovens. “Let me be surrounded by luxury,” Oscar Wilde is
understood to have said. “I can do without the necessities.”
Well, sure. But what if you could have both?
SUMMER 2014
of luxury
i s m o r e at ta i n a b l e t h a n y o u t h i n k
In reality, today’s luxury vehicles are more economical,
affordable, and accessible than at any point in our automotive
history. Lately, with paradigm-bursting vehicle debuts like
the Mercedes-Benz CLA and the BMW 2-Series – each of
which retails for under $40,000 – the true meaning of luxury
has become even less definable. Can a car that costs less than
a tricked-out minivan truly count itself as luxurious?
The short answer is: Yes. The long answer is a set of keys and
a test drive appointment.
“Luxury is a feeling that’s kind of hard to explain,” suggests
Zeyad Rafih, Vice President of Fixed Operations for the Rafih
Auto Group. “You really feel the difference in engineering,
and in quality, when you’re driving a luxury vehicle. It’s not
something that’s out of reach. It’s not just about price point.
It’s everything from the technology in the vehicle, to the way
it drives, to the way the steering wheel feels in your hands,
to the way it all just kind of fits around you.”
While all non-convertibles literally enclose the driver, there’s
an important difference that we should recognize. “The
vehicle literally is built around the driver,” explains Zeyad.
“That’s something you don’t get with just any vehicle. That’s
why you make the effort to select a luxury car: To get that
feeling when you’re driving. The difference comes in the
engineering of the car, the parts that the manufacturers use,
and the amount of time put into these vehicles when they’re
designing them.”
Time has a lot to do with luxury driving. Elsewhere in life,
luxury is historically all bound up with leisure. The finer
things have traditionally belonged to those whose days
weren’t divided by work obligations and measured against
the unfortunate forces of necessity. Just about everybody
works these days, which only means that there’s even more
pressure to spend what free time we have as comfortably as
we possibly can. Whether or not you look at the hours each
week you spend behind the wheel as leisure time, though,
is an open question. Its answer has a lot to do with the type
of car you drive.
RAFIH STYLE MAGAZINE 13
What we mean is that, if you look at it a certain way, transit is
not an inconvenient interval between meaningful experiences
located in different places; it’s one itself. Your time in your
car, often, is entirely yours. In plenty of circumstances it
might be the only part of your day that is. That’s not to say
that your career or family or social obligations are burdens,
of course, but neither should you overlook the fact that your
daily quotient of solitude could be more comfortably spent.
(“Let us have the luxury of silence,” a Jane Austen character
once said.)
Let’s go back to design time. BMW and Mercedes-Benz, I
learn, have seven-year model lifestyles. Once a model hits
showrooms, the design process for its successor is already
well underway.
Consider the new C-Class, Mercedes-Benz’s stately compact
executive car. “When the C-Class came out in 2007,” relates
Zeyad, “Mercedes bragged about how they put a million
kilometres of testing into this one car, through all different
weather conditions and on all types of roads. That’s just to
make sure that there were no issues and to limit the amount
of problems they had with the vehicle once it was released.”
It’s nice to know.
To some, luxury is all about being seen. In a very real sense,
though, driving in luxury is more and more about seeing. At
the top end of the market, sophisticated imaging technologies
like blind spot monitoring, 3D navigation systems, and sideview parking assist cameras are all but de rigueur. With
modern luxury cars, you can even get overhead views of
your vehicle when you’re parking.
In a society that increasingly caters to niche personal tastes
and the social broadcasting of personal brands, it only makes
sense that the auto industry would begin to emphasize
customization and driver-centric touches. Think seating
positions, lights, and driver-centric features like configurable
suspension and handling modes.
SUMMER 2014
The new 2014 Mercedes-Benz S-Class, to give only one
example, takes it a step further. It comes with two massive
12.5-inch flat-panel screens (a pair of MacBook Airs,
basically) and an even more impressive array of customizable
options. The new S-Class also features proprietary driving
technologies like Crosswind Assist, Advanced Driving
Assistance, Advanced Steering Assist, plus a dynamic new
LED lighting system. “You can have seven different colour
options in the car that illuminate underneath the door
panels,” explains Zeyad.
While luxury has traditionally been concerned with separation
– the haves from the have-nots, so to speak – it’s increasingly
all about finding newer and better ways to stay connected.
Today, any high-end automobile worth its sticker price
should offer some form of Internet connectivity. BMW and
Mercedes-Benz, in particular, have cultivated sophisticated
app ecosystems over recent generations that allow drivers
to monitor their social networks and entertain passengers
safely in real time as they drive. Best of all, it’s fueled by the
smartphone data plan to which you already subscribe.
“It’s a full-out computer inside
the vehicle. It’s just unbelievable
the amount of technology that’s
coming out. There are a lot more
toys in there.” -Zeyad Rafih
The Rafih Auto Group has long been Windsor and Essex
County’s ground zero for discerning motorists. Presently,
Rafih dealerships sell and service luxurious vehicles that
wear world-class badges like Jaguar, BMW, Mercedes-Benz,
Lexus, and Range Rover. You’ll find a few of our favourites
on this issue’s cover, each of which is available for a test
drive at a Rafih dealership near you.
What does luxury really mean to you? Sometimes, it’s best
to let the cars tell you themselves.

luxury yacht is a boat in the way that a palace is a house.
One of the last completely unimpeachable signifiers that, yes, you’ve done very
well for yourself, a yacht is a boat with ambition. Or perhaps an island, casino,
hotel, or private paradise with ambitions of being a boat.
The best descriptor we can muster is quite possibly “sublime”: literally awesome,
almost fearfully impressive objects that overwhelm the senses with magisterial
ease. Aluminum and glass behemoths that only reveal themselves as boats from
a significant distance. They’re quite nice, is what we mean to say.
SUMMER 2014
A Brief
Peek
into the
Opulent
World
of Luxury
Yachts
Broadly, the word yacht (etymologically
related to the Dutch for “hunt”) refers to any
recreational boat or ship, but we’re referring
here to a pretty specific beast. True luxury yachts,
ultra-expensive sailing or (more commonly)
motorized vehicle with a professional crew and
private owner, are almost exclusively built as
bespoke, individually commissioned vehicles,
with prices starting in the tens of millions of
dollars. There’s no way around it: Yachting is
so costly it almost exists outside of money. Once
you’ve tacked on ongoing maintenance, berthing
fees, and staff wages to the initial sticker price,
yacht ownership certainly gets into “if you have to
ask” territory for even the humblest models. We’ve
also heard of fuel consumption figures the tune of 15
gallons per each nautical mile.
An understated luxury yacht, if there is such a thing,
starts at about 24 metres in length, but something a
little more indulgent can span a significantly greater
distance. In general terms, the watercrafts we understand
to be luxury yachts are grouped by size into super yachts,
mega yachts, and lately giga yachts. We’re quite serious.
There appears to be an ongoing argument about the precise
definitions of these various labels. The former two tend to
be used interchangeably to refer to yachts greater than 40
to 50 metres in length, with the “mega” prefix favoured by
American English speakers. (Some argue, though, that mega
yachts ought to refer to larger vessels, starting with 60-metre
yachts.) “Giga yacht” is best used to refer to yachts greater than
100 metres in length; there are about two-dozen currently in
existence.
RAFIH STYLE MAGAZINE 19
While virtually all yacht hulls were made of wood
or steel until the 1950s, modern yachts, like modern
cars, take advantage of sophisticated materials like
fibreglass, aluminum, and carbon fibre. Whatever the
primary construction material, a true mega yacht will
require a lot of it: Most will consist of four decks above
the waterline and at least one more below.
The luxury yacht market exploded in the mid 1990s
with a Wolf of Wall Street roar that carried it into the
2008 financial crisis full speed ahead. According to a
BBC World New report out of, predictably, Monaco,
interest in luxury yachts among the super rich has
rebounded after a few post-recession lean years, with
both new and resale markets transitioning into calmer
waters. Speaking to the BBC, UK-based yacht broker
Nicholas Edmiston reckons that fully three quarters of
the world’s richest people either own or regularly hire
a yacht.
While you’re not likely to pull up to a stop sign next to
somebody commandeering the same yacht as you (how
embarrassing, we imagine), yacht owners are known
to go to great lengths to imbue their vehicles with oneof-a-kind personalities. It starts with a unique name.
Steve Jobs’ was called “Venus,” and Paul Allen’s goes
by “Tatoosh.” We don’t know either. Further à la carte
options include pools, miniature soccer fields, islandlike deck-level gardens, grand pianos, and attached
submarines and submersible airplanes (!).
The most expensive private yacht of which we’re
aware belongs to Khalifa bin Zayed Al Nahyan, the
oil-rich Emir of Abu Dhabi. Known as the Azzam,
the 180-metre monster owes its existence to Lürssen,
a shipbuilding company based out of Germany, the
country in which most of the world’s most extravagant
yachts are built. The Azzam was engineered for a
full year and built in an additional three, which is
an unusually quick turnaround for a yacht of its
magnitude. Propelled by four pump jets powered by
two gas turbines and two diesel engines (producing
94,000 horsepower in total), it slices through the sea
at speeds up to 32 knots (roughly translatable as 60
kilometres per hour). It cost $605 million (USD) and
funds and has its own Wikipedia page.
The Eclipse, only the world’s second most opulent
private watercraft at about $500 million and 163
metres, is the property of Roman Abramovich, Russian
oligarch and much-publicized owner of Chelsea
Football Club in the English Premier League. With two
helicopter pads, 24 guest cabins, and an onboard disco
hall, the Eclipse is essentially a miniature cruise ship.
It also has its own dedicated missile defence system
and a custom-installed anti-paparazzi laser shield. It’s
all very Dr. Evil.
SUMMER 2014
“Yacht owners are known to go to
great lengths to imbue their vehicles
with one-of-a-kind personalities.”
If your very own yacht is moored somewhere outside of your price range,
a charter yacht may be more your speed. While many of the world’s
very finest luxury yachts are used exclusively by their owners, many
others are operated as seasonal or year-round charter businesses. Yacht
brokerage companies, most of which seem to be based in Monaco, can
set you up with one for a weekly rate starting in the tens of thousands
of dollars. You’ll also want to mind fuel and berthing charges, plus
gratuities for the staff.
If you’re dead set on getting yourself onto one of the world’s finest
seafaring vehicles, your most realistic route might be to enroll as a
crewmember. The most indulgent luxury yachts can require dozens of
employees, and even relatively modest vessels can employ eight fulltime
staffers or more. As a rule, luxury yacht crewmembers live permanently
onboard during their employment and earn a monthly salary with most
living expenses provided gratis by the boat’s owner. Virtually all luxury
yachts are equipped with substantial below-deck crew areas. It’s a bit of
an open-sea Downtown Abbey situation.

RAFIH STYLE MAGAZINE 27
Its supercharged 6.2-litre LT4 V8 redlines at 6,500 RPM
and makes at least 635 pound-feet of torque, which pairs
nicely with it’s frankly silly 625 horsepower. It also makes
an appreciably rumbling ursine growl, a sort of ‘Murica! in
the mouth of a language-less beast.
The Z06 stares down onlookers with a serpentine low
profile, a striking jet-black carbon fibre front splitter, and a
scandalously low hood line. According to General Motors,
the new Z06 produces more downforce than any car it’s
ever tested – including vehicles from other, more exotic
manufacturers.
The slapstick yellow gawker-friendly 2015 Z06 boasts all
the overstated panache and venomous angles that have
made the Corvette America’s most emblematic real-world
performance car since 1953.
SUMMER 2014
Deliberately decked out with a murderer’s row of conspicuous
aerodynamic features, the Z06 is a four-wheeled superman
in a carbon fibre cape. It just might be the least subtle car
ever built. Two inches wider up front and three in the back
versus the outgoing Stingray, the Z06 boasts from above a
Barbie-esque girdled midsection flanked with unmissable
high-volume fender flares. It all rests on an aluminum space
frame, and its hood and removable roof panel are both
made from carbon fibre. No-nonsense touches like exposed
fasteners belie track star bloodlines. (A moment, though, for
the Corvette’s dearly departed round taillights.)
Inside, Driver Mode Selector, a knob-adjustable technological
implementation, allows drivers to configure the Z06’s
driving dynamics to suit their personal preferences. Even
more impressive, the available Performance Data Recorder,
an industry-exclusive perk, records high-definition video
with telemetry overlays on playback, allowing Corvette
drivers to relive their experiences after the fact. We think we
could find a use for that.
Manufactured in Bowling Green, Kentucky, the Z06 will be
available to the public in early 2015. The first production
model has already been sold at auction to NASCAR team
owner Rick Hendrick for a cool one million dollars.
It’s a world-class supercar. Class is almost in session.

greed, but even then he’d surely have time for Paris.
What is the idea – the essence – of Paris? Look: the French capital is
probably the most written about city in the world, and we’re not sure
what we can add to one of the great urban conversations. Thankfully,
some things all but sell themselves.
SUMMER 2014
The point of Paris, in that almost mythical, literary way, is
that you will do things there that you can do elsewhere, but
they will be different. Life seems to have more meaning, a
stronger animating force, like every city street is populated
by characters in as-yet-unwritten short stories. In the mind,
Paris is still the world’s most populous city of bon vivants and
boulevardiers, epicures and dandies. In some ways this is very
much true, the streets haunted by the ghosts of Joyce and
Beckett and Balzac. Like all truly great cities do, Paris offers
the visitor a profound disconnect from her or her everyday
while at the same time suggesting that the pocket watches
of millions continue to tick on. Things are happening all
around, just as they should be.
In one way or another, Paris has been a vital settlement for
greater than 2,000 years. Today, the French capital is one
of the world’s most influential cities by any measure. With
greater than 70 Michelin-starred restaurants and myriad
influential design houses, Paris is rightly known as the
cultural epicentre of Western Europe. But, in La Défense, it
also lays claim to the largest purpose-built business district
anywhere on the continent. Paris contains multitudes.
While all tourist destinations by their very nature offer
things to see and do, only a select few cities are themselves
the attraction. We recommend you let yourself soak into
the city as if in a warm bath. Rent a bicycle through Vélib,
the city’s ubiquitous self-service rental system, or simply
make time to venture beyond the Champs Élysées on foot.
With its yawning boulevards, terraced multi-level housing,
and almost depressingly fashionable sophistiqué pedestrian
parades, Paris is a treat for the senses at ground level.
It’s not all accidental: New construction buildings in Paris
have been limited by law in terms of height and shape for
almost 350 years – and perhaps longer. Within this broadly
uniform framework a panoply of architectural styles now
cohabitate, including some of the world’s finest Neoclassical
and Art Nouveau architecture.
The French are protective, but they have much to protect.
French cooking, one of the western world’s great traditional
cuisines reaches its apex in Paris, with recent immigrant
infusions of cuisines from North and West Africa, Asia, and
the Middle East only adding colours to the culinary palette.
RAFIH STYLE MAGAZINE 33
The Louvre, in all its breadth and resplendence, is only one of
dozens of world-class museums and galleries in the French capital.
Chief among them, perhaps, is the Musée d’Orsay, a retrofitted
Beaux-Arts railway station that’s as breathtaking as anything
you’ll find on the walls within.
The North American creative class and intelligentsia have long
flocked to Paris, City of Lights and ideas. At the Père Lachaise
Cemetery, the likes of Chopin, Wilde, and, yes, Jim Morrison,
are still there. Shakespeare and Company, the famous Left Bank
bookshop overlooking the Seine, is well worth your time and
attention. We recommend taking a cue from F. Scott Fitzgerald,
the Gatsby novelist and great American man of letters who lived
there through most of the Roaring Twenties. Many of his favourite
haunts – shared at the time with American ex-pats like Ernest
Hemingway and Gertrude Stein – are still open for business, and
organized literary walking, eating, and drinking tours are not in
short supply.
If a spot of sport is more your speed, consider watching Zlatan
Ibrahimovic, another kind of enigmatic artist, play soccer at the
Parc des Princes. Or do we even need to mention the French
Open?
It’s difficult to say anything new about the Eiffel Tower, but that
doesn’t mean you shouldn’t go there too. In the words of the noted
French intellectual Roland Barthes, “one can feel oneself cut off
from the world and yet the owner of a world” there. That’ll do
quite nicely.
We haven’t even mentioned the Arc de Triomphe or Notre-Dame
or the Palais Garnier opera house. You should do all those things
as well, of course.
Perhaps you should stay longer.

It’s an old saying in the real
estate business, and it’s as
true now as ever: Nobody is
making more waterfront.
No matter how you express it, something about the
Canadian dream has always been bound up with
waterfront living, and, in Windsor-Essex, we’re lucky
enough to live in a peninsular county that boasts 160
kilometres of valuable shoreline. We’re also lucky
to have Deerbrook Realty Sales Representative Dan
Inverarity. Over a 10-year career in Essex County real
estate, Inverarity has sold in the neighbourhood of
120 waterfront properties. The public labeled him “the

relates, “you can gain a lot of knowledge about the
lake bottom. Is it rocky, mucky, or sandy? Is the water
deep or shallow? A lot of buyers want to know what the
water is like in front of their potential purchase.”
Of course, there’s more to waterfront real estate than
water, and not all waterfront neighbourhoods are
created equal. “I know which areas are undesirable,”
Inverarity relates, “and which ones have a history
of poor resale value or don’t have access to certain
services.”
Water runs through the fabric of Inverarity’s personal
and professional life. “I live on the lake, and I grew up
around the water,” relates the respected realtor. “It’s
the only place I’ve ever wanted to be.”
While American buyers once gobbled up our waterfront
real estate in droves, the landscape has substantially
changed over the last decade. Lately, buyers from the
Greater Toronto Area are flocking to Essex County as
they discover what we should already know. “A lot of
people are cashing out of their homes in the GTA,”
Inverarity relates. “On a Friday afternoon, you can be
down in Essex County in a few hours – with no traffic.
Compared to somewhere like the Muskokas, you can
get double or triple the house with a month earlier
spring and a month later fall.”

RAFIH STYLE BUSINESS
TALK
By Irfan Qadir, CMA, CFP. Principal with
Gerald Duthie & Co., LLP, Chartered Accountants.
If you were contemplating starting a business, a fundamental issue you would need to consider would
be, “what form of business structure is best for me”? Although there are a myriad of business structures,
the ones that are most commonly used are: Proprietorship, Partnership, or Corporation.
Proprietorship
Simply put, a proprietorship means you are in business for yourself. This is the easiest form of business structure and the
costs are nominal. You can literally start this type of business instantaneously. All you have to do is to register it (if you are
using a trade name) with the Provincial Government at nominal cost, and even this requirement is waived if you choose
to do the business in your own name.
Since the business is essentially “you,” all of the profits or losses are reported on your personal tax return. As is the case
with most businesses, in the early years, the expenses usually exceed revenues. This creates a tax opportunity as the losses
can be offset against income from any other source.
As a sole proprietor you are personally responsible for all the debts and obligations of your business. This means that all
of your personal assets are exposed to risk. This is usually the most
significant drawback of this type of business structure.
If you are in a high income tax bracket and if your business is
profitable, then you would likely pay more tax as a sole proprietor
as opposed to, say, a corporate structure. This, again, is another
significant reason why you would not consider a proprietorship.
Partnership
A partnership, essentially, is a group of proprietors carrying on
business together with the intention of making a profit. It is easy
to form and the costs are minimal, similar to a proprietorship.
Partners include their prorata share of profit or loss on their
personal tax returns.
Essentially, all of the advantages and drawbacks applicable to
proprietorships are also applicable to partnerships. However,
some of the advantages unique to a partnership structure are:
combination of people with different talents, sharing of risks, and
ability to raise more capital for the business.
Some of the drawbacks unique to this structure are: potential for
disagreement between the partners; disruption of the business
upon the death, disability, or retirement of a partner; and potential
exposure to risk caused by actions of a partner. It is, therefore,
always a good idea to have a partnership agreement in place to
minimize the impact of these drawbacks.
SUMMER 2014
Corporation
A corporation is unique in that it is considered a separate “legal
entity”apart and distinct from its owner. In fact, for tax purposes also, it
is treated as a separate person than you, “the shareholder.”
There are two distinct advantages for choosing this structure:
First, it offers liability protection. In other words, debts and obligations
of the corporation are not considered your obligations and, therefore, the
creditors of the business do not have a claim against your personal assets
in case of business failure.
Second, a corporation, carrying on an active business, pays a much lower
tax on the first $500,000 of its taxable income (approximately 15.5%,
for an Ontario corporation). This provides a very significant benefit,
particularly, in cases where the shareholder’s marginal tax rate is, say,
49%. In our example, on $500,000 of taxable income, the tax difference
would be $168,000, which represents a significant tax deferral, provided
that monies are left in the corporation. To the extent that you draw funds
out of the corporation for personal use, the tax advantage is mitigated as
you would pay tax on these withdrawals.
“Although there

Same unparalleled collision
repair and customer service.
New updated company name.
W
indsor’s most luxurious full-service collision repair group,
formerly known as Formula One, is now Formula First Automotive
Group. With its new dedicated aluminum body repair facility and a
world-class European Car Bench system, Frank Gobbato’s industry
leading locally owned and operated shop is finally ready for a name
uniquely its own.
“We are on the forefront of technology,” explains Gobbato. “We
are consistently the first in our area to capitalize on cutting-edge
technological advances in the automotive industry, and we felt that
our company name should reflect that pedigree.”
“Our new name reflects our commitment to pushing the envelope
in our industry,” explains Cristina Melnik, Marketing Manager.
“We have unparalleled customer service and the best collision
repair in the industry. We’ll continue to grow our business and our
family.”
Business growth is nothing new for Formula First Collision. In
1964, Duilio Gobbato founded Continental Collision, a smaller
repair shop. Frank Gobbato, Duilio’s son, was involved from an
early age. Over time, the business grew and began to attract the
attention of more and more discriminating clients who demanded
superior quality.
In 2002, the time had come for Frank to branch off. He established
what was then still called Formula One Collision and moved into
a state-of-the-art facility in east Windsor. Today, his son Franco is
an integral part of what is now a third-generation family business.
“When Frank branched out from Continental Collision, he had a
vision,” shares Melnik. “He really wanted to take Collision repair
to the next level.”
You can tell immediately that Formula First Collision isn’t like
other collision shops. Inside, visitors are greeted with smoked glass,
checkerboard wall tile, hardwood floors, and eye-catching metallic
red paint. The reception desk is flanked by a plush red and white
leather couch and an expansive flat-panel display screen. It looks
less like a garage than it does a high-end European showroom.
Outside, the fully landscaped, well-manicured grounds are dotted
SUMMER 2014
with flowers. A stately gazebo overlooks Little River ravine. Frank’s
fond of calling it the Disney World of collision repair for a reason!
Of course, things are just as impressive behind the scenes. In recent
years, aluminum-bodied vehicles have grown in popularity as
automakers attempt to trade weight for fuel economy. With the
2015 Ford F-150 and its military-grade aluminum body just around
the corner, Formula First has significantly upgraded its aluminum
body repair facilities. “We have a closed-off space for it, because
aluminum repair is a particular process,” explains Melnik. Formula
First’s self-contained work environment for aluminum collision
repair protects aluminum from airborne steel dust particles. The
fully functioning shop comes with a set of unique tools dedicated
solely for aluminum to prevent cross contamination.
“We have invested in the proper equipment and training to repair
these vehicles in accordance with manufacturer-determined
specifications,” adds Melnik. “Our technicians recently underwent
a rigorous aluminum welding certification from I-Car. Although
they were already certified to work with aluminum-bodied vehicles,
they’ve now taken it to the next level.”
This commitment to excellence is commonplace at Formula First
Collision, which has always aimed to position itself at the forefront
of advancements in collision repair. “In terms of technology and
equipment, Frank spares no expense,” emphasizes Melnik. “He
gets the best of the best in the industry, and he invests a lot of
money into certifying his technicians as well.”
“The only people who don’t like us,” adds Frank, “are some
insurance companies that would rather pick a shop for its low
price rather than its ability to restore the vehicle to pre-accident
condition – or as close to it as possible – by following step-by-step
manufacturer instructions, where available. We spare no expense
for you and your family’s safety in the unfortunate occurrence of
another collision.”
The rationale: as vehicle technology increases over time, so should
repair technology. To this end, Formula First has recently added a
Car Bench frame-straightening system from the Italian company
Car Bench International. Marketed as “the future of collision
repair,” the system is the most accurate, versatile, and cost-effective
device of its kind available anywhere in the world. Significantly, it
is the only bench approved by Ferrari, Maserati, and Tesla.
These manufacturer seals of approval are important. Unfortunately,
some collision shops often repair vehicle structures without
consulting with vehicle manufacturers or using the appropriate
equipment and safety precautions. This sort of work, while it can
be well intentioned, can compromise the structural integrity of
your vehicle.
Just as equipment matters in the collision repair business, so
does training and experience. With this in mind, Formula First
employees are trained by and certified through highly respected,
well-recognized bodies like I-Car Canada. The company also
maintains a dedicated in-house training room, in which Frank
personally conducts regular training seminars.
Currently, Frank and his team are gearing up to open Future Tech
Garage, a new specialty shop under the Formula First umbrella
for ultra-high-end luxury vehicles. “It’s going to be its own entity,
a new numbered company under the Formula First umbrella,”
shares Melnik. “Only the best quality parts wills be used and only
the most highly trained technicians will be employed. The result is
the best collision repair the industry has to offer. We’ll have more
information for you soon!”
To be perfectly clear, though, Formula First is not an exclusive shop
for luxury motorists. “We service all makes and models, and all
our customers are treated the same,” stresses Melnik. “All of our
technicians are extremely highly certified. Although we have the
capacity to work on these high-end vehicles, we do work on all
vehicles, and we do it with the same care and precision.”
That care and precision extends to every aspect of the collision
repair process. “We like to consider ourselves a one-stop shop
here,” stresses Melnik. “If you get in an accident, you can call us
and we will handle everything from arranging to get your vehicle
towed, dealing with your insurance company, and getting you into
one of our unique rentals.”
“When you get in an accident, it’s never a desirable situation,”
shares Melnik. “You might be shaken up or nervous. For a lot of
our customers, it’s their first time ever getting in an accident. Right
when they walk in the door, each customer is greeted, offered a
coffee, and made to feel comfortable, to start the entire experience
off right. We then walk them through the entire repair process and,
during the repairs, we call them regularly to keep them informed
throughout the entire process. We do everything we can to make
sure their entire experience is positive.”
Lately, Formula First’s vehicle wrap services are attracting significant
interest. “We get more and more inquiries about it as time goes on,”
shares Melnik. “The printing and wrapping is all done in house. It’s
a great form of advertising for some of our customers, while others
like to customize their vehicles to make them unique, for example
by adding racing stripes.
“The commitment to excellence
is commonplace at Formula
First, which has always aimed
to position itself at the
forefront of advancements
in collision repair.”
Club Il Cavallino, Formula First’s in-house bistro, specializes
in fresh, healthy cuisine. It promises a great experience whether
you’re dining in, taking out, or having an event catered. Most of the
eatery’s produce is sourced from an onsite organic, pesticide-free
vegetable garden (which Frank sees to personally), and innovative
daily specials include unique favourites like homemade baked
pastas and hearty stews ladled over fresh polenta. The bistro is
open for breakfast and lunch from Monday to Saturday. With a
contemporary and imaginative cuisine, Club Il Cavallino will have
you coming back for more.
Whether you’ve been in an accident or just want your ride looking
its very finest, it’s in your best interest to get in touch with Formula
First Collision.
It’s definitely made a name for itself.

smoke, wind and hail, water and flood, vandalism
or a break-in, the experienced team of professionals
at Parker Construction will get you back to normal
as quickly, efficiently, and safely as possible.
Parker Construction has joined forces with the Disaster Kleenup
International network of contractors to form Parker DKI. As part
of the Disaster Kleenup International network, Parker DKI has
access to a pool of disaster-tested restoration and recovery experts from across Canada, the United
States, and Ireland. In a catastrophic
situation, like the Leamington tornado
of 2010, Parker DKI has the rare capacity to call on disaster-tested international experts when local human resources
are stretched thin. It’s just one of the
many Parker DKI advantages.
If your residential, commercial, or industrial building has been damaged by
natural, accidental, or criminal activity, Parker DKI presents a “one-stop”
recovery and restoration solution. “We
do it from start to finish, including the
contents of your home,” explains Jim
Parker, President and Property Loss
Specialist.
Unlike some competing companies, Parker DKI boasts an extremely dedicated, loyal crew made up of licenced, trustworthy,
and professional restoration specialists. The company’s commitment to professionalism extends to uniforms, ID badges, and lettered vehicles. “We have staff that have been with us a very long
time,” relates Parker, an Interprovincial
Red Seal carpenter by trade and a certified Master of fire, water, and upholstery damage restoration. “Several of
our crew members have been with us
for 15 to 25 years. We have very trusted, knowledgeable, and qualified employees.”
Parker DKI maintains its own inventory of equipment, meaning everything
is immediately available 24 hours a
day. “Some of the equipment we’ve
invested in is expensive, but it’s new,
up-to-date, and top-of-the-line. They
do a better job and shorten the process.
We make sure our crew has everything
they need for the job.”
BEFORE
Truthfully, entrusting your home and
possessions to a repair and restoration
service is no small matter; it’s important to choose one that you trust personally. That’s a privilege to which
you’re entitled.
Parker, who remains directly involved
in virtually every process at every
stage, finds himself continually inspired by the challenge that always lies
at the bottom of his work. “You have to
be able to take it apart and put it back
together,” he explains. “You’re helping
people at their worst time.”
AFTER
Catastrophes can be traumatic, and
Parker DKI understands that Emergency Services require an
urgent response. With this in mind, the company is on-call and
prepared to respond compassionately to any emergency 24 hours
a day, 7 days a week. “On a more personal level, on the customer
service side of it, we hold the hand of the homeowner to help
them make it through this crazy process,” relates Parker. “You’re
helping homeowners at a time when their lives are upside down.
They need somebody who can come in at a difficult time and
show them how to do it. A professional is going to walk in and
know what can and can’t be saved feasibly.”
BEFORE
Significantly, Parker and his team promise to work closely and
cooperatively with your insurer to minimize your inconvenience
and facilitate your property’s recovery. “Insurance companies
use preferred vendors for a reason,” relates Parker, “and we’re a
preferred vendor for several insurers. We’ve shown that we can
do the job, we’re reputable and stable, and we stand behind and
warranty our work.”
AFTER
If the time comes to make an important decision for the future of
your home, tell your insurance provider you prefer Parker DKI.

The Rafih Auto Group
S e r v i c e
A d v a n t a g e
You hear a lot about service in
automotive retail, and you should.
If you’re a discerning consumer, you’d never settle for anything
less than the finest, most personalized and accommodating service
from, say, a salon, spa, or haberdashery. Why not demand the same
from your dealership, the site of perhaps your most expensive
purchase aside from your home?
At the Rafih Auto Group, service matters. Every Rafih service
centre boasts a computerized service history system, friendly and
knowledgeable staff, and an extensive inventory of genuine parts.
Comfortable waiting areas come with WiFi, flat panel televisions,
complimentary magazines, and coffee, cold beverages, and snacks.
Available shuttle service, “early bird” drop off, and loaner and
rental cars come standard, as do complimentary car washes with
every service, and small but welcome touches like seat and steering
wheel covers and paper floormats.
While the above list seems to check all the boxes, so to speak,
we had a feeling there’s more to the Rafih Auto Group’s sterling
service reputation than that. We sat down with Zeyad Rafih, Vice
President of Fixed Operations for the Rafih Auto Group, to better
analyze his family business’ strong service game.
The Rafih service advantage begins with a no-expenses-spared
approach to its service capacities. “A ‘state-of-the-art facility’
should, at a minimum, include a service drive-through with
advisors on site ready to serve you,” explains Zeyad. “State-of-theart” also means the most up-to-date machinery. At the Rafih Auto
Group, customers can count on new alignment machines, hoists,
wheel balancers, and diagnostic machines, plus modern in-shop
computers, each running the very latest software available from
the relevant vehicle manufacturer.
“With today’s cars becoming so technologically advanced,”
explains Zeyad, “we have to invest significant amounts of money
through the manufacturers we deal with to ensure that we get the
proper equipment. This ensures that we can diagnose each car
properly and fix the car right the first time. That’s the key.”
For Zeyad, the most important pieces of service equipment at the
Rafih Auto Group are the diagnostic devices it acquires directly
from vehicle manufacturers. “Whether you’re buying a new $20,000
car or a $120,000 car, there’s specialized equipment in that vehicle
that only this machine can read. It makes it very important, and it’s
unavailable to unaffiliated shops.”
Of course, sometimes the ultimate effectiveness of a service
department comes down to purchasing power and willingness to
invest in going the extra mile. “Our state-of-the-art tire changer
especially makes a difference with the bigger rims going on vehicles
standard now,” Zeyad adds. “Also, each of our hoists is equipped
with gas hoses to ensure that no toxins go in the air.”
Beyond equipment, servicing your vehicle at the dealership
ensures that you only deal with manufacturer-trained technicians.
It’s important to understand that this label is far more than a
superficial designation. “At the Rafih Auto Group,” says Zeyad,
“we spend thousands upon thousands of dollars a year sending
our technicians to school in Toronto and elsewhere. Our technicians
regularly complete online and in-class training seminars as
required. Each manufacturer has a training curriculum that it uses
in order to achieve different class levels as a technician.”
As highly qualified technicians are becoming increasingly scarce,
the Rafih Auto Group has developed a mutually beneficial
relationship with St. Clair College. “We regularly take on highly
qualified apprentices,” notes Zeyad. “We won’t leave our fate in
other people’s hands. We’ll train and coach them and give them
the opportunity to shadow technicians that have been doing it for
a long time.”

As each manufacturer – never mind each vehicle – is
significantly different, different companies offer specialized
technical training programs that fit well with the vehicles
they manufacture. Toyota, to give an example, trains
dedicated hybrid technicians due to its successful Prius and
other hybrid vehicles. Ford, meanwhile, mandates that its
dealerships use specialized diesel technicians. “Depending
on the size of your shop,” explains Zeyad, “manufacturers
mandate that dealerships employ a minimum number
of Master Technicians certified in different areas of
specialization. To be a licenced dealer or a franchise dealer,
to work on cars – especially under warranty – requires a
significant investment in training.”
On the topic of significant investments, it’s important to
appreciate that the shop with the lowest door rate isn’t
necessarily the least expensive. “The perception is that
because you go to a shop that has the lowest door rate, you
will save money,” says Zeyad. “In actual fact, it might take
us one hour to complete a given job, whereas it might take
somebody else three hours to complete the same task. So,
you’re really not saving money. We work more efficiently
because we have the proper tools and the proper diagnostic
equipment to be able to troubleshoot quicker and get the
information that we need in order to be able to fix the
vehicle.”
At any rate, the Rafih Auto Group Service Price-Match
Guarantee is a big part of the overall Rafih service advantage.
The offer couldn’t be more straightforward: If you receive a
quote from any other dealership or unaffiliated service centre
in the city, Rafih guarantees to match or beat that price. “We
offer this service to anybody and all makes and models,”
promises Zeyad. “That’s our guarantee.”
As if that weren’t enough incentive, while servicing your
car at the dealership has always been a safe bet, it becomes
increasingly prudent as vehicle technology progresses. “With
cars becoming so much more advanced,” Zeyad argues, “it’s
becoming harder for after-market service centres to keep up
with the investment needed to fix these cars properly.”

While maintaining a close relationship with your dealership
is vital, the reality is that Windsor-Essex County covers a lot
of ground, and the dealership from which you purchased
your car or truck may not be in your neighbhourhood.
Thankfully, the Rafih Auto Group’s footprint is similarly
substantial; the Group is committed to harnessing the power
of its network of dealerships to ensure that its customers can
be taken care of close to home. “We cover such a big area –
from Windsor to Leamington up to Chatham – so we try to
accommodate our customers in creative ways,” says Zeyad.
“If you live close by to another Rafih dealership, it’s possible
to visit that store and have your car serviced there. In cases
where your car needs to be transported to the appropriate
dealership, we can arrange for that.”
Of course, there’s also the Rafih Auto Group’s unique valet
service. “If customers request us to pick up their car,” says
Zeyad, “we’ll do that. We have dedicated employees – many
of whom are retirees from our local automakers – who do this
for us. They pick up the customer’s car, wash it, service it,
and bring it back to them.” The hassle-free program invites
customers to pay over the phone or in person using portable
debit and credit machines.
If you choose to take advantage of the service, we’re willing
to bet that you’ll have a good experience. In any case, the
Rafih Auto Group wants to know about it. As part of its
commitment to ongoing customer relationships, the Rafih
family operates a Group-wide service call centre staffed by
13 highly trained employees who spend their days placing
helpful service reminder calls and customer satisfaction
index calls. “We have a very thorough customer service
follow-up process,” explains Zeyad. “We’ve put customer
complaints at the top of our list, more than anything. We try
to make our customers happy.”
In his role as Vice President of Fixed Operations, Zeyad
oversees every single customer complaint that filters in.
“We’re always looking to continually improve, and we
review every customer complaint that comes through our
dealership with a different member of each department.
“We work more efficiently because
we have the proper tools and the
proper diagnostic equipment to be
able to troubleshoot quicker and get
the information that we need in order
to be able to fix the vehicle.”
We try to come up with a resolution or a fix to the specific problem so it
won’t happen again,” Zeyad confirms. “I track feedback on my internal
system and I follow up with the managers to make sure that they follow
up with the customer. Initial contact has to be within 24 hours, and a
resolution has to be within 48 hours. They have to fill out their portion
and email it back to us so that we can complete it on our end. When
necessary, I’ll pick up the phone myself and get to the bottom of it. We
make sure our customers are treated properly and kept informed. They
want their vehicles fixed right the first time.”
The system works, which means most Rafih customers continue to come
back to Rafih Auto Group dealerships far beyond the first time. Are you
familiar with the Rafih Rewards Program? The formula is relatively
uncomplicated: For every dollar you spend at the Rafih Auto Group,
you accrue one point. Once you’ve collected enough points, they can
be redeemed for service, parts, accessories, or new and used vehicles –
virtually anything purchasable at a Rafih Auto Group dealership. “It’s
really taken off,” says Zeyad enthusiastically. “We’ve received almost
4,000 registrations since the launch in September, and we aim to get to
8,000 by the end of the year. It’s really good for customers who service
their vehicle here religiously to be able to get their money back in the
form of points. The most important thing is that you’re able to use your
points at any Rafih dealership. They’re interchangeable.”
Even better: your Rafih Rewards history can be tracked conveniently
online at any time. “Each Rafih Rewards member has access to a
personal webpage,” explains Zeyad. “You’re able to track your points,
track your service history, and view specials that are only available to
Rafih Rewards members.”
At the end of the day, though, beneath the Rafih Auto Group’s
myriad customer-focused programs, service initiatives, and financial
investments lies a simple commitment to customer satisfaction. “It’s
about doing things the right way,” shares Zeyad. “My father always
taught me that, no matter what business you’re in, if you take care
of your customers, they’ll always come back. If you do things right
and you focus yourself on customer service, at the end of the day the
business will come. We want people to think of any Rafih dealership
in the community as top-notch and bar-none the best service. That’s
why we spend so much money and time and effort on making sure our
customers are taken care of.”
Take care of your vehicle by granting the Rafih Auto Group the privilege
of taking care of you. Zeyad Rafih and the entire Rafih Auto Group
team are at your service.
The Rafih Auto Group runs enticing seasonal service promotions.

A lot can happen in 40 years,
but some thingS never change.
John and Josephine Donato founded Donato Collision, by now
a Windsor institution, in 1973. Today, their son Joe operates the
multi-generational family business. “I’ve been at it for 25 years
full-time,” explains Joe, who threw himself into the collision
repair business right out of high school as an ambitious
teenager.
It’s no small feat for a collision shop to stay competitive for four
decades in the crowded Windsor-Essex market. For Donato
Collision, standing still is never part of the deal. “You have to
learn and change constantly,” explains Joe. “You’re constantly
learning and you’re constantly trying to make things better
every day.”
Conveniently located at the intersection of Howard Avenue
and Hanna Street East, just north of Tecumseh Road, Donato
Collision is a one-stop neighbourhood automotive service
centre. In addition to auto bodywork, Donato’s expert services
include collision paint, glass replacement, detailing, and
mechanical repairs. Joe employs a licenced on-site mechanic
and operates a complete, full-service car detailing facility.
“In the last 15 years, there’s been a changing of the times in terms
of the way cars are repaired,” relates Joe, who should know
better than most. Modern vehicles feature technology that far
outpaces anything that rolled into the shop four decades ago,
and auto manufacturers worldwide are increasingly shifting
production to aluminum-bodied vehicles.
For Donato Collision, a dedicated aluminum repair bay
is just part of a larger commitment to offering confident,
compassionate, and technically precise first-class service. Joe
and his team stand behind the quality of their work by backing
each job with an appropriate warranty. Customer satisfaction
is guaranteed.
will restore both your vehicle and your confidence.
Best of all, if you’ve been in an accident, Donato Collision
works hard to take the discomfort out of what can be a stressful
situation. “The way we handle claim processes start to finish is
basically stress free,” says Joe. “As long as we have insurance
claim numbers and particulars, we can handle everything
from repairs to car rentals, and we also offer valet and dropoff services. We’re a one-stop shop.”
Significantly, Donato Collision has always operated as a locally
owned and 100% independently operated family business. “I
think when people drop off their car they ask for me 99% of the
time,” notes Joe, who counts his personal relationship with his
customers among the most important reasons for his business’
continued success. “They have trust in me.”
Although he’s spent the majority of his life in the collision
business, Joe still works tirelessly to ensure that Donato’s
rigidly upheld standards never wilt. “I like to know that I’ve
given 100% on every repair,” he promises. “Our customers
need to be 100% satisfied. If they do ever have an issue, I
ensure that it’s brought to my attention.”
With a third generation in waiting, Donato Collision continues
to operate with the everyday expectation of meeting the
customer service goals laid out so many years ago by its
founder.
“We take care of everything on a vehicle,” promises Joe Donato,
“and we treat each vehicle as if it were our own.”
Long may it continue.
“Our level of cleanliness, in terms of both the interior and
exterior of our shop, distinguishes us,” says Joe, whose shop

Shareholders’
Agreements
What Are They and Why Do I Need One?
D
o you own shares in a privately owned corporation? If
so, then you need to ensure that your investment is protected. For
example, if you and one of the other shareholders were to come to
a disagreement, could you sell your shares? Generally, there is a
prohibition on transferring shares of a privately held corporation to
members of the public. If the only person authorized to buy your shares
is the person you are not getting along with, will you receive anything
for your investment? What if you died? Would your estate be entitled
to force the corporation to buy back your shares for fair market value?
These are just some of the concerns that can be addressed in a
shareholders’ agreement. Not only does a shareholders’ agreement
organize how the corporation will be structured and operated, it also
provides for a mechanism by which shareholders can sell their shares
(or buy out someone else’s) in the event relations break down. This is
why it is very important that a shareholders’ agreement be negotiated
early on in the relationship while everyone can agree on the terms –
once a dispute or death occurs, the parties’ interests will often diverge,
making the negotiation of such an agreement almost impossible. This
article will discuss some of the more common provisions found in a
shareholders’ agreement, and the importance of these provisions.
Buy-Sell Provisions
There may come a time when you wish to either sell your shares in
the corporation, or perhaps purchase the shares of another shareholder.
Unlike shares of a public corporation, which can usually be easily
purchased and sold on a stock exchange, the ability to buy and sell
shares of a private corporation is usually much more restricted. One
type of clause which provides for a mechanism for shareholders to
buy or sell shares in the case of dispute is a “shot-gun” clause. This
type of clause allows one shareholder to force the other shareholder
(or shareholders) to either buy him or her out, or sell their shares. The
remaining shareholders can be either purchasers or sellers, giving
them an impetus to accept an offer that is reasonable, and giving the
departing shareholder an impetus to make an offer which is reasonable.
These types of provisions effectively create a market for shares of
closely held companies, which might otherwise be difficult to sell.
Some shot-gun clauses also set out the valuation for the shares (or a
method of valuing the shares) in the event someone decides to exercise
the clause, ensuring that the departing shareholder will receive what
is considered to be a reasonable amount for the shares.
This may be helpful if one shareholder has considerably less access
to financial resources than the other. Another type of clause which is
found in many shareholders’ agreements is a “right of first refusal.”
This gives the current shareholders the right to buy the shares of a
departing shareholder before any outside party would have such
right. These types of clauses provide that when a shareholder receives
an offer for his or her shares which he or she intends to accept, the
remaining shareholders have the right to match that offer.

third party, provided the terms are not
more favourable than those presented to
the remaining shareholders. If one or more of the shareholders do wish
to match the offer, such shareholder or shareholders would acquire
the shares in proportion to their share holdings. As an alternative
method of obtaining the same result, the remaining shareholders can
cause the corporation to match the offer of the third party instead
of the shareholders themselves. This method may be desirable in
some circumstances, as the corporation would be using its funds to
purchase the shares for cancellation instead of requiring the remaining
shareholders to use their personal resources.
However, this method could prevent the vendor from making use of
any of his or her remaining capital gains exemption (a maximum of
$750,000 in capital gains will be exempt from tax where there is a sale
of shares of a qualified small business corporation). Another clause
which is often drafted in conjunction with a right of first refusal is a
“take-along” or “dragalong” clause, which provides that if the other
shareholder or shareholders do not buy-out the departing shareholder,
they may be compelled to sell their shares to the third party. This helps
to make the shares more attractive to outside purchasers for a fair price,
but may mean that you will be forced to sell your shares if you cannot
afford to buyout the departing shareholder.
Death of a Shareholder
Another instance where you may want to be able to sell your shares, or
purchase the shares of another shareholder, is in the event of death. In
most cases, the estate of a deceased shareholder usually wants to sell
its shares, and the remaining shareholders usually want to purchase
the deceased’s shares rather than deal with a surviving spouse or
other beneficiaries with whom they may not be familiar. Therefore,
a shareholders’ agreement will usually provide that the remaining
shareholders (or the corporation itself) are obliged to purchase (or
redeem) the deceased’s shares from his or her estate for their fair
market value, and that the deceased’s estate is obliged to sell. In
order to provide maximum flexibility, the shareholders’ agreement is
usually drafted in the form of options to purchase or options to sell
in order to take advantage of the tax laws as they exist at the time of
the death of a shareholder. Often life insurance is used to fund the
purchase of shares on death, as otherwise the corporation may not have
sufficient funds to buy the deceased’s shares. Even if the corporation
has purchased life insurance, that is not sufficient to ensure that the
corporation or surviving shareholders will buy out the deceased as
it is the shareholders’ agreement itself that provides for a buy-out
mechanism; otherwise, the corporation or other shareholders may
keep the insurance proceeds, and refuse to buy the deceased’s
shares.
Incapacity or
Retirement of a
Shareholder
Where a shareholder is also an employee, a
shareholders’ agreement may provide for a
shareholder to be bought out in the case of his
or her incapacity, retirement, or termination
(voluntary or involuntary). There are a number
of ways in which a shareholder may become
incapacitated. For example, a shareholder
may become physically incapacitated through
severe illness or accident, or he or she may
become financially incapacitated through
insolvency or bankruptcy.In each instance,
the remaining shareholders may want to be
able to acquire the shares of the incapacitated,
retired, or terminated shareholder.
Again, the value of the shares, or a method for
determining the value of the shares and the
mechanism for payment, should be set out in
the shareholders’ agreement. Often disability
buy-out insurance or critical illness insurance
is used to fund the purchase of shares in
the event of a long-term disability of a
shareholder. It is important that the definition
of disability in the shareholders’ agreement is
consistent with the definition of disability in
the insurance policy so that a disability which
triggers a sale of assets also triggers payment
of insurance proceeds in order to fund the
purchase of the shares.
General Matters
Some additional clauses which are usually
contained in a shareholders’ agreement
include:
• A provision regarding the manner in which
the management of the corporation is structured
and the affairs of the corporation are conducted.
This may include the composition of the Board
of Directors (the number of directors, and who
shall be directors), who shall be officers, and the
remuneration, if any, of directors and/or officers.
• A provision respecting the method by which
the corporation may obtain financing. Most
shareholders prefer that the corporation obtain
funds, to the extent possible, from financial
institutions. However, if funds are not available
from that source, the shareholders may want to
provide that the shareholders will be required to
contribute further funds in proportion to their
shareholdings. If a shareholder refuses or neglects
to supply the additional funds, the shareholders’
agreement may provide that his or her proportionate
shareholdings be diluted.
• A provision that the shareholders not compete
within a specified area, either directly or indirectly,
with the corporation during the period they are
shareholders, officers or directors, or within a
specified number of years thereafter.
• A provision that shareholders not disclose
any confidential information respecting the
corporation or its business during the period
they are shareholders, and within a specified time
thereafter.
• A valuation clause which provides for a
mechanism or formula for valuing the shares in the
event of certain triggering events, such as death,
disability, dispute, bankruptcy, etc. Sometimes the
valuation is determined by using an arbitration
clause, or the shareholders may agree annually on
the valuation to be used in the event any of the
shares are sold in that year.
These are just some examples of common
provisions normally found in a shareholders’
agreement. The form and content of a
shareholders’ agreement can vary widely from

Will your business
succession plan
be a success?
Chances are each co-owner in the business is involved because of their specialized
experience or abilities. In the event one of you could no longer contribute, what
would happen to the business? A thorough business succession plan would ensure
that everyone is treated fairly. Upon a significant life event such as retirement, death,
disability or critical illness, the co-owner or heirs could unlock the true value of the
business interest. I can help make this a reality.

The Fountain of Youth for Aging Skin:
A Natural Source of Rejuvenation
Y
our skin is aging. Your face, your neck, your décolleté
(cleavage), and your hands are drying out, dulling,
and beginning to show wrinkles and fine lines. It’s
unfortunate, perhaps, but it’s unavoidable.
Inclement weather, pollution, ultraviolet radiation from
the sun, tobacco use, and hormonal variations all take a
significant toll on your skin – never mind the classic effects
simply wrought by the aging process itself. Your skin’s
store of hyaluronic acid, one of the main components of the
dermis, only depletes as time passes.
What if you could do something about it? When it comes
to the rejuvenation of the dermis, hydration is the principal
process. Well-hydrated skin contributes to your wellbeing
and your beauty. Unfortunately, external applications –
creams and similar products – offer only temporary, limited,
and often barely noticeable relief.
The solution for better hydration: shallow micro-injections
of Mesolis gel, an exciting new hyaluronic acid product.
Injecting hyaluronic acid into the dermis can rehydrate the
skin deeply, allowing you to benefit from durable effects
in terms of rejuvenation of the face or of other parts of the
body.
The nourished and repaired dermis can regain its former
radiance, tone, and elasticity. As for you, you just might
regain the radiant complexion of your youth.
The Mesolis Range, which consists of Mesolis and Mesolis+, is
a completely new line of products designed for superficial
injections performed within the framework of treatment for
rehydration of the dermis. These gels are elaborated with
hyaluronic acid from biofermentation (i.e. of non animal
SUMMER 2014
origin) in order to minimize the risk of allergy. Thus, unlike
with some other treatments, no biocompatibility preliminary
test is required.
Because Mesolis gels are products made with a naturally
occurring component, they are safe, perfectly biocompatible,
and integrally biodegradable.
Here are some answers to common questions about this
intriguing new range of products:
1. When can I ask my practitioner to perform microinjections with Mesolis gel?
As soon as you see that the skin on your face, your neck,
your décolleté, or the back of your hands is drying out,
becoming dull, or losing its natural radiance, it is time to
talk to your doctor about this type of treatment. However,
he or she will only be in a position to prescribe these microinjection sessions for you after a precise diagnosis of the
condition of your dermis.
2. Which parts of my body could I consider having
treated with Mesolis products?
Mesolis products can be used on many parts of the body:
face, neck, décolleté, back of hands, or any dermal surfaces
subjected to external aggression.
3. Precisely what happens during a Mesolis microinjection session?
Mesolis products are designed to be injected manually
through a syringe that the doctor is able to manipulate
precisely and delicately. Depending on the areas to be treated,
and to which extent they will be treated, he practitioner
chooses the most suitable technique (“micro-papular” or
“multipuncture”), and the micro-injections are generally
spaced several millimetres apart. Each session lasts about
30 minutes and does not require any specific preparation of
the dermis.
4. Are micro-injections with Mesolis gels painful?
The injections are almost completely painless, because the
needle used is very fine and the specialist administering the
procedure carries out the injection of the selected Mesolis
gel manually. Nevertheless, depending upon your level of
sensititivity to stress, your practitioner can offer you a local
anaesthetic in the form of a cream, patch, or other delivery
mechanism.
5. How often should these sessions take place, and how
long will it take before I am able to notice results?
You will notice a distinct improvement in your complexion
from the first session. However, to guarantee you long-lasting
results and a high level of satisfaction, your practitioner
will initially recommend three sessions spaced two to three
weeks apart. The treatments will become less frequent over
time, eventually taking place after two months and, later, at
intervals of about six months.
6. Will Mesolis products let me forget my wrinkles?
Mesolis gels are indicated for rejuvenation of the dermis.
It is true that hydration of your skin will, as the sessions
progress, “tauten” the dermis, erase the surface micro-lines,
and smooth away that “crumpled” skin. However, already
distinct wrinkles and deep lines on the face or neck need
additional treatment. The Esthélis range of wrinkle-filler
products ideally complements the effects of the Mesolis
range.
“ Inclement weather, pollution,
ultraviolet radiation from
the sun, tobacco use, and
hormonal variations all take a
significant toll on your skin”
7. What are the possible side effects of this type of
treatment?
Mesolis products are produced from hyaluronic acid derived
from biofermentation. Hyaluronic acid is a very important
natural component of the skin. Mesolis injections diffuse
and thus are naturally incorporated into the superficial
dermis; they are absorbed gradually as time passes. Side
effects are rare and depend upon the injection technique
used by the practitioner. In general, and more specifically
with multipuncture technique, anyone who has benefitted
from a session of mico-injections with a Mesolis product can
return to his or her social and processional life immediately,
with no need for immobilization or isolation.
8. This sounds interesting. How do I go about receiving
treatment myself?
This is the simplest part: Talk to your doctor about Mesolis
today.

SUMMER 2014
Where Friends
Meet by Accident
Meet Rico Lopez, new owner of Windsor’s F&J Collision.
Frank Lopez, Rico’s father, founded F&J Collision in 1969 and successfully
steered the company for 45 years. Rico and Lidia, his wife, have been heavily
involved in the family-operated business for the better part of a decade.
“We’ve been transitioning into full management of the operation for about
seven years,” explains Rico, who fully took over in February.
While Lopez grew up around his father’s bodywork shop, he decided to
venture into the mechanical side of the automotive business as a teenager.
He worked as a licenced mechanic for various Windsor-Essex companies
for the better part of a decade before returning to his father’s business and
opening up a mechanical department.
The gamble worked out, and today F&J Collision is a full-service one-stop
facility for collision and mechanical repairs, auto glass, detailing, and tires.
“We do it all,” Lopez confirms with a smile. “You name it: if your car needs
it, we can handle it.”
While a select few automotive repairs are dealer-only jobs (computer
programming issues, for example), F&J is more than happy to act as an
intermediary between its clients and the relevant dealerships. “We’ll send
the car away to the dealer,” confirms Lopez. “It’s an inconvenience to be
here in the first place. I want to do everything I can to make the customer
experience more convenient.”
F&J will also deal with insurers and dealerships and manufactures regarding
warranty issues. “I become a liaison for our customers,” Lopez explains.
“They put their car in my hands. I want to make it a true one-stop shop where
the customer doesn’t have to be inconvenienced anywhere else. They pick
up the rentals here, they drop the rentals off here.”
Ultimately, in the collision and mechanical businesses, customer service
and quality workmanship are generally seen as the twin pillars that support
any successful operation. For Lopez, though, they’re one and the same.
“We put a big emphasis on customer service, and part of customer service is
quality,” he outlines. “For me, quality is a given – not something somebody
should hope to get. In today’s industry, if you can’t produce quality, you
shouldn’t be in the business.
“We’ve been cleaning cars on
the collision side of things for
years,” explains Lopez, “but now
we realize we can offer that same
service to customers that haven’t
been in a collision. It helps to build
relationships with my customers,
and it’s nice to see them back for
detailing because I can inspect my
work.”
As the slogan goes, “F&J Collision
is where friends meet by accident.”
According to Lopez, it’s much more
than empty words. “A customer
should never just be a number on paper,”
he emphasizes. “I value my customers.”
Rico Lopez, owner
As he should: The majority of F&J’s work is driven to it via word of mouth and
strong customer relationships rather than by insurance companies. While
Lopez and his team of course work with all major insurers, F&J’s continued
success is down to repeat business and referrals from satisfied clients.
What keeps them coming back? It starts with value. “Anything you do in life,
I don’t care if you’re fixing your car or buying a hamburger, it’s not about the
cost,” explains Lopez. “It’s about the value. There’s no way around it. If I
use the proper materials and the proper process, you can’t do it any faster
and you can’t do it for any less. If you don’t want to pay for value – if you’re
just shopping for cost – a lot of guys can do it wrong for less, but that’s not
F&J Collision.”
At the end of the day, it’s clear that Lopez, his shirt dirty as he speaks, still
loves what he does. “I’m not a suit-and-tie in an office type of guy,” he
relates. “I like to watch what’s going on, I like to see every vehicle through
every step. Two sets of eyes are better than one! I have a great
team, and the quality leaving the shop is second to none.”
He smiles. “I can’t complain at all!”
“I put pride in what we do, and I want to take care of our customers,”
continues Lopez earnestly. “I’m humble in the sense that I realize nobody is
perfect. We all make mistakes, but I want to take care of my mistakes. When
the customer’s right, the customer’s right. We oil spray every body repair
we do, because we don’t want to do it twice. It shouldn’t, but if my paint ever
peels, I will take care of it. I want to take care of it, because I don’t want my
work out there looking bad!”
Best of all, you don’t need to have been in an accident to benefit from F&J’s
services. In recent years, the shop’s auto detailing services have become
increasingly popular.

cabinets matter.
No matter your tastes, budget, or where or how you live, an
expertly crafted custom cabinet installation can go a long
way towards converting your home from a house into a space
that’s uniquely yours.
For 20 years, BetterMade Cabinets has been building charm and
functionality into some of Southwestern Ontario’s most beautiful
homes. As countless Windsor-Essex residents already know, the
BetterMade experience entails unique custom-manufactured
products, quick quotes, fair pricing, magnificent showrooms, and
world-class customer service.
BetterMade harnesses the power of state-of-the-art computer-aided
design software and industry-leading manufacturing technology to
complete custom-tailored interior cabinetry projects in a virtually
limitless range of styles, colours, materials, and finishes.
“Everything we do here is custom,” explains Owner Vern
Myslichuk. “We literally go screen to machine. What we draw is
what we manufacture, with the mouldings and trim exactly as
you see them. 100%. It really allows the client to see the finished
product before we build it.”
While BetterMade Cabinets is known throughout the region for its
kitchen design and installation projects, the company is very much
a full-service cabinetry outfit. “We take it a lot further than just
kitchens,” Vern emphasizes. “We do a complete renovations, plus
entertainment centres, wall units, hutches, buffets, interior trim,
interior doors, and ceiling work and details.
“I have love for design,” shares Vern, who worked in the custom
furniture business before trying his hand at cabinetry. “I wanted
to create furniture that was practical and functional but looked
great. I made custom furniture that was very ornate. Now, I still
think in that fashion, and BetterMade Cabinets just sort of spun off
from there. What I’ve done is take that furniture philosophy and
incorporated it into the cabinetry.”
For Vern, there are plenty of reasons to stay excited about his
permanent line of work. “There’s always something new,” he
relates, “whether it’s coming from a customer or designer or our
own shop. It’s just phenomenal when a suggestion on the shop
floor opens up a whole new direction that you hadn’t seen. It’s
never the same day twice.”

BetterMade’s commitment to high-quality creative work extends to
its highly skilled design staff. “The designers that we have on board
are given full rein to get creative,” confirms Vern, “because we’re
not limited to what we can and cannot build. If you can draw it, we
can build it. I think we have a great staff, and we always encourage
them to push the limits. We’re always hoping for something new
and exciting.”
To transfer creativity into material reality, BetterMade’s expansive
Odessa Road manufacturing facility is staffed by highly skilled,
expertly trained craftspeople, many of whom have graduated from
our region’s most demanding postsecondary trades programs.
Because everything is manufactured in Essex County, BetterMade
can boast industry-leading turnaround times and an unmatched
capacity for customization.
“What we do here is we take control over the project,” stresses Vern.
“We’re not waiting for somebody; when we say we’re going to be
there on the 16th, we’re there on the 16th. We have full control of the
project from the design to manufacture to installation. Everything is
done in house. We’re not waiting for a part.”
Interestingly, modern cabinet manufacturing technology can
make top-quality custom cabinets more attainable than ever before.
“Because we’re so automated now,” explains Vern, “what used to be
custom – and what used to have this huge custom price tag attached
to it – can now be automated. What used to take use three days to cut
out now takes us three minutes. You can get a lot more creative and
have a lot more design while still keeping your costs down.”
Lately, home owners at every price point are intrigued by modern
sleek and European-styled cabinets. “We’ve always done a fair
bit of traditional,” relates Vern, “but we’re seeing a lot more
contemporary clean lines and high-gloss. We’re having to think in
a new way. It has to be perfect – we’re shooting for that anyway,
but it’s another level altogether.”
Unsure which cabinets are right for you? “Really, it’s about the feel
of the house,” counsels Vern. “We try to build a storybook.”

First there was Ford SYNC then Apple CarPlay, now
there is Android Auto on the way. The battle for the
car dashboard has truly begun.
The Apple CarPlay platform allows you to transfer
some iPhone functions directly to your car’s
dashboard. The key features from the iOS system
tools available in your car are Siri, iTunes, Maps,
and Messages. One of the key benefits is the ability
to make hands-free phone calls and listen to voice
mails. One drawback is that it requires the Apple
Lighting cable to connect to the car, which mean you
need to have an iPhone 5 or above or you’re out of
the game. The best part of the system is the interface
design. To access CarPlay features, you simply
touch the dashboard screen, similar to the way you
would interact with your iPhone. If touching the
dashboard while driving makes you nervous, Siri
is also accessible via a voice control button on the
steering wheel.
CarPlay will be installed in Mercedes-Benz, Ferrari,
and Volvo vehicles. The other automobile brands
that have confirmed their inclusion in the CarPlay
rollout are BMW, Toyota, GM, Honda, Hyundai,
Jaguar Land Rover, Kia, Mitsubishi, Nissan, Peugeot,

SUMMER 2014
When it comes to electricity, unlike
elsewhere in life, there’s no need to
choose between saving money and
doing the right thing.
Mike LaPalme, founder of Essex County’s Collective Energy Solutions,
understands this fact more than most. His company, a full-service commercial,
industrial, and residential electrical contractor, keenly concentrates on designing,
installing, and maintaining leading-edge energy efficiency solutions that save
homeowners and businesses money while shrinking their environmental
impact.
It’s important to know that LaPalme has never liked waste. It’s just not in his
nature. “I’ve always been the type of person to do whatever it takes to minimize
expenses associated with things that you don’t need,” he explains. “When I first
started working as an apprentice, I noticed that there are so many people who
carelessly waste money when it comes to energy. As a business owner, I’ve
developed even more of an appreciation for what that means. Every dollar does
count; at the end of the day, the right approach is going to improve the quality
of your business and the environment.”
Since 2010, LaPalme and his team have led the way in Essex County for
outdoor electrical property maintenance by regularly caring for electrical signs,
parking lots, and other outdoor operations. In the years since, Collective Energy
Solutions has grown to take on energy audits, re-lighting projects, maintenance
work, new construction jobs, and renovations.
A complete Collective Energy Solutions analysis is much more than a lighting
audit. LaPalme and his team will conduct a fulsome investigation of your
home or business’ energy strategy and operating expenses, revealing hidden
inefficiencies and foregrounding areas for improvement. As it turns out, simple
day-to-day operating expenses can add up to significant sums for homes,
offices, and commercial and industrial facilities of all sizes. “Adding little
improvements here and there can really, really help save money,” explains
LaPalme. “Our ultimate focus has always been on saving money and affecting
people’s bottom lines.”
Government rebates, as it happens, can be an excellent way to reduce expenses
associated with energy retrofits. “It’s something that every business owner
should take a look at,” confirms LaPalme. “Even if they’re not prepared to do
the work now, we can come in and audit their facility for no charge. Once they
apply for the rebate, we have one year to complete the work.”
While Collective Energy Solutions now has several trucks on the road in
Windsor-Essex, Lapalme remains heavily involved in the company’s day-to-day
operations. “We’re always very responsive,” underlines LaPalme. “We’re very
quick with our response time, and our clients can vouch for that.”
Responsiveness is just one of Collective Energy Solutions’ professional
courtesies. “Our staff members really make it a point to be invisible when
they’re on site,” promises LaPalme. “We’re especially cautious not to disrupt
the business practices of any customers with which we deal, as you really
don’t want your customers or the people in your facility focusing on what other
people are doing.”
If you’re a homeowner, we probably don’t need to tell you that it wasn’t business
as usual this winter. With air conditioners due to turn on soon, homeowners have
every reason to look for new ways to save money on energy this summer.
An excellent way to reduce energy costs over the long term is making the
switch to LED light bulbs, which have improved measurably in recent years in
terms of price, aesthetics, and light quality. “We are doing more and more work
with LED lighting in homes,” shares LaPalme. “Over time, it’s a huge savings.”
Although there is an initial cost to replace an aging incandescent bulb with an
LED, it’s an excellent investment over time. According to LaPalme, the annual
cost to operate a dozen LED pot lights is less than what it would cost to run just
two old-fashioned bulbs.
It doesn’t hurt that, like Collective Energy Solutions’ other services, they’re also
the best choice for the environment.
Sometimes, the choice practically makes itself.
Schedule a complimentary energy audit today by calling
(519) 817-3470 or emailing [email protected].
For more information, see collectiveenergysolutions.com.
In some cases Collective Energy Solutions customers have seen a full return
on their investment within as few as six months – and that’s based purely
on installation and operational costs. Switching to modern, energy-efficient
equipment will also lower maintenance costs over the long term, which
translates to even greater savings.
Moreover, Collective Energy Solutions is devoted to helpings its customers
save energy in more ways than one. “The only finger you’ll have to lift is

about just a few of the most recent special occasions at the Rafih Auto Group.
June 12, 2014: Windsor-Essex Discovers the Lincoln MKC
Lincoln joined the crossover party this June, and nobody celebrated more than Performance Lincoln
of Windsor. Ontario’s top-selling Lincoln dealer for 2013, the Rafih Auto Group member unveiled
Lincoln’s thrilling new multifunctional vehicle. The dealership opened its doors to Windsor-Essex
on a Thursday evening in late spring as it lifted the lid on the compact new 2015 MKC. Attendees
enjoyed live music, hors d’oeuvres catered by Armando’s, and desserts from Sweet Revenge
Bakery.

competition. Parents, friends, and members of the media congregated at Performance Ford at the
outset of summer as representatives from Performance Ford presented the Sandwich Secondary
Robotics Team with a $4,800 cheque. The funds will help propel the Sabres to the World Wide
Robotics Competition in Anaheim, California, where teams from greater than 80 countries will
compete. A portion of the funds donated will help to strengthen the greater robotics community in
