The difference between a luxury car and “just” a car is not always crystal clear. At least not until you drive one. Traditionally, we’ve been told that there’s something abnormal – maybe even a little bit deviant – about automotive luxury. I’m thinking of Jaguars, high-end British roadsters that have long been marketed as devilish, almost villainous vehicles. If we’re honest, the bad guy is always more compelling. For distinguished automakers like BMW and Mercedes-Benz, though, it’s less complicated than that. Luxury is an expectation, or perhaps even an imperative; it’s as if to ask why wouldn’t you, if you could? It’s something you’re born into or a place at which you arrive. The point is that you want to be there. We know that we want luxury, but should we allow it to come at the expense of practicality? Of economy? In a way, purchasing a luxury vehicle is a declaration that you have made your driving experience a priority, that a car is not an appliance. Utility? Convenience? These are words for washing machines and toaster ovens. “Let me be surrounded by luxury,” Oscar Wilde is understood to have said. “I can do without the necessities.” Well, sure. But what if you could have both? SUMMER 2014 of luxury i s m o r e at ta i n a b l e t h a n y o u t h i n k In reality, today’s luxury vehicles are more economical, affordable, and accessible than at any point in our automotive history. Lately, with paradigm-bursting vehicle debuts like the Mercedes-Benz CLA and the BMW 2-Series – each of which retails for under $40,000 – the true meaning of luxury has become even less definable. Can a car that costs less than a tricked-out minivan truly count itself as luxurious? The short answer is: Yes. The long answer is a set of keys and a test drive appointment. “Luxury is a feeling that’s kind of hard to explain,” suggests Zeyad Rafih, Vice President of Fixed Operations for the Rafih Auto Group. “You really feel the difference in engineering, and in quality, when you’re driving a luxury vehicle. It’s not something that’s out of reach. It’s not just about price point. It’s everything from the technology in the vehicle, to the way it drives, to the way the steering wheel feels in your hands, to the way it all just kind of fits around you.” While all non-convertibles literally enclose the driver, there’s an important difference that we should recognize. “The vehicle literally is built around the driver,” explains Zeyad. “That’s something you don’t get with just any vehicle. That’s why you make the effort to select a luxury car: To get that feeling when you’re driving. The difference comes in the engineering of the car, the parts that the manufacturers use, and the amount of time put into these vehicles when they’re designing them.” Time has a lot to do with luxury driving. Elsewhere in life, luxury is historically all bound up with leisure. The finer things have traditionally belonged to those whose days weren’t divided by work obligations and measured against the unfortunate forces of necessity. Just about everybody works these days, which only means that there’s even more pressure to spend what free time we have as comfortably as we possibly can. Whether or not you look at the hours each week you spend behind the wheel as leisure time, though, is an open question. Its answer has a lot to do with the type of car you drive. RAFIH STYLE MAGAZINE 13 What we mean is that, if you look at it a certain way, transit is not an inconvenient interval between meaningful experiences located in different places; it’s one itself. Your time in your car, often, is entirely yours. In plenty of circumstances it might be the only part of your day that is. That’s not to say that your career or family or social obligations are burdens, of course, but neither should you overlook the fact that your daily quotient of solitude could be more comfortably spent. (“Let us have the luxury of silence,” a Jane Austen character once said.) Let’s go back to design time. BMW and Mercedes-Benz, I learn, have seven-year model lifestyles. Once a model hits showrooms, the design process for its successor is already well underway. Consider the new C-Class, Mercedes-Benz’s stately compact executive car. “When the C-Class came out in 2007,” relates Zeyad, “Mercedes bragged about how they put a million kilometres of testing into this one car, through all different weather conditions and on all types of roads. That’s just to make sure that there were no issues and to limit the amount of problems they had with the vehicle once it was released.” It’s nice to know. To some, luxury is all about being seen. In a very real sense, though, driving in luxury is more and more about seeing. At the top end of the market, sophisticated imaging technologies like blind spot monitoring, 3D navigation systems, and sideview parking assist cameras are all but de rigueur. With modern luxury cars, you can even get overhead views of your vehicle when you’re parking. In a society that increasingly caters to niche personal tastes and the social broadcasting of personal brands, it only makes sense that the auto industry would begin to emphasize customization and driver-centric touches. Think seating positions, lights, and driver-centric features like configurable suspension and handling modes. SUMMER 2014 The new 2014 Mercedes-Benz S-Class, to give only one example, takes it a step further. It comes with two massive 12.5-inch flat-panel screens (a pair of MacBook Airs, basically) and an even more impressive array of customizable options. The new S-Class also features proprietary driving technologies like Crosswind Assist, Advanced Driving Assistance, Advanced Steering Assist, plus a dynamic new LED lighting system. “You can have seven different colour options in the car that illuminate underneath the door panels,” explains Zeyad. While luxury has traditionally been concerned with separation – the haves from the have-nots, so to speak – it’s increasingly all about finding newer and better ways to stay connected. Today, any high-end automobile worth its sticker price should offer some form of Internet connectivity. BMW and Mercedes-Benz, in particular, have cultivated sophisticated app ecosystems over recent generations that allow drivers to monitor their social networks and entertain passengers safely in real time as they drive. Best of all, it’s fueled by the smartphone data plan to which you already subscribe. “It’s a full-out computer inside the vehicle. It’s just unbelievable the amount of technology that’s coming out. RAFIH STYLE Living IN LUXURY By Jesse Ziter luxury yacht is a boat in the way that a palace is a house. One of the last completely unimpeachable signifiers that, yes, you’ve done very well for yourself, a yacht is a boat with ambition. Or perhaps an island, casino, hotel, or private paradise with ambitions of being a boat. The best descriptor we can muster is quite possibly “sublime”: literally awesome, almost fearfully impressive objects that overwhelm the senses with magisterial ease. Aluminum and glass behemoths that only reveal themselves as boats from a significant distance. They’re quite nice, is what we mean to say. SUMMER 2014 A Brief Peek into the Opulent World of Luxury Yachts Broadly, the word yacht (etymologically related to the Dutch for “hunt”) refers to any recreational boat or ship, but we’re referring here to a pretty specific beast. True luxury yachts, ultra-expensive sailing or (more commonly) motorized vehicle with a professional crew and private owner, are almost exclusively built as bespoke, individually commissioned vehicles, with prices starting in the tens of millions of dollars. There’s no way around it: Yachting is so costly it almost exists outside of money. Once you’ve tacked on ongoing maintenance, berthing fees, and staff wages to the initial sticker price, yacht ownership certainly gets into “if you have to ask” territory for even the humblest models. We’ve also heard of fuel consumption figures the tune of 15 gallons per each nautical mile. An understated luxury yacht, if there is such a thing, starts at about 24 metres in length, but something a little more indulgent can span a significantly greater distance. In general terms, the watercrafts we understand to be luxury yachts are grouped by size into super yachts, mega yachts, and lately giga yachts. We’re quite serious. There appears to be an ongoing argument about the precise definitions of these various labels. The former two tend to be used interchangeably to refer to yachts greater than 40 to 50 metres in length, with the “mega” prefix favoured by American English speakers. (Some argue, though, that mega yachts ought to refer to larger vessels, starting with 60-metre yachts.) “Giga yacht” is best used to refer to yachts greater than 100 metres in length; there are about two-dozen currently in existence. RAFIH STYLE MAGAZINE 19 While virtually all yacht hulls were made of wood or steel until the 1950s, modern yachts, like modern cars, take advantage of sophisticated materials like fibreglass, aluminum, and carbon fibre. Whatever the primary construction material, a true mega yacht will require a lot of it: Most will consist of four decks above the waterline and at least one more below. The luxury yacht market exploded in the mid 1990s with a Wolf of Wall Street roar that carried it into the 2008 financial crisis full speed ahead. According to a BBC World New report out of, predictably, Monaco, interest in luxury yachts among the super rich has rebounded after a few post-recession lean years, with both new and resale markets transitioning into calmer waters. Speaking to the BBC, UK-based yacht broker Nicholas Edmiston reckons that fully three quarters of the world’s richest people either own or regularly hire a yacht. While you’re not likely to pull up to a stop sign next to somebody commandeering the same yacht as you (how embarrassing, we imagine), yacht owners are known to go to great lengths to imbue their vehicles with oneof-a-kind personalities. It starts with a unique name. Steve Jobs’ was called “Venus,” and Paul Allen’s goes by “Tatoosh.” We don’t know either. Further à la carte options include pools, miniature soccer fields, islandlike deck-level gardens, grand pianos, and attached submarines and submersible airplanes (!). The most expensive private yacht of which we’re aware belongs to Khalifa bin Zayed Al Nahyan, the oil-rich Emir of Abu Dhabi. Known as the Azzam, the 180-metre monster owes its existence to Lürssen, a shipbuilding company based out of Germany, the country in which most of the world’s most extravagant yachts are built. The Azzam was engineered for a full year and built in an additional three, which is an unusually quick turnaround for a yacht of its magnitude. Propelled by four pump jets powered by two gas turbines and two diesel engines (producing 94,000 horsepower in total), it slices through the sea at speeds up to 32 knots (roughly translatable as 60 kilometres per hour). It cost $605 million (USD) and funds and has its own Wikipedia page. The Eclipse, only the world’s second most opulent private watercraft at about $500 million and 163 metres, is the property of Roman Abramovich, Russian oligarch and much-publicized owner of Chelsea Football Club in the English Premier League. With two helicopter pads, 24 guest cabins, and an onboard disco hall, the Eclipse is essentially a miniature cruise ship. It also has its own dedicated missile defence system and a custom-installed anti-paparazzi laser shield. It’s all very Dr. Evil. SUMMER 2014 “Yacht owners are known to go to great lengths to imbue their vehicles with one-of-a-kind personalities.” If your very own yacht is moored somewhere outside of your price range, a charter yacht may be more your speed. While many of the world’s very finest luxury yachts are used exclusively by their owners, many others are operated as seasonal or year-round charter businesses. Yacht brokerage companies, most of which seem to be based in Monaco, can set you up with one for a weekly rate starting in the tens of thousands of dollars. You’ll also want to mind fuel and berthing charges, plus gratuities for the staff. If you’re dead set on getting yourself onto one of the world’s finest seafaring vehicles, your most realistic route might be to enroll as a crewmember. The most indulgent luxury yachts can require dozens of employees, and even relatively modest vessels can employ eight fulltime staffers or more. As a rule, luxury yacht crewmembers live permanently onboard during their employment and earn a monthly salary with most living expenses provided gratis by the boat’s owner. Virtually all luxury yachts are equipped with substantial below-deck crew areas. It’s a bit of an open-sea Downtown Abbey situation. Anyway, enjoy these photos of some of our favourites. It also makes an appreciably rumbling ursine growl, a sort of ‘Murica! in the mouth of a language-less beast. The Z06 stares down onlookers with a serpentine low profile, a striking jet-black carbon fibre front splitter, and a scandalously low hood line. According to General Motors, the new Z06 produces more downforce than any car it’s ever tested – including vehicles from other, more exotic manufacturers. The slapstick yellow gawker-friendly 2015 Z06 boasts all the overstated panache and venomous angles that have made the Corvette America’s most emblematic real-world performance car since 1953. SUMMER 2014 Deliberately decked out with a murderer’s row of conspicuous aerodynamic features, the Z06 is a four-wheeled superman in a carbon fibre cape. It just might be the least subtle car ever built. Two inches wider up front and three in the back versus the outgoing Stingray, the Z06 boasts from above a Barbie-esque girdled midsection flanked with unmissable high-volume fender flares. It all rests on an aluminum space frame, and its hood and removable roof panel are both made from carbon fibre. No-nonsense touches like exposed fasteners belie track star bloodlines. (A moment, though, for the Corvette’s dearly departed round taillights.) Inside, Driver Mode Selector, a knob-adjustable technological implementation, allows drivers to configure the Z06’s driving dynamics to suit their personal preferences. Even more impressive, the available Performance Data Recorder, an industry-exclusive perk, records high-definition video with telemetry overlays on playback, allowing Corvette drivers to relive their experiences after the fact. We think we could find a use for that. Manufactured in Bowling Green, Kentucky, the Z06 will be available to the public in early 2015. The first production model has already been sold at auction to NASCAR team owner Rick Hendrick for a cool one million dollars. It’s a world-class supercar. Class is almost in session. What is the idea – the essence – of Paris? Look: the French capital is probably the most written about city in the world, and we’re not sure what we can add to one of the great urban conversations. Thankfully, some things all but sell themselves. SUMMER 2014 The point of Paris, in that almost mythical, literary way, is that you will do things there that you can do elsewhere, but they will be different. Life seems to have more meaning, a stronger animating force, like every city street is populated by characters in as-yet-unwritten short stories. In the mind, Paris is still the world’s most populous city of bon vivants and boulevardiers, epicures and dandies. In some ways this is very much true, the streets haunted by the ghosts of Joyce and Beckett and Balzac. Like all truly great cities do, Paris offers the visitor a profound disconnect from her or her everyday while at the same time suggesting that the pocket watches of millions continue to tick on. Things are happening all around, just as they should be. In one way or another, Paris has been a vital settlement for greater than 2,000 years. Today, the French capital is one of the world’s most influential cities by any measure. With greater than 70 Michelin-starred restaurants and myriad influential design houses, Paris is rightly known as the cultural epicentre of Western Europe. But, in La Défense, it also lays claim to the largest purpose-built business district anywhere on the continent. Paris contains multitudes. While all tourist destinations by their very nature offer things to see and do, only a select few cities are themselves the attraction. We recommend you let yourself soak into the city as if in a warm bath. Rent a bicycle through Vélib, the city’s ubiquitous self-service rental system, or simply make time to venture beyond the Champs Élysées on foot. With its yawning boulevards, terraced multi-level housing, and almost depressingly fashionable sophistiqué pedestrian parades, Paris is a treat for the senses at ground level. It’s not all accidental: New construction buildings in Paris have been limited by law in terms of height and shape for almost 350 years – and perhaps longer. Within this broadly uniform framework a panoply of architectural styles now cohabitate, including some of the world’s finest Neoclassical and Art Nouveau architecture. The French are protective, but they have much to protect. French cooking, one of the western world’s great traditional cuisines reaches its apex in Paris, with recent immigrant infusions of cuisines from North and West Africa, Asia, and the Middle East only adding colours to the culinary palette. RAFIH STYLE MAGAZINE 33 The Louvre, in all its breadth and resplendence, is only one of dozens of world-class museums and galleries in the French capital. Chief among them, perhaps, is the Musée d’Orsay, a retrofitted Beaux-Arts railway station that’s as breathtaking as anything you’ll find on the walls within. The North American creative class and intelligentsia have long flocked to Paris, City of Lights and ideas. At the Père Lachaise Cemetery, the likes of Chopin, Wilde, and, yes, Jim Morrison, are still there. Shakespeare and Company, the famous Left Bank bookshop overlooking the Seine, is well worth your time and attention. We recommend taking a cue from F. Scott Fitzgerald, the Gatsby novelist and great American man of letters who lived there through most of the Roaring Twenties. Many of his favourite haunts – shared at the time with American ex-pats like Ernest Hemingway and Gertrude Stein – are still open for business, and organized literary walking, eating, and drinking tours are not in short supply. If a spot of sport is more your speed, consider watching Zlatan Ibrahimovic, another kind of enigmatic artist, play soccer at the Parc des Princes. Or do we even need to mention the French Open? It’s difficult to say anything new about the Eiffel Tower, but that doesn’t mean you shouldn’t go there too. In the words of the noted French intellectual Roland Barthes, “one can feel oneself cut off from the world and yet the owner of a world” there. That’ll do quite nicely. We haven’t even mentioned the Arc de Triomphe or Notre-Dame or the Palais Garnier opera house. You should do all those things as well, of course. Perhaps you should stay longer. If you were contemplating starting a business, a fundamental issue you would need to consider would be, “what form of business structure is best for me”? Although there are a myriad of business structures, the ones that are most commonly used are: Proprietorship, Partnership, or Corporation. Proprietorship Simply put, a proprietorship means you are in business for yourself. This is the easiest form of business structure and the costs are nominal. You can literally start this type of business instantaneously. All you have to do is to register it (if you are using a trade name) with the Provincial Government at nominal cost, and even this requirement is waived if you choose to do the business in your own name. Since the business is essentially “you,” all of the profits or losses are reported on your personal tax return. As is the case with most businesses, in the early years, the expenses usually exceed revenues. This creates a tax opportunity as the losses can be offset against income from any other source. As a sole proprietor you are personally responsible for all the debts and obligations of your business. This means that all of your personal assets are exposed to risk. This is usually the most significant drawback of this type of business structure. If you are in a high income tax bracket and if your business is profitable, then you would likely pay more tax as a sole proprietor as opposed to, say, a corporate structure. This, again, is another significant reason why you would not consider a proprietorship. Partnership A partnership, essentially, is a group of proprietors carrying on business together with the intention of making a profit. It is easy to form and the costs are minimal, similar to a proprietorship. Partners include their prorata share of profit or loss on their personal tax returns. Essentially, all of the advantages and drawbacks applicable to proprietorships are also applicable to partnerships. However, some of the advantages unique to a partnership structure are: combination of people with different talents, sharing of risks, and ability to raise more capital for the business. Some of the drawbacks unique to this structure are: potential for disagreement between the partners; disruption of the business upon the death, disability, or retirement of a partner; and potential exposure to risk caused by actions of a partner. It is, therefore, always a good idea to have a partnership agreement in place to minimize the impact of these drawbacks. SUMMER 2014 Corporation A corporation is unique in that it is considered a separate “legal entity”apart and distinct from its owner. In fact, for tax purposes also, it is treated as a separate person than you, “the shareholder.” There are two distinct advantages for choosing this structure: First, it offers liability protection. In other words, debts and obligations of the corporation are not considered your obligations and, therefore, the creditors of the business do not have a claim against your personal assets in case of business failure. Second, a corporation, carrying on an active business, pays a much lower tax on the first $500,000 of its taxable income (approximately 15.5%, for an Ontario corporation). This provides a very significant benefit, particularly, in cases where the shareholder’s marginal tax rate is, say, 49%. In our example, on $500,000 of taxable income, the tax difference would be $168,000, which represents a significant tax deferral, provided that monies are left in the corporation. If you’re a discerning consumer, you’d never settle for anything less than the finest, most personalized and accommodating service from, say, a salon, spa, or haberdashery. Why not demand the same from your dealership, the site of perhaps your most expensive purchase aside from your home? At the Rafih Auto Group, service matters. That’s the key.” For Zeyad, the most important pieces of service equipment at the Rafih Auto Group are the diagnostic devices it acquires directly from vehicle manufacturers. “Whether you’re buying a new $20,000 car or a $120,000 car, there’s specialized equipment in that vehicle that only this machine can read. It makes it very important, and it’s unavailable to unaffiliated shops.” Of course, sometimes the ultimate effectiveness of a service department comes down to purchasing power and willingness to invest in going the extra mile. “Our state-of-the-art tire changer especially makes a difference with the bigger rims going on vehicles standard now,” Zeyad adds. “Also, each of our hoists is equipped with gas hoses to ensure that no toxins go in the air.” Beyond equipment, servicing your vehicle at the dealership ensures that you only deal with manufacturer-trained technicians. It’s important to understand that this label is far more than a superficial designation. “At the Rafih Auto Group,” says Zeyad, “we spend thousands upon thousands of dollars a year sending our technicians to school in Toronto and elsewhere. Toyota, to give an example, trains dedicated hybrid technicians due to its successful Prius and other hybrid vehicles. Ford, meanwhile, mandates that its dealerships use specialized diesel technicians. “Depending on the size of your shop,” explains Zeyad, “manufacturers mandate that dealerships employ a minimum number of Master Technicians certified in different areas of specialization. To be a licenced dealer or a franchise dealer, to work on cars – especially under warranty – requires a significant investment in training.” On the topic of significant investments, it’s important to appreciate that the shop with the lowest door rate isn’t necessarily the least expensive. “The perception is that because you go to a shop that has the lowest door rate, you will save money,” says Zeyad. “In actual fact, it might take us one hour to complete a given job, whereas it might take somebody else three hours to complete the same task. So, you’re really not saving money. We work more efficiently because we have the proper tools and the proper diagnostic equipment to be able to troubleshoot quicker and get the information that we need in order to be able to fix the vehicle.” At any rate, the Rafih Auto Group Service Price-Match Guarantee is a big part of the overall Rafih service advantage. Initial contact has to be within 24 hours, and a resolution has to be within 48 hours. They have to fill out their portion and email it back to us so that we can complete it on our end. When necessary, I’ll pick up the phone myself and get to the bottom of it. We make sure our customers are treated properly and kept informed. They want their vehicles fixed right the first time.” The system works, which means most Rafih customers continue to come back to Rafih Auto Group dealerships far beyond the first time. D o you own shares in a privately owned corporation? If so, then you need to ensure that your investment is protected. For example, if you and one of the other shareholders were to come to a disagreement, could you sell your shares? Generally, there is a prohibition on transferring shares of a privately held corporation to members of the public. If the only person authorized to buy your shares is the person you are not getting along with, will you receive anything for your investment? What if you died? Would your estate be entitled to force the corporation to buy back your shares for fair market value? These are just some of the concerns that can be addressed in a shareholders’ agreement. Not only does a shareholders’ agreement organize how the corporation will be structured and operated, it also provides for a mechanism by which shareholders can sell their shares (or buy out someone else’s) in the event relations break down. This is why it is very important that a shareholders’ agreement be negotiated early on in the relationship while everyone can agree on the terms – once a dispute or death occurs, the parties’ interests will often diverge, making the negotiation of such an agreement almost impossible. This article will discuss some of the more common provisions found in a shareholders’ agreement, and the importance of these provisions. Buy-Sell Provisions There may come a time when you wish to either sell your shares in the corporation, or perhaps purchase the shares of another shareholder. Unlike shares of a public corporation, which can usually be easily purchased and sold on a stock exchange, the ability to buy and sell shares of a private corporation is usually much more restricted. One type of clause which provides for a mechanism for shareholders to buy or sell shares in the case of dispute is a “shot-gun” clause. This type of clause allows one shareholder to force the other shareholder (or shareholders) to either buy him or her out, or sell their shares. The remaining shareholders can be either purchasers or sellers, giving them an impetus to accept an offer that is reasonable, and giving the departing shareholder an impetus to make an offer which is reasonable. These types of provisions effectively create a market for shares of closely held companies, which might otherwise be difficult to sell. Some shot-gun clauses also set out the valuation for the shares (or a method of valuing the shares) in the event someone decides to exercise the clause, ensuring that the departing shareholder will receive what is considered to be a reasonable amount for the shares. This may be helpful if one shareholder has considerably less access to financial resources than the other. Another type of clause which is found in many shareholders’ agreements is a “right of first refusal.” This gives the current shareholders the right to buy the shares of a departing shareholder before any outside party would have such right. These types of clauses provide that when a shareholder receives an offer for his or her shares which he or she intends to accept, the remaining shareholders have the right to match that offer. SUMMER 2014 If the remaining shareholders do not match the offer within a specified time By Trevor LeDrew limit, then the particular shareholder Regional Director may complete the transaction with the Investors Group third party, provided the terms are not more favourable than those presented to the remaining shareholders. If one or more of the shareholders do wish to match the offer, such shareholder or shareholders would acquire the shares in proportion to their share holdings. As an alternative method of obtaining the same result, the remaining shareholders can cause the corporation to match the offer of the third party instead of the shareholders themselves. This method may be desirable in some circumstances, as the corporation would be using its funds to purchase the shares for cancellation instead of requiring the remaining shareholders to use their personal resources. However, this method could prevent the vendor from making use of any of his or her remaining capital gains exemption (a maximum of $750,000 in capital gains will be exempt from tax where there is a sale of shares of a qualified small business corporation). Another clause which is often drafted in conjunction with a right of first refusal is a “take-along” or “dragalong” clause, which provides that if the other shareholder or shareholders do not buy-out the departing shareholder, they may be compelled to sell their shares to the third party. This helps to make the shares more attractive to outside purchasers for a fair price, but may mean that you will be forced to sell your shares if you cannot afford to buyout the departing shareholder. Death of a Shareholder Another instance where you may want to be able to sell your shares, or purchase the shares of another shareholder, is in the event of death. In most cases, the estate of a deceased shareholder usually wants to sell its shares, and the remaining shareholders usually want to purchase the deceased’s shares rather than deal with a surviving spouse or other beneficiaries with whom they may not be familiar. Therefore, a shareholders’ agreement will usually provide that the remaining shareholders (or the corporation itself) are obliged to purchase (or redeem) the deceased’s shares from his or her estate for their fair market value, and that the deceased’s estate is obliged to sell. In order to provide maximum flexibility, the shareholders’ agreement is usually drafted in the form of options to purchase or options to sell in order to take advantage of the tax laws as they exist at the time of the death of a shareholder. Often life insurance is used to fund the purchase of shares on death, as otherwise the corporation may not have sufficient funds to buy the deceased’s shares. Even if the corporation has purchased life insurance, that is not sufficient to ensure that the corporation or surviving shareholders will buy out the deceased as it is the shareholders’ agreement itself that provides for a buy-out mechanism; otherwise, the corporation or other shareholders may keep the insurance proceeds, and refuse to buy the deceased’s shares. Incapacity or Retirement of a Shareholder Where a shareholder is also an employee, a shareholders’ agreement may provide for a shareholder to be bought out in the case of his or her incapacity, retirement, or termination (voluntary or involuntary). There are a number of ways in which a shareholder may become incapacitated. For example, a shareholder may become physically incapacitated through severe illness or accident, or he or she may become financially incapacitated through insolvency or bankruptcy.In each instance, the remaining shareholders may want to be able to acquire the shares of the incapacitated, retired, or terminated shareholder. Again, the value of the shares, or a method for determining the value of the shares and the mechanism for payment, should be set out in the shareholders’ agreement. Often disability buy-out insurance or critical illness insurance is used to fund the purchase of shares in the event of a long-term disability of a shareholder. It is important that the definition of disability in the shareholders’ agreement is consistent with the definition of disability in the insurance policy so that a disability which triggers a sale of assets also triggers payment of insurance proceeds in order to fund the purchase of the shares. General Matters Some additional clauses which are usually contained in a shareholders’ agreement include: • A provision regarding the manner in which the management of the corporation is structured and the affairs of the corporation are conducted. This may include the composition of the Board of Directors (the number of directors, and who shall be directors), who shall be officers, and the remuneration, if any, of directors and/or officers. • A provision respecting the method by which the corporation may obtain financing. Most shareholders prefer that the corporation obtain funds, to the extent possible, from financial institutions. However, if funds are not available from that source, the shareholders may want to provide that the shareholders will be required to contribute further funds in proportion to their shareholdings. If a shareholder refuses or neglects to supply the additional funds, the shareholders’ agreement may provide that his or her proportionate shareholdings be diluted. • A provision that the shareholders not compete within a specified area, either directly or indirectly, with the corporation during the period they are shareholders, officers or directors, or within a specified number of years thereafter. • A provision that shareholders not disclose any confidential information respecting the corporation or its business during the period they are shareholders, and within a specified time thereafter. • A valuation clause which provides for a mechanism or formula for valuing the shares in the event of certain triggering events, such as death, disability, dispute, bankruptcy, etc. Sometimes the valuation is determined by using an arbitration clause, or the shareholders may agree annually on the valuation to be used in the event any of the shares are sold in that year. These are just some examples of common provisions normally found in a shareholders’ agreement. The form and content of a shareholders’ agreement can vary widely from case to case. Due to the complexity of these issues, it will be important for shareholders to confer with a lawyer who is experienced with these matters, and who can guide you through the myriad of decisions which will have to be made when negotiating this type of agreement. Will your business succession plan be a success? Chances are each co-owner in the business is involved because of their specialized experience or abilities. In the event one of you could no longer contribute, what would happen to the business? A thorough business succession plan would ensure that everyone is treated fairly. The treatments will become less frequent over time, eventually taking place after two months and, later, at intervals of about six months. 6. Will Mesolis products let me forget my wrinkles? However, already distinct wrinkles and deep lines on the face or neck need additional treatment. SUMMER 2014 Where Friends Meet by Accident Meet Rico Lopez, new owner of Windsor’s F&J Collision. Frank Lopez, Rico’s father, founded F&J Collision in 1969 and successfully steered the company for 45 years. Rico and Lidia, his wife, have been heavily involved in the family-operated business for the better part of a decade. “We’ve been transitioning into full management of the operation for about seven years,” explains Rico, who fully took over in February. While Lopez grew up around his father’s bodywork shop, he decided to venture into the mechanical side of the automotive business as a teenager. He worked as a licenced mechanic for various Windsor-Essex companies for the better part of a decade before returning to his father’s business and opening up a mechanical department. The gamble worked out, and today F&J Collision is a full-service one-stop facility for collision and mechanical repairs, auto glass, detailing, and tires. “We do it all,” Lopez confirms with a smile. “You name it: if your car needs it, we can handle it.” While a select few automotive repairs are dealer-only jobs (computer programming issues, for example), F&J is more than happy to act as an intermediary between its clients and the relevant dealerships. “We’ll send the car away to the dealer,” confirms Lopez. “It’s an inconvenience to be here in the first place. I want to do everything I can to make the customer experience more convenient.” F&J will also deal with insurers and dealerships and manufactures regarding warranty issues. “I become a liaison for our customers,” Lopez explains. “They put their car in my hands. I want to make it a true one-stop shop where the customer doesn’t have to be inconvenienced anywhere else. They pick up the rentals here, they drop the rentals off here.” Ultimately, in the collision and mechanical businesses, customer service and quality workmanship are generally seen as the twin pillars that support any successful operation. For Lopez, though, they’re one and the same. “We put a big emphasis on customer service, and part of customer service is quality,” he outlines. “For me, quality is a given – not something somebody should hope to get. In today’s industry, if you can’t produce quality, you shouldn’t be in the business. “We’ve been cleaning cars on the collision side of things for years,” explains Lopez, “but now we realize we can offer that same service to customers that haven’t been in a collision. It helps to build relationships with my customers, and it’s nice to see them back for detailing because I can inspect my work.” As the slogan goes, “F&J Collision is where friends meet by accident.” According to Lopez, it’s much more than empty words. “A customer should never just be a number on paper,” he emphasizes. “I value my customers.” Rico Lopez, owner As he should: The majority of F&J’s work is driven to it via word of mouth and strong customer relationships rather than by insurance companies. While Lopez and his team of course work with all major insurers, F&J’s continued success is down to repeat business and referrals from satisfied clients. What keeps them coming back? It starts with value. “Anything you do in life, I don’t care if you’re fixing your car or buying a hamburger, it’s not about the cost,” explains Lopez. “It’s about the value. There’s no way around it. If I use the proper materials and the proper process, you can’t do it any faster and you can’t do it for any less. If you don’t want to pay for value – if you’re just shopping for cost – a lot of guys can do it wrong for less, but that’s not F&J Collision.” At the end of the day, it’s clear that Lopez, his shirt dirty as he speaks, still loves what he does. “I’m not a suit-and-tie in an office type of guy,” he relates. “I like to watch what’s going on, I like to see every vehicle through every step. Two sets of eyes are better than one! I have a great team, and the quality leaving the shop is second to none.” He smiles. “I can’t complain at all!” “I put pride in what we do, and I want to take care of our customers,” continues Lopez earnestly. “I’m humble in the sense that I realize nobody is perfect. We all make mistakes, but I want to take care of my mistakes. When the customer’s right, the customer’s right. We oil spray every body repair we do, because we don’t want to do it twice. It shouldn’t, but if my paint ever peels, I will take care of it. The battle for the car dashboard has truly begun. The Apple CarPlay platform allows you to transfer some iPhone functions directly to your car’s dashboard. The key features from the iOS system tools available in your car are Siri, iTunes, Maps, and Messages. One of the key benefits is the ability to make hands-free phone calls and listen to voice mails. One drawback is that it requires the Apple Lighting cable to connect to the car, which mean you need to have an iPhone 5 or above or you’re out of the game. The best part of the system is the interface design. To access CarPlay features, you simply touch the dashboard screen, similar to the way you would interact with your iPhone. If touching the dashboard while driving makes you nervous, Siri is also accessible via a voice control button on the steering wheel. CarPlay will be installed in Mercedes-Benz, Ferrari, and Volvo vehicles. The other automobile brands that have confirmed their inclusion in the CarPlay rollout are BMW, Toyota, GM, Honda, Hyundai, Jaguar Land Rover, Kia, Mitsubishi, Nissan, Peugeot, Subaru, Suzuki, Toyota, and Ford. Ford’s inclusion in the rollout is interesting, considering that the Ford SYNC system , has been aggressively promoted. There have been some big announcements recently regarding new entrants into the mobile car apps space. SUMMER 2014 Ford’s SYNC is very similar to CarPlay. It is designed to deliver a hands-free in-car entertainment system with the ability to also make phone calls, read your incoming text messages aloud and play music. In contrast to CarPlay, SYNC allows third-party developer products, such as map navigation apps, onto its platform. The highly anticipated Android Auto will allow you to plug in your Android smartphone into a compatible car, revealing an interface on the car’s touchscreen dashboard. From there, you can access a variety of features and apps including navigation, messaging, phone calls, reminders and even the ability to ask Google for the answer to a specific question. I can hear you wondering: What is the main difference between the Apple and Google offerings. Instead of using an Apple Lightning cable, Android Auto uses MicroUSB. Instead of speaking to Siri, you use Google voice search. Instead of Apple Maps for directions, you get the better Google Maps. You get the message! Both Apple and Google are seeking app developers, so that your favorite apps will work in your car. Another exciting system called InControl will be launched later this year for Jaguar and Land Rover vehicles. InControl provides the capability to run a variety of third ©2014 movado group, inc. The innovation of car apps seem to be really picking up, going beyond duplicating phone functionality . One of my favorite apps, called Glimpse will soon make the “Where are you?” call obsolete. Glympse is a location sharing app that allows two cars to temporarily sync their navigation systems to view each other’s location in realtime. Those family multicar road trips will never be the same. The app could also be used to check your friend’s ETA while en route to a destination, or more critically, find out where your spouse is!. party applications via a safetyminded interface that’s engineered for the in-car environment. The funds will help propel the Sabres to the World Wide Robotics Competition in Anaheim, California, where teams from greater than 80 countries will compete.
