2. GELTUNGSBEREICH, BEGRIFFSBESTIMMUNGEN
2.1 Für den Verkauf von MAN Merchandising Artikeln (nachfolgend „Produkte“ genannt) durch die Logwin Solutions
Deutschland GmbH (nachfolgend „LOGWIN“ genannt) aufgrund der Angebote auf der Internet-Shopseite
https://man.logwin-logistics.com (nachfolgend „MAN Merchandising Online Shop“ genannt) an Kunden gelten
ausschließlich die nachfolgenden Allgemeinen Geschäftsbedingungen. Abweichende Bedingungen des Kunden
werden nicht anerkannt, es sei denn, LOGWIN stimmt ihrer Geltung ausdrücklich schriftlich zu.
2.2 Verbraucher ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder
ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden können.
2.3 Die Regelungen unter nachfolgenden Ziffern 6, 8.4, 9.2, 13 und 14 gelten nicht gegenüber Verbrauchern. Die
Regelung unter nachfolgender Ziffer 12 gilt nicht gegenüber Kunden, die keine Verbraucher sind.
3. VERTRAGSSCHLUSS
3.1 Der Kunde kann aus dem Sortiment des MAN Merchandising Online Shop Produkte auswählen und diese über
den Button „In den Warenkorb“ in einem sogenannten Warenkorb sammeln. Über den Button „Zur Kasse gehen“
gelangt der Kunde zu dem Bestellvorgang. Vor Abschicken der Bestellung kann der Kunde die Daten jederzeit
ändern und einsehen. Mit dem Button „Kostenpflichtig bestellen“ gibt der Kunde einen verbindlichen Antrag zum
Kauf der im Warenkorb befindlichen Produkte ab. Der Antrag kann jedoch nur abgegeben und übermittelt werden,
wenn der Kunde durch Setzen eines Hakens am Punkt „Hiermit bestätige ich die AGB gelesen und akzeptiert zu
haben“ diese Vertragsbedingungen akzeptiert und dadurch in seinen Antrag aufgenommen hat.
3.2 LOGWIN schickt im Falle der Annahme des Kaufantrags dem Kunden eine Bestellbestätigung per E-Mail zu,
in welcher die Bestellung des Kunden nochmals aufgeführt wird und die der Kunde über die Funktion „Drucken“
ausdrucken kann. Die Bestellbestätigung stellt die Annahme des Antrags dar.
3.3 Kunden, die nicht Verbraucher sind, haben die Möglichkeit, bei nicht lieferbaren Produkten Vorbestellungen
abzugeben. Durch Abgabe der Vorbestellung gibt der Kunde einen verbindlichen Antrag zum Kauf der von ihm
bestellten Produkte ab. Ein Vertragsschluss kommt jedoch erst zustande, wenn eine schriftliche Annahme des
Antrags durch LOGWIN erfolgt.

4. LIEFERUNG / PRODUKTVERFÜGBARKEIT
Die Lieferung der von dem Kunden bestellten Produkte erfolgt innerhalb von 7 Tagen, nach Versand der
Bestellbestätigung an den Kunden. Ist das vom Kunden in der Bestellung bezeichnete Produkt vorübergehend
nicht verfügbar, teilt LOGWIN dem Kunden dies unverzüglich in der Auftragsbestätigung mit. Bei einer
Lieferungsverzögerung von mehr als zwei Wochen hat der Kunde das Recht, vom Vertrag zurückzutreten. Im Übrigen
ist in diesem Fall auch LOGWIN berechtigt, sich vom Vertrag zu lösen. Hierbei werden eventuell bereits geleistete
Zahlungen des Kunden unverzüglich erstattet.

5. ENTGEGENNAHME
Die bestellten Produkte sind vom Kunden bei Lieferung in Empfang zu nehmen. Kommt der Kunde mit der
Entgegennahme der Produkte in Verzug oder verletzt er schuldhaft sonstige Mitwirkungspflichten, so ist LOGWIN
berechtigt, den insoweit entstehenden Schaden, einschließlich etwaiger Mehraufwendungen ersetzt zu verlangen.
Weitergehende Ansprüche bleiben vorbehalten.
Sofern die Voraussetzungen eines Annahmeverzugs vorliegen, geht die Gefahr eines zufälligen Untergangs oder einer
zufälligen Verschlechterung der Produkte in dem Zeitpunkt auf den Kunden über, in dem dieser in Annahmeverzug
geraten ist.
6. EIGENTUMSVORBEHALT
6.1 Alle Lieferungen erfolgen unter Eigentumsvorbehalt. Das Eigentum geht auf den Kunden erst dann über, wenn
alle gegenwärtigen und künftigen Forderungen von LOGWIN, gleich aus welchem Rechtsgrund sie bestehen, voll
bezahlt sind. Bis dahin hat er die Produkte so aufzubewahren, dass sie für Dritte als Fremdeigentum erkennbar
sind. Werden die Produkte mit anderer Ware vermischt und vermengt, so erfolgt dies ausschließlich für LOGWIN.
LOGWIN erwirbt in diesem Fall einen Miteigentumsanteil an der fertigen Ware oder an der neuen Sache. Für die aus
einer Vermischung entstehende neue Sache gilt das gleiche wie bei der Vorbehaltsware, sie gilt auch als solche im
Sinne dieser Bedingungen.
6.2 Der Kunde ist berechtigt, die Produkte im ordnungsgemäßen Geschäftsgang zu veräußern oder zu verbrauchen.
Eine Be- und Verarbeitung gilt als für LOGWIN vorgenommen, ohne LOGWIN zu verpflichten. Der Kunde tritt aber
schon jetzt bis zur völligen Tilgung aller Forderungen von LOGWIN seine Forderung aus der Veräußerung oder
sonstigen Verwertung gegen seine Abnehmer mit allen Nebenrechten und Nebenkosten an LOGWIN ab, ebenso
die im Falle eines Insolvenzverfahrens ihm zustehenden Aus- und Absonderungsansprüche. Dabei ist es gleichgültig,
ob die Vorbehaltsware ohne oder nach Verarbeitung und ob sie an einen oder mehrere Abnehmer weiterveräußert
wird. Der Kunde hat LOGWIN auf Verlangen alle Auskünfte und Unterlagen zu geben, die LOGWIN zur Geltendmachung seiner Rechte braucht. Der Kunde ist so lange ermächtigt, die Forderungen an seine Abnehmer für LOGWIN
einzuziehen, als er seinen Zahlungsverpflichtungen nachkommt. Er ist aber nicht berechtigt, über die Forderungen
auf andere Weise, z. B. durch Abtretung zu verfügen. Auf Verlangen von LOGWIN ist er verpflichtet, die Abtretung
dem Drittkäufer zur Zahlung an LOGWIN bekannt zu geben.
6.3 Verpfändungen oder Sicherheitsübereinigung der Vorbehaltsware sind dem Kunden nicht gestattet. Der Kunde
ist verpflichtet, im Falle von Zugriffen durch Dritte auf die unter Eigentumsvorbehalt stehenden Produkte oder auf die
an deren Stelle getretenen neuen Sachen oder Kaufpreisforderungen LOGWIN unverzüglich Mitteilung zu machen.
Im Falle einer Pfändung ist der Kunde verpflichtet, das Vollstreckungsorgan darauf hinzuweisen, dass es sich bei den
gepfändeten Gegenständen um das Eigentum von LOGWIN handelt. Im Falle der Pfändung ist der Kunde zudem
verpflichtet, LOGWIN unverzüglich eine Abschrift des Pfändungsprotokolls zu übersenden. Hat der Kunde über seine
künftigen Forderungen zugunsten eines Dritten verfügt, (z. B. durch Mantelzession) so ist er verpflichtet, LOGWIN
bei bestehender Geschäftsverbindung unverzüglich, im Übrigen bei Aufnahme der Geschäftsverbindung von der
Vornahme der Abtretung zu unterrichten. Zur Weiterveräußerung der von LOGWIN gelieferten Produkte im eigenen
Namen und für eigene Rechnung ist er in diesem Fall nicht mehr befugt.
6.4 Bei Zahlungsverzug ist LOGWIN zur sofortigen Abholung der von LOGWIN gelieferten und noch beim Kunden
befindlichen Produkte berechtigt. Alle damit verbundenen Kosten gehen zu Lasten des Kunden.
6.5 LOGWIN ist berechtigt, vom Kunden jederzeit Sicherheiten in einer genügend erscheinenden Höhe zu verlangen.
7. PREISE UND NEBEN-/ VERSANDKOSTEN
7.1 Es gelten die jeweils in dem MAN Merchandising Online Shop zum Zeitpunkt der Bestellung angegebenen Preise
von LOGWIN. Die Kosten des Versands werden dem Kunden im Bestellvorgang vor Abgabe seiner verbindlichen
Bestellung über den Button „Kostenpflichtig bestellen“ angegeben und sind von ihm zu tragen.
7.2 Alle Preisangaben erfolgen brutto inklusive der gesetzlich vorgeschriebenen Mehrwertsteuer, welche auf der
Rechnung separat ausgewiesen wird.
7.3 Sofern der Kunde kein Verbraucher ist und sich als Händler im MAN Merchandising Online Shop registriert und
angemeldet hat erfolgen die dortigen Preisangaben ohne Umsatzsteuer.
7.4 Sämtliche Preise verstehen sich exklusive Zöllen und Einfuhrumsatzsteuer. Der Kunde in einem nicht zur
Europäischen Union gehörenden Staat ist daher verantwortlich, die Importe in seinem Land entsprechend
zu verzollen. Bei Bestellungen aus Staaten, die nicht der Europäischen Union angehören werden die Preise um
die enthaltene deutsche Mehrwertsteuer gekürzt. Der Kunde muss in diesem Fall die jeweils landestypische
Mehrwertsteuer, Einfuhrzölle sowie andere bei Einfuhr eventuell anfallende Abgaben bei seinem Zoll bezahlen.
Für Lieferungen in Staaten der Europäischen Union gilt die derzeit gültige Mehrwertsteuer der Bundesrepublik
Deutschland.
8. ZAHLUNG
8.1 Der Kunde kann die Zahlung per Kreditkarte, per Paypal oder bei Versand innerhalb von Deutschland oder
Österreich als Nachnahme vornehmen.
8.2 Die Zahlung des Kaufpreises ist unmittelbar mit Vertragsschluss fällig. Der Kunde gerät mit der Kaufpreiszahlung
in Verzug, wenn er die Zahlung nicht innerhalb von 30 Tagen nach Datum der ihm erteilten Rechnung vornimmt. In
diesem Fall hat er Logwin Verzugszinsen gemäß § 288 BGB zu zahlen.
8.3 Die Verpflichtung des Kunden zur Zahlung von Verzugszinsen schließt die Geltendmachung weiterer
Verzugsschäden durch LOGWIN nicht aus.
8.4 Ein Leistungsverweigerungsrecht oder ein Zurückbehaltungsrecht kann der Kunde nur wegen Gegenforderungen
geltend machen, die auf demselben Vertragsverhältnis beruhen. Aufrechnungen mit Gegenansprüchen durch den
Kunden sind nur statthaft, wenn die Gegenforderung unbestritten oder rechtskräftig festgestellt ist.
8.5 Zahlungsverzug berechtigt LOGWIN weitere Lieferungen einzustellen, von bestehenden Kaufverträgen,
auch von solchen, bei denen kein Zahlungsverzug vorliegt, sofern diese wirtschaftlich damit zusammenhängen,
zurückzutreten oder Schadenersatz wegen Nichterfüllung zu verlangen. LOGWIN kann ferner bei Zahlungsverzug
des Kunden sofortige Zahlung auch aller ihrer sonstigen Forderungen, ohne Rücksicht auf entgegenstehende
Zahlungsbedingungen, verlangen.
9. VERSAND, LIEFERFRISTEN
9.1 Der Versand der Produkte erfolgt per Paket- oder Frachtdienstleister. Das Versandrisiko trägt LOGWIN, wenn
der Kunde Verbraucher ist.
9.2 Besondere zwischen LOGWIN und dem Kunden abweichend von Ziffer 4 getroffene Liefer- und Terminzusagen
gelten stets unter dem Vorbehalt, dass LOGWIN selbst termingerecht und richtig beliefert wird.
9.3 LOGWIN haftet nach den gesetzlichen Bestimmungen, sofern ein Lieferverzug auf einer von LOGWIN zu
vertretenden vorsätzlichen oder grob fahrlässigen Vertragsverletzung beruht; ein Verschulden ihrer Vertreter oder
Erfüllungsgehilfen ist LOGWIN zuzurechnen.
9.4 Im Übrigen haftet LOGWIN auch nach den gesetzlichen Bestimmungen, soweit der Lieferverzug auf der leicht
fahrlässigen Verletzung einer wesentlichen Vertragspflicht beruht; in diesem Fall ist aber die Schadensersatzhaftung
auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt.
9.5 Weitere gesetzliche Ansprüche und Rechte des Kunden bleiben vorbehalten.
9.6 Fälle höherer Gewalt, Mängel an Transportmitteln sowie unvorhersehbare oder unabwendbare Ereignisse,
welche die Lieferung verzögern, erschweren oder unmöglich machen, oder zu einer Erhöhung der Einstandspreise
der LOGWIN führen, berechtigen diese, entweder die Lieferung einzuschränken, hinauszuschieben, einzustellen oder
ganz oder teilweise vom Vertrag zurückzutreten. Eine Schadenersatzpflicht wird hierdurch nicht begründet.
10. SACHMÄNGELGEWÄHRLEISTUNG, GARANTIE
10.1 LOGWIN haftet für Sachmängel nach den hierfür geltenden gesetzlichen Vorschriften, insbesondere §§ 434
ff. BGB, soweit nachstehend nicht anderes geregelt ist. Bei Verträgen mit Kunden, die nicht Verbraucher sind,
verjähren Mängelansprüche abweichend von § 438 BGB in 12 Monaten. Kunden, die nicht Verbraucher sind,
haben binnen 5 Werktagen nach Anlieferung Fehlmengen anzuzeigen. Danach können keine damit einhergehenden
Beanstandungen mehr akzeptiert werden.
10.2 Eine zusätzliche Garantie besteht bei den von LOGWIN gelieferten Waren nur, wenn diese ausdrücklich in der
Auftragsbestätigung zu dem jeweiligen Produkt abgegeben wurde.
10.3 Von LOGWIN herausgegebenen Produktbeschreibungen stellen keine Zusicherungen dar. Telefonische oder
mündliche Absprachen bedürfen zu ihrer Gültigkeit der schriftlichen Bestätigung durch LOGWIN.
10.4 LOGWIN übernimmt keine Gewähr für die Eignung der Produkte zu einem bestimmten Verwendungszweck.
10.5 Die Rückholung von mangelhaften Produkten veranlasst ausschließlich LOGWIN. Bitte senden Sie uns keine
unfreien Sendungen, diese können nicht angenommen werden.
11. HAFTUNG
11.1 Ansprüche des Kunden auf Schadensersatz sind ausgeschlossen. Hiervon ausgenommen sind
Schadensersatzansprüche des Kunden aus der Verletzung des Lebens, des Körpers, der Gesundheit oder aus
der Verletzung wesentlicher Vertragspflichten (Kardinalpflichten) sowie die Haftung für sonstige Schäden, die auf
einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung von LOGWIN, seiner gesetzlichen Vertreter oder
Erfüllungsgehilfen beruhen. Wesentliche Vertragspflichten sind solche, deren Erfüllung zur Erreichung des Ziels des
Vertrags notwendig ist.
11.2 Bei der Verletzung wesentlicher Vertragspflichten haftet LOGWIN nur auf den vertragstypischen, vorhersehbaren
Schaden, wenn dieser einfach fahrlässig verursacht wurde, es sei denn, es handelt sich um Schadenersatzansprüche
des Kunden aus einer Verletzung des Lebens, des Körpers oder der Gesundheit.
11.3 Die Einschränkungen der Ziffern 11.1 und 11.2 gelten auch zugunsten der gesetzlichen Vertreter und
Erfüllungsgehilfen von LOGWIN, wenn Ansprüche direkt gegen diese geltend gemacht werden.
11.4 Die Vorschriften des Produkthaftungsgesetzes bleiben unberührt.
12. WIDERRUFSBELEHRUNG
Widerrufsrecht
Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen.
Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag, an dem Sie oder ein von Ihnen benannter Dritter, der nicht der
Beförderer ist, die Waren in Besitz genommen haben bzw. hat.
Im Falle eines Vertrags über mehrere Waren, die Sie im Rahmen einer einheitlichen Bestellung bestellt haben und
die getrennt geliefert werden beträgt die Widerrufsfrist vierzehn Tage ab dem Tag, an dem Sie oder ein von Ihnen
benannter Dritter, der nicht der Beförderer ist, die letzte Ware in Besitz genommen haben bzw. hat.

mittels einer eindeutigen Erklärung (z.B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss,
diesen Vertrag zu widerrufen, informieren. Sie können dafür das unter dem Link „Widerrufsrecht“ abrufbare MusterWiderrufsformular verwenden, das jedoch nicht vorgeschrieben ist. Zur Wahrung der Widerrufsfrist reicht es aus,
dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.
Folgen des Widerrufs
Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich
der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der
Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens
binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei
uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen
Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall
werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.
Wir können die Rückzahlung verweigern, bis wir die Waren wieder zurückerhalten haben oder bis Sie den Nachweis
erbracht haben, dass Sie die Waren zurückgesandt haben, je nachdem, welches der frühere Zeitpunkt ist.
Wenn Sie bereits Waren in Zusammenhang mit diesem Vertrag von uns erhalten haben, haben Sie die Waren
unverzüglich und in jedem Fall spätestens binnen vierzehn Tagen ab dem Tag, an dem Sie uns über den Widerruf
dieses Vertrags unterrichten, an uns zurückzusenden oder zu übergeben. Die Frist ist gewahrt, wenn Sie die Waren
vor Ablauf der Frist von vierzehn Tagen absenden.
Sie tragen die unmittelbaren Kosten der Rücksendung der Waren.
Sie müssen für einen etwaigen Wertverlust der Waren nur aufkommen, wenn dieser Wertverlust auf einen zur
Prüfung der Beschaffenheit, Eigenschaften und Funktionsweise der Waren nicht notwendigen Umgang mit ihnen
zurückzuführen ist.
13. ERFÜLLUNGSORT
Erfüllungsort für sämtliche Lieferungen ist die in Ziffer 12 bezeichnete Geschäftsniederlassung von LOGWIN.
Erfüllungsort für alle Zahlungen ist Aschaffenburg.
14. ANWENDBARES RECHT UND GERICHTSTAND
14.1 Dieser Vertrag unterliegt dem Recht der Bundesrepublik Deutschland. Die Anwendbarkeit des UN-Kaufrechts
(Convention on Contracts for the International Sale of Goods vom 11. April 1980) wird ausdrücklich ausgeschlossen.
Ist der Kunde Verbraucher, kann auch das Recht am Wohnsitz des Kunden anwendbar sein, sofern es sich um
zwingende verbraucherrechtliche Bestimmungen des an seinem Wohnsitz geltenden Rechts handelt.
14.2 Soweit der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches
Sondervermögen ist, ist Gerichtstand für beide Teile für alle Streitigkeiten aus oder in Zusammenhang mit diesem
Vertrag, auch bei Klagen im Wechsel und Scheckprozess, Aschaffenburg. Jeder Vertragspartner bleibt jedoch zur
Erhebung einer Klage oder der Einleitung eines sonstigen gerichtlichen Verfahrens am allgemeinen Gerichtsstand
bzw. Sitz des anderen Vertragspartners berechtigt.
15. DATENSCHUTZ
Der Kunde kann sich über Art, Umfang, Ort und Zweck der Erhebung, Verarbeitung und Nutzung der für die Ausführung
von Bestellungen erforderlichen personenbezogenen Daten durch die unter dem Button „Datenschutzerklärung“
abrufbare und ausdruckbare Datenschutzerklärung ausführlich unterrichten. Der Kunde stimmt dieser Erhebung,
Verarbeitung und Nutzung personenbezogener Daten ausdrücklich zu. Er hat jederzeit die Möglichkeit, die von ihm
gespeicherten Daten unter dem Button „Mein Konto“ einzusehen und abzuändern.
16. SCHLUSSBESTIMMUNGEN
Dieser Vertrag bleibt auch bei rechtlicher Unwirksamkeit einzelner Punkte in seinen übrigen Teilen verbindlich. § 139
BGB gilt nicht. Anstelle der unwirksamen Punkte treten, soweit vorhanden, die gesetzlichen Vorschriften. Soweit dies
für eine Vertragspartei eine unzumutbare Härte darstellen würde, wird der Vertrag jedoch im Ganzen unwirksam.

1. PROVIDER AND CONTRACTING PARTNER
With orders placed via the “https://man.logwin-logistics.com” online shop, the contractual agreement will be
concluded with Logwin Solutions Deutschland GmbH, Weichertstraße 5, D-63741 Aschaffenburg

2. SCOPE OF APPLICATION, DEFINITIONS
2.1 The General Terms and Conditions, as provided in the following, shall exclusively apply for the sale of MAN
Merchandising items (hereinafter referred to as “Products”) to customers by Logwin Solutions Deutschland GmbH
(hereinafter referred to as “LOGWIN”) and which are based on the offers found on the Internet shopping site https://
man.logwin-logistics.com (hereinafter referred to as “MAN Merchandising Online Shop”). Deviating conditions on the
part of the customer will not be recognized, unless LOGWIN expressly agrees to this in writing.
2.2 A consumer is any natural person who concludes a legal transaction, insofar as the purpose of the legal
transaction cannot be predominantly assigned to either his or her commercial or independent professional trade.
2.3 The stipulations found in the following clauses 6, 8.4, 9.2, 13 and 14 do not apply toward consumers. The
stipulations found in the following in clause 12 do not apply toward customers who are not consumers.
3. CONCLUSION OF CONTRACT
3.1 The customer can select products from the product assortment of the MAN Merchandising Online Shop
and collect these products in a so-called shopping basket, by clicking on the “Into Shopping Basket” button. By
clicking on the “Checkout” button, the customer will arrive at the ordering process. Prior to submitting the order, the
customers can amend or look at the data at all times. When clicking on the button “Order with Costs”, the customer
submits a binding contractual offer to purchase the products contained in the shopping basket. However, this offer
can only be submitted and conveyed once the customers have clicked in the box stating that “I herewith confirm that
I have read and accepted the GTC”, thereby acknowledging that they accept these contractual conditions and thus
have incorporated these in their request.
3.2 In the event of the acceptance of the purchase offer, LOGWIN will send the customer an order confirmation by
e-mail, in which the customer’s order is once again listed and which the customer can print out via the “Print” feature.
The order confirmation constitutes the acceptance of the offer.
3.3 In the event of non-deliverable products, customers who are not consumers have the possibility to submit preorders. By submitting the pre-orders, the customer submits a binding offer for purchase of the products ordered by
him. However, a conclusion of contract only comes about when a written acceptance of offer ensues on the part
of LOGWIN.
4. DELIVERY / PRODUCT AVAILABILITY
The delivery of the products ordered by the customer shall ensue within 7 days after sending the order confirmation
to the customers. If the product described in the order of the customers is temporarily not available, LOGWIN will
immediately inform the customer of this in the order confirmation. With a delivery delay of more than two weeks, the
customer has the right to cancel the contractual agreement. Apart from that, in this case LOGWIN is also entitled to
rescind from the agreement. In this regard, possible payments that have already been made by the customers will
be reimbursed without delay.
5. ACCEPTANCE
The ordered products are to be accepted by the customer when these are delivered. If the customer is in delay
with acceptance of the products or if he violates or culpably infringes any other duty to collaborate, LOGWIN
is entitled to demand the compensation of any resulting damage, including any incurred additional expenses.
Further claims shall remain reserved.
In the event of a default of acceptance being present, the risk of accidental loss or deterioration of the goods
will pass to the customer at the moment in which his delay in acceptance commences.
6. RETENTION OF TITLE
6.1 All deliveries are subject to retention of title. Title to all delivered goods shall only pass to the customer when
all present and future claims of LOGWIN, irrespective of the legal grounds for their existence, have been paid in
full. Until such time, the customer is obliged to store the products in such a manner that they are recognisable for
other parties as third-party property. If the products are mixed or mingled with other products, this will be done
exclusively for LOGWIN. In this case LOGWIN acquires a co-ownership share in the finished product or in the new
object. The same shall apply for the new goods created from the processing, as for the goods subject to retention
of title, and this shall also apply as such within the meaning of these conditions.
6.2 The customer shall be entitled to sell or process the conditional commodity within the scope of the proper
course of business. As regards LOGWIN, it shall be considered to have undertaken sufficient working and
processing, yet with-out bringing about an obligation for LOGWIN. However, the customer hereby already
assigns to LOGWIN all claims against its buyers from the selling, includ-ing all additional rights and additional
costs, up to the amount of the total claims, until all claims of the seller from the delivery of goods are fully paid;
equally the assertion of claims for segregation of property and for preferential treatment in the event of insolvency
proceedings. And this shall apply regardless of whether the goods subject to retention of title are resold without
or subsequent to processing, or if they are resold to one or several buyers. Should LOGWIN request this, the
customer has to provide all necessary information and documents required by LOGWIN in order to place itself in
a position to assert its rights. The customer may collect the claims assigned to LOGWIN as long as he duly meets
his own payment obligations towards LOGWIN. He is not, however, entitled to assign the entitlements in another
way, e.g. by assignment. Should this be requested by LOGWIN, he is obliged to announce the assignment to the
third party purchaser to pay to LOGWIN.
6.3 Pledging or chattel mortgage of the reserved goods, or of the assigned claims, shall not be permissible for the
customers. In the event of third party seizures of the goods subject to reservation of title, or the seizure of the substituted new object or due purchase price claims, the customer shall be obliged to point out our firm’s ownership
rights to the third parties and to inform LOGWIN of the seizure immediately. In the event of a levy of execution,
the cus-tomer is obliged to inform the executing authority that the seized goods are the property of LOGWIN.
In the event of a seizure, the customer is also obliged to notify LOGWIN immediately by furnishing LOGWIN a
copy of the attach-ment order. If the customer has assigned his future claims in favour of a third party (e.g. by
means of general assignment), the customer is obliged to inform LOGWIN about the execution of the assignment
immediately in the event of ex-isting business relationship and, as for the rest, the information is to be pro-vided
when taking up the business relationship. In this event, he is no longer en-titled to sell the products delivered by
LOGWIN in his own name and for his own account.
6.4 In case of default of payment, LOGWIN is entitled to immediate collection of the products delivered by
LOGWIN and which are not yet at the customers. All associated costs and expenses in this regard are charged
to the customer.
6.5 LOGWIN is entitled to require securities from the customer at all times, in an amount deemed sufficiently high.
7. PRICES AND INCIDENTAL / SHIPPING COSTS
7.1 The respective prices of LOGWIN, as provided in the MAN Merchandising On-line Shop at the time of
ordering, shall apply. The customers will be provided with the costs of shipping during the ordering process,
before submitting their binding order via the button “Order with Costs”, and these costs are to be borne by the
purchaser.
7.2 All prices are gross prices that include the statutorily valid value-added tax, which is displayed separately
on the invoice.
7.3 Should the customer not be a consumer and register and log him/herself in as a dealer in the MAN
Merchandising Online Shop, the prices provided there will be without value-added tax.
7.4 All prices exclude customs and import sales tax. The customers in a country not belonging to the European
Union are thus responsible for paying the relevant customs for imports into their country. In the event of orders
from coun-tries that do not belong to the European Union, the prices will be reduced by the respectively
contained German value-added tax. In this case, the customer must in each case pay for the respective countryspecific value-added tax, im-port duties as well as other possible charges that might be incurred when im-porting,
at his/her respective customs office. For deliveries to countries belonging to the European Union, the currently
valid statutory value-added tax of the Federal Republic of Germany shall apply.
8. PAYMENT
8.1 The customer can pay by means of credit card, via Paypal or, in the event of shipping within Germany or
Austria, cash on delivery.
8.2 The payment of the purchase price is due immediately upon conclusion of the contract. The customer will
be in delay of payment of the purchase price, if payment does not ensue within 30 day following payment of the
invoice issued to him. In this case, the customer will have to pay Logwin interest for default in accordance with
§ 288 German Civil Code.
8.3 With the customer’s liability to pay default interest, LOGWIN does not fore-close a further claim to damages
caused by delay.
8.4 The customer is only entitled to the right to refuse services or a right of retention with respect to counterclaims
that are based on the same contractual relationship. Customers may only withhold or offset due payments against
their own counter-claims if these are uncontested or have been found to be legally binding.
8.5 Default in payment entitles LOGWIN to suspend further deliveries, to step back from existing purchase
agreements, also such where there is no default in payment, provided they are connected from an economic
perspective, or to claim for damages owing to non-fulfilment. What is more, in the event of default in payment
on the part of the customer, LOGWIN can demand immediate pay-ment of all their other claims, irrespective of
contrary terms of payment.
9. SHIPPING, TERMS OF DELIVERY
9.1 The shipping of the products ensues via parcel or freight service providers. LOGWIN bears the shipping risk
if the customer is a consumer.
9.2 Especially regarding deviating delivery and deadlines as agreed to between LOGWIN and the customer in
clause 4, this will always be subject to the proviso that LOGWIN also received the goods in a timely manner and
in the correct form.
9.3 LOGWIN shall be liable under statutory provisions, insofar as the delivery default for which LOGWIN is
responsible is the result of an intentional or grossly negligent contractual violation; the fault of its representatives
or vicarious agents shall be attributed to LOGWIN.
9.4 As for the rest, LOGWIN shall also be liable under statutory provisions, inso-far as the delay in delivery is
based on the slightly negligent violation of an essential contractual obligation; in this case, however, the liability for
damages is limited to predictable damage that might typically occur.
9.5 Addition legal rights and remedies on the part of the customer shall remain in effect.
9.6 Cases of force majeure, lack of means of transportation, as well as unpre-dictable or inevitable events that
cause substantial delays in deliveries or result in deliveries becoming difficult or impossible, or which lead to an
increase in the acquisition prices of LOGWIN, entitle LOGWIN to either limit, postpone or cancel the delivery, or to
withdraw from the contract entirely or partially. This shall not give rise to liability for damages.
10. WARRANTY FOR MATERIAL DEFICIENCIES, GUARANTEE
10.1 LOGWIN is liable for material defects in accordance with the statutorily valid regulations, in particular §§
434 ff. GCC (German Civil Code), as far as nothing to the contrary is stipulated below. With regard to contractual
agreements with customers that are not consumers, in departure of § 438 GCC, warrantee claims become timebarred within 12 months. Customers who are not consumers have to provide information on shortfall quantities
within 5 working days after delivery. Any claims filed after the expiration of this period can no longer be accepted.
10.2 An additional warranty regarding the products delivery by LOGWIN shall only exist if this was expressly stated
in the order confirmation pertaining to the respective product.
10.3 Product descriptions issued by LOGWIN do not represent any warranties. Telephonic or oral agreements
need to be confirmed by LOGWIN in writing to be valid.
10.4 LOGWIN shall not assume any warranty for a product’s suitability for a specific purpose.
10.5 The retrieving of defective products is initiated exclusively by LOGWIN. Please do not send us any freight
collect deliveries, as these cannot be accepted.
11. LIABILITY
11.1 The right of the customer to claim compensation for damages is excluded. Excluded from this stipulation are
customer claims relating to injury to life, body or health, or relating to serious breach of contract (cardinal duties) or
reckless violation of primary obligations through LOGWIN, its legal representatives or its vicarious agents. Material
contractual obligations are obligations that are abso-lutely necessary for the proper performance of the contract.
11.2 In the event of the infringement of essential contractual obligations, LOGWIN will only be liable for the
predictable damage typical of the contract if this was caused simply negligently, unless it concerns claims for
compensation of the customer from an injury of the life, the body or the health.
11.3 The restriction of the clauses 11.1 and 11.2 shall also apply in favour of LOGWIN’s legal representatives and
vicarious agents if claims are lodged directly against these.
11.4 The provisions of the Product Liability Act shall remain unaffected.
12. CANCELLATION POLICY
Cancellation Right
You have the right to cancel this contractual agreement within fourteen days, without providing any reasons.
The period stipulated for cancellation is fourteen days starting from the day on which you, or a third party
appointed by you, and who is not the carrier, has taken possession of the goods.
In the event of a contract consisting of numerous goods, which you have or-dered within the context of one
order and which is delivered in separate parts, the right of cancellation will be fourteen days starting from the
day on which you, or a third party authorised by you, and who is not the carrier, has taken the last possession
of the goods.
In order to exert you right of cancellation, you must send us

an unambiguous declaration (e.g. a letter sent by post, telefax or e-mail) in which you inform us about your
decision to withdraw form this contract. For this purpose, you can use the sample template that is found at the
link “Right of Withdrawal”. However, please note that the use of this form is not prescribed.
In order to observe the prescribed cancellation period, it would be sufficient to send us the statement regarding
your decision to exercise the right of cancella-tion prior to the expiry of the cancellation period.
Consequences of Cancellation
If you cancel this contractual agreement, we have to refund you all payments that we have received from you,
including the delivery costs (with the excep-tion of the additional costs that arise from the fact that you have
selected a different form of delivery than the one offered by us, which is the least expen-sive, standard delivery.
The money is to be refunded without delay and at the latest within fourteen days starting from the day on which we
received informa-tion on your cancellation of the contractual agreement. For this repayment, we shall make use of
the same means of payment utilised by you when concluding the original transaction, unless a different agreement
was expressly concluded with you; in no event will you be charged any processing fees for this refunding.
We may refuse refunding you until such time as we have again received the goods or until such time as we have
received evidence from you that you have returned the goods, depending on which is the earlier point in time.
If you have already received goods from us in connection with this contract, you have to return these goods
immediately or to hand them over, and in every case this has to ensue at the latest within fourteen days as from the
day on which you informed us about the revocation of this contractual agreement. The deadline shall be deemed
to have been met if you send the goods before the expiry of a deadline of fourteen days.
You bear the direct cost of returning the goods.
You shall only be liable for any possible diminished value of the goods, when this diminishing in value results
from the handling of the goods in a way other than what is necessary to ascertain the nature, properties and
functioning of the goods.
13. PLACE OF PERFORMANCE
The place of performance for all deliveries shall be the LOGWIN business estab-lishment as described in clause
12. Place of performance for all payments shall be Aschaffenburg.
14. APPLICABLE LAW AND COURT OF JURISDICTION
14.1 This contract shall be subject to the law of the Federal Republic of Ger-many. The application of the UN
Convention on Contracts for the International Sale of Goods of April 11, 1980 is herewith expressly excluded.
Where the customer is a consumer, the jurisdiction of the customer’s place of residence may be applicable, insofar
as the issues involved are compellingly a matter of consumer law.
14.2 Court of jurisdiction for all litigation ensuing from or with regard to the contract, should the purchaser be
a merchant, a legal person of the public law, or assets relating to public law, shall be Aschaffenburg for both
parties, also for suits related to bills of exchange and checks. However, each contract party shall remain entitled
to file a suit or to initiate other legal proceedings at the general court of jurisdiction, or the registered seat of the
other contract party.
15. DATA PRIVACY PROTECTION
The customer can gain detailed information about the type, scope, place and purpose of the collection,
processing and use of the personal data required for the execution of the orders, via the retrievable and printable
privacy state-ment, which is found when clicking on the button “Privacy Statement”. The cus-tomer expressly
agrees to the collection, processing and utilisation of his/her personal data. However, the customer shall have the
opportunity at all times to take the initiative to revise the information that has been saved by him/her by clicking on
the button “My Account” and to change this information.
16. FINAL PROVISIONS
Even if individual provisions of the contractual agreement are or shall be-come invalid, the remaining provisions
shall remain valid. § 139 of the German Civil Code does not apply. The invalid provision or provisions is to
be replaced by, where given, the applicable statutory provisions. However, should this constitute unreasonable
hardship for one of the parties to the con-tract, then the entire contractual agreement will become void.
With the purpose of providing a service, Logwin Solutions Deutschland GmbH has translated these General
Conditions of Sale into a number of different lan-guages. Decisive for the contractual relationship, however, will be
the respective current version of these terms in German [(can be downloaded at [link])], in particular in the event of
objections, ambiguities or cases of doubt which might arise between the German version of these terms and the
respective transla-tions. The contractual language is German.
