Our portfolio currently comprises 32m sq ft of industrial and office space, with an asset value of £1bn and rental income in excess of £80m. In late 2012, we secured a £175m facility from a group of banks co-led by Royal Bank of Scotland and Barclays Corporate with HSBC and Santander. The funding package refinances the existing Highcross facilities for our third fund which was started in 2008. The new facility, which has been agreed for four years, provides funding to continue to pursue asset management opportunities and will facilitate the return of cash to investors as selective disposals are made ahead of the fund’s maturity in 2018. Our focus on adding value to our office and industrial investments continues to bring positive results and this new funding package will enable us to deliver our strategy to drive positive returns for our investors. During the year, the group made £13.6m of acquisitions, all relating to our Pure Office subsidiary, and including three new business centres at Leeds, Nottingham and Aylesbury. We recognise the importance of providing our occupiers with high quality space and service, while maintaining value for money. Our focus on effective asset management has been reflected again this year in positive feedback from our occupier survey and we remain committed to providing great customer service across our portfolio. Peter Gubb, Managing Director Broad Gate, Leeds Icon Leeds business centre ANNUAL REVIEW 2012 1 PROPERTY PORTFOLIO More than 1.6m sq ft of office and industrial space was let by Highcross during 2012, with over 160 new lettings. Industrial lettings In 2012, there was a significant increase in industrial lettings, particularly in the North West, where we let more than 1m sq ft in just one month at sites in Ellesmere Port, Knowsley and Crewe. The lettings included 456,350 sq ft to B&M Retail at The Big Rack distribution unit, Deacon Park, Knowsley. The rapidly growing retailer previously served its 280 stores from premises in Speke, and the addition of the new facility has significantly expanded B&M’s stockholding capabilities. Crewe 213, Crewe Gates Industrial Estate We also let the 405,365 sq ft Phoenix facility at Ellesmere Port, to Jaguar Land Rover on a ten-year lease. The facility, which will be managed by Jaguar Land Rover’s logistics provider, DHL, was purpose-built as an automotive logistics facility and the substantial element of fit-out and finish already in place was an important factor in Jaguar Land Rover’s decision to locate at the site. At Crewe, we let a 213,291 sq ft distribution unit to Davis Haulage, on a ten-year lease. The unit, which had been fully refurbished, was selected by Davis Haulage to accommodate growth from a number of new and existing customers. Our three largest warehouse/distribution units in the North West are now all fully occupied, with the lettings to B&M Retail and Jaguar Land Rover being among the largest deals in the region in 2012. With availability of major distribution/industrial units now much reduced in the region, we are expecting to see further occupational interest in tenant-led design and build opportunities, like our Orion Park scheme in Crewe and Finepoint, Kidderminster. The Big Rack, Deacon Park, Knowsley Phoenix facility, Ellesmere Port 2 ANNUAL REVIEW 2012 In Scotland, we let 53,000 sq ft of industrial space at Wellheads Terrace, Aberdeen, to RST Trading Ltd, trading as Petrowell. The company, which already occupied the remainder of the 100,000 sq ft industrial scheme, took Units A and B on a five-year lease. At Weston Avenue, West Thurrock, we let a 22,743 sq ft industrial/distribution unit to The Noisy Drinks Company on a ten-year lease. The unit only became vacant at the end of 2011 following a lease expiry and the letting to The Noisy Drinks Company was agreed as soon as the building was placed back on the market following refurbishment. Following the successful letting of these units at West Thurrock and Aberdeen, sales of both properties were achieved very rapidly in £1.5m and £9.25m transactions. Wellheads Terrace, Aberdeen A 35,000 sq ft industrial unit at Titchfield Park, Fareham, Hampshire was let to Meggitt Avionics at the end of 2012. The deal, which also included the renewal of existing leases on a further three units, took the 122,000 sq ft site to full occupation. Meggitt Avionics is consolidating operations to Titchfield Park from two other sites in the Fareham area. During the year, we also completed the refurbishment of a 127,000 sq ft industrial/warehouse unit at Juniper Park, Basildon, providing high bay, flexible space in a secure business complex. The Juniper 1 unit, which includes fully fitted offices, is in a superb location with easy access to the M25. Titchfield Park, Fareham “The new unit is perfect for our needs, both in size and facilities, providing a high quality environment which reflects the values of the company and is far more customer-facing than our previous premises.” Noisy Drinks Company, Thurrock Noisy Drinks Company, Thurrock ANNUAL REVIEW 2012 3 “We were looking for larger self-contained office space following expansion, and Fulwood Court offered attractive, high quality accommodation, close to local amenities and in a very convenient location for our photo- Kembrey employeesFull and page visitors.” Key Retirement Solutions, Fulwood Court, Preston 4 ANNUAL REVIEW 2012 Office Lettings The largest single office letting of the year was at Kembrey Park, Swindon, where Smiths News PLC took the 27,773 sq ft Rowan office building on a twelve-year lease. The company, which was already based in Swindon, moved its head office to Kembrey Park in October. Also at Kembrey Park, existing occupier, SIRVA, a global relocation and moving services provider, expanded into the Mulberry building, taking 10,753 sq ft. Waverleygate in Edinburgh had another very successful year, with more than 25,000 sq ft of lettings to Balfour Beatty, Museums & Galleries Scotland, Scottish Ministers and the British Council. At Broad Gate in central Leeds, more than 27,000 sq ft was let, with the largest single letting an 11,000 sq ft deal with Activision Publishing Inc. Mulberry, Kembrey Park Fulwood Court, Preston, a 48,000 sq ft office scheme acquired in 2011 is now fully occupied, following the letting of the final 12,231 sq ft office building to Key Retirement Solutions Ltd. In addition, a 14,173 sq ft letting at the 110,000 sq ft WIRA Business Park in Leeds to Gamestec Leisure Ltd, has taken the scheme to 90% occupation. At Juniper Park, Basildon, our Juniper Place offices are fully occupied following the letting of 12,500 sq ft to Schenker Limited at Juniper Place and Mayne House. “Kembrey Park’s main benefits for our business are its attractive environment, convenient location and the fact it is so well-looked after by Highcross”. Located in Bedford, Darlington, Rugby, Manchester Airport and Harpenden, the hotels provide distinctive wedding venues as well as conference and meeting facilities. In 2012, we made a strategic disposal of Maids Head Hotel in Norwich. With its distinctive architectural style, including roof top parking, the new Centre benefits from a prominent position on the business park, and provides easy access for customers from the adjacent Junction12 of the M27 and other major trunk roads.” Craig Strike, Porsche Brand Director, Inchcape. “The new Porsche retail centre benefits from a prominent position on the business park and provides easy access for customers from the adjacent Junction 12 of the M27 and other major roads.” Inchcape, Lakeside North Harbour, Portsmouth 6 ANNUAL REVIEW 2012 Development Lakeside North Harbour, Portsmouth The planned 1m sq ft expansion of our Lakeside North Harbour business park in Portsmouth is now well underway, with the new Porsche Centre, retail/lifestyle hub and day nursery all completed in 2012 and the sale of a 3.1 acre site to De Vere Group for a Village Resort hotel. The launch of the new Porsche Centre marked the completion of the first major new build scheme on the park and followed the sale of a 1.76 acre site to Inchcape at the end of 2011. 2012 also saw the construction of a new retail and lifestyle hub, located in front of the park’s anchor 1000 Lakeside office building, as well as a new nursery, pre-let to the Hadland Care Group for one of its Tops Day Nurseries. The new retail and lifestyle hub at Lakeside North Harbour Starbucks has taken a 1,500 sq ft unit at the new retail hub on a fifteen-year lease and further units have also been let to The Southern Co-operative, which has opened a convenience store and florist; a dry cleaning company and hair salon. The hub is already 80% let, with strong interest in the remaining units. The new Tops Day Nursery is located in a new build 3,000 sq ft building, clad in timber, with a curved grass roof to help it blend in with its surroundings as well as improve energy efficiency. In October, Highcross sold a 3.1 acre site to De Vere Group for a new resort hotel. The group’s De Vere Village Urban Resorts division has exchanged contracts for the purchase of a 250-year leasehold interest in the land at the eastern edge of the business park. Construction of the hotel is due to start on site in June 2013. We are now focusing on opportunities for the development of bespoke office schemes along the lakeside, with outline planning consent already in place for high quality buildings of up to 200,000 sq ft. The planned phased development of the 100-acre site also includes further new facilities for businesses located at the park, such as restaurants and a new medical centre. The long leasehold interest in the 124,000 sq ft Murcar Industrial Estate in Aberdeen was sold in an £8.3m deal. The estate, which is located in the city’s Denmore Road, Bridge of Don area, includes two office/industrial facilities and an estate of eight terraced industrial units. It was acquired by Highcross in July 2011, as part of a £20m portfolio of industrial and office properties across Scotland. The sale followed the re-gearing of existing leases and letting of the remaining available space. Also in Aberdeen, we sold a 100,000 sq ft industrial facility at Wellheads Terrace, in a £9.25m deal, following the letting of the remaining vacant units. Denmore Road, Aberdeen During the year, we sold a number of properties which were acquired in 2011 as part of the Oyster portfolio of industrial and office buildings, in deals totalling £10.4m. These included a retail warehouse in Waltham Cross, office building in Kidlington and industrial unit in West Thurrock. Among other significant investment sales were Boat Race House in Mortlake, which was sold for £3.3m, Morley Court in Peterborough for £4.4m, twenty-four units at Coventry’s Central City Industrial Estate for £2.3m, the Kembrey Trade Centre in Swindon for £1.8m, the Coral Unit on Haydock Industrial Estate for £1.85m and a retail warehouse on Trinity Way, Salford for £2.4m. Highcross also sold several development sites, including a brownfield scheme at Tonbridge for £4m, land at Lakeside North Harbour, Portsmouth for a new Porsche Centre and De Vere hotel and 1.5 acres of car park land at the Whittle Estate to Whetstone Baptist Church for the development of a new Church Hall. We also completed the sale of four non-core UK Land Estates properties at Newburn Riverside, Metro Riverside, Barnstaple and Eastern Avenue Trade Park for a total of £11.4m. Central City Industrial Estate, Coventry Morley Court, Peterborough 8 ANNUAL REVIEW 2012 GROUP COMPANIES Pure Offices Pure Offices, which specialises in serviced office accommodation, expanded its portfolio by a third during 2012, through acquisition. In addition, it had new builds starting to come out of the ground and opened two new centres in Highcross office buildings. Towards the end of the year, work started on three new business centres in Cheltenham, Weston-Super-Mare and Warwick. The new purpose-built serviced office centres are all due to open in 2013. During the autumn, Pure Offices completed on the purchase of three existing office centres in Aylesbury, Leeds and Nottingham. Midshires House in Aylesbury, which was acquired in a £1m deal, provides almost 20,000 sq ft of business space and is being refurbished to provide 22 new offices, a break-out area and new reception. The Icon Nottingham and Icon Leeds business centres, which were acquired for a total of £8.15m, add a further 60,000 sq ft business space to the Pure Offices portfolio. Both centres, at Broad Gate, Leeds and Bonnington Bond, Edinburgh, are already fully occupied, with further expansion of the suites now in train. In line with the Highcross philosophy on customer care, Pure Offices carried out its first customer satisfaction survey during the year, generating a very positive response from occupiers, with 99% saying they would recommend Pure Offices. 92% of respondents rated the experience from first enquiry to moving in as good or excellent and 91% gave the same rating to their office accommodation. 98% of respondents rated the on-site management teams as good or excellent. The company, which is the largest commercial property landlord in the North East, owns a 17m sq ft portfolio, spread across 25 estates, including Team Valley in Gateshead and Tyne Tunnel, North Tyneside. At the Tyne Tunnel Estate, UK Land Estates is investing more than £1.2m on the refurbishment of the 103,000 sq ft former M&S depot to provide a new manufacturing or distribution facility. Following the recent refurbishment of a terrace of six units at the estate, all of which were let within a very short time period, a further seven units have also been refurbished, providing accommodation from 2,800 to 13,800 sq ft. In May, planning permission was granted for a new £7.7m bus depot in Gateshead for Go North East, which will be completed by summer 2013. A ten-acre site at the northern end of Team Valley, Gateshead, which has been unused for three years since the demolition of a factory, is also being developed to provide 200,000 sq ft of new industrial space. With no new industrial space currently available in Team Valley, there is expected to be strong interest in the scheme, which will include industrial, warehousing, office and research space. UK Land Estates also saw significant activity at The Waterfront, Newburn Riverside, where contracts were exchanged on three lettings totalling 27,000 sq ft . During 2012, the company let more than 1m sq ft of space to 1,500 new customers at locations across England and Scotland. In December, the company was presented with the Business Centre Association’s Workspace of the Year award for its Millennium Business Centre in Staples Corner, North West London. Bizspace provides customised workspace solutions for businesses requiring serviced, managed, conventional and virtual office space, as well as studios, workshops, industrial workspace, storage and self-storage facilities, mailboxes and meeting rooms. The company offers a single page, flexible licence agreement, providing customers with easy-access to space and the facility to sign up and move in on the same day. The units I was shown were varying in size and my unit is perfect for me. The survey also highlighted that 95% of respondents agreed Highcross is committed to customer care and 9 out of 10 would be willing to recommend us as a landlord. We were also ranked good or excellent by 80% or more of occupiers taking part in the survey, for our responsiveness to queries, performance of on-site teams and billing processes. The survey is consistently valuable in highlighting areas for improvement as well as reflecting strong performance and we look closely at all the comments made by occupiers to help us make continuing improvements to our services. A new Highcross website is also being developed which will be launched in early 2013. During the year, we also introduced new key performance indicators in our legal processes and, following a review of our contractor relationships, created partnership documents to further improve customer care. “I would be very willing to recommend Highcross without question. All the team have been great from the legals to arranging site access.” Return on Digital, Deva City Office Park, Manchester Deva City Office Park, Manchester 14 ANNUAL REVIEW 2012 Occupier Retention Our continuing focus on active asset management and investment in our properties has resulted in positive figures for occupier retention. 59% of our occupiers renewed their leases in the year to October 2012, up from 50% in the previous 12 months – compared with a UK industry average of 35% (Strutt and Parker/IPD survey 2012). We also saw an increase in the number of occupiers deciding not to activate break options – 76% compared to 70% the previous year, against a national average of 50%. Significant renewals in 2012 included 45,000 sq ft to BMW Finance at Europa House, Hook; 10,000 sq ft to Honda at Kembrey Park, Swindon and in Aberdeen, a ten year lease extension to Technip Offshore Wind Ltd on the 20,690 sq ft Elrick House. Our Midlands office agreed a new lease with Bowman Stor on five units totalling 17,000 sq ft at the Maybrook Industrial Estate, Brownhills. Elrick House, Aberdeen Europa House, Hook Adding Value Our focus on adding value to investments has been highlighted by the strong performance of the Oyster portfolio of industrial, office and retail properties, which we acquired in 2011 in a £15m transaction. During 2012, we achieved the renewal and re-gearing of all leases at the Pontyfelin Industrial Estate and the letting of the 23,000 sq ft Centrepoint unit at Trafford Park to J1 Technologies. Meadow House, a 14,000 sq ft office building at Oxford Spires Business Park was sold for £2.5m, a retail unit at Waltham Cross, occupied by Wickes, was sold for £6.4m and a 23,000 sq ft industrial unit West Thurrock sold for £1.5m following a successful letting. Pontyfelin Industrial Estate, South Wales Centrepoint Unit, Trafford Park, Manchester ANNUAL REVIEW 2012 15 Corporate Social Responsibility Our Corporate Social Responsibility commitment focuses on five key areas – customer care, environmental issues, community support, investing in the skills of our employees and ensuring we make a positive impact through our purchasing decisions and relationships with suppliers. Environment During 2012, we developed a new environmental policy, covering energy efficiency, recycling and sustainable travel. We provided our occupiers with checklists for improving energy efficiency and introduced a new recycling initiative with one of our occupiers, Hippowaste, which now provides managed recycling at around thirty of our office schemes. This focus on encouraging greater streaming of waste and increasing the percentage of material recycled, has benefits for occupiers in keeping service charges down, as well as being more environmentally-friendly. Our Lakeside North Harbour business park is continuing to lead the way in our group’s environmental initiatives. During 2012, the scheme teamed up with occupier, IBM, to launch a Bike to Work week. Shower and changing facilities were also expanded, with match-funding provided by Sustainable Routes. In the autumn, Portsmouth’s first free-to-use electric vehicle charging stations were installed at Lakeside North Harbour. Highcross funded the installation and running costs of the facility, which was donated by Zero Carbon World (ZCW) as part of its programme to help reduce the nation’s carbon emissions through the adoption of electric vehicles. Community and charitable involvement A wide range of charity fund raising events have taken place at our properties across the UK. Among the highlights were a Children in Need fund-raising day at Broad Gate Leeds, which raised more than £1,000 by encouraging occupiers to ‘wear a onesie to work’ and take part in a bake sale. Bizspace also raised just over £1,800 for The Stroke Association through a range of fund raising events. James Beeby of The Stroke Association said: “We are very grateful that the team at Bizspace made us their chosen charity this year. These much needed funds will go towards prevention and also facilities that help those that survive strokes.” UK Land Estates provided a £1,000 grant to Equal Arts, which helped fund creative participatory activities for more than 120 older people in residential care in and around Gateshead, as part of a £10,000 donation to the Community Foundation. Pure Offices donated £10 to the Prince’s Trust for each customer survey completed by occupiers, raising a total of £2,000. Staff from Pure Office business centres also took part in the inaugural Pure to Pure Cycle Challenge, for The Pied Piper Appeal. Our Lakeside North Harbour business park launched its own Corporate Social Responsibility Group in 2012, encouraging businesses based on site to work cooperatively for the benefit of the local community. Our landscaping team created four allotments for use by staff and companies based at the business park. Karen Tyrrell of our 1000 Lakeside team also won an ‘Amazing Achievement’ award for commitment and support to the regional education business partnership and the local community.
