General Condition of Sale. Acceptance of this document by dealer constitutes acceptance of the specific terms and conditions enumerated herein
and the general conditions of dealership in the AERIS dealer agreement.
Terms & Conditions
Past Due Balances. All past due balances must be paid in full before the next order is shipped unless prior arrangements have been made.
Service Charges. All past due invoices are subjected to a monthly interest charge of 1.5% per month (18% per year) on the past due balance.
Cash Discount. A 2% cash discount is allowed to Authorized Dealers for all domestic orders shipped cash with order (C.W.O.), or cash on delivery
(C.O.D.). Cash discounts apply only when account status is current.
Program Discount. Program discounts may not be deducted from past due balances. Program discounts may only be declared at time of payment
when account status is current and if payment is made within the terms specified by the order. Program discounts may be adjusted on subsequent
invoices if the dealer does not meet program requirements.

Freight Claims. Delivery to carrier constitutes delivery to purchaser. It is imperative that claims for missing merchandise, or merchandises
damaged in transit, be filed to the carrier by recipient within five (5) days from receipt.
Transshipments. Shipments will be made to Authorized Dealer locations only. AERIS equipment may not be transshipped to another store location
without first receiving written authorization from AERIS.

Payment terms. Net invoices are due in full within the terms specified on the order. Terms begin on the invoice date (date shipped).

Freight Allowance. Freight is allowed for regular domestic ground shipments on orders exceeding $1500. Expedited shipments will be charged to
the customer less the amount of regular shipment. Certain domestic program dealers may also qualify for freight allowance. Freight allowances
may not be deducted from past due balances. Freight allowances may only be deducted at time of payment when account is current and if payment
is made within the terms specified by the order.
Limitations of Liability. Neither party shall be liable to the other party for payment, repayment, or damages relating to profits, whether present
or future, expenses, investment commitments, or for any reason whatsoever. With respect to any order of products or the performance of the
products themselves, AERIS liability for negligence or otherwise will not exceed the dealer purchase price of the items contained in that order. In no
event shall AERIS be liable to the dealer for special, incidental or consequential damages.

Issuing Payment. Payment must be made for the oldest invoice first. Payments must be made by invoice number. Remittance must indicate invoice
number(s) being paid.

Freight Charges. Domestic orders under $1500 will be shipped F.O.B factory freight prepaid or collect.
Governing Law and Litigation. Terms and conditions herewith are controlled and interpreted according to the laws of the County of Alameda in the
State of California USA and any disputes, which may arise, will be settled in the Alameda County Superior Court.
Error or Questions to Account Billing. In the event errors or questions are encountered regarding your account or individual invoices, please
contact AERIS credit department within ten (10) days of receipt of order.

Trademarks and Trade names. AERIS has sole rights to its respective trademarks and trade names. The dealer may use applicable trademarks
and trade names in promoting the sale of those products which have been purchased from AERIS and which are enumerated on the face herein,
provided those products have been obtained from AERIS and no other source. Dealer shall make use of the trademarks and trade names in the
guidelines for such use published by AERIS in the Authorized Dealer Manual.
Insufficient Funds. A handling charge of $50.00 will be assessed on all “NSF” or return to maker checks.
DEALER SUPPORT
Deductions. No deductions other than Cash Discounts (if applicable), Program Discounts (if applicable) or Freight Allowances (if applicable) are
allowed without explanation and prior approval from AERIS.
Credits. Credits will be issued to your account and advice of credit provided by the issuance of a Credit Memo. No deductions may be made on
remittance of credits due without prior approval from AERIS.

Order Cancellation. Regular orders may be cancelled by contacting your AERIS Sales Representative or the AERIS Customer Service
Representative. Cancellations require approval and confirmation of responsible party. AERIS will issue a cancellation number on all cancellations.
Program or booking orders may not be cancelled within ten (10) days prior to requested ship date.
Termination of Dealership. AERIS reserves the right to terminate the dealership upon notice in accordance with but not limited to; dealers’ breach
of any one of specific terms and conditions of this document and/or the general terms and conditions set forth in the dealer agreement. Upon
termination all amounts due and payable to AERIS will remain due and payable beyond the date of termination. AERIS, at its sole discretion, may
have the option to re-purchase from the dealer any or all products unsold by the dealer at net prices at which such products were originally invoiced
to dealer. AERIS is not obligated to re-purchase product regardless of the conditions of termination. AERIS authorization must be in writing. AERIS
will have thirty (30) days from date of termination to re-purchase such products. Dealer will pay all reasonable freight charges and other costs
associated with shipping those products back to AERIS.

Minimum Order. The minimum domestic order is $100.00 in finished goods merchandise. A $15.00 handling fee will be assessed on all orders
less than $100.00.
Returns for Credit. A return authorization number (R.A. #) is required for all returns for credit. Return authorizations must be obtained by calling
AERIS at the number listed. Requests for return authorization must be submitted within 10 days of receipt of order and must include order and/or
invoice number and reason for return. Returns for credit are subject to 20% restock fee. Authorized returns must be sent freight prepaid. It is the
responsibility of the dealer to obtain adequate receipts from the carrier for return product(s). Credits will be issued (less applicable restock fee)
upon verification of return.

Pricing. All pricing is subject to change without notice. Orders are accepted with prices prevailing at time of shipment. Prices do not include
discounts. All prices are quoted in U.S. dollars.
C.O.D. Refusals. C.O.D. Refusals are subject to a 20% restock fee plus all shipping charges. Continuing C.O.D. refusals without justified cause will
be subject to conversion of account terms to cash in advance (C.I.A.).
