PROJECT CRITERIA AND DESIGN
Ed Hicks allowed AHTVSS to come in and evaluate the parts area. W e found that 150
shelves in the downstairs area and 77 of the modular roll out drawers include 628
square feet of product. (this includes 20% growth). We have configured a machine
that would have a 109.45” wide x 121.02” deep footprint and would hold this
material.
Cubic Requirements :
Based on the survey data for Warehouse Ar ea we found that we have approximate
957 square feet of storage to provide.
The total balance of VLM items (Skus) by cube = 628 with 20%gro wth
The total Cubic requirements = 628 net cubic feet of material to be stored.

What was purchased?
Installation of (1) Shuttle XP 2450x864
This project will take up to 5 days to complete. Upon completion of the project, AHT will
ensure that the said unit is level, square, plum and fully operational. It is AHT’s goal to
provide quality customer service during and after the completion of a project. Therefore if
needed this project could be stopped or delayed to respond to another customer with an
urgent service issue.

Assumptions
AHT Services Group will provide a Kardexremstar certified crew to install the (2)
Shuttle XP 2450x864. Training and initialization will be completed by AHT Services
Group LLC at the time of mechanical installation unless other arrangements have
been made an agreed upon.
The Customer is responsible for the following Items

Providing a Free and Clear Area (including a suitable size dry material staging
area) prior to installation commencing.

Provide loading dock or other suitable area for staging.

Available work hours of 8:00 a.m. to 5:00 p.m. (Monday through Friday). Unless
otherwise noted

Customer is required to provide dedicated circuit breaker and bring electrical
power to the machine transformer inside of unit.

Designation of Project Manager with authority to make changes in the project.

Provide access to AC power for operation of power tools.

Provide access to a dumpster for the disposal of all trash.

Provide any necessary permits

Provide required safety documentation and training as required by customer’s
health and safety policy guidelines.

Provide a restroom and lunch room area

AHT Services Group LLC is responsible for the
following items:

All mechanical installation, ensuring equipment is installed square,
plumb, level, shimmed and anchored to the floor properly.

Cleanup of area (customer to handle disposal of packaging and excess
materials).

All Electronic connections to Unit Controllers, lights and peripherals.

All work to be carried out during normal working hours 8am-5pm,
unless otherwise agreed to in writing.

Work will take place under normal working conditions of light and
temperature.

Work to be performed by non-union labor unless otherwise specified.

Delay of work due to site obstructions, lack of electrical power, etc.
could result in additional charges.
PLEASE NOTE: Because PPG is a “modular” type of software package, we customize
its features to fit each of our customer’s specific needs and budgets at the time of
purchase. As such there are many different options available that may not have
been included at this time but can be purchased and added at a later date as
needed. Please review the features/options listed in this document for your specific
application to be sure it meets your expectations.

Power Pick Global Statement of Work:
Assumptions:
AHT Services Group will install and configure the Power Pick Global software. The
software will be installed either in person or remotely via the Internet. Training
will be completed by AHT Services Group LLC in person unless other arrangements
have been made an agreed upon.
The Customer is responsible for the following Items:
1. Provide a Workstation(s) that meet the minimum system requirements
for Power Pick Global (See Kardex Remstar Document Power Pick
Global System Requirements v4.2).
2. Provide a Workstation/Server that meets the minimum system
requirements for Power Pick Global (See Kardex Remstar Document
Power Pick Global System Requirements v4.2) for the Power Pick
Global Rules Engine Server Service.
3. Network Drops and cabling needed for communication on the LAN
and/or communication between the workstation(s) and the IP based
storage devices
4. Network switches 10/100 or better when connecting multiple machines
and workstations on a private LAN
5. Providing IP addresses if the default subnet of 172.30.7.X cannot be
used
6. A member of the Customer’s IT staff needs to be readily available while
the AHT installer is on-site to immediately address any IT issues.
7. If a part master import is required you must provide AHT Services a
sample of the import file well in advance of the scheduled training (AHT
Services Group will provide assistance with the file format).

8. A dedicated person/ trainee for the duration of the installation/training.
This person is responsible for the ongoing administration of the Power
Pick Global software and will provide user training.
9. Provide required safety documentation and training as required by
customer’s health and safety policy guidelines.
10.Have bins/dividers loaded into the Trays/Shelves and have product
available in queue staged at the Kardexremstar machine(s) for
storage.
11.All backup and maintenance of the Power Pick Global Database
AHT Services Group LLC is responsible for the following items.
1. Install Microsoft SQL Express on a workstation provided by the
Customer
2. Assist with the database creation if the database is going to be hosted
on a SQL Server maintained by the Customer
3. Install The Power Pick Global Rules Engine server service on a
Workstation or a server provided by the Customer
4. Install and configure Power Pick Global on licensed workstations and or
servers.
5. If required, import the parts master
6. Install and configure the HID iCLASS Smartcard readers/writer
7. Train the Power Pick Global Admin on how to program the HID iCLASS
smartcards
8. Train the Customer Name. designated Power Pick Global Admin on
configurations and day to day use
9. Assist the Power Pick Admin with training the “Train the Trainers”

Change Management Process
Any changes made to this Statement of Work including but not limited to schedules, returned trips
required, over time/off hours work etc. will result in the statement of work being modified accordingly
and with that the associated costs as well. An approval of a new/ modified statement of Work will be
required and agreed upon before any AHT resources can be allocated to the project. Additional charges
maybe incurred.
Professional Services Agreement
AHT Services will complete all of the work at the Customer’s facility. In the event that the Customer is
unable to fulfill items listed as their responsibility additional services/ return trip(s) may need to be
scheduled with additional costs. Please assume if an item of service is not specifically mentioned in this
document as included, it is not.
Acceptance and Authorization
AHT Service Group LLC will deliver to the Customer a functional Power Pick Global system (functional is
defined as the software is functioning as designed. AHT terms and Conditions apply
1.
TERMS AND CONDITIONS APPLICABLE
The terms and conditions set forth herein shall apply to all sales of goods, including any software that is included with the goods
(collectively, the “Products”) or the provision of training, installation, maintenance services and/or other types of services (“Services”)
made or provided by Alternative Handling Technologies, LLC or any of the subsidiaries or affiliates of Alternative Handling Technologies,
LLC (collectively, “AHT”) to any purchaser (the “Buyer”). AHT’s acceptance of any order for Products or Services (each, an “Order”) is
expressly made conditional upon assent to the terms and conditions set forth herein. AHT does not accept and hereby expressly rejects
all terms and conditions contained in any document issued by Buyer which purport to pertain to the Products, the Services and/or the
relationship between AHT and Buyer, which terms and conditions are in addition to or inconsistent with the terms and conditions set
forth herein, and such terms and conditions shall not become part of any Order.
2.
TERMS
Except as otherwise provided herein, terms are cash 15 days after the date of the invoice. Amounts past due by 10 days or more are
subject to a service charge of 1-1/2% per month (or fraction thereof) or the maximum contract rate permitted by law. If AHT deems
that by reason of the financial condition of the Buyer or otherwise the continuance or shipment in the terms specified herein is not
justified, AHT may require full or partial payment in advance. For larger orders a down payment will be required depending on the
extent of the order. Progress payments may also be required. Legal fees associated with the collection of delinquent accounts will be
the responsibility of the Buyer.
3.
PRICE POLICY
Pricing for all Products shall be good for thirty (30) days after the date of the proposal for such Products. Pricing for Services shall be the
pricing set forth in a Proposal, or if not set forth in a Proposal, those prices in effect for the Services at the time of delivery of such
Services.

SOFTWARE.

In the event that software is incorporated with the Products, Buyer is hereby granted a limited license to such software solely to
operate the Products. Buyer agrees that it shall not reverse engineer, disassemble, decompile, or translate the software, or otherwise
attempt to derive the source code of the software.
5.
DELIVERY
Shipping dates given by AHT are approximate and are based on prompt receipt of all necessary information regarding the Order. AHT
will use commercially reasonable efforts to meet the scheduled date shown on the Order acknowledgement issued by AHT
(“Acknowledgment”), but cannot be held responsible for a failure to do so for causes beyond its reasonable control and in no event shall
AHT be liable for any loss or damage from the failure to deliver within the time specified herein.
If the installation date of the Products is delayed beyond the original schedule for any cause, the entire purchase price less the amount
estimated by AHT for any uncompleted work, shall become due and payable 15 days from the date material is shipped to the
installation site or if Buyer requests AHT to delay such shipment, then 30 days from the date the material is ready for shipment and/or
AHT agrees to complete the work at a later date at prices prevailing at the time the work is performed. In addition, Buyer shall be
responsible for all expenses arising from the handling and storage of the Products during any delay. Following delivery and installation,
AHT shall have the right to keep all unused parts.
6.
METHOD OF SHIPMENT
Unless otherwise specified in the Acknowledgment or the Order to which it refers, all shipments made pursuant to the Order shall be
made F.O.B. point of shipment, freight collect. When requested by Buyer, AHT may pay transportation charges which will be invoiced
separately. Title shall pass to the Products upon delivery to a common carrier for shipment.
7.
CHANGES
Any order or contract may be changed or canceled by the Buyer, but only upon prior written agreement of AHT and upon payment of
any cancellation charge. Upon request, AHT will inform Buyer as to the amount of such charge and revised shipping date.
8.
CANCELLATION
The Buyer may cancel an Order only upon written consent and upon payment to AHT of cancellation charges which shall take into
account, among other things, anticipated profits, expenses incurred and commitments/obligations already made by AHT.
9.
REGULATORY LAWS AND/OR STANDARDS
AHT makes no promises or representation that its Products or Services will conform to any federal, state or local laws, ordinances,
regulations, codes or standards, except as particularly specified and agreed upon for compliance in writing as part of the contract
between Buyer and AHT. AHT’s prices do not include the cost of any related inspections, permits and inspection fees. Buyer shall be
solely responsible to perform and complete all floor load calculations, seismic calculations, structural evaluations and all other
inquiries/investigation regarding Buyer’s premises and particular requirements.
10.
RISK OF LOSS
Notwithstanding title to or ownership of the Products, risk of loss shall pass to the Buyer as soon as the Products have been handed
over to a common carrier for shipment.
11.
SECURITY INTEREST
Title and ownership of the Products are and shall remain vested in AHT, notwithstanding delivery or possession, until the entire price is
paid by Buyer in full. Buyer agrees to do all acts necessary to perfect and maintain such security right and title in AHT. The Buyer must
maintain, at its own expense, insurance in an amount equal to the sale price against loss or damage of any Product covered by an Order
until such time as the Order is paid in full, and agrees to furnish AHT with satisfactory proof of this coverage.

TAXES

Except for taxes related to AHT’s income, Buyer shall be responsible for the payment or disposition of any taxes imposed as a result of
an Order, whether such taxes are imposed or levied at the time of the transaction or at any subsequent time, including any federal
excise tax, if any. “Taxes” shall include any penalty or interest on such tax obligation. AHT agrees to cooperate fully with Buyer in any
attempt by Buyer to have any such taxes released or reduced. The prices do not include any applicable sales, use, excise or similar
taxes. The Buyer assumes responsibility for all such taxes.
13.
PRODUCT LIABILITY
Buyer acknowledges that AHT has no control over, and is not responsible for, the manner in which the Products will be used or
otherwise dealt with by the Buyer. The Buyer therefore agrees to assume all responsibility for, and shall indemnify, defend and hold
AHT harmless from and against, any and all losses, liabilities, actions, claims, demands and expenses (including, without limitation,
attorneys’ fees and court costs) (collectively, “Losses”) arising out of or in any way connected with the installation, maintenance, use or
operation of the Products.
14.
CLAIMS
Failure to give notice of claim under this contract within ten (10) days from date of delivery, or the date fixed for delivery (in case of
non-delivery) and, for latent defects, within ten (10) days after discovery of such defect, shall constitute a waiver by Buyer of all claims
in respect of the Product so delivered or provided or not delivered or provided, as the case may be, and shall relieve AHT of any such
claim by Buyer. Claims include claims of any kind, including without limitation those (a) for loss, damage, expense or injury, (b) with
respect to the Product delivered or for non-delivery of the Product, or (c) based upon AHT's (i) breach of warranty, contract, statute, or
regulation or (ii) negligence, strict liability or any other tort.
15.
RETURN OF GOODS
Written permission from AHT must be obtained before returning any Products. In order to return any Products, Buyer must adhere to
AHT’s current return procedures, which may include a re-stocking fee, as well as a charge for shipping and handling.
16.
WARRANTY; DISCLAIMER OF DAMAGES
AHT warrants that the Services will be performed in a professional and workmanlike manner.
AHT will extend to Buyer the applicable manufacturer’s warranty on all Products. Warranty period varies by product. Products found to
be defective within the applicable warranty period, and subject to any exceptions established by the manufacturer, may be returned to
the manufacturer for manufacturer’s warranty repair according to the manufacturer’s policies and procedures.
BUYER ACKNOWLEDGES AND AGREES THAT AHT IS NOT THE MANUFACTURER OF THE PRODUCTS AND, AS SUCH, DOES NOT MAKE ANY
– AND HEREBY DISCLAIMS ANY AND ALL – WARRANTIES WITH RESPECT TO THE PRODUCTS, INCLUDING BUT NOT LIMITED TO
WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.
Further, Buyer acknowledges that AHT has no control over, and is not responsible for, the manner in which the Products will be used or
otherwise dealt with by the Buyer. The Buyer therefore agrees to assume all responsibility for, and will indemnify, defend and hold AHT
harmless from and against, any and all losses, liabilities, actions, claims, demands and expenses (including without limitation attorneys’
fees and court costs) arising out of or in any way connected with the use or operation of the Products, or the design, construction or
composition of any item incorporating the Products.
To the extent permissible by law, the warranty set forth in this Section is limited to the Buyer and is not transferable by Buyer to any
other party.
IN NO EVENT WILL AHT HAVE ANY LIABILITY TO BUYER OR ANY THIRD PARTY FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR
EXEMPLARY LOSS, COST, EXPENSE, LIABILITY OR DAMAGES, WHETHER DIRECT OR INDIRECT, IN CONNECTION WITH OR ARISING OUT OF
ANY ORDER OR THE SUPPLY OF ANY PRODUCT OR SERVICE. IN NO EVENT WILL AHT’S LIABILITY WITH RESPECT TO ANY ORDER OR THE
SUPPLY OR USE OF ANY PRODUCT OR SERVICE EXCEED THE AMOUNT ACTUALLY PAID BY THE BUYER WITH RESPECT TO SUCH PRODUCT
OR SERVICE.

PROPRIETARY RIGHTS; CONFIDENTIALITY

Any and all models, drawings, sketches, parts and other information supplied by AHT to Buyer shall remain the property of AHT. The
Products are offered for sale and are sold by AHT subject in every case to the condition that such sale does not convey any license,
expressly or by implication to manufacture duplicate or otherwise copy or reproduce any of the Products or any part thereof.
All non-public, confidential or proprietary information of AHT, including, but not limited to, specifications, samples, patterns, designs,
plans, drawings, documents, data, business operations, customer lists, pricing, discounts or rebates, disclosed by AHT to Buyer, whether
disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated or
otherwise identified as "confidential," in connection with this contract is confidential, solely for the use of performing this contract and
may not be disclosed or copied unless authorized in advance by AHT in writing. Upon AHT's request, Buyer shall promptly return all
documents and other materials received from AHT (and all copies thereof). AHT shall be entitled to injunctive relief for any violation of
this Section. This Section does not apply to information that is: (a) in the public domain; (b) known to Buyer at the time of disclosure; or
(c) rightfully obtained by AHT on a non-confidential basis from a third party.
18.
APPLICABLE LAW; JURISDICTION
This contract and all rights and duties of AHT and the Buyer will be governed by the laws of the State of Maryland, without regard to its
conflict of law principles. Any dispute arising out of or in connection with this order or the relationship of AHT and Buyer shall be
adjudicated exclusively in the state courts for Baltimore County, Maryland or the United States District Court for the District of
Maryland, Baltimore Division, and all parties consent to personal jurisdiction and venue therein.
19.
BUYERS DELEGATION
Buyer may not assign or delegate any of its rights or obligations under any Order without the prior written consent of AHT. Any
attempted assignment or delegation in violation of this paragraph will be null and void.
20.
PARTIES BOUND
This contract shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, executors, administrators,
legal representatives, successors and assigns where permitted by this contract.
21.
INTEGRATED AGREEMENT; NO WAIVER
The terms of this contract are intended by the parties as a final expression of their agreement with respect to such terms and also as a
complete and exclusive statement of such terms. No failure by AHT to take any action or assert any right hereunder shall be deemed to
be a waiver of such right in the event of the continuation or repetition of the circumstances giving rise to such right.
22.
SEVERABILITY
In case any one or more of the provisions contained in this contract shall for any reason be held to be invalid, illegal or unenforceable in
any respect, such invalidity, illegality, or unenforceability shall not affect any other provision thereof and this contract shall be
construed as if such invalid, illegal, or unenforceable provision had never been contained herein.
23.
ATTORNEY FEES AND EXPENSES
In the event that any legal action or other proceeding is brought for the enforcement of this contract or in connection with any
provision contained herein, in addition to all other remedies provided by law, AHT shall be entitled to recover its reasonable attorneys'
fees, costs and expenses. Any claim for collection of costs, fees or expenses pursuant to this contract shall survive and shall not merge
into any judgment entered with regard to a claim arising out of or relating to this contract.
24.
CONFLICTING TERMS
In the event there are any terms in any documents provided by AHT in connection with any order by Buyer of Products, unless explicitly
stated that such terms will supersede these terms and conditions, these terms and conditions shall govern.
