Corporate Finance team history
Arkan & Ergin, founded in 1952, is a successful firm servicing tax, audit
and corporate finance in line with global standards. Arkan & Ergin, formerly
a member firm of Grant Thornton International, has been a member firm
of French based JPA International since February 2009.
Arkan & Ergin Corporate Finance team consists of seven professionals;
two partners, one director, two managers and two analysts.
Worldwide network
JPA International, founded in 1989, is a world wide network of firms serving
international clients. JPA International has a local presence in 46 countries
with over 140 offices worldwide. Each JPA member firm is an independent
legal entity in its own country.
Corporate Finance services
The Corporate Finance team in Turkey was established in August 2004 to
focus mainly on middle market transactions.

Coming from a wide range of backgrounds, the team consists of
professionals educated and experienced in fields such as in engineering
and finance both in the domestic and global markets. Along with the
department's dynamic professionals, the team's other main advantage in
the M&A field is its access to a global networking opportunity. The local

M&A services include advice on:
evaluating the feasibility of the proposed transaction
providing local and cross border tax advice on the most efficient
tax structure
regulatory restrictions
establishing and reviewing acquisition criteria
identifying and approaching the right acquisition targets, both
nationally and internationally, to fit with strategic goals
helping develop a detailed business plan and strategy
assisting with raising finance for acquisition

In addition to M&A services, the Corporate Finance team applies a variety
of methodologies and techniques in valuing companies. The team has
experience in valuations of both private and public companies of all sizes
in a wide range of industries together with knowledge of national and
international accounting standards and regulatory issues.
Valuations include advice on:
assessing the value of unlisted and listed companies, businesses
and intangible assets for acquisition, disposal, merger,
reorganization or restructuring
satisfying regulatory requirements by providing a fairness opinion
on a transaction
providing expert advisor opinion for corporations or shareholders

R&R includes advice on:
finding the adequate level of production/sales to minimize working
capital and maximize EBITDA
providing expense & cost reduction opportunities
exploring financial restructuring opportunities including debt
restructuring with financial institutions, critical suppliers, tax and
social security authorities
investigating external cash generation opportunities (strategic
investor, financial investor, etc)
exploring of any value added through intra-group corporate
restructuring
restructuring of management level and human resources
with a special focus on the cash generation ability of the company.
Cost optimization:
Companies should periodically review and maintain control their overhead
expenses.
However, company management is constantly bound to focus on strategic
and core business issues due to competitive environment, ever-changing

Team
The team consists of seven experienced professionals including two
experienced analysts who conduct global industry, company and M&A
opportunity analysis. The team has a wide range of professional talents

Mr. Özberki graduated from Ankara University in the Faculty of Political
Science in 1979. During 1979-1984, he taught economics with a special
emphasis on economic growth at Gazi University in the Economics
Department.
Mr. Özberki has a Corporate Finance Qualification granted by the Institute
of Chartered Accountants in England and Wales.
Between 1984 and 1991, he worked at the Midland Bank Turkey as Head
of the Investment Banking Department. At Samuel Montague, Midland
Bank group's investment bank, Mr. Özberki led the first IPO of Petkim as
well as provided consulting services to the Republic of Turkey Prime
Ministry Privatization Administration. With Samuel Montague, he also
provided various consulting services on privatization projects in Poland.
Mr. Özberki was responsible for setting up a fully fledge banking operation
as the Head of Investment Banking.
In 1992, he joined Arkan & Arkan Consultancy where he consulted
companies on M&A transactions and debt restructuring. The clientele
mainly consisted of local companies seeking foreign partnership.
After the establishment of Arkan & Ergin Grant Thornton, he became the
Partner of Corporate Finance where he established an independent
Corporate Finance division specialized in valuations, fairness opinions,
and mergers and acquisitions. The market niche in M&A is typically small
to medium sized companies, but valuation and fairness opinion cater
towards large corporations such as Coca Cola, Finansbank and TRW.

After graduating from Eidgenösische Technische Hochschule Zürich (ETH)
with a degree in Electrical Engineering in 1993, Mr. Taflkent joined
Massachusetts Institute of Technology (MIT) and Polytechnic University
of New York for the PhD program and received graduate degrees in
Electrophysics and Technology MBA.
During 1998-2005, he worked as a R&D engineer, expert consultant and
instructor at Lucent Technologies Bell Laboratories in New Jersey. During
that timeframe lead major fiberoptic transmission system deployments
for Verizon, British Telecom, Telia, Deutsche Telekom, Global Crossing,
Qwest, and UPC around the globe. Further more he has consulted in the
areas of Knowledge Management, Competency Management and
Telecommunications Technologies as part of Lucent Worldwide Services
(LWS) in New York.
Since 2006, he has been working as telecommunications, renewable
energy, and company restructuring advisor in Turkey.
Beginning of 2010, Mr. Taflkent has been assigned as General Secretary
of Swiss Chamber of Commerce in Istanbul.

Mr. Rota graduated from Industrial Engineering department of Middle
East Technical University, Ankara with High honors. He received his M.S.
degree from Stanford University, CA in 1982.
He spent six years in banking sector, starting in Citibank as head of fixed
income securities desk, then as Vice president of Impexbank setting up
and heading the Treasury and Capital Markets department. Later he
assumed the position of Assistant General Manager of Finansbank in
charge of the investment banking division. During that time he managed
to place the largest portion of the largest private sector IPO of Turkey and
led various privatization and recovery projects.
In 1992 he formed a joint venture with a French company, specializing in
industrial minerals, as shareholder and general manager. In 2002, together
with his partners, he started up his own company producing industrial
washing machines and prior joining Arkan & Ergin JPA International he
worked as assistant general manager at Ozkan Demir Celik, a large steel
manufacturer.

Mr. Erözlü has an MBA degree from Boston College in Boston,
Massachusetts and a Bachelor of Science degree in Industrial Engineering
from Purdue University in West Lafayette, Indiana. He has several years
of business/financial analysis, and engineering experience.
Prior to joining Arkan & Ergin Grant Thornton in November 2006, he
worked at the Strategic Planning Department of Paflabahçe Cam San. ve
Tic. A.fi. in Istanbul, at the Consolidation Department of Cognis Deutschland
GmbH & Co. KG in Düsseldorf, Germany and at the Technical Consulting
Department of Production Modeling Corporation (PMC) in Dearborn, USA.
At PMC, he has provided Industrial Engineering support for automotive
projects of Big Three (General Motors Corporation, Ford Motor Company,
Daimler Chrysler) and their suppliers. At Paflabahçe, he prepared
comprehensive sector analysis which included global and regional macro
outlook, global and local industry trends, industry expectations, regional
trade flows (export, import) and competitor analysis & benchmarking.
At Arkan & Ergin, Mr. Erözlü has been involved in various valuation and
M&A projects in the energy, production, pharmaceutical and finance
sectors.
