Re: Bridge the Gap
In recent years, the Disciplinary Board of Pennsylvania has recorded an increasing number of
complaints filed against newly admitted attorneys for violations of the Rules of Professional Conduct
which directly relate to the practical aspects of operating a law office. A joint committee of the Supreme
Court of Pennsylvania designed a program to provide the type of information necessary to smooth the
transition from law student to attorney. The result was the Bridge the Gap program intended to give the
recent law graduate the “know-how” which is otherwise learned through trial and error. The Supreme
Court of Pennsylvania recently approved a rule change requiring newly admitted lawyers to
complete the Bridge the Gap program by their first CLE compliance deadline.
The Bridge the Gap program consists of the following sections:

Overview of PA Supreme Court Disciplinary System
Outreach Programs & Resources
Qualifies for 4 hours ethics credit
The Monroe County Bar Association will offer the four (4) hour program during each compliance period.
The next program is scheduled for Wednesday, April 1, 2015 from 12:30pm to 4:30pm. A light lunch
will be served at 12:00 Noon. The program will be offered at the Bar Center, 913 Main Street,
Stroudsburg, PA. Any attorney may attend the course to obtain CLE credit. The cost of the course
will be $10 for attorneys in practice one year or less; $45 for attorneys in practice no more than five years;
and $90 for attorneys in practice for more than five years.
To register, complete and return the attached coupon with a check payable to MCBA by March 25, 2015.

1. While requests for declaratory judgment are within the discretion of the Court, we will
not entertain such a remedy when doing so would require the Court to re-write the

2. Courts have been very conservative in construing the terms of bond agreements.

: OBJECTIONS
OPINION
Plaintiff, Township of Pocono, filed an Amended Bond Complaint on May
5, 2014 seeking relief against Defendant, Fidelity and Deposit Company of Maryland,
pursuant to a Performance Bond (“Bond”) entered into by the parties on April 1, 2010.
Defendant filed Preliminary Objections to the Amended Bond Complaint on May 28,
2014. Both parties filed briefs on the matter and arguments were heard before the
Court on November 3, 2014. We are now prepared to decide this matter.
DISCUSSION
Pursuant to Pa.R.C.P. 1028(a), preliminary objections may be filed by any
party to any pleading on several grounds, including:
(2) Failure of a pleading to conform to law or rule of
court or inclusion of scandalous or impertinent
matter;
(3) Insufficient specificity in a pleading;
(4) Legal insufficiency of a pleading (demurrer);

(5) Failure to join a necessary party.
Pa.R.C.P. 1028(a)(2)-(5). In ruling on preliminary objections, we recognize that the
Court must accept as true “all well-pleaded allegations and material facts averred in
the complaint, as well as all reasonable inferences deducible therefrom….”, Wurth by
Wurth v. City of Philadelphia, 584 A.2d 403, 407 (Pa.Cmwlth.1990). The court need
not accept as true, however, “conclusions of law, unwarranted inferences from facts,
argumentative allegations, or expressions of opinion.” Myers v. Ridge, 712 A.2d 791,
794 (Pa.Cmwlth. 1998).
When ruling on a preliminary objection that would dismiss the action, we
are mindful to sustain the objection only in the cases which are clear and free from
doubt. King v. Detroit Tool Co., 682 A.2d 313, 314 (Pa.Super. 1996). In determining
whether the factual averments of a complaint are sufficient to state a cause of action,
all doubts must be resolved in favor of the sufficiency of the complaint. Slaybaugh v.
Newman, 479 A.2d 517, 519 (Pa.Super. 1984). A demurrer will be sustained only
where the complaint demonstrates with certainty that under the facts averred within,
the law will not permit a recovery. Id.; see also Cianfrani v. Commonwealth, State
Employees’ Retirement Bd., 479 A.2d 468, 469 (Pa. 1984). If any theory of law will
support the claim raised by the complaint, dismissal is improper. Slaybaugh, 479 A.2d
at 519; Cianfrani, 479 A.2d at 469. Alternatively, a motion to strike a pleading may be
granted when lack of conformity to a law or a rule of court occurs. Pa.R.C.P.
1028(a)(2). We now turn to Defendant’s Preliminary Objections and will discuss each
in turn.

A. Legal Insufficiency: Count I—Declaratory Judgment
Defendant alleges that Count I of Plaintiff’s Amended Bond Complaint
should be dismissed because the Bond sets forth all responsibilities, obligations, and
available remedies. We agree.
While requests for declaratory judgment are within the discretion of the
Court, we will not entertain such a remedy when doing so would require the Court to
re-write the contractual agreement by which the parties are already bound. State Farm
Mutual Automobile Ins. Co. v. Semple, 180 A.2d 925, 927 (Pa. 1962). At present,
Plaintiff and Defendant entered into a Bond Agreement, along with Linde Corporation,
entitling Plaintiff to costs and damages incurred in the event of a breach by the
Principal to the agreement, Linde. While the title of this agreement is listed as
“Performance Bond”, this is an indemnification bond. In the event of a breach by Linde
Corporation, Plaintiff is entitled only to costs and damages resulting from the breach.
The terms of this Bond are set forth clearly in the document and this Court will not add
further remedies which were not a part of the mutual bargain.
Courts have been very conservative in construing the terms of bond
agreements and this Court will not deviate from precedent set forth by higher courts in
the Commonwealth. As these courts have indicated, the obligations between parties to
a bond are limited to those documented in the bond itself. Commonwealth, to Use of
Pennsylvania Manufacturer’ Ass’n Casualty Ins. Co. v. Fidelity & Deposit Co. of
Maryland, et al., 50 A.2d 211, 212 (Pa. 1947) (“the obligation of a bond cannot extend
beyond the plain import of the words used . . .Obligations not imposed by the terms of

the bond cannot be created by judicial construction or interpretation. . .”); New Holland
Dairies v. Regent Dairy Products Corp., 174 A. 664, 665-66 (Pa.Super. 1934) (“The
contractual obligation assumed by the surety was set up in the bond.”); Downingtown
Area School Dist. v. International Fidelity Ins. Co., 671 A.2d 782 (Pa.Cmwlth. 1996)
(narrowly interpreting the terms of a bond and distinguishing between a payment, or
indemnification bond, and a performance bond).
Plaintiff, in Count I of its Amended Bond Complaint, seeks declaratory
judgment ordering Defendant to either complete the work described in the underlying
contract, Contract No. 6, or for the full amount of the Bond, $3,346,735.00. We find
that under the terms of the Bond, Plaintiff is not entitled to either remedy. The Bond
allows only costs and damages to be recovered. To order Defendant to do more would
be to impose terms and obligations for which it did not bargain. Further, even if Plaintiff
is entitled to relief, it has not pled any damages for which Defendant is to be held
liable. Where the Bond states that Defendant, as surety, will be responsible only for
paying damages, we will not hold it liable for the entire value of the contract. Absent a
pleading of specific damages, we cannot hold Defendant liable under the Bond. In the
absence of this pleading, Plaintiff has failed to properly plead for declaratory judgment
in Count I and, as such, Defendant’s Preliminary Objection is Sustained.
B. Legal Insufficiency: Counts IV and V—Specific Performance and Injunctive
Relief
Next, Defendant argues that Counts IV and V of Plaintiff’s Amended
Bond Complaint, the counts requesting equitable relief in the form of specific

performance and injunctive relief, must be dismissed because (1) there is an adequate
remedy at law, and (2) specific performance is an inappropriate remedy for this type of
case. We agree.
This Court will not entertain a request for specific performance where
there is an adequate remedy at law. Specific performance is a remedy that is routinely
denied where an adequate remedy at law exists. Archibald v. General Const.
Associates, Inc., 7 Pa. D. & C.3d 427, 430 (Bucks Cty. 1978). An adequate remedy at
law exists when there is a method in place to compute or ascertain damages. Petry v.
Tanglewood Lakes, Inc., 522 A.2d 1053, 1055 (Pa. 1987). Courts have repeatedly
adopted calculations for damages in construction contracts in lieu of ordering specific
performance. Damages may be measured in a number of ways including: the cost of
completing the work as contracted, the cost of correcting the defects by another
contractor, or the difference between the market price of the property without the
defects and the market price of the property with the defects sustained. Gloviak v.
Tucci, 608 A.2d 557, 560 (Pa.Super. 1992). Because there are means to calculate
Plaintiff’s damages, specific performance is an inappropriate remedy.
As we mentioned in our Opinion in this case dated October 9, 2014,
Pennsylvania courts have been reluctant to grant specific performance in the field of
construction contracts. Petry v. Tanglewood Lakes, Inc., 522 A.2d 1053, 1056 (Pa.
1987). In the rare cases where specific performance has been granted in this field, this
remedy has only been imposed against public entities and as a matter of public policy.
See Edison Illuminating Co. v. Eastern PA Power Co., 98 A. 652 (Pa. 1916) (involving

a municipal power and light utility was ordered to provide these services to the public);
Sullivan v. Bucks, 499 A.2d 678 (Pa.Commw. 1985) (involving an agreement where
the County was to provide water services to a local power plant). One of the primary
concerns in granting specific performance in regards to construction contracts is the
high burden placed on the courts in doing so. To enforce such an order would require
constant supervision from the courts and this weighs heavily in the equitable
determination when rendering an order for specific performance. Petry, 522 A.2d,
1053, at 1056. Moreover, in the cases where specific performance has been granted,
the party against whom the order was being enforced was a public government. These
cases are distinguishable from the current context involving a private company against
whom the order for specific performance is being sought.
Further, specific performance is an appropriate remedy where the
subject matter of an agreement is an asset that is unique or one such that the
equivalent cannot be purchased on the open market. Tomb v. Lavelle, 444 A.2d 666,
668 (Pa.Super. 1981). Certainly there are other bidders on the open market capable of
performing the nature and quality of the work described in Contract No. 6. The fact that
Linde Corporation was the only bidder for the project does not necessarily
demonstrate that the services provided could not be otherwise purchased or
contracted for on the open market. First Amended Answer, New Matter, Counterclaim
and Crossclaims of Pocono Township, Counterclaim against Linde, p. 37 ¶ 234. This is
not a situation where real property cannot be duplicated or specific goods cannot be
replicated. See Cochrane v. Szpakaowki, 49 A2d. 692 (Pa. 1946). Contract No. 6 is a

contract for performance, which can feasibly be completed or conducted by any
number of potential bidders on the open market.
In tandem with the fact that Pennsylvania courts are virtually
unanimous in declining to specifically enforce building contracts, we find that the relief
requested by Plaintiff in Counts IV and V is unavailable and inappropriate given the
nature and language of the Bond. As previously indicated, the Bond limits relief to
damages and costs incurred by any failure by the Principal to perform. Nowhere does
the Bond indicate that Plaintiff is entitled to the requested corrective work. As neither
corrective work nor the full amount of the Bond are available to Plaintiff under the plain
terms of the Bond, Defendant’s Preliminary Objections to Counts IV and V of Plaintiff’s
Amended Bond Complaint are Sustained.
C. Legal Insufficiency: Count II—Breach of Contract
Defendant next objects to the legal sufficiency of Count II of Plaintiff’s
Amended Bond Complaint—Breach of Contract—averring that under the terms of the
Bond Plaintiff’s complaint has failed to allege an actionable claim. We agree.
As we have discussed above, Defendant has a duty, under the terms of
the Bond, to compensate Plaintiff for costs and damages associated with Principal’s
deficient performance of Contract No. 6. Nowhere in its complaint does Plaintiff allege
it has sustained costs nor does it quantify its damages. Instead, Plaintiff makes a
blanket claim for corrective work or the full cost of the Bond. Under the terms of the
Bond, Plaintiff is entitled to neither of these remedies. Because the obligations

between parties to a bond are limited to those documented in the bond itself, we will
not allow Plaintiff to plead for remedies that are not contractually relevant.
Commonwealth, to Use of Pennsylvania Manufacturer’ Ass’n Casualty Ins. Co. v.
Fidelity & Deposit Co. of Maryland, et al., 50 A.2d 211, 212 (Pa. 1947). Inasmuch,
Defendant’s Preliminary Objection to Count II, for the reasons indicated here and
above, is Sustained.
We briefly turn to Pocono Township’s assertions that Defendant’s
preliminary objections should be dismissed pursuant to the Monroe County Local
Rules of Civil Procedure. First, Plaintiff argues that Defendant did not comply with
Monroe County Rule of Civil Procedure 1028(c). Monroe County Rule of Civil
Procedure 1028(c) states, in relevant part
(1) Preliminary objections shall be filed with Prothonotary. At the time of filing
preliminary objections with the Prothonotary, the moving party shall also file
a praecipe . . . to place the matter on the first Argument List occurring more
than thirty (30) days following date of filing the preliminary objections.
(2) Failure to comply with this provision may be sufficient basis for the Court to
deny the preliminary objections.
Monroe Co.R.C.P. 1028(c). We note that Rule 1028(c) provides a discretionary basis
for the denial of preliminary objections if a party fails to comply with the Rule. As we
find that Plaintiffs did not suffer any prejudice resulting from Defendant’s failure to
comply, we will not deny the preliminary objections on this basis.
Plaintiff also claims that Defendant’s preliminary objections should be
dismissed because of Defendant’s failure to timely file its brief on the objections. We
note that the governing Rule on this matter, Monroe County Local Rule of Civil

Procedure 210, also provides the Court with the discretion to strike actions or claims
for a failure to comply with this Rule. As we stated above, we fail to find how Plaintiff
has been prejudiced in this regard. Monroe Co.R.C.P. 210. Plaintiff was given the
opportunity to brief and argue the issues before the Court. At no point was a sufficient
showing of prejudice made for us to deny Defendant’s preliminary objections for failure
to comply with these procedural hurdles.
Accordingly, we enter the following Order.
