September 13-16, 2015 Marriott Orlando World Center Orlando, Florida TMW TRANSFORUM 2015 CONFERENCE & EXHIBITION EXHIBIT RULES & REGULATIONS DEFINITIONS – TMW Systems, Inc. and its authorized agents and representa ves ac ng within the scope of their authority. Exhibitor, as used in these rules, means any person or company exhibi ng at the TransForum 2015 . The decision of TMW in interpre ng these rules shall be final. NON DISCLOSURE AGREEMENT – All Exhibitors are required to execute a Non-Disclosure Agreement (NDA) with TMW before TransForum. Should an executed NDA not be in place by the me TransForum occurs, an Exhibitor may be denied admission. CODES AND AGREEMENTS – Exhibitor hereby agrees to be bound by the Rules and Regula ons of the Exhibi on, and all amendments thereto. Exhibitor further agrees to adhere to and be bound by: (a) all applicable fire, safety, u lity and building codes and regula ons; (b) any rules or regula ons of the facility where the Exhibi on is held; (c) the terms of all leases and agreements between TMW and any other party rela ng to the Exhibi on. INSURANCE - All property of the Exhibitor will remain under Exhibitor’s custody and control during transit to and from and within the confines of the exhibit hall, Exhibitor must maintain minimum insurance coverage for the following types of coverage. Worker Compensa on: a minimum of $1,000,000 each accident and $1,000,000 each employee of the statutory amount as regulated/enacted into law of the jurisdic on where services are to be provided or performed (whichever is greater); Automobile Liability: to include hired and non-owned vehicles with a minimum limit of $1,000,000 CSL (combined single limit); and Commercial General Liability (CGL) in the amount of $1,000,000 per occurrence and $2,000,000 aggregate coverage to include bodily injury, property damage, personal injury and contractual liability. ALL coverage shall be wri en with insurance carriers that are admi ed in the jurisdic on where services are to be provided and have at least a ra ng of A VII or be er in the current AM Best guide and contain a waiver of subroga on. Any cancella on of Exhibitor policy or material altera on of coverage of limits requires no fica on to TMW at least 30 days wri en no ce. A Cer ficate of Insurance must be provided a minimum of 14 business days from the event. ASSIGNMENT OF SPACE – TMW Reserves the right to change loca on assignments at any me, as it may in its sole discre on deem necessary without no ce. No space will be assigned un l contract and payment in full has been received and accepted by TMW. PAYMENT – The cost of each booth, event, add-on and package is as indicated in this TransForum Exhibitor Prospectus. Full Payment must accompany the exhibit space applicaƟon and contract. No applicaƟon for exhibit booth space will be considered without payment. BOOTHS – Standard booth backgrounds, side rails and uniform two line signs (44” x 7”) are provided without charge. Booth backgrounds are eight feet in height, and divider side rails are thirty-three inches in height. No display may exceed a height of eight feet from the building floor in the area five feet forward from the rear background of each Booth without wri en permission from TMW. In any por on of the Booth beyond five feet from the rear background of the Booth, all parts of the Exhibit shall be placed not to exceed four feet from the building floor. TMW will be responsible for aisle carpe ng only. BOOTH PERSONNEL – All Exhibit personnel must be a registered a endee. NOTICE: TMW DOES NOT OFFER BOOTH PERSONNEL ONLY OR PARTIAL REGISTRATIONS. EQUIPMENT – All equipment shall be provided by Exhibitor at its own expense. All draping and decora ve materials used by Exhibitor shall be flameproof. All Booth equipment shall be in keeping with and consistent with all rules, codes and regula ons referred to under Codes and Agreements above. Exhibits not conforming to the outlined specifica ons, or which, in design, opera on, or otherwise are objec onable in the opinion of TMW, will be prohibited. HANDLING AND STORAGE – Exhibitor shall make arrangements for shipment, delivery, receipt and storage of materials through the Official Decorator/Drayer. INSTALLATION AND DISMANTLING – All booths must be erected and ready for viewing by the earlier of (a) two hours prior to the date and hour announced as the opening of the Exhibi on or (b) the official inspec on me announced by TMW. TMW reserves the right to engage labor on behalf of Exhibitor, if in the opinion of TMW, Exhibitor is unlikely to meet pre-designated deadlines. Exhibitor promises to pay promptly any invoices for such labor. Goods received by Exhibitor a er the Exhibi on opening must be delivered to the official decorator or exhibit hall manager, whom shall be designated by TMW, and set up during mes when the Exhibit Hall is closed. Exhibit booth materials and displays may not, without approval by TMW, be removed from the exhibit hall un l the hall has been officially closed. The deadline for clearance of materials from the hall will be indicated in the official exhibitor’s service manual provided by TMW and will be enforced. It is the responsibility of the exhibitor to have display dismantled, packed, iden fied and cleared for shipment by such me. EXCLUSION OR REMOVAL OF THE EXHIBITOR’S PROPERTY – TMW reserves the right to remove from the hotel or Exhibit hall premises any or all of the property of Exhibitor should the Exhibion be canceled or relocated or should the Exhibitor violate any of the condi ons of the Exhibit Applica on and Space Contract. TMW shall have the right to exclude, remove at Exhibitor’s expense, or to require modifica on of any display or demonstra on, which, in its sole discreon, considers unsuitable to or not in keeping with the character of the Exhibi on. If Exhibitor refuses TMW’s demands, TMW reserves the right to exclude or remove, at Exhibitor’s expense, the en re display or demonstra on. TMW assumes no liability for damage to said property or obliga on to return Exhibitor’s booth payment or any part thereof. DEFAULT OCCUPANCY – Failure to occupy space contracted for shall not relieve Exhibitor from the obliga on of paying for such space at the full rental price, and TMW shall have the right to use such space as it sees fit to eliminate blank space in the exhibit hall, provided such booth space is not set-up and occupied two hours before the official show opening. LIABILITY – The rela onship between TMW and Exhibitor shall be that of independent contracting par es and this Agreement shall not be construed as crea ng a partnership, employer-employee rela onship, joint venture or agency between TMW and Exhibitor. TMW its employees, its members, their service contractors, agents and building and grounds officials are not responsible for the safety of the Exhibitor from the , fire, accident, vandalism or other causes. Any protec on to persons or property provided by TMW including but not limited to provision of security watchmen and other precau ons that TMW may take to protect property during installa on, show periods and removal, shall be deemed purely gratuitous and shall not give rise to any duty by TMW or any liability on its part. TMW shall not be liable for the fulfillment of this agreement as to delivery of space, if non-delivery is due to any one of the following causes; destruc on of or damage to the building or the exhibit area by fire or act of God; acts of public enemy; strikes; war or war-like condi ons; terrorist a acks; the authority of the law; or any cause beyond TMW’s control. TMW will, however, in the event it is not able for any of the above named causes to complete its exhibit period, reimburse Exhibitors for any exhibit rental fees to be determined at TMW’s sole discre on. www.tmwtransforum.com w ww.tmwtransforu um. m co com m www.tmwsystems.com INDEMNIFICATION – Exhibitor agrees to indemnify, hold harmless and defend TMW, it officers, directors, employees, agents or assigns, from and against any and all liability, loss, cost or expense, including reasonable a orney fees arising of any nature under contract from the ac vi es of the Exhibitor. CANCELLATION OR RELOCATION OF EXHIBITION – In the event that the Exhibi on is postponed due to any occurrence not caused by the conduct of TMW or Exhibitor, whether such occurrence be an Act of God or the common enemy or the result of war, riot, civil commo on, terrorist a acks, sovereign conduct, or the act of conduct of any person or persons not party or privy to this Lease, then the performance of the par es under this Agreement shall be excused for such period of me as is reasonably necessary a er such occurrence to remedy the effects thereof, and in any event for the dura on of such postponement. In the event that such occurrence results in cancella on of the Exhibi on, the obliga ons of the par es under the Lease shall be refunded to Exhibitor, less a pro rata share of expenses actually incurred by TMW in connec on with the Exhibi on. CANCELLATION OF EXHIBIT BOOTH SPACE – Exhibit space may be canceled by the Exhibitor up to June 15, 2015. All cancella ons must be in wri ng and an original document delivered to TMW by 5pm ET on June 15, 2015. A refund of all sums, less a $500 service fee, will be made. No refund will be made if cancella on is received a er 5pm ET on June 15, 2015. In the event of cancella on by Exhibitor at any me, TMW shall have the right to rent the space to anyone else, without obliga on to return the amount already paid, and the right to retain such amount as liquidated damages. EXHIBIT HALL ACCESS – TMW’s Exhibi on is not a public show. TMW will have sole control over the admission to the Exhibit area of all persons including Exhibitor personnel and/or registrants. All persons visi ng the Exhibit area will be admi ed according to authorized representa ves of TMW. TMW makes every effort to a ract the maximum number of a endees to its Exhibi on, but does not guarantee specific volumes or levels of a endance. Traffic by a specific booth is a func on of the par cular exhibit and not a responsibility of TMW. USE OF SPACE – All demonstra ons, sales ac vi es, and distribu on of circulars and promo on materials must be confined to the limits of the exhibitor’s booth. Exhibitor shall not assign, sublet or share the space assigned, nor display ar cles or materials not manufactured or sold normally by Exhibitor without prior wri en consent of TMW. RESERVED RIGHTS – TMW and Marrio Orlando World Center reserves the sole and exclusive right to sell or serve on, in, or about the EXHIBIT HALL any alcoholic beverages, so drinks, food, souvenirs, or other merchandise, and no food or beverage, samples or otherwise, may be served or distributed by exhibitor without the prior consent of TMW. TMW and Marrio Orlando World Center likewise reserve the right to eject any objec onable persons from the exhibit hall that has not received TMW’s and Marrio Orlando World Center’s consent. Any such person so ejected shall be deemed to have waived any right and all claims for damages, reimbursement, or reinstatement, against TMW, Marrio Orlando World Center, and their respec ve agents and employees. LIVE OR RECORDED MUSIC – Exhibitors are responsible for any copyright licensing fees resul ng in the use of music, live or recorded. Exhibitor agrees to indemnify TMW for any liability arising from the unlicensed performance of such music. GOVERNING LAW – The laws of the State of Ohio shall govern this contract, rules and regula ons. Any mutual agreement by the par es not to enforce any provision of these rules and regula ons shall not void the en re agreement. Any controversy or claim arising out of or rela ng to this contract, or breach thereof, shall be submi ed to arbitra on in accordance with the commercial Arbitra on Rules of the American Arbitra on Associa on. Any judgment and/or awards rendered by the arbitrator(s) shall be final and binding. CONFIDENTIALITY – All informa on provided by TMW at and in rela on to TransForum 2015 is confiden al and considered protected intellectual property. BOOTH TEAR DOWN – The exhibit hall closes at 11:00 am on 9/16/15. An exhibitor will be fined $1,000 if he/she begins dismantling the booth prior to that said Ɵme.
