Advertiser agrees to purchase, and to pay LagunaBeach VIBE, LLC for the advertising noted in this Insertion Order the total cost in
advance. Term: Advertiser shall begin on the start date and end on the earlier of: a) the End Date, or (b) the date on which the entire
number of contracted submissions have run. Note: If frequency is not checked above, Publisher shall assume advertisement placement shall be for five (5) issues for standard ads, with automatic renewal for an additional five (5) issues until canceled. If frequency
is not checked above, Publisher shall assume advertisement placement shall be for 10 issues for ‘Happy Hour’, ‘Quick Bites’ and
‘Radio & Calendar’ ads, with automatic renewals for 10 more insertions until canceled. All contracts must be secured by credit card
or by check for five (5) issue minimum.

STANDARD TERMS AND CONDITIONS

ALL OF LAGUNA BEACH VIBE’S ADVERTISING APPLIES TO OUR STANDARD TERMS AND CONDITIONS
Acceptance: All advertising is subject to acceptance by the Publisher in the exercise of its sole discretion. Publisher shall
not be liable for failure or refusal to publish any display ad or advertorial. These Terms and Conditions are the only ones
acceptable to Publisher. Any conflicting terms submitted by Advertise are rejected. This contract may not be cancelled.
1. PUBLISHER’S RIGHTS: Publisher reserves the right to reject or cancel
any advertisement(s) at its sole discretion.
2. ADVERTISER REPRESENTATIONS: All advertisements are accepted and
produced by the Publisher on the representation that the advertiser and/
or advertising agency is properly authorized to publish the entire contents and subject matter thereof. Advertiser also warrants that all copy,
text, photos, and illustrations in advertisements are published with the
understanding that Advertiser is fully authorized, has secured proper
consent for use of such materials, and that Publisher may lawfully publish Advertiser’s material. Advertiser agrees to indemnify and hold the
Publisher, its employees, officers, agents, and business affiliations harmless from any and all liability, loss and expense of any nature whatsoever
incurred as a result of publishing said advertisement. That indemnity
includes, but is not limited to, lawsuits for libel, invasion of privacy, plagiarism, copyright infringement, unauthorized use of a person’s name or
photograph, or any other claim or suit.
3. POLICIES BINDING ON PUBLISHER: No conditions, printed or otherwise, appearing on the contract order or copy instructions, which conflict with the Publisher’s policies, will be binding on the Publisher, unless
specifically agreed to in writing by the Publisher.
4. MONIES DUE: Publisher reserves the right to hold the Advertiser and/or
the Advertising Agency jointly and separately liable for such monies as
are due and payable to the Publisher.
5. CAMERA READY ART: Publisher cannot be held responsible for the quality of reproductions when specifications are not adhered to or when materials are not received by specified dates. “Camera ready” art/ads from
advertisers must be of the exact specifications required by the Publisher.
Art/ad specifications pertain to any/all of the following: art/ad size, resolution of output or items submitted for output, line screen, etc.
6. AD RENEWALS: Contract requires initial five-issue (5-issue) minimum.
Renewal for another five (5) issues is automatic after Ad Closing Date circled in Laguna Beach Vibe Advertising Closing and Distribution Calendar
(included herein as Addendum A)
7. CANCELATION NOTIFICATION: Any advertising agreement subject to
cancellation must be accepted and acknowledged in writing by the Publisher, 24 hours in advance of the publication Ad Closing Date, as identified in Addendum A, which is included herein. Cancellations are subject
to a loss of monies already paid toward said advertising.
8. ADVERTISER RESPONSIBILITIES: It is the sole responsibility of Advertiser to proof their ad for correctness. It is Advertiser’s responsibility to turn
in artwork to the Publisher during normal business hours on the publication Ad Closing Date (as identified on Addendum A which is included
herein) for the issue in which the advertisement is to be published. If no
artwork is provided by the specified date, the Advertiser shall lose all
monies paid to the Publisher and forfeit any space reserved.
9. ADVERTISER’S RIGHT TO ADVERTISE: Advertiser warrants that it is the
duly authorized and appointed agent for, or representative of, the product or service or place of business or business to be advertised under this
Agreement and agrees to hold the Publisher harmless from any and all
claims in any manner resulting from said advertising.
10. ADVERTISER’S ACKNOWLEDGEMENTS: By executing this Agreement,
Advertiser admits having read all of the foregoing and neither Publisher
nor Advertiser shall be bound by any agreement or understanding not
expressed herein, and that Advertiser understands and agrees to all of
the Terms and Conditions contained in this Agreement. Advertiser also
acknowledges that it is fully aware and understands the nature and
content of Laguna Beach Vibe, and that Laguna Beach Vibe is a publication that contains entertainment and event listings, restaurant reports,
event previews, horoscope, etc., and as such, Advertiser agrees to hold
Publisher harmless from any and all claims in any matter resulting from
said contents contained in any issue of Laguna Beach Vibe.
11. DISTRIBUTION DATE: Although Publisher will make every attempt to
print and distribute Laguna Beach Vibe by the Distribution Date (as indicated in Addendum A, included herein), Publisher shall not be held
liable, and the Advertiser agrees to waive its rights to hold the Publisher
liable, for failure to distribute any issue of Laguna Beach Vibe by the Distribution Date.
12. BINDING CONTRACT: As evidenced by the signatures of the Publisher
of Laguna Beach Vibe and Advertiser, the Parties intend that a binding
contract be created, and that it is understood by the Advertiser that the
dollar amount contracted for in each issue of Laguna Beach Vibe contracted for is due regardless of Advertiser’s business closure, business
location change, event cancellation, or any other adverse event that
might otherwise prohibit Advertiser from the intended benefits of advertising in Laguna Beach Vibe.
13. CHANGES IN TERMS, CONDITIONS AND POLICIES: Only the Publisher
of Laguna Beach Vibe has the authority to change any of the terms, conditions, and/or general policies of Laguna Beach Vibe and in particular
the Display Advertising and Payment Agreement.
By signing this Agreement below, Advertiser acknowledges that they have read, understand, and agree to all the Terms, Conditions and General Policies
that are contained on the front and back of this Agreement.
