how we began
our company
Let’s start with a look at the company’s beginnings. When the bank
was chartered on March 25, 1864, as First National Bank, it began a
much needed new era in Memphis banking.
After the disruption of the Civil War, Memphis was in economic ruin.
Yet, First National Bank grew and ultimately was positioned to help
the city thrive. Even after post-Civil War profiteers left the city, there
were more challenges.
During the Yellow Fever epidemic of 1878 that ravaged Memphis with
thousands of deaths, First National Bank remained open to help distribute relief funds and to assist agencies handling the emergency.
With people leaving Memphis by the scores and others warned to
stay away, two bank employees – a cashier and a bookkeeper – volunteered to keep the bank open during the crisis. Both men were
later recognized by the bank for their heroism.
The dedication the two bank employees showed resonates today.

Donna Shipley, Financial Center Manager
University Financial Center, Northeast TN Market
University Financial Center opened in 1985. “Earl”
was one of the first customers to open a checking
account at the new location. Earl came to the bank
at least two or three times a week. He did not always
have business to transact. He offered his suggestions about what the employees could do to make
money for the bank as well as ways the employees
could save money.
When Earl’s wife passed away a few years ago, the
employees of the bank attended her family viewing.
Local staff felt part of his family because he spoke
of her at each visit. Upon her death, the employees
shared in his sorrow and talked with him every time
he came in to comfort his saddened heart.
Earl passed away in January of 2008. His children
came into the financial center on the day of his passing with a huge bouquet of flowers for the staff to enjoy. They said that his visits there had helped their father overcome losing their mother. They also shared
all the stories that Earl would come home and tell
about “his tellers” or “his bank.” When the family left
the financial center, there was not a dry eye in the
building.
We talk daily about building relationships with our
customers. Not only did we build a relationship with
Earl, but also with a number of other customers that
came to bank with us because of his referral. If we
take the time and show an interest in our customers,
we might be surprised to learn the difference we can
make in someone’s life.

Jennifer Branigan, Client Specialist
Corporate Healthcare Group, Middle TN Market
Jennifer Branigan, a client specialist in the corporate
healthcare group in Nashville, was selected for our
company’s highest honor, the Firstpower Award, for
her exemplary customer service that led to additional
business with an existing customer. This customer
provides a network of clinics in Arkansas and Texas
to care for more than 3,000 dialysis patients. During a
recent expansion, the company grew new joint venture relationships with its doctor groups, and Branigan saw the opportunity to sell a full range of financial products and services to these new clients.
Branigan and other key members of our corporate
healthcare and treasury services groups met with
the company’s chief financial officer to discuss their
growing financial needs. Her responsiveness and
personal understanding of our financial products
helped support eight new account openings, including lockbox and business investment accounts with
balances estimated at $3 million. Ken Berberich of
the corporate healthcare group in Nashville said, “The
customer was so enamored with Branigan’s personal
attention to their needs that they chose to keep First
Tennessee as their bank of choice and have built on
this personal service style relationship even though
they are now headquartered in Texas.”
These examples show the spirit of First Horizon and the company’s commitment to its customers. And it works both
ways. Here are a few testimonials that show how seriously the company takes the well-being of its employees.
Pam Jaynes said, “My daily commute to work is approximately 50 miles roundtrip. When the workplace flexibility program first started, I was saving $90 a month
with the higher gas prices. Now, I am saving about $45 a month. Working from
home not only saves me money, it saves me time. I am more productive in my job,
getting more accomplished each day because there are fewer distractions. My
husband said that he loved the fact that my company would allow me such flexibility since he worries about me commuting to work. Every day before he leaves,
he always tells me to be careful when I drive to work and to come home safe to
him. This is just one more reason I love this company.”
Another employee in our technology group, Nancy DePriest, was grateful for the
company when her husband received a career opportunity in another state. She
said, “While I really loved my job and working for First Tennessee, the move would
put us significantly closer to my parents who were both battling cancer. I spoke
with my manager and expressed how much I enjoyed my job and hated to leave
the company. Much to my surprise, she asked what I thought of working remotely
since she did not want to lose me as an employee. Being able to keep my position
with First Tennessee has been such a blessing to me and my family. The precious
time I was able to spend with my dad before he lost his battle with cancer means
everything to me. I am also closer to my mother at a time when she needs me the
most.”
Deborah Calvery-Jordan from the exceptions department in Memphis said, “A
couple of years ago, my department, relocated downtown. I have a special needs
daughter, so that requires me to be available for her on short notice. My manager
arranged for me to remain at the East Memphis location where I am today.”

Volunteerism is an integral part of our commitment to our
neighbors and communities, and we believe that partnering in
the community makes our company stronger. Each year, our
employees volunteer tens of thousands of hours to help others
in need. Our individual and combined talents are often more
important to civic organizations than corporate financial support because without the direction and energies of dedicated
people, money alone cannot solve problems.
Employees take pride in First Horizon’s reputation in the community, and for many employees, embracing responsibilities in
their personal lives means getting involved in the community.
Being a good corporate neighbor is one of the best investments our company can make. Our company recognizes the
importance of communities in our business strategies.
• We have a board policy of contributing 1 to 2 percent of the
previous year’s pre-tax earnings to charitable causes.
• After a year of employment, employees who give $50 or more
to an nonprofit organization can have their gifts matched at
50 cents on the dollar, up to an employee gift of $2,000 per
year.
Our company encourages employees to contribute to their
communities through several company-sponsored programs.
They include the Matching Gift Program, United Way, leadership grants, volunteers and the Women’s Initiative.

I love the parties we host before we grant each child’s
“wish.” One of our wish recipients, Joshua, dreamed
of visiting London with his grandfather. Our theme for
his party was “The Simpsons go to London” because
Joshua loved that TV show. Employees dressed up
as The Simpsons, constructed a double-decker city
bus and escorted the Simpson family around town.
Here is one example showing our commitment to
supporting our communities. Donna Linton, the organizer of Memphis’s Make-A-Wish volunteer effort,
shares her story.
Ten years ago, a colleague and I were on our way
to work, and we were listening to FM100’s Make-AWish Radiothon. We were inspired by what we heard
and discussed starting a similar program in our office. We sought permission from our leader, and the
rest is history.
In December of each year, technology employees
conduct a Make-A-Wish fundraising drive. In the 10
years of the program, we have granted 15 wishes.
There are few things as heart-wrenching as seeing a
child battling a life-threatening illness. When a loved
one is sick, the entire family is on an emotional roller-coaster with far more lows than highs. During a
wish experience, joy eclipses illness and sadness for
a short time. To have the honor of being part of an
emotional high for a family facing so many lows is
extremely rewarding.
Last year, Nyla was our Make-A-Wish child, and she
wanted to visit Walt Disney World. For her party, we
dressed Nyla and the daughters of nine employees
in princess costumes. Lion King costumes were designed for several of the men who performed a dance
routine. We also had employees impersonating Mickey and Minnie Mouse, Snow White, Hannah Montana
and Beyonce. Chief Information Officer Bruce Livesay, just two weeks on the job, volunteered to be
Prince Charming and serve as Nyla’s official escort.
“I think what consistently amazes me about
our Make-A-Wish program is just how eager so many employees are to participate.
No one ever tells us “no” when asked to
bake cakes, design costumes or perform
in skits.”

What is Firstpower?
It is our employee-focused culture that is the cornerstone of how we do business. By focusing on our
employees, we have created an environment where
employees can feel and act like owners, and we can
achieve the business results we need to remain independent and competitive.
Ensuring that all employees have the opportunity to
achieve high performance is the momentum that will
move us to a bright future.
Our Firstpower culture began in the early 1990s when
the company decided in our annual reports to put
employees first among our constituencies – employees, customers, shareholders and communities.
We later conducted a study of our most profitable
retail bank branches. The study confirmed that employees are what make the difference. The branches
with the highest employee retention were the most
profitable branches and had the highest customer
retention.
We then began to focus on what it would take to keep
our great employees. They revealed they wanted
more flexibility and control over their work and more
support in embracing their work and their family responsibilities. Our company delivered.
But building relationships takes patience and commitment, and it requires a special kind of employee
- someone who will consistently invest themselves in

Keeping our employees first
Firstpower is not a program. It is a mindset, an attitude and a philosophy. It includes an awareness that
conflicts between work and personal lives are real,
but it is possible to be successful in both. There is
no one-size-fits-all definition of success. Instead, all
employees are encouraged to set their own goals for
success at work and in their personal lives and to use
company-provided tools and resources for support.
At First Horizon, employees come first. Why? Because
it’s the right thing to do, and it’s the company’s business strategy. While other companies may focus on
customers or shareholders first, we have learned that
a focus on high-performing employees will benefit all
other groups we serve – customers, shareholders and

Firstpower is our unique culture brought to life each
day by our employees embracing the concepts of
candor, change, inclusion and teamwork.
Candor
At First Tennessee, constructive candor is about
building trust. It encourages openness, invites fresh
ideas and seeks solutions. It discourages groupthink. Of course, candor must be respectful, relevant and professional (not “that’s a really dumb
idea”). And if we encourage people to speak up,
leaders must listen. Straight talk from the top invites the same in return, and the result is a company where assumptions are respectfully challenged,
information is shared and problems are caught and
corrected.
Teamwork
At First Tennessee, teamwork is essential for success. Team building takes candor and inclusion.
Teams facilitate change. Successful teamwork
spans departmental and organizational lines to
build camaraderie and common purpose. When we
reach our destination, it will be as a team. Yelling
from the stands is fine at football games, but not
at work. Team players get off the sidelines and into
the game.
Change
At First Tennessee, we committed to change – even
difficult change – when we refocused our strategy.
This purposeful change aims to build a stronger,
more efficient company, a company able to withstand the current difficulties and take advantage of
new opportunities. We are strategically organized
to build foundations of change all across our enterprise. To turn resistance into acceptance, we
must explain what’s changing and why (candor),
invite ideas on execution (inclusion) and show how
change advances our goals. In a rapidly changing
business environment where standing still means
stagnation, we must be flexible for the future. We
must embrace positive change and, even more, become agents of that change.
Inclusion
Inclusion is about making opportunities and resources available to everyone who wants to develop as an individual and a professional. Our company strives to create an inclusive environment
where everyone has a voice and the opportunity
to demonstrate high performance and succeed,
regardless of their gender, age, race/ethnicity or
background.
In an effort to intensify our efforts toward diversity and inclusion, we recently created a Diversity
Council made up of diverse employees from numerous divisions and levels of the organization to
develop and implement a strategic plan for emphasizing inclusion in our organization. This group
has the commitment and full support of executive
leaders in achieving their goals to breach cultural
gaps, harness the positive energies of a diverse
workforce and ensure equality in advancements.
Examples of recent Diversity Council initiatives include:
• Emerging Leader Program (ELP): The ELP
was created to enhance our talent management and succession planning efforts and
put high-potential employees on the path to
holding successful leadership roles. For each

ELP class, approximately 25 participants are selected who represent the diverse talent that we
have across the organization. The content of the
10-month program focuses on developing three
main competencies: strategic leadership, people
leadership and personal leadership.
Employee Resource Groups (ERGs): In an effort to attract and engage a diverse workforce
and foster an inclusive workplace environment,
the company will begin to recognize and support the formation of employee resource groups
(ERGs). These groups may be developed around
any theme or affinity that promotes respect,

The Firstpower Council
To deepen our commitment, we made exciting
changes to our companywide recognition programs.
In 2008, we raised the bar for recognition, just as our
employees continue to raise the bar with their outstanding performance. After seeking employee feedback and much research and review, we rolled out a
new, easy-to-use recognition program that encourages leaders and employees to recognize each other.
The program also provides more choices for all our
employees.
Recognizing years of service
Our new service anniversary program rewards employees who celebrate milestone service anniversaries (beginning at five years) with recognition points
that can be redeemed for a broad range of gift cards,
movie tickets or merchandise.
To ensure our culture continues to thrive, we created
an executive-led Firstpower Council to monitor and
evolve our culture. Under their direction, Firstpower
has evolved over the years. When Bryan Jordan became CEO, he restructred the Firstpower Council to
include more employee involvement and provide executive leaders feedback on key initiatives. The new
council is made up of 16 Firstpower champions from
different levels and backgrounds and three executive
leaders. All employees have the opportunity to submit an application each summer if they are interested
in serving on the council.
On employees’ milestone anniversaries, in addition to
being recognized by their leader, employees receive
a congratulatory e-mail showing how many points
have been awarded to their account. This e-mail includes a link to our recognition site where points can
be redeemed right away or saved for another time.
Employees’ service anniversaries are also highlighted on our company intranet site, FirstNet, and once
a month, they are featured in eNews, our company’s
weekly Web e-mail distributed to all employees.
Recognizing employees
Firstpower Lines are quick e-cards that employees
can send to thank or commend a co-worker for a job
well-done. Each time employees send or receive a
Firstpower Line, they are automatically entered into
a quarterly drawing for 125 recognition points. Five
nominators and five nominees are randomly selected
each quarter.
We learned a long time ago that the success of our
company depends largely upon retaining and valuing our high-performing employees. That is why we
celebrate milestone anniversaries of employees and
salute those who go above and beyond with the
Firstpower Award and Firstpower Lines.

The Firstpower Award is the company’s way of recognizing employees for outstanding examples of
Firstpower in action. It is our company’s highest honor. This company-wide award is given quarterly, with
an overall annual winner(s) chosen from individuals
and/or teams that best demonstrate one or more of
the following criteria.
Goes above and beyond in:
• Displaying candor by respectfully and constructively sharing opinions, encouraging openness,
inviting fresh ideas and seeking solutions that create positive change,
• Embracing purposeful change to build a stronger,

Parental Leave
Our company supports employees as they become
parents for the first time or as their families grow.
Eligible employees include adoptive/foster parents,
birth mothers who are not eligible for our short-term
disability benefit, biological fathers, same-sex domestic partners of birth mothers and same-sex domestic partner of a parent adopting/fostering a child.
Employees must have at least one year of service
with 1,250 hours worked. The time off is based on
scheduled hours and eligible pay. Parental leave can
only be taken if the birth of a natural child or the adoption or foster placement occurred after June 1, 2007.
Adoptive and foster children must be under the age
of 18 and not related to the employee, employee’s
spouse or same sex domestic partner.
Family Leave
Family Leave allows you up to six months of unpaid
leave from work for the birth, adoption or foster care
placement of a child; serious illness of an immediate
family member for which your services are needed;
or a serious health condition that makes you unable
to perform the essential functions of your job. You
are eligible if you are a full- or part-time employee
and have completed one year of service with at least
1,250 hours worked (if employed in a location with
50 employees within a 75-mile radius). If you are an
eligible employee, your job will be held for up to four
months. If your leave extends beyond four months,
and we are unable to hold your job, we will work with
you to help you find another position at our company
for up to six months from the first day of leave. The
leave may occur within any 12-month period (leave
can be consecutive days or broken up) and depend-
ing on the nature of the request for leave. While on
leave, employees may continue coverage under
FHN’s benefit plans.
Dependent Care Flexible Spending Account (FSA)
You can participate in the Dependent Care FSA and
reimburse yourself for eligible dependent care expenses. This helps you save money on taxes.
Dependent Scholarship Program
If you have college-age children, encourage them
to apply for a partial scholarship set up through endowment funds at specific universities – University of

Employer Non-Elective Contributions
To award performance and help you save for your

Company-provided Flexible Dollars
As part of your Total Compensation, First Horizon
awards you with Flexible Dollars, which are designed
to help you with the cost of your benefits. Flexible
Dollars are earned annually and are distributed each
biweekly payday to the benefit(s) of your choice. You
have the opportunity to choose how to use these
funds during annual benefits enrollment. There are
two types of Flexible Dollars:
Pay Dollars – All full- and part-time employees with
one year of service who work 1,000 hours or more
are eligible to receive Pay Dollars. You receive 3.2
percent of eligible pay earned from Oct. 1 through
Sept. 30 (includes base pay and overtime).

confidential service can be used when you need
verification of your employment and salary information for a mortgage, car loan, etc. Your information is

Paid Holidays
Our company provides paid holidays to full- and
part-time employees. At the beginning of the year, a
list of the holidays that will be observed is published

Paid Vacation
One week of paid vacation is provided to full- and
part-time employees after six months of con­tinuous
service. Additional vacation time is earned on April

Our company provides paid sick/emergency pay to

Group Basic Life Insurance
Group Life Insurance provides a basic level of life insurance protection to all employees – and our company pays the premiums. Your beneficiary receives

How do I access FirstNet?
You should have direct access through your

Your My Stuff user name and password will be sent to
your leader. Once you log in the first time, you will be
asked to change your password for security reasons.
You’ll also want to establish a password hint in case

from any computer with Internet access.
What information will I find?
Through My Stuff, you are able to:

Ariba out; ProcureIT in
Ariba, the online system used to manage purchasing and invoicing for targeted products and expense
reporting, will be replaced on July 19 with a new system, ProcureIT. ProcureIT will provide essentially
the same functionality as Ariba, but with a more user-friendly process at a significantly lower cost.

the process of developing and executing strategies
for response to crisis events as they are occurring,
including emergency response and life/safety concerns. Business continuity planning is the process
of developing arrangements and procedures in advance that enable an organization to maintain critical
business processes during abnormal circumstances.

10 Things You Should Know
All employees are expected to understand and uphold the principles that support the strong ethical
foundation of our company. Any employee who engages in unlawful activities or violates the company’s
principles or policies is subject to disciplinary action,
which could result in dismissal. These activities include, but are not limited to, the following:
1. Dishonesty – Improperly obtaining property or information; falsifying records; other dishonest actions
casting doubt on the employee’s reliability or suitabil-
ity to meet the rigorous fiduciary requirements.
2. Conflict of Interest – Conduct or circumstance that
creates a present or potential conflict in the interests
of the employee with the interests of the customer,
potential customer, vendor, supplier, the public or
regulatory agencies so that the corporation may be
adversely affected.
3. Security Violation – Conduct violating the confidentiality of customer and corporate information; failure to
protect the security of property including confidential
data.
4. Harassment – The company prohibits harassment of
its employees in the workplace by any person, in any
form, in order to maintain a working environment free
of intimidation or exploitation. Harassment consists
of unwelcome conduct, whether verbal, physical or
visual, that is based on a person’s protected status,
such as sex, color, race, religion, national origin, age,
physical or mental disability or other protected group
status.
5. Abusive Conduct – Threatening, assaulting, battering, insulting or acting obscenely or abusively toward:
another employee on or off the job; any person on
corporate premises or in the course of employment;
or any person off the job, when such conduct may
place the corporation in disrepute or may adversely
affect its interests.
6. Tampering or Damaging – Tampering with or damaging property in any manner, including information.
7. Corporate Credit Cards – May be issued for the purpose of paying expenses incurred while conducting
company-related business. The use of these cards
for personal or non-company related expenses is
prohibited and may constitute grounds for termination.
8. Alcohol and Other Drugs – Employees must not
perform any work for the corporation while under
the influence of alcohol or other drugs and may not
possess, dispense, consume or otherwise use illegal
drugs while at work or in connection with work wherever the work is performed.
9. Weapons – No employee is permitted to carry weapons in any company building, vehicle or aircraft.
10. Suspicious Activity Reporting – Employees are required to report known or suspected criminal activity occurring across the company, which includes
the following:
• Transactions that involve potential moneylaundering or violate the Bank Secrecy Act,
• Any incident that involves known or suspected
criminal activity of any employee,
• Any incident that involves known or suspected
criminal activity of a customer where the potential for loss is greater than $1,000,
• Out-of-balance conditions that are unusual or
suspicious in nature,
• Branch robberies, bomb threats, burglaries, etc.,
• Kidnapping or extortion attempts against employee and customers.
• Any incident that involves compromised confidential information (e.g., customer information such as
account numbers, Social Security numbers, etc.,
or proprietary information).
The electronic incident report (EIR) is used to facilitate the reporting of suspicious activity. The EIR
should be completed within 24 hours from the initial discovery of suspicious activity. To access the
