President’s Message
Brothers and Sisters:
I have pondered long and hard for the right words
for this message, realizing that as your president I
have a responsibility to keep you totally informed on
all aspects of the Lodge and to maintain complete
transparency on all matters that concern you as
members.
The Brumidi Catering Company and the Brumidi Catering Board of
Directors were incorporated in 2010 under the direction of seven
members. Brumidi always provided catering under the direction of the
Home Lodge Corporation and was the responsibility of the Lodge
Board of Directors. The formation of Brumidi Catering formalized the
catering business under one entity and enabled the Lodge to provide
the necessary requirements to our employees with regard to payroll,
workers compensation, insurances, etc. while protecting the Lodge
from liability issues.
The Brumidi Catering Board of Directors consisted of 7 members in
the beginning – and now consists of 5 members due to one passing
and one resignation. The bylaws established by these directors differ
from the home lodge directors bylaws in many areas;
Catering bylaw changes are made only by the sitting directors
without any input from the members or voting by the members.
The sitting directors can appoint/remove directors without any
input from the members.
There are no provisions for annual elections of directors-current
directors are permanent unless removed by the current
board.
Historically in our Lodge, the president oversees all boards and
councils and votes to break a tie in the event it is needed. Prior to my
installation last March, all the presidents from 2010 thru March 2014
were also part of the original Catering Board of Directors that they
established in 2010 and had full voting capability – this included past
presidents Vigiano, Filangeri, and Savino. They are currently voting
members of the board and have been since its inception and will
continue to be voting members of the catering board until such time
as they resign or modify the current bylaws. When I became president, this presidential continuity was broken and I was not on the
Catering Board as a director and had no voting power what-so-ever.
My position was president of the catering company with no voting
privileges. Numerous attempts to change that over the past year
have been unsuccessful.
On April 6 (the Monday after Easter), a special meeting of the Board
of Directors was called by 2 of the 5 directors. I was out of town visiting family over the Easter weekend and not able to attend. Several
requests made by me to reschedule this meeting were refused.
At that meeting, I was removed as president of the Catering Company by the 5 sitting directors.
I understand the Catering Board is planning to review their current
bylaws. I can only hope the revisions they are considering will enable
the members of the Lodge who are also members of the catering
corporation to be directly involved in approving and changing bylaws
in the future. I also urge the board to revisit their mission statement
with respect to their interaction with the lodge and Order Sons of Italy
in America and remember the reason we are all members of this
fraternal organization.
I also hope the Board will consider open elections for catering board
directors in the near future in order to tap the talent pool of the membership and restore the catering board to a more democratic board
similar to the home lodge board of directors. You are all members of
both the lodge and the catering corporation, and it is imperative that
you all have a voice in the structure of the catering board.
As your president, I felt it was important that you the members were
made aware of all these issues. The Catering Company and Catering Board provide a critical service to the Lodge and assist in maintaining the building and property we are all so proud of. Going forward, I am sure the Catering Board will restructure in a way that will
involve the members in an equal and democratic manner.
As always, keep in your prayers all our sick Brothers and Sisters; our
deceased members; and all our service people protecting our shores.
God Bless,
President Ciro
