The surface testing method has been exhaustively improved to drastically enhance the level of quality control on both sides of the plate. Superb
accuracy in plate thickness is attained with its outstanding rolling technology.

Heat treated aluminum-copper alloy
With a high copper content, it is poor in corrosion resistance but so
excellent in strength that it is used as structural materials in addition
to forging materials.

Heat treated aluminum-zinc-magnesium alloy.

This agreement is made and entered between Shinx Corporation, a Japanese corporation having its principal office at 4057-2, Nakatsusakuradai, Aikawa town, Aikougun,

WHEREAS, the Seller has achieved great success in manufacturing and selling nonferrous metal primary processing products and desires to sell such products; and
WHEREAS, the Buyer is desirous of purchasing the Seller's products;
NOW, THEREFORE, in consideration of the foregoing and the obligations hereunder, the parties hereto agree as follows:
(1) Conclusion of sales and purchase contract
This Agreement is a sales and purchase contract concluded between the Seller and the Buyer. When the Seller has received two (2) copies of this Agreement bearing the signature of the
Buyer and has sent out a copy thereof signed by the Seller’ s duly authorized representative to the Buyer, this Agreement is deemed to be made and entered between the parties hereto. At
the time when a purchase order acknowledgement that sets forth description, quantity, unit price, an amount of payment, and trade terms concerning ordered goods (“the Goods”) is
issued and sent by the Seller, a separate individual sales and purchase contract (“the Individual Contract”) shall become effective under the terms and conditions stated in such purchase
order acknowledgement. Concerning any terms and conditions that are not expressly set forth in the said purchase order acknowledgement, the provisions stipulated in this Agreement shall
apply. The Buyer shall understand and acknowledge that the specifications of the Goods including their size, accuracy, precision and tolerance set forth in any catalog, price list, website,
brochure, leaflet or any other medium (collectively “the Catalog”) in connection with the Goods may change from time to time by the Seller in its discretion without prior notice to the Buyer.
(2) Delivery
The Seller shall ship the Goods to the Buyer under the trade term designated by the Individual Contract (that shall be interpreted in accordance with the latest version of INCOTERMS).
(3) Force majeure
The Seller shall not be held responsible for any delay in delivery or breach of contract caused by unexpected contingencies or events of force majeure including, without limitation:
Natural disaster.. for example, earthquake, tidal wave, tsunami, lightning strike, flood, tornado, volcanic eruption, disease such as epidemic, pandemic or plague;
Manmade disaster... for example, fire, explosion, nuclear accident, shipwreck, blockade, communications failure, computer malfunction or failure, cyber terrorism;
Social upheaval ...for example, war, wartime mobilization, revolution, civil unrest, riot, demonstration;
Labor dispute-for example, unrest, strike, lockout, boycott, sabotage;
Act of government, etc ... for example, administrative guidance by government, act of governmental organizations or military, refusal to issue governmental permission or license, isolation
for quarantine, commercial embargo, purveyance;
Justified act... for example, compliance with laws, regulations, orders and ordinances; or
Insufficiency in infrastructure or resources ... for example, shortage of electric power, oil, gas or raw materials, unavailability of public transport, transportation facilities or other facilities,
port congestion.
(4) Cost fluctuations
The Buyer shall understand and acknowledge that there is a possibility that freight costs, various duties and tax rates, insurance premium rates and other costs required by governmental
organizations (collectively “the Costs”) may change or fluctuate even after the Individual Contract takes effect. In the event that such change or fluctuation of the Costs occurs after the
Individual Contract becomes effective, the Seller shall notify the Buyer thereof and the Buyer shall pay the difference to the Seller unless the Buyer pays the above Costs directly to the
relevant freighters, tax authorities, insurance companies or others. There is also a possibility that the prices of the Goods may change without prior notice to the Buyer. The Buyer shall
understand and acknowledge that the prices set forth in the Catalog in connection with the Goods are not necessarily kept updated.
(5) Shipment, settlement of payment
All payments for the Goods shall be made in US Dollars and in advance by wire transfer to an account designated by the Seller. In case the Costs shall be borne and paid to the Seller by the
Buyer separately from the above payments for the Goods, such Costs shall be paid in the same manner and together with the payments for the Goods. Fees for such wire transfer shall be
borne by the Buyer. Procedures for shipment of the Goods will be initiated upon the Seller's receipt, in full, of the above payments for the Goods and the Costs (if applicable) and two (2)
signed copies of this Agreement pursuant to the Clause (1) from the Buyer.
(6) Warranty against defects, refund
The Seller shall not be held responsible for providing a warranty against defects in the Goods, irrespective of descriptions, definitions and guaranteed values concerning the Goods set forth
in the Catalog. In the event that the Seller is unable to ship the Goods due to causes of its own or attributable to the Seller, the Seller shall immediately refund the payment for the Goods
received in advance to the Buyer and the Seller shall not be responsible for any damages and claims pertaining to such failure of shipment. THE SELLER DOES NOT MAKE AND DISCLAIM ANY
WARRANTY IN RESPECT OF THE GOODS OTHER THAN AS PROVIDED HEREIN, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF
MERCHANTABILITY OR FITNESS FOR ANY PURPOSE.
(7) Intellectual Property and Conformity to Laws
The Seller shall not be held responsible for any third party claims (including any infringement) arising in connection with intellectual property including but not limited to patents, utility
models, designs, trademarks, copyrights, and trade secrets. The Seller shall not guarantee any conformity to laws or regulations relevant to the Goods in counties, states or regions except for
Japan. The Seller may suspend the shipment of all Goods immediately after the Seller comes to know any of the above claims or non-conformity (including possibility thereof) and without
prior notice, regardless of the intentions of the Buyer.
(8) Return of goods
No return of the Goods shall be accepted in any event.
(9) Cancellation
The Seller will not accept the cancellation of an order for the Goods after the receipt of a purchase order unless otherwise expressly agreed by the Seller.
(10) Burden of Risk
The burden of risk of and Title to the Goods shall transfer from the Seller to the Buyer in accordance with the trade term (that shall be interpreted pursuant to the latest version of
INCOTERMS) stated in the purchase order acknowledgement concerning the Goods.
(11) Limitation of Liability
In no event will the Seller be liable to the Buyer for cumulative damages greater than the total amount paid by the Buyer to the Seller for the Goods which cause such damages or liabilities
and to which such damages or liabilities are directly related, whether such liabilities are contractual, in tort (including negligence) or otherwise. In no event will either party be liable for
incidental, consequential, punitive or special damages, or loss of profits or use even if the other party is notified of the possibility of such damages.
(12) Arbitration
All dispute, controversies or differences which may arise between the parties hereto, out of or in relation to or connection with this
Tokyo, in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association.

Unless specifically provided otherwise, this Agreement and each Individual Contract shall be construed and governed by the Laws of Japan without regard to principles of conflicts of laws.
