Councill Contract is Registered under Hancock & Moore, Inc.
Restocking Charge:
Due to the nature of the product, Councill Contract reserves the right to
refuse any and/or all requests for the return/restock of product. Each
request will be handled on an individual basis. Factory authorization
consisting of a written Return Goods Authorization form (RGA) must
be secured prior to the return of any product. The RGA must be used
within 15 days of issuance, and all returns must be shipped as pre-paid
freight in the original factory carton. A restocking fee of 25% of the NET
price of the product shall apply upon final inspection at the factory. Freight
damage and signs of usage will be adjusted on the amount of credit to be
issued.
Cancellation Charges:
There will be no cancellation charges prior to production. After production,
actual cost incurred will be assessed if product can not be sold after six (6)
month period.

Orders are accepted only by issuance of our acknowledgement
and are subject to Councill Contract’s terms and conditions.
All acknowledgements should be checked against the original
purchase order to ensure that details are correct. Promptly contact
your Customer Service representative if any discrepancies or errors
occur.

All orders are made to individual specifications. Every effort will
be made to accommodate change requests when received in writing
in a timely manner. Any additional cost incurred as a result of a
change request will be added to the invoice. No changes can be
made to upholstery, special finishes or custom designs once the
order is in production.

R e t u rns
Returns will be accepted only with our authorization. A return
authorization label must be attached to the carton. This label will
be supplied by Councill Contract with the written return authorization. All items to be returned must be packed in a manner
that protects the merchandise during transit. Upon request, Councill
Contract will provide properly engineered carton and innerpack.
Merchandise which becomes damaged in return transit is subject
to a dealer repair charge.

All shipments are delivered to the transportation company in
good condition. Product must be inspected at the time of delivery.
If damage has occurred, see page 4 for Freight Claim Procedure.
R e pairs
Councill Contract will honor local repair charges only if repairs are
authorized in writing by Councill Contract before charges are
incurred.
Custom Orders
Councill Contract is the industry standard bearer in traditional
executive office furniture. Our casegoods are hand crafted, hand
carved and hand finished to meet exacting standards of the most
discerning customer. Through appropriate scale and proportion
and wire management components, our desks, decks and credenzas
accommodate all manner of electronic equipment to meet the
needs of the modern executive office.
Despite our breadth of line, we recognize that our clients may
have special requests. Therefore, Councill Contract is one of the
last remaining manufacturers that welcomes custom orders in both
casegoods and seating. We delight in meeting your specifications.
Whether a custom finish or size is required, we are eager to create
furniture of distinction for any executive office.
Cu stom D esigns
Councill Contract has created custom desks with specialty
veneers, conference tables to seat up to thirty and reception area
upholstery to fit a specific area. We welcome the opportunity to
create truly, one-of-a-kind pieces. All Councill Contract designs
can be modified to create custom furniture for any given project.
Or, Councill Contract can build to order – taking your project
from engineering to manufacturing, with custom CAD drawings based on your specifications to handcrafting each individual
design.

Cu stom Si z es
All casegoods and most upholstery items shown in the Councill
Contract Price List, effective June 2005, can be custom sized to
meet your specifications. Please contact Customer Service and
provide the measurements you need for any item. We will provide
you with a price quote, based on your desired dimensions.
Cu stom Finish e s
Councill Contract will match a custom finish for any casegoods
or exposed wood seating. A wood sample of at least 3” x 5” is
required. After the finish has been matched by Councill Contract,
a sample will be sent to you for approval. To provide match panels
for custom finishes, Councill Contract requires the following:
1. 10% upcharge added to the base or COM price.
2. A minimum order of 10 chairs in one style with “no cancellation”
written on the order.
3. 50% deposit on the order.
4. Orders specifying custom wood finishes will be scheduled
into regular production only after:
(a) receipt of an approved custom wood finish panel,
(b) receipt of deposit, and
(c) receipt of COM, if applicable.
In some cases, additional time may be required for delivery. Please
note that custom matches cannot be guaranteed to be exact due
to the use of different woods and materials. We will contact you
if your sample panel cannot be matched.

Freight Claim Procedure
Damag ed I te ms – Proce d ur e s
We would like to assure you as a Councill Contract specifier that
your shipments are given all of the professional attention possible
to carefully pack and deliver your merchandise to you in a safe
and damage free condition, minimizing the need for filing a freight
claim.
We have prepared the following outline for our Councill Contract
customers to ensure that any occurrence of freight damage be
properly identified, processed correctly and without delay.
Please ensure that the appropriate person with your company is
thoroughly familiar with these procedures. Should any explanations
be needed, please contact Councill Contract Customer Service at
336-859-2155.
1. Carefully examine all items delivered and note exceptions to
any carton condition such as crushed, gouged, torn or visible
damage. Make sure that the freight company’s driver initials
these exceptions on the original freight bill. If no exceptions
are taken at the time of delivery, then any subsequent discovery
of damage is handled on a “CONCEALED DAMAGE”
basis, with you, the dealer, having only 15 days to notify the
carrier of any concealed damage.
2. After you have received and signed for your shipment,
immediately open all cartons that reflect any noted exception
condition to verify if damage does exist. Freight carriers have an
allowable 15 days for the consignee to uncarton the merchandise and report freight damage. As long as you have made the
proper exception on the freight bill, it is not necessary to detain
the delivery agent’s driver while you uncarton and inspect the
merchandise.
3. If you find freight damage, be sure to retain the original carton
and the complete inner pack material and then immediately
contact the carrier indicated on the freight bill. Advise the
carrier of the freight bill number, damaged merchandise and
request an inspection. We also recommend that you send a
letter to provide written confirmation of your freight inspection request.
4. The carrier or their agent will make the freight damage
inspection. This is generally done within five (5) to seven (7)
working days from the time you make the request verbally.
If for any reason the inspection is not made within the prescribed time frame, contact the carrier again requesting an
inspection immediately.
In certain cases, if exceptions were taken upon delivery, the
carrier may waive inspection and advise you to file your own
inspection report (on your own letterhead) and proceed to
have the damaged item repaired and file a claim accordingly
as required by the procedure.
5. The inspection report should indicate a complete detailed
description of the damage and all comments as to whether
the merchandise is repairable or not. Please note that all
repair bills should reflect the hourly rate and number of hours
required to repair a damaged item. In the event an item is
determined to be totally unrepairable, then salvage procedures
are in order.
Damaged items should only be released for pick up to the
original carrier. This is required as a precaution to avoid
freight charges on return. Be sure to get a “PICKUP” receipt
for any merchandise released to the carrier. The salvage receipt
is required to be submitted when you file your freight claim.
6. After the freight inspection and above listed procedures have been
followed, freight claims will be filed in the following manner:
ALL FREIGHT CLAIMS SHOULD BE FILED WITH
THE CARRIER OR AGENT INDICATED ON THE
FREIGHT BILL.
(A) Use either a standard freight claim form provided by
the carrier or your own company’s letterhead to file your freight
claim.
(B) Provide and include copies of the following:
• A copy of the signed freight bill
• A copy of the freight inspection report
• If possible, photographs of the damaged item/s
• A copy of repair bills, if item/s is repairable
• A copy of the original factory invoice for damaged item
Upon receipt of your freight claim, the agent will investigate and
immediately process the freight claim based on facts.

Freight Claims for Items Reported on Delivery

In the event you have a freight claim for an item that was marked
short on the freight bill at the time of delivery, you will also file
your claim directly with the carrier. Follow the steps outlined
previously and include a copy of the signed freight bill, a copy of
the factory invoice indicating price and pro-rated freight charge
for the lost item.
The normal processing time after a freight claim has been filed is
approximately 45 to 60 days. If your freight claim has not been
resolved within this time, please contact the courier.
Although it is unlikely, a shortage on delivery could mean that an
item was accidentally unloaded to someone else. Please sign the
freight bill and have the driver initial your shortage. Call the carrier
immediately and follow up with a letter. If the item short has not
been delivered in 15 days from the date of the original delivery, notify
the carrier again by correspondence on your company letterhead.
We encourage you to set up meetings with your receiving department or warehouse personnel to ensure that these instructions
are carefully followed. Should you need any further explanation,
or have additional questions, please contact Councill Contract
Customer Service.
Limited Warranty
Limited Warrant y
Councill Contract uses the finest available material in the construction of its upholstery and executive office furniture.
Councill Contract warrants standard catalog product for 10 years
from the date of invoice against defects in workmanship when product is put to customary and reasonable use. This warranty applies
to new Councill Contract furniture purchased from this Price
List and is extended only to the customer who makes the original
purchase. The warranty, however, does not cover damage caused
by unreasonable or abusive use, failure to provide necessary care,
overexposure to sunlight, or by accident, alteration, misuse, tampering or negligence. Councill Contract retains the option to repair or
replace any defective items.
Wood, leather and fabric are all natural materials and, as a result,
have variations in color and grain. These variations are no way a
flaw.
All COM fabrics will be processed, cut and sewn with the same
high quality Councill standards. All COM/COL must be inspected
for any defects before shipment to Councill Contract. Councill
Contract’s obligation under this warranty does not cover and cannot
be responsible for the quality, color, natural characteristics or weave
of COM/COL fabrics/leathers.

File Drawers
File drawers operate on heavy-duty, full-extension metal Accuride®
glides using three part progressive suspensions with ball bearings
and nylon rollers.
Councill Contract’s standard finish is satin sheen to show a light
wood grain.
EVERY item on your purchase order must include a finish number and description. There will be some variation in color, texture
and shading.
Councill Contract also will custom match finishes and provide physical and finish distressing. Call Customer Service for upcharge.

In this Price List, the price of items with leather tops applies to
Councill Contract’s Hand-Antiqued, Glazed, Prevail Matte and
Status Matte Leathers. (Please refer to the appropriate leather card
for color options.) Leather tops ordered in Prevail Matte or Status
Matte are not available with gold tooling. Cabot Wrenn Glazed
leather may also be specified for leather desk tops.

Councill Contract leather is a natural product manufactured from
cow hides. There are many common, inherent characteristics of
top grain hides which should be expected including: fat wrinkles,
stretch marks, scars and cuts. It should be understood that these
marks are considered to be a part of the natural beauty of the leather.
These characteristics cannot be controlled by Councill Contract.
Care of Leather
Refer to the “specifications” chart on the back of leather cards.
Locks
Desks and credenzas are keyed randomly unless otherwise specified.
Locks are standard on all credenzas.
Upper Deck Units
Upper deck units are fitted with metal back plates for mounting
on Councill Contract credenzas. These units are identified by numbers and letters to indicate where they are attached. They are set up
twice in the factory to ensure a proper fit and then disassembled
for shipping.

Carpathian Elm Burl is available on selected items with a 50%
upcharge. Call Customer Service for availability.

Locks
Desks and credenzas are keyed randomly unless otherwise specified.
Locks are standard on all credenzas.
Upper Deck Units
Upper deck units are fitted with metal back plates for mounting
on Councill Contract credenzas. These units are identified by numbers and letters to indicate where they are attached. They are set up
twice in the factory to ensure a proper fit and then disassembled
for shipping.

cow hides. There are many common, inherent characteristics of
top grain hides which should be expected including: fat wrinkles,

Ultra Down (standard, where applicable) – These seat cushions
have a core of high resilient ultra cell foam. Super soft convolute
foam is glued top and bottom to add plushness and crown retention. A layer of fiber is added to all sides for additional plushness.
Core is filled into a sewn cover made of down-proof ticking.
The cover is sewn into individual channels generously filled with
down, feather and fiber.

Barrington – Barrington is a wax-tanned, aniline throughout-dyed uncorrected top grain cow hide from Italy. Its rich,
sophisticated “vegetable tanned” sheen resembles fine leather
from the shoe, belt and wallet industry. Additional depth is
created through the use of hand-padding which is accentuated
by the hide’s clear transparent finish. (hides avg. 50 sq. ft.)

Councill Contract leather is a natural product manufactured
from cow hides. There are many common, inherent characteristics
of top grain hides which should be expected including: fat wrinkles,
marks are considered to be part of the natural beauty of the
leather. These characteristics cannot be controlled by Councill
Contract. Also, some leather types may, over time, absorb body
oils and moisture resulting in a well-worn patina.

All Councill Contract leathers are priced by leather grade as
shown below. Some leather types are available with “antiqued”
coloring which is achieved by hand-highlighting wear areas after
the leathers are applied to the frame. These “wear areas” (such as
the seat cushion, lower seat back and the top of the arms) simulate
the differences in shading caused by normal use over a long period
of time and give the appearance of a fine antique. These colors
should not be confused with the Hand Antiqued Leather type.

Prevail Matte Leather – These leathers have the smooth

LeColonial – LeColonial is an aniline through-dyed wax
finished uncorrected top grain English bullhide made by

LIIIStatus Matte Leather – The superior technical specifications
of Status Leathers make them suitable for most upholstery

New Orleans Charter Leather – These aniline through-dyed
Danish leathers are silk screened with a design created for
Councill Contract by Angèle Parlange. The design, taken
from the 1769 Spanish proclamation of New Orleans,
includes the 5th clause stating that “under no circumstances”
should the English be allowed to settle in or near the new city.

mahogany veneer in its natural state. Every Councill Contract
sofa or chair ordered in this leather will have the crotch
mahogany grain book-matched and flow-matched to the

Floral Damask Leather – Floral Damask is uncorrected,
aniline through-dyed Dutch leather. Floral Damask is

Councill Contract has the right to change patterns at their discretion because of the smaller size and loss in yield of leather as
opposed to fabric. In general, backs and seats will be made in
three pieces. Outside arms will be made in three pieces and the
back in varying numbers of segments depending on the width of
the item. Skirts will generally remain one piece.
Because of the unbreathability of leather compared to fabric,
Councill Contract will install cushion and inside back breathers
at their discretion. If an item is offered in leather it will not
include the standard throw pillows that would ordinarily come
with it if made in fabric. All seems will be smooth or top stitched
where appropriate.

Technical Bulletin #117-E.
California #133/Boston Fire Code
Councill Contract seating products can be manufactured to
meet California Technical Bulletin #133 and Boston Fire Code.
Most standard Councill Contract fabrics, when used in combination with proper components can meet the requirements of the
composite test for California Technical Bulletin #133 and Boston
Fire Code. Due to contents, some fabrics may require additional
treatment prior to being sent to Councill Contract for application.
COM fabrics must be evaluated on an individual basis. This
may require the testing of the upholstery on the frames. Testing
requires additional cost and lead time. Councill Contract leathers
meet California Technical Bulletin #133 when used in combination
with the proper components.

COM – Customer’s Own Material
Councill Contract cannot be held responsible for appearance,
behavior, color accuracy, durability, performance, or weaving
of COM materials. All responsibility for COM shipments is
between the purchaser and the textile source.
Councill Contract assumes no responsibility for the flame retardancy
of any COM. Customers are solely responsible for making sure
the COM complies with all applicable codes and regulations.
Councill Contract reserves the right to reject fabrics or leathers we deem unsuitable for upholstery. When this occurs, the
customer will be notified in writing with an explanation of the
problem.
Councill Contract cannot be held responsible for tailoring variances
that result from the application of a particular textile or leather.

In the absence of instructions, we will apply the fabric pattern
according to our best judgment. We reserve the right to railroad
fabric whenever possible to avoid seams in large upholstered
areas and/or single cushion units. A fabric cutting of adequate
size allowing full repeats must be sent to customer service for

COL – Customer’s Own Leather
Customer’s Own Leather must meet standards set by Councill
Contract. All hides must be #1 quality, a minimum of 45 usable
square feet and bear no greater than three defects per hide.
Imperfections that penetrate the hide, brands, large marks, burns,
excessive healed-over scars and scratches and excessive fat wrinkles
are considered defects.
Leather footage requirements listed in the Price List refer to
usable leather footage that meets the standards described above.
Calf hides must be a least 30 square feet of clean usable matching
hides. When specifying calf hides, add 15% to COL requirements
shown in the Price List.

COM/COL must be shipped prepaid to Councill Contract with

Notes: In the absence of application instructions, Councill
Contract will not be responsible for a COM/COL deemed

Councill Contract does inspect fabrics for mill imperfections,
however, we cannot be responsible for defects, color or dyelot
variations, or other flaws in fabrics and accepts no responsibility
for a fabric’s overall appearance, flammability, normal durability or
colorfastness.
If material is being sent from a source other than the purchaser,
that source should insure that the information requested on this
form is provided.
Upholstery Standard Construction
1.To insure the highest quality, frames made by Councill
Contract are of selected hardwoods. Corner blocks are both
glued and screwed in place to maintain frame integrity and
prevent wobbling.
2.Base construction involves interlaced webbing or 8-way handtied.
3. All fabrics are flow matched.
4. Tie Downs, to hold the seat cushion in place, are standard on
any style which is overall 72” wide or wider.
5. Zippers in seat cushions and back pillows are installed for
production purposes only and are not intended for removal
of filling materials.
6. All welt is cut on the bias to ensure a properly tailored look.
Arm C ap s, Arm C ov e rs
One set of small arm caps is furnished at no charge on all
Councill upholstery styles with fully upholstered arms except
when the cover is leather, or where an insufficient amount of
COM is furnished. Please allow one ADDITIONAL yard of 54”
wide COM fabric if arm caps are desired. An extra set of arm
caps is available at no charge in any grade of Councill Contract
Graded In Fabric or COM.
Our arm cap covers the portion of the arm where the hand most
often comes in contact with the furniture. The arm cap is not
pattern-matched to the arm, but is aligned with the direction of
the fabric.
Fitted arm covers are available on upholstery styles with fully
upholstered arms except when the cover is leather. Our arm cover
is pattern-matched to the arm. Arm covers are available at no
charge to match the selected frame fabric.
S tan d ard T h ro w Pi l lo w s
Throw pillows are standard as indicated under each item number
and are included with the frame at no additional cost. Decorative
trim is available for an upcharge. Zippers, standard in throw pillows,
are installed for production purposes only and are not intended
for removal of filling materials.

Soi l Prot ection
Councill Contract assumes no responsibility for soil resistant
treatment on fabric and does not guarantee it to improve the cleaning qualities of the fabric. Treatment applied after manufacturing
is not recommended since damage to the fabric can occur. COM
should be treated for soil resistance before shipment to Councill.
Cle aning C o de
All Councill Graded In Fabrics are classified “Code S;” care recommendations are: To prevent overall soil, frequent vacuuming or
light brushing to remove dust and grime is recommended. Spot
clean, using a mild water-free solvent or dry cleaning product.
Clean only in a well-ventilated room and avoid any product containing Carbon Tetrachloride which is highly toxic. Pre-test a small
area before proceeding. Cleaning by a professional furniture service
is recommended.
Upholstered fabrics should never be machine washed.
CAUTION: Never remove seat cushion or back pillow covers for
dry cleaning or washing even though they have zippers. Zippers
are used for manufacturing purposes only.
Appl ication and Se aming
In situations where a seat cushion, back pillow, throw pillow
or other part of the upholstery style is wider than the available
width of the fabric when the pattern is centered, the fabric will be
seamed. In side-by-side and half-drop layouts, some “T” cushions
will also be seamed.
If particular placement of seams is desired, it must be stated on
your original order. If no seaming instructions are provided, the
factory will position these seams at their discretion. Railroaded
fabrics can avoid most seams.

Nailhead #1 – Standard Antiqued Brass - a small brass head
with an antiqued finish, placed head to head.
Nailhead #7 – French Natural – decorative small brass head
with an antiqued silver finish, placed head to head.
Nailhead #2 – French Antiqued Brass – a medium-sized brass
nail with a patterned head and hand-antiqued finish. This nail is
applied in an alternating open pattern.

For all Councill Contract upholstery, standard throw and kidney
pillows are filled with goose down; standard round bolsters and
round pillows are filled with fiber over foam.
The standard application of decorative trims such as cord or fringe
is on all four sides of each pillow. Please specify if decorative trims
are to be applied on fewer than four sides. Three-sided trimmed
pillows are available with a zipper at no extra charge if specified.

The standard construction of loose seat cushions and loose back
pillows is below. If you prefer an optional seat cushion and/or
back pillow, please indicate this on your order. Seat cushions and
back pillows may be combined only as shown below.
Rubber webbing with multi layer/density foam topped with
Dacron fiber.

Due to style and dimension differences, no two chair’s seat cushions
or back pillows will have the same crown or degree of firmness.
Standard Throw pillows are filled with 100% goose down.The
pillow is sewn using down-proofing ticking with several sections
to limit down migration and generously filled with white goose
down and feather
Se at C us hions
Skirt Tr eatm ents
Ultra Down (standard) – These seat cushions have a core of high
resilient ultra cell foam. Super soft convolute foam is glued top
and bottom to add plushness and crown retention. A layer of
fiber is added to all sides for additional plushness. Core is filled
into a sewn cover made of down-proof ticking. The cover is sewn
into individual channels generously filled with down, feather and
fiber.
Most fully-upholstered frames are available with two skirt options:
kick pleat or waterfall. Skirt lengths cannot be modified.
Belaire (optional) – Crisp, tailored look offering both good support
and resiliency. Core is made of high density polyurethane foam,
then wrapped in a generous layer of polyester fiber and inserted
into a ticking, channeled to prevent migration of materials. This
cushion is non-allergenic.
Sw i vel Me ch anism
Spring Down (optional) – Soft, luxurious, generous high loft to
the crown of the cushion. Constructed with a core of individually
pocketed marshall unit springs encased in high density polyurethane foam then inserted into down-proof ticking, channeled to prevent migration and filled with a blend of down, feathers and polyester fiber. Use with Blendown back pillows, where applicable.
Bac k Pi l low s
Blendown (standard) – Filled with a mixture of down, feathers
and polyester fiber which is encased in a down-proof ticking and
channeled to prevent migration of materials. Use with Down
Plush and Spring Down seat cushions, where applicable.
Fiberfil (optional) – Filled with polyester fiber encased in a ticking.
It is channeled to prevent migration of materials. Use with Belaire
seat cushions, where applicable.
Tigh t Back C onstru ction (non-optional)
Marshall Unit – Coiled springs encased in foam with Dacron fiber
on top; used in applications where thicker back allows room.
Foam and Fiber – Serpentine coils are covered with foam and
Dacron fiber.
Cast e rs
Casters are available on most ottoman styles. Some styles are standard
with casters and other styles have casters available at an upcharge.
Availability is shown under each style number.
Optional swivel mechanism is available when indicated at an upcharge.
This Collier/Keyworth mechanism allows the upper portion of the
frame to rotate 360° while the base remains stationary.

Seat C u shions and Back Pi l lo w s
The standard construction of loose seat cushions and loose back
pillows is below. If you prefer an optional seat cushion and/or
back pillow, please indicate this on your order. Seat cushions and
back pillows may be combined only as shown below.
Due to style and dimension differences, no two chair’s seat cushions
or back pillows will have the same crown or degree of firmness.
Seat C u shions
Ultra Down (standard) – These seat cushions have a core of high
resilient ultra cell foam. Super soft convolute foam is glued top
and bottom to add plushness and crown retention. A layer of
fiber is added to all sides for additional plushness. Core is filled
into a sewn cover made of down-proof ticking. The cover is sewn
into individual channels generously filled with down, feather and
fiber.
Belaire (optional) – Crisp, tailored look offering both good support
and resiliency. Core is made of high density polyurethane foam,
then wrapped in a generous layer of polyester fiber and inserted
into a ticking, channeled to prevent migration of materials. This
cushion is non-allergenic.
Spring Down (optional) – Soft, luxurious, generous high loft to
the crown of the cushion. Constructed with a core of individually
pocketed marshall unit springs encased in high density polyurethane foam then inserted into down-proof ticking, channeled to prevent migration and filled with a blend of down, feathers and polyester fiber. Use with Blendown back pillows, where applicable.
Bac k Pi llo w s
Blendown (standard) – Filled with a mixture of down, feathers
and polyester fiber which is encased in a down-proof ticking and
channeled to prevent migration of materials. Use with Down
Plush and Spring Down seat cushions, where applicable.
Fiberfil (optional) – Filled with polyester fiber encased in a ticking.
It is channeled to prevent migration of materials. Use with Belaire
seat cushions, where applicable.

-W (welt) or -N (nailhead) suffix and nail type (#1, 2,

4. Finish number.
5. Any options or additions: contrasting welt, decorative
