A General Association reference resource
useful in assisting members of the Ohio
Association of REALTORS®
Executive Committee
The Executive Committee is the organization within the Association structure that has the responsibility of hiring a Chief Executive Officer and assuring the orderly conduct of the Association’s business between Director meetings.
The Executive Committee consists of the OAR President, President-elect, Treasurer, nine District Vice Presidents, the Immediate Past
President, one Past President Appointee, three appointees (with expertise in Public Policy, C/I, Professional Development and Products &
Services), two at-large appointees, one Executive Officer, and the NAR Regional Vice President (when from Ohio, or an OAR Past President when not from Ohio) and one appointee from a Local Board with fewer than 500 members who do not currently have a member
on the Committee. Also, any OAR Past President who has served or is serving as NAR President and the OAR Chief Executive Officer
serve as ex-officio members.
The Executive Committee meets in conjunction with the OAR Tri-Annual Meetings, in August and in December. They also meet on call of
the President as needed.
The Code of Regulations provision relating to the Executive Committee is under Article III. The Executive Committee has full authority to
act for the Board of Directors in between the OAR Tri-Annual Meetings. The Executive Committee is responsible for screening all recommendations for programming changes, new programs, etc., which come from the Association’s committee structure. After consideration
by the Executive Committee, the recommendation is forwarded to the Board of Directors along with the Executive Committee’s recommendation.

Enlarged Legislative Committee
To maintain contact with state elected officials which assists the
Association in the support or opposition of legislation on behalf of
REALTORS® and private property owners in Ohio. The committee
discusses legislation being considered in the Ohio House and Senate.
Encourages REALTORS® to take an active role in the political process
at the state and local level through numerous political participation
programs designed to promote or oppose candidates or issues.

Issues Mobilization Committee
Promotes the REALTOR® position on public policy issues by
providing resources to affect the outcome of ballot issues,
state and federal legislation, local ordinances, regulations and
resolutions. The committee evaluates and approves or disapproves funding requests submitted by Local Boards, OAR or
NAR. Funding requests which exceed 10% of the overall Fund
balance as of the beginning of the year must also receive the
approval of the Executive Committee.

Legal Action Committee
The Committee’s primary purpose is to: 1) provide assistance,
guidance and direction to Local Boards in connection with law
suits in which they become involved which has significance
beyond the local situation; 2) recommend cases which should
be defended or filed on behalf of REALTORS®, Boards or the
State Association and following through on those approved
actions; 3) oversee all litigation in which the Ohio Association
of REALTORS® is involved, making recommendations for further
involvement or removal of involvement; and 4) communicate
areas of general interest to members.

The Ohio Division of Real Estate and Professional Licensing is a part of the Ohio Department of Commerce; the Division is the official licensing agency for all 45,000 real estate licensees in Ohio. The Division is staffed by 40 professionals in Columbus and Cleveland who carry out rules handed down during the monthly Real Estate Commission
meetings.

Ohio Real Estate Commission
The Ohio Real Estate Commission is a five-member group, appointed by the governor, that meets once a month in the Division offices.
Four of the five must be active brokers. Commissioners set licensing requirements, make rules concerning licensees, handle complaints
about violations of state laws and regulations and suspend and revoke licenses. Commissioners also certify courses for continuing education credit and oversee the special Recovery Account.

Ohio Real Estate Appraiser Board
The Ohio Real Estate Appraiser Board functions like the Ohio Real Estate Commission. The Board is the last stop for disputes over
licenses and over licensees’ actions. It can choose to renew licenses for appraisers who miss renewal deadlines; it can revoke or suspend
licenses when it determines appraisers violated appraisal laws.
The Board is a governor-appointed panel with rule making authority over the group it regulates—the appraisers. The state Legislature
enacts laws concerning appraisers, such as how many hours the state requires for licensing and certification;
Board members set specific policies to carry out those laws. Its Cleveland based staff of five—known as the Appraisal Section—is an arm
of the Ohio Division of Real Estate.

The Member & Board Services Group provides a wide range of services. For more information regarding the products/services listed
below, contact the Board Services Group.
Board Research Assistance — Upon request, OAR will assist
member Boards in conducting membership surveys, program and
product evaluations, and planning strategies for the future.
Fair Housing & Equal Opportunity — Through its Equal Opportunity Diversity Committee, the Association monitors state and
national law dealing with equal housing opportunity and other
fair housing issues, and informs members and Boards as to how
these laws impact their businesses and communities. OAR also
promotes development of implementation strategies, distribution
of guidelines and other resource materials, training Board leaders and other members. OAR’s Board Support Services Director
provides remote or on-site assistance to Boards upon request.
Governing Document Assistance — Board Support Services staff is
available to assist Local Boards in maintaining compliance with the
National Association’s recommended policies and procedures and
to counsel Local Board officials in drafting new documents, such as
Bylaws, MLS Rules and Regulations, and administrative policy.
Interboard Arbitration Procedures — When members of different
boards cooperate in selling property and a commission dispute
arises, the Ohio Association Interboard Arbitration procedures
may be used to guide the boards in handling the dispute.
Issues Manuals — In-depth reports examining such pertinent issues as agency, environmental hazards and seller disclosure, made
available to the membership at a nominal price.
Multiple Listing Assistance — Board Support Services staff is available to assist with questions or concerns relating to the formation,
operation and/or regionalization of Local Board Multiple Listing
Services.
Multi-Board Management Services — Board Support Services
staff provides selected administrative and managerial services to
subscribing Boards, and makes on-site visits as needed to establish
and maintain the delivery of required service. Staff is also available to provide procedural and administrative support to Boards
contemplating mergers or regionalized program structure.
OAR President’s Sales Club —This award recognizes exemplary
sales performance by Ohio REALTORS® in four (4) levels of attainment for individuals and now for teams.

The application form is available on our website May 1, of the
current year. To be eligible, transactions must have been closed
during the period of July 1 (of the previous year) to June 30 (of the
current year).
Professional Standards — Board Support Services staff is available
to assist and offer customized training to Local Boards in understanding, implementing and administering proper professional
standards procedures as developed by the National Association of
REALTORS®. Administrator and mediation training is also available.
REALTOR® of the Year — This program provides recognition for
brokers and salespersons who have demonstrated outstanding
involvement and commitment in Local Board activities, State and
National functions, business and education experience and civic
activity. Local Board Nominees are honored at the OAR Convention. The REALTOR® of the Year for Ohio will also receive recognition during the National Association Convention.
Tri-Annual Meetings — Three times a year, OAR Committee members and Trustees gather to conduct Association business. Both
the Winter Conference and Spring Conference take place in Columbus and typically run from Sunday to Tuesday. The Convention,
which occurs in September, typically runs from Sunday to Wednesday, and is always in Ohio. The Convention is filled with committee meetings, education programs, networking opportunities and
an exhibit area for attendees to view the products and services of
over 70 vendors.
White Papers — A thorough analysis of a single issue that impacts
the industry, available at no cost. Topics include earnest money
deposits, underground storage tanks, wetlands, general disclosure
issues, procuring cause, contracts, personal assistants, independent contractor status and advertising.

Community Service Programs - To encourage REALTOR® and
Local Board involvement in projects benefiting their communities, advice, ideas and recognition are offered through statewide
programs, Certificate of Merit recognition program and Excellence
in Community Service Award.
Local Board Media Support -- OAR offers assistance to Local
Boards/Associations to establish rapport and develop improved
relationships with local media outlets.
OHIO REALTOR® — The OHIO REALTOR® is the official publication
of the Association and mailed every other month and is emailed
as OHIO REALTOR® Online the other six months. It provides the
latest news and information about the real estate industry in Ohio
and about happenings within the Association. The information
is organized in sections for ease of referencing and the stories
highlighted with brief recaps. Among the areas of coverage are
business, commercial/industrial real estate, management, public
affairs, legal issues, finance and Association news.
Ohio REALTORS® Website (www.ohiorealtors.org) — Is an internet website for REALTORS® and consumers. For consumers, the
site offers information on how to find a REALTOR® and why they
should use a REALTOR®, along with mortgage rate information and
property listings. For REALTORS®, the site offers late breaking real
estate news, real estate information, education schedules and registration, legal information, membership directory and much more.

Publicity — A wide variety of news releases are sent to daily and
weekly newspapers, trade publications and broadcast stations
throughout the state, concerning activities of the Association, and
specifically, its members. Topics include the attainment of education designations; notice of meetings; appointments to state seats;

homeowners.
President’s Columns — These columns are linked via the OAR
eConnections for Local Board Presidents and executive officers,
who may choose to run them under the President’s by-line in local
newspapers.

Real Estate Continuing Education — In order to maintain a real estate license in Ohio, licensees must accumulate 30-hours (3-hours
core law, 3-hours civil rights, 3-hours ethics and 21 elective credits)
of real estate continuing education every three years. OAR,
through the REALTOR® Professional Development Division, certifies each course offered by the Association for continuing education credit including the OAR Tri-Annual Meetings, continuing education programs, ABR programs, GRI courses, Appraisal courses, all
specialized offerings including SIOR and CRS, the Industry Update
Seminars, etc. The Association also provides quality courses on a
cooperative basis. An Education Calendar is available on-line at
www.ohiorealtors.org. Licensees can now also carry-over up to 10
hours into the next reporting period (excluding the core requirements).
Appraisal Education & Continuing Education — Appraisers are
required to complete 14 hours of continuing education every year.
A seven hour USPAP course is required of all Appraisal licensees by
the State of Ohio and the Appraisal Foundation every two years.
This course must be taught by an Appraisal Qualifications Board
certified USPAP instructor. The Association offers timely topics,
many of which also carry real estate continuing education credit
to assist licensees in both real estate and appraisal. We also have
on-line appraisal offerings.
ABR Designation Program — Offered in conjunction with the Real
Estate Buyers Agency Council of the National Association of REALTORS®, the program offers 14 hours of continuing education credit
including 4 hours of core law. The course is designed specifically
for those seeking more training and a designation in the area of
buyers representation. A test is required along with membership for designation purposes. An elective course of six hours is
required. The elective course has to be one pre-selected by REBAC
and a test is required, so 20 hours total is available.
Other NAR designation offerings under the REBAC umbrella are
SFR (Short Sales and Foreclosure Resource Certification), BPO
Certification SRES – (Senior Real Estate Specialist) and the NAR
Green Designation program. The latter requires a REBAC approved
elective and both programs are approved for c.e. credit.
GRI Designation — Within the guidelines of the National Association of REALTORS®, OAR operates the Ohio REALTORS® Institute,
which offers the professional designation, GRI. In order for members to earn the GRI designation, they must complete all three
phases of the GRI program – GRI 100, GRI 200, and GRI 300 and
pass an examination after each program. Courses can be taken
out of sequence, and each phase of the program is for four days
(30-hours). Each course is certified for continuing education credit
and GRI 100 includes all core required offerings. You can take the
courses in individual days or in any combination of your choice.
GRI 100 Equivalency Examination — The GRI-100 equivalency examination is offered by OAR. This program offers the opportunity
to test out of this course in the GRI series.
Industry Update Seminars – This program, certified for three
hours of continuing education credit, is offered at various regional
locations across the State of Ohio annually, and has been specifically designed for brokers, managers and sales associates. The
program provides the most current information available to assist
REALTORS® in this ever-changing industry the property owner’s
use of land, land use issues receive a great deal of attention.
Ohio REALTORS® Charitable and Educational Foundation - Scholarships are awarded to real estate students at OSU, and a Charitable Foundation has been established to provide scholarships
to students at additional institutions offering a four-year major
in real estate. A separate account has been established under
the Charitable Foundation Umbrella for property disaster relief in
Ohio. When donating please indicate to which fund: Scholarship
or Property Disaster Relief.
On-Line Offerings -- Numerous programs are available on-line including many NAR designations such as ABR, ABR electives. Ethics:
The Measure of Professionalism, Ohio Makes Agency Simple and
Fair Housing Civil Rights are also on-line at the REALTOR® University site. The e-Pro certification provides over 20 hours of intensive
on-line programming. Finally many hot topics are also included
such as Risk Management and Introduction to Commercial and
Environmental and so forth. Additional professional partners are
also available at our website for on-line programming. Additional
offerings are for professional development only.
Specialized Offerings — Each year OAR offers specialized offerings to various segments of the real estate community. This may
include NAR designation offerings, other topics are: property
management, Office and Industrial and office Real Estate and in
the area of Commercial and Investment real estate. Additional

OAR Key Services
Public Policy Group
The primary responsibility of the Public Policy Group is to preserve, protect and improve upon the working environment within which our members operate. The Group also strives to protect the constitutional property rights of Ohio’s five million property owners. It also provides legal
services, including the Legal Assistance Hotline. For information on the products/services listed below, contact the Public Policy Group of OAR.
Legislative Update -- The Public Policy section of the website is kept
up-to-date with the latest information on the General Assembly. Here
you will find reviews of all bills being monitored by the Association
during the current General Session. Included in each review is an
assessment of the bill’s impact upon the real estate industry, the bill’s
status and the Association’s position on the bill. A directory for House
and Senate members, as well as updates on all legislative programming.
Issues Mobilization Fund — The Issues Mobilization Fund was created
as a means of promoting the free enterprise system and protecting
private property rights by educating REALTORS® and the general public about national, state and local issues which affect them. The Fund
is administered by the Issues Mobilization Committee, which has the
authority to provide financial resources in support of the REALTOR®
position on ballot measures, state and federal legislation, and local
ordinances and regulations. The Committee also may assist Local
Boards and OAR in forming and participating in coalitions with other
groups who are supportive and committed to the REALTOR® position
on a particular issue.
Issues Research and Analysis — The Public Policy Group of the Association also spends considerable time researching and analyzing
emerging or current issues of concern to the real estate professional.
With the increasing desire on the part of some in government to limit
the property owner’s use of land, land use issues receive a great deal
of attention. The emerging call for environmental protection has also
caused OAR to develop a strong research effort on issues including
wetlands use and preservation, environmental hazards and coastal
management. The research arm of the Governmental Affairs Division
also includes the subjects of real estate taxation, real estate economics and housing needs. Special task forces are created from time-totime to study specific issues.
Legal Action Committee — The Association’s Legal Action Committee monitors the legal environment as it pertains to the real estate
profession and stands ready to defend or file lawsuits involving issues
affecting the industry and REALTORS® statewide.
Legal Assistance Hotline — A Legal Assistance Hotline is available to
provide principal brokers and their designees, as well as Local Board
Presidents, Executive Officers and Secretaries access to free legal
advice on matters relating to the real estate profession
Legal Issues Forum — The Legal Issues Forum affords members the
opportunity to gather information on current legal issues of concern
to the real estate profession. The Forum meets at the Tri-Annual
meetings of the Association.
Legislative Representation — OAR’s Public Policy Group staff is
involved in lobbying at the Ohio Statehouse on a day-to-day basis,
focusing on bills that affect the real estate industry, as well as private
property issues. In addition, OAR’s staff maintains close contact with
Ohio’s Congressmen and Senators, so that they are well-informed on
federal issues that affect REALTORS® and property owners.
Local Issues — Through the Local Government Forum, members are
afforded the opportunity to exchange information on local legislative
issues of importance. The Forum meets at the Tri-Annual Meetings of
the Association. OAR Public Policy staff also provides any assistance
needed to Local Boards with local legislative issues.

Ohio Legislative Conference — In 1979, the Legislative Conference
was initiated to provide an opportunity for the four or five key leaders
in every board in Ohio to come to Columbus to become intimately
acquainted with the legislative process and the Association’s involvement in important legislative issues. Through information meetings,
written documentation, individual meetings with area Legislators and
visits to the Statehouse, the REALTOR® leadership in Ohio has become
much more familiar with the role of the Ohio Association of REALTORS® in protecting the interest of REALTORS® and property owners
in Ohio.
Political Affairs & Grassroots Initiatives — The Association maintains
an active department to assist REALTORS® in dealing with the political
process and encouraging their active participation in that process or
the grassroots lobbying activities and programs. Members and boards
are urged to become involved in the political process either through
the support of a candidate or issue, and providing the know-how for
these individual members to assist candidates of their choice or work
for issues they support or oppose. The Association frequently works
with Local Boards through the NAR Opportunity Race Program to
organize efforts for a particular candidate.
Publications — A key component of OAR’s legislative program is the
ability to keep membership informed of pending developments in the
Ohio General Assembly and Congress. The dissemination of accurate,
up-to-date information is critical to success of a grassroots lobbying effort. When the legislature is in session, the OHIO REALTOR®
will contain news of interest to the industry. Additionally, a weekly
legislative report is furnished to all politically active members. The
eConnections contains detailed information which summarizes pending bills, indicates the status of each and sets forth OAR’s position on
the legislation. The newsletter also contains reports on other timely,
legislative topics, including the progress of the RPAC campaign.
REALTORS® Political Action Committee (RPAC) — Financial assistance is contributed to the campaigns of individuals running for state,
local and national office after a thorough review of the candidate’s
background and position on issues of particular concern to property
owners and the real estate professional. Input is received from Local
Boards and individual members before contributions are made. All
funding decisions for Statehouse or Senate candidates are made
by the RPAC Trustees. Local Boards may request money for local
candidates out of their Local Board Entitlement. Most boards receive
a portion of the money they raise for RPAC back for use in local campaigns. The RPAC Trustees also make recommendations to NAR on
contribution for federal candidates.
Call to Action (CTA) — This is sent to members when their support is
needed on a key legislative issue. The Bulletin reviews the issue and
ask each member to call or write their Legislator to communicate the
Association’s position. On occasion, the issue is so broad that the
entire membership is urged to voice their opinion to the Legislature.

Vision Statement
To be the leading force advancing the real estate industry and preserving private property rights in Ohio.
Mission Statement
The purpose of the Ohio Association of REALTORS® is to assist and supplement Local Boards/Associations in serving the needs of our members, and to advocate public policies beneficial to the real estate industry.
Goal 1: Property Rights & Public Policy Advocacy
Protect private property rights, maintain and expand the association’s presence and influence at all levels of government and protect
member interests through legal action.
Strategy A: Anticipate and identify public policy issues that affect
the real estate industry.

Staff Speaking Engagements
All requests for OAR staff appearances must be in writing from the
Board and addressed to the Executive Vice President. Requests
will be forwarded to the President for approval.
Requests must include information as to date, place, group in attendance, subject matter and approximate length of presentation
requested.
Requests should be made at least 30 days before the event, except
in the case of an emergency.
Social gatherings are not normally attended by OAR staff unless
there is some business purpose. Such invitations should instead,
be directed to the elected leadership of the Ohio Association of
REALTORS®.
OAR Staff Position Descriptions
Administrative
Chief Executive Officer – Robert E. Fletcher is the
chief administrative officer and chief lobbyist of
the Association, responsible for administration
of the Association’s programs, services, policies,
financial condition and directing the lobbying
effort at the Statehouse. Maintains constructive
relationships with Local Boards, other state associations and the National Association of REALTORS®, and other
groups having mutual interests with OAR. Responsible for office
administration, personnel and workload assignments for all staff
and independent contractors.
Director of Finance – Shauna Darfus is responsible for the overall management of the
financial operations of the organization including: managing the financial and accounting
policies, systems and processes, tax and regulatory requirements, payroll processes, internal
financial controls, investments and banking
and monitoring the preparation of the annual operating budget.
Also maintains the Local Board Entitlement Program and processes
all outgoing RPAC contributions.
Vice President/Legal Services & Administration – Peg Ritenour serves as General Counsel
for the Association, overseeing all legal services
and assists the CEO in the administration of the
Association’s programs & policies. Oversees
the operation of the Legal Assistance Hotline &
acts as staff liaison to the Legal Action Committee & Legal Issues Forum. Is also available to speak to Local Boards
on legal topics.
Administrative Assistant To The CEO – Debbie
Wedebrook is responsible for secretarial and
administrative assistance to the Chief Executive
Officer and elected officers of the Association.
Also responsible for providing assistance to the
Executive Committee, Nominating Committee,
Strategic Planning Committee, Association Executives Committee, Commercial/Industrial Committee and Board
of Directors; Also coordinates travel arrangements of the staff and
the elected officers of the Association. She is also the primary staff
contact for RPAC related questions.
Public Policy Group
Director/Governmental Affairs – Scott Williams is responsible for legislative lobbying
at the State House and keeping members
informed of legislative events and issues and
presentations at Local Boards. Conducts bill research and analysis. Serves as an advisor to the
Legislative Committee, the RPAC Fundraising &
Political Affairs Committee, Local Government
Forum, Appraisal Committee and Commercial/
Industrial Committee.
Director/Political Affairs – Paul Glass is responsible for legislative lobbying at the State House
and keeping members informed of legislative
events and issues and presentations at Local
Boards. Conducts bill research and analysis. Is
principally responsible for the effective operation of the RPAC fundraising and contribution
program. Also is principally responsible for the effective operation
of the OAR grassroots lobbying effort. Serves as an advisor to the
Legislative Committee, RPAC Fundraising & Political Affairs Committee, Issues Mobilization Committee, RPAC Trustees and Housing
Needs Forum.
Assistant Vice President/Legal Services — Lorie Garland is a staff attorney who assists in the
operation of the Legal Assistance Hotline and
with research of a legal nature from the various
divisions within the Association. Is available
at times to Local Boards for speaking engagements.
Administrative Assistant – Arica Jones is
responsible for coordinating all administrative
and secretarial affairs of the group. Assists
in responding to inquiries on legislation and
legislative issues, screens phone calls received
by the Legal Assistance Hotline.

Director/Meetings and Conventions – Jenna
Bragg is responsible for the logistical preparation and on-site management of all OAR events
including materials, supplies, equipment and
instructor needs. Coordinates scheduling of
OAR committee and business meetings, and
negotiates agreements with meeting facilities
and vendors. Serves as a contact for the Institutes, Societies and
Councils.
Administrative Assistant – Mary Ann Sullivan
is responsible for coordinating all administrative and secretarial affairs of the group. She is

process for the OAR Tri-annual meetings.

printed materials of the Association in a concise, clear, consistently professional manner.

convey positive REALTOR® image. Acts as a business manager for
the OHIO REALTOR®. Also acts as reporter for OHIO REALTOR®.
Asst. Director/Publications & Media Relations – Nikki Gasbarro is responsible for the
OHIO REALTOR® newspaper, including writing, editing, layout, publishing and serves as
primary liaison with the newspaper’s printer.

the Professional Development Committee, Professional Development Forum and the Resort & 2nd Home Forum.
Administrative Assistant – Deanna Wright is
responsible for coordinating all administrative
and secretarial affairs of the Group. Responsible for all course certifications with the Ohio
Division of Real Estate. Oversees all course
registration, the certificate distribution process
and coordinates all details of co-sponsored and
specialized programs offered by OAR. She assists in responding
to inquiries on Local Board co-sponsored programs and national
designations. Also provides secretarial support to the Professional
Development Committee and Forum. Coordinates with OAR's
Website Manager education courses located on OAR's website and
develops all professional development marketing/promotional
brochures.
Secretary/Registrar – Nikki Blain is responsible for assisting with the administrative and
secretarial functions of the group. Assists in
responding to inquiries on the GRI designation
program as well as the registration process.
Also responsible for mailing continuing education certificates in classroom and on-line to
course participants, grading course examinations, continuing
education certificate replacement requests and evaluation analysis
of all programs. Responsible for data entry of all registrations for
OAR-sponsored education programs. Also assists as the Secretary
to the Scholarship Committee.
Management Information Systems
Director/Management Information Systems
– Cherie Murray develops and maintains all
computer information systems including the
Ohio REALTORS® Internet Website. She is also
responsible for OAR membership records, dues
collection, NRDS and E-Commerce.
Technical Analyst – Shirley Reed is responsible
for all computer systems hardware maintenance and upgrades. Assists the Director of
MIS with computer operations and oversees
the daily backup of computer systems. Also
assists the Accountant with dues remittances.
Membership Records Administrator –
Evelyn Morris is responsible for posting state
and national dues remittances from Local
Boards and for inputting all necessary dues file
changes such as address changes, company
transfers, additions, and deletions. Also serves
as a phone contact to assist Local Boards with
any problems they may encounter in working with membership
records and NRDS. Assists Local Boards with OAR’s dues billing
service and handles affiliate membership processing.
Operations Group

for the coordination of work flow and daily

Dues Payment Policy
Code of Regulations Language
Dues are due and payable to the Association February 21. Boards
will be notified that if 95 percent of dues are not paid by April 1,
such boards will have no vote at the next scheduled meeting of
the Board of Directors, shall forfeit entitlement to administrative
fees as established from time to time by the Board of Directors and
shall remit payment of a penalty fee. Such boards shall be required
to submit written correspondence to the Finance Committee stating reasons for not remitting payment of dues as required herein.
The Finance Committee shall recommend appropriate action to
the Board of Directors after reviewing correspondence submitted
by the board.

Dues Delinquency Penalty Policy
State Association dues are due and payable February 21. Any Local
Board/Association that has not paid at least 95% of its dues by
April 1 will be required to pay a penalty of 10% of the total delin-
quent amount on April 1 or $250, whichever is greater. The penalty
will be calculated based upon 100% dues payment shown as due on
April 1 by the Ohio Association of REALTORS®.
New Member Processing Fee
Effective January 1, 1991, a State Association new member processing fee of $25 is to be charged to each new member joining a
Local Board. Since a Local Board collects and transmits State and
National dues, the new member processing fee will be collected
by the Local Board and transmitted to the State Association at the
same time dues are remitted. The new member processing fee may
not be pro-rated.
Definition of Member Types
The following explains the various member types used on membership printouts:
DR-Designated REALTOR® —Member who is the principal broker
of a real estate firm or individual in position of management control on behalf of a principal broker who is qualified for REALTOR®
membership by a Local Board. One DR per firm.
DE-Designated REALTOR® Emeritus—A designation awarded by
NAR Board of Directors to a principal broker who is a fifty-year plus
member
R-REALTOR®—Members who are principals of real estate firms, individuals in position of management control on behalf of principals
or individuals employed by affiliated or independent contractors
with REALTOR® principals of real estate firms who are qualified by
a Local Board.
RE-REALTOR® Emeritus -- A designation awarded to a REALTOR®
who is a 50 year member.

with a member principal broker, but does not wish to be a member themselves. The principal broker receives a credit towards

to receive the OHIO REALTOR® and maintain a membership with

NL-New Licensee—Non-member salesperson newly licensed with

For your Local Board to be a successful resource for board members, a strong, workable organizational structure is needed, along
with a clear set of objectives. Members need to elect strong,
competent leadership to lead the organization and its committees.
Organizational Structure
First, make certain that your Board is eligible for tax-exempt status.
To qualify as a tax-exempt organization the board must:
·Be organized to promote a common business venture/purpose.
·Be non-profit (not engaged in a commercial activity).
·Not have earnings inure to the benefit of the individual member.
Once qualified, the Board should apply to the Internal Revenue
Service for income tax exemption. After exemption is granted the
Board must meet annual filing requirements.
While various organizational structures have worked for Local
Boards, the best types of structures are those which are relatively
simple, yet complete. It is important that your board be non-profit, cooperative and voluntarily joined.
Your board’s legal counsel and/or accountant should assist you
through these procedures. Help is also available from the Ohio
Association of REALTORS®.
While every Local Board should be able to qualify for tax exemptions, such status is not granted automatically.

Special: Capital Asset Records . . .
Financial records related to association-owned real or personal
property shall be retained, along with all records of expenses
incurred for that specific capital asset, for as long as the association owns the property. The seven-year retention period (current

Attorney-client privileged communications between the association and its legal counsel(s) shall be maintained in a separate,

Local Board Officers
If any board program is to be successful, there must be dedicated,
competent officers who will assume leadership and give the board
their time and talents. While there are different titles for board
officers, depending upon the size and program of the board, the
board may select from the following:
1) A President;
2) A President-elect and/or a Vice President;
3) A Secretary and a Treasurer or a Secretary-Treasurer.
4) An Executive Secretary, Executive Officer or Executive Vice President (non-elected position, paid staff)
The following are suggested duties for each of the officers:
The President — As the chief elected officer of the Local Board,
the President is responsible for the general direction of its affairs
and presides at all meetings. Subject to the approval of the Board
of Directors, the President usually appoints all committees, attends
most committee meetings, and assures that policies established
by the Board are carried out.

Specific Duties:
1. To represent the Board in community activities. If the President is unable to attend a community function he/she should designate another officer or member to attend the function as the Board’s official representative.
2. To cooperate with the Ohio Association of REALTORS® and the National Association of REALTORS®.

The Chief Staff - Whether called an Executive Secretary, Executive
Officer or Executive Vice President, the chief operating officer is an
employee of the Board. He/she is a paid professional who is either
hired annually at the time other Board officers are elected or is
employed upon a term contract. Since the Executive Officer bears
considerable responsibility for the successful conduct of Board
affairs, he/she should be experienced in and continually studying
trade association management.
The President-elect - Many organizations, including real estate
Boards, have incorporated the position of President-elect into
their leadership structure. Having an individual designated to become President the next year provides a valuable training process
for the individual and assures the Board of needed continuity.
While serving as President-elect, the incumbent would be fulfilling
the functions of Vice President (including the assignment of one or
more specific duties such as being in charge of programs, education, multiple listing or public relations.)
Subject to the President and the policies of the Board of Directors,
the Executive Officer is responsible for the coordination of the
Board’s entire programming.
Although there is a strong presumption that the President-elect
will succeed to the presidency, most organizations’ bylaws, in fact,
provide for automatic succession of the President-elect to the
Presidency.
The Vice President(s) - Small Boards that utilize the position of
President-elect do not usually designate a Vice President. Medium-sized Boards might have both a President-elect and a Vice
President. Large Boards may designate a number of Vice Presidents, including such titles as First Vice President and Second Vice
President.
If there is no President-elect, the single Vice President (or the First
Vice President in larger Boards) may or may not be presumed to
succeed the President. As in the case of the President-elect, the
Vice President may be assigned specific responsibilities, such as
chairing an important committee or coordinating the work of a
number of committees. Where there are multiple Vice Presidents,
it is vital that each be given specific assignments.
The Secretary - The Secretary, who is an elected volunteer (as
differentiated from a paid, professional Chief Staff who may hold
the title of Executive Secretary) keeps the official records, handles
official correspondence, notifies committees of meetings, sends
out publicity and coordinates such activities as may be designated
to him/her. Actual performance of these functions depends to a
large extent upon whether the Board utilizes a paid Executive Officer and delegates some or all of these responsibilities to him/her.
The Treasurer - As the custodian of Board funds, the Treasurer may
draw checks, handle the bookkeeping, prepare financial reports

performance of these functions depends to a large extent upon
whether the Board utilizes a paid Executive Officer and delegates
some or all of these responsibilities to him/her.
The Board of Directors - Members of the Board of Directors are
usually elected to multi-year, staggered terms to assure continuity. Another means of gaining continuity is to make the outgoing
President an ex-officio member of the Board.
Board members should work cooperatively with the President,
the Executive Officer, fellow Board members and the membership.
The membership looks to Directors to represent its interests and
ideas. Following are some suggestions for Directors. They should:

Familiarize themselves with the Constitution & Bylaws of the Board, as well as other documents stating its purposes, objectives and methods of operation.
Determine membership needs and attempt to satisfy them by the timely introduction of their suggestions, along with recommendations for appropriate action.
Be prepared to present constructive criticism.
Seek the advice of the Executive Officer on the duties of a Director. He/she is a professional and brings continuity to the Board.
Avoid gossip, rumors and participation in factional politics or cliques. Each Director should represent the entire membership.
Build a strong organization which represents the needs and aspirations of the members.
Prepare for each meeting. Directors should do their home
work—studying issues and details relevant to subjects requiring decisions.
Distinguish between policy setting, which is the mission of the Directors, and operations, which is the mission of the Officers.
If the Board of Directors finds it difficult to meet regularly, a Board
Executive Committee may hold interim meetings. Many Boards of
Directors utilize their Past Presidents in an advisory capacity, either
to augment the Board as a policy committee or to serve at the call
of the President as a separate advisory committee.

Local Board Committees
Committees are the grassroots of the Board organization. They
carry out the policies of the Directors and furnish operational support for the officers. Committees should be formed to fulfill the
specific purposes and programs of the Board. If committees exist
which do not have any specific purpose, they should be disbanded.
Committees should be small, and some Boards may find that even
one-person committees work well in certain functions. If a committee of more than nine members is deemed necessary to involve
more members of the Board, then a Steering Committee or Task
Force should be appointed to predigest topics of the larger group.
Following are some suggested committees for Local Boards:
The Program Committee provides meetings of interest to the
membership and promotes regular attendance at these meetings.
The Program Committee chooses topics, employs speakers and
handles the logistical arrangements for meetings.
The Education Committee promotes the Graduate REALTORS®
Institute (GRI) courses and encourages participation in courses of
NAR’s Institutes, Societies and Councils. In addition, the Education
Committee should assist local colleges and universities (or their
branches) by encouraging qualified members to act as instructors;
raising and allocating scholarship funds; and increasing the appreciation of faculty members for the practice of real estate.
The Membership Committee encourages Board membership for all
qualified persons; promotes recognition of outstanding members;
and encourages increased membership participation in activities
of the Board.
The Public Relations Committee develops programs and projects
to increase public awareness and respect for REALTORS®.
The Legislative Committee educates the membership about the
importance of political awareness and participation. It also serves
government at all levels by providing analyses and suggesting actions relating to important legislation affecting REALTORS®.
Separate Professional Standards and Grievance Committees are
required and serve to educate members about ethical conduct,
investigate complaints about the ethical conduct of REALTORS®,
and arbitrate disputes.
The Multiple Listing Committee recommends standards and procedures for the operation of the Multiple Listing Service.
Conducting Meetings
Leadership & Participation
An effective Chairman will lead by personal example. Enthusiasm
is contagious and open discussions encourage participation. The
Chairman must take the initiative in setting the tone and tempo of
the committee, as well as its direction. Do not expect more from
your committee members than you do from yourself. Delegate responsibility to the members, and rely on them to produce results.
Fulfill all the commitments you make to the committee as a group
and to the members individually.
By being candid and equitable, by listening and respecting individual opinions, you can inspire your committee members to participate to the fullest.
Meetings
Preparation is the principal ingredient of a successful committee
meeting. After you have acquainted yourself with the committee’s
purpose and goals, review the minutes of previous meetings. This
will provide a background of the committee’s decisions, actions
and recommendations. It can help your committee to avoid repeating previous activities.
Working with the staff liaison, develop an agenda for your meeting. The agenda is used to focus your committee’s attention on its
work in an orderly fashion.

It’s important that ample advance notice of your meetings be
sent to the committee members so that they may also review the
material and prepare for the meetings.
No committee should meet more often than necessary and, as
Chairman, you are responsible for starting the meeting on time
and assuring the discussion is kept focused on the agenda items.
A record of attendance should be kept at each meeting and
incorporated into the minutes. It’s a good idea, especially for
larger committee meetings, to distribute attendance slips for the
committee members to complete themselves and return to the
chairman or committee secretary.
The Chairman is in charge of the meeting. If you are unable to be
present for the meeting, arrangements should be made to either
reschedule the meeting or have the committee’s Vice Chairman (if
one has been appointed) or another committee member serve as
acting chairman for the meeting. The person chairing the meeting
is a coordinator and motivator. Every effort should be made to
solicit the participation of all members of the committee. Welcome new ideas, suggestions and alternative plans. Encourage
open discussion of disagreements. From this exchange of views a
consensus can be reached.
NAR Background
The National Association of REALTORS® was founded in Chicago
in 1908 by 120 men representing 19 real estate boards and 1
state association. Membership in the National Association now
numbers over 1 million. The National headquarters is located in
Chicago where a staff of 275 employees carry on the day-to-day
activities of the Association. NAR also maintains a full-time staff of
150 in Washington, D.C. to handle legislative activities.
During the Association’s Annual Convention normally held in
November, officers are elected to serve the REALTOR® members
throughout the United States and its possessions. Much like the
State Association, the decision-making process flows through
committees appointed by the incoming President, to the Executive Committee and ultimately through the Board of Directors, the

Three-Way Agreement
The term ‘Three-Way Agreement’ refers to the written agreement
of the National Association of REALTORS® with the State Association and the Local Boards of that state.
Basically, it is an agreement in writing between the National Association and its Member Boards granting them the right to use the
term REALTOR® and REALTOR-ASSOCIATE® within their territorial
jurisdiction to such individuals as deemed qualified for member-
ship. In turn, the Member Boards agree to accept the charge of
properly granting the use of and properly regulating the use of
the terms REALTOR® and REALTOR-ASSOCIATE®, to subscribe to
the Code of Ethics of the National Association; and to uphold and
enforce the Code within the Board’s jurisdiction. The Local Boards
also agree to maintain membership in good standing in the State
Association of the state in which located.
NAR Committee Appointments
Because each of the three levels of the REALTOR® organization –
Local, State and National – is autonomous, the committee structure of each is separate and distinct from the other. There is no
hierarchy of committees which would indicate, for example, that a
National Communications Committee should somehow control a
State Communications Committee or that a State Communications
Committee should control a Local Committee.
In late summer confirmations of committee appointments are
mailed by NAR to members who received an appointment. Those
who did not receive appointments are also sent notification.
Members who did receive appointment are encouraged to attend
committee meetings during the NAR Convention in November.
From a practical standpoint, however, each level of the organization can learn from the other, and so it makes good sense that,
wherever possible, boards appoint people to the same type of
committee at a State and National level as well. The Association
works closely with Local Boards and individual members in coordinating recommendations for National Committee Appointments
each year to assure that Ohio has maximum coverage on committees at the National level.

NAR Directors
Position Description Summary
The governing body of the National Association of REALTORS® is its
Board of Directors, which was restructured at the 1997 NAR convention. The Board includes representatives of the 75 largest firms
in the country, as well as representatives of Local Associations with
2000 or more members. Each state association is entitled to a
minimum of two Directors, plus one additional Director for every
2000 members in excess of 4000. Directors elected by the OAR
Directors will serve three-year terms State Association Presidents
will automatically be appointed to a one year term on the Board of
Directors.
NAR Directors are expected to attend all regular meetings of the
Board of Directors and the Regional Caucuses. They are also
expected to serve on at least one NAR committee. The OAR
President presides over meetings of Ohio’s NAR Directors, with the
exception of the Regional Caucuses.
Nominations
The Nominating Committee meets at the OAR Convention to receive and consider names submitted for vacant NAR Director positions and NAR Region #6 Vice President positions when applicable.
The Nominating Committee will publish a slate of candidates prior
to the Board of Directors meeting. The Board of Directors will
then vote on the slate of candidates at the Directors meeting held
during the same Convention (For further information, please refer
to Article IV of OAR’s Code of Regulations.)
