Benguerra Island is situated in the Indian Ocean, to the west of Vilanculos, at 21. 51`South and 35.25`East. The island forms part of the Bazaruto Archipelago National Park in the Republic of Mozambique. BENGUERRA AND ITS SURROUNDING ENVIRONMENT The Bazaruto Archipelago National Park is located in Mozambique within the latitudes 21030' - 22010' S and longitudes 35022'-35030' E in the Province of Inhambane. The marine fauna (principally dugong and turtle), was first protected by legislation in January 1955 under the jurisdiction of the Portuguese Colonial Maritime Services. In 1971 the 3 islands of Bangue, Margaruque and Benguerra were proclaimed a National Park while the islands of Bazaruto and Santa Carolina was only included in November 2001. The Archipelago embraces a wide variety of ecosystems including pelagic waters, coral reefs, dynamic beaches, tidal flats and associated marine grass meadows, mangrove communities, freshwater lakes, swamp forests, climax evergreen forest savannah grassland, bare and vegetated sand dunes. The administration of the Bazaruto National Park is carried out under the jurisdiction of the Ministry of Tourism, Department of Conservation Areas. The headquarters are situated at Sitone, Bazaruto Island and is headed up by a Park Administrator. The Government of Mozambique has been engaged in the creation of a development plan for the Bazaruto Archipelago that is based on sound conservation principles, which will safeguard the ecological integrity of the Archipelago. HOW DO I GET TO BENGUERRA ISLAND? Visitors fly to the town of Vilanculos, and then on to the island. This can be attributed to the direct hit on Vilanculos by cyclone Favio in February 2007. Other passing cyclones have not resulted in significant damage in the past. There have never been any Tsunamis recorded in this area. WHAT ABOUT HEALTH AND MALARIA? Mozambique is a malaria area so it is recommended that precautions be taken. No other vaccinations or inoculations are required. WHO LIVES ON BENGUERRA ISLAND? The local resident island community are part of the overall Tsonga ethnic group whose distribution extends from the Rio Save southwards. However, the people along the coastal littoral from lnhambane northwards including the Archipelago are part of a sub group Khokha. This subgroup includes Machengua people on the mainland opposite the archipelago, while the island people have their own dialect, Xitsonga. Portuguese and multi secular Asian cultures further influenced local traditions, particularly with the introduction of new fishing technologies and food crops. Benguerra Island supports a population of approximately 1200 local island residents. In addition to the local island inhabitants there are 3 commercial tourism operations: Benguerra Lodge - an upmarket low-density resort comprising a central bar, restaurant, formal lounge and dining room, administration block, 10 cassitas and 2 cabanas Marlin Lodge - approximately 4km to the south of Benguerra Lodge Azura Resort - approximately 2km east of Benguerra Lodge WHAT ABOUT CRIME? Crime levels are extremely low and violent crime non existent. The main contributing factor to the low level of crime is genuine community development. In November 2001 an association Khani Kwedho (translated from the Xitsonga dialect as "our home") was registered under article 5 da lei no 8/91 of July 18 as a non profit organisation. This formally constituted body represents the interests of The Government of Mozambique, local resident communities and private sector operators on the Island of Benguerra. Khanyi Kwedo serves as a vehicle, which coordinates and ensures the practical delivery of key management plan objectives identified as: www.acquireafrica.com FAQs Provide a democratic forum where the concerns and interests of all stakeholders can be addressed in an open and coordinated manner. Provide a communication link between the environmental conservation objectives of the Management Authority, the commercial development objectives of the private sector and the alleviation of poverty, community develop- ment, as well as develop alternatives to unsustainable traditional practices. Establishing a legally constituted entity mandated to manage funds and resources specifically destined for community development and environmental conservation and protection of Ilha de Benguerra. The community development association Khani Kwedho derives revenues from a portion of the National Park entry fees, voluntary levies and private donations from existing private sector operators. The direct participation in the benefits of tourism revenues by local communities over 20 years has engendered a culture of cooperation and assistance between local inhabitants and tourism operators. For this reason criminal activity is effectively policed within local community structures. Criminal activity usually stems from urban built up areas and any non resident potential criminal is generally quickly identified and dealt with by the homogenous and closely knit island residents. WHO WILL BE RESPONSIBLE FOR DEVELOPING THE VILLAS ON BENGUERRA ISLAND? Benguerra Vilas LDA, in conjunction with Benguerra LDA. Both companies are Mozambican entities. WHO WILL MANAGE THE VILLA ONCE COMPLETED? Initially the full management and service will be conducted by Benguerra LDA the same company that manages Benguerra Lodge. This will be in the form of a management contract that will be subject to review and renewal by the Villa owners from time to time. DO VILLA OWNERS PAY MONTHLY LEVIES? Every Villa owner will be responsible for annual levies. These levies will be jointly determined by the Villa owners and the manager which in this case will be Benguerra Lodge. It is however important to note that the Villa owners will fall into 2 categories: Those who elect to participate in the Reservations Pool Scheme (participating Villas) Those who elect not to participate in the Reservation Pool Scheme but require the provision of services and utilities (non participating Villas) The levies for the participating Villas will be absorbed by Benguerra Lodge through the Reservations Pool Scheme while the non participating Villa would be obliged to settle the levies on an annual basis. HOW WILL MY VILLA PURCHASE BE LEGALLY STRUCTURED? IS THERE FREEHOLD TITLE? A British Virgin Islands company, in which you will acquire 100% of the shares, will have full ownership (title) of your Villa. The title registration of the building will take place after practical completion of the Villa. The land upon which the Villa is erected belongs to the State. Mozambican law does not allow any person or company www.acquireafrica.com FAQs to own land. Rights of use or special licences (in protected areas) are issued to Mozambican companies with approved commercial projects. Your British Virgin Islands Company will hold a share in a Mozambican company (Benguerra Vilas Lda) which holds a special licence over the land on which your Villa is to be constructed. WHAT IS THE SIZE OF THE VILLA AND THE AREA OF LAND UPON WHICH IT IS BUILT? The actual Villa comprises of a footprint of approximately 960m². The stands vary in size and range from 4600m² to 5500m² each. WHAT IS THE DESIGN APPROACH OF THE VILLA? From an aesthetics point of view the design of the Villa follows the very popular and successful architectural theme of Benguerra Lodge. This allows the Villa to fit the brand being marketed by the Lodge which gives the owner the opportunity to make the Villa available to the Lodge through the Reservations Pool Scheme. The Villa will have four en suite rooms and a central area with lounge, bar, dining room, media/sound room, kitchen, scullery and storeroom. Provision has also been made for a butler's residence on the property. ARE ALL PROPERTIES DIRECTLY ON THE BEACH? Yes, the furthest distance from the front door of any Villa to the beach is 30 metres WHO WILL BE RESPONSIBLE FOR THE INTERIOR DESIGN OF THE VILLAS? Included in the purchase price of the Villa is a provision of USD 200,000.00 for interior design, fixtures and furnishings. The developer will recommend an experienced and suitable interior designer to work in conjunction with the owner to satisfy the owner's requirement in this regard. It is important to note that Benguerra Lodge will need to approve the interior design, fixtures and furnishings before accepting any Villa into the Reservations Pool Scheme. WHAT ARE THE PAYMENT TERMS OF PURCHASING A VILLA? The Purchaser will deposit 51% of the final negotiated purchase price into an Escrow account and will also be required to provide a bank guarantee for the balance of the purchase price. The purchaser will be issued with 51% of the shares of Villa Co 1 Ltd Company he is purchasing. Upon confirmation by R.Furtado, R.Loforte & Associados attorneys that the property has been legally registered in the name of Villa Co 1 Ltd , the escrow account attorney will call on the bank guarantee for the remaining 49% of the purchase price and the Purchaser will deposit the said amount in escrow. The Purchaser will be issued with the remaining 49% of the shares in Villa Co 1 Ltd IS THERE MORTGAGE FINANCING AVAILABLE? Yes, Barclays Bank has confirmed that it will offer a bond of up to 50% of the Villa. www.acquireafrica.com FAQs CAN MY VILLA BE RENTED OUT WHEN NOT IN USE? Villa owners will have the option of putting their Villa into the Reservations Pool Scheme provided that the Villa's furnishings are approved by Benguerra Lodge. Villa owners will not be able to run their own commercial tourism operation in competition to the rental pool or Benguerra Lodge. WHO WILL MANAGE THE RESERVATIONS POOL SCHEME? The management of the Reservations Pool Scheme will fall directly under the responsibility of Benguerra Lodge. Marketing will be conducted by marketing agents around the world, who will co-ordinate sales as well as travel arrangements to get Villa guests onto the island. HOW MANY DAYS PER YEAR CAN I USE THE VILLAS IF I SHOULD JOIN THE RESERVATIONS POOL SCHEME? You will be able to use the Villa for a maximum 50 free calendar nights per year. ONCE I HAVE JOINED THE RESERVATIONS POOLS SCHEME MAY I OPT OUT AND USE THE VILLA ONLY FOR PERSONAL USE? Yes, you may do so. A notice period will be applicable. IF I JOIN THE RESERVATIONS POOL SCHEME HOW WILL I BOOK MY DAYS IN THE VILLA? When enrolling in the Reservations Pool Scheme you will be requested to provide a schedule of when you would like your Villa to be included in the pool SCHEME over the next calendar year. You are therefore free to use your Villa at any other time. CAN A FOREIGN ENTITY OWN A VILLA ON BENGUERRA ISLAND? Yes. The owner of your Villa will be a British Virgin Islands company. HOW DO I OBTAIN FOOD SUPPLIES AND BASIC NECESSITIES? If you prefer to have the your Villa serviced and catering provided by the Benguerra Lodge, you will be able by prior arrangement contract for the services described below at rates that are agreed between the Villa owners and Benguerra Lodge from time to time. With regard to the above the manager will provide the following range of services: "Full Board" means the provision of three meals a day on a daily basis and free drinks as per the liquor menu "Full Service" means the Half Service plus the preparation and/or cooking of two meals a day "Half Service" means a service in addition to the Hotel Service, provided on a daily basis, which comprises a general clean of the entire Villa, lounges, dining room, patios, occupied bedrooms and bathrooms, kitchen, the washing of crockery and cutlery, and the laundry of items of clothing and linen "Hotel Service" means, a service provided on a daily basis, which comprises the removal of refuse to the removal bin, the general cleaning of all bedrooms and bathrooms in the Villa, the making up of all the beds in the Villa in www.acquireafrica.com FAQs the morning, and the turning down of beds in the evenings with a change of linen every three days, unless cir cumstances otherwise dictate, for the period when the Villa is occupied. Alternatively you take advantage of a procurement service provided by Benguerra Lodge and arrange to have your villa stocked with supplies of your choice. In both cases you will be invoiced by Benguerra Lodge for the services you have elected to contract and/or the supplies you have instructed the manager to supply and stock your villa with. HOW IS WATER, ELECTRICITY AND GAS OBTAINED? Utilities, power, water and gas connections are installed at your Villa. If you have elected to participate in the Reservations Pool Scheme the costs of these services are recovered by Benguerra Lodge as part of the of the Villa rental retained by the lodge. If you have elected not to participate in the reservations Pool scheme, you will be billed directly by Benguerra Lodge for utilities at the time of consumption. Billing will be according to metered usage. The removal of refuse is provided to all Villa owners and cost recovered through the annual levy. CAN I OBTAIN SATELITE TV, INTERNET AND TELEPHONE CONNECTIONS AT MY VILLA? Yes this is included in the purchase price. In the case of participating Villas the use of these facilities are included. In the case of non participating Villas, the usage of these facilities will be charged for by Benguerra Lodge. WILL THE VILLAS BE MAINTAINED ON A REGULAR BASIS? Yes. The cost of all maintenance will be covered by Benguerra Lodge for the participating Villas. Benguerra Lodge will charge for all maintenance done to non participating Villas WHO MAINTAINS THE GARDEN? This will be undertaken by Benguerra Lodge and the cost recovered from the annual levy. DO I NEED TO TAKE OUT INSURANCE COVER OVER MY VILLA? Participating Villas will be covered under the insurance of Benguerra Lodge. Owners of non participating Villas will need to arrange for insurance cover over the Villa. ARE PETS ALLOWED ON BENGUERRA ISLAND? As it is located in a national park, no pets or any exotic plants are allowed on Benguerra Island. www.acquireafrica.com FAQs HOW SAFE IS THE ISLAND? You are free to visit anywhere on the island. Local residents and artisinal fishing community is very hospitable and welcoming. Tourism generates direct benefits for the island community. WHAT ARRANGEMENTS ARE IN PLACE FOR MY ARRIVAL AND DEPARTURE? Benguerra Lodge has a meet and greet service at Vilanculos International Airport where you will be assisted with customs and immigration formalities. The Manager has both aerial and boat transfers from the mainland Benguerra Island.
