Executive Summary
The Hotel
The Governor Hotel is situated in downtown Portland at the intersection of SW11th & SW Alder,
The Governor is three blocks from Broadway, which is the main thoroughfare in Portland. The
100-room hotel consists of two buildings, the Princeton Building (NW side of the block) and the
original building (SE side of the block).
The Hotel maintains 27,000 SF of meeting space that has been restored to its original turn of
the century luster. The Hotel is currently running 89% REVPAR penetration against its competitive
set. Recent renovations to this historic landmark have reclaimed the hotel’s position as a
market favorite, providing community magnets such as Starbuck’s and Jake’s Grill as well as
a proven reputation for the most unique meeting space in the region. The Governor is an ‘AList’ destination for weddings, and high end social gatherings bringing in thousands of room
nights per year. The Governor Hotel is a registered landmark and a member of Historic Hotels
of America.
The Space
The available space was converted in 1984 into a large fitness center. At peak performance, it
had more than 3,000 members ranging from corporate executives to college students. The club
had fallen into disrepair and was closed prior to the acquisition. The space comprises a street
level leaseable area with storefront, the basement level of the hotel, and additional optional
mezzanine space:

Executive Summary
The Opportunity
In partnership with DB Real Estate Opportunities Group (“DB”), Grand Heritage Hotel Group
(“GHHG”) has successfully acquired both the Governor Hotel and the Avalon Hotel & Spa in
Portland, Oregon.
DB and Grand Heritage’s business plan for the Governor contemplates the following:
1) Continued rate growth from the recent room renovation
2) Recovery in wedding business through recent ballroom renovations
3) Leasing the spa to a name brand operator
4) Further comp set penetration by increasing occupancy
The Governor has recently gone through an extensive $7.5 million renovation. It now features
renovated guestrooms, an expanded restaurant, an additional ballroom, a new lobby area,
and a new Starbuck’s Coffee shop. We believe that this will continue to enhance the Governor’s
performance allowing it to drive up rate while improving occupancy.
Wedding business has seen a great deal of recovery following the renovation completed in the
last year. The wedding business at the Governor generates approximately $3 million a year.
This trend from weddings is expected to continue into the future. Additionally, the increased
desirability of the Governor as a wedding site will drive occupancy and rate at the hotel and be
a great source of business for a spa operator.
The partnership ultimately anticipates greater comp set penetration for the Governor through
increasing occupancy rates. Grand Heritage also plans to enhance market segmentation at the
hotel by dropping more of the lower rated associate group business leading to greater REVPAR
penetration as well.

Grand Heritage is seeking a partnership with a world-class spa operator to lease the currently
vacant space at the hotel and develop a high end spa & fitness operation in this highly visible
downtown location.
Our commitment to providing “best of breed” amenities and services mandates that we partner
with globally recognized and highly reputable brands to enhance the overall guest experience
and to assist our hotels in the achievement of their true potential.
GHHG has successfully forged partnerships and opened locations with Elizabeth Arden Red
Door Spa at the Providence Biltmore in Providence, RI and Spa Chakra at the Avalon Hotel in
Portland, OR.
Grand Heritage Hotel Group is fully committed to providing tenant improvements and helping
realize the full potential of this important development opportunity.
The successful bidder will have a lease that consists of a base and percentage rent. The
contemplated term is 5 years with optional renewals. The budgeted TI for the space is
approximately $85 per square foot. Ownership is willing to consider additional dollars if the
financial case model provided satisfied its investment criteria. The space available is flexible as
there is a Mezzanine level currently occupied by offices that could potentially be connected with
the space described herein. This space can be incorporated in to the contemplated area initially
to increase the size of the overall spa or can be considered for future expansion. This space is
not in the current plan nor budget.

arket overview...
Located on the Pacific Rim and bridging the states of Oregon and Washington, the Portland
metropolitan region is a vibrant and growing economy. There is a fairly diverse base of employment in
Portland. However, the local economy still has a significant reliance on Manufacturing and Technology,
in particular the semi conductor market. Intel is the largest employer with 15,000 employees,
followed by Providence Health Systems and Oregon Health Sciences University. Nike maintains a
significant presence with nearly 6,000 employees.
Portland’s economy began its recovery in 2004 as 4,000 new jobs were created, bringing
the unemployment rate down from 8.5% to 7.2%. The outlook from Precis (Economy .com) is for
2005 to finish the year at 6.1% unemployment with the creation of a net new 18,600 jobs in the area.
Per capita income in Portland is approximately $32,152, which is slightly above the US Average of
$31,472 per the US Bureau of Economic Analysis.
The Portland/Vancouver MSA has experienced population growth of more than 120,000 between
2000 and 2004. This represents a more than 6% increase from 1.93 million to 2.05 million people.
The population is expected to further grow to 2.24 million by 2010 per PSU Population Research. As
of the third quarter of 2004, nearly half of office space inventory for the Portland metropolitan area
was located within downtown Portland.
Maintaining an inventory of 19.1 million square feet, the downtown submarket features a relatively
low 12.2% vacancy rate and experienced positive net absorption of 31,000 square feet during the
third quarter of 2004. The health of the downtown office submarket should continue to benefit The
Governor Hotel and the competitive set over the foreseeable future through increased corporate
transient room night demand.

arket overview...
The Oregon Convention Center (“OCC”), the largest facility of its kind in the Pacific Northwest,
underwent a $101 million dollar expansion, which was completed in April 2003. Currently, the OCC
offers 255,000 square feet of contiguous exhibit space, 50 meeting rooms, two grand ballrooms, full
service catering and dining and an 800-space parking garage.
Portland International Airport was expanded and renovated in 1998. The positive impacts of this
expansion are now being experienced, as new key routes to and from Portland have recently been
established. Specifically, daily flights to and from Mexico, Germany and Japan are now available at
Portland International Airport. Also, daily nonstop service to New York just began in May 2005.
The Portland hotel market also shows little to no supply entering the market in the near future. The only
supply coming on is a 225 room Hilton Hotel that has recently opened near the Portland International
Airport in Vancouver, Washington. In addition, a 334 room Renaissance Hotel is scheduled to open in
downtown Portland in January 2008.
The Portland market consists of approximately 25,000 rooms, with approximately 7,000 rooms
downtown. The Portland hotel market has been showing strong results with year over year comp set
RevPAR growth of 14.2% for August YTD. ADR grew by 9.8% to $131.25 and Occupancy grew by 4.0%
to 78.8%. The ADR peak for the Portland market in 1998 of $138.38 represents an ADR of $159.58
in 2005 nominal dollars.

The Governor Hotel is located in downtown Portland in close proximity to the Pearl District.
It is a historic hotel built in 1909, and is listed as a member of Historic Hotels of America.
The Hotel has 20,700 square feet of function space in 9 different meeting rooms. It has 2
food and beverage outlets and a 15,000 square foot basement previously operating as a
spa/pool and fitness center, now available for lease and renovation.
Since acquiring the property in October 2003, Grand Heritage Hotel Group has
implemented capital expenditures at The Governor Hotel totaling approximately $5.0
million, or $50,000 per guestroom. The renovation began in December, 2003 and was
completed in April, 2005.
The hotel now features renovated guestrooms, an expanded restaurant, an additional
ballroom, a new lobby area and a new Starbucks.
The Governor enjoys a key urban location in a market with high barriers to entry due to the
lack of available land for development. The hotel is located within close proximity to major
demand generators, major new residential developments (the Pearl District) and attractions
located within downtown Portland.

The Governor Hotel features 100 guestrooms, including 24 suites, which range in size
from 258 to 625 square feet. The guestrooms are contained in two connected buildings
(the Governor Building and the Princeton Building). The hotel’s 20,700 square feet of
function space includes meeting rooms ranging in size from 350 square feet to 7,500
square feet.
Additionally, the hotel maintains two separate ballrooms, allowing the property to
accommodate two large functions simultaneously. The hotel maintains approximately
207 square feet of function space per guestroom, which is far in excess of most group
hotels (average is closer to 60-80 SF per guestroom). Jake’s Grill (a McCormick &
Schmick’s Seafood Restaurant) and Starbucks provide guests with a wide variety of
food and beverage options. Overall, these two outlets feature seating for 200 guests.
Jake’s services all meeting and banquet space at the hotel, providing exceptional food
and beverage service and quality, which has made the Governor the preferred location
in downtown Portland for banquets and weddings.

The street level retail space is just off the busy corner of SW 11th Avenue on SW Alder Street
next to the Starbucks street entrance. It has two existing entrances that are part of the historic
fabric of the building. There is an internal connection to the coffee shop and an accessible
toilet room in the back of house space. A stairway is proposed linking the retail space to the
spa level in the basement. The stair allows daylight into the basement areas and creates a
natural barrier between the guest activities of the street level and the back of house service
area. There is another stair that leads up to the hotel lobby.

The basement level has four distinctive areas: 1. active spa front; 2.
circulation knuckle; 3. pool area; and, 4. shower and locker room
area. From the street level retail space, guests enter the spa from a new
ornamental stair to an open area of approximately 6,000 sq. ft. This area
is ideal for greeting guests, open space activities like cosmetic treatment
and salon services and is linked to the circulation knuckle that has elevator
access to hotel lobby and guest rooms. It is large enough for waiting areas
and private treatment rooms. The structural grid provides opportunities for
mechanical, plumbing and electrical distribution while allowing an open
space plan without massive, interrupting load bearing walls.
The circulation knuckle not only links the spa to the rest of the hotel activities,
the pool and the shower and changing area but also allows connections
to more private spa areas for massage and health treatment. An internal
network of circulation will be maintained to provide adequate Fire and Life
Safety exiting and to link all the spa features to one another. From the link
guests have access to the large pool, suitable for laps, with Jacuzzi tubs
and a steam room. From the link guests have access to the existing shower
core that is waiting for redevelopment into changing rooms and treatment
areas. The core is adjacent to the pool and guests can use the pool and
core with or without actively entering the more public salon areas. There
is enough space in these areas for a small workout room if that is a part of
the desired program activities.

Our principals include:
John W. Cullen, Founder & President
Mr. Cullen serves as president of Grand Heritage Hotel Group
and was formerly president of Chesapeake Hotel Group, which he
founded in 1998. Previously, he was senior vice president at Patriot
American Hospitality where he managed international acquisition
and development for Wyndham Hotels International.
Bashar Wali, Vice President
Mr. Wali has served as vice president Grand Heritage Hotel
Company since 2003 and held a similar position at Chesapeake
Hotel Group since 2001.
Stephen Moore, Managing Director
Mr. Moore has over 20 years experience in hotel sales, marketing
and operations in both domestic and European hotels. Mr. Moore is
responsible for all hotel operations.
